Where a body corporate, which is an Unsecured Creditor authorises any person to act as its representative at the meeting, a copy of the resolution of the board of directors or other governing body of such body corporate authorising such person to act as its representative at the meeting, and certified to be a true copy by a director, the manager, the secretary, or other authorised officer of such body corporate shall be lodged with the Transferee company at its registered office not later than 48 hours before the scheduled time of the meeting. Such Unsecured Creditor is entitled to appoint a proxy to attend and vote at the meeting instead and on behalf of such Unsecured Creditor and such proxy need not be an Unsecured Creditor. Proxies to be valid and effective should be in the prescribed form of proxy, duly completed, signed and stamped or authenticated by the person entitled to attend and vote at the meeting and should be deposited at the registered office of the Transferee company not later than 48 hours before the scheduled time of the meeting. Forms of proxy can be obtained free of charge on any day (except Sunday and public holidays) from the registered office of the Transferee company.
