THIS AGREEMENT made as of December 1,2011

BETWEEN:

DALHOUSIE a university incorporated under the laws of the Province ofNova

Scotia (hereinafter referred to as the "Donee" or "Dalhousie")

- and-

SHELL CANADA LIMITED, having offices in Calgary,Alberta (hereinafter referred to as the "Donor" or "Shell")

WHEREAS Shell wishes to make a designated donation to Donee for the Shell

Experience Learning Fund upon the terms and conditions set forth below;

AJ..,TD WHEREAS Shell wishes to build and enhance relationships with relevant

university academics and students to reinforce Shell's reputation on campus as an employer of

choice and increase the number of quality applications from University students (the"Program").

AND WHEREAS Shell wishes to help provide students with - the best learning

environment and support student-driven initiatives.

AND WHEREAS Shell may, at its discretion, engage with students through guest

lectures, project advisory roles; participation in field schools or other interactions.

NOW THEREFORE, the parties agree as follows:

1.0 Amount of Donation

1.1. Shell hereby donates to Donee the sum of $500,000 as the Shell Experience Learning

Fund (the "Fund") and directs Donee to apply such funds in accordance with the

provisions set forth in Schedule A, attached hereto.

1.1.l.If the fund cannot be applied strictly in compliance with the provisionsin Schedule

A due to external forces beyond the control of Donee, the excess of revenues over

expenditures of such proportion of the Fund shall be redistributed w ith the prior

consultation from Shell .

1.2. The Fund will be paid to Donee in one instalment. $500,000 to be paid within 30 days of

the execution of this agreement. Donee shall issue a charitable donation tax receipt to

Shell for income taxes for all or part of the Fund which is eligible for such a tax receipt

pursuant to the Income Tax Act (Canada).

2.0 Term. This agreement will cover the period January 1st 2012- December 31st 2014.

3.0 Other Student engagements. Shell may also consider other opportunities to engage

with students and faculty through guest lectures, field tr ips and other interactions. The

arrangements for these interactions will be mutually agreeable to Shell and Donee with

respect to timing and attendees.

4.0 Donee shall implement the recognition plan in Schedule B to recognize Shell for its

donation and to further create and maintain awareness of the Program with key faculty and

students.

5.0 Shell Identifications. Donee shall not use or display Shell 's name, logo (the Pecten) or

trademarks (collectively referred to as "Shell Identifications") except if specifically

consented to by Shell. Donee shall submit to Shell for its written approval, prior to Donee's

use, reproduction and/or distribution, all materials whether print, radio , television, or internet

media, ill which the Shell Identifications may appear. Donee shall comply with all standards

governing use of Shell Identifications as specified in Shell's "Brand and Visual Identity

Standards Guide," a copy of which has been provided to Donee, and as otherwise instructed

by Shell.

6.0 Neither party will make any announcement or other statement in connection with this

Agreement or its subject matter without the prior written consent of the other as to its content,

timing and distribution.

7.0 Reporting. A quarterly financial report from the Faculty of Engineering, broken down

by the categories in Schedule A and highlighting where the funds have been both approved

and spent will be sent to Shell's Engineering CAP team members and Sr. Social Investment

Representative.

The same style report from the Faculty of Science will be sent to Shell's Science CAP team

members and Sr. Social Investment Representative three times a year. These reports will be

prepared by Financial Services, with specific categories as requested by the Department of

Earth Sciences and will include a summary of expenditures for each project.

8.0 Audit. Shell shall have the right to audit all books and records of Donee relating to this

Agreement for the sole purpose of verifying the proper performance by Donee of its

obligations hereunder, including without limitation, verifying the Funds payable by Shell

under this Agreement was allocated to the appropriate areas pursuant to the terms of this

Agreement.

9.0 Liability. Shell's, its affiliates, and each of the fore going's employees, officers, directors,

contractors, agents, arid representatives', liability under or in connection with this Agreement

shall not exceed the amount of the Fund allocation under which the liability occurred and will

. not be liable to Donee for any consequential or indirect losses arising out of or in connection

with this Agreement howsoever caused,including but not limited to, personal injury, property

damage, loss of use, loss of funding, loss of revenue, loss of production, loss of funding

opportunity, loss ofprogram(s) and program interruption. .

10.0 This Agreement is governed by the laws of Alberta, and the applicable federal laws of

Canada. The courts of the Province of Alberta shall have exclusive jurisdiction with respect

to all matters relating to or arising out of this Agreement.

11.0 This Agreement constitutes the sole and entire agreement between the parties as to its

subject matter. Any amendments hereto shall be in writing duly executed by the parties.

Student Research Projects:- To encourage projects from all areas ofEarth Sciences from students in third year, honoursstudents and graduate students. Projects can include co-op and graduate projects with defineddeliverables less than 4 months.- Projects are to be given final approval by Shell. The Earth Sciences Shell SELF Committee(ESSSC) will endeavour to encourage projects from all fields of geoscience in the department,not just the oil industry.- Up to $lK available per project to be used by the faculty sponsor in support of the researchproject, larger amounts may be available with approval from the ESSSC and Shell.- The number of projects and amount allocated per project may vary, but no one project is toexceed an allocation of $10,000.Shell Spring Field Excursion:- Funding for a trip to be run each spring in conjunction with the geophysics field school (part ofERTH 2270 - Intro to Applied Geophysics, end ofApril each year) to facilitate use of equipmentand other logistics.

Field TripslField Schools:- Funding for the following field trips, in order ofpriority: honours trip (ERTH 4000 AdvancedField Schoo!), graduate student trip, and Trinidad petroleum trip (ERTH 4156, PetroleumGeology Field Methods); allocation to each group each year to be determined by the ESSSC,depending on need, subject to approval by Shell- Funds to cover travel costs and to purchase safety equipment (e.g. safety gloves, goggles, etc.)Teaching Facility Improvement Fund:- Funds to be used to improve the core lab/teaching facility, core storage and core viewing- Funding is conditional on: the room to be allocated by Dec 31, 2012, construction beginning byQ1 2013, Dalhousie to provide any additional funding required to complete the renovations, andthe facility to be used by petroleum and all other Geoscience labs requiring access to core.- If the facility is not constructed by 2013, the funds will be allocated to another project asmutually agreed by Shell and Dalhousie.Earth Science General Fund:- Discretionary fund to be administered by the Department ofEarth Sciences to fund studentlearning opportunities related to their studies and/or the oil & gas industry e.g. field trips, studentprojects, conference participation (e.g., Atlantic Undergraduate Geology Conference to be held atDalhousie in October 2012) and miscellaneous projects (e.g., AAPG Imperial Barrel Awardcompetition to be held in Calgary in March 2012; student-focused workshops and short courses)that will benefit the department and students.

Dal In-kind support:- Costs incurred by Dalhousie in support of the Campus Ambassador Program. Includes staff

time, lunches and administrative expenses. To avoid confusion, no dollar amounts will be builtinto the gift agreement as Dalhousie will cover these administrative costs .

Any savings from the above allocated amounts may be reallocated to other projects up onazreement with Shell.Engineering General Fund:- Fund to be administered by the Faculty of Engineering to support student learning opportunitiesrelated to their studies and/or the Oil & Gas industry e.g. des ign competitions, conferenceattendance, field trip participation, etc. within the scope of the estab lished funding criteria andreview process.- Conference admission fees will be eligib le for funding to a maximum of $1,000 per year perconference. Limited to engineering undergraduate students.Hard Hats- Dalhousie Faculty of Engineering will purchase industry/CSA approved hard hats to be kept in a .central store for loan to engineering students for lab work, site visits , etc. Dalhousie Engineeringwill maintain an adequate supply of hats for students use, and replace hats prior to expiration dateor if the hats become darnaged., .Senior Mechanical Engineering Design Projects:- funds to support mechanical engineering design projects/courses MECH 4010/4020- Shell and Head ofMechanical Engineering Department to select funded projects/courses eachyear- The amount provided is allocated across all design projects in this course.- Funding request is made by the course instructor.- Dalhousie to provide a list of projects for approval prior to funding.Chemical Engineering Initiative:- Dalhousie Engineering to administer the fund to support experiential learning opportunitieswithin Chemical Engineering. Funds will support design projects and competitions , as well asfield trips , and possible facility tours to Shell operations/facilities.- Funds may also be directed towards safety initiatives (Eye protection, lab coats, etc .) to build aculture of safety amongst Dalhousie undergraduate students.- Shell and Chemical Engineering Faculty to collaborate on funding decisions each year.Mineral Resource Engineering initiative:- Dalhousie Engineering to administer the fund to support experiential learning opportunitieswithin Mineral Resource Engineering that focus on oil and gas/oil sands . Funds will supportdesign projects and competitions, field trips, and facility tours.- - Mineral Resource Engineering will purchase rock and mineral kits for all Mining Engineer ingstudents, and will look to purchase oil sands sample kits as well. These kits are to remain with theschool and will be used within multiple labs. Every Mining and Civil student will use themthroughout their time at Dal. Kits are expected to have a 7 to 10 year lifespan.- Funds may also be dire cted towards safety initiatives (ear protection, eye protection, etc.) tobuild a culture of safety amongst Dalhousie undergraduate students.- Shell and Mineral Resource Engineering to collaborate on funding decisions each year.Women in Engineering:- The funds will be allocated directly to the Dalhousie Women in Engineering Student Society, tosupport experiential learning opportunities for female engineering students. Examples mayinclude attendance at Women in Oil and Gas, Canadian Coalition of Women in Engineering,Science; Trades and Technology, and the National Conference on Women in Engineering.Spending of the $45k Dalhousie Engineering Faculty contr ibution will be determ ined by theFaculty of Engineering, to further support students and projects that relate to the oil and gasindustry and to the overall intent of the Shell SELF program.

Business Case Competition Prize:-Oil Sands Business Case competition prizes, funds carried over from 2009-11 gift agreement($5,000 x 3 years)- The business case must be completed and the first competition held in 2012 or unspent fundswill be redirected to another project as mutually agreed by Shell and Dalhousie.Oil Sands Business Case Competition development:- funds carried over from 2009-11 gift agreement ($6,800) and to be used to finalize thedevelopment of the Oil Sands Business Case Competition .- The business case must be completed and the first competition held in-20 12 or unspent fundswill be redirected to another project as mutually agreed by Shell and Dalhousie.Aboriginal Student Support Program:- Dalhousie to develop peer coaching and counselling resources for Aboriginal students atDalhousie University and to provide training and employment for two senior Aboriginal studentsto enhance their skill set, future employability, and incomes.A committee, the Earth Sciences Shell SELF Committee (ESSSC) to be formed within the EarthSciences department to steer and allocate funds across the department. The committee will consistof the Department Chair (currently R. Jamieson), one of the Associate Chairs (currently J. Gosseor M. Gibling), one additional faculty member decided upon by the department (position wouldrotate yearly (Sept-Aug); initially G. Wach for continuity with present system), and departmentAdministrator (A. Bannon). The committee will invite, receive, review, and rank proposals 3times a year, solicited from across the entire department, including student societies.Recommendations for funding will be made in advance of the academic term for which the fundsare requested. All projects recommended by the committee mustbe within the criteria identifiedabove, and be sent to Shell's Science CAP team members for approval.A financial report, broken down by the above categories highlighting where the funds have.beenspent, and plans for unspent funds to be sent to Shell's Science CAP team members and Sr. SocialInvestment Representative three times per year. The reports will be prepared by FinancialServices, with specific categories as requested by the Department of Earth Sciences and willinclude a summary of expenditures for each project.Dalhousie Engineering will form an internal committee to oversee the allocation of all ShellSELF funds within The Faculty ofEngineering. This committee will meet regularly to review allfunding applications from across the faculty . Membership of the Dalhousie Engineering ShellSELF committee will consist of: Steve Kuzak (Professor, Process Engineering and AppliedScience), Ruth Murray (Financial Administrator, Dean's Office) and Chris Locke (DevelopmentOfficer, Engineering). This internal group will work closely with the Shell Engineering CAPteam representatives (M . Williams, J. Coady, S. Hagmann) to oversee the allocation of all ShellSELF funds within the Faculty ofEngineering.Faculty members on this committee will be responsible to inform all students and faculty of thefunding criteria and application process for the SELF program.A quarterly financial report, broken down by the above categories highlighting where the fundshave been both approved and spent, to be sent to Shell's Engineering CAP team members and Sr.Social Investment Representative.Should Dalhousie be unable to allocate funds outlined in the Engineering section, unspent fundswill be redirected to the Engineering General Fund.

Recognition Plan:

Student Research Projects:- Reports will be prepared at the end of each academic term (end April, August, December)summarising all 'the projects funded by Shell for that term, with 1-2 page summaries of specificprojects where appropriate, and itemising related expenditures.

Shell Spring Field Excursion:- Opportunity for two Shell representatives to participate in each trip.

Field TripslField Schools:- Opportunity for Shell representative to attend. Shell is responsible to pay the costs associatedwith the Shell employee's participation.

Teaching Facility Improvement Fund:- Shell's name/logo displayed in the room

Hard Hats:.. The Shell logo will be displayed prominently on the hard hats.Senior Mechanical Engineering Design Projects:- Representatives of the Shell CAP Team will be invited to observe student presentations andprovide feedback on the finished projects

Mineral Resource Engineering initiative:- Shell logo will be displayed on the kits.

Symposium:- Dalhousie and Shell to develop a cross-discipline gathering for Shell-funded projects that crossboundaries. The purpose of this gathering is for Shell CAP team members to meet Dalhousiestudents who have received Shell funding. Selected students to provide a brief update on theirprojects. Shell representatives may make a presentation to profile a Shell operation.- Dalhousie and Shell to plan the gathering each year to coincide with CAP team visit toDalhousie.- Dalhousie to coordinate all event logistics.Lectures:- Up to two Shell representatives invited to attend and participate in Shell Fall field excursion- Guest lecture opportunities in Faculty ofEarth Sciences, Department ofEngineering and Schoolof Business- Opportunity to judge business case competition- Opportunity to judge design courses- Opportunity to participate in symposiumAdditional Recognition:

- Sciencea Gift featured in annual Science Calendar.
