Este Contrato de Licencia Academica (Academic LicenseAgreement - ALA) se celebra entre Novell, Inc., una sociedadcomercial de Delaware, con oficinas principales en 1800South Novell Place, Provo, Utah 84606 {"Novell"}, y la entidadcliente que firma a continuaci6n ("Cliente"). Este ALAconsiste en dichos Terminos y Condiciones, la Hoja deTrabajo de Cuotas Anuales y 105 Contratos de Licencia deUsuario Final del Software cubierto conforme a este

programa.

Terminos y Condiciones

1. Definiciones. Los terminos en mayusculas utilizadasen el ALA se definen de la manera siguiente:

1.1 Cuota de Licencia ALA significa la cuota de licenciaestablecida en la Hoja de Trabajo de Cuotas Anuales del ALAque el Cliente debera pagar para obtener una licencia conformea este ALApara utilizarel Software. La Cuota de Licencia ALAesun pago anual que debe ser pagado Gada ano durante lavigencia del ALA.

1.2 Periodo Anual significa el perfodo que inicia el primerdia del mes posterior a la Fecha de Vigencia y que termina unanodespues, asi como cada periodo de un ano consecutivo en10sucesivo durante la vigencia del ALA. .

1.3 Us ua rios Autorizados significa (a) estudiantesactualmente inscritos 0 matriculados del Cliente y (b) cuerpodocente y personal adminis trativo del Cliente para cadaorganizaci6n para la cual se ha abonado la Cuota Anual deLicencia.

1.4 Cliente significa una organizaci6n educativa que hayasido autorizada por Novell y que haya firmado este ALA. EI

Cliente que firmeeste ALA sera responsable por las acciones,105actos yomisiones de/todas las escuelas, organizacionesadministrativas,educativas u otras entidades con respecto alasobligaciones conforme a este ALA.

1.5 Fecha de Viaencia significa la fecha en la que el ALAsea firmado por un representante autorizado de N6vell, mismaque sera posterior a la firma del Cliente.

1.6 Uso Interno significa el uso por parte de (a) UsuariosAutorizados para las operaciones internas del Cliente, y (b) entanto que realiza tareas 0 trabajos para el Cliente en lasinstalaciones del Cliente, todo consultor y contratista delCliente. EI uso defSoftware por 105aulumnos 0 estudiantes selimita al uso sobre equipo en propiedad de 0 alquilados per elCliente.

1.7 Software Maestro significa medios maestros mediante105cuales el Cliente podra instalar el Software.

Academic License Agreement

This Academic License Agreement (ALA) is entered into byNovell, Inc., a Delaware corporation with headquarters at1800 South Novell Place, Provo, Utah 84606 ("Novell"), andthe customer entity signing below ("Customer"). This ALAconsists of these Terms and Conditions, the Annual FeeWorksheet and the End User License Agreements of theSoftware covered under this program.

Terms and Conditions

1. Definitions. Capitalized terms used in the ALA aredefined as follows.

1.1 ALA License Fee means the license fee set forth inthe attached ALA Annual Fee Worksheet that Customer mustpay to be licensed under this ALA to use Software. The ALALicense Fee is an annual payment that must be paid eachyear during the ALA term.

1.2 Annual Period means the period beginning on thefirst day of the month following the Effective Date and endingone year thereafter, and each consecutive one-year periodthereafter during the term of the ALA.

1.3 Authorized Users means for each organization forwhich the Annual License Lee has been paid, (a) studentscurrently enrolled in Customer, and (b) Customer's facultyand administrative personnel.

1.4 Customer means an educational organization thathas been approved by Novell and has signed this ALA. TheCustomer signing this ALA will be liable for the actions andomissions of all schools, educational administrative

organizations, or other entities with respect to obligationsunder this ALA.

1.5 EffectiveDate means the date on which the ALA issigned by an authorized Novell representative, which willfollow Customer's signing.

1.6 Internal Use means use by (a) Authorized Users for

Customer's internal operations, and (b) while performingwork for Customer on Customer's premises, Customer'sconsultants and contractors. Student use of the Software is

restricted to use on equipment owned or leased byCustomer.

1.7 Master Software means master media from which

Customer may install Software.

2. Licencias. Sujeto alas disposiciones del presentef:\J...A,exclusivamente durante la vigencia del presente ALA ysiempre que el Cliente pague la Cuota de Licencia ALAanualaplicable, Novell concede yel Cliente acepta una licencia noexclusiva y no transferible para copiar y distribuir el Softwareidentificado en la Hoja de Trabajo de Cuotas Anuales ALA parasu Use Interne per parte de Usuaries Autorizados en Estacionesde Trabajo del Cliente. Unicamente IDs Usuaries Autorizadospueden copiar y/o utilizar el Software.

2.1 Estaci6n de Trabaio oor Deoartamento. No obstantetoda disposici6n del ALAen contrario, si el Cliente compra elALApara menDs de una organizaci6n completa, dicha comprase de be efectuar utilizando el Precio de Estaci6n de Trabajo perDepartamento y s610 IDS Usuaries Autorizados deldepartamento 0 unidad institucional para la cual se pag6 elprecio de Estaci6n de Trabajo estan autorizados para utilizar elSoftware.

2.2 Garantfa Limitada vTermines Adicionales. La LicenciaAcademica esta sujeta a IDsterminos y limitaciones de licenciaestablecidas en el docunlento de Condiciones de Licenciaaplicable que acompana un producto de Software. Estedocumento de Condiciones de Licencia describe la garantialimitada y las renuncias a garantfas para Software ALA, y seincorpora al presente ALA En caso de producir~e conflictosentre una disposici6n del documento de Condiciones deLicencias y el presente ALA, regiran las disposiciones delpresente ALA.

2.3 Remoci6n de la Lista de Pr.ecios. En el caso de todoSoftware licenciado en virtud del presente ALAque Novell retirede la Lista de Pregios de Productos Novell,el Cliente no puedehacer copias adicionales del producto despues de producidadicha remocion, a menos que Novell autorice por escrito 10contrario.

2.4 Licencia de Buzon GrouoWise. EI Cliente debe incluircomo parte de la Hoja de Trabajo de Cuotas Anuales un reporteque muestre la cantidad de Buzones GroupWise(cuentas para

1.9 Uoorade means any new version of a Softwareproduct which bears the same product name, includingversion changes evidenced by a number changeimmediately to either the right or left of the decimal (forexample, GroupWise5.1 to 5.2 or GroupWise 4.0 to 5.0). If aquestion arises as to whether a product offering is anUpgrade or a new product, Novell's opinion will prevail,provided Novell treats the product offering the same for itsend user customers generally.

1.10 Workstation means any single-user computer orworkstation, attached to a network, that is owned or leasedand operated by Customer at Customer's location.

2. Licenses. Subject to the provisions of this ALA, forthe term of the ALA only, and conditional upon Customerpaying the applicable annual ALA License Fee, Novell grantsand Customer accepts a non-exclusive, non-transferablelicense to copy and distribute the software identified on theALA Annual Fee Worksheet for Internal Use by AuthorizedUsers on Customer's Workstations. Only Authorized Usersmay copy and/or use the software.

2.1 Deoartment Workstation. Despite any provision inthe ALA to the contrary, if Customer purchasesthe ALA forless than an entire organization, such purchase must bemade using Department Workstation pricing, and onlyAuthorizedUsers within the department or organizational unitfor which the Workstation price was paid are licensed to usethe Software.

2.2 LimitedWarrantv and Additional Terms. TheAcademic License is subject to the license terms andrestrictions set forth in the applicable License Termsdocument that accompany a Software product. This LicenseTerms document describes the limited warrantyand warrantydisclaimers for ALA Software, and is incorporated into theALA. If there is a conflict between a provision of the LicenseTerms document and this ALA, the ALA provisions willgovern.

2.3 Removal from Price List. For any Software licensedunder the ALA which Novell removes from the Novell Product

Price List, Customer may not make additional copies of theproduct after such removal occurs, unless Novell agrees inwriting otherwise.

2.4 GrouoWise Mailbox License. Customer must

include as part of the Annual Fee Worksheet a reportshowing the number of GroupWise Mailboxes (accounts for

En caso de que el Cliente eligiera no aceptarlas condiciones anteriores sabre acceso remote de

estudiantes, el Cliente pu ede implementar unaLicencia de Buzon GroupWiseque unicamente proveaacceso remote mediante Acceso Web a GroupWise.

2.5 Productos Especiales. Los productos entregados alCliente conforme al ALA que incluyen productos que no son deNovell, productos de evaluacion, 0 productos que requierenactivacion per lIave, podran requerir la compra adicional si elCliente elige obtener licencias para utilizar dichos productos, ydichos productos prodrian no estar disponibles conformea esteALA en una base de licencia per sitio.

2.6 Reaalias para Terceros. EI use y la copia de algunosde los productos de Software de Novell conforme al ALA podrarequerir el page de reg alias a terceros licenciantes. Si dichos

productos son puestos a disposicion bajo el presente, y si elCliente elige utilizar dichos productos, el Cliente deberainformar (en un formulario y de la manera indicada per Novell)sabre la copia yel uso de todos dichos productos per el Clientey debera pagar las regalias requieridas, siempre que Novellnotifique per escrito al Cliente sabre la obligacion de la regaliaen 0 antes del memento en que el Cliente haga capias dedichos productos conforme a este ALA.

Entrega de 105 riedios de Software y Documentaci6ndel Software.

3.

3.1 Medios de Software. Novell entregara al Cliente un (1)

conjunto de medios de software para el softwar~ licenciadoconforme al ALA Novell entregara al Cliente, ya seadirectamente 0 a traves de terceros, conjuntos adicionales demedios de Software a los precios senalados en la Lista dePrecios Academicos de Novell (0 en la Lista de Precios ALA). EICliente deb era mantener un registro.por escrito de la ubicaciondel Software Maestro que recibe conforme al ALA. A laterminacion del Al,A. termina el derecho del Cliente de utilizar elSoftware Maestro, yel Cliente debera devolver todo SoftwareMaestro a Novell (vease 8.4.1 abajo). EI Software Maestro noesta disponible en todas las regiones; en dichas regionesNovell cumplira pedidos ALA utilizando otros medios.

3.2 Entreqa. La entrega en Estados Unidos se realizaraF.O.B. (Iibre a bordo)en puerta de Novell al transportista del

2.4.1 Remote Access. A Mailbox License for the use of

faculty or staff will include the right to remote access.A GroupWise Mailbox license used by a student canonly be used with remote access if (a) Customeragrees to track all Master Software created forinstallation of student workstations (b) Customerensures students given remote access agree to thelicense terms of the Software and (c) Customeraccepts liability for students actions in regard to thesoftware license. Should Customer choose not toaccept the above student remote access terms,Customer may implement a GroupWise MailboxLicense for student use that provides remoteaccess only through GroupWise Web Access.

2.5 Special Products. Products delivered under the ALA

to Customer that include non-Novell products, evaluationproducts, or products requiring key activation, may requireadditional purchase if Customer chooses to be licensed touse such products, and such products may not be availableunder this ALA on a site license basis.

2.6 Third-Partv Rovalties. The use and copying of someNovell software products under the ALA may require paymentof royalties to third-party licensors. If such products are madeavailable hereunder, and if Customer elects to use such

products, Customer must report (in a form and mannerspecified by Novell) Cust'omer's copying and use of all such

products and must pay the required royalties, provided thatNovell gives Customer written notice of the royalty obligationat or before the time Customer makes copies of suchproducts under this ALA.

3. Delivery of Software Media and Documentation.

3.1 Software Media. Novell will provide Customer one(1) set of software media for software ordered under the ALA.

Novell will make available to Customer, either directly orthrough third parties, additional sets of software media at theprices listed in the Novell Academic Price List (or the ALAPrice List). Customer must keep a written record of thelocation of Master Software it receives under the ALA. UponALA termination, Customer's right to use Master Softwareterminates, and Customer must return all Master Software toNovell (see Section 8.4.1 below). Master Software is notavailable in all regions; in such regions Novell will fulfill ALAorders using other media.

3.2 Deliverv.Delivery in the United States will be madeF.O.B. Novell's Dock, Customer's carrier. For delivery outside

3.3 Titulo v Riesao de Perdida. Para envios dentro de

Estados Unidos, el titulo sobre todo producto, que excluye losderechos de Novell a propiedad intelectual, y el riesgo deperdida se transferiran al Cliente al momento de la entrega altransportista del Cliente. Para envios desde Estados Unidos alexterior, el titulo yel riesgo de perdida permaneceran con Novellhasta que el envfo lIegue al puerto de ingreso del paisimportador(oa un dep6sito aduanero en Canada 0 Mexicosi elCliente solicita dicho envfo).Para los envios originados enIrlanda, el titulo yel riesgo de perdida pasa al Cliente en elpunto de envfo de Irlanda. No obstante las disposicionesanteriores, no se transfiere al Cliente titulo alguno sobre elSoftware Maestro.

3.4 Duplicaci6n. Sujeto alas limitaciones de Licenda delALA, el Cliente podra hacer e instalar copias de Software desdeel Software Maestro para Uso Interno (que incluye una copia dearchivo 0 de respaldo para Gada producto de Softwarelicenciado). Todas las copias del Softwaredeberan hacersedelSoftware Maestro y deberan reproducir todo numero de serie ytoda notificaci6n 0 aviso de derechos de propiedad. EI Clientepodra hacer copias de la Documentaci6n, hasta la cantidad delicencias adquiridas, para su uso con el Software.

3.5 Responsabilidad del Cliente. EI Cliente acuerda

controlar todo Software Maestro y todo Software Maestroduplicado y devolver 0 destruir todo Software Maestro y tod asdichas copias a la terminaci6n 0 vencimiento del AlA EI Clienteno permitira que el Software Maestro sea utilizado en ninguncaso para ningun uso que no sea Uso Interno del Cliente.

3.6 Documentaci6n~ Ademas de la documentaci6n en

formato electr6nico 0 CD-ROM, no se proveera ningunadocumentaci6n al Cliente como parte de la cuota anual. EICliente podra copiar la Documentaci6n de la pantalla en lineapara su uso con el Software.

4. Protecci6n de Actualizaci6n. Para todo Software

cubierto por el pago de la cuota anual ALA efectuado por elCliente, Novell pondra a disposici6n tod a Actualizaci6nproducida durante la vigencia del ALA, dentro de un periodo detiempo razonable despues de haber salido ala venta comercial.Las Actualizacion.es para productos que no sean de Novellentregadas con el Software del ALA podrfan no estardisponibles por Novell. Nada en este ALA se interpretara comoque garantiza 0 implica que se producira Actualizaci6n algunapara producto alguno.

5. Servicios Tecnicos. EIALA no incluyeserviciostecnicos. Los Servicios Tecnicos podran ser comprados a

Customer will beresponsible for all applicable import duties and value addedtax, goods and services tax, or other similar taxes and fees.For shipments from Ireland, delivery terms are Carriage PaidTo (CPT) destination, as defined in INCOTERMS 1990.

3.3 Title & Risk of Loss. For shipment within the UnitedStates, title to any deliverables, exclusive of Novell's rights tointellectual property, and risk of loss will pass to Customerupon delivery to Customer's carrier. For shipments from theU.S. to outside the U.S., title to and risk of loss will remain

with Novell until the shipment arrives at the importingcountry's entry port (or at a bonded warehouse withinCanada or Mexico if Customer so requests shipment). Forshipments originating in Ireland, title to and risk of losspasses to Customer at the Irish shipment point.Notwithstanding the above provisions, no title to MasterSoftware is transferred to Customer.

3.4 Duplication. Subject to the ALA's license restrictions,Customer may make and install Software copies from theMaster Software for Internal Use (including an archival orbackup copy for each Software product licensed). All copiesof Software must be made from the Master Software and

must reproduce any serial numbers and all proprietary rightsnotices. Customer may make copies of the Documentation,up to the number of licenses purchased, for use with theSoftware.

3.5 Customer's Responsibilitv. Customer agrees totrack all Master Software and duplicated Master Software andto return or destroy all Master Software and any such copiesupon termination or expiration of the ALA. Customer will not

allow Master Software to be used in any instance for anythingbut Customer's Internal Use.

3.6 Documentation. Other than documentation in

electronic or CD-ROM format, no documentation will beprovided to Customer as part of the annual fee. Customermay copy the Documentation from the on-line screen for usewith the Software.

4. Upgrade Protection. For any Softwarecovered byCustomer's payment of the ALA annual fee, Novell will makeavailable any Upgrades released during the ALA within areasonable period of time after they become commerciallyavailable. Upgrades to non-Novell products delivered withALA software may not be available from Novell. Nothing inthis ALA will be construed to warrant or imply that anyUpgrades will be produced for any product.

5. Technical Services. No technical services areincluded in the ALA. Technical Services may be purchasedthrough Novell or a Novell-approvedthird party provider under

6. Placing Orders and Payment Terms.

6,1 Annual License Fee. Customer may obtain Softwareby submitting to Novelia completedandsignedALAAnnualFee Worksheet with a Customer purchase order for theamount of the annual fee. The tota], non-refundable annuallicensefee winbe payable in a lump sum net 300days fromthe date of invoica. Customer must select either Pricing byWorkstationorPricingbyFull-timeEquivalent(FTE)at thetime of ordering and that selection wiHapply during the termof the ALA.

6.1.1 Within at least 15days priorto theendof eachAnnual Period, Customer will submit to Novell a newALA Annual Fee Worksheet certifying either (a) thetotal number of Customer workstations or (b) thetotal number of Customer Full-Time Equivalent(FTE) faculty, staff and$!udents. Customer willsubmit the applicable annual ALAlicense Fee withthe ALAAnnualFee Worksheet.

6.2 Minimum Order. The minimum Annual License Feais US$5.000.

6.3 Price and Product Changes. NoveUmay revise theALA prices at any time to (a) change the prices for SoftwareiiCMSGSor otherdeliverables,or (b)addor deleteavailableproducts or other offerings. Any price increase made to aSoftware product license which Customer has previouslypurchased under the ALA will only apply to subsequentlicense purchases. Ifthe ALAprices change less than 120days prior to the and of a contract term, Customer maychoose to terminatethe ALA by giving written notice to NoveUwithin 30 days of NoveUproviding Customer with the pricachange notification.

6.3.1 Separate from Customer's AcademicLicense Fee purchases, Customer may purchase$tandard NoveUlicenses available on the AcademicPrice list at the published educational discount.The ALA's Upgrade Protection and OwnershipRegistration provisions willnot apply to suchpurchases,

6.4 ~. Fees are exclusive of a1lapplicable taxes.Customer agrees to pay and bear the liability for any taxesassociated with the delivery of the Software, including but notlimited to sales, use, excise, and added value taxes butexcluding: (a) taxes based upon Novell's net income, capital,or gross receipts, or (b) any withholding taxes imposed if it is

Sipor ley se requiere que Novell deb a transferir todo impuesto 0derecho a nombre 0 cuenta del Cliente con la entrega delSoftware, el Cliente 10 reembolsara a Novell dentro de los 30dias posteriores a que Novell notifique por escrito al Clientesobre dicha entrega. EI Cliente dara a Novell certificados validosde exenciones impositivas antes de toda transferencia exigidaa Novell a nombre 0 cuenta del Cliente cuando dichos

certificados sean aplicables.

6.5 Paaos Atrasados. Los pagos hechos despues de lafecha de vencimientode la factura acumularan intereses desdela fecha de vencimiento hasta la fecha de page, segun 10queresulte menor de una tasa anual del doce per ciento (12%) 0 la

1. Intermediario.EI Cliente y Novell deberan designarun Intermediario mediante la confecci6n y suscripci6n delAnexo de Intermediario adjunto al presente Contrato. Losterminos y condiciones de dicho Anexo contienen lasobligaciones respectivas del Cliente, Novell yellntermediario.

8. Vigencia y Terminaci6n.

8.1 Viaencia. La vigencia de este ALA comenzara en laFechadeVigencia y seguira efectiva durante un perfodode tresanos despues del primef dfa del mes a partir de la Fecha deVigencia. EI ALA sera renovado automaticamente duranteperiodos de un ano hasta que alguna de las partes notifique porescrito 10contrario como minimo noventa (90) dias antes delcierre de la vigencia del ALA.

8.2 Terminaci6n per Alauna Causa. If Customer isrequired to withhold taxes, Customer will furnish Novell allrequired receipts and documentation substantiating suchpayment. If Novell is required by law to remit any tax or dutyon behalf, or for the account, of Customer upon the delivery ofSoftware, Customer will reimburse Novell within 30 daysafter Novell notifies Customer in writing of such remittance.Customer will provide Novell with valid tax exemptioncertificates in advance of any remittance otherwise requiredto be made by Novell on behalf of, or for the account of,Customer where such certificates are applicable.

6.5 Late Pavments. Payments made later than theinvoice due date will accrue interest from the date due to the

date paid at the lesser of the rate of twelve percent (12%) perannum or the highest rate allowed by applicable law.Customer will pay reasonable costs and attorney's fees ifNovell is required to undertake collection measures againstCustomer.

6.6 Pavments. All fees are owed in U.S. dollars.

1. Fulfillment Agent. Customer and Novell must

designate a Fulfillment Agent by completing and signing theFulfillment Agent Addendum attached to this Agreement. Therespective obligations of the Customer, Novell and theFulfillment Agent are contained in the terms and conditionsof that Addendum.

8. Term and Termination.

8.1 Term. The term of this ALA will begin on the EffectiveDate and will remain in effect for a period of three years afterthe first day of the month following the Effective Date. The ALAwill be automatically renewed for one year periods until eitherparty gives written notice at least ninety (90) days prior to theend of the ALA term.

8.2 Termination for Cause. Either party may terminatethe ALA upon written notice for the substantial breach by theother party of any material term, if such breach is not curedwithin 30 days following receipt of written notice of breachfrom the non-breaching party. If Customer terminates theALA for cause, Novell will refund Customer a prorated portionof the annual fees paid for the period beyond termination.

8.3 Termination for Convenience. Either party mayterminate the ALA solely for convenience at the end of anyannual period by giving the other party written notice at leastninety (90) days prior to the end of the annual period. If Novellterminates for convenience, Novell will refund Customer anamount, prorated on a monthly basis, of the ALA License Feeto cover the unexpired term.

8.4 Effect of Termination. Upon expiration or termination

8.4.1 Transition from ALA. Upon termination or expirationof the ALA, all rights granted under the ALA willimmediately terminate and Customer will return allsoftware media to Novell and remove all software

copies made hereunder. All licenses purchasedoutside of the ALA or acquired pursuant to Section8.5, "Ownership Registration: Installed BaseUpgrade", will remain the property of Customer andwill survive termination or expiration of the ALA. Forthose licenses acquired by Customer pursuant toSection 8.5, Novell and Customer agree to worktogether in good faith to transition Customer from

the ALA Program back to Novell's standard licensingmodel; this process will include replacing the ALAsoftware media with the number of Novell's

standard licenses which provide Customerequivalent functionality for these licenses. Thistransition will occur at no cost to Customer, exceptfor any media costs incurred by Novell in replacingthe ALA software media with Novell's standard

licenses and/or media. Within 30 days aftertermination or expiration hereof, Customer will certifyin writing that all copies of Software for which nocontinuing licenses have been purchased havebeen removed and that all fees due have been paid.

8.4.2 Survival of Terms. For any licenses Customer usesafter expiration of the ALA under the previousTransition from ALA section, the General Termsprovision below and the terms of the applicable EndUser License Agreements govern Customer's useof the Software.

8.5 Ownershic Reaistration: Installed Base Ucarade.

Upon execution of the ALA, Customer may list on the

Installed Base Upgrade Form all software licenses owned byCustomer prior to ALA execution which bear the sameproduct name as the products Customer requests on theALA Annual Fee Worksheet. Proof of ownership of suchlicenses may be required. During the initial three terms ofthe ALA, upon payment of an ALA annual license feeCustomer will be licensed to any Upgrades to such licensesfor one-third of the software licenses listed; this one-third ofthe Installed Base licenses is covered under the UpgradeProtection terms of the ALA. Customer's rights to use theselicenses will continue upon contract termination or expiration.

9. Formal Audits. During the ALA term and for two (2)

10. Limitacion de Responsabilidad EN LA MEDIDAPERMITIDA POR LA LEY APLICABLE, NOVELL NO SERARESPONSABLE ANTE EL CLiENTE 0 ANTE TERCERAS

PARTES POR PE:RDIDAS 0 DANOS INDIRECTOS,ESPECIALES, INCIDENTALES 0 CONSECUENTES DENINGUNA CLASE (INCLUYENDO PERDIDA DE LUCRO,NEGOCIOS, 0 DATOS) RELACIONADOS CON 0 DERIVADOSDE ESTE ALA, YA SEA EN UNA ACCI6N QUE TUVIERA SUORIGEN EN EL QUEBRANTAMIENTO DE GARANTfA,VIOLACI6N DE CONTRATO, NEGLIGENCIA,RESPONSABILIDAD ESTRICTA 0 DE OTRA CLASE.

10.1 EN LA MEDIDA P~RMITIDA POR LA LEY APLICABLE,LA RESPONSABILIDAD DE NOVELL ANTE UN CLiENTE PORCUALQUIER CAUSA DE ACCI6N DERIVADA DE ESTE ALANO EXCEDERA DE LA CANTIDAD DE COMISIONES

11. Condiciones Generales.

During this time period Novell willhave the right, at its expense and upon no less than 3working days prior written notice, to audit Customer's use ofthe Software and records related to this use and ALApayments.Such audit may be conducted by Novell or itsauthorized representative, will not interfere unreasonablywithCustomer's business activities, and will be conducted nomore often than once per calendar year, unless a previousaudit disclosed a material discrepancy. If such audit showsCustomer understated actual use of the Software orotherwise underpaid amounts owing, Customer willimmediately pay all amounts owing. If an audit showsCustomer understated use of the Software or underpaidamounts owing by more than 5%, Customer will pay thereasonable expenses of the audit. Novell will use informationreceived during an audit solely for the purposes of this ALAand will otherwise maintain the confidentiality of suchinformation.

10. Limitation of Liability. TO THE EXTENT ALLOWEDBY APPLICABLE LAW, NOVELL WILL NOT BE LIABLE TOCUSTOMER FOR DAMAGES IN THE NATURE OF

EXPECTATION LOSSES, INDIRECT, SPECIAL, RELIANCE,INCIDENTAL OR CONSEQUENTIAL LOSSES, OR ANYLIABILITY FOR THE LOSSES OF ANY KIND OF ANY THIRDPARTY, INCLUDING BUT NOT LIMITED TO THE LOSS OFBUSINESS PROFITS, DATA OR OTHER EXPECTEDBENEFIT OF CUSTOMER OR ANY THIRD PARTY,WHETHER ARISING UNDER OR OUTSIDE THIS ALA.

10.1 Personallniurv. Death and ProDertvDamaaeIndemnification. Novell agrees to indemnify and holdCustomer harmless from and against any and all liability,losses, claims, demands, and actions arising out ofpersonal injury, death or property damage which aredetermined by a court of competentjurisdiction to be causedby the negligent or willful acts or omissions of Novell or itsauthorized employees, agents or subcontractors whileproviding technical support on Customer's premises.Novell's liability under this Section will be reducedproportionally to the extent that any act or omission ofCustomer, or Customer's employees, agents, orrepresentatives, contributed to such liability. For purposes ofthis Section, "property damage" does not include damage to,or loss of, files, data, or other information. Novell'saggregate liability under this Section 10.1 will not exceedUS$3,OOO,000.

11. General Terms.

11.1 EmDlovees and Aaents. Customer will use

reasonable efforts to inform its employees, agents, or othersusing the Software that it may only be used, copied ortransferred subject to the ALA terms.

EI lugar dealgun procedimiento legal relacionado con el ALA estara en lostribunales competentes en el estado cuya ley sea la aplicable.Si una parte inicia algun procedimiento legal relacionado con elALA, la parte prevalezca en al tendra derecho a recuperar loshonor\!rios legales razonables. Cad a una de las partes, porsupropia cuenta, cumplira con cualquier ley, estatuto, ordenanza,orden administrativa, regia y regulacion aplicable.

11.4 Transferencia. Este ALA es obligatorio para las partesy sus respectivos sucesores y cesionarios. A manes que sepermita expresamente en el presente, ninguna de las partespodra transferir, ceder 0 delegar ningun derecho u obligaci6nestablecida en el ALA sin el consentimiento previa per escritode la otra parte. Ninguna de las partes negara irrazonablementeel consentimiento de una transferencia a la subsidiaria de la

otra parte. Cualquiera de las partes, mediante notificaci6nprevia per escrito, podra transferir el ALA a la sociedadsuperviviente u otra organizacion en caso de producirse unafusion 0 adquisici6n.

11.5 SeDarabilidad / Renuncia. Si una disposicion del ALAse considera invalida 0 no aplicable, la disposici6n seraseparada en la medida de,dicha invalidez 0 no aplicabilidad, yno afectara 0 anulara las restantes disposiciones del presente.Ninguna renuncia de ningun derecho del ALA surtira efecto, a

menos que se haga mediante un escrito firmado por unrepresentante autorizado de la parte renunciante.

11.2 Notices. All notices to a party will be in writing andwill be deemed effective upon confirmed receipt by therecipient's person identified as its primary ALA contact.Notices may be delivered by mail, fax, or courier.

11.3 Law. If the Customer is located in Mexico or

Argentina, this ALA will be governed by the laws of saidcountry. If not, this ALA will be governed by the laws of theState of Utah of the United States and both parties irrevocablysubmit to the exclusive jurisdiction of the Courts of the Stateof Utah in the United States. In all cases, the choice of lawrules forming part of the selected national law are excluded.If either party initiates legal proceedings to enforce a term ofthe ALA, the prevailing party will be entitled to recoverreasonable attorneys' fees. Each party will, at its ownexpense, comply with any applicable law, statute, ordinance,administrative order, rule and regulation.

11.4 Assianment This ALA is binding upon the parties'and their respective successors and assigns. Unlessexpressly permitted herein, neither party may transfer,assign, or delegate any right or obligation set forth in the ALAwithout the prior written consent of the other party. Neitherparty will unreasonably withhold consent for an assignmentto the other party's subsidiary. Either party may, upon priorwritten notice, assign the ALA to the surviving company orother organization in the event of a merger or acquisition.

11.5 Severabilitv / Waiver. If an ALA provision is heldinvalid or unenforceable, the provision will be severed to theextent of such invalidity, or unenforceability, and will not affector impair the remaining provisions hereof. No waiver of anyALA right will be effective unless made in writing signed byan authorized representative of the waiving party.

11.6 Modifications. Except as may be expressly providedfor in the ALA, including Novell's right to revise ALA Prices,the ALA may not be modified except in writing signed byauthorized representativesof each party. In particular, theterms of a purchase order will not modify the ALA unless theparties agree otherwise in writing.

11.7 Entire Aareement. The ALA is the entire agreementand understanding between the parties as to its subjectmatter. The ALA supersedes all other prior andcontemporaneous agreements and statements on thesesubjects. Each party warrants that in entering into this ALA, ithas not relied upon or been induced by any representation orstatement not expressly set forth in this ALA.

4. Responsabilidades del Intermediario. EI Intermediarioasia autorizado para prestar log siguientes servicios.

4.1 Administraci6n de Hoias de Trabaio v Pedidos. Cuando elCliente suscribe el ALA, ellntermediario debe enviar a Novelluna copia de la Hoja de Trabajo de CuotasAnuales del ALA y


de la orden de compra del Cliente, conjuntamente con la ordende compra correspondiente dellntermediario.

Con la recepci6n de 6rdenes de compra posteriores delCliente,ellntermediario enviara inmediatamente a Novell unacopia de la Hoja de Trabajo de Cuotas Anuales del ALAoriginal del Cliente y la orden de compra correspondiente delIntermediario.

4.2 Reqistros. Durante la vigencia del ALA y durante unperiodo de des anos posterior al vencimiento 0 extinci6n delmismo, el Intermediario lIevara registros suficientes parafundamentar lag 6rdenes de compra enviadas a Novell envirtud del articulo 4.1 anterior, y la cantidad total de capias deObras Autorizadas del Cliente. Durante este periodode trampe,con el envio de una notificaci6n razonable, Novell (0 surepresentante designado) estara facultado para inspeccionarlog registros e instalaciones del Intermediario durante elhorariocomercial normal para verificarel cumplimiento del ALAy del Presente .

4.3 Paqos a Novell. Con la recepci6n de la orden de compradel Intermediario, Novell emitira una factura para elIntermediario. Las condiciones de page son treinta (30) dragnates de la fecha de la factura. EI interes a cobrar per todosaldo adeudado sera el que resulte menordeI1.5% mensual0 el mayor indica permitido per la ley. Los pages saranadeudados y pagaderos independientemente de que elIntermediario haya cobrado efectivamente log montes

adeudados par el Cliente. No habra descuentos per pages peranticipado. EI Intermediario debe enviar inmediatamente a

Novell todo page de toda orden de compra pagada peranticipado per el Cliente. Cuando la cuenta dellntermediario

tenga 15 drag demora, Novell podra calificar toda cuenta delIntermediario en virtud de todo oontrato con Novell como"Cuenta Suspendida", con vigencia inmediata.

4.4 Condici6n de Cuenta SusDendida. Cuando Novell asigneallntermediario la condici6n de "Cuenta Suspendida", Novell10 comunicara al Intermediario y al Cliente. Ellntermediario yNovell trabajaran en conjunto y de buena fe para resolver lacondici6n de "Cuenta Suspendida". Cuando la condici6n de"Cuenta Suspendida" dellntermediario se mantenga durantemas de treinta (30) drag, el Cliente notificara a Novell parescrito al trigesimodia si el Cliente desea realizer negocios envirtud del ALA directamente con Novell 0 si el Cliente desea

designar otro Intermediario. Cuando el Cliente no notifique aNovell conformese requiere en el Presente, Novell puede,a sudiscreci6n, optar par realizar negocios directamente con elCliente. Cuando la condici6n de "Cuenta Suspendida" delIntermediario continue durante mas de treinta (30) dies, Novellpuede extinguir el Presente .

5 Vigencia/Extinci6n.EI Presente entrara en vigencia en lafechade su suscripci6n per parte del representante autorizadode Novell, y vencera con la extinci6n del ALA per cualquiermotivo. Cualquiera de lag partes tambien puede extinguir elPresente en cualquier memento mediante notificaci6n per


escrito con treinta (30) dfas de anticipaci6n alas restantespartes. Dentro de los treinta (30) dias posteriores alvencimiento 0 extinci6n del Presente, el Intermediario debepagar todos los mantas adeudados a Novell en virtud delPresente y debe devolver todo Software Maestro a Novell ypermitir una inspecci6n final par parte de Novell. La extinci6ndel Presente no perjudicara la aplicaci6n de toda obligaci6npendiente de cualquiera de las partes existente en el momentade la extinci6n.

6 Seleccion de un nuevo Intermediario. EI Cliente y Novelldeben acordar par escrito todo cambia con respecto alIntermediario. Dichos cambios saran efectivos treinta (30) dfasdespues de su notificaci6n al Intermediario par parte delCliente y de Novell.

7 Modificaciones. EI Presente no puede ser modificadoexcepto par un escrito suscrito par los representantesa utorizados de Gada parte. Novell se reserve todos losderechos con respecto alas Obras Autorizadas de Novell queno estan otorgados de manera expresa en el ALA y en elPresente .

8 ContinuidadExcepto que semodifiquen ycomplementenexpresamente en el Presente , las condiciones del ALAseguiran vigentes sin cambia alguno.

9 Firmas. EI Cliente, ellntermediario yNovell han suscrito elPresente mediante sus representantes autorizados, convigencia a partirde la fecha en que el Presente es suscrito parun representante de Novell.

ALA Fulfillment Agent Addendum

Upon its execution below, this ALAFulfillmentAgentAddendumwill become legally binding upon Customer, the FulfillmentAgentidentified below ("Fulfillment Agent"), and Novell, each ofwhom accept the terms of this Addendum and the AcademicLicenseAgreement("ALA") of which this Addendum is made apart. By signing below, Customer agrees to provide FulfillmentAgent a copy of the ALA, and Fulfillment Agent agrees to bebound by the terms of the ALA, including its confidentialityprovisions.

1 Definitions. Terms with the initial letter capitalized willhave the same meaning as defined in the ALA unlessotherwise defined in this Addendum.

2 Selecting a Fulfillment Agent. During the term of the ALA,Customer may select a Fulfillment Agent that has been pre-qualified by Novell to act as a fulfillment and collection agentunder the ALA. The Fulfillment Agent will accept and fulfill allCustomer orders and collect all payments and reports thatCustomer must submit under the terms of the ALA.

4 Fulfillment Agent's Responsibilities. FulfillmentAgent isauthorized to perform the following services.

4.1 Worksheet and Order Manaaement At the time Customer

signs the ALA, Fulfillment Agent must submit to Novell a copyof Customer's ALA Annual Fee Worksheetand purchase orderaccompanied by Fulfillment Agent's corresponding purchaseorder. Upon receiving subsequent Customer orders, Fulfillment

Agent will immediately submit to Novell a copy of theCustomer's original ALA Annual Fee Worksheet and theFulfillment Agent's corresponding purchase order.

4.2 Record KeeDina. During the ALA and for a period of 2years after the expiration or termination thereof, FulfillmentAgentwill maintain records sufficient to substantiate purchaseorders submitted to Novell under Section 4.1 above, and the

total number of Customer's copies of Licensed Works. Uponreasonable written notice, Novell (or its designee) will have therightto audit Fulfillment Agent's records and inspect FulfillmentAgent's facilities during normal business hours to verifycompliance with the ALA and this Addendum.

4.3 Pavments to Novell. Novell will issue an invoice to

Fulfillment Agent upon receipt of Fulfillment Agent's purchaseorder. Payment terms are net thirty (30) days from the date ofinvoice. Interest will accrue on all past due balances at thelesser of 1.5% per month or the highest rate allowed by law.Payments will be due and owing regardless of whetherFulfillment Agent has successfully collected amounts owedfrom Customer. There will be no prepay discounts. FulfillmentAgent must immediately submit payment to Novell on anyorders prepaid by Customer. In the event Fulfillment Agent'sAccount is 15 days past due, Novell may place all of FulfillmentAgent's Accounts under any Novell contract on "Account Hold",effective immediately.

4.4 Account Hold Status. If Novell places Fulfillment Agent on"Account Hold" status, Novell will notify the Fulfillment Agentand the Customer. Fulfillment Agent and Novell will worktogether in good faith to resolve the "Account Hold" status. IfFulfillment Agent remains on "Account Hold" status for morethan thirty(30) days,Customer will notify Novell in writing bythe30thdaywhetherCustomerwishes to conductbusiness underthe ALAdirectly with Novell or whether Customer wishes todesignate another FulfilimentAgent.lfCustomer does not notifyNovellas required herein, Novell may, in its discretion, chooseto conduct business directlywith Customer. IfFulfillment Agentremains on "AccountHold" status for more than thirty(30) days,Novell may terminate this Addendum.

5 TermlTermination. This Addendum will become effective

on the date it is executed bya Novell authorized signatory, andwill expire on termination of the ALA for any reason. Any partymay also terminate this Addendum at any time upon 30 daysprior written notice to the other parties. Within 30 days afterexpiration or termination hereof, Fulfillment Agent must pay allamounts due to Novell under this Addendum and must returnall Master Software to Novell and provide Novell with a finalaudit. Termination of this Addendum will not prejudice theenforcement of any undischarged obligation of any partyexisting at the time of termination.

6 Selection of NewFulfillmentAgent. Customer and Novellmust agree in writing to any change in the Fulfillment Agent.Such changes will take effect 30 days after notice is given byCustomer and Novell to the Fulfillment Agent.

7 Modifications. This Addendum maynotbe modified exceptin writing signed by authorized representatives of each party.Novell reserves all rights with respect to Novell's LicensedWorks not expressly granted in the ALA and this Addendum.

8 Continuance. Except as expressly amended andsupplemented by this Addendum, the ALAterms remain Ineffect unchanged.
