Department Homepage: School of Business Administration Course Description: Business Law II is a continuation of Business Law I (BUL 2241) which reflects current thinking and recent changes in the law, and examines the Uniform Commercial Code (UCC), sales and secured transactions, creditor’s rights, agency and business organizations. Student Learning Outcomes (SLO): At the completion of this course, the successful student should be able to do the following:

1) Define and explain a variety of terms associated with business organizations, secured transactions, bankruptcy and negotiable instruments. (Exam 2 (secured transactions), Exam 3 (business organizations), Exam 5 (bankruptcy)

2) Evaluate advantages and disadvantages of the various types of business organizations. (Corporation assignment)

3) Analyze the nature of the agency relationship, including rights, duties and liabilities of parties. (Discussion 2)

4) Differentiate between warranty and product liability in business. (Discussion 1) Minimum Technical Requirements: You will also need Internet access at least three days a week. If you don’t have high speed Internet access, the College has computers with this capability. Students enrolled in this course must be able to:

• Use all required features of Falcon Online such as discussion boards and the ‘Assignments’ • Send and receive attachments by e-mail • Create and submit files using Microsoft Word processing programs

Computer skills required are a general knowledge of word processing and ability to attach and upload documents. Daytona State College provides distance education technology that allows students to participate in educational programs that would traditionally be unavailable to non-traditional students. However, due to the nature of distance education, each student must accept a higher level of responsibility for his/her participation and behavior in order for the program to be successful. Class Format: This class will be completely online. Please approach this course with an open mind. I hope you enjoy taking a class online. The class is not any easier than taking Business Law I in a traditional classroom, but in addition to saving gas, you can do this class at any time you want, even at 3:00 AM when you cannot sleep. Course Policies

Disclaimer: Teaching policies and regulations for this course are not open for discussion or negotiation. This syllabus has been constructed to be as complete as possible but is by no means a binding document. I reserve the right to alter policies, procedures, and the syllabus as needed. Please utilize the website regularly as any changes to the syllabus will be posted there in “The Announcements.” How to Proceed Through this Course and be Successful in Business Law II: 1. Log in to this course. The first page you land on will be the ‘Course Homepage.’ Read the ‘Announcements’ on the ‘Course Homepage.’ Follow the directions there. These directions include READING this SYLLABUS, and watching the ‘Welcome Video.’ Print and Read this Syllabus and put it in a three ring binder (portfolio) right by your computer. This syllabus has ALL of the important deadlines for exams and assignments. 2. Click on the ‘Content’ tab, and after reading the ‘Course Overview,’ click on “Start Here Introductory Materials.” . Proceed through the online portion of this class chapter-by-chapter. Everything in the online course is accessed through the ‘Content’ tab (Table of Contents) in the Content section of the online course.

Contents of chapters may include: • PowerPoints for every chapter • Videos dealing with the content of that chapter • *Supplementary and sample materials to help with information covered in that chapter • Links to any assignment, project or discussion that must be completed for that chapter • Links to the quiz or exam for that chapter.

3. Get organized - please get an ‘old fashioned’ three ring binder (portfolio) for this class and take your own notes on each chapter, print your notes, PowerPoints, sample and supplementary materials and then put them in the portfolio organized by chapter or chapter title. This will make it easier to study for the quizzes and exams. 4. Read the Textbook before attempting the quizzes and exams. Use a highlighter and highlight important material in the book. Please read the book (either the E-Text or custom text or the full-version of the textbook.) You will not be able to be successful in this course without READING the book. 5. Take the Quizzes and the Exams by the HIGHLY SUGGESTED due dates. There are fifteen (15) quizzes – one for each chapter. Each 30 minute quiz has 10 multiple choice or true/false questions. You will have UNLIMITED ATTEMPTS at the quizzes. Only your highest quiz score will be counted into your grade. Each quiz is worth 10 points for a total of 150 points. Please take these ‘Randomized’ quizzes over and over for practice. The more you take the quizzes the more familiar you will become with the material and the better you will do on the exam. The quizzes can be accessed through the ‘Chapter Content’ or from the ‘Quizzes’ tab. There are five (5) exams for this class. Each 120 minute exam has 50 multiple choice and/or true/false questions. You will have ONLY ONE ATTEMPT at the exams. 6. Participate in Discussions: You will find the information on “How I Grade the Discussions in Business Law II” in this syllabus, in the Content section of the course and explained specifically in each discussion question. Discussions will only be open for a specific period, and must be posted by 11:59 PM on or before the due date to receive any credit. 7. View the PowerPoint Slides for the Chapter as well. There are PowerPoint slides for each chapter and they are a very good summary of the important points of the chapter. You may also want to print off the PowerPoint slides and insert them in your portfolio. If you get an ERROR message when trying to open the PowerPoint slides, remember to SAVE them first, and then after you save them you will able to OPEN them. If you still have trouble opening the PowerPoint slides, please see the “FAQ’s” in under the “Content” tab or call the Online Helpdesk at (386) 506-3950. It is very important however that you do not rely only on the PowerPoint slides to get information from the chapter. YOU MUST READ THE BOOK! Communication: Interaction: Because this is a completely online course, the interaction in this class takes place online. When you sign into the online classroom, check the class ‘Announcements’ on the Course Home Page (the front page.) Being honest and expressing your position thoroughly is very important, but being considerate of others online is just as important as in the classroom. Make every effort to be clear. Online communication lacks the nonverbal cues that fill in much of the meaning in face-to-face communication. Do not use ALL CAPS. This is considered “shouting” and the message is very hard to read. Check spelling, grammar, and punctuation (you may want to compose in word processing software then cut and paste the message into the discussion or e-mail). Use language that is correct and appropriate in anything you write. You are always expected to check spelling, use correct punctuation, and properly cite your sources. Your exams will be open from the day the class begins until 11:59 PM on TUESDAY, January 16, 2018. Keep in mind, once you start the graded exam you must take it then and you will have 120 minutes to complete the exam. You will not be able to save it and return at another time. Banking and Bankruptcy Assignments: NOTE: Full instructions on the Banking and the Bankruptcy Assignments, including the grading criteria, are in the “Content” section of course in the corresponding chapters and under the ‘Assignment’ tab in the Table of Contents for the course. Discussions: There will be two Graded Class Discussions worth a total of 100 points each. Once a discussion closes, it cannot be reopened for any reason. It is as if you missed that class. Your graded class discussions will consist of two parts: Part 1 and Part 2:

PART 1 of the discussion, you will present your research on the topic. Each student will submit ONE ORIGINAL POST presenting his research and conclusion on the topic. This post will include citations for all research.

Citations should include live links to information gathered from online sources. This part of your discussion can earn up to 50 points. ORIGINAL POSTS WILL NOT BE ACCEPTED BEFORE OR AFTER PART 1 OF THE DISCUSSION.

PART 2 of your graded group discussion will involve replying to TWO (2) other students’ posts. You will “reply” during PART 2 of the discussion. Your replies should show reflection on the original post AND provide further research on the topic. Your replies should include live links to information gathered from online sources. This part of your discussion can earn up to 25 points for each reply (50 total possible points). REPLIES WILL NOT BE ACCEPTED BEFORE OR AFTER PART 2 OF THE DISCUSSION. The ‘Graded Group Discussion’ Boards are locked so you will only be able to post during the time period allotted. Grading Criteria for Group Discussions: Part 1 - Your posts will be graded for accuracy, professionalism, and timeliness. Proper grammar, punctuation and spelling must also be used in order to receive full credit. Five (5) points are allocated for grammar, punctuation and spelling. The discussions boards are locked so you will only be able to post during the time period allotted. Your original post can earn up to 50 points:

• Posts earning 40 – 50 points: will include research from TWO OR MORE SOURCES. Each source must have a citation or live link.

• Posts earning 30 – 39 points: posts with only one source. • Posts earning between 0 – 29 points: unprofessional, inaccurate or incorrectly cited posts.

Part 2 – Replies to TWO (2) other posts will be graded for staying on topic, adding new information, professionalism, and timeliness. Your two (2) replies can earn up to 50 points (25 points each).

• Posts earning 20 – 25 points: will include research from ONE OR MORE SOURCES. • Posts earning between 0 – 19 points: unprofessional, inaccurate or incorrectly cited posts.

You must be online often during the graded group discussion. Please do not wait until the last few days to read posts. The purpose of a group discussion is to build upon posts with more information and learn from other students. Please Only Post Three Times for Each Graded Discussion. Your posts should be well- researched and add value to the discussions. They should draw information from multiple sources and these sources must be cited.

Incomplete (I) Grades: An incomplete grade will NOT be given UNLESS the following criteria are met: A request in writing is submitted to the instructor prior to last three weeks of class, All assignments (quizzes and exams) were completed at that point in time, The student has a grade of C or higher at that point in time. The incomplete work must be made up before the middle of the next major semester. “I” grades automatically convert to “F” grades if the make-up requirements are not met and the appropriate grade change is not submitted by the deadline as published in the College Catalog.

Class Withdrawal Process: Although it is not necessary to have approval from the instructor to withdraw from the course, you should discuss the situation with the instructor. Many times the issue can be resolved with communication. Please review Refund/Repayment Policy and also check with the Office of Financial Aid to determine how this withdrawal might affect your current and future aid eligibility.
