Through our efforts, we can encourage and inspire success in our work and our communities. As we transform our business in this digital economy, we can do so with sustainability in mind.

As employee owners, we make decisions with a long-term view in mind. We have a unique and personal responsibility:

• To each other and to the company.

• To our customers looking for more sustainable solutions.

• To our communities where we live and work.

Holding ourselves accountable for delivering results in these three areas is something Graybar takes seriously – whether we are working with our customers and suppliers to innovate a new solution, or providing an atmosphere for our employ-ees to learn, grow and prosper.

By aligning our corporate social responsibility efforts, our core values and our focus on digital innovation, we can create a better future for our company, our communities and our planet.

Given increased pressures on natural resources and the need to protect the environment, Graybar will continue to provide valuable solutions to our customers by offering sustainable products that will help create smart buildings and even smarter cities.

We also want to have a positive impact locally – making con-nections in every city where we have employees and facilities – and giving back in meaningful ways based on local needs. Ultimately, we strive to make Graybar a place where people want to work, a company people want to do business with and a corporate citizen that helps our communities thrive.

And while these efforts are not new for Graybar, we’re pleased to bring everything we’ve been doing together in this summary. We hope this information helps you understand how corporate responsibility and sustainability fit into our company priorities and our day-to-day life at Graybar.

to sustainability is an expression of our company’s core values, particularly our long-term view. We believe long-term success is more important than short-term gains; this belief influences all aspects of our business. We strive to keep our company strong and healthy for future generations. In doing so, we look for ways to make the world a better place.

Because we are an employee-owned company, every effort must support the financial health of the business. Making smart financial decisions is part of our commitment as employee owners and positions us as a solid company our customers can count on for years to come.

The same attitude toward choosing financially beneficial environmental investments also guides how we help customers prioritize their sustainability goals.

Graybar’s sustainability commitments cover three areas:

• Responsible stewardship of our resources

• Reducing our impact on the environment

• Providing sustainable solutions in the marketplace

A two-tier team spearheads Graybar’s internal sustainability approach.

• The Sustainability Committee, comprised of senior leaders from various departments, evaluates ideas, sets overall policy and directs the deployment of sustainable initiatives companywide.

• Graybar’s Green Team includes a cross-section of employees from various departments and disciplines, including operations, sales, legal, marketing, supply chain management and human resources. The Green Team conducts research, develops sustainable recommendations and shares innovative ideas with the company’s Sustainability Committee. Members of this team take an active role in implementing sustainability programs within the company.

BREAKING NEW GROUND Building new, company-owned locations gives Graybar the opportunity to integrate green practices into our facilities.

Graybar’s location in Tucson, Arizona, was our first facility constructed using the internationally recognized Leadership in Energy and Environmental Design (LEED®) standards, developed by the U.S. Green Building Council. Opened in 2012, the property was awarded LEED gold certification. It showcases many of Graybar’s technologically-advanced, energy-efficient products and solutions, such as:

• A programmable, facility-wide lighting control and task system, which boosts energy efficiency and employee productivity.

• A solar power-generation system, which typically meets 88 percent of the building’s power needs.

• Real-time solar energy production monitors, which track and reroute energy based on need.

• Three electric vehicle charging stations.

Locations like Tucson have provided Graybar with a better understanding of energy-efficient and sustainable construction practices, allowing us to work smarter when constructing future facilities. In 2015, we opened our second LEED-certified facility, located in Pomona, California.

Given Graybar’s roots in science, technology and electricity, it’s not surprising that we have integrated sustainable philosophies into our business practices. We set our sights on long-term goals that make the company stronger and healthier for future generations, instead of chasing short-term gains or passing fads.

In addition to energy-efficient features, like LED lighting and controls, Graybar utilized a number of sustainable design and construction elements:

• The facility was constructed on a Brownfield redevelopment site.

• 22 percent of the total building content by value used recycled materials.

• 95 percent of all construction waste was diverted from a landfill during the course of the project.

• 38 percent of materials were sourced within 500 miles of the project.

In 2018, Graybar registered its new Tampa, Florida, location for LEED-certification. If approved, this will be Graybar’s third LEED-certified building. When building new facilities, like the Tampa location, Graybar continues to demonstrate our commitment to sustainability by using many of the green technologies we distribute to our customers.

Many of our newer facilities, including locations in Fort Lauderdale, Florida, Denver, Colorado and Albany, New York, feature these sustainable products along with green design and construction practices:

• Energy-efficient LED light fixtures throughout the interiors and exteriors

• Individually controlled motion warehouse fixtures

• High-efficiency mechanical systems

• Light harvesting controls

• High-efficiency ENERGY STAR® Appliances

• Daylighting optimization

• Flooring materials made with recycled content

IMPROVING ENERGY EFFICIENCYWhile Graybar has focused on integrating sustainable practices into our new facilities, we have also placed a priority on improving energy-efficiency across our existing locations. To date, we have installed energy-efficient lighting in the majority of our facilities. Combined with other energy-saving initiatives, this has resulted in a 32 percent decrease in energy usage on a per square foot basis as of 2018. In total, Graybar has saved more than $19.25 million dollars and reduced energy consumption by more than 171million kilowatt hours since 2006 across its U.S. locations.

Graybar has also aligned locations with the ENERGY STAR® program, which provides a framework for Graybar to compare the energy efficiency potential of existing properties against similar spaces across the nation. The following locations have earned ENERGY STAR certification:

Completed in 2018, the Graybar Denver Service Center features LED light-ing with daylight harvest-ing, high-efficiency HVLS fans and automatic/low flow fixtures to reduce water consumption.

THE GREEN CHALLENGEGraybar has been a presenting sponsor of the St. Louis Green Business Challenge program, in conjunction with the Missouri Botanical Garden, since 2010. The challenge supports integration of sustainability measures into everyday operational practices common to many businesses. In 2018, the company completed a waste audit at our corporate headquarters as part of the challenge.

Graybar adapted elements of St. Louis Green Business Challenge for our own internal “Graybar Green Challenge.” Through this program, locations earn points for a wide variety of local sustainability initiatives.

Efforts focus on conducting sustainable outreach and education, employee engagement, reducing waste and boosting energy efficiency. In addition, the program establishes expectations to increase recycling efforts, conduct energy assessments, participate in green organizations and more.

DECREASING WASTE Graybar reinforces the role that each employee plays in our sustainability efforts through programs specifically aimed at reducing waste.

• Since implementing a singlestream recycling program at our corporate facilities, approximately 65 percent of our trash is diverted from landfills each year.

• We continue to challenge all our locations to implement waste-reduction programs for their facilities.

• Employees do simple things to reduce waste every day. For example, nearly all Graybar employees have their paychecks deposited electronically, which cuts paper waste and saves employees’ time. It also requires no physical delivery and is more secure.

• Graybar introduced a Print Release program at more than half of our locations. The program requires users to log in to a Print Release-enabled device to print their documents. This reduces the number of documents printed in error, saving paper and toner. Additionally, machines are defaulted to print and copy double-sided, further reducing paper needs.

Data centers consume a considerable amount of energy to operate and keep equipment cool. Graybar’s IT team is always on the lookout for ways to configure our data center to improve airflow and reduce energy consumption. These improvements also enhance equipment performance and reliability.

“We’ve tried to approach sustainability in a way that’s true to who we are. By making ourselves stronger, we can better help others, and drive change on a broader scale.”

BUILDING A BRIGHTER FUTURE FOR CUSTOMERS Given Graybar’s internal initiatives — and extensive energy-efficient solutions — our company is uniquely positioned to provide customers with effective ways to reduce their costs and increase the long-term sustainability of their facilities.

We work to our customer’s advantage, saving energy, time and money for companies operating existing facilities, such as health care, retail, office and hospitality spaces. Through our Lighting Follows PurposeSM program, Graybar’s lighting specialists can assess customers’ lighting and deliver LED solutions that can help save money, improve the efficiency of lighting and improve employee productivity and engagement. LED has the greatest potential impact on energy savings and can significantly reduce energy consumption.

Many of Graybar’s service solutions help our customers increase efficiency on the jobsite as well as reduce their impact on the environment. When we deliver the right amount of products our customers need, when they need it, we reduce the amount of unused materials on the jobsite, eliminating unnecessary waste.

IMPROVING DISTRIBUTIONSince we deliver products to thousands of customers across North America, we are always looking for ways to improve the way we pick, pack, ship and deliver products. Graybar continuously looks at the way we source and inventory products to deliver an exceptional customer experience as well as optimize efficiency. We strive to be good stewards of the supply chain as we optimize our processes for ourselves, our customers and the environment.

Graybar uses an integrated distribution and package tracking software, which helps drivers map out more efficient distribution routes and also improves on-time delivery. Reducing mileage and engine idling time can lower emissions and fuel consumption.

Graybar continually integrates more fuel-efficient vehicles into its sales fleet as they become available. This helps us save fuel and reduce our impact on the environment.

Supply Chain Waste Walks

Since starting our Continuous Improvement program more than a decade ago, we have seen how internally-focused continuous improvement projects have resulted in improved processes and increased productivity. Graybar is pleased to offer our experience in improving efficiencies to our customers through Supply Chain Waste Walks. Supply Chain Waste Walks are designed to identify opportunities to reduce waste in a company’s processes and procedures. Graybar can help customers address a variety of areas including how a customer interfaces with Graybar, warehouse receiving, inventory management and shipping processes. Supply Chain Waste Walks can also reveal areas to reduce paper waste, uncover recycling opportunities and improve energy efficiencies.

– JEFF NETHERTON VICE PRESIDENT, LOGISTICS AND OPERATIONS

Cardboard from product packaging makes up a significant portion of waste generated on the jobsite. Graybar can remove product packaging in our warehouses and recycle it via certified recyclers. Delivering material to the jobsite in reusable containers also avoids the use of additional cardboard.

Building a Brighter Future Where We Live and Work

Businesses thrive in vibrant and healthy communities. That’s why at Graybar, we strive to do our part to strengthen neighboring areas through meaning-ful charitable contributions and volunteerism. We align our philanthropic efforts with the interests of our employees, customers and suppliers, as well as the needs of people near our districts and branches.

Giving back is one of the ways we demonstrate our values as a company. It takes many forms, such as serving our neighbors and supporting one another, both during good times and times of hardship. Through our foundation and corporate giving programs, we actively contribute to hundreds of charities and non-profits nationwide.

“We’re a local business and most of our community engagement takes place at a local level,” said Beverly Propst, Senior Vice President, Human Resources. “We prefer to support organizations where our employees are already involved.”

Supporting education has always been a priority at Graybar, since it helps us build a better workforce for tomorrow and aligns with our own internal training programs.

Throughout any year, our employees work to support countless charities in their respective communities. From bake sales to toy drives and everything in between, Graybar employees take pride in making a difference.

In 2019, Graybar pledged to donate 90,000 hours of volunteer service in honor of our company’s 90 years of employee ownership. In addition, to celebrate Graybar turning 150 years old, a new matching program for employee charitable donations was introduced, with a goal of reaching $1.5 million in charitable giving in 2019.

We recognize these acts of goodwill and share stories of our community endeavors in the Outlook, which has been our quarterly, employee magazine since 1936.

TAKING CARE OF OUR OWNAs an employee-owned company, we also believe it’s important to support our fellow Graybar employees in times of unexpected hardship.

The Graybar Family Foundation (GFF) is an independently run, nonprofit organization that provides confidential, immediate support to Graybar employees who have a sudden need for reasons beyond their control, such as damage from a natural disaster or a medical emergency.

Many employees and retirees choose to make donations to the GFF in honor of special occasions, in memory of family members or simply to support the mission of the organization. Customers and suppliers are also encouraged to donate.

In the spring of 2018, Graybar’s locations and employees were challenged to a fundraising competition that raised more than $176,000 for GFF. These efforts speak volumes about our culture and the teamwork across the company to help each other in times of need.

Honolulu employees, family members, vendors, reps and customers donated a whopping 7,526 pounds of food to benefit the Hawaii Foodbank.

In 2019, Graybar San Diego, along with their family and friends, participated in a beach cleanup with the Surfrider Foundation at Moonlight Beach. During the cleanup the group was amazed at how much Styrofoam they were finding. Styrofoam is non-biodegradable and is causing great risk to sea life and the eco-structure. As a result, the branch has decided to replace all Styrofoam products with paper and other reusable or recyclable items.

Boston District Employees spent the day building a home in Lowell, Massachusetts through Habitat for Humanity.

The team worked on interior sheet rocking for a duplex in the Acre Neighborhood of Lowell. Although a few team members had never worked with sheet rock before, they made progress towards finishing a home for two amazing and deserving families.

The Glendale Heights Branch held an annual blood drive with Heartland Blood Centers. For the 2018 drive, 25 people donated blood with four of them giving double red cell donations.

The Minneapolis Chapter of Women Influencing Graybar’s Success (WINGS) teamed up with the Dunwoody student chapter of the National Electrical Contractors Association (NECA) to help the Harriet Tubman Center in Minneapolis. The Tubman Center is a crisis shelter and counseling center that serves families in the Twin Cities area. Graybar employees worked with the students to paint four children’s playrooms and also held a diaper drive for the center.

The Kansas City Branch participated in the 2019 American Heart Association’s Heart Walk. The branch exceeded its donation goal of $10,000.

Stafford Zone employees in Dallas hosted a coat drive in which employees collected more than 120 new and used coats for donation to Coats of Compassion. The coats were distributed to the homeless in downtown Houston.

In the month leading up to the 2018 spring National Training Conference, Graybar districts were challenged to a friendly fundraising competition. Districts chose a specific charity and asked branches, suppliers and customers to support the cause. Several worthy charities were selected, including the Graybar Family Foundation. Altogether, the fundraiser brought in $190,460.

Corporate employees and their families have participated in the Walk for Wishes® – a nationwide Make-A-Wish® fundraiser for more than ten years now. In 2019, Team Graybar raised more than $6,400.

Employee ownership is an exclusive privilege available only to eligible Graybar employees and retirees. Each year, eligible employees can choose to purchase Graybar stock. The share price of Graybar stock has not fluctuated.

We’re compelled to be accountable and take responsibility for our results, because as employee owners, we all benefit when the company does well. For this reason, Graybar’s employees serve as the key ingredient to the company’s long-term success.

To help our employees understand how they can make a difference, we strive to communicate openly and transparently about the state of our business. We stay connected through all-employee web conferences, monthly branch meetings, an employee web portal and employee surveys. Through these channels, we discuss our goals, achievements and challenges, and collaborate on how we can meet the changing needs of our customers with innovative services and solutions.

By holding ourselves and each other accountable, and maintaining a workplace that strives for financial and personal success for employees, we create an environment in which we can better serve our customers.

THE GRAYBAR ADVANTAGEWe want Graybar to be recognized as a great place to work. In fact, Graybar is consistently recognized as a top workplace year after year. To continue achieving that goal means serving as a profitable, progressive business that provides employees with long-term career growth and financial opportunities to achieve a high quality of life – both while working and into retirement.

We do this by offering benefit programs and an employee stock purchase plan that helps employees plan well, invest well and live well.

A Foundation of Ownership

As one of the largest employee-owned companies in North America, Graybar has a distinct perspective on financial stewardship and how we do business. We’re proud to be employee-owned for more than 90 years and we place great value on our employee owners. But for us, employee ownership is about more than owning stock.

Thanks to our ownership culture and career development programs, Graybar’s retention rate is well above the wholesale distribution industry. In fact,49 percent of our employees have more than 10 years with the company.

Page 13: CORPORATE SOCIAL RESPONSIBILITY - Graybar · By aligning our corporate social responsibility efforts, our core values and our focus on digital innovation, we can create a better future

Graybar also provides employees with a profit sharing and savings plan, into which the company has contributed an average of 11 percent of employees’ salaries since 1956. Employees are not required to make contributions to the plan, and they can choose from several investment funds. This plan gives employees a way to share in the success of the company and save for retirement.

GROWING WITH GRAYBARTo support long-term career growth, Graybar has an extensive track record of hiring talented employees, investing in industry-leading employee development programs and providing opportunities for employees to explore new and challenging roles throughout the company. We have earned positive recognition for our efforts to recruit military veterans and college graduates.

Graybar provides employees with training that equips them to succeed in their jobs today, while preparing them for the future. Each employee is required to complete a core curriculum for their current role, while having access to a large library of courses from which they can expand their knowledge.

Graybar Pathways – the company’s talent management system – helps employees track their progress along with their development and performance goals. In 2018, our employees completed more than 104,000 training courses and more than 90,000 continuing education credits on topics ranging from products and technology to company procedures and professional skills.

When Graybar employees purchased the company from Western Electric in 1929, we made history as one of the first large, employee-owned corporations in the U.S. Although our business has evolved immensely over the years, Graybar remains rooted in timeless core values that shape everyday life at the company.

The Employee Ownership Story

When Graybar employees purchased the company from Western Electric in 1929, we made history as one of the first large, employee-owned corporations in the U.S. In fact, it was front-page news when Western Electric’s President, Edgar Bloom, made the announcement on Nov. 5, 1928.

On Jan. 1, 1929, Graybar became an independent corporation. It was capitalized at $9 million — $3 million raised by the sale of stock to Graybar employees, and $6 million in non-voting preferred stock held by Western Electric. The stock held by Western was, in effect, a loan. Graybar would pay back the loan out of earnings by buying back or redeeming the shares held by Western. (The final payment was made in 1941.)

The “noble experiment” in employee ownership has succeeded splendidly. To this day, we remain true to the principles established 90 years ago. Graybar stock has paid its shareholders, who are exclusively Graybar employees and retirees, a dividend every quarter. And the rest, as they say, is history.

In addition to online opportunities, Graybar holds two national training conferences each year, along with other sales and management training meetings. When the bi-annual conferences started in 1993, they were a first for the industry.

Every year, Graybar hosts two National Training Conferences, which serve as a great tool to connect our employees with the best suppliers in the industry and provide ongoing sales training. Additionally, 2018 marked Graybar’s fifth year since launching the Accelerated Sales Development Program, the sixth year since rolling out our leadership trainee program and the seventh year since beginning our internship program.

Taking training to the next level, Graybar worked with Rutgers, the State University of New Jersey, to develop a unique leadership development program in 2004. The Graybar Digital Supply Chain Leadership Program is an ongoing program during which

high-potential employees are exposed to executive development and succession training. In 2017, we opened the Graybar Innovation Lab at the University of Illinois to help power new ideas and transform the way we work and serve our customers.

Because we know recognizing employees’ achievements is also vital to effectiveness and retention, we acknowledge employees in a variety of ways. We celebrate employees’ milestone anniversaries through our service awards program, and our Cause for Applause program gives employees and managers a platform for recognizing outstanding performance.

“Although our business is constantly changing, we remain rooted in our core values that have guided our business for decades,” said Kathleen Mazzarella, Chairman, President and CEO of Graybar. “We will continue to revolutionize the distribution industry while maintaining our identity as an employee-owned entity that is dedicated to protecting the communities with which we do business.”
