a. To prepare and file almost all the e-Forms online under the Companies Act,

1956 with the Registrar of Companies on ehalf of !arious client

Companies and getting all the forms filed appro!ed from the RoC.

. To independentl" handle the incorporation of a new Compan".

c. To ma#e online inspection on the $CA portal on ehalf of !arious client

companies and to prepare the search report on the asis of the records

found therefrom.

d. To appl" for pro!isional %irector &dentification 'umer (%&') and getting the

same appro!ed from the %&' Cell, $inistr" of Corporate Affairs

including preparing %&' * and filing %&' + of the %irectors of !arious

client Companies on the $CA portal.

e. To otain the %igital ignatures from the !arious authorities on ehalf of the

!arious client Companies.

f. To assist the seniors in respect of the matters relating to the amalgamation

merger, appro!al of the Central o!ernment, appro!al of the /on0le

Compan" aw 2oard etc.

g. To independentl" handle the assignment related to the shifting of the

registered office within the local limits of the state and from one state to

another.

h. To independentl" handle the capital in3unction !i4. increase in the authori4ed

share capital, allotment of shares to oth resident and non-resident.



i. To independentl" handle the documentation for ma#ing an application to the

RC see#ing etension in holding the Annual eneral $eeting " a

further period of three months.

3. To prepare minutes of 2oard $eeting, 7tra-ordinar" eneral $eeting and

Annual eneral $eeting of !arious Companies.

#. To assist the seniors acting as the crutini4er appointed " the /on0le

Compan" aw 2oard.

l. To assist the seniors on the matters of ppression and $is-management under

section +98, +9 and :;* of the Companies Act, 1956.

m. To assist the seniors in the documentation of filing the application efore the

Compan" aw 2oard under section 1:1 of the Companies Act, 1956 for

condonation of dela" in filing the charge with the RC within the

stipulated period.

n. To assist the seniors in otaining the appro!al of Central o!ernment under

section 19, *69, +;9 and +1; read with chedule <&&& of the Companies

Act, 1956 regarding the managerial remuneration.

o. To assist the seniors in otaining the appro!al of Central o!ernment under

section *59 of the Companies Act, 1956 regarding the increase in the

numer of directors e"ond the statutor" limit of 1*.

p. To assist the seniors in respect of the matters in relation to preparation of

application, documents and forms to e sumitted to the Central

o!ernment as ma" e re=uired for see#ing Central o!ernment appro!al

for appointment of as $anaging %irector u>s +16 of the Companies Act,

1956.



=. To prepare the documents in relation to transfer of shares.

r. To assist the seniors in respect of the matters in relation to preparation of

application, documents and forms to e sumitted to the Central

o!ernment as ma" e re=uired for see#ing Central o!ernment appro!al

for protection of eisting remuneration of $anaging %irector u>s +1; of

the Companies Act, 1956.

s. To conduct inspection and preparation of search reports of !arious companies.

t. To file !arious documents and form as re=uired for annual compliance of a

foreign compan" ha!ing ranch office in &ndia.

2. Under FEMA

a. To draft the ?art A of Form FC ?R in consultation with the seniors for the

purpose of in!estment " the 'on-Residents of &ndia in &ndian Companies

and file the same with the R2& under the F7$A, 1999 and the !arious

Rules and Regulations made thereunder including Annual Report in ?art-

2 of FC-?R with the R2&.

c. To draft the Form FC TR in consultation with the seniors for the purpose of

transfer of shares " the Resident hareholder to the 'on-resident

hareholders in &ndian Companies and file the same with the R2& under

the F7$A, 1999 and the !arious Rules and Regulations made thereunder.

d. To appl" for the Foreign &nward Remittance Certificate (F&RC) to the 2an#s

and finall" otain the same.

3. Exim Policy



a. To sumit the application to the Foreign &n!estment ?romotion 2oard

(F&?2) for otaining the &ndustrial icence on ehalf of !arious client

Companies.

. To assist the seniors in otaining the appro!al of the Foreign &n!estment

?romotion 2oard (F&?2).

c. To appl" to the %FT for correction in &7C Code.

4. Under Income Tax

a. To appl" for otaining ?ermanent Account 'umer (?A') on ehalf of

!arious clients and appl" to the &ncome Ta %epartment and finall" otain

the same including the follow up and co-ordination with the &ncome Ta

%epartment.

. To appl" for otaining the Ta %educted at ource 'umer (TA') on ehalf

of !arious clients and appl" to the &ncome Ta %epartment including the

follow up and co-ordination with the &ncome Ta %epartment.

c. To file the ser!ice ta return, and deposit the T% to the 2an#s.
