TENDER FORM FOR APPOINTMENT OF AGENCY FOR UNDERTAKING ISO

9001:2015 RE-CERTIFICATION/ CERTIFICATION WORK OF VARIOUS TERMINALS /

(i) The Tender Form is not transferable under any circumstances.

(ii) The Tender documents are required to be submitted intact in a sealed cover without tampering with any of the folios thereof i.e., none of the folios of the Tender Document including all the Annexures should be detached and retained by the intending Tenderer.

All folios shall be submitted in the manner required duly fulfilling all the conditions mentioned therein.

(iii) Each folio of Tender Documents shall be signed by the intending Tenderer or such

person on his behalf as legally authorized to sign for and on his behalf and embossed

with official seal at the time of submission.

(iv) Failure to comply with conditions will render the Tender liable to be rejected.

(v) Sealed tender forms complete in all respects shall be submitted in a sealed box kept for

this purpose at the office of the Group General Manager (International Marketing), Corporate Office, Container Corporation of India Limited, CONCOR Bhawan, C-3, Mathura Road, Opp. Apollo Hospital, New Delhi – 110 076 on or before 15:00 hrs. on

04.08.2016. Any tender delivered or sent otherwise will be at the risk of tenderer.

(vi) The tenders will be opened at CONCOR‟s office, located at the above address at 15:30 hrs. on 04.08.2016. The tenderers or their representative may be present at the time of opening of the tenders, if they so desire. In case the date of opening is declared holiday,

the tender will be received and opened on the next working day at the same time and place.

(vii) Sealed tenders shall be submitted either by registered post with acknowledgement due or

in person. Tenders by Telegram, e-mail or any other form will not be considered. The

Competent Authority of CONCOR reserves the right to extend the date of submission and opening of the tender.

(viii) CONCOR reserves rights to accept / reject any or all the bids in part or in full without

assigning any reason.

(ix) CONCOR also reserves rights to award certification contract to a single or two different

parties in case it does not find one suitable party to do all the work.

(x) Each and every supporting document attached with the tender should be signed by the

intending tenderer and embossed with official seal at the time of submission.

(xi) CONCOR reserves the rights to relax the tender conditions at any stage if considered necessary for the purpose of finalizing the contract in the overall interest of CONCOR.

(xii) CONCOR reserves the rights to re-tender or negotiate with the tenderers as regards the rates, terms and conditions of the tender.

(xiii) Tender Document/sets shall be provided free of cost to Micro & Small enterprises

(MSE‟s) registered with the listed agencies.

(xiv) MSEs registered with the agencies for the item tendered will be exempted from payment

of Earnest Money Deposit (EMD).

(xv) MSEs who are interested in availing themselves of these benefits and preferential treatment, the MSEs will enclose with their offer the proof of their being MSE registered with any of the agencies mentioned in the notification of Ministry of MSME indicated

below along with the bid.

CHAPTER – II

INSTRUCTIONS TO THE TENDERERS

The Container Corporation of India Ltd. (CONCOR) manages and operates container terminals including Inland Container Depots (ICDs), Container Freight Stations (CFSs) and Domestic

Container Terminals (DCTs) at several places in the country. It invites tender from eligible parties for Appointment of Agency for Undertaking ISO 9001:2015 Re-Certification/ Certification

work of Various Terminals/ Offices of CONCOR. Tenderers must read these instructions carefully before filling the tender.

1. Bids are required to be submitted in two separate sealed envelopes. The first sealed envelope should contain all the documents listed below in Para 6. This envelope should be

clearly superscribed as: “Pre-qualification Bid for Tender for Appointment of Agency for Undertaking ISO 9001:2015 Re-Certification/ Certification work of Various

Terminals/Offices of CONCOR”.

2. The second sealed envelope should contain only duly filled & signed “Schedule of Rates”

in format given in Annexure-I. Each page of the “Schedule of Rates” should be signed by authorized person of the company/firm. This envelope should be clearly superscribed as “Financial Bid for Tender for Appointment of Agency for Undertaking ISO 9001:2015

Re-Certification/ Certification work of Various Terminals/Offices of CONCOR”.

3. Both the sealed envelopes should thereafter be sealed in one envelope and superscribed as “Tender Bids: Tender for Appointment of Agency for Undertaking ISO 9001:2015 Re-

Certification/ Certification work of Various Terminals/Offices of CONCOR”. The said

envelope, duly sealed, should be deposited in the sealed box kept for this purpose in the office of the Group General Manager (IM), Corporate Office of Container Corporation of

India Limited, CONCOR Bhawan, C-3, Mathura Road, Opp. Apollo Hospital, New Delhi–110076, on or before 15:00 hrs. on 04.08.2016 or sent by registered post to reach on or before the said date and time at the aforesaid office.

Note: Any tender received after specified date and time of submission of tender shall be

summarily rejected.

4. The bids will be taken out from the sealed box at 15:30 hours, on the same day/date and

venue, in the presence of such tenderers as are present. Bidders may either be present in person or send their duly authorized representative to participate in the tender opening process. If the date of opening of bids is declared a holiday, the bids would be opened on the

next working day at the same place and time.

5. Only the envelope containing the “Pre-Qualification Bids”, will be opened at 15:30 hours on 04.08.2016. The Pre-Qualification Bids so received will be evaluated as per eligibility

criteria laid down in the tender to determine the suitability of all tenderers. The envelopes containing the “Financial Bids” of only those tenderers, who qualify after consideration of

the “Pre-Qualification Bids”, will be opened on a subsequent date and time, to be notified to the qualified tenderers only.

6. “Pre-Qualification Bid” will contain all the following documents except “Schedule of Rates” (Annexure – I):

a) Letter of Submission as per Annexure – III.

b) Crossed Demand Draft of Rs.19,000/- (Rupees Nineteen Thousand only) in favour of „Container Corporation of India Limited‟, payable at New Delhi, towards Earnest Money Deposit (EMD).

c) Experience Certificate as per Para 1.2 of Chapter III & Annexure-V.

d) Tenderer shall submit copies of its accreditation certificates (as per Para 1.1 & 1.3 of Chapter III) along with the annexures on accredited scope sectors, issued by the

accreditation body i.e. NABCB (Scope- Transport & Storage - as per Sl. No. 31 of Annexure-I of the Guidelines for tenders for certification to ISO 9001 and other management systems standards issued by NABCB).

e) Documents indicating ongoing contracts in hand, if any.

f) Documents regarding financial standing of the company/firm signed by Chartered Accountant as per requirement of Chapter III, Para 1.4 & 1.5.

g) Documents regarding constitution of the firm/company.

h) Power of Attorney, if required.

i) Photocopy of the latest Income Tax Return in the name of the bidder.

j) Crossed Demand Draft of Rs.525/- (Five Hundred Twenty Five only) in favour of „Container Corporation of India Limited‟, payable at New Delhi, towards Cost of Tender

Document (In case Tender Document downloaded from CONCOR website).

7. The tender document, comprising all the chapters along with rate quotation as per format

given in Annexure-I, should be duly signed and embossed with official seal by the tenderer or any such person as is legally authorized to sign on behalf of the tenderer, must be

submitted on or before 15:00 hours on 04.08.2016 at office of the Group General Manager/IM, Corporate office of Container Corporation of India limited, CONCOR Bhawan, C-3, Mathura Road, Opp. Apollo Hospital, New Delhi – 110 076.

8. This document will be an integral part of the contract. Therefore prospective bidders are

advised to go through the same carefully before filling the tender.

9. The tender document may be downloaded from CONCOR‟s website www.concorindia.co.in and same may be submitted, along with the cost of tender document by way of Demand

Draft in favour of „CONTAINER CORPORATION OF INDIA LIMITED‟, payable at New Delhi and an undertaking on the Company‟s letter head that “no amendments have been made in the tender document downloaded from the internet, at the time of submission of

tender document”. In case of non – submission of cost of tender document, the tender shall be liable for rejection.

If at any stage, change/modification are noticed in the tender document, tenderer will abide by the original terms and conditions including General Conditions of the tender, failing

which, CONCOR reserves the right to reject the tender and / or terminate the contract.

CHAPTER – III

TENDER CONDITIONS

1. MINIMUM ELIGIBILITY CRITERIA FOR TENDERERS

1.1 The tenderer must be duly accredited by National Accreditation Board for Certification

Bodies (NABCB)- the accreditation body and should certify that the certificates to be awarded to CONCOR‟s terminals/ offices shall carry the accreditation body‟s logo & that the respective scope of certification of CONCOR terminals/ offices (Scope- Transport &

Storage - as per Sl. No. 31 of Annexure-I of the Guidelines for tenders for certification to ISO 9001 and other management systems standards issued by NABCB) are covered in the

scope sectors accredited by the accreditation body. 1.2 Tenderer should be experienced and competent accredited certifying body (CB) already

established in the field of undertaking ISO 9001:2008/9001:2015 certifications work. It should have done certification work for at least 3 (three) Government establishments/

Public Sector Undertaking / companies registered under companies act, during the period of preceding 03 financial years (FY 2012-13, 2013-14, & 2014-15) and current financial year 2015-16 duly supported by documentary evidence/ certificate as per Annexure-V.

1.3 Tenderer shall submit copies of its accreditation certificates along with the annexures on

accredited scope sectors (Scope- Transport & Storage - as per Sl. No. 31 of Annexure-I of the Guidelines for tenders for certification to ISO 9001 and other management systems standards issued by NABCB), issued by the accreditation body (NABCB).

1.4 The Tenderer should have achieved a minimum gross turnover of Rs. 4,51,000/- (Rupees

Four Lakhs Fifty One Thousand Only) per annum during any one of the previous three (03) financial years i.e. 2012-13, 2013-14 & 2014-15 in the same name/firm composition in which he is applying for this tender. Audited copies of the Balance Sheets and Profit & Loss

Account for Years 2012-13, 2013-14 & 2014-15 should be duly attached.

1.5 The tenderer must have a positive net worth based on the latest completed financial year‟s (FY 2014-15) Profit & Loss Account/Balance Sheet.

2. SUBMISSION OF TENDERS – TIME LIMIT / MODE

2.1 The tenders duly completed as described must reach the designated office of the Group General Manager, International Marketing, Container Corporation of India Limited, CONCOR Bhawan, C-3, Mathura Road, Opp. Apollo Hospital, New Delhi – 110 076

before 15:00 hours on 04.08.2016. Any offer received after 15:00 hours shall not be considered. The bids will be opened at 15:30 hours on the same date.

2.2 The tender document duly completed in all respects should be submitted in a sealed envelope and superscribed as „Tender for contract for undertaking ISO 9001:2015

Certification/ Re-Certification work of various terminals/ offices of CONCOR”. 2.3 The following documents should be submitted along with the tender:

a) Letter of Submission as per Annexure – III

b) Crossed Demand Draft of Rs.19,000/- (Rupees Nineteen Thousand only) in favour of „Container Corporation of India Limited‟, payable at New Delhi, towards Earnest Money

Deposit (EMD). c) Experience Certificate as per Para 1.2 of Chapter III & Annexure-V.

d) Tenderer shall submit copies of its accreditation certificates (as per Para 1.1 & 1.3 of Chapter III) along with the annexures on accredited scope sectors, issued by the

Document (In case Tender Document downloaded from CONCOR website). k) Schedule of Rates given at Annexure – I duly filed and signed by the tenderer, and sealed

in a separate envelope as per Para 2 of Chapter-II. 2.4 The certification fee per terminal for different stages of audit must be quoted as per the

Performa attached both in words and figures. It is clarified that the rates quoted should be inclusive of all expenses except service tax and CONCOR shall not bear any charges

towards travel, lodging or incidental expenses at its various locations. However, service tax or any other tax applicable as per extant law shall be payable by CONCOR on the services provided by the agency/ tenderer.

2.5 The schedule of rates should be filled in carefully after considering all the aspects of

work. No request for change or variation in rates or terms and conditions of the contract shall be entertained on the grounds that the tenderer had not understood the work envisaged by this contract, or did not understand or did not have full knowledge of site

conditions, method of working of various terminals (ICDs- Inland Container Terminals & DCTs- Domestic Container Terminals) and offices, various laws applicable to the work

relating to them, Labour Laws and local Labour practices, various distance involved in the certification work etc.

2.6 Any overwriting in the Schedule of Rates should be avoided. In case of mistake, the mistake should be clearly cut and the correction should be signed in full by the tenderer or

his authorized signatory. 2.7 The tenderer will have to submit an analysis of rates if called upon to do so by CONCOR.

2.8 Tenderer shall not increase his/their quoted rates in case the CONCOR administration

negotiates for reduction of rates, such negotiations shall not amount to cancellation or withdrawal of the original offer and the rates, quoted will be binding on the tenderers.

2.9 Any variation, addition and/or omissions in the items of work to be actually carried out shall not form a basis of any dispute regarding the rates quoted by the tenderer in the

tender. The rate quoted by the tenderer shall be applicable irrespective of the volume of work.

2.10 Rates for all items of work described in Schedule of Rates be quoted both in words as well as in figures. If there is variation between the rates quoted in “figures” and in “words”, the

rate quoted in words shall be taken to be as correct and valid. If more than one or improper rate is tendered, the tender is liable to be rejected summarily and will not be considered.

2.11 If the tenderer deliberately gives wrong information or suppresses/conceals any

information/facts in his tender which shall be favorable for acceptance o f his tender or creates circumstances for the acceptance of his tender fraudulently, then CONCOR reserves the right to reject such tender at any stage of execution without any financial

liability.

2.12 Tenders containing erasures, omissions or alterations are liable to be rejected. If any corrections become necessary these must be made in ink and all such corrections must be attested by full signature of the tenderer and dated.

2.13 Bids will be evaluated on the total amount by adding Certification, Recertification and

Surveillance Audit as mentioned in the SOR (Annexure-I).

3. PERIOD OF CONTRACT

3.1 The contract shall be awarded for a period of three years from the date of commencement of

contract. However, it will be obligatory on the part of the agency to continue to work at the

rates prevailing on the last date of the contract even beyond contract period, including the

extended period, if any, for at least 4 (Four) months or till the new contract is finalized, whichever is earlier.

3.2 The date of signing of the agreement, which has to be a date within 10 days of the date of

award of the contract, shall be treated as the date of commencement of contract.

4. EARNEST MONEY

4.1 The tenderer shall be required to deposit a sum of Rs. 19,000/- (Rupees Nineteen

Thousand only) as earnest money. The earnest money shall be deposited along with the bid

by crossed Demand Draft made-out in favour of “Container Corporation of India Ltd.” payable at New Delhi.

4.2 It shall be understood that the tender documents have been issued to the tenderer and the

tenderer is permitted to tender on the clear understanding that, after submission of this

tender he will not resile from his offer or modify the terms and conditions thereof in a manner not acceptable to CONCOR within 120 days of the tender opening date. Should the

tenderer fail to observe or comply with the said stipulation, the aforesaid amount in Sub-Para 4.1 shall be liable to be forfeited to CONCOR.

4.3 No interest shall be allowed on the Earnest Money Deposited (EMD).

4.4 The Earnest Money Deposited (EMD) by the successful tenderer will be adjusted towards the security deposit referred to in Para 5 below. Subject to the condition stipulated above, the earnest money of the unsuccessful tenderer will be refunded as soon as possible after

tenders have been finalized.

4.5 Should a person, whose tender has been accepted decline or fail to remit the security deposit and/or execute an agreement and take up the contract within 10 days of the date of acceptance of the tender, the Earnest Money Deposit mentioned above will be forfeited in

full to the CONCOR without prejudice to any further rights or remedies in this regard for breach of contract.

5. SECURITY DEPOSIT

5.1 The successful tenderer will be required to furnish a security deposit of Rs.91,000/-

(Rupees Ninety One Thousand only) towards successful performance under this contract,

within 10 (Ten) days from the date of communication of award of contract in his favour by CONCOR, before signing of the agreement. Towards this, the successful tenderer s hall be expected to actually deposit only Rs. 72,000/- (Rupees Seventy Two Thousand only) with

CONCOR in the form of Bank Demand Draft from Scheduled Bank drawn in favour of “Container Corporation of India Limited” payable at New Delhi within the time spec ified as

the part security money. The remaining Rs. 19,000/- (Rupees Nineteen Thousand only) will be adjusted by CONCOR by converting the EMD of successful candidate, which will be deemed to be converted in Security Deposit on the payment date of the remaining

amount. The security deposit has to be deposited by the tenderer before signing of the agreement.

5.2 No interest shall be payable by CONCOR on the security deposit.

5.3 GGM/IM may extend the time for submission of Security Deposit by 10 days, on the request of the Contractor, or in the interest of CONCOR, if there are sufficient reasons for

doing so.

5.4 CONCOR shall be entitled to appropriate the whole or any part of the security deposit in the

circumstances hereinafter provided without prejudice to any othe r remedy or right. CONCOR shall be entitled to recover any loss or damage that CONCOR may suffer or

sustain by reason of the failure of the agency to observe and in performance of the terms and conditions of this contract from the amount of security deposit, and in the event of any balance remaining due to CONCOR, the agency shall forthwith pay the same. In the event

of any such deduction being made from the security deposit, the agency shall at once make good the deficiency in the amount of the security deposit within 15 (fifteen) days of the date

of demand to this effect, failing which CONCOR shall deduct the same from the bill amounts or any other amount due to the agency.

5.5 The Security Deposit referred to above shall be forfeited to CONCOR in the event o f any breach on part of agency of any of the terms and conditions of this contract, without

prejudice to CONCOR‟s right to rescind the contract and other rights and remedies warranted by law.

5.6 The Security Deposit shall, subject to any deduction that may be made there from, be returned to agency within four (4) calendar moths after termination of contract and on

issuance of “NO DUES CERTIFICATE” by the Group General Manager (IM), Corporate Office.

5.7 However, if there is a delay, the agency shall not be entit led to any interest. In the event of any dispute arising between CONCOR and certification agency or between CONCOR and

any third party in reference to this contract, CONCOR shall detain the security deposit or such balance thereof and/or other amounts payable to the agency as CONCOR may in its sole discretion deem sufficient until the dispute is settled and determined. The certification

agency shall have no claim for compensation or otherwise for any such detention made by CONCOR.

6. STUDY OF LOCAL CONDITIONS

The tenderer is advised in his own interest to visit the sites of the work and acquaint himself with all local conditions, means of access to the work, nature of work etc.

7. ACCEPTANCE OF TENDER

7.1 The authority for acceptance / rejection of the tender documents and tendered rates will rest

with the Competent Authority of CONCOR, who does not bind himself to accept the lowest or any other tender, nor does he undertake to assign reasons for his decision in this matter.

7.2 Acceptance of tendered rates will be communicated by Fax/E-mail/Express Letter or Formal Letter of Acceptance of tender. In case where acceptance is indicated by Fax//E-mail/

Express Letter, the Formal Letter of Acceptance of tender will be forwarded to the successful bidder as soon as possible, but the Fax//E-mail/Express Letter should be deemed to conclude the contract and non-compliance of any terms of agreement/ tender document,

including signing of the agreement, will amount to breach of contract with all attendant legal consequences.

7.3 The tender document in which tender is submitted by a tenderer shall become the property

of CONCOR and CONCOR shall not return the same to the tenderers.

7.4 Canvassing in connection with tenders are strictly prohibited and the tender sub mitted by

the tenderer who resorts to canvassing will be liable for rejection. 7.5 On acceptance of the tender, the name of authorized representative(s) of the tenderer who

would be responsible for taking instructions from CONCOR shall be communicated to CONCOR within three (3) working days.

8. EXECUTION OF AGREEMENT

The successful tenderer whose tender is accepted shall be required to appear at the office of the Group General Manager (IM), Container Corporation of India Ltd., CONCOR Bhawan,

C-3, Mathura Road, Opp. Apollo Hospital, New Delhi – 110 076 in person or, if the tenderer is a Firm, Company or a Corporation, a duly authorized representative shall so appear and execute the agreement within ten (10) days of the date of issue of communication from the

CONCOR‟s office and start the work by date stipulated by the Group General Manager (IM). Failure to do so shall constitute a breach of the contract concluded by the acceptance of the

tender, leading to forfeiture of Earnest Money Deposit (EMD) besides any other action that CONCOR might take as per Terms and Conditions stipulated in this document.

GGM (IM) may extend the time for execution of Agreement by 10 days, on the request of the Contactor, or in the interest of CONCOR, if there are sufficient reasons for doing so.

9. CONFIDENTIALITY OF TENDER DOCUMENTS

The tenderer shall treat the contents of the tender documents as private and confidential.

10. POSTAL ADDRESS FOR COMMUNICATION

Every tenderer shall state in the tender his postal address fully and clearly. Any communication sent to the tenderer by post at his said address shall be deemed to have reached the tenderer in time.

11. AGREEMENT WITH AGENCY FOR ACTING AS CERTIFICATION BODY

The successful tenderer will be required to sign an agreement for acting as certification agency for Container Corporation of India Ltd. as per the format at Annexure – IV within a

period of 10 days of the date of issue of communication from the CONCOR‟s office. This tender document will be integral part of the said agreement.

12. PAYMENTS

12.1 Payments will be made through Cheques or Electronic Fund Transfer in favour of agency following a proper procedure including verification from concerned field terminals/

offices. The agency will be required to submit its bills to the Group General Manager (International Marketing), on the basis of work done by them for individual ICDs/Regions.

12.2 The prices quoted shall be firm and inclusive of all charges, transportation, stay, etc. No

separate charges for lodging, boarding, to and fro movement of certifying body or their representative shall be considered. However, service tax or any other tax as per the extant law shall be payable by CONCOR on the quoted rates.

12.3 The unit prices of various items of works shall be written in words and figures.

12.4 Income tax deductions at source or any other statutory levy, etc. as per prevailing rates on

the contract value will be recoverable from the certifying body‟s bills.

12.5 Payments shall be permissible on completion of activities as provided by the certifying

body in Annexure – I

13. REDUCTION/INCREASE IN QUANTITY

The Certifying Body shall execute the work as per the accepted quantities of the contract.

The provision of visits envisaged by Certifying Body shall be built into the offer submitted with tender.

The certifying Body shall work in close consultation with and as per the guidance and directions of CONCOR.

The number of terminals/ offices given in Annexure-II is only indicative and is subject to change from time to time. The CONCOR administration reserves the right to reduce or

increase the number of ICDs/Terminals/Offices/Units to be offered for certification, in which case the tenderer shall not be entitled for any compensation but shall be paid only for the

units actually certified as per the contractual rates agreed.

14. LIABILITY FOR TAXES

14.1 The successful tenderer taking up the certification work shall pay, at his own expense, all

fees and charges payable to the Government or to the Municipal or other authorities and shall satisfy all claims arising out of the non-compliance with any law/ordinance regulations or other bye- laws, etc. However, service tax or any other tax as per the extant law shall be

payable by CONCOR on the quoted rates.

15. ILLEGAL GRATIFICATION

15.1 Any bribe, commission, gift or advantage taken or promised to be taken by or on behalf of

the contractor or his partner or agent or servant or any one of his authorized representative from the users of the CONCOR‟s terminals/offices shall in addition to any criminal liability

that the agency may incur, entitle CONCOR to rescind this agreement and to take any other action as may be deemed fit by CONCOR.

15.2 Any bribe, commission, gift or advantage given /promised or offered by or on behalf of the agency or his partner or agent or servant or any one of his authorized representative or on

their behalf in relation to obtaining or executing of this or any other contract with CONCOR shall, in addition to any criminal liability that the contractor may incur, entitle CONCOR to rescind this contract/agreement and to take any other action as may be deemed fit by

CONCOR..

16. PROHIBITION AGAINST TAKING WORK FROM CONCOR/ GOVERNMENT

SERVANTS

No person who had retired within two years as a Gazetted Officer in Executive or Administrative duties in any Government Service or CONCOR shall be a certification

agency. The agency shall under no circumstances employ any person in the employment of CONCOR for the purpose of carrying on this contract and further shall not employ any person previously in the employment of the Government or CONCOR without express

sanction in writing of CONCOR. The agreement is liable for cancellation if the agency himself or any of his employees is found to be a person to whom this applies and who had not

obtained necessary permission of CONCOR.

17. ARBITRATION

All disputes and differences of any kind what so ever arising out of or in connection with the

agreement/contract, whether during the progress of the work or after its completion and whether before or after the determination of the contract shall be dealt as per general conditions of tenders and standard forms of contract as per Arbitration Act, 1996.

CMD/CONCOR will have the right to appoint the sole arbitrator in case of legal dispute under this contract and the tenderer will have no objection if the such appointed official is an

employee of CONCOR. The court of jurisdiction shall be „Delhi High Court‟ for all such cases.

18. DEATH OF CONTRACTOR

No alteration by death, resignation, addition or otherwise for or to the contractor or the partners constituting the contractor‟s firm shall vitiate or affect this contract but the contractor‟s heir or heirs or partners of the firm for the time being shall be absolutely bound

by the terms hereof in the same manner as if he/they had been the sole or original party/parties hereto.

19. SUBLETTING NOT ALLOWED

The certification agency shall not sublet or otherwise assign or transfer the whole or any part of this contract/work. In the event of the certification agency contravening this, CONCOR

shall be entitled to place the contract elsewhere on the agency‟s account, and at his risks and costs, and the certification agency shall be liable for any loss or damage which CONCOR may sustain in consequence or arising out of such replacing of the contract.

20. TERMINATION OF THE AGREEMENT

The agreement can be terminated by the CONCOR administration on following grounds:-

i. Repeated failures of the Certifying Body to comply with requests of the CONCOR administration for certification.

ii. Non-observance of statutory regulations & standards for auditing and certification.

21. DEDUCTIONS TOWARDS INCOME TAX AT SOURCE

Deduction from income tax at source will be made from the money payable to the contractor

on the bills for the work done in accordance with the provisions of the Income Tax Act 1961 or any statutory modifications of the said Act and a certificate of such deductions will be issued.

22. TERMINATION OF THE AGREEMENT IN THE CASE THE AGENCY/

CONTRACTOR BECOMES INSOLVENT OR IS CONVICTED IN COURT OF LAW

If at any time the agency/contractor becomes insolvent or files an application for insolvency

or any creditor of his moves the court for adjudicating him as insolvent or, if he is convicted by any court of law, CONCOR will have the absolute option of terminating the

agreement/contract forthwith and he shall have no right for damage or compensation on this account.

23. RATE REVISION

The rate accepted by the Competent Authority of CONCOR shall remain fixed and valid for whole of the contract period i.e. during three year period and also during obligatory period of four (04) months.

24. VERBAL OR WRITTEN UNDERTAKING NOT BINDING UNLESS FORMALISED

Except as otherwise provided, a verbal or written arrangement, abandoning, varying or supplementing this contract or any of the terms hereof shall not be binding on CONCOR

unless and until the same are endorsed or incorporated in a formal instrument.

25. NOTICE ETC.

Save as otherwise provided, all notices to be issued and action to be taken for and on behalf

of the Chairman & Managing Director (CMD), CONCOR shall be issued or taken on his behalf by the official- in- incharge of certification in CONCOR. The Certification Agency

shall furnish to CONCOR the names, designation and address of his authorized representatives, and all complaints, notices, communication and references shall be deemed to have been duly served to the Agency if delivered to them or his authorized representative

or left at or posted at the address so given.

26. GENERAL

Any clarification in regard to the intent or interpretation of any of the provisions of these terms and conditions required on any point shall be sought from the Group General Manager

(International Marketing), CONCOR, whose decision in the matter shall be final and binding. Any other matter relevant to but not covered in the contract shall also be decided by making reference to the Group General Manager (International Marketing), CONCOR, whose

decision will be final and binding.

CHAPTER – IV

SCOPE OF WORK

1. PREAMBLE

Container Corporation of India Limited, henceforth referred to as CONCOR, has been set up

with the main objective of promoting the country‟s Export and Import containerized traffic apart from supplementing efforts of the Indian Railways to carry piecemeal domestic traffic

between nodal points. As a multi – modal operator, CONCOR provides door to door service to the customers through its 63 terminals located all over the country. The object of CONCOR is to appoint a certification body to get ISO Certification for these terminals, Regional Offices and

Corporate Office.

2. DESCRIPTION AND SCOPE OF WORK

2.1 The certification Body shall be required to undertake the ISO 9001:2008 or ISO 9001:2015

Re-certification/Certification (including its revised formats, if any in future) activities for Corporate Office, Regional Offices & Terminals of CONCOR as and when they become

ready/due. The present status/list of these Offices/Terminals along with locations is given in Annexure-II. Any changes to this will be decided by the CONCOR from time to time as per requirement of CONCOR. The Certification Body will also be required to do continual

Assessment/Re-assessment of terminals which have already obtained the certification. Since some of the terminals are already certified under ISO 9001:2008, the agency will be required to

undertake the Surveillance Audit accordingly.

2.2 The Scope of the certification service is to:

a. Assess and certify that the Quality Management System adopted should comply with the

requirements of the specified standard and the interpretations of the accreditation authority. b. Review of system Documentation Audit at Auditee‟s Premises. c. Issue of Certificate of conformity for the period of three years.

d. Periodical Annual Surveillance Audits of the system throughout the certificates‟s validity period, in order to verify that the system is being maintained (Two Surveillance Audits).

e. Upon completion of each stage as described above, a report is to be issued to the auditee. 2.3 Separate certificates are to be issued for each Terminal/Office audited. The rates for activities

required for each terminal shall be submitted by the certifying body in the prescribed format enclosed (Annexure – I). Certification body shall have to additionally indicate –

a. Period of validity of certificates awarded.

b. That each certificate shall carry the logo of accreditation body i.e. NABCB.

The offer should be inclusive of charges for any extra visits envisaged by the certification body, during the operational period of three (03) years.

3. AWARENESS TRAINING PROGRAMS

The tenderer shall also be required to conduct Awareness Training Programs in each of the eight Regions as and when decided by CONCOR. Such training programs will be restricted to

maximum of two numbers in each region during the contract period of three years. The actual date, time and place will be decided by Regional Offices of CONCOR.
