I Statement of Objectives

The Connecticut State Colleges and Universities (CSCU) seeks proposals from experienced and qualified organizations to provide custodial services at five of its colleges that include Capital Community College, Housatonic Community College, Norwalk Community College, Middlesex Community College and Charter Oak State College.

NOTE: Program participation is not mandatory but preferential points will be given during the evaluation process to Proposers that are pre-qualified as a Qualified Partnership. Bidders who are not prequalified and wish to be qualified shall show evidence with the bid submission that the application and certification process was underway prior to submitting the bid. Please see section IV.EE.

II Background

In 2011, Public Acts 11-48 and 11-61 instituted consolidated governance of Connecticut higher education, creating the Connecticut State College and University (CSCU) system. The Board of Regents for Higher Education (BOR) serves as the governing body for the Connecticut State University System, the regional community-technical college system, and Charter Oak State College. The specific powers and duties of the Board are prescribed in Title 10a of the Connecticut General Statutes and are further delineated in policies adopted by the BOR from time to time. The CSCU System Office supports the seventeen colleges and universities. Institutions. Collectively known as “CSCU”, the Connecticut State Colleges and Universities maintain distinct mission statements to serve their constituents while collectively working to achieve a system-wide vision and mission. The current college and university enrollment exceeds 90,000 students. CSCU institutions are located throughout the State of Connecticut and are as follows:

III Service Locations

A. This Request for proposal will include custodial services at four Community Colleges and our on-line College - Charter Oak State College. A contract award can occur to one or multiple vendors for one or more campus. The CSCU reserves the right to negotiate other service locations based from these

bid results. The College locations that are included within this bid are:

B. College Information

* Gross square feet (gsf) and net square feet (nsf) listed under each college, “Floor Surfaces” and “Guideline Space Inventory” are CSCU reference values listed for bidders informational purposes only. The SO and colleges provide no assurance of the accuracy of these numbers as it relates to this bid. If requested, building floor plans can be provided to contract bidders to conduct their own area takeoffs. Contractors can schedule site visits after the mandatory pre-bid site visits have occurred.

1. Capital Community College

Capital Community Colleges Fall 2017 full time equivalent enrollment was 1,722 students. Capital’s facility was originally constructed as a department store in 1918. In 2002 the building was fully renovated and repurposed as Capital Community College. The college facility is located across eleven floors of this building. Of the eleven floors this contract will provide for custodial services on only nine (9) of those floors. The nine floors to be contracted for cleaning services are the Talcott Street level, floors 1, 2, 3, 4, 7, 8, 9 & 10. Areas not listed as part of this contract will be maintained by state employed custodians. *The approximate building areas are listed below:

2. Charter Oak State College Charter Oak State College is Connecticut’s only online public college. Charter Oak’s facilities are located at 55 Paul Manafort Drive in a two story 15,570 gsf office type facility and at 85 Alumni Road in a 10,027 asf one story leased office type space. 3. Housatonic Community College Housatonic Community Colleges Fall 2017 full time equivalent enrollment was 2,961 students. Housatonic is comprised of a combination of preexisting retail space that was fully renovated and repurposed for higher education in 1997 (Lafayette Hall and parts of Beacon Hall) and new additions that were completed in 2007 (most of Beacon Hall) and 2017 (Lafayette Hall addition). The buildings range between two to four stories. *The approximate building areas are listed below: Vehicle parking occurs in the College owned parking garage that is adjacent to the campus. All operations of the garage are contracted and managed through a parking garage management vendor. Cleaning services related to the parking garage will not be included in this contract. 5. Norwalk Community College Norwalk Community Colleges Fall 2017 full time equivalent enrollment was 3,509 students. Norwalk consists of the East Campus and the West Campus on opposite sides of the street from each other. Major construction for the East Campus was primarily completed in 1991. The East Campus contains major college administrative functions, theater space, food service and educational functions. This campus has undergone a number of minor interior improvements over the years. The West Campus was constructed through several contiguous buildings completed over a series of years; 1961, 2003 and 2011. Interior improvements have occurred over the years to the older facilities. The West Campus contains The Center for Technology, the Health Science Building, foodservice, culinary, educational functions and educational support spaces. IV. Scope and General Conditions of the RFP

A. Awarded contract work for one or multiple contracts will commence on July 1, 2018 at Capital Community College, Housatonic Community College, Middlesex Community College, Norwalk Community College and Charter Oak State College.

B. All work designated under this RFP shall comply with the Association of Physical Plant Administrators (APPA) guidelines as published in the Operations Guidelines for Educational Facilities, 3rd edition, 2011.

C. All cleaning is to be assumed as “Level 2” or equivalent if not listed in the APPA guidelines unless indicated otherwise in this bid package. “Level 3” cleaning should occur in storage and utility rooms.

D. Standards of cleanliness for Early Childhood lab school (needs to meet NAEYC accreditation standards). Children range in age from infant to preschool.

E. Standards of cleanliness for exercise science facility/equipment and locker rooms F. Standards of cleanliness for culinary arts program to meet health department codes G. Microbiology labs, need to be cleaned as to not spread chemicals/organisms outside of

classroom H. The Contractor agrees to provide cleaning services to maintain the College(s) premises

that serves higher education and ancillary functions. All services provided shall conform to clean, neat, hygienic and sanitary conditions. Contractor shall provide and furnish any and all labor, materials, tools, equipment, utility and transportation services required by the conditions and specifications to perform the contract in a workmanlike manner and conform to all current Federal, State and local regulations.

I. Services rendered shall include but not be limited to cleaning, deodorizing, disinfecting, disposal dusting, furnishing supplies, maintaining, mopping, shampooing, spot-cleaning, vacuuming, washing, waxing, wiping and other such services required as customary.

J. The College may choose to complete some supplemental custodial services performed by

its own staff at times of their own choosing. The supplemental work is not to be

considered part of the contractors contracted cleaning services.

K. Each College shall designate or assign a representative(s) to act on behalf of the College regarding all matters affecting the Services (the “College Designee”). Each College shall identify the College Designee upon commencement of the Contract. The Contractor shall notify each College Designee in writing within five (5) business days prior to any Contractor representative change.

L. Schedules and Days of Operation

1. Capital Community College The contracted janitorial staff will be needed between the hours of 4:00 p.m. to 10:00 p.m., Monday through Friday. The College would like one (1) cleaner to work the hours of 11:00 a.m. to 4:00 p.m. Monday through Friday. In the event the College closes due to inclement weather and the janitorial staff is not able to enter the building, two (2) janitorial staff must be assigned to clean the following day from 7:00 a.m. - 1:30 p.m. to concentrate on all bathrooms and high traffic areas at no extra cost to College.

2. Charter Oak State College Contractor shall perform all Services Monday through Friday 4:00PM and 9:30PM unless otherwise requested in writing by the College

3. Housatonic Community College Contractor shall perform all Services Monday through Thursday between the hours of 10:30PM and 7:00AM, Friday 2:30PM and 11:00PM and Saturday 3:00 PM and 8:00 PM unless otherwise requested in writing by the College. One day porter is required Monday through Friday between the hours of 10:00AM and 4:00PM. Services will include related cleaning projects as directed by College Designee. The State reserves the right to change schedules at any time to meet its requirements

4. Middlesex Community College Contractor shall perform all Services

Monday through Friday between 6:00PM – 11:00PM., unless specified otherwise. Day porter services during academic year Monday through Friday 11am-3pm

5. Norwalk Community College

Contractor shall perform all Services Daytime general cleaning Monday through Friday between the hours of 5:30 AM – 2:00 PM Evening General Cleaners Monday through Friday between the hours of 1:30 PM – 10:00 PM Saturday General Cleaners Monday through Friday between the hours of 8:00 AM – 4:30 PM

Norwalk Community College reserves the right to change operational hours as needed, and shall give contractor sufficient advance notice of any changes. Hours shall be adjusted if the college operational hours are adjusted.

M. Holidays, Vacations and Building Closures 1. Unless otherwise directed, Contractor shall not provide any services on the State

holidays indicated below. Additionally if the State decides to close State buildings on any other day including but not limited to employee furloughs, Services will not be required or provided on the closure date, unless otherwise directed. The State shall provide Contractor with reasonable notice of building closures whenever possible. Some building closures may not allow for advanced notice to the contractor of either

a full or portion of a day closure. The Contractor shall prorate any invoice relating to a scheduled work day in which Services were not provided due to Facility closure. The prorated formula will be the monthly cost that the facility closed divided by the number of Service days within that particular month to get a daily rate; multiply the daily rate by how many days of Service completed within the particular month to establish the prorated monthly cost. Partial day closures will be prorated to the total hours of work performed on the day of the early closure. The Contractor shall reschedule any task that was not completed due to the Facility closure with the exception of daily tasks. The College Designee must be notified and approve of all task schedule changes.

N. LOCATION AND AREAS OF SERVICE

1. These specifications are intended to be a general description of all labor, materials

and are as necessary to provide custodial cleaning services at the locations listed

within this bid.

a. Cleaning shall be performed on a nightly, weekly, monthly and occasional basis as

detailed herein comprised of but not limited to floor surfaces of carpet, slate, terrazzo, vinyl, wood, tile, ceramic tile, rubber stair treads and entrance matting.

b. Wall and other surfaces, but not limited to, include vinyl baseboard, painted

wallboard and concrete block, painted wood, plastic laminates, metal and wood

furniture, composite lab benches, restroom fixtures, vinyl wall coverings, plastic

blinds and cloth drapes.

O. Staffing

Contractor shall furnish a fixed staff of fully trained, properly instructed, competent

workmen assigned to the College on a full time basis to perform services as detailed

herein. In addition, they are to be fully trained in the proper treatment and handling of

hazardous chemicals and materials, for proper disposal as well as in the event of

accidental spills, etc.

1. One (1) full time working supervisor literate in the English language with a minimum of two (2)years' employment with the contractor, or the prior contract holder, acting in a supervisory capacity to ensure supervision of the work force and to guarantee that work is

performed nightly in accordance with the specifications of the contract. The supervisor duties include but are not limited to:

a. Walking the complex monthly with College Designee to inspect facility cleaning.

b. Overseeing the contract implantation, Task and Frequency schedule. c. Managing all cleaning personnel.

d. Reporting all incidents to College Designee. e. Picking up keys and access cards at the command center located at the

College; distribute to cleaning personnel. The supervisor shall return all keys

and access cards back to the command center at the end of each shift. f. Check in at the beginning of each shift with College Designee to pick Up Work

Orders and discuss Concerns g. Assure all custodial staff enter the college no earlier than 15 minutes prior to

their scheduled shift, sign in and sign out with the building guard and punch out at the time clock.

2. In the event of the regularly assigned supervisor’s absence, Contractor shall provide a

substitute of equal or greater skill level. Contractor shall provide the name, title and cell phone number of the supervisor(s) to the College Designee.

3. One (1) district supervisor/manager literate in the English language and working for a

minimum of five (5) hours per week. Supervisor/manager shall visit the site on a regular basis to oversee the operations and meet at least once a week with a College representative to review contract performance. Supervisor/managers shall be on 24-hour call via, cell phone or through an answering service to address problems that arise.

4. Qualifications of staff

All personnel employed by contractor shall be:

a. Uniformed, including shirts and trousers, with clearly identified company name at all times. ("T­Shirts" are NOT an acceptable uniform.)

b. Supplied with a photo l.D. worn at all times.

5. Employment Policies and Practices

The contractor should submit its firm's policies and practices relating to wage standards, benefit package, and promotional opportunities. The contractor shall pay no less than the most current standard wage.

a. Staffing Absenteeism

1. The contractor shall not be allowed to have more than one absent employee per shift for more than three consecutive working days. Area placement person or persons shall be require in the event of the absence of more than one employee.

2. No two people can be absent at the same time without a replacement to staff that shift. All daily

work must be completed within the building guards scheduled workday.

3. The College(s) shall accept a two-hour lapse per employee in start time in order

for the contractor to find and/or deliver a replacement.

These absentee provisions do not relieve the contractor from any obligations arising from the application of item IV.P, under Compliance below.

P. Compliance

1. The contractor shall maintain a work force of sufficient size to do all the work as scheduled. The

contractor shall correct scheduled work that is done unsatisfactorily after notification by the College designee at no additional cost to the college.

2. The contractor shall maintain control of his employees. Any employee whose

work performance or conduct is objectionable shall be immediately removed

from the premises at the request of the college or CSCU designee.

3. The contractor’s personnel shall punch in and out daily on a time clock or other

suitable call in system to be purchased, installed and maintained by contractor.

All contractor personnel shall punch in and out daily on a time clock to be

management personnel shall sign in and out when they are present in the

building. The College(s) may audit time cards and payroll check stubs for

compliance with terms and conditions of the contractor's employment practices

4. The following audit and penalty provisions may be applied. There may be a

monthly audit from the contractor's time cards. For each calendar month, the number of work hours shall be equal to the number of regular workday times

eight hours per day time the number of employees permanently assigned to the College. If the total number of hours provided by the contractor is at least

ninety-five percent as above, the penalty shall be assessed. If in any month the

total is less than 95% of the minimum monthly total, then deductions shall be

made on a per hour basis of the min. standard wage value for each custodian

and the min. standardwage value for each hour of the working supervisor's

deficient time. If the College cancels any day's service, the contractor's monthly responsibility shall be reduced accordingly. If the contractor fails to meet

the minimum monthly number of hours two or more times during this contract, it shall be considered a breach of contract which could be grounds for termination of

the contract.

Q. PROTECTION OF WORK AND PROPERTY

1. The contractor, during the performance of the contract, shall exercise due caution

and proper care and protection for all College and/or personal property, equipment,

facilities and supplies. The contractor shall be responsible for all damages to the

College and/or personal property caused by the use, misuse, or negligence of the

contractor, employees or agents and shall be responsible for the repair or

replacement of any damaged property to like new conditions. The contractor shall

report, in writing, to the College within 72 hours after causing damage to College

property. Failure to repair the damage within the specified time may because for

termination of the contract.

R. STANDARD OF CLEANLINESS

1. Association of Physical Plant Administrators (APPA) “Level 2” unless indicated

otherwise in the bid package. Storage and utility rooms are to comply with “Level 3.”

2. Consumable Goods - Paper consumable supplied by the contractor must meet the guidelines for minimum recycled content as determined by the United States Environmental Protection Agency at its website: http://www.epa.gov/. Contractor shall use cleaning products that comply with the provision of CT Gen. Statutes-

Section 4b-15a which must be “Green Seal” and/or certified EcoLogo “green products.” Green products are identified by EcoLogo on its website:

http://www.ecologo.org/en/greenproducts/ Green products are identified by Green Seal on its website: http://www.greenseal.org/FindGreenSealProductsAndServices.aspx Contractor shall utilize all cleaning products in accordance with the manufacturer’s stated directions. All cleaning products are subject to review and approval by the College. The term “cleaning products” does not include any (1) Disinfectant, disinfecting cleaner, sanitizer or any other antimicrobial product regulated by the federal

Insecticide, Fungicide and Rodenticide Act, 7 USC 136 et seq., or (2) product for which no guideline or environmental standard has been established by any national

or international certification program approved by the Connecticut Department of Administrative Services, or which is outside the scope of or is otherwise excluded under guidelines or environmental standards established by such national or international certification program.

3. Chemicals and Supplies -Contractor shall purchase, stored and issue all chemicals in their original containers. No chemicals are to be mixed on or off site unless completed in strict compliance with manufactures recommendations as listed by the manufacturer on the original container. Chemicals/supplies that require

precautionary warnings must have those warnings affixed to all containers as prescribed by law, regulation or ordinance. Labeling of containers of hazardous, toxic substances or waste must be in compliance will all Federal, State and Local laws,

regulations and rules. Contractor shall only use germicidal disinfectants that bear a United States Environmental Protection Agency (“EPA”) Registration Number.

4. OSHA Compliance - Contractor shall comply with United State Department of Labor Occupational Safety and Health Administration (OSHA) guidelines. As such, Contractor shall:

a. Furnish to the College Designee copies of the Safety Data Sheets (“MSDS”) for all products used, within ten (10) business days after contract award date or prior to the utilization of product.

b. Supply employees with first aid kit(s) conveniently located, per OSHA requirements and based on the number of employees.

c. Update MSDS data sheets annually and submit them to the College Designee. d. Comply with all applicable OSHA and EPA requirements related to the

Performance of this Contract, including but not limited to safety, training, equipment, toxic and hazardous substances and labeling of chemical containers.

e. Comply with all applicable Federal and State safety laws and regulations to ensure a safe working environment.

S. MATERIALS AND SUPPLIES

1. The contractor shall furnish the following supplies in minimum specified quantities and quality to insure uninterrupted service and to provide for a clean and sanitary environment, all cleaning products must meet the state mandated" green "standard: a. Detergents/Disinfectants b. Cleaning chemicals and solutions used on floors, walls, furniture, toilet rooms, glass, tile, brick,

concrete and other porous and non-porous building surfaces

c. Disinfectants, germicides and fungicides d. Deodorizers e. Rags, cloths, sponges, brushes, pails, spray bottles, scrapers, steel wool, plastic disposal

bags f. Scouring powders and compounds g. Paper products used in the cleaning process h. Other such tools and supplies as customarily required g. Trach liners (provided by contractor at Middlesex Community College)

2. The College shall make available to the contractor at no expense for use and dispensing: a. Toilet tissue

b. Paper towels c. Trash liners (this will be provided by the contractor at Middlesex Community College) d. Hand soap e. Whiteboard erasers f. Chalk and whiteboard markers g. Erasers for chalkboards h. Toilet seat covers i. Hand Sanitizers

3. The following inventory of chemicals has been established as a minimum inventory

required to assure uninterrupted service for the entire building. Contractor shall be

required to furnish and maintain this minimum inventory, which shall be subject to

periodic review by the college.

4. An up to date binder with all Material Safety Data Sheet Book of all chemicals used

by the contractor is to be kept at Security and made available for use by all College

personnel as well as contractor's employees. All products to meet state mandated

"green" standard.

5. The contractor must provide product literature and MSDS sheets for the detergent/disinfectants, tile finishes, wall washing solutions, white 1narker board cleaner, liquid and powder cleaners, restroom fixture cleaners, and all other appropriate products.

T. MINIMUM SPECIFICATIONS FOR MATERIALS

1. Wall Washing Products used for wall washing shall not be abrasive or high alkaline

cleaners. Only non-abrasive, non-butyl low pH synthetic detergents shall be used for

such cleaning.

2. Detergents/Disinfectants

Use only an E.P.A. registered hospital grade detergent/disinfectant effective as

a disinfectant, fungicide, virucide and mildew stat.

3. Resilient Tile Floor Finishes, Sealers and Strippers a. Stripper: Non-ammoniated, with high powder amines and alkalinity, specifically for high-speed

floors.

b. Sealers: Acrylic for stone and resilient floors.

c. Finish: Must have a minimum of 16% solids, a maximum of 25% solids, and have

a coefficient of friction to exceed the standards set forth by the CSMA and ASTM

methods of testing. All finishes to be specifically formulated for a high-speed

floor care program.

d. Restorer and Spray Buff: Must be specifically formulated for use with the high-speed floor finish.

4. Liquid Cleaners Liquid cleaners shall have a maximum pH of 10 and be of such nature so as not to blush or destroy the shine or floor finish when diluted and shall not leave a haze or film residue on any surface when dry.

5. Powdered Cleaners

Shall be limited to areas as approved by the College and not be used on non-vitreous surfaces

6. Restroom Fixture Cleaners In the cleaning of chromium and nickel-plated fixtures in restrooms no cleaner shall be used that

incorporates abrasive, oil, or wax ingredients. Fixtures shall be cleaned only

with a hospital grade (rated for HIV and MRSA), acid free, restroom cleaner that

is a disinfectant, deodorant, mildew stat, and virucide.

7. Carpet Spotting and Cleaning Materials

Carpet cleaning chemicals used for routine, interim and restorative maintenance as well as special needs must be approved for use as a chemical cleaner by the carpet manufacturer and by the College prior to use.

8. State mandates the use of the "Green Cleaning System."

U. EQUIPMENT

1. Contractor shall furnish and maintain all necessary cleaning equipment, and such

equipment shall be the sole responsibility of the contractor. The state agency

designee shall approve all equipment furnished by the contractor; any equipment

found unsuitable for the work shall be removed from the premises and replaced

with an approved type. All electrically operated equipment must possess proper

grounding capabilities and must be grounded when in use. Equipment furnished by

contractor shall be in sufficient quantities to insure proper coverage and include but

not be limited to:

a. Rotary machines 175 rpm. with shampoo tanks, shampoo brushes, pad

drivers, bonnet buffing pads, and black striping, blue scrubbing, red

polishing pads.

b. 12" or larger upright commercial HEPA vacs c. Porta HEPA vacs

d. Wide area carpet 24" to 30" HEPA vacuums e. Commercial carpet extractor, no bonnet carpet cleaners, steam extractors must be used (Norwalk

Community College) f. Large capacity wet vacuums

2. All equipment, tools and implements furnished by the contractor and maintained

on the premises shall be clearly marked with a distinguishing mark identifying

the equipment belonging to the contractor. All equipment shall be maintained

in a like new condition at all times.

V. CONTRACTOR STORAGE AREA

The Colleges hall make available to the contractor lockable storage areas for the purpose of storing supplies and equipment.

W. SERVICES DEFINED Empty Waste Paper Containers

1. Empty all waste paper baskets, cans and containers and deposit in designated dumpsters or recycled paper containers. Keep waste paper baskets clean and sanitary by use of liners. Remove any boxes or materials identified to be disposed.

2. Vacuum Carpets

Completely vacuum all areas of exposed carpet within a room or corridor, using an

approved type vacuum. Clean spots as needed and remove gum.

3. Spot Clean Glass

Use an approved glass cleaner and dry towel. Remove fingerprints and smears from

entrance and exit doors, wall partitions and classroom doors.

4. Dust Furniture Use clean rag treated with an approved material. Wipe off all surfaces of hard finished furniture.

5. Damp Mop Floor Use a clean strained mop and an approved solution for specific floor type. Damp mop all exposed areas of floor surface. Wring out mop so that it does not drip where damp mop is called for. Use "wet floor" signs as needed.

6. Restroom Fixtures

Plumbing fixtures include mirrors, commodes, wash basins, urinals, shower stalls, and

their exposed piping and valves. Using an approved solution, clean all surfaces and

wipe dry all chrome and mirrors.

7. Buff Floor a . Vinyl Resilient Tile: use spray buff or high speed burnish method with an approved floor material.

b. Slate: damp mop with a mild detergent solution, allow to dry and spray buff or high speed burnish. Utilize salt neutralizer as needed in winter months.

8. Dust Mop

Using a treated dust mop, remove all surface dust and dirt. Use only an approved mop treatment.

9. Spot Clean Floors, Walls, or Furniture a. Floors

1. Carpet -clean spilled materials and spot clean carpet in an approved manner. 2. Fabric covered furniture-prior to cleaning use test area to determine safe treatment of fabric.

b. Walls

1. Painted walls-spot-clean walls and doors with clean rag and approved solution.

2. Stained doors-prior to cleaning any stained doors or other wood trim, get

specific instructions on the type of cleaning solution that is to be used. 3. Metal partitions- use an approved sanitizing solution with a clean rag and wipe dry. 4. Wallpaper/covering- spot-clean with approved solution and clean with dry rag.

10. Mop Floor NOTE: Do not splash walls or leave streaks on cove base.

a. Ceramic Tile

Use a clean mop with an approved detergent hospital grade disinfectant. Do not

apply any type floor sealer or other floor finish material.

b. Resilient Tile 1. Vinyl-use a clean mop with an approved detergent. 2. Rubber Stair Treads-use a clean mop with an approved detergent.

11. Desk Tops, Hard Finish Furniture & Chairs

Clean with an approved cleaner and wax with clean cloth. Remove graffiti, spills and

fingerprints from classroom desks, chairs and walls. Leave all classrooms in a neat and

orderly manner.

12. Window Washing-Interior

Use a sponge strip washer or window brush and squeegee with an approved

solution. Sponge or brush all window surfaces and squeegee dry. Use rag to pick up

all water drips. Leave all surfaces dry.

13. Wood floors/Baseboard

Mop and rinse to clean, treat and wax on schedule supplied.

14. Shampoo Carpets Use materials and equipment recommended by carpet manufacturer and as approved. a. Furnish waterproof material placed under legs or pedestal of furniture. Set on damp carpet.

Remove after carpet has dried.

b. Move all furniture except file cabinets and desks for shampooing of carpets.

c. After shampooing carpets, wipe all wall, molding and furniture surfaces that have been spotted.

d. At Norwalk, commercial carpet extractor, no bonnet carpet cleaners, steam extractors must be used

15. Chalk Boards/Marker Boards Follow manufacturer's directions for cleaning all chalk boards/marker boards. Clean all trays and entire boards as directed.

16. Stairways

Sweep or vacuum and damp mop to clean and spotless appearance.

17. Cafeteria Wash all tables, chairs and trash containers using hospital grade

disinfectant/detergent and remove all trash. Wash and sanitize floor and replace

liners daily.

18. Restrooms

Wash and sanitize sinks, drinking fountains, floors, walls, urinals, water closets, lavatories, seats, benches, dispensers and shower areas using hospital grade disinfectant. Refill all dispensers. Remove all graffiti from walls, partitions, etc.

19. Loading Dock Area

Clean entire loading dock area. Properly dispose of all discarded waste, including but not limited to "breaking up" all cardboard boxes and disposing of them in the

recycle dumpster, stacking all pallets, sweeping clean entire area. Place other recycle

goods in containers provided.

20. Vents and Grills

All wall and ceiling vents and grills which blow in fresh air as well as returns are to be

dusted, vacuumed and wiped clean.

21. At Norwalk Community College - Parking lot garbage and pick up of garbage in parking lot. Remove exterior garbage from receptacles. Replace bags. Pick up and dispose of all garbage in parking lots each day.

X. CLEANING REQUIREMENTS – Unless referenced within the Bid Spec to a higher level

1. Daily/Nightly – minimum suggested to be provided to maintain APPA LEVEL 2

a. Classrooms

a. Clean all chalk boards/marker boards and (rays thoroughly with approved solution.

b. Empty all waste receptacles and replace with liners. Leave in clean and sanitary condition.

c. Remove all pencil/ink marks on instructor's and student desks and tablet armchairs.

d. Vacuum traffic isles and other areas as necessary. Clean spots as required. Sweep with treated dust mop on resilient tile floors. Remove marks as required. Damp mop as required to maintain a clean appearance.

e. Spot clean glass partitions, doors, windows, and window ledges.

f. Straighten chairs and tables per instructions.

g. Close and lock all doors. Turn off all lights.

b. Offices, Library, Conference Rooms

1. Vacuum all carpets. Clean spots as needed. Remove any gum.

2. Empty all wastebaskets. Replace liners daily. Damp wipe wastebaskets with a detergent/disinfectant as needed.

3. Remove smudges, finger marks and stains on doors, light switches and walls.

4. Dust mop vinyl and wood floors with treated mop. Damp mop as required to maintain a clean appearance.

5. Spot clean glass partitions, doors, windows, and window ledges.

6. Close and lock all doors.

7. Turn off all lights.

8. Straighten areas per instructions.

c. RESTROOMS/LAVATORIES/SHOWERS/LOCKER ROOMS

1. All water used for cleaning or mopping must have a minimum of two ounces per gallon of hospital grade disinfectant.

2. Scrub entire toilet and urinal with brush and bowl cleaner.

3. Wash and sanitize all sinks, counters and fixtures.

4. Wash all toilet seats with disinfectant solution. Let sit for ten (I0) minutes. Wipe dry and leave in upright position.

5. Clean all mirrors.

6. Refill all toilet tissue, hand towels, hand soap dispensers, and sanitary napkin dispensers.

7. Empty all wastebaskets and receptacles. Sanitary napkin receptacles must be checked and washed, and bags must be replaced in receptacles.

8. Remove finger marks and writing on doors, light switches and all partitions and walls.

9. Disinfect all splashes on partitions.

10. Keep all slop sinks clean and all supplies neatly stacked.

11. Wash/scrub clean all graffiti from walls, partitions, etc.

12. Contractor shall provide a daily sign-off sheet located in plastic sleeve within restrooms/lavatories/showers/locker rooms. Contractor personnel 1nust initial time and date of completion of daily cleaning.

d. Cafeteria

1. Wash and sanitize floor.

2. Empty and wash all trash containers. Spray and damp wipe inside and outside of trash containers with disinfectant and replace liners daily.

3. Clean and wash table tops and chairs.

4. Wash food and marks off walls, counters, vending machines and interior of microwave oven.

5. Arrange tables and chairs in orderly manner

e. Corridors/Circulation Areas, Entry Foyers/Stairways/Elevators

1. Carpet to be vacuumed.

2. Damp mop floors as needed.

3. Dust mop vinyl floors and rubber stair treads. Damp mop to a clean and spotless condition.

4. Wash and wipe dry all hand rails.

5. Clean, sanitize and polish drinking fountains.

6. Clean all lounge tables and chairs of debris/trash. Leave in orderly arrangement.

7. Spot clean all glass doors-interior and exterior.

8. Clean entire elevators. Wipe with a water based stainless steel cleaner. High speed burnish or refinish floors to maintain a clean and wet look appearance.

9. Remove debris from all containers and reline.

f. Loading Dock Area

1. "Break up" discarded cardboard containers and dispose of them in the recycle dumpster.

2. Straighten and sort all recycle barrels for easy access and removal.

3. Stack all discarded pallets/skids.

3. Sweep clean and remove all other discarded debris.

2. Weekly – or more frequent as specific conditions require to maintain APPA Level 2

a. Dusting-Dust all offices, classrooms, circulation areas to include desks, chairs, file cabinets, book shelves, display cabinets, fire extinguishers, tops of bulletin boards and all reachable window sills, ledges and railings. Desks are to be cleared by owner.

b. Glass-Wash all interior and exterior lobby glass and door glass.

c. Stairways-Thoroughly mop and clean to spotless appearance.

d. Elevators-Tracks on all floors must be thoroughly vacuumed and damp wiped.

e. Mop vinyl floor with disinfectant in all science rooms.

3. Monthly - or more frequent as specific conditions require to maintain APPA Level 2

a. Carpet-Bonnet buff, dry clean open corridor area carpet. b. Vinyl Tile-All areas including classrooms, hallways and labs must be high speed burnished or

refinished to maintain a clean and wet appearance.

c. Restrooms---Clean and sanitize all walls, partitions, counters and surfaces except ceilings.

d. Wood Surfaces-Clean and wax.

e. Glass-Wash all office partitions.

f. Upholstered furniture-Spot clean.

g. Vents and grilles-All wall and ceiling vents and grilles which either blow fresh air in or return air are to be thoroughly dusted, vacuumed and wiped clean.

h. Treat terrazzo floors per installer's recommendations.

4. Modified School Schedule

The following cleaning is to be accomplished during the non-peak periods of holiday, summer sessions, and at such times mutually agreed upon.

a. Tile Floors-Twice yearly strip, seal and refinish all tile/slate floors using a high-speed formulated floor finish as needed. Scrub and wax tile floors where needed to maintain the acceptable high gloss (wet look) appearance required.

b. Desks/Chairs-Damp wipe all desks and chairs to clean, disinfect and remove any graffiti.

c. Wall/Base Molding-Spot clean all walls and base molding by removing stains, spills, residue, etc.

d. Carpeting-Twice yearly all carpeting must be rotary shampooed and water extracted. Spot and remove gum from carpets.

e. Doors-Wash doors, knobs, door pulls, push plates and kick plates.

f. Other-Any mutually agreed upon items that require attention.

Y. WASTE DISPOSAL 1. All waste, paper, liquid solutions and debris shall be disposed of in a safe manner in proper areas

furnished by the College. Liquid waste shall be disposed of in sinks, basins or drainage area designed for such purpose. Paper and other combustible debris shall be disposed of in waste containers located by loading dock off the ground floor.

2. Recyclable materials shall be stored in containers at strategic locations inside.

The contents of these containers shall be transferred periodically to the main

bins for recyclable materials and the main bins brought to the appropriate

locations on the first floor for scheduled pick-ups. Materials requiring

hazardous waste pick-up should be removed and placed in containers provided

by the College.

Z. WORK SCHEDULE

Contractor shall develop, submit for approval and maintain a detailed work schedule to perform all services addressing each in a manner to insure thorough cleaning. Area light shall be turned on and utilized only in the area of immediate work, and upon completion of work the contractor shall turn off all lights. Contractor shall, upon completion of work in each area, secure all doors, windows, and cabinets and lock as appropriate.

Each College reserves the right to change operational hours as needed, and shall give contractor sufficient advance notice of any changes. Hours shall be adjusted if the college operational hours are adjusted.

AA. Additional Work:

There may be additional tasks required that are not specified or anticipated. These tasks will be limited in scale and may or may not be custodial service functions. Upon request for the performance of such tasks and if can be provided by the Contractor, the Contractor shall submit a written proposal, utilizing current standard wage rates (or applicable trade rates) including required benefits and applicable mark-ups. College Designee shall review and approve all charges for additional work prior to the start of Services.

1. Descriptions of job classifications to perform additional work but not limited to:

Heavy Cleaner* All heavy mopping; all damp mopping in excess of one-half hour per shift; all work done on a ladder; most bathroom cleaning, except for wiping out sinks and replacing toilet supplies; buffing, stripping, waxing; use of any heavy machine, snow blower; brass polishing; removing heavy trash and loading into gondolas, compactors; changing light bulbs, cleaning light fixtures; loading and unloading drums, boxes of cleaning material; high dusting, including use of extension poles and other tasks requiring extra strength, agility, and expertise.

Light Cleaner* Spot dry moping of one-half hour or less per shift; emptying ashtrays; cleaning phones; spot cleaning; desk dusting; dusting within arm’s reach; emptying waste baskets into trash bags; vacuuming of no more than ½ of shift; wiping out sinks, replacing toilet supplies in bathrooms and snow shoveling; no climbing; no extension poles and no lifting of more than 20 pounds.

Janitor* (Day Porter) Cleans and keeps in an orderly condition factory working areas and washrooms, or premises of an office, or commercial or other establishment. Duties involve a combination of the following: Sweeping, mopping or scrubbing, and polishing floors; removing chips, trash, and other refuse; dusting equipment, furniture, or fixtures; polishing metal fixtures or trimmings; providing supplies and minor maintenance services; and cleaning lavatories, showers, and restrooms.

*Excluded work in the Heavy Cleaner, Light Cleaner and Janitor responsibilities are: 1. Workers who specialize in window washing.

2. Workers required to disassemble and assemble equipment in order to clean machinery.

3. Workers who receive additional compensation to maintain sterile facilities or equipment.

Window Cleaner Cleans windows, glass partitions, mirrors, and other glass surfaces of building interior or exterior, using pail of soapy water or other cleaner, sponge, and squeegee. Crawls through window from inside and hooks safety belt to brackets for support; sets and climbs ladder to reach second or third story; uses bos’n chair, swing state or other scaffolding lowered from roof to reach outside windows; or stands to reach first floor or inside windows.

BB. INSPECTION AND AUDITING

1. Contractor shall assign and maintain on premises a qualified supervisor (see section

6.A.l) to perform inspection services of the workforce and to guarantee co1npliance with the terms, conditions, and specifications of the contract. The College, at its discretion, shall perform routine audits on performance of contract items. Any discrepancies, omissions or unacceptable performance shall be rectified in accordance with the terms and conditions of the contract. Any deductions for work not performed shall be in accordance with the terms of this contract and assessed on an hourly basis.

2. Contractor shall assign a qualified supervisor to meet with the appropriate College staff

on a weekly basis for a mutually agreed upon time to review performance.

3. The Contractor shall maintain and sign a daily logbook used by the College Designee to verify that the Services are completed each day and to record any concerns needing corrective action. The Contractor’s on-site supervisor shall review this logbook at the beginning of each shift and shall ensure that noted corrections are made if corrections are Contractor’s responsibility. If corrections are not Contractor’s responsibility, then the on-site supervisor shall verify and note in the log book that such concerns have been forwarded to the College Designee.

4. College Designee shall notify the Contractor’s Management to correct any problem(s) that are continuous or unresolved through the use of the Daily Log. The College Designee shall communicate through an email correspondence and copy the DAS Contract Specialist or Purchasing Assistant to document performance issues or refer to the steps in Performance Monitoring.

CC. OCCUPANCY AND ACCESS

1. The College(s) reserves the right to occupy or allow use of any building, room or office as required. Contractor shall accommodate the College and arrange cleaning schedule to perform services accordingly. The College shall attempt to notify contractor sufficiently in advance of occupancy so contractor can make necessary arrangements.

2. Each College Designee will provide the Contractor's on-site supervisor with building

entry keys and/or key card or code access (collectively “Keys”) as applicable. Only the Contractor’s on-site supervisor will be authorized to lock or unlock doors for Contractor personnel. The Contractor is responsible for informing its employees of all security measures that must be adhered to. Any violations of such measures caused by Contractor or its employees will subject the Contractor to fines and/or cancellation of the Contract.

3. All Keys to the Facility will be furnished by the College Designee to the Contractor.

Contractor shall sign a Key receipt form as provided by the College Designee. All Keys will remain the property of the College and will not be duplicated by the Contractor or its employees. The Contractor shall return all Keys to the College Designee upon request and at the end of the term of the Contract. If any Keys are not returned by Contractor, a charge for re-keying all affected locksets will be assessed against Contractor. The Contractor shall also assume the cost of re-keying buildings if Keys are lost or stolen by the Contractor or its employees or representatives.

4. Contractor shall report the loss of any Keys to the College Designee within two (2) hours

after the Contractor or any of its employees or representatives are notified or become aware of such loss. Contractor shall accept full responsibility of such loss and expenses that may result including, but not limited to re-keying of the College. Failure of the Contractor to report the loss of any Keys or to accept full responsibility for any loss or expense in accordance with the terms of this provision will be grounds for immediate termination of the Contract.

DD. SECURITY

1. The Contractor, at its own cost, shall complete a comprehensive background investigation

(Connecticut and Federal), including fingerprinting of all employees including contingency employees who may be utilized to cover absenteeism assigned to the Contract at least forty eight (48) hours prior to the commencement of work by any employee. Background checks must detail employment history, arrest information and citizenship as well as any other information requested by the College. Background check should include the sex offender registry. The results of background checks must be submitted to the College Designee by Contractor immediately upon completion. The College Designee reserves the

right to verify background investigations of Contractors' employees. The College may reject potential Contractor employees based upon background check results if the College deems the presence of such employees to be detrimental to its best interest, the best interest of the general public or the State, or the best interest of occupants of the College. No Contractor employee will be admitted to the College without a completed background check. Background check and/or fingerprints will be coordinated through the Commanding Officer of the State Police Troop D or other location if approved by the campus. Upon execution of the Contract the Contractor shall submit name and contact information, including, but not limited to names, date of birth, social security numbers, drivers license, of all employees who will perform on site services to the College Designee.

2. The Contractor shall train its employees in the security requirements as described by the

College Designee and will be responsible for enforcing the security rules as such rules apply to its employees. The Contractor shall train its employees with respect to emergency evacuation procedures as well.

3. Contractor shall provide identification badges for all employees. The badges will have the

company name/logo, employee’s photograph, name and signature. The badges will be worn by the employee at all times within the College. Contractor’s employees will be instructed not to lend identification badges to another person.

4. The contractor is responsible for training his/her employees in the security

requirements of the college, and he/she is responsible for enforcing the security rules as they apply to his/her employees. All contractor employees shall be requested to park their vehicles in a pre-designated area. Once their shift commences, they shall not be allowed to leave the building until the completion of their shift.

5. At the beginning and end of their shift, they shall be expected to punch in and out

individually on a time clock provided by the contractor. All keys shall be signed out and returned to College security personnel each shift. Keys shall not leave the premises. Subsequently, all contracted staff shall leave the premises together.

6. In addition to any other security rules and regulations, the contractor shall inform his/her employees of the following:

a. In accordance with Executive Order #16 of Governor John G. Rowland, neither the Contractor nor any of its employees or personnel shall bring any guns, knives or other dangerous weapons, as identified by College Designee, onto the College or any other State property

b. The Contractor’s staff may not remove any recyclables from the College. c. No dangerous drugs or other prohibited substances, including alcohol, are allowed

on College property. d. No unauthorized personnel, including children, shall be allowed on state property.

e. Neither Contractor nor any of its employees or other personnel shall bring any unauthorized personnel,

including children, onto the College or any other State property. The use of state telephones is strictly prohibited, except in an emergency situation. Pay phones, where available to the college, may be used by custodial staff at a time deemed appropriate by the contractor.

Connecticut General Statutes (“CGS”) Section 17b-656 allows for a preference for products made or manufactured by or services provided by persons with disabilities through community rehabilitation programs, and CGS Section 10-298c requires that CSCU fix a fair market price for all articles and services offered for sale by disabled persons. This bid is subject to this preference in accordance with requirements of CGS Section 17b-656 and CGS Section 10-298c. Contractors shall comply with all provisions of Connecticut General Statues 31-57f, Standard Wage Rates for Certain Service Workers, shall pay wages in accordance with the current wage rates provided by the Department of Labor as well as provide the State Department of Labor with applicable payroll data on state forms. Successful Contractor shall make efforts to retain employees of the existing Contractor consistent to CGS § 31‐57(g) and CGS § 4a-82(o). The Contractor should not overstaff a site if more employees currently exist than contractor proposes to perform the work with. Proposers may contact the current janitorial service provider or the Service Employees International Union (SEIU) Representative, at 860‐560‐8674 (if applicable) for a seniority list which contains the employee’s information; name, date of hire, salary and employment occupation classification of each person currently employed at the Facilities location by the existing Contractor.

2. II. Company Background and Financial Capability

1. Provide the name and address of proposing company and the names of all the owners or principals of the company or corporation, the location and address of the office that will be serving CSCU, and the number of years proposer has been in business under this name. If a subsidiary of another entity, include the name of the parent entity.

2. Provide the name, title, telephone number, and e-mail address of the appropriate person to contact

concerning the proposal. 3. References from a minimum of (3) clients of similar size and complexity currently under contract with your

company shall be provided, and such references must indicate that high quality of services has been consistently performed. Provide the length of time at each account, and the name, title, address, telephone number, and e-mail address of contact person for each.

4. Provide a history of contracts entered into with all colleges and universities over the last three (3) years 5. History of contracts entered into with the State of Connecticut over the five (5) year period immediately

prior to the published date of the RFP, including contracts awarded, contracts terminated, and contracts determined to be null and void.

6. Demonstration of ability to comply with State of Connecticut contracting statutes and regulations, and the

provisions of Attachment I.

7. History of violations of State of Connecticut statutes and regulations relating to Ethics during the five (5) year period immediately prior to the published date of the RFP.

8. Provide other such information as the proposer deems pertinent for consideration by CSCU. Please note

that supplementary information may be requested by the CSCU to assure that the proposer’s competence, business organization, and financial resources are adequate to successfully perform the specified service.

9. Each proposal must include a table of contents with page numbers for each of the required components of the proposal, with sufficient detail to facilitate easy reference to all requested information. The proposer’s information should be prepared simply and economically, providing a straightforward, concise description of how each of the requirements will be met. Emphasis should be on completeness and clarity of content.

10. Failure to respond to all points may be grounds for rejection. Likewise, failure to supply any information

required to accompany the proposals may cause a rejection of the proposal as non-compliant. CSCU reserves the right to request additional information and/or presentations, if clarification is needed. Proposals that do not substantially conform to the contents of the request, consequently altering the basis for proposal comparison, may be disregarded and considered as unresponsive.

11. PROPOSERS MUST CERTIFY THAT PROPOSAL PRICING WILL REMAIN VALID FOR A PERIOD OF 120 DAYS

FROM THE PROPOSAL DUE DATE

V. Evaluation of Proposals

1. A. Evaluation

The award of an Agreement to furnish services will be based upon a comprehensive review and analysis of proposals by an RFP committee, and negotiation of the proposal which best meets the needs of the CSCU. The determination for the recommendation for selection will be based on a points-earned matrix derived from a technical and financial evaluation. Award will be made to the proposer offering the best value as determined by CSCU. All Vendors submitting proposals concur with this method of award and will not, under any circumstances or in any manner, dispute any award made using this method. The award will be contingent upon the successful negotiation of specific terms and conditions to be included in the resulting contract.

B. Criteria Each proposal will be evaluated based on the following criteria: 1. Completed and signed Contract Proposal and Bid Form 2. Demonstrated ability and experience to fully deliver any and all products, administrative

functions, and related services as described in Sections III, IV and V of this RFP and as conveyed in thee proposer’s response to CSCU requirements specified therein;

3. The competitiveness and overall completeness of the proposed pricing structure (hourly rate and materials cost;

4. Demonstrated ability to fully comply with State of Connecticut contracting requirements including, but not limited to, contract terms and conditions, ethics affidavits, and nondiscrimination certification;

5. References 6. Contractor(s) shall submit a staffing chart for each campus that they provide a submission for

showing minimum staff quantities per shift with job classifications to show how daily contract services will be completed.

7. Certified Qualified Partner of the Connecticut Community Nonprofit Alliance or evidence the application was submitted prior to the bid submission, if desired by the Contractor.

8. Provide certification the applicant is an SBE/MBE, if applies.

The order in which the above selection criteria are listed is not indicative of their relative importance. Evaluation scoring criteria will be based from 60% from the submitted cost and 40% of the contractor(s) ability to complete the work and the strength of the firm.

Proposer(s) that are chosen for an award resulting from this RFP must be willing to enter into a contract with CSCU under the terms and conditions appearing in Attachment I, without exception, as well as modifications and additions the CSCU deems necessary prior to execution.

VI. Time Frames and Instructions for Submission of Proposals

1. Proposer Site Visits

Mandatory Pre-Bid Conference Call

A mandatory Pre-Bid conference call will be conducted on Monday, March 12, 2018 at 1:00 PM for all

contractors who are registered as bid proposers. Registering for the conference call should be no later

are not employed by the contractor may not sign in for the proposer. Mandatory site visits are as

Tuesday, March 13, 2018 - Mandatory Site Visits

9:00 AM – Capital Community College, 950 Main Street, Hartford, CT

Contractors will meet in the Main St. entrance lobby and shall sign in as a visitor with

the building guard at the reception desk. Contractors shall not progress into the

building prior to the mandatory site visit. Contractors can park for the posted rates in

Capital’s Talcott St. Parking Garage or any other parking option that they choose.

Please be aware that metered on street parking that expires may lead to a City of

Hartford parking ticket.

12:00 PM – Charter Oak State College, 55 Paul Manafort Drive, New Britain, CT

Contractors will meet outside the front entrance of the building and should not enter

the building prior to the mandatory site visit. Contractors can park in the parking lot

in front of Charter Oak College. When complete at 55 Paul Manafort Drive, the tour

will progress to Charter Oaks leased facility at 85 Alumni Road, Newington, CT. The

distance between the two facilities is approximately 2 miles.

3:00 PM – Middlesex Community College, 100 Training Hill Road, Middletown, CT

Contractors will meet outside the main entrance of Founders Hall. Contractors shall

not progress into the buildings prior to the mandatory site visit. Contractors can park

in the college parking lot.

Wednesday, March 14, 2018 - Mandatory Site Visits

9:00 AM – Housatonic Community College, 900 Lafayette Boulevard, Bridgeport, CT

Contractors will meet inside the main entrance lobby directly adjacent to the college

parking garage. Contractors shall not progress beyond the entrance prior to the

mandatory site visit. Contractors can park at no charge inside the college parking

garage as long as they tell the guard that they are on campus for the Custodial Bid site

visit. The college guard can also point out the main entrance location.

1:30 PM – Norwalk Community College - 188 Richards Avenue, Norwalk, CT

Contractors will meet outside the front entrance lobby of 188 Richards Avenue and

should not progress into the building prior to the mandatory site visit. Contractors can

park in one of the campus parking lots. When the tour is complete at 188 Richards

Avenue it will progress to the remaining campus on the opposite side of the street.

NOTE: Please allow ample time to travel from site to site. Some of the campuses take time to park and walk to the site visit meeting point. Late Arrivals (15 minutes or more) may not be given credit for attendance nor allowed to participate in the RFP process. Proposers will not be admitted to state buildings without a valid photo ID. Failure to attend scheduled meetings will result in the rejection of your RFP for the campus meeting that was not attended by the Contractor. 2. Submission of Questions

VII. Instructions for Submission of Proposals Submit one clearly marked original signed proposal and one copy, along with two electronic copies on a CD or USB flash drive, in a sealed envelope or package. The outermost envelope or package containing the proposal must be marked: “CSCU-1807- Custodial Services” to allow for proper identification. E-mailed or faxed proposals are not acceptable and will be rejected. Any proposal received after the stated date and time will not be opened and will be rejected. CSCU is not responsible for delivery delays or errors by any type of delivery carrier. Bidders of rejected bids will have 30-days to retrieve their rejected proposal otherwise they may be destroyed by the state. In the event that the System Office is unexpectedly and formally closed (e.g., inclement weather, et al) on the above stated proposal due date and time, the due date and time shall default to 2:00 PM (ET) on the next business day on which the System Office is open. A business day is defined as Monday-Friday inclusive; Saturday, Sunday, and certain legal holidays exclusive.

A public proposal opening will take place on April 2, 2018, 2:15 pm at 61 Woodland Street, Hartford, CT 06105. At that time, a representative of the Contract Compliance and Procurement Department will announce publicly the names of those firms submitting proposals. There will be no discussion of any proposal submitted and no other public disclosure will be made until after the full execution of a contract. Attendance at this proposal opening is not mandatory.

VIII. Conditions

1. Restriction on Communications All communications concerning this solicitation are to be in writing and directed to: Douglas Ginsberg, [email protected],. Proposers are not permitted to communicate with College faculty and / or staff regarding this solicitation during the period between the Request for Proposal issue date and the announcement of award(s), except during any interviews or demonstrations requested by CSCU.

2. Insurance

A Certificate of Insurance (“Certificate”), certifying that the vendor carries Commercial General Liability insurance. An original Certificate shall be submitted to the System prior to commencement of work. The Certificate shall provide evidence of coverage in the amount of $1,000,000 Combined Single Limit (CSL) per occurrence for bodily injury, personal injury and property damage. Coverage shall include Premises Liability, Operations, Independent Contractors, Products and Completed Operations, Contractual Liability and Broad Form Property Damage coverage. If an aggregate limit applies, said

limit shall apply separately to the project, or the general aggregate limit shall be twice the occurrence limit. Worker’s Compensation and Employer’s Liability is required and must meet statutory coverage requirements prescribed by the Worker’s Compensation statutes of the State of Connecticut. The Employer’s Liability coverage must provide minimum limits of $100,000 each accident, $500,000 Policy Disease Limit, $100,000 each employee. Policies shall list the State of Connecticut, its officers, officials, employees, agents, Boards and Commissions as Additional Insured. The coverage shall contain no special limitations on the scope of protection afforded to the System and the State of Connecticut. The vendor shall assume liability for any and all deductibles in any and all insurance policies. Vendor warrants that he/she will maintain in force all insurance coverage cited in this section while providing services to the System.

3. Term of Contract:

At the option of CSCU, the term of the contract will be for five (5) years or any portion thereof.

4. Costs for Proposal Preparation Proposer shall bear any and all costs incurred in responding to this RFP.

5. Disqualification of Proposals CSCU reserves the right to consider as acceptable only those proposals submitted in accordance with all requirements set forth in this RFP and which demonstrate an understanding of the scope of the work. Any proposal offering any other set of terms and conditions contradictory to those included in this RFP may be disqualified without further notice. Proposer may be disqualified and the proposal automatically rejected for any one or more of the following reasons: 1. The proposal shows noncompliance with applicable law. 2. The proposal is conditional, incomplete, or irregular in such a way as to make the proposal

indefinite or ambiguous as to its meaning. 3. The proposal has any provision reserving the right to accept or reject award, or to enter into a

contract pursuant to an award, or provisions contrary to those required in the solicitation. 4. The Contractor is debarred or suspended. 5. The Contractor is in default of any prior contract or for misrepresentation

6. Rights Reserved

CSCU reserves the right to award in whole or in part, to contract with one or more proposers, to reject any and all proposals, in whole or in part, and to waive technical defects, irregularities and omissions if, in its judgment, the best interest of CSCU will be served. Should CSCU determine that only one Proposer is fully qualified, or that one Proposer is more highly qualified than the others under consideration, a contract may be negotiated and awarded to that Proposer.

7. Compliance with State and Federal Laws and CSCU Policies Any contract awarded as a result of this RFP shall be in full compliance with the statutes and regulations of the State of Connecticut and include the Contract Provisions required by the State (which may

include, but not be limited to the provisions found in Attachment I). Any portion of the contract determined to be in conflict with said statutes and/or regulations will be interpreted so as to be in compliance.

Under no circumstances will CSCU enter into a contract which requires CSCU or the State to agree to indemnify another party, or agree to binding arbitration.

The successful proposer shall comply with all applicable CSCU Policies including the Ethical Conduct Policy, which may be found by visiting: www.ct.edu/hr/policies. The successful proposer shall also comply with all federal and state statutes and regulations including, but not limited to, Gramm-Leach-Bliley Act and the Family Educational Rights and Privacy Act (“FERPA”) in the protection of all data where and as applicable.

8. Inspection of Proposals and Confidential Information CSCU treats Proposals as confidential until after a contract is finalized. At that time, they become subject to disclosure under the Freedom of Information Act. CSCU is a public entity and its records including responses to this RFP, are public records. See Conn. Gen. Stat. §§1-200, et seq., and especially §1-210(b)(24). Due regard will be given for the protection of proprietary or confidential information contained in all proposals received. Conn. Gen. Stat. §1-210(b)(5). However, all materials associated with this RFP are subject to the terms of the Connecticut Freedom of Information Act (“FOIA”) and all applicable rules, regulations and administrative decisions. If a firm is interested in preserving the confidentiality of any part of its proposal, it will not be sufficient merely to state generally that the proposal is proprietary or confidential in nature and not, therefore, subject to release to third parties. Instead, those particular sentences, paragraphs, pages or sections that a firm believes to be exempt from disclosure under FOIA must be specifically identified as such. Convincing explanation and rationale sufficient to justify each exemption consistent with Section 1-210(b) of FOIA must accompany the proposal. The rationale and explanation must be stated in terms of the reasons the materials are legally exempt form release pursuant to FOIA. Firms should not require that their entire proposal, note the majority of the proposal, be confidential. Any submitted proposal, once execution of a contract is complete and any completed contract will be considered public information. CSCU has no obligation to initiate, prosecute or defend any legal proceeding or to seek a protective order or other similar relief to prevent disclosure of any information that is sought pursuant to a FOIA request. The contractor has the burden of establishing the availability of any FOIA exemption in any proceeding where it is an issue. In no event shall the CSCU have any liability for the disclosure of any documents or information in its possession which the CSCU believes are required to be disclosed pursuant to FOIA or other requirements of law.

9. Contract Invalidation If any provision of the contract is found to be invalid, such invalidation will not be construed to invalidate the entire contract.

10. Fees All fee and cost structures quoted herein shall remain firm for the entire contract term, unless mutually agreed by all parties via written contract amendment.

11. RFP Terms and Conditions The terms and conditions should be reviewed carefully to ensure full responsiveness to the RFP. The contract will be, in form and substance, consistent with applicable CSCU policy and regulations and State of Connecticut statutes and regulations regarding the creation and execution of such contract. The failure of any proposer to receive or examine any contract, document, form, addenda or to visit the sites and acquaint itself with conditions there-existing, when applicable, will not relieve it of any obligation with respect to its proposal or any executed contract. The submission of a proposal shall be conclusive evidence and understanding of intent to incorporate such terms and conditions into a contract.

12. Supplemental Information

As part of the review, CSCU may request a proposer to supply, in writing, clarifications, additional documentation or information needed to fairly evaluate each proposal. Proposers may be required to provide a written response within three (3) business days of receipt of any request for clarification by CSCU. CSCU reserves the right to correct inaccurate awards resulting from clerical errors.

13. Meetings with Proposers At its discretion, CSCU may convene meetings with one or more proposers in order to gain a fuller understanding of the proposals. The meetings may involve demonstrations, interviews, presentations, or site visits. If CSCU decides meetings are warranted, CSCU will contact proposers to make an appointment. The RFP Committee may, at its option, elect to “short-list” the number of proposers brought in for meetings based on the evaluation criteria included in this RFP. Please note that any costs incurred to meet the requirements of this RFP shall be borne by the proposer.

14. Miscellaneous

1. Late, E-Mailed or faxed proposals are not acceptable and will be rejected. The CSCU is not responsible for delivery delays or errors by any type of delivery carrier.

2. Submission of a proposal against this RFP is your acknowledgement that subjective criteria will be used

in the evaluation of proposals. Award will be made to the responsible proposer who is determined to be the most advantageous to CSCU. Cost, although an important consideration, will not be the sole determining factor.

3. Proposer warrants that: proposer did not participate in the RFP development process, did not have

knowledge of the contents of this RFP prior to its issuance, that its proposal was not made in connection with any competing proposer submitting a separate response to this RFP, and that the proposal is submitted without collusion or fraud of any kind.

4. Any alleged oral agreement or arrangement made by a proposer with any agency or employee will be

superseded by the written agreement.

5. Proposers may withdraw their proposals at any time prior to the time and date set for opening.

6. No additions or changes to the original proposal will be allowed after submittal. While changes are not permitted, clarification at the request of the CSCU may be required at the proposer’s expense.

7. All proposals submitted in response to this RFP become the property of the State of Connecticut, and are subject to the provisions of section 1-210 of the Connecticut General Statutes (Freedom of Information). See Section VI.8.

8. Any and all prices quoted in a proposal shall be valid for a period of 120 days from the due date of the

Proposal.

9. Any subsequent contract(s) arising from this RFP may be extended to other constituent units of higher education. The use of this award is voluntary and is contingent upon acceptance by the contractor.

10. Any contract awarded is subject to contract compliance requirements mandated by Section 4a-60 and 46a-68 of the Connecticut General Statutes.

11. For all state contracts as defined in Connecticut General Statutes §9-612(g)(2), as amended by P.A.

The contract to be awarded is subject to contract compliance requirements mandated by Sections 4a-60 and 4a- 60a of

the Connecticut General Statutes; and, when the awarding agency is the State, Sections 46a-71(d) and 46a-81i(d) of

the Connecticut General Statutes. There are Contract Compliance Regulations codified at Section 46a-68j-21 through

43 of the Regulations of Connecticut State Agencies, which establish a procedure for awarding all contracts

covered by Sections 4a-60 and 46a-71(d) of the Connecticut General Statutes.

According to Section 46a-68j-30(9) of the Contract Compliance Regulations, every agency awarding a contract subject

to the contract compliance requirements has an obligation to “aggressively solicit the participation of legitimate

minority business enterprises as proposers, contractors, subcontractors and suppliers of materials.” “Minority business

enterprise” is defined in Section 4a-60 of the Connecticut General Statutes as a business wherein fifty-one percent

or more of the capital stock, or assets belong to a person or persons: “(1) Who are active in daily affairs of the

enterprise; (2) who have the power to direct the management and policies of the enterprise; and (3) who are members

of a minority, as such term is defined in subsection (a) of Section 32-9n.” “Minority” groups are defined in Section 32-

9n of the Connecticut General Statutes as “(1) Black Americans . . .

(2) Hispanic Americans . . . (3) persons who have origins in the Iberian Peninsula . . . (4)Women . . . (5) Asian Pacific

Americans and Pacific Islanders; (6) American Indians . . .” An individual with a disability is also a minority

business enterprise as provided by Section 4a-60g of the Connecticut General Statutes. The above definitions apply

to the contract compliance requirements by virtue of Section 46a-68j-21(11) of the Contract Compliance Regulations.

The awarding agency will consider the following factors when reviewing the proposer’s qualifications under the

contract compliance requirements:

(a) the proposer’s success in implementing an affirmative action plan;

(b) the proposer’s success in developing an apprenticeship program complying with Sections 46a-68-1 to

46a-68-17 of the Administrative Regulations of Connecticut State Agencies, inclusive;

(c) the proposer’s promise to develop and implement a successful affirmative action plan;

(d) the proposer’s submission of employment statistics contained in the “Employment Information

Form”, indicating that the composition of its workforce is at or near parity when compared to the

racial and sexual composition of the workforce in the relevant labor market area; and

(e) the proposer’s promise to set aside a portion of the contract for legitimate minority

business enterprises. See Section 46a-68j-30(10)(E) of the Contract Compliance Regulations.

INSTRUCTIONS AND OTHER INFORMATION

The following PROPOSER CONTRACT COMPLIANCE MONITORING REPORT must be completed in full, signed,

and submitted with the bid for this contract. The contract awarding agency and the Commission on Human Rights and

Opportunities will use the information contained thereon to determine the proposers compliance to Sections 4a-60

and 4a-60a CONN. GEN. STAT., and Sections 46a-68j-23 of the Regulations of Connecticut State Agencies regarding

equal employment opportunity, and the proposer’s good faith efforts to include minority business enterprises as

subcontractors and suppliers for the work of the contract.

1) Definition of Small Contractor

Section 4a-60g CONN. GEN. STAT. defines a small contractor as a company that has been doing business under

the same management and control and has maintained its principal place of business in Connecticut for a one year

period immediately prior to its application for certification under this section, had gross revenues not exceeding

fifteen million dollars in the most recently completed fiscal year, and at least fifty-one percent of the ownership of

which is held by a person or persons who are active in the daily affairs of the company, and have the power to direct

the management and policies of the company, except that a nonprofit corporation shall be construed to be a small

contractor if such nonprofit corporation meets the requirements of subparagraphs (A) and (B) of subdivision 4a-60g

Contract Provisions 1. Statutory Authority. Connecticut General Statutes §§ 10a-6, 10a-1b, 4a-52a, and/or 10a-151b provide the

Institution with authority to enter into contracts in the pursuit of its mission.

2. Claims Against the State. The Contractor agrees that the sole and exclusive means for the presentation of any claim against the State of Connecticut or the Institution arising from this Contract shall be in accordance with Chapter 53 of the Connecticut General Statutes (Claims Against the State) and the Contractor further agrees not to initiate any legal proceedings in any state or federal court in addition to, or in lieu of, said Chapter 53 proceedings.

3. Indemnification. The Contractor agrees to indemnify, defend and hold harmless the State of Connecticut as well as all Departments, officers, agents, and employees of the State from and against any and all claims, losses or suits according to or resulting from any Contractors, Subcontractors, laborers, or any person, firm or corporation who may be directly or indirectly injured or damaged by the negligence or willful misconduct of the Contractor in the performance of the contract.

4. Sovereign Immunity. The parties acknowledge and agree that nothing in this contract shall be construed as a modification, compromise or waiver by the State of any rights or defenses of any immunities provided by Federal law or the laws of the State of Connecticut to the State or any of its officers and employees, which they may have had, now have or will have with respect to all matters arising out of this contract. To the extent that this section conflicts with any other section, this section shall govern.

5. Insurance. The Contractor agrees that while performing services specified in this contract that it shall carry sufficient insurance (liability and/or other) as applicable according to the nature of the service(s) to be performed so as to “save harmless” the State of Connecticut from any insurable cause whatsoever. If requested, certificates of such insurance shall be provided to the contracting state agency prior to the performance of services.

6. Forum and Choice of Law. The parties deem the Contract to have been made in the City of Hartford, State of Connecticut. Both parties agree that it is fair and reasonable for the validity and construction of the contract to be, and it shall be, governed by the laws and court decisions of the State of Connecticut, without giving effect to its principles of conflicts of laws. To the extent that any immunities provided by Federal law or the laws of the State of Connecticut do not bar an action against the State, and to the extent that these courts are courts of competent jurisdiction, for the purpose of venue, the complaint shall be made returnable to the Judicial District of Hartford only or shall be brought in the United States District Court for the District of Connecticut only, and shall not be transferred to any other court, provided, however, that nothing here constitutes a waiver or compromise of the sovereign immunity of the State of Connecticut. The Contractor waives any objection which it may now have or will have to the laying of venue of any claims in any forum and further irrevocably submits to such jurisdiction in any suit, action or proceeding.

7. Termination. a. Notwithstanding any provisions in this contract, the Institution, through a duly authorized employee, may

terminate the Contract whenever the Institution makes a written determination that such termination is in the best interests of the State. The Institution shall notify the Contractor in writing of termination pursuant to this section, which notice shall specify the effective date of termination and the extent to which the Contractor must complete its performance under the contract prior to such date.

b. Notwithstanding any provisions in this contract, the Institution, through a duly authorized employee, may, after making a written determination that the Contractor has breached the contract, terminate the contract in accordance with the following breach provision.

i. Breach. If either party breaches the contract in any respect, the non-breaching party shall provide written notice of the breach to the breaching party and afford the breaching party an opportunity to cure within ten (10) days from the date that the breaching party receives the notice. In the case of a Contractor breach, any other time period which the Institution sets forth in the notice shall trump the ten (10) days. The right to cure period shall be extended if the non-breaching party is satisfied that the breaching party is making a good faith effort to cure but the nature of the breach is such that it cannot be cured within the right to cure period. The notice may include an effective contract termination date if the breach is not cured by the stated date and, unless otherwise

modified by the non-breaching party in writing prior to the termination date, no further action shall be required of any party to effect the termination as of the stated date. If the notice does not set forth an effective contract termination date, then the non-breaching party may terminate the contract by giving the breaching party no less than twenty four (24) hours’ prior written notice. If the Institution believes that the Contractor has not performed according to the contract, the Institution may withhold payment in whole or in part pending resolution of the performance issue, provided that the Institution notifies the Contractor in writing prior to the date that the payment would have been due.

c. The Institution shall send the notice of termination via certified mail, return receipt requested, to the Contractor at the most current address which the Contractor has furnished to the Institution for purposes of correspondence, or by hand delivery. Upon receiving the notice from the Institution, the Contractor shall immediately discontinue all services affected in accordance with the notice, undertake all commercially reasonable efforts to mitigate any losses or damages, and deliver to the Institution all records. The records are deemed to be the property of the Institution and the Contractor shall deliver them to the Institution no later than thirty (30) days after the termination of the contract or fifteen (15) days after the Contractor receives a written request from the Institution for the records. The Contractor shall deliver those records that exist in electronic, magnetic or other intangible form in a non-proprietary format, such as, but not limited to, ASCII or .TXT.

d. Upon receipt of a written notice of termination from the Institution, the Contractor shall cease operations as the Institution directs in the notice, and take all actions that are necessary or appropriate, or that the Institution may reasonably direct, for the protection, and preservation of the goods and any other property. Except for any work which the Institution directs the Contractor to perform in the notice prior to the effective date of termination, and except as otherwise provided in the notice, the Contractor shall terminate or conclude all existing subcontracts and purchase orders and shall not enter into any further subcontracts, purchase orders or commitments.

e. The Institution shall, within forty-five (45) days of the effective date of termination; reimburse the Contractor for its performance rendered and accepted by the Institution in accordance with the terms of this contract, in addition to all actual and reasonable costs incurred after termination in completing those portions of the performance which the notice required the Contractor to complete. However, the Contractor is not entitled to receive and the Institution is not obligated to tender to the Contractor any payments for anticipated or lost profits. Upon request by the Institution, the Contractor shall assign to the Institution, or any replacement Contractor which the Institution designates, all subcontracts, purchase orders and other commitments, deliver to the Institution all records and other information pertaining to its performance, and remove from State premises, whether leased or owned, all of Contractor's property, equipment, waste material and rubbish related to its performance, all as the Institution may request.

f. For breach or violation of any of the provisions in the section concerning representations and warranties, the Institution may terminate the contract in accordance with its terms and revoke any consents to assignments given as if the assignments had never been requested or consented to, without liability to the Contractor or Contractor parties or any third party.

g. Upon termination of the contract, all rights and obligations shall be null and void, so that no party shall have any further rights or obligations to any other party, except with respect to the sections which survive termination. All representations, warranties, agreements and rights of the parties under the contract shall survive such termination to the extent not otherwise limited in the contract and without each one of them having to be specifically mentioned in the contract.

h. Termination of the contract pursuant to this section shall not be deemed to be a breach of contract by the Institution.

8. Entire Agreement and Amendment. This written contract shall constitute the entire agreement between the

parties and no other terms and conditions in any document, acceptance or acknowledgment shall be effective or binding unless expressly agreed to in writing by the Institution. This contract may not be changed other than by a formal written contract amendment signed by the parties hereto and approved by the Connecticut Attorney General.

9. Nondiscrimination.

(a) For purposes of this Section, the following terms are defined as follows: (i) "Commission" means the Commission on Human Rights and Opportunities; (ii) "Contract" and "contract" include any extension or modification of the Contract or contract; (iii) "Contractor" and "contractor'' include any successors or assigns of the Contractor or contractor; (iv) "Gender identity or expression" means a person's gender-related identity, appearance or behavior, whether or not that gender-related identity, appearance or behavior is different from that traditionally associated with the person's physiology or assigned sex at birth, which gender-related identity can be shown by providing evidence including, but not limited to, medical history, care or treatment of the gender-related identity, consistent and uniform assertion of the gender-related identity or any other evidence that the gender-related identity is sincerely held, part of a person's core identity or not being asserted for an improper purpose; (v) "good faith" means that degree of diligence which a reasonable person would exercise in the performance of legal duties and obligations; (vi) "good faith efforts" shall include, but not be limited to, those reasonable initial efforts necessary to comply with statutory or regulatory requirements and additional or substituted efforts when it is determined that such initial efforts will not be sufficient to comply with such requirements; (vii) "marital status" means being single, married as recognized by the State of Connecticut, widowed, separated or divorced; (viii) "mental disability" means one or more mental disorders, as defined in the most recent edition of the American Psychiatric Association's "Diagnostic and Statistical Manual of Mental Disorders", or a record of or regarding a person as having one or more such disorders; (ix) "minority business enterprise" means any small contractor or supplier of materials fifty-one percent or more of the capital stock, if any, or assets of which is owned by a person or persons: (1) who are active in the daily affairs of the enterprise, (2) who have the power to direct the management and policies of the enterprise, and (3) who are members of a minority, as such term is defined in subsection (a) of Connecticut General Statutes § 32-9n; and (x) "public works contract" means any agreement between any individual, firm or corporation and the State or any political subdivision of the State other than a municipality for construction, rehabilitation, conversion, extension, demolition or repair of a public building, highway or other changes or improvements in real property, or which is financed in whole or in part by the State, including, but not limited to, matching expenditures, grants, loans, insurance or guarantees.

For purposes of this Section, the terms "Contract" and "contract" do not include a contract where each contractor is (1) a political subdivision of the state, including, but not limited to, a municipality, (2) a quasi-public agency, as defined in Conn. Gen. Stat. § 1-120, (3) any other state, including but not limited to any federally recognized Indian tribal governments, as defined in Conn. Gen. Stat. § 1-267, (4) the federal government, (5) a foreign government, or (6) an agency of a subdivision, agency, state or government described in the immediately preceding enumerated items (1), (2), (3), (4) or (5).

(b) (1) The Contractor agrees and warrants that in the performance of the Contract such Contractor will not discriminate or permit discrimination against any person or group of persons on the grounds of race, color, religious creed, age, marital status, national origin, ancestry, sex, gender identity or expression, intellectual disability, mental disability or physical disability, including, but not limited to, blindness, unless it is shown by such Contractor that such disability prevents performance of the work involved, in any manner prohibited by the laws of the United States or of the State of Connecticut; and the Contractor further agrees to take affirmative action to insure that applicants with job-related qualifications are employed and that employees are treated when employed without regard to their race, color, religious creed, age, marital status, national origin, ancestry, sex, gender identity or expression, intellectual disability, mental disability or physical disability, including, but not limited to, blindness, unless it is shown by the Contractor that such disability prevents performance of the work involved; (2) the Contractor agrees, in all solicitations or advertisements for employees placed by or on behalf of the Contractor, to state that it is an "affirmative action equal opportunity employer" in accordance with regulations adopted by the Commission; (3) the Contractor agrees to provide each labor union or representative of workers with which the Contractor has a collective bargaining Agreement or other contract or understanding and each vendor with which the Contractor has a contract or understanding, a notice to be provided by the Commission, advising the labor union or workers' representative of the Contractor's commitments under this section and to post copies of the notice in conspicuous places available to employees and applicants for employment; (4) the Contractor agrees to comply with each provision of this Section and Conn. Gen. Stat. §§ 46a-68e and 46a-68f and with each

regulation or relevant order issued by said Commission pursuant to Conn. Gen. Stat. §§ 46a-56, 46a-68e and 46a-68f; and (5) the Contractor agrees to provide the Commission on Human Rights and Opportunities with such information requested by the Commission, and permit access to pertinent books, records and accounts,

concerning the employment practices and procedures of the Contractor as it relates to the provisions of this Section and Conn. Gen. Stat. § 46a-56. If the contract is a public works contract, the Contractor agrees and warrants that he will make good faith efforts to employ minority business enterprises as subcontractors and suppliers of materials on such public works projects.

(c) Determination of the Contractor's good faith efforts shall include, but shall not be limited to, the following factors: The Contractor's employment and subcontracting policies, patterns and practices; affirmative advertising, recruitment and training; technical assistance activities and such other reasonable activities or efforts as the Commission may prescribe that are designed to ensure the participation of minority business enterprises in public works projects.

(d) The Contractor shall develop and maintain adequate documentation, in a manner prescribed by the Commission, of its good faith efforts.

(e) The Contractor shall include the provisions of subsection (b) of this Section in every subcontract or purchase order entered into in order to fulfill any obligation of a contract with the State and such provisions shall be binding on a subcontractor, vendor or manufacturer unless exempted by regulations or orders of the Commission. The Contractor shall take such action with respect to any such subcontract or purchase order as the Commission may direct as a means of enforcing such provisions including sanctions for noncompliance in accordance with Conn. Gen. Stat. § 46a-56; provided if such Contractor becomes involved in, or is threatened with, litigation with a subcontractor or vendor as a result of such direction by the Commission, the Contractor may request the State of Connecticut to enter into any such litigation or negotiation prior thereto to protect the interests of the State and the State may so enter.

(f) The Contractor agrees to comply with the regulations referred to in this Section as they exist on the date of this Contract and as they may be adopted or amended from time to time during the term of this Contract and any amendments thereto.

(g) (1) The Contractor agrees and warrants that in the performance of the Contract such Contractor will not discriminate or permit discrimination against any person or group of persons on the grounds of sexual orientation, in any manner prohibited by the laws of the United States or the State of Connecticut, and that employees are treated when employed without regard to their sexual orientation; (2) the Contractor agrees to provide each labor union or representative of workers with which such Contractor has a collective bargaining Agreement or other contract or understanding and each vendor with which such Contractor has a contract or understanding, a notice to be provided by the Commission on Human Rights and Opportunities advising the labor union or workers' representative of the Contractor's commitments under this section, and to post copies of the notice in conspicuous places available to employees and applicants for employment; (3) the Contractor agrees to comply with each provision of this section and with each regulation or relevant order issued by said Commission pursuant to Conn. Gen. Stat. § 46a-56; and (4) the Contractor agrees to provide the Commission on Human Rights and Opportunities with such information requested by the Commission, and permit access to pertinent books, records and accounts, concerning the employment practices and procedures of the Contractor which relate to the provisions of this Section and Conn. Gen. Stat. § 46a-56.

(h) The Contractor shall include the provisions of the foregoing paragraph in every subcontract or purchase order entered into in order to fulfill any obligation of a contract with the State and such provisions shall be binding on a subcontractor, vendor or manufacturer unless exempted by regulations or orders of the Commission. The Contractor shall take such action with respect to any such subcontract or purchase order as the Commission may direct as a means of enforcing such provisions including sanctions for noncompliance in accordance with Conn. Gen. Stat. § 46a-56; provided, if such Contractor becomes involved in, or is threatened with, litigation with a subcontractor or vendor as a result of such direction by the Commission, the Contractor may request the State of Connecticut to enter into any such litigation or negotiation prior thereto to protect the interests of the State and the State may so enter.

10. Executive Orders. This Contract is subject to the provisions of Executive Order No. Three of Governor Thomas J. Meskill, promulgated June 16, 1971, concerning labor employment practices, Executive Order No. Seventeen of Governor Thomas J. Meskill, promulgated February 15, 1973, concerning the listing of employment openings and Executive Order No. Sixteen of Governor John G. Rowland promulgated August 4, 1999, concerning violence in the workplace, all of which are incorporated into and are made a part of the Contract as if they had been fully set forth in it. The Contract may also be subject to Executive Order No. 14 of Governor M. Jodi Rell, promulgated April 17, 2006, concerning procurement of cleaning products and services and to Executive Order No. 49 of Governor Dannel P. Malloy, promulgated May 22, 2015, mandating disclosure of certain gifts to public employees and contributions to certain candidates for office. If Executive Order 14 and/or Executive Order 49 are applicable, they are deemed to be incorporated into and are made a part of the Contract as if they had been fully set forth in it. At the Contractor's request, the Institution or DAS shall provide a copy of these orders to the Contractor.

11. Force Majeure.If the performance of obligations under this Contract are rendered impossible or hazardous or is

otherwise prevented or impaired due to illness, accident, Act(s) of God, riots, strikes, labor difficulties, epidemics, earthquakes, and/or any other cause or event, similar or dissimilar, beyond the control of the Contractor, then each party's obligations to the other under this Contract shall be excused and neither party shall have any liability to the other under or in connection with this Contract.

12. Campaign Contribution Restrictions.For all state contracts as defined in Connecticut General Statutes § 9-

612(g)(2), as amended by Public Act 10-1 having a value in a calendar year of $50,000 or more or a combination or series of such agreements or contracts having a value of $100,000 or more, the authorized signatory to this Agreement expressly acknowledges receipt of the State Election Enforcement Commission’s notice advising state contractors of state campaign contribution and solicitation prohibitions, and will inform its principals of the contents of the Notice, referenced herein as Exhibit H.

13. Contract Assignment. No right or duty, in whole or in part, of the Contractor under this Agreement may be

assigned or delegated without the prior written consent of the institution. 14. Confidential Information. The Contractor acknowledges that it may have access to Confidential Information (as

hereinafter defined). The Contractor agrees that it will use the Confidential Information solely for the purpose of performing its duties as a consultant and agrees that it will not divulge, furnish, publish or use for its own benefit or for the direct or indirect benefit of any other person or entity, whether or not for monetary gain, any Confidential Information.

For purposes of this Agreement, the term “Confidential Information” shall mean (i) all information related to the business operations, marketing plans, financial position and (ii) other business information and any other information disclosed to the Contractor. Confidential Information shall not include information which (i) is or becomes part of the public domain through no act or omission attributable to the Contractor, (ii) is released after prior written authorization or (iii) the Contractor receives from any third party who is unrelated to it and who is not under any obligation to maintain the confidentiality of such information.

15. Family Educational Rights and Privacy Act (FERPA). In all respects, Contractor shall comply with the provisions

of the Family Educational Rights and Privacy Act (FERPA). For purposes of this contract, FERPA includes any amendments or other relevant provisions of federal law, as well as all requirements of Chapter 99 of Title 34 of the Code of Federal Regulations, as amended from time to time. Nothing in this agreement may be construed to allow Contractor to maintain, use, disclose or share student information in a manner not allowed by federal law or regulation or by this contract. Contractor agrees that it shall not provide any student information obtained under this contract to any party ineligible to receive data protected by FERPA. This section shall survive the termination, cancellation or expiration of the contract.

16. Summary of State Ethics Laws. Pursuant to the requirements of section 1-101qq of the Connecticut General Statutes, the summary of State ethic laws developed by the State Ethics Commission pursuant to section 1-81b of the Connecticut General Statutes is incorporated by reference into and made a part of the contract as if the summary had been fully set forth in the contract.

17. Whistleblower. This contract may be subject to the provisions of Section 4-61dd of the Connecticut General

Statutes. In accordance with this statute, if an officer, employee or appointing authority of the Contractor takes or threatens to take any personnel action against any employee of the Contractor in retaliation for such employee’s disclosure of information to any employee of the contracting state or quasi-public agency or the Auditors of Public Accounts or the Attorney General under the provisions of subsection (a) of such statute, the Contractor shall be liable for a civil penalty of not more than five thousand dollars for each offense, up to a maximum of twenty percent (20%) of the value of this contract. Each violation shall be a separate and distinct offense and in the case of a continuing violation, each calendar day’s continuance of the violation shall be deemed to be a separate and distinct offense. The State may request that the Attorney General bring a civil action in the Superior Court for the Judicial District of Hartford to seek imposition and recovery of such civil penalty. In accordance with subsection (f) of such statute, each large state contractor, as defined in the statute, shall post a notice of the provisions of the statute relating to large state contractors in a conspicuous place which is readily available for viewing by the employees of the contractor.

18. Disclosure of Records. This Contract may be subject to the provisions of section 1-218 of the Connecticut

General Statutes. In accordance with this statute, each contract in excess of two million five hundred thousand dollars between a public agency and a person for the performance of a governmental function shall (a) provide that the public agency is entitled to receive a copy of records and files related to the performance of the governmental function, and (b) indicate that such records and files are subject to the Freedom of Information Act (FOIA) and may be disclosed by the public agency pursuant to FOIA. No request to inspect or copy such records or files shall be valid unless the request is made to the public agency in accordance with FOIA. Any complaint by a person who is denied the right to inspect or copy such records or files shall be brought to the Freedom of Information Commission in accordance with the provisions of sections 1-205 and 1-206 of the Connecticut General Statutes.

19. Audit Requirements for State Grants. For purposes of this clause, the word “Contractor” shall be read to mean

“nonstate entity,” as that term is defined in Conn. Gen. Stat. § 4-230. The Contractor shall provide for an annual financial audit acceptable to the Institutionfor any expenditure of State-awarded funds made by the Contractor. Such audit shall include management letters and audit recommendations. The State Auditors of Public Accounts shall have access to all records and accounts for the fiscal year(s) in which the award was made. The Contractor will comply with federal and State single audit standards as applicable.

20. Audit Requirements for Federal Grants. For U.S. based, non-profit Contractors expending $500,000 or more of

federal awards in one year: The Contractor agrees to comply with the requirements of Office of Management and Budget (OMB) Circular A-133. Contractor further agrees to provide the Institutionwith copies of all independent auditors’ reports which cover the period of performance of this contract. Contractor will provide a copy of its response to auditors’ reports and, in instances of non-compliance, a plan for corrective action. All records and reports prepared in accordance with the requirements of OMB Circular A-133 shall be made available for review or audit by appropriate officials of the Federal agency, Institution, or the General Accounting Office (GAO) during normal business hours.

For U.S. based, non-profit Contractors expending less than $500,000 of Federal awards in one year:Contractor

agrees that all records pertaining to this agreement will be made available for review or audit by appropriate officials of the Federal agency, Institution, or the GAO during normal business hours.

21. Professional Standards. In rendering services under this contract, the Contractor shall conform to high professional standards of work and business ethic. The Contractor warrants that the services shall be performed: 1) in a professional and workmanlike manner; and 2) in accordance with generally and currently accepted principles and practices. During the term of this contract, the Contractor agrees to provide to Institution in a good and faithful manner, using its best efforts and in a manner that shall promote the interests of Institution, such services as Institution requests, provided in the contract.

22. Contractor’s Standards of Conduct. (a) In order to insure the orderly and efficient performance of duties and services at the Institution and to protect the

health, safety and welfare of all members of Institution’s community the Contractor agrees that the following items are strictly prohibited while performing services under this Agreement:

i. Use or possession of drugs or alcohol; ii. Possession of firearms or illegal weapons anywhere on campus property including vehicles;

iii. Smoking in buildings; iv. Harassment (sexual, racial or otherwise) or intimidation of anyone on the premises of the campus; v. Violation of applicable traffic or public safety regulations or of Institution rules and procedures;

vi. Unauthorized use of Institution vehicles, equipment or property; vii. Use of University telephones for personal business;

viii. Removal or theft of University property; ix. Unauthorized duplication or possession of University keys; x. Transfer of personal identification card or of parking pass to unauthorized personnel;

xi. Conduct or behavior that endangers the health, safety and welfare of any member of the public or of the University community;

xii. Interference with the work of other employees; xiii. Work attire other than the specified uniform; and xiv. Loud, vulgar behavior or the use of profanity.

(b) Violation of Standards: Contractor will require its employees to comply with the standards listed in Professional

Standards and 22 (a) above. The Institution may, at its discretion, recommend discharge of any employee of the Contractor found to be in violation of the standards listed in 1.1(i) or 1.2(a) above, or in violation of any law or standards adopted by the Institution from time to time, as required, to protect the health, safety and welfare of the Institution’s community. Upon request of the Institution, Contractor shall remove any of its employees that violate said standards from assignments to be performed under this Agreement.
