1 DEFINITIONS1.1 Affiliate meansanypersonthat controlsGoffsUK,iscontrolled byGoffsUKorisundercommon controlwithGoffsUK.

1.2 Associated Companymeans RobertJGoff&CoPlc,a subsidiaryofRobertJGoff&Co Plcoraholdingcompanyof RobertJGoff&CoPlcorany othersubsidiaryofthatholding companyoranAffiliate,but specifically,withoutlimitationof theforegoing,GoffsCountry PropertyConsultantsLimited, GoffsBloodstockSalesLimited andGoffsUKLimited.

1.3 Cataloguemeansthecataloguein whichthesetermsandconditions arecontained.ThewordCatalogue alsoincludesanysupplementtoit issuedbyGoffsUKfromtimeto time.

1.4 Control means,inrelationtoany person,thebeneficialownership ofanyoftheissuedsharecapital of,orthelegalpowertodirector causethedirectionofthegeneral managementofthepersonin questionoritsholdingcompanyor parentcompany.

1.5 DebtormeansanyVendor, PurchaserorNewPurchaser(as appropriate)withanyliabilityto GoffsUK.

1.6 Goffs UKmeansGoffsUK Limited.

1.7 Goffs UK Hawick Officemeans theAuctionMartOfficesin Hawick,Roxburghshire.

1.8 Goffs UK Premises meansthe GoffsUKDoncasterSales Complex,Doncaster RacecourseandDoncaster RacecourseStables.

1.9 Lotmeansthehorsewhichistobe soldandwhichhasaLotnumber intheCatalogue.

1.10New Purchaser meanstheperson towhomtheLothasbeen transferredaftertheSalein accordancewith7.2below.

1.11Ownermeanstheperson, partnership,syndicateor corporationnamedontheEntry FormastheowneroftheLot.

1.12 Prohibited Substancesmeans AnabolicSteroidand/orNSAIDs.(a) AnabolicSteroidmeansan anabolicandrogenicsteroidor ametabolite,anisomer,an isomerofthemetaboliteora pro-drugofthesubstance.

ThissaleisheldsubjecttotheConditionsofSalesetoutbelow.AllpotentialVendorsandPurchasersareadvisedtocarefullyreadtheseConditions.TheConditionsofSaleinthisSalescataloguetakeprecedenceoveranypreviouslypublishedConditionsofSaleinallcircumstances.

(b) ManualmeanstheBHA’s EquineAnti-DopingManual (G)aspublishedandinforcein theRulesofRacingatthedate oftheSale.(c) NSAIDsmeansNon-Steroidal Anti-InflammatoryDrugs.(d) SpecificConcentrationmeans theminimumconcentration relevanttothesexoftheLot setoutinnumberedparagraph 2ofschedule1ofthemanual whereapplicable,andwhereno minimumconcentrationforthe substancerelevanttothesexof theLotisspecificinthe manual,inanyamount.

1.13Purchaser meansthehighest biddertowhomaLotisknocked downbyGoffsUKorwho purchasestheLotprivately followingthesale.

1.14 Purchase Price (asregardsthe Purchaser)isthepriceinpoundsat whichtheLotwasknockeddown byGoffsUKintheringorthe priceatwhichitissoldprivately plusVATandcommission.

1.15 Sale meansthesalebyauction conductedbyGoffsUK.

1.16 Sale Price (asregardstheVendor) meansthepriceinpoundssterling atwhichtheLotwasknocked downbyGoffsUKorthepriceat whichitissoldprivately,subject todeductionsforcommission, entryfeeandanyothercharges whichmayapply.

1.17 Sales Office meanstheGoffsUK OfficeintheSalesComplexat Doncaster.

1.18 The Panel meansoneormore

VeterinarySurgeonsappointedby GoffsUK.

1.19 Vendor meanstheperson, partnershiporcorporationnamed ontheEntryFormastheownerof theLot,providedhoweverwhere anOwnerisnotnamedinthe EntryFormthepersonwho enteredthehorseforsaleon behalfoftheownershallbe deemedtobetheVendor.The VendorifnottheOwnershallbe deemedatalltimesandforall purposestobetheservantoragent oftheOwner.

1.20 IntheseConditions: 1.20.1 Thesingularincludesthe pluralandviceversa; 1.20.2 Referencestopersons includebodiescorporate, unincorporated associations, governments,states, partnershipsandtrusts(in eachcase,whetherornot havingseparatelegal personality);and 1.20.3 “subsidiary”and“holding company”havethe meaningsgiventothemby sections1159ofthe CompaniesAct2006.

2 THE SALE2.1 COMMISSION AND FEES2.1.1 AnentryfeeispayabletoGoffs UKbytheVendorforeachLot enteredandcatalogued.Thefeeis non-refundableuponpublication ofthecatalogueandwillbe subjecttoa5%levytofundthe BHA/TBAInwardBuyers Initiative.

2.1.2 TheVendorwillpaycommission toGoffsUKequalto1.5%ofthe SalePriceofeachLot,(subjecttoa minimumof£100).

2.1.3 ThePurchaserwillpay commissiontoGoffsUKequalto 6%ofthepurchaseprice.

2.1.4 GoffsUKreservetherightto chargefullcommissionof7.5% fromtheVendorinrespectofany cancelledsale.

2.1.5 GoffsUKreservetherightto chargefullcommissionof7.5% fromtheVendorinrespectofany Lotsoldbetweenthedateof publicationoftheCatalogueand sevencalendardaysfollowingthe lastdayofthesale.

2.1.6 WhenaLotisboughtin100%by theVendor7.5%ofthepriceof thatLotispayablebytheVendor unlessGoffsUKarenotifiedby theconclusionofthesalessession inwhichtheLotwasofferedand theLotispublishedasa“Vendor” sale,inwhichcase2.5%ofthe PriceispayablebytheVendorto GoffsUK(subjecttoaminimum commissionof£100).

2.1.7 WhenaLotisunsold,theVendor willpayGoffsUK2.5%ofthe reservepriceifthereserveexceeds £15,000.

2.1.8 Awithdrawalfeeof£300(£750 fortheBreeze-Up,Premier Yearling,andSilverYearlingSales) ispayablebytheVendortoGoffs UKforanyLotwhichis cataloguedandwithdrawnpriorto thesaleunlessnotificationof withdrawalisaccompaniedbya veterinarycertificatetothe satisfactionofGoffsUK.

2.1.9 Allfeesandcommissionsare subjecttoVATattheappropriate rate.

2.2 BIDDING2.2.1 Theauctionshallbeconductedin £Sterling.Subjecttothe discretionoftheauctioneer,no bidshalladvancelessthan£100 upto£2,000;£200upto £10,000;£500upto£20,000; £1,000upto£50,000; £2,000upto£100,000; £5,000upto£500,000; £10,000thereafter.

2.2.2 Shouldanydisputearisebetween twoormorebidders,orbetween GoffsUKandanybidder,Goffs UKdecisionshallbebindingon allparties.AtGoffsUK’s discretiontheLotindisputemay beputupagainforauctionand resold,subjecttothereserveprice inaccordancewith3.1below.

3 VENDORS3.1 VendorsofLotsaresubjectto entryfeesandcommissionas outlinedin2.1AllLotsaresubject toareservepricewhichshall eitherbetheminimumselling pricesetbyGoffsUKorany higherreservepricewhichGoffs UKmusthavereceivedinwriting fromtheOwner,theVendoror hisagentpriortotheLotbeing offeredforsale.Whereno instructionisreceivedinwriting fromtheOwner,theVendoror hisagent,theLotwillbeoffered withoutreserve.

3.2 EachVendorundertakesthataLot enteredintheCatalogueshallnot

besoldbytheOwnerbeforethe Sale.

3.3 GoffsUKwillendeavourtohave allCatalogueinformation correctlystated,buttheVendoris responsiblefortheaccuracyofits contentandthecorrectionofany errororomission.GoffsUKshall notbeliableforanystatements madeintheCatalogueorfromthe rostrumconcerningaLot. Cataloguedescriptions,pedigrees orperformancesarepreparedfor thembyWeatherbysLtd.asa servicetoGoffsUKwhoareacting intheircapacityasagentforthe Vendor,andthecontentor accuracyofanyrepresentationor statementaresolelymadebythe VendorinrelationtoanyLot. NeitherWeatherbysLtd.nor GoffsUKacceptanyliabilityfor anylossresultingfromanyerrors oromissionscontainedinthe cataloguedetail.

3.4 TheVendorundertakes:(a) TolodgeintheSalesOfficefor eachLot,thePassport, vaccinations,healthcertificatesin accordancewithAppendix1of theseConditionsandany veterinarycertificatereferredtoin Condition4.1,whicheverapply, priortotheSale.GoffsUKwill notofferanyLotforsaleunless thePassportandanyother relevantdocumentationhavebeen lodgedpriortotheSaleinthe SalesOffice.

(b) ToensurethatallLotsare correctlymicro-chipped.The Vendorundertakestobearthecost

ofmicro-chippingifanyLotis foundnottobecorrectly micro-chippedbytheconclusion oftheSale.

(c) AllLotsfromyearlings(after1st January)upwardsmusthaveupto datevaccinationsinaccordance withtheVendorSale Requirements(Appendix1of theseConditions).Where vaccinationsarenotuptodate, anoticetothateffectwillbe announcedbytheauctioneer,or theLotmustbewithdrawn.

3.5 Allimport/exportpaperwork mustbeinorderpriortotheSale ortheLotmaybewithdrawnat GoffsUK’sdiscretion.Itwillbe thesoleresponsibilityofthe VendortoensurethatanyLot’s paperworkisinorderandthe Vendorwillbearthecostofany outstandingpaperworkwhilst GoffsUKwillnotpaythesales proceedstotheVendoruntilthe appropriatedocumentationhas beendeliveredtothePurchaser.

3.6 AVendororanyonepersononhis behalfmaybidforanyLotowned bysuchVendor.Wherehowevera Lotisstatedtobe“thePropertyof aPartnership”or“toDissolvea Partnership”anypartner, syndicatemember,co-owneror otherpersoninterestedmaybid onhisownbehalfeither personallyorthroughanagent.

3.7 InthecasewhereanyLothasbeen knockeddowntoabidderwhohas madenopaymentarrangements priortobiddingGoffsUKmay imposeoneofthefollowing

measuresintheirabsolute discretion:

(a) TheSalewillbedeemedtobe cancelledandtheLotwill immediatelybereofferedon behalfoftheVendor.

(b) GoffsUKwillnotmakepayment totheVendoruntiltheLothas beenpaidforinfull.

3.8 Uponreceiptofasinglewritten applicationfromtheVendor, GoffsUKwillpaytotheVendor theSalePriceofeachLotsoldnot earlierthan35daysafterthelast dayofSaleoronsuchdateas specifiedintheEntryFormoras agreedsubjectto3.7above,3.9, 3.10,3.11,3.12.GoffsUKarenot underanyobligationtoplacethe saleproceedsondepositpriorto theVendorsApplicationfor Payment.Unlessotherwise instructedbytheVendor,Goffs UKwillissuepaymenttothe Vendorbywayofchequeposted byordinaryposttotheaddress providedbytheVendoronthe ApplicationforPayment.Payment totheVendorinthismannerwill bedeemedtohavebeenmadeat thetimeofpostingofthecheque byGoffsUKandallpaymentsare sentattheriskoftheVendorand GoffsUKwillincurnoliabilityto anypartyasaresultofthe non-deliveryofthechequetothe Vendor.

3.9 InthecaseofanyLotwherea disputehasarisenbetweenthe Vendor,theOwner,thePurchaser and/oranythirdpartymakingany claiminrelationtotheLot,or wheretherearecompetingclaims

forpayment,GoffsUKmayrefuse tomakepaymenttotheVendor pendingresolutionofthedispute. Inexercisingthisright,GoffsUK willincurnoliabilitytoanyparty, andnointerestshallbepayableby GoffsUKonanysaleproceeds retained.

3.10 WhentheOwnerofaLotisa partnershiporasyndicateandone ormoremember(s)ofthat partnershiporsyndicateisthe Purchaser,GoffsUKreservethe righttowithholdpaymenttothe partner(s)sellinguntilthe PurchasePricehasbeenreceived infullfromthePurchaser.

3.11 TheVendorshallindemnifyGoffs UKinrespectofanyloss,or liabilitysufferedorcosts disbursementsorexpenses incurredbonafidebyGoffsUKby reasonofbringingordefending anyproceedingswhicharise directlyorindirectlyfromany breachoftheseConditionsofSale bytheVendor.

3.12 GoffsUKwilldeduct0.75%from thesalesproceedsofBritish VendorsasaSalesLevyonbehalf oftheThoroughbredBreeders Association,whowillbenotified oftheVendorsnameandaddress unlesstheVendornotifiesGoffs UKinwritingwithin28daysof thelastdayoftheSalethatheis unwillingtocontribute.

4. BASIS OF SALE4.1 AllLotsaresoldastheystand(see 4.1(a)below)unless“BasisofSale” onthecataloguepageincludes

options4.1(b)to4.1(f)listed below.Thereisnotermimpliedin anysalethatanyLotisof merchantablequalityorisfitfor trainingoranyparticularpurpose. Anyterm,conditionorwarranty thatmightbeincorporatedintoor applytotheseConditionsofSale areexcludedtothemaximum extentpermissiblebyapplicable law.Itistheresponsibilityofthe Purchasertoensurethatheis satisfiedwiththeconditionofany Lotbeforebidding.Additionallya Purchasermustmakehisown enquiriesandexercisehisown judgementastothevalueofaLot.

(a) As it stands(withoutaveterinary certificate).IfaLotistobesoldin thisway,noveterinarycertificate maybedisplayedpriorto,orread outat,theSale.

(b) Subject to Re-examination whetherwithorwithoutaformal veterinarycertificatesignedbyan independentveterinarysurgeon (nottheOwner,Trainerand/or Vendor).Whereaveterinary certificateaccompaniestheLot,it mustbedatedwithin14daysof theSale,lodgedintheSalesOffice andreadoutbyGoffsUKatthe Sale.Innocircumstancesshallthe contentsofanyveterinary certificateconstituteawarranty conditionorothercontractual term,descriptionorrepresentation madebyGoffsUK.Inbothcases, theRe-examinationprocedurein 4.3willbeemployed.

(c) Subject to Re-examination of Wind Only.TheRe-examination procedurein4.2and4.3willbe employed.Forthepurposeofthis

Conditionnootherrightsof Re-examinationwillapply.

(d) With a Pre Sales Veterinary Certificate. (subject to pre-sale examination by The Panel)to whichthefollowingconditions shallapply:

(i) TheLotshallbeexaminedprior totheSalebyThePanel (ii)ThePanel’scertificateshallbe deemedtobeanexpressionof opinionbyadulyqualified veterinarysurgeonandshall notconstituteawarranty (iii)theCertificatewillbereadout byGoffsUKatthetimeofSale (iv)thefeeforthere-examination shallbebornebythePurchaser (v)NoLotshallbepermittedto leaveGoffsUKPremises betweenthere-examinationby ThePanelandthetimeofsale

(e) With a Pregnancy Certificate datednotearlierthan14days priortotheSalewhichmustbe lodgedintheSales’Officebythe VendorpriortotheSale,and whichwillbereadoutbyGoffs UKatthetimeofSale.Wherea Broodmareissoldwitha VeterinaryCertificateof Pregnancy,thePurchasermay requesttohaveherre-examined forpregnancybyThePanel providedthePurchaserhas notifiedGoffsUKwithin60 minutesofpurchasethata re-examinationisrequired.Ifthe Broodmareisfoundnottobeas certified,thesalemaybecancelled atthediscretionofthePurchaser providednoticeofcancellationis madebythePurchasertoGoffs UKnolaterthan1hourafterthe

PurchaserwasnotifiedbyGoffs UKofThePanel’sdecision.The Purchasershallinallcasesbe liableforthere-examinationfee.

(f) With a Breeding Certificate datednotearlierthan14days priortotheSalewhichmustbe lodgedintheSales’Officepriorto thesale,andwhichwillberead outbyGoffsUKatthetimeof Sale.Filliesorbroodmareswhich arenotinfoalandwhichare offeredforsaleasBreedingStock mustbeofferedwithaBreeding Certificate,exceptfortwo-year- oldfillies,orbroodmaresthathave foaledsincethepublicationofthe Catalogueandpriortothesale, wherenowarrantyastotheir suitabilityforbreedingisgivenor implied.WhereaBroodmareor FillyissoldwithaBreeding Certificate,thePurchasermay requesttohaveherre-examined forsuitabilityforbreeding purposesonlybyThePanel providedthePurchaserhas notifiedGoffsUKwithin60 minutesofpurchasethata re-examinationisrequired.Ifthe BroodmareorFillyisfoundnotto beascertified,thesalemaybe cancelledatthediscretionofthe Purchaserprovidednoticeof cancellationismadebythe PurchasertoGoffsUKnolater than1hourafterthePurchaser wasnotifiedbyGoffsUKofThe Paneldecision.ThePurchaser shallinallcasesbeliableforthe re-examinationfee.

ImmediatelyfollowingGoffsUK beingnotifiedthatanexamination onbehalfofaPurchaseris

required,theVendormustpresent theLottoThePanel.Intheevent oftheVendornotmakinghimself available,thePurchasermayelect tocanceltheSaleorGoffsUKmay commissionanagenttopresent theLottoThePanel,forwhicha chargeof£20willbededucted fromtheproceedsofsale.Inthe eventoftheLotbeingtakenfor suchexaminationbyeitherthe Purchaser,GoffsUKortheir respectiveagentsitnevertheless remainsatthesoleriskofthe Vendoruntilthecompletionof theRe-examination,andtheparty takingtheLotshallnotbe responsibleforthedeath,injuryor anydamagecausedbytheLotorto theLotwhiletemporarilyunder itscontrol.

4.2 RE-EXAMINATION PROCEDURE4.2.1 AnyLotatthePremier& SilverYearlingSalesandthe BreezeUpSales,issoldSubjectto Re-examinationofWindOnly. IftheLotisorhasanyofthe following: (a)AWhistlerand/oraRoarer (beingahorsewhichmakesan abnormalinspiratorysound whenactivelylunged)andin additionhasLaryngeal Hemiplegia(Recurrent LaryngealNeuropathy);or (b)Rostraldisplacementofthe palatopharyngealarch;or (c)Epiglotticentrapment;or (d)Chondromaorsignificant arytenoidchondritis;or (e)Subepiglotticcyst(s);or (f) Cleftpalate

andisnotsodescribed,isreturnable,inaccordancewithCondition4.2.2

4.2.2 AnyLotatthePremier&Silver YearlingSalesandtheBreezeUp Sales,foundtobesufferingfrom anyconditionsdescribedin Conditions4.2.1isreturnableand thesalecancelledprovidedthat:

(i) Ithasnotbeenremovedfrom GoffsUKPremises;and(ii) Within24hoursfromthefall ofhammer: (a)ThePurchaser’sVeterinary Surgeonmustlodgea certificatewithGoffsUK, expressinghisopinionthatthe Lotisorhasanyofthe conditionssetoutinCondition 4.2.1;and (b)ThePurchasermustpresentthe LottoThePanelasinstructed byGoffsUK.(iii) WhetheraLotisorhasanyofthe conditionssetoutinCondition 4.2.1willbedecidedbyThePanel whosedecisionshallbefinaland bindingontheVendorand Purchaser.

4.3.1 AtallSalesotherthanPremier/ SilverYearlingSalesandBreeze UpSales,anyLotsoldSubjectto Re-examinationorSubjectto Re-examinationofWindOnly shallbere-examinedbyThePanel, ifrequiredbyaPurchaser, providingthePurchaserhas notifiedtheSalesOfficewithin60 minutesofpurchasethata Re-examinationisrequired. FailuretorequestaRe- examinationunderthisCondition willpreventthePurchaserseeking cancellationoftheSaleforany conditionsin4.3.2below.The

decisionofThePanelshallbefinal andbindingbetweentheVendor andPurchaser.

4.3.2 TheSalemaybecancelledatthe discretionofthePurchaserifThe Panelfindthefollowing conditionsundereachcategory:

(a) SoldSubjecttoRe-examination (whetherwithorwithouta veterinarycertificate)(4.1(b))-The Lotfailsafullclinicalexamination byThePanel.Theexamination willnotincludeanyradiologicalor otherspecializedtechniques.It willnotbeconcernedwiththe accuracyofanyotherstatement concerninganyparticularLot whethercontainedinthe catalogueorinanyveterinary certificate,savethatitshalltake intoaccountanyqualification containedinaveterinary certificateproducedunderthe termsof4.1(b)above.

(b) SoldSubjecttoRe-examinationof WindOnlyatallSalesotherthan Premier/SilverYearlingSalesand BreezeUpSales,(4.1(c))-(i) TheLot(unlessitisayearling after1stJuly)makesanabnormal inspiratorysoundwhenactively exercisedonthelunge.(ii) Ifayearling(after1stJuly)should makeanabnormalinspiratory soundasreferredtoin(i)above, ThePanelshallthen,andonly then,examinetheLotatrest,by endoscope.Ifthisendoscopic examinationoftheLot demonstratesanyofthefollowing conditions: (a)AWhistlerand/oraRoarer (beingahorsewhichmakesan abnormalinspiratorysound

whenactivelylunged)andin additionhasLaryngeal Hemiplegia(Recurrent LaryngealNeuropathy);or (b)Rostraldisplacementofthe palatopharyngealarch;or (c)Epiglotticentrapment;or (d)Chondromaorsignificant arytenoidchondritis;or (e)Subepiglotticcyst(s);or (f)Cleftpalate

andtheLotisnotsodescribed,theLotisreturnable.

4.4 AdditionallytheSalemaybe cancelledatthediscretionofthe PurchaseriftheLot,inthe opinionofThePanel,isincapable of(i)beinglungedinboth directionstoThePanel’s satisfactionor(ii)beingscopedto ThePanel’ssatisfaction,

4.5 ThePurchaserexpressly acknowledgesthatthereareother conditionsotherthanthosesetout inConditions4.2.1and4.3.2 whichmayberevealedby endoscopewhicharenotgrounds forreturntotheVendor.

4.6 Theappropriatere-examination feearisingfromanyre- examinationbyThePanelshallbe paidtoGoffsUKbythePurchaser.

4.7 GoffsUKinnowayaccept responsibilityforthefindingsof ThePanelcarryingoutthe re-examination.

5. BLOOD SAMPLING FOR PROHIBITED SUBSTANCES & PIROPLASMOSIS5.1 NSAIDs and Anabolic steroids5.1.1 ThisConditionstandsaloneandis separateanddistinctfrom Condition4andappliestoallLots fromyearlings(after1stJuly) upwardswiththeexceptionof maresthathavepreviouslybeen coveredbyastallion.

5.1.2 WhereProhibitedSubstancesare referredtoinacertificatesigned byanindependentveterinary surgeonandreadoutbyGoffsUK atthetimeoftheSalethe ConditionwillapplybuttheLot shallnotbereturnabletothe VendorunlessotherProhibited Substancesthanthosecertified andreadoutarepresent.

5.1.3 Abloodsamplewillbetakenfrom theLotforthepurposeoftesting forProhibitedSubstanceswhere thePurchaserinstructsGoffsUK todosoimmediatelyafter purchaseoftheLotbysigningto thiseffectonthe AcknowledgementofPurchase FormsuppliedbyGoffsUK.The Purchasershallberesponsibleto GoffsUKforthecostsand expensesoftakingandtestingthe sampleunlessthesaidsample containsProhibitedSubstances otherthanthosecertifiedandread outinwhicheventtheVendor shallberesponsibleforsuchcosts andexpenses.Failuretorequesta drugtestunderthisCondition willbeanabsolutebartothe

PurchaserreturningtheLotunder thisCondition.

5.1.4 WhenaPurchasermakesarequest underCondition5.1.3theVendor shallimmediatelydelivertheLot toadesignatedholdingareain accordancewithGoffsUK’s instructionswhereThePanelwill takeasamplefromthesaidLot.If theVendorfailstocomplywith theseinstructionstheSalemaybe cancelledatthediscretionofthe Purchaser.

5.1.5 WhereaPurchaserinstructsGoffs UKtotakeandtestabloodsample thesaidLotshallnotberemoved fromtheUnitedKingdomor Irelandandiftheydoso,the Purchasershallbeliableforthe costsofreturningtheLotbackto theVendorintheeventofa Purchaserelectingtoreturnthe Lotinaccordancewitharightto dosounderthisCondition.

5.1.6 Ifafteronehourfromthedelivery oftheLottothedesignated holdingareaabloodsamplehas notbeentakenfromthesaidLot (notwithstandingthatThePanel hasusedsuchreasonable endeavoursasarecommensurate withthecircumstances)theSale maybecancelledatthePurchaser’s discretion.

5.1.7 Whereabloodsampleisfoundto containProhibitedSubstances otherthanthosecertifiedandread outthePurchasermayelectto returntheLottotheVendor providingsuchelectionismadeto GoffsUKby5pmontheseventh calendardayafterthePurchaser

wasnotifiedbyGoffsUKofthe result.

5.1.8 WhereaPurchaserelectstoreturn aLotinaccordancewiththis Condition,GoffsUKshallnotify bothpartiesthattheSaleis cancelledandtheLotwill beattheVendor’sriskfromsuch timethatheisnotified.The VendormustarrangefortheLotto becollected,andpayforanysuch transport,andanyother reasonablecostsincurredbythe Purchaserinconnectionwiththis LotsubjecttoCondition5.1.5.

5.2 PIROPLASMOSIS5.2.1ThisConditionstandsaloneandis separateanddistinctfrom Condition4andappliestoanyLot describedasayearling(after1st Julyofitsyearlingyear)orolder:

5.2.2WhereaLotisdescribedwithout qualificationaspositivefor Piroplasmosisinacertificate signedbyanindependent qualifiedveterinarysurgeonand readoutbyGoffsUKatthetime oftheSaletheConditionwill applybuttheLotshallnotbe returnabletotheVendor.Wherea Lotisnotsodescribed,theLot shallbereturnabletotheVendor inaccordancewiththisCondition whereGoffsUKdecidesinits absolutediscretionthatablood sampletakenfromthesaidLotin accordancewiththisCondition andtestedinaccordancewiththe BösetestforPiroplasmosisunder OIEProtocolusingaPiroIFAT test(“thePrescribedTest”)

5.2.3Alistshowingthespecifiedlevels forTheileriaequiandBabesia caballiisavailableuponrequest madetoGoffsUKandPurchasers andVendorsareadvisedtocheck thecurrentspecifiedlevelsbefore purchasingorenteringaLotfor sale.

5.2.4Abloodsamplewillbetakenfrom theLotwherethePurchaser instructsGoffsUKtodoso immediatelyafterpurchaseofthe Lotbysigningtothiseffectonthe AcknowledgementofPurchase FormsuppliedbyGoffsUKfor thepurposeofthisConditionand tohavethesampletestedforthe presenceofPiroplasmosis.The Purchasershallberesponsibleto GoffsUKforthecostsand expensesoftakingandtestingthe sampleunlessthesaidsampleis foundtobepositivein accordancewithCondition5.3.2 inwhicheventtheVendorshall beresponsibleforsuchcostsand expenses.(Fortheavoidanceof doubt,anysamplenotfoundtobe negativeshallbedeemedtobe positive).Failuretorequestatest forPiroplasmosisunderthis Conditionwillbeanabsolutebar tothePurchaserreturningtheLot underthisCondition.

5.2.5Whenaninstructionunder Condition5.3.4isreceivedthe Vendorshallimmediatelydeliver theLottoadesignatedholding areainaccordancewithGoffsUK instructions,whereamemberof ThePanelwilltakeasamplefrom

thesaidLot.IftheVendorfailsto complywiththeseinstructions theSalemaybecancelledatthe discretionofthePurchaser.

5.2.6Ifafteronehourfromthedelivery oftheLottothedesignated holdingareaasamplehasnotbeen takenfromthesaidLot (notwithstandingthatThe Panelhaveusedsuchreasonable endeavoursasarecommensurate withthecircumstances)theSale maybecancelledatthePurchaser’s discretion.

5.2.7GoffsUKshallexerciseits absolutediscretioninmakinga decisionunderCondition5.3. GoffsUKdecisionshallbefinal andbindingonbothVendorand PurchaserandGoffsUKshallnot beresponsibleforanylossor expenseincurredbyanyparty arisingoutofitsdecision.

5.2.8ThePurchaserexpressly acknowledgesthat,althoughthere areothermethodsoftestingfor Piroplasmosis,aLotisonly returnabletotheVendorifitis decidedbyGoffsUKthatthe sampletakenfromaLotandtested usingthePrescribedTestcontains thespecifiedlevelsofeither TheileriaequiorBabesiacaballi. ThePurchaserfurther acknowledgesthatthepresenceof eitherTheileriaequiorBabesia caballiinthesampleatlevels belowthespecifiedlevelsisnota groundforreturnofaLottothe Vendor,inwhichinstancethe Purchasershallbeboundtokeep andpaythefullamountofthe purchasepricefortheLot.

5.2.9WhereaPurchaserinstructsGoffs UKtotakeandtestabloodsample thesaidLotshallnotberemoved fromtheUnitedKingdomor Irelandandiftheydoso,the Purchasershallbeliableforthe costsofreturningtheLotbackto theVendorintheeventofa Purchaserelectingtoreturnthe Lotinaccordancewitharightto dosounderthisCondition.

5.2.10 Whereasampleisfoundtobe positivethePurchasermayelectto returntheLottotheVendor providingsuchelectionismadeto GoffsUKby5pmontheseventh calendardayafterthePurchaser wasnotifiedbyGoffsUKofthe result.

5.2.11 WhereaPurchaserelectstoreturn aLotinaccordancewiththis ConditionGoffsUKshallnotify bothpartiesthattheContractof SaleiscancelledandtheLotwill beattheVendor’sriskfromsuch timethatheisnotified.The VendormustarrangefortheLotto becollected,andpayforanysuch transport,andanyother reasonablecostsincurredbythe Purchaserinconnectionwiththis LotsubjecttoCondition5.3.9.

5.3 FURTHER SAMPLING5.3.1Nobodymayremoveasampleof hair,bloodoranyothertestable materialfromanyLotwhileon GoffsUKPremises,without specificpermissionfromthe Vendor.Nosampleofhair,blood, urineorothertestablematerial fromanyLot,otherthanthose

describedinCondition5shallbe usedasreasonforthereturnof anyLot.

6 ENGAGEMENTS6.1 ALotissoldwithengagementsas givenintheCatalogue,or announcedatthetimeofSale. GoffsUKhowever,acceptno responsibilityforengagements givenoromitted.Itwillbethe soleresponsibilityoftheVendor toensurethattherelevant documentationiscompletedand lodgedwiththeAuthorityin question,butofthePurchaserto cancelanyraceentryifaforfeit applies.ADeclarationofForfeit forUKengagementsmustbe madetoWeatherbysandforIrish engagementstoHorseRacing Ireland.

6.2 InparticularGoffsUKdonot warrantthataLotiseligiblefor participationinthePlus10orany otherbreeders’schemewhether EuropeanorAmerican notwithstandingthatastatement tothateffectorsoimplyingmay havebeenincludedinthe Catalogueormadefromthe Rostrum.

7 PRIVATE SALES AND TRANSFERS7.1 Anysaleconcludedonthedayof theSaleorwithinsevencalendar daysbetweenaPurchaseranda VendoraftertheLothasbeen unsoldorboughtinbytheVendor attheSaleshallbesubjecttothe GoffsUKConditionsofSale.

Suchtransactionsmustbe finalisedinwritingonaPrivate SaleFormsignedbytheVendor, thePurchaserandanauthorised representativeofGoffsUK.For theavoidanceofdoubt,this includesanySaleconducted online.ThetermsofCondition9 belowwillapplytothePurchaser.

7.2 WhereGoffsUKacceptsthe transferofaLotfromthe Purchasertoathirdparty(the NewPurchaser),theappropriate PrivateSaleFormmustbe completedintheSalesOffice.The termsofCondition9belowwill applytotheNewPurchaser.

8 PASSING OF RISK AND TITLE8.1 TheLotwillbeattheVendor’srisk atalltimesuntilthefallof hammer(ortimeofsaleifsold privately)whentheriskshallpass tothePurchasersubjectto8.2and 8.3below.

8.2 AnyLotSoldSubjecttoRe- examinationunderthetermsof 4.1aboveshallbeattheVendor’s riskfor60minutesfromthefallof thehammeror,ifRe-examination isrequested,untilthecompletion oftheRe-examination.Risk remainswiththeVendoriftheLot failstheexaminationandpassesto thePurchaserif/whentheLot passes.

8.3 AnyLottestedforProhibited SubstancesandPiroplasmosis underthetermsofCondition5 aboveshallremainattheVendor’s riskfromthefallofthehammer

untilthesamplehasbeentaken fromtheLotwhenriskpassesto thePurchaser.Ifthesampleproves tobepositiveforProhibited SubstancesorPiroplasmosis,risk willpassbacktotheVendorwhen theVendorisnotified.

8.4 Notwithstandingthepassingof riskinthisConditionordelivery oftheLottothePurchaser,the VendorshallretaintitletotheLot untilthefullpurchasepricehas beenpaidtoGoffsUK.

8.5 WhereGoffsUKhavepaidout theVendorinaccordancewith3.8 above,titleoftheLotwillvestin GoffsUKonthesametermsas8.4 above.

9. PURCHASERS9.1 Allpurchasesaresubjectto6% buyers’commissionasoutlinedin Condition2.1.3.

9.2 GoffsUKstronglyrecommend thatPurchasersshouldattendthe SaleinpersonandPurchasersare stronglyadvisedtoinspecteach Lotpriortopurchase.Itisthe responsibilityofthePurchaserto ensurethatheissatisfiedwiththe conditionofanyLotbefore bidding.ProspectivePurchasers mayuseaveterinarysurgeonof theirownchoicetocheckor inspecttheconditionofanyLot priortosaleprovidedtheconsent oftheVendorisobtainedin advance,thattheVendor expresslyconsentstotheformof inspectiontotakeplaceanditis understoodbyprospective Purchasersthatsuchconsentis

entirelyattheVendor’sown discretion.

9.3 AllLotsaresoldsubjecttothese GoffsUKConditionsofSaleand aresubjecttoanyannouncements thatmaybemadebythe auctioneer.AVendormaycall uponGoffsUKtoamendthe CataloguedescriptionattheSale anditisthePurchaser’s responsibilitytoensurehehears anysuchannouncementmadeby theauctioneerasaconsequence. TheinformationontheGoffsUK noticeboard,websiteand announcementboardsintheSales ringisforguidanceonlyandGoffs UKarenotliableforanyerroror omissionfromsuchinformation.

9.4 Allcertificatesreferredtointhe Cataloguewillbeavailablefor inspectionintheSalesOfficeprior totheSale.

9.5 Immediatelyafterthepurchaseof eachLot,thePurchasermustsign theAcknowledgementof PurchaseFormconfirmingthe salesdetailstogetherwithhis name,addressandother informationasrequiredby GoffsUK.

9.6 Subjectto9.9below,payment mustbemadeinpoundssterling bythePurchaserforeachLoton thedayoftheSaleandtheLot mustberemovedbythePurchaser bythecloseofeachday’ssale. PriortotheSaleGoffsUKmay agreetootherpaymenttermsat theirdiscretionandmayallowthe PurchasertoremovetheLot beforefullpaymenthasbeen received.Intheeventthat

paymentisnotreceivedunderthe agreedterms,GoffsUKwill endeavourtocollectthedebt bywhatevermeansaredeemed appropriate.

9.7 NoLotwillberaceduntilithas beenpaidforinfull.

9.8 WhereaPurchaserbidsorbuys onbehalfofanother,the Purchasermustdisclosethename andaddressofhisprincipalwhen requiredbyGoffsUKandboth thePurchaserandhisprincipal shallbejointlyandseverallyliable undertheseConditions.

9.9 WherethePurchasernotifies GoffsUKthataLothasbeen boughtonbehalfofanotherafter theSaleandasksGoffsUKto invoicethatperson(the “Nominee”),GoffsUK(atits absolutediscretion)mayagreeto dosoonthebasisthatthe PurchaserandtheNomineewill bejointlyandseverallyliableto paythePurchasePrice.The Purchaser’spaymentobligationsin respectoftherelevantLotwill onlybedischargedintheevent thattheNomineehaspaidthe wholeofthePurchasePrice. However,wheretheNominee payspartofthesumduebutthe remainderisunpaid,GoffsUK claimshallbelimitedtothe unpaidsum.

9.10 WhereaVendorandaPurchaser agreetotermsnotcoveredbythe ConditionsofSale,acopyofthat agreementmustbelodgedin writingintheSalesOfficebefore theSale,andapprovedbyGoffs UK.Ifnosuchcopyofthe

agreementislodged,andany disputearisesasaresultofthis agreementbetweentheVendor andthePurchaser,GoffsUKwill demandthatthePurchasePriceis paidinfullinaccordancewith Condition9.6unlesstheVendor hasnotifiedGoffsUKinwriting thatthesalehasbeencancelled,in whichcaseCondition2.1.4shall apply.

9.11 Itisthesoleresponsibilityofthe Purchasertoascertainwhetherthe Lotiseligibleforpointtopointing withinthemeaningoftherules laiddownbytheBHA.

10 GOFFS UK’s RIGHTS10.1 GoffsUKreservetherightto excludeorremoveanypersonor animalfromtheirpremises withoutgivinganyreason.

10.2 GoffsUKreservetherighttorefusetoincludeinthecatalogueorofferforsaleanyLotwhichis:

(a)Amarewithafoalatfootless thansevendaysold.

(b)Apregnantmarewhosedue foalingdateisnotmore than14daysafterthe dayofSale.

(c)Anymareaged18orover thatisnotinfoal.

(d)Anyanimalaged20yearsor over.

10.3 GoffsUK,asAgentsforthe Vendors,reservethefollowing rights,viz:(a) Torefusethebiddingofany person,withoutgivinganyreason.

(b) TobidbythemselvesforanyLot.

(c) TowithdrawtheLotfromsaleat

anytimebeforeithasbeen knockeddownwithoutdisclosing thereserveprice.

(d) Tofixaminimumpriceatany orallSales.

10.4 GoffsUKdonotmakeany representationwhatsoeverexpress orimpliedastotheidentityofthe OwnerorOwnersofanyLotat thetimeofentry,timeofsaleorat anyothertime.Intheeventofany disputethePurchaser’sremedy,if any,shallbeagainsttheVendor andtheVendor’sremedyshallbe againstthePurchaser,andnot againstGoffsUKwhoactas AgentsbetweenVendorand Purchaserandshallnotbeliableas aPartyinanyactionordispute betweenthem.

10.5 GoffsUKreservetherightto chargeinterestonunpaidaccounts at1.5%permonthonallaccounts whichareunpaid21daysafterthe lastdateoftheSale.

10.6 GoffsUKreservetherightto chargethePurchaser£25+VAT perdayforanyhorseremainingat GoffsUKafter5.00p.m.onthe dayfollowingitsdayofsale.In thecaseofunsoldhorsesGoffs UKreservetherighttochargethe Vendor£25+VATperday.

10.7 IfforanyreasonaLotispurchased andnotpaidforashereinbefore provided(notwithstandingifthe riskhaspassedtothePurchaser) thenthefollowingprovisions shalltakeeffectuntilpaymentis received:

(a) GoffsUKshallbeentitledto retaintheLot,andshallhavealien overtheLotandalldocuments

relatingtoitforallexpenses, includingfreight,incurredby themoranyagentofGoffsUK duringsuchperiodofretention. Suchlienmaybeexercisedin respectofanyothersumdueby thePurchasertoGoffsUK. GoffsUKshallalsobeentitledto exercisethesaidlienoverany documentsintheirpossession relatingtoanyotherLotorLots ownedbythePurchaser.ALot shallnotbedeliveredtothe Purchaseruntiltheexpenses referredtoabovehavebeenpaid, inadditiontothePurchasePrice.

(b) IntheeventofaLothavingbeen removedfromGoffsUK’premises thenGoffsUKshallbeentitledto repossesstheLotfromanyonein possessionofit.

(c) ShouldthePurchaserfailtopay foraLotthensuchLotmayatany timeberesoldbypublicauctionor privatetreaty,andthedeficiency (ifany)resultingfromsuchresale shallimmediatelybemadegood bythedefaultingPurchaser.

(d) NothingintheseConditionsshall precludeGoffsUKand/orthe VendorofaLotfrompursuingall legalremediesavailabletothem fortherecoveringofthePurchase PricefromadefaultingPurchaser andallexpensesanddamagesand commissionlostresultingfrom suchdefault.

10.8 GoffsUKwillnotreleaseanyLot fromtheSalesComplexuntila writtenreleaseformintheformof apass-outhasbeenissuedby GoffsUK.

10.9 GoffsUKmayatanytime,without notice,setoffanyliabilityofa Debtor(includingbutnotlimited totheoutstandingpurchaseprice ofanyLot)againstanyliabilityof anyAssociatedCompanytothe Debtor(whetheranysuch liabilityispresentorfuture,actual orcontingent,liquidatedor unliquidatedandirrespectiveof thecurrencyofitsdenomination) andGoffsUKmayforsuch purposeconvertorexchangeany currency.

10.10AnyexercisebyGoffsUKofits rightsunderCondition10.9shall bewithoutprejudicetoanyother rightsorremediesavailableto GoffsUKundertheseConditions orotherwise.

10.11GoffsUKreservetherightto moveahorsefromitsstableifit hasnotbeenremovedwithinthe specifiedtimestatedinthe catalogue.GoffsUKmaybe requiredtomoveahorseby transporttotheRacecourseStables andwillnotbeheldliableforany lossorinjurytoahorsewhilst beingmoved.

11-13 DISPUTES PROCEDURE11 COMPLAINTS PROCEDURE TheComplaintsProcedureapplies onlyinthecircumstancessetout inCondition12below.Forthe avoidanceofdoubt,theclinical examinationsinCondition4above donotapplytothisCondition11 asthoseexaminationsmustbe dealtwithonthedayof(ortheday

11.1 APurchaserwishingtoinvoke thisConditionmustdosoby informingGoffsUKinwriting(as perCondition16)by 5.00pm on the seventh calendar day after the Lot was purchased (thirdcalendardayinthecaseof Conditions12.1.5&12.1.6) givingspecificdetailsoftheir complaint,supportedbya certificatesignedbyan independentveterinarysurgeon (orindependentprofessionalrider inthecaseofConditions12.1.5& 12.1.6)

11.2 Thecomplaintshallbedealtwith byGoffsUK,ortheirappointee, whichmaybeaveterinarysurgeon orprofessional/internationalrider orotherdeemedappropriateby GoffsUKatsuchtime,atsuch placeandinsuchmannerasGoffs UKdeemsappropriate.The decisionofGoffsUKonthe complaint,shallbefinaland bindingonboththeVendorand thePurchaser.GoffsUKmayhave theLotexaminedbytheir appointeeandwheretheopinion oftheirappointeedoesnotagree withtheopinionofthePurchaser’s appointeeasexpressedinhis certificatefurnished,then theopinionoftheGoffsUK appointeeshallprevailandshallbe finalandbindingontheparties.

11.3 Allexpensesandchargesincurred bysuchadjudicationaswellasthe transportandkeepcostofanyLot shallbepaidbythePartyfoundto beinerror.

11.4 Fortheavoidanceofdoubtrisk remainswiththePurchaser throughoutanycomplaintand onlypassesbacktotheVendor whenbothpartiesarenotifiedof GoffsUKdecisiontocancelthe sale(ifappropriate).

11.5 ItwillbethePurchaser’s responsibilitytotransportthelot attheircostwithinfivedaystoa refereeinIreland,theUnited KingdomorFranceasappointed byGoffsUK.

11.6 NoLotmaybereturnedforthe reasonssetoutinCondition12if ithasracedfollowingtheSale.

12 LOTS RETURNABLE12.1 TheComplaintsProceduresetout in11abovewillonlyapplyifthe informationin12.1belowisnot statedinthecatalogueor announcedattheSaleorifthe Conditionsin12.2belowarenot declaredintheCatalogueorare notannouncedwithout qualificationattheSale.Inthese cases,theSalemaybecancelledat thediscretionofthePurchaser.

12.1.1 TheLotisnotregisteredwitha StudBookAuthorityapprovedby theInternationalStudBook Committee.

12.1.2 Thepedigreeordescriptionofthe Lotdoesnotcorrespondwiththe pedigreeordescriptionasstatedin thecatalogue.

12.1.3 TheLothasrunatan unrecognisedmeetingorisonthe forfeitlistmaintainedbya recognisedTurfAuthority.

(d) Hasbeengalloped“upsides”prior toSale.

(e) Isdeemedtohavebeenbroken& triedpriortoSale.

12.1.7 TheLotisthesubjectofaStarting StallsTestasorderedbythe StewardsoftheBHA/TurfClub.

12.1.8 TheLotisaBroodmare/Filly whichhasbeencoveredand/or subsequenttoanycoveringhas slippedthefoal.

12.1.9 TheLotissubjecttoaBHANon RacingAgreement(NRA1form)

12.2 AnyLotwhich:

(a) Isawind-sucker,(i.e.frequently swallowsairwhetherin associationwithgraspingfixed objectswithincisorteethornot;a crib-biterisnotreturnableunless thecrib-bitingisassociatedwith wind-sucking,inwhichcasethe Lotisreturnableasawind- sucker).

(b) Hasbeenoperatedonforthe correctionofwind-suckingas definedabove.

(c) Isaweaver;(i.e.frequently swingsitsheadandnecktoandfro andtransfersweightfromone forelimbtotheotheralternately).

13 DISPUTES13.1 Anydisputearisingoutofthesale ofanyLotinaccordancewith theseConditionsofSaleshallbea disputebetweentheVendorand thePurchaserandinno circumstancesshallGoffsUKbe liabletoeitherpartyinconnection withsuchdispute.

13.2 WhereGoffsUKarebroughtinas apartytoanydisputedespite13.1 above,GoffsUKwillbeentitledto paymentoftheirlegalandother expensesonafullindemnitybasis fromthepartywhojoinsthemin.

14 SAFETY14.1 EverypersononGoffsUK premisesbefore,duringorafterthe Saleshallbedeemedtobethereat theirownriskandshallhaveno claimagainstGoffsUKinrespect ofanyinjurysustainedoranyloss ordamagetopropertywhichmay occurfromanycausewhatsoever savethatnothinginthis sub-clauseshallbetakento excludeorrestrictliabilityfor deathorpersonalinjuryarising fromGoffsUK’snegligence.

14.2 GoffsUKacceptnoliabilityfor any,disease,accident,lossorfatal ornon-fatalinjurycausedtoaLot (includingdeath,theftorinjury)or causedbyanyLotwhileitisbeing movedbyGoffsUKemployees, agentsorsubcontractorsbetween yardsandGoffsUKPremisesorat anytimewhilstitisonGoffsUK Premises.Providedalwaysthat nothinginthissub-clauseshallbe

takentoexcludeorrestrictGoffs UK’sliabilityatlawfordeathor personalinjurytopersonsarising fromGoffsUK’snegligence.

14.3 AllLotsmustwearaheadcollarat alltimesonGoffsUKpremises. WhereaVendorisfoundtohave leftaLotwithoutaheadcollar aftertheSale,GoffsUKwill supplyaheadcollarattheVendor’s expense.

14.4 IfanyLotisriddenatanytimein conjunctionwiththeSale,the ridermustwearaBHAapproved helmetandbodyprotector,andit shallbetheresponsibilityofthe VendororPurchasertoensurethat they,theiremployeesoragents, adheretothisCondition.

15 GENERAL15.1 GoffsUKreservetherighttoadd, cancel,alterorotherwisemodify theseConditionsofSale.

15.2 TheseConditionsofSaleformthe entiretyoftheagreementbetween GoffsUK,theOwner,theVendor andthePurchaserandnovariation shallbevalidorbindingunless specificallyauthorisedinwriting bytwoExecutiveDirectorsof GoffsUK.

15.3 TheseConditionsofSalearetobe construedandshalltakeeffectin accordancewithEnglishLaw.

15.4 TheOwner,theVendorandthe Purchaseragreefortheexclusive benefitofGoffsUKthatthese ConditionsofSaleshallbesubject

tothenon-exclusivejurisdiction oftheCourtsofEnglandand Walesand,forsuchpurpose, irrevocablysubmittothe non-exclusivejurisdictionofthose Courts.

15.5 Thesubmissiontothejurisdiction oftheCourtsofEnglandand Walesshallnotlimittherightof GoffsUKtotakeproceedings againsttheOwner,theVendoror thePurchaserinanyotherCourtof competentjurisdictionandthe takingofproceedingsinoneor morejurisdictionsshallnot precludethetakingofproceedings inanyotherjurisdictionwhether concurrentlyornot.

16 NOTICES Whenanycertificateornoticeis requiredtobegiventoGoffsUK undertheseConditionsofSale,it mustbemadeinwritingandsent byfirstclassposttotheGoffsUK HawickOfficeoremailedto [email protected] requiredtobegivenbyGoffsUK totheVendororthePurchaser shallbesenttotheaddressgivenon theEntryFormorthe AcknowledgementofPurchase Form.Suchnoticeshallbedeemed givenonthedateofdeliveryorthe seconddayafterpostingoronthe dayoftransmissiondepending whetherthenoticeissentbyhand, postoremail.
