I am tempted to call this a story of two halves, which perhapsreveals one of my other cultural interests, in football (and I write thiswith the recent World Cup still in mind).

The first half of the story shows the Hallé at the top of its game andin the premier division of world orchestras throughout the year. TheChief Executive’s review of the year highlights so many outstandingevents and performances that it is hard to select my own favourites.The Mahler series, working in collaboration with the BBCPhilharmonic and the Manchester Camerata, was a deservedsuccess and a tangible reflection of the depth of musical talent inManchester. The combination of new pieces with Mahler’smonumental symphonies was thrilling. Last summer I had theprivilege of travelling with the Hallé on our short tour to the Germancities of Cologne and Frankfurt to hear the same Liszt and Dvorákprogramme in two radically different halls.

The Hallé’s education and outreach programme goes from strengthto strength, with such a tremendous variety of work touching thelives of so many people – more than 35,000 in the last year. Thiswork has received recognition in many forms and from manysources, but none more pleasing than the award of an MBE in theQueen’s honours’ list to Ewan Easton, our tuba player, for theinspirational work he has been involved with at Thorn Cross YoungOffenders’ Institute. Ewan is just one of the many members of theOrchestra who volunteer to take part in our Education work. Thetremendous variety and high quality of the education work the Hallédoes with people from all sections of the community is increasinglyrecognised as a vital part of our activity by our funders from thepublic and private sectors. The experience of being either aparticipant, artist or simply an observer can profoundly change livesfor the better. I am sure that any of you who have been lucky enoughto see any of our outreach programmes in action will share this view.

The Youth ensembles and Children’s Choir have continued to produceoutstanding work both alone and with the Orchestra. The HarmonyYouth Orchestra was a uniquely exciting project and I hope thatmany of you were able to see the results broadcast on Channel 4television over the summer. It really does show the power of musicas a force for good.

Mark Elder’s leadership continues to be inspirational and I havecome to appreciate how much of what we do is influenced by hisvision. It is particularly important, as we face the coming year, thatwe keep this vision uppermost in our minds.

Now to the more depressing second half of the story. You are all toowell aware of the deep financial crisis and recession that have hit theglobal and UK economies in the last two years. The Hallé hasinevitably not been immune and we have suffered in particular froma reduction in the number of businesses supporting our activities.That is reflected in the financial results we are reporting here. In theshort term we are very grateful to the Arts Council for granting usan award from their Sustain budget to help us withstand the worsteffects of the crisis. Looking forward, I am very pleased to see anumber of new and returning corporate sponsors in the currentseason and we are all hugely grateful for their support.

As you know, the country now faces an unprecedented budgetdeficit. The government is taking action to reduce it. This clearly hasconsequences for all of us, whether as individuals or organisations.We are already changing our plans in response to the policydecisions which have been announced, but we are in a period ofconsiderable uncertainty. As an organisation which reliessubstantially on public funding we await the outcome of thecomprehensive spending review with some trepidation. Any cut inour funding from these sources inevitably means we will need toseek resources elsewhere, or to reduce the scope of what we do. Isincerely hope that we are not forced into retrenchment and anundoing of the tremendous gains we have made in almost everyaspect of the Hallé’s life over the last ten years. I am sure that youas members, ticket buyers, donors, sponsors and other funders willnot let that happen, and I would personally like to thank you all foryour continuing support.

I do not want to end on an alarmist note, and please be assured thatmy fellow directors and the management and Orchestra are all toowell aware of the situation, and are determined to ensure that thereis no repeat of the problems of the late 1990s.

So, to end, I believe that the Hallé is in a very strong position toweather the difficulties ahead and I know that we can rely on yourunwavering support. I have now met many of you personally, andstill never cease to be amazed by the loyalty and passion you sharefor our Orchestra. We have a tremendous season ahead and I lookforward to seeing you over the coming months.

• visits to the prestigious Cheltenham and Edinburgh Festivals andthe Leeds Piano Competition – where the Halle is the residentorchestra.

• the collaboration with the BBC Philharmonic and ManchesterCamerata on a complete chronological cycle of Mahler symphonies.In front of each symphony was the world premiere of a new work.Critical acclaim has been extraordinary and box office hasexceeded all expectations. It is not an overstatement to say that –in matters of orchestra collaboration – Manchester leads theworld.

• the continued growth of audience levels in our two residenciesoutside Manchester (Nottingham and Sheffield).

• a new principal guest conductor in Markus Stenz(Generalmusikdirektor for the City of Cologne, with responsibilityfor Cologne Opera and the Gurzenich Orchestra) who succeededCristian Mandeal.

• the appointment of a new Young Conductor, Andrew Gourlay, whotakes over the post from Ewa Strusinska in the autumn. Andrew is‘home grown’, studying on the joint course between ManchesterUniversity and the Royal Northern College of Music. Following hisrecent appointment to the Hallé he won the prestigious Cadaquesconducting competition from a large field of international talent.

Awards I am very pleased to report that the following awards were receivedduring the year:

• The Gramophone Choral Award for The Dream of Gerontius.

Summary highlights of the Artistic YearThe 2009/10 season was one of outstanding artistic success withsome major projects throughout the year. Some of these were, ofnecessity, outside normal budgets and we are very grateful that thefundraising that accompanied the 150th season was in place tosupport them.

The Highlights of the artistic year included:• the performance and recording of Wagner’s Götterdämmerung in

The Bridgewater Hall. The concerts and recordings (in both CD andMP3 formats) have received, and continue to receive, outstandingreviews from across the globe. The recently released recording hasbeen featured as Gramophone Editor’s Choice, BBC Music

magazine Opera Choice, disc of the month in Classic FM magazine

and Sunday Times CD of the week.

• a tour of Spain – where the Orchestra and Choir gave two cyclesof the complete symphonies of Mendelssohn. We are especiallygrateful to the Choir for contributing to the costs of theirinvolvement in this project.

• a short tour to Germany with concerts with Sir Mark Elder andJean-Yves Thibaudet in Frankfurt and Cologne.

• the Hallé’s contribution to the Manchester International Festival,where the Orchestra and Youth Choir collaborated with Elbow –with work newly written for the occasion. The performance wasrelayed live to the Castlefield Arena in Manchester where it wasenjoyed free by an audience of around 5,500 people. This was oneof the most successful projects of recent years and a highlight ofthe Festival.

• South Bank Show Classical Award for the collaboration on NielsenSymphonies with the City of Birmingham Symphony Orchestra.

• Arts & Business People Development award for a collaborationwith Siemens PLC.

Artistic ProgrammingOur experiences during the year endorsed our decision to stick witha high profile (but riskier) artistic programme. Particularly pleasinghas been the audience and critical response to the Mahler cycle,where audience levels were far higher than had been experienced inthe past for individual Mahler symphonies – even with a new workin each concert. It is clear that the public responds well to the ‘bigidea’.

St Peter’s, AncoatsI am disappointed to report that little progress has been made onthe Hallé’s aspiration for a new rehearsal and education facility inAncoats – although we are still moving forward with our partners tofind ways that we can deliver a phased project against the backdropof a severe tightening of public finances.

Hallé EducationThe Education Programme continued to deliver a broad range ofhigh quality projects across Greater Manchester. The North WestMusic Partnership programme has been extended to include Wigan,alongside Manchester, Salford, Bolton and Stockport music services.The partnership with the Hallé continues to focus on the benefit ofclose cooperation and the way that working with professionalmusicians from the Orchestra can broaden and enhance the musicalexperience for the young people.

Much of the education and community programme focussed on fourschemes. Firstly, Hallé for Youth, the Orchestra’s series of SpringSchools concerts at The Bridgewater Hall. This season four concertswere performed in February to around 7,000 young people. Thisyear’s creative project, connected to the concerts, involved primaryschools from Wigan and Trafford performing alongside theOrchestra. The same children were also involved with a danceproject with students from the Northern Ballet School and thecreative impetus for all of this was provided by four speciallyselected paintings from the collection at Manchester Art Gallery. Inthe second scheme, the Hallé has been working as part of theAspiration Strategy of the Greater Manchester Challenge. Manyhundreds of children and young people from across the ten boroughshave been involved principally with two projects; a literacy andnumeracy project at The Bridgewater Hall and a business studiesproject, Hallé Impresarios, for Year 10. The third activity, andprobably the most spectacular project is Come and Play with theHallé. Focussing on ‘Wider Opportunities’ over the next three yearsthe Hallé is working with all ten Greater Manchester music servicesto give many thousands of primary school children the opportunityto come and play and sing with the Hallé at The Bridgewater Hall ina specially designed schools concert. This programme started lastsummer with the North West Music Partnership and involvedBolton, Manchester, Salford and Stockport children and this yearwill also involve children from Wigan, Oldham and Bury.

The final scheme in the programme is the Hallé’s Adopt-a-Playerproject. This season schools from Wythenshawe and Denton havebeen working creatively with adopted players from the Orchestraand children and young people from primary and high schools in

R those areas have attended Hallé concerts at The Bridgewater Hall.Next season we plan to involve Rochdale, Salford and Manchester insimilar activities.

Hallé Ensembles The Hallé Choir worked with a number of different choral specialiststhroughout 2009-10 while searching for a new Choral Director.Musical highlights included performing Mendelssohn’s SymphonyNo.2 (Lobgesang) in Valencia and at the BBC Proms, and performingand recording Elgar’s The Kingdom. The Choir also performedMahler’s Second and Eighth Symphonies as part of the Mahler cyclestaged in collaboration between the Hallé and the BBCPhilharmonic, and three a cappella concerts in churches around theNorth West. We are very grateful indeed for all of the effort andexpertise that these talented singers provide to audiences at ourconcerts from as far afield as Manchester and Valencia

The Hallé Youth Ensembles had an exceptionally busy year during2009-10.

The Hallé Harmony Youth Orchestra has now completed its two yearprogramme and the four one hour films (Orchestra United) werebroadcast in July and August of this year. We believe that thesefilms provide a powerful demonstration of the positive power of thearts in building social cohesion and awakening interests and skills inyoung people that will accompany them all their lives.

The Hallé Youth Orchestra and Youth Choir shared a residentialcourse at Casterton School, Cumbria, in July 2009. Residentialcourses are particularly special as the musical impact of livingalongside each other for a few days is always impressive. The Youth

Orchestra then went on tour to Wales, performing in Brecon andCardiff, and the Youth Choir joined the Hallé and Hallé Choir for aperformance of Mendelssohn’s Lobgesang at the BBC Proms. TheYouth Choir then joined a number of youth choirs from across thecountry to perform Handel’s Messiah at the BBC Proms inSeptember.

The Youth Orchestra had the opportunity to work closely with Halléplayers for a joint performance under the direction of Sir Mark ElderCBE and Ewa Strusinska in February 2010. It has also enjoyed a linkwith the Royal Opera House, focussing on the specific musical skillsrequired for accompanying professional ballet dancers; this projecthas included two trips to the Royal Opera House to observeprofessional stage and orchestra rehearsals and to accompanyprofessional dancers in workshops.

The Hallé Children’s Choir performed alongside the Hallé and HalléChoirs for the American-themed summer programme in July and theChristmas Carol concerts in December 2009; these experiences area great way to introduce young singers to an orchestra in additionto encouraging their own musical development. The Children’s Choiralso performed Captain Noah and His Floating Zoo by Flanders andHorowitz in March 2010. Children’s Choir Director, Shirley Court,chose this piece because it is great fun as well as educational, andthe project presented a really good opportunity for the children toexplore some basic drama work alongside their singing with the helpof drama specialist Wendy Cook. The children really responded tothe challenge, especially the invitation to personalise theircontributions within the overall drama. The whole experience hashelped them to reconsider their approach to communicating withthe audience in every performance.

The OrchestraOnce again there have been a number of changes in personnel. Wewelcomed Andrew Maher as 5th horn and said goodbye to AlisonLee-Brown from the bassoon section, Alexandra Stemp from thefirst violins and Dan Whibley from the double basses.

I would like to thank every member of the Orchestra for theircontribution and commitment. They are at the heart of what we doand have given some truly outstanding performances throughout theyear both on stage and in our educational work.

Sponsorship and FundraisingDuring the 2009/10 season the reorganised Hallé developmentteam were able to introduce a new series of strategic plans, many ofwhich are now beginning to bear fruit. In particular work with theprivate sector intensified and we have been able to announce a newMajor Sponsor, P Z Cussons, and several new project sponsors intime for the 2010/11 season.

However the 2009/10 season was challenging for fundraising inmany ways. The Corporate Membership Scheme was heavily hit bythe downturn in the financial markets. Traditionally we draw manyof our members from the financial services and professional servicessectors and we saw a significant reduction across the board ascompanies faced reductions in their budgets.

Our work with Trusts and Foundations increased and we welcomedmany new supporters to the Hallé during 2009/10 including the JPaul Getty Junior Charitable Trust, The Radcliffe Trust and the PRSFoundation.

In addition our patron and chair endowment schemes continue tocreate interesting and innovative ways of connecting our musicianswith our greatest supporters. We have plans to deliver new benefitsand opportunities during 2010/2011 to take us on from the successof the 2009/2010 financial year and the success of the 150thAnniversary campaign.

During 2009/10 we continued to receive strong support from boththe corporate sector and individuals for our fundraising eventsincluding the fourth NSPCC/Hallé Ball which netted an impressiveamount for both charities. A Hallé team competed once again in theGreat Manchester Run and our annual Golf Day once again provedto be a popular attraction.

2010/11 looks likely to be a much improved year for fundraisingalthough we are acutely aware of the challenges ahead and want torepeat our thanks to all our supporters at every level, without whomour work could not continue.

Our FundersWe are as ever indebted to our funders and would like to thankAGMA for the uplift in our annual revenue grant from 2009/10together with an undertaking that the whole grant will be indexlinked for three years. We would also like to thank Manchester CityCouncil for agreeing to increase their grant to support the increasedcosts of our residency at the Bridgewater Hall following the changein the operating arrangements for the Bridgewater Hall. Weappreciate that the coming months and years are going to bechallenging for them following the government’s actions to reducepublic spending, but look forward to their continuing support inthese difficult times.

The Arts Council too, faces cut backs in its funding. Their significantsupport over the last 10 years has enabled a step-change in the

Hallé’s fortunes both artistically and financially. The recent Sustainaward has helped us weather the recession to date in reasonablygood shape and has enabled us to continue to perform exciting andchallenging repertoire. However, the Department for Culture, Mediaand Sport recently announced a £19m reduction in its budget for2010/11 in addition to an earlier in-year reduction of £4m.Inevitably, some of this reduction has been passed on to their clientsand, in common with all other regularly funded organisations, wehave had our grant for the current year reduced by half a percent.Significant future cuts to the Arts Council’s funding are threatenedand we wait to see the impact they will have on the Hallé and itsprogramme of work.

The Administration, Board and TrusteesOnce again I would like to thank the Board and the trustees of ourassociated trusts for their support, giving their time and expertise sogenerously. I would particularly like to thank the Chairman, DavidMcKeith, for the work he undertakes tirelessly on our behalf andwhose support and encouragement is so valuable to me. In thesedifficult and uncertain times their commitment and wise judgementis more critical than ever. My thanks also go to all the members ofthe Administration for their hard work behind the scenes.

Finally, I cannot finish this report without a special mention forsomeone who will be well known to so many of you, Patsy Lawler,our Membership Administrator who retired earlier this year. I knowyou would want to join me in wishing her a long and happyretirement and will enjoy seeing her at concerts over the comingseason.

The trustees, who are also directors of the charity for the purposesof the Companies Act, present their annual report and the auditedfinancial statements for the year ended 31 March 2010, incompliance with current statutory requirements, the governingdocuments and the Statement of Recommended Practice (SORP) -Accounting and Reporting by Charities issued in March 2005.

REFERENCE AND ADMINISTRATIVE DETAILSDetails of the registered office, trustees, principal officers and otherrelevant information are given on page 2.

The Hallé Concerts Society is a company limited by guaranteegoverned by its Articles of Association as amended and adopted bySpecial Resolution on 26 October 2009. It is registered as a charitywith the Charity Commission.

STRUCTURE, GOVERNANCE AND MANAGEMENTThe Society’s Board of Trustees is responsible for its affairs and theChief Executive reports to the Board on behalf of the Managementand Staff. The Board consists of a maximum of 13 membersappointed as follows:

Elected: Nominated by ten members of the Society, unlessrecommended by the Board

Nominated: Nominated by Manchester City Council (1) and AGMA(2), appointed by the Board

The Board meets approximately 10 times a year to review strategyand operational performance and to set operating plans andbudgets. Day to day management is delegated to the ChiefExecutive.

The Board has three standing sub-committees with specific areas ofresponsibility and which make recommendations to the Board:

• Audit Committee – responsible for overseeing the Society’sfinancial reporting, external audit and reviewing the Society’sinternal control and risk management systems;

• Nominations and Remuneration Committee – responsible forreviewing the structure, size and composition of the Board and thetrustee bodies of the Society’s related trusts, having regard to thebalance and mix of skills required, and making recommendations tothe Board about any adjustments deemed necessary. Also forsetting procedure for recruitment of Board members and othersenior appointments, for recommending appointments to theBoard and setting the framework for remuneration of seniorappointments; and

• Investment Committee – responsible for overseeing theinvestment portfolio of the Society and its related entities.

Other ad hoc sub-committees may also be formed to oversee specialprojects and their terms of operation are agreed in advance by theBoard.

TrusteesAll trustees are members of the Society, with the exception of theNominated trustees, and all trustees have an equal vote and have thestatutory duties and obligations of trustees.

All trustees who are members of the Society are guarantors of theSociety with a maximum liability of £5.

At each Annual General Meeting the two longest-serving electedTrustees retire from office. If a trustee directly replaces another,that trustee retires at the meeting at which the outgoing trusteewould have retired. In accordance with the Articles of Associationthe following trustees retire by rotation and being eligible offerthemselves for re-election:

The Company Secretary ensures that appropriate induction andtraining is given to all Board members, for example updates on newcharity regulations are provided at trustee meetings. Each newtrustee is provided with a pack of information about the Hallé andtheir responsibilities as trustees and is given an opportunity forpersonal meetings with the Chairman and senior management of theSociety.

Structure of the GroupThe Hallé Concerts Society Group consists of the Hallé ConcertsSociety, its subsidiary Hallé Promotions Limited and three relatedtrusts: the Hallé Endowment Trust; the Charles Hallé Foundation andthe Hallé Concerts Society Sickness and Benevolent Fund, which areaggregated on the basis that they represent branches of the Society.

The Society also has a connected charity, the Terence Judd TrustFund, which was set up by his family, who still have an active interestin its activities, in memory of the pianist, Terence Judd. The trustfunds periodic piano competitions and recitals. This connectedcharity is not consolidated or aggregated, in accordance with SORP(2005).

Risk management and internal controlThe trustees are responsible for ensuring that an effective system ofinternal financial control is maintained and operated by the Society.

The system can provide only reasonable, and not absolute, assurancethat assets are safeguarded, transactions authorised and properlyrecorded, and that material errors or irregularities are eitherprevented or detected within a timely period.

The system of internal financial control is based on a framework ofregular management information; administrative procedures,including the segregation of duties; and a system of delegation andaccountability.

In particular it includes:

• A comprehensive budgeting system, with a strategic plan and anannual budget, which is reviewed and agreed by the trustees;

• Regular reviews by the trustees of periodic and annual financialreports, which indicate financial performance against approvedbudget and forecast;

• Clearly defined capital expenditure control guidelines; • A review by the Audit Committee of the comments made by the

external auditors in their management letter and other reports;and

• Procedures for monitoring progress against the strategic plan.

As part of the monitoring process, the trustees have implemented arisk management strategy, which comprises:

• Regular review by Management and an annual review by the Boardof the risks which the Society may face and actions taken tomitigate identified risks (last review completed in May 2010);

• The establishment of systems and procedures to mitigate thoserisks identified; and

• The implementation of procedures designed to minimise anypotential impact on the charity should any of those risksmaterialise.

The trustees consider the major risks facing the Society are:

• Uncertainty created by the current economic climate;• Pressure on public funding;• An inability to maintain artistic momentum;• Increased competition for support from sponsors, trusts and

foundations and individual givers; and• Underfunding of the Hallé Concerts Society Retirement Benefit

Scheme, which was closed to future benefit accrual in July 2006.

OBJECTIVES AND ACTIVITIES OF THE SOCIETYThe object of the Society, as stated in its Articles, is to promote thestudy, practice and knowledge of the art of music in the UnitedKingdom and elsewhere by the giving and arrangement of concerts,and other such means as is thought fit including, without limitation,performances of the Hallé Orchestra at the Bridgewater Hall,Manchester for the benefit of the public generally. Its mission is tobe one of the World’s most important symphony orchestras and tomake a distinctive contribution to promoting Manchester as asignificant European cultural centre.

The Society’s strategy to achieve its charitable objectives is toundertake the following major activities:

• promoting concerts by the Orchestra and by other artists andensembles in Manchester as the principal resident orchestra at theBridgewater Hall, performing a wide range of music for diverseaudiences including concerts for schools and family concerts;

• performing concerts throughout the United Kingdom includingresidencies in Nottingham and Sheffield, appearances at majorarts festivals such as the BBC Proms and Edinburgh together withregular engagements in Leeds, Bradford, Derby, Hanley, Lincolnand others;

• concert performances overseas in association with localpromoters, acting as a cultural ambassador for the Manchester

City region; • the production of highly acclaimed recordings issued on the Hallé’s

own label;• regular broadcasts for radio, television, the internet and other

digital media;• an extensive and award-winning education programme in Greater

Manchester and elsewhere working with over 35,000 children andyoung people;

• running the Hallé Choir, an unpaid chorus of around 150 singers,together with the Hallé Youth Orchestra and Choir and HalléChildren’s Choir which all perform both individually to combinedaudiences of around 20,000 people as well as with the HalléOrchestra and other ensembles.

Public BenefitIn shaping the objectives for the year and planning the Society’sactivities, the trustees have considered the Charity Commission’sguidance on public benefit, including the guidance on public benefitand fee charging. The Society relies on grants, donations,sponsorship, engagement fees and income from sale of tickets tocover its operating costs. In setting the level of ticket prices andconcessions, the trustees give careful consideration to theaccessibility of the Hallé to those on low incomes and with specialneeds. A special scheme for students provides them with access toheavily discounted tickets.

Schemes are in place to encourage attendance from those whowould not ordinarily have access to concerts. Over the past year theHallé and AGMA have been piloting a scheme which encouragespeople who would never otherwise be able to attend Hallé concerts,to do so for the first time. The Hallé offers free tickets andprogrammes, as well as advice and support. Nearly 500 people havenow attended from a number of different authorities, with moregroups planned for future concerts.

Charges for Education and Outreach work also have regard toensuring those activities are accessible to widest possiblecommunity, whatever their means. Membership of the youth andchildren’s ensembles is free and, with the generous aid of oursupporters, bursaries are available to help the less well-off members.

ACHIEVEMENTS, PERFORMANCE AND FINANCIAL REVIEWThe Group’s accounts have been prepared in accordance withStatement of Recommended Practice (SORP) issued in March 2005.

The Statements of Financial Activities for the Group and the Societyare set out on pages 15 and 16 and the consolidated and aggregatedsummary income and expenditure of the Group is given on page 14.A full review of the Society’s activities and achievements is set outin the Chairman’s Statement and the Chief Executive’s Review of theYear, which has been approved by the trustees.

Overall financial reviewThe group had total net incoming resources of £217,000 (2009:outgoing resources of £287,000) before gains on investment assetsand the actuarial loss on the closed defined benefit pension scheme.The group generated a surplus on unrestricted funds for the year of£212,000 (2009: deficit £184,000), leaving an accumulated surpluson unrestricted funds before the pension liability of £27,000 (2009:deficit of £185,000). The pension cost accounted for through theincome and expenditure account under the rules of FRS 17 increasedfrom £182,000 to £349,000.

Overall financial review (continued)

The results for the year were helped by the award from the ArtsCouncil’s ‘Sustain’ fund referred to below, which has assisted theSociety to mitigate the effects of the recession on ticket sales andcorporate support and to support the artistic programme.

The balance on all the group’s funds before the pension schemeliability stood at £4.5m (2009: £4.2m).

The Society’s key financial objective is to ensure financial stabilityand continued solvency year on year so it can pursue its artistic aimsand objectives.

The Society’s forecasts and projections show that, taking account ofreasonably possible changes in income, the Society will be able tomeet all its liabilities as they fall due and the deficit on unrestrictedfunds of the Society is not a cause for concern for the short tomedium term. This situation has been helped by the Arts Council’sSustain award and is underpinned by the commitment of theCustodians of the Hallé 2058 Foundation, that while they have theassets to do so, they will endeavour to ensure the Society is a goingconcern.

After making enquiries and having considered current cashresources and the availability of reserves within the Society, as wellas modelling different potential future funding scenarios, thetrustees have a reasonable expectation that the Society and theGroup have adequate resources to continue in operational existencefor the foreseeable future. Accordingly, they continue to adopt thegoing concern basis in preparing the annual report and financialstatements.

IncomeThe performances at the Bridgewater Hall achieved a paid capacityof 69% across the year as a whole, the same as last year. TheSociety’s pricing policy reflects its commitment to make its workaccessible to all members of the community, whatever their means,and offers concessions and discounts to appropriate groups. Duringthe year a number of schemes have been run in conjunction withlocal authorities to offer free tickets to disadvantaged groups whowould not normally attend concerts.

Two foreign tours, with four concerts in Spain and two in Germany,were undertaken during the financial year.

Revenue funding from Arts Council England increased by 2.7% to£2,178,000. AGMA funding increased by £100,000 plus inflation to£813,200 and Manchester City Council increased its grant by£56,000 plus inflation in recognition of the anticipated increase inthe Hallé’s costs of residency at the Bridgewater Hall.

In addition to this regular funding, £15,000 was received from theDepartment for Children, Schools and Families for the final stage ofNorth West Music Partnership project, which the Hallé was co-ordinating. In addition further funding was received for the Sing UpFlagship project and acting as Area Leader for the Sing Upprogramme. Sing Up is a government-funded initiative co-ordinatedthrough Youth Music to develop singing in primary schools.Additional funding was also received for the Harmony YouthOrchestra described in more detail in the Chief Executive’s review.

An award from the Arts Council as part of its Lifelong Learninginitiative assisted an audience development initiative working withManchester City Council to give groups of older people their firstexperience of concert going with free tickets and other support.

As reported last year, an award of £470,000 was received from theArts Council’s ‘Sustain’ fund to support box office and fundraisingprojections through 2009/10 and 2010/11 together with £130,000to support the purchase of a new orchestra van. A further£200,000 was awarded to support the organisation’s costs relatingto maintaining a high calibre artistic programme through 2009/10and 2010/11.

Total incoming resources amounted to £8.6m (2009: £7.8m).

ExpenditureA full analysis of expenditure on charitable activity is given in note5. Total resources expended amounted to £8.4m (2009: £8.1m).

Expenditure on the North West Music Partnership project and thevarious Sing Up project strands together with the Hallé Ensemblesis included in Educational and Outreach activity.

Subsidiary and BranchesThe Society’s wholly owned subsidiary, Hallé Promotions Limited,carries out non-charitable trading activities for the Society includingprogramme advertising. The company realised a profit on trading of£1,000 which was paid to the Society under gift aid (2009: loss of£2,000), which together with retained profits brought forward gaveretained profits carried forward of £4,000.

The Hallé Concerts Society Sickness and Benevolent Fund, whichis a charity linked by a Charity Commission Uniting Direction holdsinvestments, which, at the discretion of the Society, may be appliedto assist employees of the Society who are in temporary distressthrough poverty or sickness. The income from this fund hastraditionally been used to meet the costs of physiotherapy treatmentand similar expenses. In the year this Fund received investmentincome and bank interest of £14,000 (2009: £15,000) and paidbeneficiaries £12,000 (2009: £11,000). Funds from the Sicknessand Benevolent Fund are treated as restricted funds for thepurposes of the aggregated Statement of Financial Activities.

FundraisingA brief review of the activities of the Charles Hallé Foundation andthe Hallé Endowment Trust, which raise funds in support of theSociety’s activities, and which are both separately constitutedcharities with their own trustee bodies, is set out below.

The Charles Hallé Foundation holds funds raised from publicdonation and fundraising events. These funds are applied, at thediscretion of the Foundation trustees, to fund projects by theSociety, which would not otherwise be funded from core grantincome. In the year the Charles Hallé Foundation received £221,000in donations and legacies (2009: £237,000), raised £29,000 (2009(the 150th anniversary year): £52,000) net through fundraisingevents and received £1,000 (2009: £7,000) bank interest. Funds of£248,000 (2009: £313,000) were transferred to the Society tosupport educational and other projects.

The Hallé Endowment Trust holds long-term investments, theincome from which is available to the Society, at the discretion of theEndowment trustees, to further the education of the general publicin the study, appreciation and practice of music and the allied artsthrough supporting the activities of the Society.

During the year the Hallé Endowment Trust received restrictedincome of £175,000 (2009: £179,000), and £170,000 wastransferred to the Society (2009: £170,000). In addition the Trustreceived donations and legacies of £37,000 (2009: £12,000), which

were added to the capital of the Endowment which stood at £3.0mat 31 December 2009.

The Hallé 2058 Foundation was set up during the 150thanniversary year in 2008 as the main focus for fundraising. Duringthe last year the trustees resolved that all the funds currently heldby the Hallé Orchestra Public Appeal (the Hallé Appeal) and anyfunds which the Appeal shall receive in future should be transferredto the Hallé 2058 Foundation which was set up with similarobjectives to the Appeal.

The 2058 Foundation funds are administered by a panel ofCustodians and are treated as restricted funds for the purposes ofthe Statement of Financial Activities. The fund supplements the corefunding of the Society by supporting the following objectives.

The combined fund will strive to support the Society’s artistic andeducational programmes and initiatives such as the Hallé’s Youthand outreach activities including, inter alia, the Hallé YouthOrchestra, Hallé Youth and children’s Choirs and the Hallé AssistantConductor programmes together with any new initiatives anddevelopments in this area.

It also aims to:

• support both the Hallé international touring and its recordingprogrammes thus furthering the Hallé’s worldwide reputation;

• commission the writing of new work;• assist in the purchase of musical instruments or other specialist

equipment; and• support any collaborative projects with other artistic institutions in

the field of promotion of education and music.

During the year the combined funds received donations of £190,000(2009: £284,000).

Investment PolicyAn Investment sub-committee reviews the investment strategy andperformance of the Society and its related entities. The managementof the group’s investment portfolios is vested in Cazenove CapitalManagement Ltd. and the following investment policies andstrategic asset allocations have been adopted by the trustees of theindividual trusts. During the year, the Investment Committee agreedthat Cazenove should be given discretion to act within certainbenchmark ranges for asset allocation for all portfolios except theHallé Endowment Trust.

The investment policy for the Hallé Endowment Trust is to maximiseincome. The policy of the other funds is to balance income withcapital growth. The following strategic asset allocations have beenadopted.

Hallé Concerts Society: 40% UK bonds (30%-50%), 50% UKequities (40%-60%), 10% Hedge funds (0%-10%)

Hallé Concerts Society Sickness and Benevolent Fund: 40% UKbonds (30%-50%), 50% UK equities (40%-60%), 10% Hedge funds(0%-10%)

Hallé Endowment Trust: investments are predominantly in theCazenove Income Trust for Charities (UK bonds),

M & G Securities Charibond Income fund (UK bonds) and inpermanent interest bearing securities. However, the trustees’gradual long term objective is to achieve greater diversificationacross different asset classes. Upon receipt of new funds orproceeds/realisations from maturing bonds, advice will be sought

from investment managers as to how this might be achieved,provided the income requirement remains predominant.

With the exception of the Endowment Trust, investments arepredominantly in Common Investment Funds. Each asset class ismeasured against the appropriate market indices for performancepurposes. In the case of UK bonds this is the FTSE All Stocks index,for equities, the FTSE All Share and Hedge Funds are measuredagainst 7 day LIBOR.

The Hedge funds referred to above are all investments in theCazenove Absolute Return Trust for Charities.

There are no restrictions on the trustees’ power to invest and thetrustees have not adopted an ethical investment policy.

ReservesThe trustees have reviewed the reserves of the Group and of theSociety, which are detailed in notes 8 to 10. The trustees’ policy inrelation to reserves is to ensure that the Society holds sufficientfunds to maintain liquidity, to cover unforeseen short-termemergency cash requirements.

As reported in previous years, the recognition of the defined benefitscheme pension liability under FRS 17 clearly has a major impact onthe reported unrestricted reserves of the Group and the Society. Thisliability is updated annually to reflect market conditions and otheractuarial assumptions. The liability at 31 March 2010 was calculatedas £5,656,000 (2009: £4,186,000). Although this is significant, itdoes not mean that an immediate liability for this amountcrystallises, and does not have an immediate cash flow impact on thecharity.

The most recent actuarial valuation was carried out as of 31 March2008. Valuations are undertaken every three years and the nexttriennial actuarial valuation will be as of 31 March 2011. Followingthe latest valuation, in negotiation with the trustees of the pensionfund and following professional advice, the Society has agreed arecovery plan with the trustees to repay the Scheme deficit over aperiod of 24 years. This recovery plan aims to ensure that shortfallis eliminated by March 2033 and the benefits accrued by membersof the Scheme are secure.

Unrestricted fund balances at 31 March 2010, excluding the pensionliability, showed an accumulated surplus of £27,000 (2009: deficitof £185,000) and there were no free reserves. Although the trusteesare content that taking account of the level of grants receivable andthe requirement each year to match income and expenditure andavoid accumulating a deficit, the future cash flow projections enablethe Group to meets its obligations as they fall due, the trusteesconsider it important that a higher level of free reserves be built up.The Sustain grant has been invaluable in helping the Society copewith income uncertainties arising from the current economic climatebut the Trustees are resolved that the Society must balance itsincome and expenditure on an ongoing basis longer-term and plansare in place to implement cost cutting measures should those provenecessary, where possible without compromising artistic quality.

The Group and the Society have a number of restricted funds thepurpose of which is detailed in note 9 to the financial statementsand these funds supplement the core income of the Society bysupporting developmental activity in accordance with the purposesfor which they were gifted.

RT PLANS FOR FUTURE PERIODS

A major concern for the trustees is the Society’s ongoing financialsustainability given the current uncertain economic climate anddecisions over public funding. The outcome of the comprehensivespending review is unlikely to be known until October, butannouncements made under the emergency budget suggest that theSociety may well face a difficult period going forward. The ChiefExecutive’s Review of the Year refers to the half percent cut in ourgrant for 2010/11 recently announced and the government hasclearly set out its intention to reduce public expenditure across theboard over the next four years. The trustees are developing plans tobe implemented in the light of forthcoming funding decisions,recognising that it is vital that the Hallé continues to present anexciting and stimulating artistic programme.

The 2010/11 season is varied and ambitious with a full programmeof concerts in the Bridgewater Hall and touring engagements in theUK. We are already in discussion with a number of partners aboutexciting projects for the following year.

Our education programme will continue to work closely with GreaterManchester’s music services and with individual schools andcommunity groups to reach children, young people anddisadvantaged groups across the region. In addition we will furtherdevelop the Hallé youth and children’s ensembles and the work of theHallé Choir described in more detail in the Chief Executive’s reviewof the year.

Our Knowledge Transfer Partnership project in association with theOpen University is developing our use of new digital media to givewider access to our activities, develop deeper engagement with ourcurrent supporters and to reach new ones.

We will also continue to explore possibilities for our long-heldambition to deliver a dedicated rehearsal and education centre forthe Orchestra, although we recognise the difficulties of achievingthis in the current uncertain financial climate.

STATEMENT OF RESPONSIBILITIES OF THE TRUSTEES OFTHE HALLÉ CONCERTS SOCIETY IN RESPECT OF THETRUSTEES’ ANNUAL REPORT AND THE FINANCIALSTATEMENTS

The trustees are responsible for preparing the Trustees’ AnnualReport and the financial statements in accordance with applicablelaw and regulations.

Company law requires the trustees to prepare financial statementsfor each financial year. Under that law they are required to preparethe group and parent company financial statements in accordancewith UK Accounting Standards and applicable law (UK GenerallyAccepted Accounting Practice).

Under company law the trustees must not approve the financialstatements unless they are satisfied that they give a true and fairview of the state of affairs of the group and charitable company andof the group’s excess of income over expenditure for that period. Inpreparing each of the group and charitable company financialstatements, the trustees are required to:

• select suitable accounting policies and then apply themconsistently;

• make judgements and estimates that are reasonable and prudent; • state whether applicable UK Accounting Standards have been

followed, subject to any material departures disclosed and

explained in the financial statements; and • prepare the financial statements on the going concern basis unless

it is inappropriate to presume that the group and the charitablecompany will continue its activities.

The trustees are responsible for keeping adequate accountingrecords that are sufficient to show and explain the charitablecompany’s transactions and disclose with reasonable accuracy atany time the financial position of the charitable company and enablethem to ensure that its financial statements comply with theCompanies Act 2006. They have general responsibility for takingsuch steps as are reasonably open to them to safeguard the assetsof the group and to prevent and detect fraud and other irregularities.

The trustees are responsible for the maintenance and integrity of thecorporate and financial information included on the charitablecompany’s website. Legislation in the UK governing the preparationand dissemination of financial statements may differ from legislationin other jurisdictions.

Disclosure of information to independent auditorsThe trustees who held office at the date of approval of this trustees’report confirm that, so far as they are each aware, there is norelevant audit information of which the Company’s auditors areunaware; and each trustee has taken all the steps that they ought tohave taken as a trustee to make themselves aware of any relevantaudit information and to establish that the Company’s auditors areaware of that information.

AuditorsIn accordance with Section 485 of the Companies Act 2006, aresolution for the reappointment of KPMG LLP as auditors of theCharitable Company will be proposed at the Annual GeneralMeeting, together with a resolution empowering the trustees to fixtheir remuneration.

Costs of charitable activity (continued) Special Education and Outreach projects comprise the North West Music Partnership project undertaken in conjunction with Manchester,Salford, Bolton and Stockport music services funded by the Department for Children, Schools and Families and Sing Up projects funded byYouth Music through Sing Up.

The fixed asset reserves represent monies provided for capital expenditure which are transferred to the income and expenditure account overthe useful life of the assets purchased.

The Sustain fund was received from Arts Council England to fund the purchase of a new instrument van.

The North West Music Partnership Fund represents monies received from the DCSF for the Partnership project with Greater ManchesterMusic Services for which the Hallé was acting as co-ordinator.

Sing Up funds represent monies received from Youth Music in support of the Sing Up programmes administered by the Hallé on behalf itsproject partners.

The Sickness and Benevolent Fund and Hallé Endowment Trust funds represents donations and investments held for the restricteddistributable purposes of those trusts.

The Hallé 2058 Foundation Funds represent monies received in support of the fundraising effort for the Hallé’s 150th birthday combined withthe funds raised by the Hallé Public Appeal. The funds are administered by an independent panel of Custodians and support was given to anumber of education and outreach initiatives during the year.

The Education and outreach funds represent funds received from the Charles Hallé Foundation in support of specific educational and outreachprojects.

The Charles Hallé Foundation restricted funds represent funds received from a variety of donors for specific educational and outreachprojects. Funds include gifts of shares in companies listed on the Alternative Investment Market, which must be held for a minimum of twoyears. These are accounted for in restricted funds until that condition is satisfied. Full details of those funds are disclosed in the accounts ofthe Charles Hallé Foundation.

11. PensionsDuring the year the Society contributed to a contributory defined contribution (Stakeholder) scheme for its employees which is operated byStandard Life. Employees joining the stakeholder pension contract directly with Standard Life. The Society makes an employer contributionof 7% of salary to this scheme and just acts as agent in collecting and paying over employee pension contributions. The pension cost chargefor the current year was £210,000 (2009: £207,000).

The Company also paid deficit removal contributions to the closed defined benefit pension scheme detailed below. The following informationrelates to the group and the company.

Defined benefit pension schemeThe Society’s defined benefit pension scheme (the Hallé Concerts Society Retirement Benefits Scheme) which provided benefits based onfinal pensionable salary, was closed to future accrual of benefits from 1 July 2006. The assets of the Scheme are held separately from thoseof the Society in a trustee-administered fund. The full actuarial valuation at 31 March 2008 showed a deficit of £5.3m on the Trustees’funding basis.

From 1 April 2009, following detailed negotiations with the trustees of the pension scheme, the Society is paying contributions of £250,000a year increasing annually by the increase in National Average Earnings. The shortfall is planned to be eliminated by 31 March 2033. TheSociety expects to contribute £253,500 to the Scheme in the 2010/11 financial year.
