EMC is pleased to provide Washtenaw County and the City of Ann Arbor with a proposal to replace Washtenaw’s current Avamar Gen 2 deduplication solution, as well as, a replacement for the current NS480 unified storage array with our new VNX 5700 with FAST functionality. Some of the Avamar Gen 4 benefits for Washtenaw County and the City of Ann Arbor include:

Scalability – Individual nodes increase from 2.2TB per node up to 3.9TB. The Gen 4 solution will allow us to consolidate both Washtenaw County

and the City of Ann Arbor’s backup requirements into a single Avamar. The consolidation of both backup environments will allow the Avamar Gen

4 solution to integrate with a single instance of vCenter, or be able to support multiple vCenter’s.

Some of the VNX 5700 benefits for Washtenaw County and the City of Ann Arbor include:

3X increased performance, simpler, more efficient, and more productive. State-of-the-art architecture including:

– Intel Westmere multi core – 6GBPS SAS – Multi lane – Continuous write caching

Array automation software including: – FAST Cache and FAST VP – Block compression – User policy driven

Financial Analysis: The Avamar Gen 2 is currently on an EMC lease with the next lease payment due in February 1, 2012 in the amount of $179,616. Since the current Avamar Gen 2 solution is only 14 months into a 36 month lease, we are going to transfer the remaining 22 months of software maintenance over to the Avamar Gen 4 solution. The NS480 is currently on an EMC lease with the next lease payment due in January 1, 2012 in the amount of $208,308. Since the current NS480 solution is 24 months into a 36 month lease, we are going to transfer the remaining 12 months of software maintenance over to the VNX 5700 solution.

EMC will retire the remaining lease amount of $179,616 currently on lease schedule 9 which represents the remaining debt for the Avamar Gen 2 solution. Advantages of current Avamar proposal:

• The integration of the combined Avamar solution with a single instance of

• Efficiencies gained through consolidation such as floor space, power and cooling, and operational management.

EMC will also retire the remaining lease amount of $208,308 currently on lease schedule 7 which represents the remaining debt for the NS480 solution. Advantages of current VNX proposal:

• Consolidates Washtenaw County and the City of Ann Arbor onto a single storage infrastructure.

• The VNX 5700 provides the highest performance and capacity efficiency -

automatically.

INTERAGENCY AGREEMENT FOR COLLABORATIVE TECHNOLOGY AND SERVICES SCHEDULE 1 

 

This  is a Schedule  issued under  the  terms and conditions of  InterAgency Agreement  for Collaborative Technology and Services, effective______________, 2011  Delivery of Services under this Schedule shall be performed in accordance with the general terms and conditions of the above referenced InterAgency Agreement and more particularly as described below: 

1. Service Title: Data Center Services

2. Service Description: Provide facilities and facility services necessary for the proper operation of a two Data Centers. Services include hardware collocation, managed power distribution, backup power systems, access control services, temperature and humidity control and access to telecommunications infrastructure.

3. Provider:

City of Ann Arbor

4. Subscriber(s):

Washtenaw County

5. Provider Responsibilities:

- Provider will use commercially reasonable efforts to ensure that the temperature of open space in Data Center Services area will remain between 64 and 78 degrees Fahrenheit, and relative humidity will remain between 30% and 70%. This commitment does not apply to localized conditions within a particular customer cabinet, cage, rack or other enclosed space.

- Provider will use commercially reasonable efforts to have AC power provided to for Data Center Services available 100% of the time through generators and Uninterruptible Power Supply (UPS).

- Provider will use commercially reasonable efforts ensure that access to Customer’s Data Center Services facility(s) will be monitored and restricted at all times. Efforts to ensure security to the facility is maintained via security card and video surveillance. Provider will provide a process to ensure that only those with the authority are given access to the Data Center.

- To the extent not in conflict with this Schedule, Provider shall meet all obligations described and previously agreed to in the City of Ann Arbor- Washtenaw County License Agreement the terms of which are incorporated here as if stated and continue in full force and effect as part of this Schedule.

6. Subscriber Responsibilities:

- The Subscriber is responsible for providing a Point of Contact for all Provider Communications.

- The Subscriber is responsible to notify Provider of any staffing changes and to recover any security cards issued to former staff members.

- To the extent not in conflict with this Schedule, Subscriber shall meet all obligations described and previously agreed to in the City of Ann Arbor- Washtenaw County License Agreement; the terms of which are incorporated here as if stated and continue in full force and effect as part of this Schedule.

7. Performance Expectations: - Any major planned service outages will be discussed with Subscriber at a minimum

10 business days prior planned service outages. - Provider shall provide 4 hour response and best effort resolution on emergency

service requests.

8. Maintenance Schedules (Scheduled & Critical): - Scheduled Maintenance: Scheduled (non-emergency) maintenance will be

performed between the hours of 6 PM to 6 AM local time. Normal maintenance includes (1) upgrades of hardware and software; (2) upgrades to capacity; (3) network activity that may degrade the quality of service or cause service interruptions.

- Critical Maintenance: Critical maintenance may be performed at any time to correct network conditions that require immediate attention. Critical maintenance is performed at the discretion of the Provider and may degrade or disrupt service. All reasonable business efforts will be attempted to notify the Customer’s designated point of contact as is reasonably practicable under the circumstance.

9. Communications Protocol: - Scheduling of planned service outages will be communicated through email

addressed to Subscriber Point of Contact no later than 10 working days prior to planned service outages.

10. Role of Contractors: - Contractors providing services to the Data Center or Subscriber’s equipment located

within the Data Center will have access to the Data Center as per current license agreement. This access shall be limited and managed by the Provider.

11. Subscriber Fee:

- Annual Fee Due Provider: $32,500 - Date Due: February 1st of each year - Expiration Date: 2014

INTERAGENCY AGREEMENT FOR COLLABORATIVE TECHNOLOGY AND SERVICES SCHEDULE 2 

 

This  is a Schedule  issued under  the  terms and conditions of  InterAgency Agreement  for Collaborative Technology and Services, effective______________, 2011  Delivery of Services under this Schedule shall be performed in accordance with the general terms and conditions of the above referenced InterAgency Agreement and more particularly as described below: 

1. Service Title: Enterprise Storage Services

2. Service Description: An Enterprise Storage SAN provides Subscribers with a low cost and highly available service to address their data file management needs. The Enterprise Storage service is provided in the form of an EMC VNX 5700 unified storage platform with FAST functionality. The provider will provide access to this disk though a Cisco Fiber switch that will provide a minimum of 2 GB throughput on the connections. This service does not include offsite duplication of the data through this system for failover and disasters.

3. Provider:

Washtenaw County

4. Subscriber(s):

Ann Arbor

5. Provider Responsibilities:

- Provider will supply the City with up to 58 TB of available disk storage. - Provider will use commercially reasonable efforts to ensure service remains available

24 hrs/day, 7 days a week, 365 days a year, excluding published scheduled maintenance times.

- Provider will ensure that regular patching and code updates are applied to keep the unit secure and reliable

- Provider will provide, at the minimum, view access into the configuration and monitoring utility for the system

- Provider will work with the Subscriber to ensure that data is placed at the optimum place for the unit to achieve maximum efficiency.

6. Subscriber Responsibilities: - The Subscriber is responsible for providing a Point of Contact for all Provider

Communications.

7. Performance Expectations: - Any major planned service outages will be discussed with Subscriber at a minimum

10 business days prior planned service outages and a mutually agreed upon schedule will be implemented.

- Provider shall provide 48 hour response and best effort resolution on standard service requests..

- Provider shall provide 4 hour response and best effort resolution on emergency service requests,.

- Provider will implement Subscriber configuration changes within 2 business days from receipt of written request.

- Provider will implement Subscriber emergency configuration changes within 2 hours from receipt of written request and approval from Subscriber point of contact .

- Provider will provide requests for additional disk within 2 weeks of written request from Subscriber.

- Subscriber is responsible to make requests to Provider for configuration changes and to allow 2 business days for provider to complete request.

8. Maintenance Schedules (Scheduled & Critical):

- Scheduled Maintenance: Scheduled (non-emergency) maintenance will be performed between the hours of 6 PM to 6 AM local time. Normal maintenance includes (1) upgrades of hardware and software and (2) upgrades to capacity.

- Critical Maintenance: Critical maintenance may be performed at any time to correct network conditions that require immediate attention. Critical maintenance is performed at the discretion of the Provider and may degrade or disrupt service. All reasonable business efforts will be attempted to notify the Customer’s designated point of contact as is reasonably practicable under the circumstance.

email addressed to Subscriber Pointof Contact no later than 10 business days prior to planned service outages.

10. Role of Contractors: - Contractors providing services to the Provider’s equipment located within the Data

Center will have access to the Data Center as per Schedule 1 of the InterAgency Agreement for Collaborative Technology and Services . This access shall be limited and managed by the Subscriber.

11. Subscriber Fee:

- Annual Fee Due Provider: $73,632 - Date Due: December 31st of each year beginig December 31, 2011 - Expiration Date: June 30, 2015

This  is a Schedule  issued under  the  terms and conditions of  InterAgency Agreement  for Collaborative Technology and Services, effective______________, 2011  Delivery of Services under this Schedule shall be performed in accordance with the general terms and conditions of the above referenced InterAgency Agreement and more particularly as described below: 

1. Service Title: Enterprise Backup Services

2. Service Description: Provide a redundant backup system that is tapeless and provides the ability of automated offsite storage and advance automated data de-duplication.

3. Provider:

Washtenaw County

4. Subscriber(s):

City of Ann Arbor

5. Provider Responsibilities:

- Provider will use EMC’s Avamar 6.0 solution unless otherwise agreed upon. - Provider will provide access to 50% of the Enterprise Backup Service’s total usable

storage for the use of the Subscriber’s data. - Provider will ensure that regular patching and code updates are applied to keep the

unit secure and reliable - Provider will provide, at the minimum, view-level access into the configuration and

monitoring utility for the system for Subscriber - Provider will work with the Subscriber to ensure that data is placed at the optimum

place for the unit to achieve maximum efficiency - Provider will ensure offsite replication of the Subscribers data through the use of the

provider’s network to the Subscriber’s offsite location - Provider will ensure that schedules for backups do not conflict with each other’s

backup and that they are staggered to not exceed the capacity of the the Enterprise Backup Service

- Provider will work with Subscribers to ensure backup time schedules are regularly met and that the data is secure

- Provider will work with Subscriber to test disaster recovery plans and to test restoration of servers when requested.

- Provider will ensure Subscriber has adequate levels of security and access to the system console so that Subscriber can add, modify, delete jobs from the system as well as monitor job completion. Subscriber also will perform their own simple restores.

Communications. - Subscriber is responsible to work with Provider to develop Subscriber backup

INTERAGENCY AGREEMENT FOR COLLABORATIVE TECHNOLOGY AND SERVICES SCHEDULE 4 

 

This  is a Schedule  issued under  the  terms and conditions of  InterAgency Agreement  for Collaborative Technology and Services, effective______________, 2011  Delivery of Services under this Schedule shall be performed in accordance with the general terms and conditions of the above referenced InterAgency Agreement and more particularly as described below:

Future increases in compensation will be mutually agreed upon by both parties. Itinclusive of any and all remuneration to which the county may be entitled for servicesunder this Agreement.

8. Supervision of Manager - The Manager will be supervised by the City’s Information Technology Director, or the

City Administrator’s designee, for the City, and by the County Information Technology Director or the County Administrator’s designee, for the County.

- The Manager will report to the City’s Information Technology Director, or the City Administrator’s designee, for City related business activity, and to the County’s Information Technology Director or the County Administrator’s designee, for County related business activity.

- The supervisors of Manager for City and County shall jointly set work priorities for Manager.

- The Manager will keep time records showing the hours worked under this Agreement. Time records must comply with timekeeping procedures of both the City and the County and must separate time spent on City and County business activities. All time records must be submitted to the City and County biweekly for review.

- The supervisors of Manager for City and County will jointly write and administer performance reviews for the Manager.

- Manager will at all times remain an exclusive employee of the County. Manager is not to be considered a regular, temporary, hourly or casual employee of the City for any purpose.

- City and county will each pay 50% of all training costs for Manager, except for internal training offered by the City or County which shall be paid by the City or County respectively.

9. Manager’s Supervision of City Information Technology Services Unit Employees: - Manager will supervise, evaluate and discipline employees of the City Information

Technology Services Unit under his/her direction in accordance with all rules, policies and procedures of the City.

- City and County employees under the supervision of Manager shall keep time records indicating any time, if any working on joint City and County projects.

10. Managers Compensation & Taxes: - County accepts exclusive liability for Manager compensation and benefits for services

performed under this Agreement. County accepts exclusive liability for all applicable payroll taxes, including social security, federal, state and city income tax withholding,

federal and state unemployment taxes, and any penalties and interest on such payroll taxes, resulting from amounts paid to any persons used by County in performing Services under this Agreement. Such persons will in no event be the employees of the City. County agrees to indemnify City from any and all taxes under Section 4980B of the Internal revenue Code and any penalties and interest thereon, resulting from failure of County to satisfy the continuation coverage requirements provided in Section 4980B of the Internal Revenue Code with respect to County’s group health plans, if any, applicable to persons used by County in performing services under this Agreement. County must pay all income, single business, sales, use, property, and any other taxes, assessments and fees arising out of County’s performance of services under this Agreement, and must indemnify City for all such taxes, assessments and fees and any penalties and interest on such taxes, assessments and fees levied against City or which City may be required to pay.
