Westchester Fire Insurance Company ("Westchester ), alleges and states as follows:Frates is a corporation organzed under the laws of the State of Oklahoma with 'its

pricipal place of business in Oklahoma County.. 2. Westcbester is an insurance company organized under the laws of the State of

Pennsylvania, licensed to do. business in the State of Oklahoma and is now and was at all timesmentioned herein doing business in Oklahoma County, Oklahoma. Frates ' cause of action arosein Oklahoma County.

Venue is proper in this Cour pursuant to 12 Okla. Stat. 137.Frates is a du1y licensed insurance producer and third par admistrator in the

State of Oklahoma providing insurance services to customers. Frates purchased fromWestchester a professional liabilty insurance policy, Policy No. 024045791 002, effective dateOctober 30, 2009 (the "Policy ). The purpose of tbe Policy was to insure Frates against claimsfor errors and omissions arising out of Frates' business of fuishing- insurance services.

Whle the Policy was in force and effect , Prates received an errors and omissionsclaim against it :Iom one of its insurance customers, the Oklahoma Lumbermen s AssociationHealth Plan Plus (the "aLA"

OLA made a claim on Frates for damages, alleging that Frates had been negligentin placing stQP loss insurance coverage for OLA.

Frates timely tendered aLA' s claim to Westchester and requested defense andcoverage under the tenns ofthe Policy. .

Westchester denied coverage under the Policy.Thereafer, Frates settled OLA's claim without any defense or assistance from

Westchester. The terms of the settlement require Frates to pay the sum of $148 727.32 in retufor a release ofOLA' clai.

10. Westchester breached the terms of the Policy by refusing to provide coverage forOLA' clai against Prates. Frates has been damaged by Westchester s breach of the insurancecon1ract in the sum of $148,727.32, plus costs and attorneys ' fees incured in defending OLA'sclaim. Additionally, Frates is entitled to interest, cost and attorneys ' fees inc ed in this case.

WHREFORE, Frates requests that the Cour enter judgment in its favor and against theDefendant Westchester and prays that it be awarded damages in excess of $148 727. , togetherwith all costs of ths action, including reasonable attorneys ' fees and interest as required by law,and for such other and further relief as the Cour deems jus and proper.
