II. PROPERTY INFORMATION
A. Location: Approximately 1.27 acres of the northwestern portion of
Fred Howard Park, Tampa & Tarpon Springs Land Co Lots 13, 15, 16, & 19, lot 14 less the east 30 ft for r/w and submerged land, as depicted in Exhibit “A”

III. BACKGROUND
The Clearwater Marine Aquarium has entered into a license agreement with
Pinellas County Government to place a marine mammal stranding rehabilitation
facility on approximately 1.27 acres entirely enclosed within Fred Howard Park.
The facility will be fully fenced and not open to the public. The facility will be
staffed intermittently in accordance with the unpredictable nature of distressed
animals requiring the use thereof. The project is planned to be completed in three
phases over a three year period. At completion it will consist of two fiberglass
pools, shade structures over the pools, a mobile laboratory / office, and concrete
pads for wash-down and other animal care activities.
The plan includes 7,996 square feet of vehicular use area composed of crushed
shell that will contain a total of 5 parking spaces. One handicapped accessible
space required for this site will be concrete and will connect to a handicapped
accessible sidewalk within the site. Approximately 62 percent of the site (34,167
square feet) will remain as open space.
On November 29, 2017 the Board of Adjustment granted the applicant a variance
to provide relief from parking lot landscaping and screening requirements
(Application #17-112). Because of its isolated location within the park and the
natural features surrounding the site, including areas of dense, mature
vegetation, the intent of the landscaping and screening requirements of the Land
Development Code is satisfied.
An environmental analysis of the site was completed which identified one Gopher
Tortoise and two potentially active Gopher Tortoise burrows. An on-site
relocation permit will be applied for from Florida Fish and Wildlife Conservation
Commission (FFWCC). This analysis concludes that the development will have
minimal impact to the existing plant and animal populations due to its small size
and placement on an existing spoil site surrounded by undisturbed natural area.
IV. ANALYSIS V. REVIEW CRITERIA - COMPREHENSIVE PLAN MAP AMENDMENT:
The applicant is not requesting any change to the future land use category of
Recreation & Open Space (R/O). The proposed site plan is consistent with the
uses permitted in the R/O land use category in accordance with the provisions
of the Comprehensive Plan.
VI. REVIEW CRITERIA - ZONING MAP AMENDMENT:
The applicant is not requesting any change to the current zoning category of
Land Conservation (LC). The proposed site plan is consistent with the
permitted uses in the LC zoning district.
VII. SITE PLAN REVIEW PROCEDURES AND STANDARDS
The process for site plan review is set forth in Sec. 210.03 of the Land
Development Code (LDC) and calls for the Planning and Zoning Board to
review the site plan for compliance with the Comprehensive Plan, the
Comprehensive Zoning and Land Development Code, including the City's
concurrency management system and the City's Building Codes and provide a
written recommendation to the Board of Commissioners as enumerated in Sec.
210.04 of the LDC.
The Technical Review Committee has reviewed and determined the application
for site plan approval to be complete and in compliance with the above-cited
standards for review.
The site plan is consistent with the Future Land Use Plan and the
corresponding policies of the Comprehensive Plan.
The proposed project meets the Concurrency Management Standards of
Section
122.00 of the Land Development Code pursuant to the requirement for a
Certificate of Concurrency for potable water, sanitary sewer, solid waste
disposal, stormwater management, and recreation open space.
VIII. LEVEL OF SERVICE ANALYSIS
Article VIII of the Land Development Code requires that the following public
facilities be available concurrent with the impact from development.
A. Potable Water: 800 GPD
B. Sanitary Sewer: 1,770 GPD
C. Drainage: On-site retention is provided through two dry stormwater ponds.
D. Solid Waste: deminimis
E. Recreation: N/A
F. Transportation: deminimis
G. Hurricane Shelter Space: N/A
H. Certificate of Concurrency Determination: No objections
IX. OTHER INFORMATION
Technical Review Committee The TRC reviewed this application at a series of meetings, the most recent on November 13, 2017, and had no objections to the request. The TRC minutes and comments from this meeting are included as an attachment.
X. STAFF RECOMMENDATION
Staff finds the application for site plan approval consistent with the applicable
review criteria; and therefore the staff recommendation is to approve the site
plan; subject to the following:
1. The developer is responsible for acquiring all other jurisdictional permits/or approvals and for meeting the minimum criteria of the Land Development Code.
2. Any lighting to be installed on site is to be shielded and directed internal to the site.
3. Construction plans shall be consistent with the approved site plan. The payment of all requisite fees attendant to the project shall be paid in accordance with the Land Development Code.
4. This site plan shall expire in accordance with the approved alternate phasing schedule as depicted on sheet C2.2 within three years of the effective date unless an application has been filed for a building permit with Construction Plans signed and sealed by a registered engineer licensed in the State of Florida.
XI. PLANNING AND ZONING BOARD RECOMMENDATION
The Planning and Zoning Board heard this application at the December 18,
2017 meeting. The Board had a brief discussion regarding drainage including
the proposed pervious parking area, whether the area would be open to the
public and if so would school groups be invited to the site. The applicant
discussed access to the site and the operation of the site. The Board agreed
unanimously to approve the application with the conditions proposed by staff.

RESOLUTION No. 2017-46
A RESOLUTION OF THE CITY OF TARPON SPRINGS, FLORIDA APPROVING APPLICATION #17-66 FOR SITE PLAN APPROVAL FOR THE CLEARWATER MARINE AQUARIUM TO CONSTRUCT A 55,216 SQUARE FOOT AREA INCLUDING TWO MARINE MAMMAL REHABILITATION POOLS, POOL SHADE STRUCTURES, AND A MOBILE OFFICE / LABORATORY LOCATED ON APPROXIMATELY 1.72 ACRES OF THE NORTHWESTERN PORTION OF FRED HOWARD PARK FURTHER DEFINED IN EXHIBIT A: PROVIDING FOR FINDINGS; PROVIDING FOR A CERTIFICATE OF CONCURRENCY; PROVIDING FOR CONDITIONS; AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the applicant has made application for, and;
WHEREAS, the Planning and Zoning Board held a public hearing on this application at their meeting of December 18, 2017 and voted to approve the site plan subject to conditions;
WHEREAS, pursuant to Section 210.03 C (4) of the Comprehensive Zoning and Land Development Code, the Board of Commissioners must approve, approve with stipulations, or deny the application.
NOW, THEREFORE BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE CITY OF TARPON SPRINGS, FLORIDA:
Section 1. FINDINGS
1. That the site plan, as conditioned, meets the requirements of applicable sectionsof the Comprehensive Zoning and Land Development Code.
2. That the site plan, as conditioned, is consistent with the Tarpon SpringsComprehensive Plan.
3. That the site plan, as conditioned demonstrated that required facilities andservices will be available at the prescribed level of service standards concurrentwith the impact of the development and may, subject to Section 3 of thisresolution, during the term of this site plan approval, receive a Certificate ofConcurrency pursuant to Section 122.00, et. Seq.
Section 2. SITE PLAN APPROVAL
That site plan prepared by JANICE SANDS ASH, PE, is hereby approved on property legally described as follows:

Section 3. CONDITIONS
1. The developer is responsible for acquiring all other jurisdictional permits/or approvals.
2. Any lighting to be installed on site is to be shielded and directed internal to the site.
3. Construction plans shall be consistent with the approved site plan. The payment of all requisite fees attendant to the project shall be paid in accordance with the Land Development Code.
4. This site plan shall expire in accordance with an approved alternate phasing plan as described on sheet C2.2 of the site plan (Exhibit B-5) within three years of the effective date unless an application has been filed for a building permit with Construction Plans signed and sealed by a registered engineer licensed in the State of Florida.
Section 4. EFFECTIVE DATE
This Resolution shall become effective upon adoption.
LICENSE AGREEMENT
THIS LICENSE AGREEMENT (“Agreement”) is made and entered into this ____day of
, 20___, by and between PINELLAS COUNTY, a political subdivision of the State
of Florida, (hereinafter referred to as “COUNTY” or “LICENSOR”), which terms shall include
COUNTY’S designated representative and/or successors in interest, and the Clearwater Marine
Aquarium Inc. (herein referred to as “ CMA” or “LICENSEE”).
WITNESSETH
WHEREAS, Section 125.01 Florida Statures, authorizes the Board of County
Commissioners of Pinellas County, Florida to provide for and maintain County property; and
WHEREAS, the Department of Parks & Conservation Resources (PCR) operates and
maintains premises at 1700 Sunset Dr., Tarpon Springs (Fred Howard Park); and
WHEREAS, the COUNTY seeks to provide maximum feasible use and protection of its
properties and other natural and cultural resources thereon; and
WHEREAS, the COUNTY has determined that it is in the public interest to enter into an
Agreement with CMA for the support of a Marine Mammal Stranding Rehabilitation Facility at Fred
Howard Park.
NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions
herein contained, and for other good and valuable consideration, the receipt and sufficiency of
which are hereby mutually acknowledged, the parties agree as follows:
1. PREMISES: COUNTY agrees to provide to CMA use of designated area for a Marine
Mammal Stranding Rehabilitation Facility, including access into Fred Howard Park located at
1700 Sunset Dr., Tarpon Springs, Florida, 34689, Pinellas County, containing approximately 1
acre of land which is further depicted in Exhibit “A” attached hereto and hereinafter referred to as
the “Premises”. CMA agrees to accept the Premises in “as is” condition, and acknowledges that
COUNTY makes no warranty, implied or expressed, as to the condition, safety, or nature of the
Premises. Further, CMA agrees all occupants or co-residents and guests shall respect the
boundaries and abide by all codes, ordinances, and policies governing them.
2. TERM: This Agreement shall be for a ten (10) year term commencing upon full execution
of this Agreement. (hereinafter referred to as “Commencement Date”). This Agreement may be
renewed for two (2) additional five (5) year terms.
3. TERMINATION:
A. This Agreement may be terminated at any time by either party, without cause,
with twelve (12) months written notice.

B. This Agreement may be terminated with cause pursuant to Section 17 (Default).
C. Upon termination of this Agreement, CMA shall vacate the Premises in good
condition, and remove all pools, structures etc. unless otherwise authorized by written consent of
COUNTY.
4. LICENSING FEE: CMA shall not be required to pay a fee to COUNTY for the term of
this Agreement.
5. USE: It is understood and agreed between the parties hereto that CMA shall, during
the continuance of the Agreement, use the Premises as a Marine Mammal Stranding
Rehabilitation Facility as further defined in Exhibit B, and for no other purpose or purposes, without
the written consent of COUNTY. CMA agrees to cause the Premises to be operated for such use
during the entire term of this Agreement, unless prevented from doing so by causes beyond
CMA’s control, in which case this Agreement shall immediately terminate. All rights of CMA
hereunder may be terminated by COUNTY in the event that any other use be made thereof.
6. OBLIGATIONS OF CMA: At all times during this agreement, CMA shall:
A. Keep the Premises clean and sanitary, and maintain and care for the property.
B. Remove all garbage in a clean and sanitary manner.
C. Install and maintain city water, city sewer and electrical service.
D. Maintain and comply with all applicable building codes, environmental codes and
National Marine Fisheries Services requirements as a Marine Mammal Stranding Rehabilitation
Facility.
E. Conduct, and require others on the Premises with CMA’s consent to conduct
themselves in a manner that does not unreasonably disturb neighbors or facility visitors or that
constitutes a breach of the peace.
F. Provide an on-site and/or mobile telephone number to appropriate COUNTY officials.
G. Notify, when necessary, the appropriate COUNTY officials or law enforcement agents
of those violating applicable laws, ordinances, rules or regulations.
7. OBLIGATIONS OF COUNTY: At all times during the term of this Agreement,
COUNTY shall:
A. Cooperate with CMA with regards to any permitting or other items necessary to operate
the Marine Mammal Stranding Rehabilitation Facility.
B. Not sell or otherwise encumber the Premises such that it cannot be used as a Marine
Mammal Stranding Rehabilitation Facility.
8. UTILITIES: CMA will be responsible for the payment of utilities as described on Exhibit
“B” attached hereto and made a part hereof.

9. REPAIRS, MAINTENANCE, SERVICES AND APPLIANCES: CMA shall maintain
the Premises in good repair in a clean, neat, orderly, and sanitary condition. CMA will be
responsible for all maintenance including structural and non-structural repairs and replacements
as outlined in Exhibit B.
10. ALTERATIONS, COVENANT AGAINST LIENS: CMA shall promptly pay for all charges
for labor, services and materials used in connection with any improvements or repairs to the
Premises undertaken by CMA. CMA shall have no power or authority
to create any lien to attach to the present estate, reversion or other estate of COUNTY in the
Premises herein described or on the building or other improvements thereon, and CMA shall put
all contractors, artisans, mechanics and laborers and other persons contracting with the CMA with
respect to the described Premises or any part thereof on notice, that they must look to CMA to
secure payment of any bill for work done or material furnished or for any other purpose during the
term of this Agreement. In the event of the filing of any Claim of Lien, CMA shall protect
COUNTY’S interest in its underlying real estate, shall promptly satisfy same or transfer it to a
bond; and shall hold COUNTY harmless against any such claims.
11. ACCESS AND USE : CMA shall be granted access and use of the Premises on the
Commencement Date pursuant to the terms herein.
12. INSURANCE: CMA shall procure, pay for and maintain during the term of this Agreement
insurance pursuant to the requirements noted in Exhibit “C” attached hereto and made part hereof
13. CMA PROPERTY: All property of any kind that may be on the Premises during the
continuance of the Agreement shall be at the sole risk of CMA, and COUNTY shall not be liable
to CMA or any other person for any injury, loss or damage to Property or to any person on said
Premises.
14. INDEMNIFICATION: CMA covenants and agrees that it will indemnify and hold harmless
COUNTY and all of COUNTY’S officers from any claim, loss, damage, cost, charge or expense
arising out of any act, action, neglect or omission by CMA, its invitees, licensees, officers, agents,
contractors, or subcontractors during the term of this Agreement, and any extensions thereof,
whether direct or indirect, or by or on account of any claim or amounts recovered under “Worker’s
Compensation Law’ or of any other laws, by laws, ordinance, order of decree, and whether to any
person or property to which COUNTY or said parties may be subject including COUNTY’S costs
and attorney fees incurred in defending such claims.
15. CONDEMNATION: If the whole or any part of the Premises shall be taken by any
public authority under the power of eminent domain, then the term of this Agreement shall cease
on the part so taken from the day the possession of that part shall be required for any public

purpose, and if such portion of the demised Premises is so taken as to destroy the usefulness of
the Premises for the purpose for which the Premises were provided, then, from that day CMA
shall have the right either to terminate this Agreement and declare the same null and void or to
continue in the possession of the remainder of the same under the terms herein provided. If CMA
fails to exercise its right to cancel, CMA shall at its own cost and expense, make the repairs made
necessary to said partial taking. Parties agree that CMA shall receive a Notice of Commencement
of condemnation proceedings within ten (10) days of COUNTY’S receipt of notice of their initiation
if commenced by a third party, or within ten (10) days of their initiation if commenced by COUNTY.
16. HAZARDOUS SUBSTANCES: CMA shall not cause or permit the presence, use,
disposal, storage, or release of any Hazardous Substances on or in the Property, CMA shall not
do, nor allow anyone else to do, anything affecting the Property that is in violation of any
Environmental Law. The preceding sentence shall not apply to the presence, use, or storage on
the Property of small quantities of Hazardous Substances that are generally recognized to be
appropriate to normal maintenance, Marine Mammal Stranding Rehabilitation Facility or
laboratory use. CMA will develop a control plan that conforms to industry standards for the safe
storage and use of any hazardous materials that are used in normal laboratory procedures. CMA
shall promptly give COUNTY written notice of any investigation, claim, demand, lawsuit or other
action by any governmental or regulatory agency or private party involving Property and any
Hazardous Substance or Environmental law of which CMA has actual knowledge. If CMA learns
or is notified by any governmental or regulatory authority, that any removal or other remediation
of any Hazardous Substance affecting the Property is necessary, CMA shall promptly take all
necessary remedial actions in accordance with Environmental Law. As used in this paragraph,
“Hazardous Substances” are those substances defined as toxic or hazardous substances by
Environmental Law and the following substances: gasoline, kerosene, other flammable or toxic
petroleum products, toxic pesticides and herbicides, volatile solvents, materials containing
asbestos or formaldehyde, and radioactive materials. As used in this paragraph, “Environmental
Law” means Federal laws and laws of the jurisdiction where the Property is located that relate to
health, safety and environmental protection.
17. DEFAULT: If CMA should fail to keep and perform any of the terms, covenants,
conditions or provisions in this Agreement contained to be kept and performed by CMA, then
within fifteen (15) days of COUNTY becoming aware of the occurrence of default, COUNTY shall
notify CMA of the default and its demand to cure the default. Upon receipt of notice, CMA shall
have fifteen (15) days from the date of receipt, to cure said default, or to commence or take such
steps as are necessary to cure such default, which once commenced, CMA agrees and shall

pursue continuously until the default is finally cured. Upon CMA’S failure to either cure said
default or to take steps that are necessary to cure said default, CMA covenants and agrees that
upon termination, CMA, will immediately surrender said Premises.
18. SIGNS: CMA agrees that any signs other than identifying the address and CMA Marine
Mammal Stranding Rehabilitation Facility, CMA must have COUNTY’S written approval before
installation. COUNTY’S approval may not be unreasonably withheld.
19. SUBROGATION: CMA hereby waives subrogation rights for loss or damages against
COUNTY.
20. WAIVER: One or more waivers of any covenant or condition by COUNTY shall not be
construed as a waiver of subsequent breach of the same covenant or conditions, and consent or
approval by COUNTY to or of any act by CMA requiring COUNTY’S consent or approval shall not
be construed a consent or approval to or of any subsequent similar act by CMA.
21. OBSERVANCE OF LAWS: CMA agrees to observe, comply with and execute promptly
during the term hereof, all laws, rules, requirements, orders, directives, codes, ordinances and
regulations of any and all governmental authorities or agencies, of all municipal departments,
bureaus, boards and officials, of all County, State, and Federal boards and agencies and of
insurance carriers, due to this use or occupancy of the Premises. All additions, alterations,
installations, partitions, or changes permitted by this Agreement shall be in full compliance with
the aforementioned authorities.
22. ACCESS TO PREMISES: COUNTY shall have the right to enter upon Premises with
reasonable notice during normal working hours for the purpose of inspecting or conducting tests
upon the same or for making repairs to Premises or to any property owned or controlled by
COUNTY therein. Such repairs shall not unduly interfere with CMA’s use, except as is naturally
necessitated by the nature of the repairs being affected.
23. RELATIONSHIP OF PARTIES; CONSTRUCTION OF AGREEMENT: Nothing
contained herein shall be deemed or construed by the parties hereto, nor by any third party, as
creating the relationship of principal and agent or of partnership or of joint venture between the
parties hereto, it being understood and agreed that no provision contained herein, nor any acts of
the parties herein, shall be deemed to create any relationship between the parties hereto other than
the relationship of LICENSOR and LICENSEE . Whenever herein the singular number is used,
the same shall include the plural, and the masculine gender shall include the feminine and neuter
genders, as appropriate. This contract shall be governed by the laws of the State of Florida. Any

changes in the applicable laws which govern this Agreement may necessitate a change in terms
and conditions which may be affected thereby.
24. SURRENDER AT END OF TERM: Upon the expiration of the term hereof or sooner
termination of this Agreement, CMA agrees to surrender the Premises to COUNTY, peacefully
and without notice, and in good order in accordance with Section 3.
25. NOTICES: All official notices given to COUNTY hereunder shall be forwarded to
COUNTY at the following address, by registered or certified mail, return receipt requested, until
CMA is notified otherwise in writing:

26. PUBLIC ENTITY CRIME ACT: CMA is directed to the Florida Public Entity Crime Act,
Section 287.133, Florida Statutes, as amended from time to time, and COUNTY’S requirement
that CMA comply with it in all respects prior to and during the term of this Agreement.
27. ENTIRE AGREEMENT: The Agreement as hereinabove set forth, including all
exhibits and riders, if any, incorporates all covenants, promises, agreements, conditions and
understandings between the parties, and no covenant, promise, agreement, condition or
understanding, either written or oral, not specifically set forth herein shall be effective to alter the
performance or the rights of the parties as hereinbefore stated.

Although Clearwater Marine Aquarium (CMA) has a documented history of successful cetacean
rehabilitation and releases, the ability to further accomplish this mission can be limited bythe lack of dedicated quarantined space which is necessary to uphold CMA's strict safetystandards - between that of newly stranded dolphins and the previously stranded, non-releasable dolphins requiring long-term care at CMA. Therefore, to improve upon CMA’scurrent Marine Life Rescue and Rehabilitation capacities, it has become necessary tosecure an off-site location suitable for expanding our operations to fulfill our mission. It isfor this reason that CMA strongly wishes to acquire permission for the use of a specificproperty at Fred Howard Park.
To meet industry standards and best practices for cetacean rehabilitation, the basicinfrastructure required to support a Marine Mammal Stranding Rehabilitation Facilitywould be: a potable water supply, sanitary sewer system and three phase power with1000amp service. Additionally, the use of pools and other equipment requires open spacewith level ground. CMA would build two above ground fiberglass pools which would beapproximately 40' x 60' x 10' deep and a 40’ round pool. The 40’ round pool would bebuilt first and depending on cost, the larger pool would be built in the future. Thesepools would sit on a compacted ground or light weight concrete structure for support andhave a wood deck built around them for additional support, which would also serve as anaccess area for staff to gain entrance into the pool. Sun exposure is an important detailto address during rehabilitation efforts which would be addressed by building a roofsimilar to a pole barn, for protection. This structure would be approximately 14' off thewater level of the pool to ensure animal safety. Operationally, we would bring in one ortwo office trailers for staff support space. The staff will need a kitchen, laboratory for bothwater quality analysis and a medical lab to process animal samples.
We will need restrooms with showers and sleeping quarters for those conducting work withthe animals through the night.
Maintaining a controlled pool environment during the rehab therapy process is essential. Poollife support requirements would include a semi open or closed circulating life support systemfor each pool consisting of pumps, sand filters and U/V disinfection systems. CMA wouldpotentially draw sea water in from the west side of the park and discharge the clean salt waterback into the same general area. This would require approval and permitting from FDEP. Aspreviously mentioned, sanitary sewer availability is necessary as our sand filters would needto be backwashed weekly with approximately 400gpm of fresh water to the city sewer. If thesanitary lines cannot handle this amount of flow our contingency plan would be to have a2,500 gallon trickle tank which would allow the water to slowly discharge to the sewer system.
Since respiratory illness is one of the significant contributors to cetacean illness, it will beimportant that the surrounding landscape mitigate sand and dust, therefore the groundswould be covered with a substrate such as sod, vegetation, pebbles, or shell.
For the safety of all involved, the property must be secured from the public. CMA would fencein the area and have an access gate on the south end. CMA would install security camerasthat monitor the pools as well as the property access points.

The frequency of having an animal(s) under treatment in this facility is difficult to predict.However, in the past five years we have experienced strict quarantine situations on fourseparate occasions. When an animal is under our care, it can take several months and up toa year to rehabilitate before release or relocation is possible. We have approximately 15 paidstaff members and 50 staff volunteers who are trained to give the quality care requiredthroughout a 24 hour day. On a daily basis, proper animal care will require a minimum offour people per shift, each trained in the safe handling of animals, including water safetyfor personnel. CMA's policy is that all staff members and volunteers have a background checkbefore working for our organization.
We are permitted by National Marine Fisheries Service (NMFS) to conduct Marine Mammalrescue and rehab. Once this area is constructed NMFS would inspect these premises andfacility to ensure it is built as outlined in their guidelines for the safe care of the marinemammals.
It would be our long term plans to potentially add North American River Otter (NARO) rehabspace in the same foot print of land. We are currently permitted by Florida Fish and Wildlifeto rehabilitate NARO. This area would have a natural habitat area that can provide theanimals with water, shade and den space to act as a soft release area to ensure the animalsare ready for release and can forage on their own. More research needs to be conducted onthis area but it could potentially be a prime release area as well but further research needsto be conducted to determine the validity of this idea.
• CMA will be responsible for payment of all utilities, city water, sewer, electric anddata/phone service.
• CMA will have the rights to pull city/county building permits to construct the pools, roofstructures support structures etc.
• CMA will have the rights to pull permits for all required permitting for drawing saltwaterinto the facility as well as discharging clean saltwater back into the bay.
• CMA will have access to the premises 24/7 for the life of this agreement.

Exhibit “C”LICENSEE’S Insurance Requirements
The LICENSEE is permitted to meet the requirements under this exhibit by providing toLICENSOR a letter from the LICENSEE’s Risk Manager stating that the LICENSEE is self-insuredpursuant to F.S. 768.28. LICENSEE shall require any of its contractors or sub-contractorsinsurance of the types and in the amounts set forth in this exhibit and to name LICENSOR,Pinellas County, a political subdivision of the State of Florida as an additional insured on all liabilitypolicies required below in addition to the LICENSEE.
All insurance policies shall be from responsible companies duly authorized to do business in theState of Florida and have an AM Best rating of A- VIII or better. Within three (3) calendar daysprior to the Commencement Date, the LICENSEE shall provide the LICENSOR with evidence ofcompliance with the insurance requirements of the Agreement. The Self-insured letter orCertificate(s) of Insurance shall be signed by authorized representatives of the LICENSEE’s riskmanagement Department or insurance companies shown on the Certificate(s). A copy of theendorsement(s) referenced in paragraph three (4) for Additional Insured shall be attached to thecertificate(s).
LICENSEE, contractor or sub-contractor shall not use the Premises until the requiredCertificate(s) of Insurance are received and approved by the LICENSOR. Approval by theLICENSOR of any Certificate of Insurance does not constitute verification by the LICENSOR thatthe insurance requirements have been satisfied or that the insurance policy shown on theCertificate of Insurance is in compliance with the requirements of the Agreement. LICENSORreserves the right to require a certified copy of the entire insurance policy, includingendorsements, at any time.
All policies providing liability coverage(s), other than professional liability and worker’scompensation policies obtained by the LICENSEE contractor or subcontractor to meet any of therequirements of this Agreement shall be endorsed to include LICENSEE and the LICENSOR asan Additional Insured(s).
If any insurance provided pursuant to the Agreement expires prior to the termination of theAgreement, renewal Certificates of Insurance and endorsements shall be furnished by theLICENSEE to the LICENSOR at least thirty (30) days prior to the expiration date.
LICENSEE shall also notify LICENSOR within twenty-four (24) hours after receipt, of any noticesof expiration, cancellation, nonrenewal or adverse material change in coverage received by saidLICENSEE from its insurer. Notice shall be given by certified mail to: Pinellas County RiskDepartment, 400 S. Ft. Harrison Avenue, 3rd Floor, Clearwater, Florida 33756; and nothingcontained herein shall absolve LICENSEE of this requirement to provide notice.
Should the LICENSEE, Contractor or sub-contractor at any time, not maintain the insurancecoverages required herein, the LICENSOR may terminate the Agreement, or at its sole discretionmay purchase such coverages necessary for the protection of the LICENSOR and charge theLICENSEE for such purchase. The LICENSOR shall be under no obligation to purchase suchinsurance, nor shall it be responsible for the coverages purchased or the insurance company orcompanies used. The decision of the LICENSOR to purchase such insurance shall in no way beconstrued to be a waiver of any of its rights under the Agreement.
Each insurance policy shall include the following terms and/or conditions in the policy:

(1) Companies issuing the insurance policy, or policies, shall have no recourse againstLICENSOR for payment of premiums or assessments for any deductibles which all are atthe sole responsibility and risk of LICENSEE.
(2) The term "LICENSOR" or "Pinellas County" shall include all Authorities, Boards, Bureaus,Commissions, Divisions, Departments and Constitutional offices of LICENSOR andindividual members, employees thereof in their official capacities, and/or while acting onbehalf of Pinellas County.
(3) The policy clause "Other Insurance" shall not apply to any insurance coverage currentlyheld by LICENSOR or any such future coverage, or to LICENSOR's Self-InsuredRetentions of whatever nature.
(4) All policies shall be written on a primary, non-contributory basis.(5) Insurance policies, other than Professional Liability, shall include waivers of subrogation
jointly in favor of LICENSOR and LICENSEE from all Contractors and sub-contractor(s).
The insurance requirements for this Agreement, which shall remain in effect throughout itsduration, are as follows:
