The Purchasing Agent for the City of Norwich will receive sealed proposals for Fire Service Analysis until 2:00 P.M. prevailing time on July 17, 2020, at which time they will be publicly opened and read aloud. ANALYSIS OF FIRE SERVICES

1.0 Purpose

The City of Norwich last conducted a comprehensive fire suppression capability analysis survey in 1989. Since that time the requirements to be considered by the city in providing fire protection, taking into account, among other things, the location and condition of structures, the concentration of residents in various areas of the city, and changes in the amount of traffic and traffic patterns, have changed in the 31-year period since that study was completed, and the standards, needs and ability to provide effective fire suppression have changed over the same period and is therefore both reasonable and prudent to conduct a focused, yet comprehensive study of the fire suppression capabilities of the City’s Fire Service.

2.0 Background

Norwich is a City in New London County, Connecticut, in the United States. It is located in the southeastern area of Connecticut. The population of Norwich is approximately 39,000. The City has a total area of 29.5 square miles of which, 28.3 square miles of it is land and 1.2 square miles is water. The Fire Service for Norwich is divided into two (2) distinct districts: City Consolidation District (CCD) Fire Service for the CCD is comprised of two (2) fire stations manned by paid firefighters that are employees of the City of Norwich: (1) Fire Headquarters located at 10 North Main Street (2) Greenville Fire Station (Engine 2) located at 446 North Main Street.

Town Consolidation District (TCD) Fire Service for the TCD is comprised of five (5) Volunteer Fire Departments that are manned by an all-volunteer staff of firefighters. (1) East Great Plain Volunteer Fire Department located at 488 New London Turnpike (2) Laurel Hill Volunteer Fire Department located at 509 Laurel Hill Road (3) Occum Volunteer Fire Department located at 44 Taftville-Occum Road (4) Taftville Volunteer Fire Department located at 134 Providence Street (5) Yantic Volunteer Fire Department located at 151 Yantic Road

The Department’s mission is to provide fire protection services aimed at minimizing the loss of life and property from fires, explosions, hazardous materials and natural disasters, provide emergency medical service and rescue for those in need. Along with this mission, it is the Fire Service’s goal to establish a comprehensive fire safety education and prevention program designed to meet the diversified needs of the entire community.

The Fire Service’s goals include the reduction of the loss of life and damage to property from fire by applying proactive inspection and code enforcement; the protection of the environment from natural and human caused disaster; and the establishment and maintenance of a comprehensive fire safety education and prevention program designed to meet the diversified needs of the entire community. The Fire Service also strives to provide regional leadership in all areas of fire service issues. The Fire Service initiates required fire investigation services in order to establish the cause and origin of a fire and to provide evidence and support for required litigation. The members of the Fire Service remain aware of local, state, national and global fire service events so that service delivery is always current and relevant to community

needs, and can be managed and delivered in a cost-effective manner.

The Department, upon request by an outside agency and consistent with existing mutual aid agreements, will also assist other departments outside of City limits.

The cost to operate, outfit, maintain and execute the Service mission is borne completely by the City. 3.0 Objectives

As part of this project the consultant will be asked perform the following analyses:

3.1 Analysis of the Response and Dispatch assignment order - commonly referred to as "run cards", the analysis is to include an assessment of apparatus response practices to determine;

3.1.1 If service delivery modalities are aligned with industry best-practices and standards. 3.1.2 If mutual aid and automatic aid response plans within all fire departments of the City of

Norwich can be reconfigured for more efficient and effective results. 3.1.3 Provide recommendations for the collection and analysis of reliable and valid response-time data.

3.2 Analysis of response-time data to include; 3.2.1 Assessment of current methods, standards and protocols for determining the response time

to an emergency. 3.2.2 Recommendations for collection of and analysis of reliable and valid response-time data.

3.3 Analysis of communications, - the analysis is to review and make overall recommendations in critical

areas involving radio communications to include; 3.3.1 Dispatch staffing 3.3.2 Interoperability of communication between departments 3.3.3 Identify best practices and ways to enhance radio communications.

3.4 Analysis of fire apparatus - the analysis is to review and make overall recommendations in the area of fire

apparatus to include;

3.4.1 Current inventory deployment 3.4.2 Apparatus procurement protocols 3.4.3 Apparatus replacement schedule

3.5 Analysis of Purchasing of equipment and Inventory control - the analysis is to review and make

recommendations in the procurement of, and accountability for, necessary capital improvement items including, but not limited to;

3.5.1 Personal Protective Equipment (PPE) 3.5.2 Support equipment 3.5.3 Inventory control of all applicable gear and equipment

3.6 Analysis of current staffing levels - the analysis is to review and make overall recommendations in the

area of staffing to include; 3.6.1 administration and support staff 3.6.2 suppression staff 3.6.3 responsibilities and activity levels of personnel

3.7 Analysis of current Emergency Medical Services (EMS) to include but not limited to: 3.7.1 Delivery of EMS services within the City of Norwich 3.7.2 Cost to provide EMS services 3.7.3 Staffing levels

3.8 Analysis of facilities including, but not limited to; 3.8.1 Evaluation of the operational efficiency and analysis of existing fire stations, including an

inspection to identify existing conditions of the building (structural, design, layout, expansion opportunities, HVAC, energy efficiency, electrical, space needs, etc.) to form comprehensive recommendations for a remodel or construction of a new facility or facilities at current locations or alternative locations.

3.9 All analysis of the Norwich Fire Service should be done using the following as guides:

3.9.1 National Fire Protection Association (NFPA) 1710 Standard for the Organization and Deployment of Fire Suppression Operations, Emergency Medical Operations, and Special Operations to the Public by Career Fire Departments, 2010 Edition

3.9.2 National Fire Protection Association (NFPA) 1720 Standard for the Organization and Deployment of Fire Suppression Operations, Emergency Medical Operations, and Special Operations to the Public by Volunteer Fire Departments, 2010 Edition

3.10 The vendor shall review all relevant documentation relating to the operation of the fire

department including but not limited to: 3.10.1 Past or current fire department studies or research 3.10.2 Community Comprehensive Plan documents, including current and future land use

information 3.10.3 Local census and demographics data 3.10.4 Zoning maps and zoning code 3.10.5 Financial data, including debt information, long-range financial plans and projections 3.10.6 Department administrative policies and procedures 3.10.7 Standard Operating Guidelines (SOGs) and service delivery practices 3.10.8 Current service delivery objectives and targets 3.10.9 Facilities and apparatus inventories 3.10.10 Collective bargaining agreements 3.10.11 Mutual aid agreements

3.10.12 Records management data, including National Fire Incident Reporting System (NFIRS) incident data

3.11 The vendor will conduct interviews with and gather information from key personnel including: 3.11.1 Elected or appointed officials 3.11.2 Fire department managers and other key staff 3.11.3 Finance function managers 3.11.4 Inspectional Services key staff 3.11.5 Community planning staff 3.11.6 Human Resource function coordinator 3.11.7 Others as they may contribute to the project

4.0 SCOPE OF WORK

4.1 Scope of Work - The scope of work should satisfy the City’s objectives stated above and meet the

expectations of the Project Team. A final scope of work will be developed by the City and the respondent submitting the selected proposal (“The Project Consultant”) following selection.

4.2 Expected Deliverables

4.2.1 The consultant will attend and participate in meetings with appropriate City and Fire Department officials to understand the current operations of the Department. The consultant will request and gather appropriate GIS, historical call volume, and residential and commercial development information necessary to evaluating the facility and staffing needs of the Department.

4.2.2 The consultant will develop a draft analysis and report detailing the response times and staffing needs for the Department under the two (2) paid and five (5) volunteer Fire Service structures set forth in Section 2.0 above for review.

4.2.3 At the conclusion of the project, the City anticipates the delivery of a graphically rich, full and complete report detailing the response times and staffing needs for the Department under the two (2) paid and five (5) Volunteer Fire Service structures set forth in Section 2.0 above.

4.2.4 The consultant’s analysis and report should be accompanied by appropriate mapping and documentation supporting said analysis.

4.2.5 The analysis and report should provide an explanation regarding any conclusions that differ from those provided by the National Fire Protection Association (NFPA).

4.2.6 At the City’s request, the consultant will present the report at one or more public meetings.

4.3 Project Schedule 4.3.1 Project must be completed within ninety (90) days of contract award.

5.0 PROPOSAL REQUIREMENTS

5.1 If the respondent is using an express mail or similar type service, the response must be in a sealed

envelope within the express mailer/package. The above description must be on the exterior of the sealed envelope contained in the express mailer/package. Failure to submit the response in a sealed envelope within in the express mailer/package or to include the above description on the exterior of the sealed envelope shall result in immediate disqualification of the response and no further consideration given for the award.

5.2 Technical Proposal This section shall consist of:

5.2.1 A description of the approach to be taken toward completion of the assessment and report, an

explanation of any variances to the proposed scope of work or the deliverables as outlined in the RFP, and any insights into the project gained as a result of developing the proposal; 5.2.2 A scope of work that includes steps to be taken, including any products or deliverables

resulting from each task; 5.2.3 A proposed schedule that indicates project milestones and overall time for completion; 5.2.4 Any other information deemed necessary to address the requests of this RFP.

5.3 In addition all respondents are required to submit the information detailed below. Responses shall

be organized and presented in the order listed below to assist the City in reviewing and rating proposals. Responses should be presented in appropriate detail to thoroughly respond to the requirements and expected services described herein.

5.3.1 Table of Contents to include clear identification of the material provided by section and number. 5.3.2 A letter of transmittal indicating the firm's interest in providing the service and any other

information that would assist the City in making a selection. This letter must be signed by a person legally authorized to bind the firm to a contract

5.3.3 Name and telephone number of person(s) to be contacted for further information or clarification. 5.3.4 Current Federal Form SF330. 5.3.5 A background statement including a description of the firm/individual submitting the

proposal and any sub-consultants. 5.3.6 A detailed statement describing the organizational structure under which the firm

proposes to conduct business. Proposed sub-consultants should be clearly identified, and their relationship to any “parent” firm or subsidiary firm, with any of the parties concerned, must be clearly defined. A list of key staff members who would be involved with the project, including their assigned roles and a description of their background and experience.

5.3.7 A litigation statement indicating any claims, disputes or arbitration proceedings, including any governmental agencies that have occurred over the last three (3) years. Indicate who they were with, the nature of the claim, dispute or arbitration proceeding, the outcome and the current status of each.

5.3.8 A description of relevant similar projects that demonstrate the experience of the firm, including specific reference to similar services as required by the City under this proposal.

5.3.9 List of similar projects completed over the past five (5) years with the contact name, address, and telephone number of the owners’ representative in each project.

5.3.10 A concluding statement as to why the respondent is best qualified to meet the needs of the City. 5.3.11 Respondent is required to review the City of Norwich Code of Ethics adopted May 21, 2012.

Respondent shall acknowledge that they have reviewed the document in the area provided on the attached Ethics Acknowledgement form included on ATTACHMENT A. The selected respondent will also be required to complete and sign a Consultant Acknowledgement Form prior to award. The Code of Ethics and the Consultant Acknowledgment Form can be accessed on the City of Norwich. If the respondent does not have access to the internet, a copy of these documents can be obtained through the Purchasing Department at the address listed within this proposal.

5.3.12 Statement of Non-Collusion (ATTACHMENT B).

6.0 SELECTION CRITERIA

The criteria for our decision will be based on the following items:

- Professional qualifications - Project understanding - Technical approach - Cost (value and most experienced people doing the most work for the least cost resulting in the best

product). - Key personnel’s professional qualifications and experience; their reputation and professional

integrity and competence. - Qualifications and experience of outside consultants regularly engaged by the consultant under

consideration. - Capability of a branch office that will do the work to perform independently of the home office, or

conversely, its capability to obtain necessary support from the home office. - Degree of interest shown in providing these services and experience working with cities and towns of

similar size to the City of Norwich.

The following additional requirements apply:

- The selected consultant must meet all City of Norwich, State and Federal affirmative action and equal employment opportunity practices.

- The selected consultant will be required to maintain insurance coverage considered adequate by the City. Proof of coverage must be submitted in accordance with City standards prior to the start of the negotiation process.

- All documents shall be prepared in a format compatible with City of Norwich standards.

The submissions will be opened at the convenience of the City of Norwich on or after the Statements of Qualifications due date. All Statements of Qualifications shall remain open for sixty (60) days after the due date of the Statements of Qualifications. A short list of firms may be selected for interviews. The City will then select a finalist and negotiate a contract. ATTACHMENT C is the City’s standard contract and is included for your review. Once an acceptable contract is negotiated and reviewed by the Corporation Counsel, it will be signed by the City Manager. The successful respondent will be expected to commence services immediately upon execution of a contract.

All costs incurred in the preparation and presentation of this Qualification shall be wholly absorbed by the respondent. The right is reserved by the City of Norwich to reject any or all submittals, to waive any informalities or defects in submittals, to obtain such supplemental information as may be necessary to review submittals and to accept the Request for Qualifications that, in the judgment of the City of Norwich, will be in the City's best interests. The City of Norwich is dedicated to waste reduction and the practice of using and promoting the use of recycled and environmentally preferable products. Respondents are encouraged to submit RFQ responses that are printed double-sided (except for the signed proposal page) on recycled paper, and to use paper dividers to organize the RFQ for review. All proposal pages should be secured with a binder clip, staple or elastic band, and shall not be submitted in plastic binders or covers, nor shall the proposal contain any plastic inserts or pages. We appreciate your efforts towards a greener environment. All questions regarding this RFQ shall be made in writing and directed to Robert R. Failure to include any of the above-referenced items in the submitted proposal may be grounds for disqualifying said proposal. This Request for Qualifications does not commit the City of Norwich to award a contract or to pay any costs incurred in the preparation of a proposal to this request. All proposals submitted in response to this Request for Qualifications become the property of the City of Norwich. The City of Norwich reserves the right to accept or reject any or all proposals received as a result of this request, to negotiate with the selected respondents, the right to extend the contract for an additional period, or to cancel in part or in its entirety the Request for Qualifications, if it is in the best interests of the City to do so.

2. SERVICE TO BE PERFORMED: The Consultant shall perform the services in accordance

with the provisions contained in , as specifically stated in the and as may be specifically designated and additionally authorized by the City. Such additional authorizations will be in the form of a Purchase Order. Each Purchase Order shall set forth a specific scope of services, the amount of compensation and the required completion date.

3. COMPENSATION: The City shall p a y Consultant , ( $ ), in accordance with

the provisions contained in the _ , which is .attached hereto as Exhibit , and incorporated herein as if set forth in full.

4. STANDARD OF CARE: Consultant shall exercise the same degree of care, skill, and diligence in

the performance of the Services as is ordinarily provided by a Consultant under similar circumstances and Consultant shall, at no additional cost to the City, re-perform services which fail to satisfy the foregoing standard of care.

5. INDEMNIFICATION: The Consultant hereinafter referred to as persons requesting the use of city

facilities of the City of Norwich, or in contracting with the City of Norwich for goods, services, materials, labor and the like with the City of Norwich and its respective officers, agents and servants agrees to indemnify, defend and save harmless from and against any and all claims, damages, losses, litigation expenses, counsel fees and compensation arising out of any injuries (including death) sustained by, or alleged to have been sustained by, the servants, employees or agents of the City of Norwich and its respective officers, agents and servants, or of the Proposers or of any participant or spectator, and from injuries including death) sustained by, or alleged to have been sustained by, the public or any persons on or near the site or on any other person or damage to property, real or personal, including property of the City of Norwich and their respective officers, agents, and servants, caused in whole or in part by the acts or omission of the Proposers or any participant or spectator or anyone directly or indirectly employed or working for the Proposers while engaged in the activity in the City of Norwich.

Upon completion of all services, obligations and duties provided for in this Agreement, or in the event of termination of this Agreement for any reason, the terms and conditions of this Article shall survive indefinitely.

The Consultant shall pay all claims, losses, liens, settlements or judgments of any nature whatsoever in connection with the foregoing indemnifications including, but not limited to, reasonable attorney's fees (including appellate attorney's fees) and costs.

City reserves the right to select its own legal counsel to conduct any defense in any such proceeding and all costs and fees associated therewith shall be the responsibility of Consultant under the indemnification agreement. Nothing contained herein is intended nor shall it be construed to waive City's rights and immunities under the common law or Connecticut General Statutes as amended from time to time.

6. INDEPENDENT CONSULTANT: Consultant undertakes performance of the services as an

independent contractor under this Agreement, and shall be wholly responsible for the methods of performance. The City shall have no right to supervise the methods used, but the City shall have the right to observe such performance. Consultant shall work closely with the City in performing services under this Agreement.

7. PAYMENTS: The City shall pay in full the Contract Sum to the Consultant upon completion

of the work listed in Article 2 of this Agreement unless the parties agree otherwise. The City shall pay the Consultant for work performed subject to the specifications of the job and subject to any additions and deductions by subsequent change order provided in the contract documents.

8. COMPLIANCE WITH LAWS: In performance of the services, Consultant shall comply with

applicable regulatory requirements including federal, state, and local laws, rules regulations, orders, codes, criteria and standards.

9. INSURANCE: During the performance of the services under this Agreement, the Consultant

shall maintain the following insurance policies, written by an insurance company authorized to do business in Connecticut, and shall provide the City with a Certificate of Insurance naming the City of Norwich as additional insured on the following policies:

• Comprehensive General Liability (including completed operations coverage) in the amounts

of $1,000,000 each occurrence and $2,000,000 aggregate

• Commercial Automobile Coverage, including owned, non-owned, leased and hired vehicles (if used on City property) in the amount of $1,000,000 combined single limit.

The Consultant shall also provide a Certificate of Insurance reflecting the following coverage:

• Professional Liability (Errors and Omissions) Insurance in the amount of $2,000,000 each

occurrence

• Workers Compensation Coverage in accordance with State of Connecticut requirements. The policy must contain a waiver of subrogation in favor of the City of Norwich, executed by the insurance company.

The City must be named as an additional insured unless Owners and Consultants' Protective Coverage is also provided, or required. Sixty (60) days written notice must be provided to the City via Certified Mail in the event of cancellation.

The minimum limits of coverage shall be $1,000,000 per Occurrence, Combined Single Limit for Bodily Injury Liability and Property Damage Liability. This coverage shall be an "Any Auto" type policy. The City must be listed as an Additional Insured under the Policy. Sixty (60) days written notice must be provided to the City via Certified Mail in the event of cancellation.

In the event that sub-Consultants used by the Consultant do not have insurance, or do not meet the insurance limits, Consultant shall indemnify and hold harmless the City for any claim in excess of the sub-Consultants' insurance coverage, arising out of negligent acts, errors or omissions of the sub-Consultants.

Consultant shall not commence work under this Agreement until all insurance required as stated herein has been obtained and such insurance has been approved by the City.

10. CITY'S RESPONSIBILITIES: The City shall be responsible for providing access to all project

sites, and for providing project-specific information.

11. TERMINATION OF AGREEMENT

Termination for Convenience: This Agreement may be terminated by the City for convenience, upon seven (7) days of written notice by the terminating party to the other party for such termination in which event the Consultant shall be paid its compensation for services performed to termination date, including services reasonably related to termination. In the event that the Consultant abandons this Agreement or causes it to be terminated, Consultant shall indemnify the city against loss pertaining to this termination.

Default by Consultant: In addition to all other remedies available to the City, this Agreement shall be subject to cancellation by the City for cause, should the Consultant neglect or fail to perform or observe any of the terms, provisions, conditions, or requirements herein contained, if such neglect or failure shall continue for a period of thirty (30) days after receipt by Consultant of written notice of such neglect or failure.

12. NONDISCLOSURE OF PROPRIETARY INFORMATION: Consultant shall consider all

information provided by City and all reports, studies, calculations, and other documentation resulting from the Consultant's performance of the Services to be proprietary unless such information is available from public sources. Consultant shall not publish or disclose proprietary information for any purpose other than the performance of the services without the prior written authorization of City or in response to legal process.

13. UNCONTROLLABLE FORCES: Neither the City nor Consultant shall be considered to be in default

of this Agreement if delays in or failure of performance shall be due to Uncontrollable Forces, the effect of which, by the exercise of reasonable diligence, the non-performing party could not avoid. The term "Uncontrollable Forces" shall mean any event which results in the prevention or delay of performance by a party of its obligations under this Agreement and which is beyond the reasonable control of the nonperforming party. It includes, but is not limited to fire, flood, earthquakes, storms, lightning, epidemic, war, riot, civil disturbance, sabotage, and governmental actions.

Neither party shall, however, be excused from performance if nonperformance is due to forces , which are preventable, removable, or remediable, and which the nonperforming party could have, with the exercise of reasonable diligence, prevented, removed, or remedied with reasonable dispatch. The nonperforming party shall, within a reasonable time of being prevented or delayed from performance by an uncontrollable force, give written notice to the other party describing the circumstances and uncontrollable forces preventing continued performance of the obligations of this Agreement.

14. CONNECTICUT LAW: It is agreed that this contract shall be governed by, construed, and enforced

in accordance with the internal laws of the State of Connecticut.

15. VENUE: In the event of litigation, the parties do agree to be contractually bound to submit themselves to the personal jurisdiction of the state courts of Connecticut. The venue for any court proceeding shall be in the Superior Court for the Judicial District for Norwich at Norwich, Connecticut.

16. WAIVER OF JURY TRIAL: CONSULTANT HEREBY EXPRESSLY WAIVES ANY AND ALL

RIGHTS IT MAY HAVE TO TRIAL BY JURY OF ANY CLAIM, DEMAND, ACTION OR CAUSE OF ACTION (1) ARISING UNDER THIS AGREEMENT OR ANY OTHER INSTRUMENT, DOCUMENT OR AGREEMENT EXECUTED OR DELIVERED IN CONNECTION HEREWITH, OR (2) IN ANY WAY CONNECTED WITH OR RELATED OR INCIDENTAL TO THE DEALINGS OF THE PARTIES HERETO OR ANY OF THEM WITH RESPECT TO THIS AGREEMENT OR ANY OTHER INSTRUMENT, DOCUMENT OR AGREEMENT EXECUTED OR DELIVERED IN CONNECTION HEREWITH, OR THE TRANSACTIONS RELATED HERETO OR THERETO, IN EACH CASE WHETHER NOW EXISTING OR HEREAFTER ARISING, AND WHETHER SOUNDING IN CONTRACT OR TORT OR OTHERWISE; AND CONSULTANT HEREBY AGREES AND CONSENTS THAT ANY SUCH CLAIM, DEMAND, ACTION OR CAUSE OF ACTION SHALL BE DECIDED BY COURT TRIAL WITHOUT A JURY, AND THE CITY MAY FILE AN ORIGINAL COUNTERPART OR A COPY OF THIS SECTION WITH ANY COURT AS WRITTEN EVIDENCE OF CONSULTANT’S CONSENT TO THE WAIVER OF ITS RIGHT TO TRIAL BY JURY.

17. MISCELLANEOUS

Nonwaiver: A waiver by either City or Consultant of any breach of this Agreement shall not be binding upon the waiving party unless such waiver is in writing. In the event of a written waiver, such a waiver shall not affect the waiving party's rights with respect to any other or further breach. The making or acceptance of a payment by either party with knowledge of the existence of a default or breach shall not operate or be construed to operate as a waiver of any subsequent default or breach.

Severability: Any provision in this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provisions in any other jurisdiction. The non-enforcement of any provision by either party shall not constitute a waiver of that provision nor shall it affect the enforceability of that provision or of the remainder of this Agreement. The provisions of this section shall not prevent the entire Agreement from being void should a provision, which is of the essence of the Agreement, be determined to be void.

18. SUCCESSORS AND ASSIGNS: The City and Consultant each binds itself and its director, officers,

partners, successors, executors, administrators, assigns and legal representatives to the other party to this Agreement and to the partners, successors, executors, administrators, assigns, and legal representatives.

19. CONTINGENT FEES: The Consultant warrants that it has not employed or retained any

company or person, other than a bona fide employee working solely for the Consultant to solicit or secure this Agreement and that it has not paid or agreed to pay any person, company, corporation, individual or firm, other than a bona fide employee working solely for the Consultant, any fee, commission, percentage, gift or any other consideration contingent upon or resulting from the award or making of this Agreement.

20. TRUTH-IN-NEGOTIATION CERTIFICATE: Execution of this Agreement by the Consultant shall

act as the execution of a truth-in-negotiation certificate certifying that the wage rates and costs used to determine the compensation provided for in this Agreement are accurate, complete and current as of the date of the Agreement and no higher than those charged the Consultant's most favored customer for the same or substantially similar service.

The said rates and cost shall be adjusted to exclude any significant sums should the City determine that the rates and costs were increased due to inaccurate, incomplete or non-current wage rates or due to inaccurate representations of fees paid to outside Consultants. The City shall exercise its rights under this "Certificate" within one (1) year following payment.

21. OWNERSHIP OF DOCUMENTS: Consultant shall be required to work in harmony with other

Consultants relative to providing information requested in a timely manner and in the specified form. Any and all documents, records, disks, original drawings, or other information shall become the property of the City upon completion for its use and distribution as may be deemed appropriate by the City.

22. FUNDING: This agreement shall remain in full force and effect only as long as the

expenditures provided for in the Agreement have been appropriated by the City Commission of the City of Tamarac in the annual budget for each fiscal year of this Agreement, and is subject to termination based on lack of funding.

23. NOTICE: Whenever either party desires or is required under this Agreement to give notice to

any other party, it must be given by written notice either delivered in person, sent by United States Postal Service (USPS) Certified Mail, USPS Express Mail, air or ground courier services, or by messenger , as follows:

AGREEMENT

This Agreement, made and entered into as of February _ , 20 15, by and between American Ambulance

Service, Inc., a Connecticut Corporation, licensed by the State of Connecticut as an advanced life support,

Emergency Medica l Service (EMS) organization, having its office and principal place of business at One American

Way, Norwich, Connecticut hereinafter ca lled ·'American Ambulance", acting herein by Michael C. Aliano, its

President, hereunto du ly authorized, and the City of Norwich , a municipal corporation organized and operating

under the laws of the State of Connecticut, located in the County of New London and the State of Connecticut,

having its office and principal place of business at I 00 Broadway, Norwich, Connecticut and acting herein by John

F. Bi lda, its Interim City Manager, hereunto duly authorized. This agreement is for the provision of certain services

and American Ambulance shall at all times remain an independent contractor of the City.

WITNESSETH:

WHEREAS, the State of Connecticut, under the authority of Chapter 3680 of the Connecticut General

Statutes, as amended, established a po licy for the development and regulation of Emergency Medical Services; and

WHEREAS, pursuant to such policy, the State of Connecticut, through its Department of Public Health,

Oflice of Emergency Medical Services, has promulgated regulations which set standards for the operation of

emergency medical services and invalid coach vehicles; deline and enforce circumstances under which Emergency

Medical Service shall be offered within the State of Connecticut ; and empowers the Commissioner of Health to

designate the primary Emergency Medical Services provider at various levels; and

WH EREAS, pursuant to Chapter Ill of the Charter of the City of Norwich and Sections 7- 148(c)(4)(d) and

7-148(c)(7)(H)(xi) of the Connect icut Genera l Statutes, as amended, the City of Norwich is empowered to protect

the public health and develop a municipal Emergency Medical Service system, and

WHEREAS, American Ambulance is the owner and operator of an ambulance service, and

WHER EAS, American Ambulance currently provides certain ambulance services within the City of

Norwich pursuant to the terms of an agreement effective November 4, 2008 with the City ("the 2008 Agreement"),

and

WHEREAS, the City desires to have American Ambulance continue to assume the obligation of

responding to all ambulance calls originating within the City of Norwich.

NOW, THEREFORE, for and in consideration of the premises and the covenants and agreements

I. TERMINATION OF 2008 AGREEMENT AND COM PENS/\ TION

It is the agreement of the parties that service under the 2008 Agreement and under this agreement shall be

continuing and uninterrupted notwithstanding the superseding of the 2008 Agreement by this Agreement.

C. Said payments shall be made in equal semi-annual installments, on r ebruary l51h and August 15111 of each

year of the Agreement.

D. It is understood and agreed that American Ambulance shall have the right, regardless of whether the

ambulance call is made by a City officer or employee or otherwise, to charge any person to whom it renders

ambulance service and in no event shall the City, its officers, representatives, agents, or employees be liable for the

payment of such charge for ambulance service unless such indi vidua l is the direct recipient of such services. For the

purposes of this Agreement, "ambulance service" shall include all levels of medical transportation services.

E. American Ambulance shall not charge the City of Norwich for any standby service it may provide to the

City at the request of its Fire or Police Departments when not in connie! with its primary service obligations.

2. TERM OF AGREEMENT

The term of this Agreement shall be for a period of ten ( 1 0) years commencing November 4 , 201 4 and

ending November 3, 2024 unless earlier terminated as hereallcr provided for.

3. SCOPE OF SERVICE

A. It is understood and agreed that American Ambulance will respond to all ambulance calls by whomsoever

made involving accidents or illness occurring within the limits of the City of Norwich and render ambulance service

as required in accordance with the terms of this Agreement.

B. 1t is understood and agreed that such ambulance service shal l be rendered by American Ambulance on a

twenty-four (24) hour a day basis for each day of the term of this agreement.

C. American Ambulance agrees to equip and operate two (2) fully licensed, fu lly staffed ambulances at its so le

cost and expense to furnish such ambulance service. Such ambulances and equ ipment shall, before being used, be

approved by the appropriate state, federal and local offi cials. American Ambulance agrees 10 staff and operate one

( I) of said ambulances on a twenty-four (24) hour a day basis as per paragraph 3 B above. and fur1her agrees that

said second ambulance shall be manned by a standby crew consisting of two (2) fully qualified operators who shall

be available at all times who would be called into active duty upon the dispatch of the primary ambulance. If sa id

standby crew, or second ambulance, is not immediately available, American Ambulance agrees to provide back-up

ambulance service through its various mutual aid agreements.

D. American Ambulance agrees to hire a sufficient number of qualified EMS professionals to operate its

ambulances, such quali fi ed EMS professionals to receive appropriate training in accordance with applicable state

and federal statutes and regu lations and local municipal ordinances.

E. The City Police Department functions as the Public Safety Answering Point, however, it is understood and

agreed that the City has designated American Ambulance as the primary answering point fo r all emergency medical

calls for service, therefore American Ambulance will provide Emergency Medical Dispatch (EMD) in accordance

with state statute and regulation.

-t. RIGHTS AND OBLIGATIONS OF AMERICAN AMllULANCE

A. American Ambulance agrees to house the ambulances serving Norwich within the City limits at One American Way or such other properties as are from time to time owned or occupied by American Ambulance.

B. American Ambulance agrees to keep a record of all ambulance service rendered and whether or not such

services are paid for; and such records shall be open to reasonable inspection by the City Manager, or his authorized

representative, subject to and in accordance with State and Federa l statutes and regulations, including, but not

limited to, the Health Insurance Portability and Accountability Act of 1996 (HIPAA), as revised.

C. American Ambulance agrees to revise, on a regular basis as specified by State Statutes and Regulations, the

Norwich Emergency Medical Services Plan, in conjunction and in agreement with the City, and in accordance with

said State Statutes and Regulations.

D. American Ambulance agrees its rights and obligations hereunder may only be assigned, sold or transferred

to a qual ified and properly licensed or certified provider of emergency services and then only with the prior written

consent of the City, which consent shall not be unreasonably delayed or withheld.

E. It is mutually agreed between the parties that the covenants and agreements herein contained shall be

binding upon and inure to the benefit of the parties hereto and to their respective successors and assigns.

F. American Ambulance retains the right to seck approval of bi lling rate increases during the term of this

Agreement from the Department of Public Health , Office of Emergency Medical Serv ices or other state agency

having jurisdiction over the same.

G. American Ambulance agrees to participate in all Emergency Management activities, including planning

and disaster response simulations if such activities nrc not in confl ict with its service obl igations.

H. American Ambulance agrees to participate in programs to inform the public about Emergency Medical

Service issues and programs and to encourage the public to become trained in basic Emergency Medical Service

procedures. American Ambulance agrees to make its resources and personnel available lor such programs when not

in conflict with its service obligations.

5. RIGHTS AND OBLIGATIONS OF T HE CITY OF NORWICH

A. The City and its authorized officers shall have the right and privilege at all reasonable times to inspect the

ambulances and equipment of American Ambulance.

B. The City agrees that during the term of this Agreement or any extension thereof, it sha ll maintain E-91 I

emergency telephone numbers twenty-four (24) hours per day for each day of the term of this agreement and shall

immediately forward all EMS calls for ambulance services received at said numbers to American Ambulance

exclusively so that American Ambulance may fulfill its obl igations under this agreement. The City will also

undertake to usc its best efforts to encourage its residents to use E-91 1 in med ical emergencies. Additionally, the

City agrees to work with American Ambulance in efforts designed to make residents and entities within Norwich

familiar with American Ambulance's services.

C. The City may, upon request, participate in regulatory hearings on beha lf of American Ambulance to secure

licensing and cenification related to this Agreement and may appear on behalf of American Ambulance to suppon

rate increases and/or addit ional permits that may be required from time to time.

D. American Ambulance agrees that the City Manager or his designee shall have the specific authority and

responsibility to:

I. Rev iew and investigate complaints concerning American Ambulance;

2. Evaluate the performance of the panies with respect to the terms of this Agreement; and

3. Adv ise American Ambulance as to steps that might be taken to improve the delivery of

Emergency Med ical Services.

6. INSURANCE AND INDEMNIFICATION

A. American Ambu lance agrees and undertakes to indemnify, defend and save harmless the City from any and

all liability, claims, right of action and demands fo r damages by reason of any personal injury or property damage

arising out of American Ambu lance's performance of its obligations under this Agreement or breach of same or in

any way connected with it or its equ ipment.

B. American Ambulance agrees to maintain during the term of this Agreement comprehensive general

automobile liabi lity insurance of not less than S I ,000,000.00 combined single limit as well as $2,000,000.00

professional liability and malpractice insurance coverage with a carrier licensed to transact business in the State of

Connect icut; the City is to appear on said pol icies as an additional insured and American Ambu lance sha ll furnish

the City with certificates of such insurance upon request.

shall maintain Workers' Compensation and Unemployment Compensation insurance as required by the State of

7. TERMINATION OF AGREEMENT

A. In the event American Ambulance shall fail to fu lfill in a timely manner its obligations under this

Agreement, or if American Ambulance should violate any of the material covenants, agreements. or stipulations of

this Agreement. the City shall have the right to terminate this Agreement.

B. The City shall exercise the above stated right to terminate this Agreement by giving written notice of its

intention to so terminate not less than sixty (60) dnys prior to the date of tennination . Said notice must be based on

material breach of this Agreement. Americnn Ambulance shall have thiny (30) days after receipt of said notice to

undenake substantial correction of the specified violation or violations. Upon failure to do so to the satisfaction of

the City, within the specified time, the City may designate alternative Emergency Medical Service and American

Ambulance shall cease and desist from responding to Emergency Medical Service ambulance calls within the City

in accordance with applicab le State Statutes and Regulations.

C. The failure of the City to invoke any remedy available to it shall not const itute a waiver of its right to

respond to the same or similar violations. The se lection of a remedy other than termination shall not bar the City

from subsequent ly terminating this Agreement, for, the same cause or for related or unrelated causes, whether

arising before, at the time as, or after the cause resulting in the use of a remedy other than tennination under this

section.

8. NOTICES AN D COMMUNICATION

All notices sent and comm unications made under this Agreement shall be deemed satisfactory if sent by

prepaid certified mai l.

9. EQUAL EMPLOYMENT OPPORTUN ITY

A. During the performance of the Agreement, American Ambulance agrees that discrimination shall not be

pem1itted by or against any person because of race, co lor, religion , age, sex, marital status, national origin, ancestry,

physical disabi lity, gender identity, veteran status, and genetic information, or sexual orientation in any manner

prohibited by statutes, ordinances, rules, or regulations of the United States, State of Connecticut, or City of

Norwich.

B. American Ambulance further agrees 10 state in all sol icitati ons or advertisements for employees placed by

or on behalf of American Ambu lance, that all qualified appl icants will receive consideration for employment

without regard to race, color, religion, age, sex, marital status, national origin, ancestry, physical disability, gender

identity, veteran status, and genetic information. or sexual orientation.

10. ENTIRE AGREEMENT

The terms and provisions herein contained constitute the ent ire Agreement between the City and American

Ambulance and shall supersede all previous communications, representations, or agreements, either oral or wriuen,

and no agreement or understanding varying or extending the same may be binding upon either parry hereto unless in

writing and signed by a duly authorized representative in which writing this Agreement shall be specifically referred

to and any such variance or extension shall be auached hereto and made a part of this original Agreement.

II. SEVERA131LITY

Nothing in this Agreement is intended to connie! with applicable federal , state or city laws, regulations or

ordinances. If the terms of this Agreement arc inconsistent with applicable laws or ordinances, then those portions

of this Agreement which are determined to be inconsistent shall be invalid, but the remaining terms and conditions

of this Agreement not affected by any inconsistency shall remain in full force and effect. At the first oppmtunity for

review of this Agreement after a determination by a Court of competent jurisd iction, of the invalidity of said clause,

such changes to that clause or port ion only, shall be reviewed and as arc deemed necessary to comply with the

applicable law, will be accomplished by an amendment to this Agreement.
