Sealed tenders are invited for Hiring of “LP” Model Trucks of 9 MT

capacity from reputed Transporters for carrying of Northern Railway’s Depot Materials from N.Rly. Printing Press, Punjabi Bagh, Delhi to various destinations over Northern Railway & North Central Railway covering the main destinations viz., Umbala, Firozpur, Amritsar, Jammu, Muradabad, Lucknow & Varanasi of N.Rly. and Allahabad, Jhansi, & Agra of N.C.Rly. for period of one year from the date of commencement of the work. The estimated cost of work is Rs.11,68,949/- (Rs. Eleven Lakhs Sixty Eight Thousand Nine Hundred Fourty Nine Only). The Tender Form must accompany with Earnest Money @ 2% of tender value. GENERAL CONDITIONS OF CONTRACT FOR HIRING OF TRUCKS TO TRANSPORT RAILWAY MATERIALS.

1. Demands for Arbitration No. : (i) In the event of any dispute or difference between the parties here

as to the construction or operation of this contract or the respective rights and liabilities of the parties on any matter in question dispute or difference on any account or as to the with holding by the Railway of any certificate to which the contractor may claim to be entitled to. Or if the Railway fails to make a decision within reasonable time/time limit in any such case, save the except matters referred to in clause 63 of these conditions of the contractor, after 90 days but within 180 days of his presenting his final claim on disputed matter, shall demand in writing that the dispute or difference be referred to arbitration.

(ii) The demand for arbitration shall specify the matter which are in

the question dispute or difference. Only such dispute(s) or difference(s) in respect of which the demand has been made shall be referred to arbitration and other matters shall not be included in the reference.

(iii) If the contractor(s) does/do not prefer his/their specific and final

claim in the writing, within a period of 90 days of receiving the intimation from the Govt. that the final bill is ready for payment, he/ they will be deemed to have waived his/their claim(s) and the Railway shall be discharged and released of all liabilities under the contract in respect of those claim.

2. Obligation during pendency of Arbitration :

Work under the contract it shall unless otherwise directed by the depot office or his authorized representative, continue during the arbitration proceeding and no payment due or payable by the Railway shall be withheld on account of such preceding provided, however it shall be open for arbitration or arbitrators to consider and decide whether or not such work should continue during arbitration proceedings.

3. Arbitration :

(a) (i) A Sole Arbitrator who shall be the General Manager or a Gazetted Railway Officer nominated by him in that behalf in case where the claim in question is below Rs.500000/-(Rs. Five Lakhs) and in case where the issues involved are not of a complicated nature. The General Manager shall be the sole judge to decide whether or not issues involved are of a complicated nature.

(ii) Two arbitrators who shall be Gazetted Railway Officers of equal

status to be appointed in the manner laid in clause (3) (b) for all claims of Rs.500000/- (Rs. Five Lakhs) and above and for all claims irrespective of the amount or of such claims of the issues involved are of a complicated nature. In the event of the two Arbitrators being divided in their opinions, the matter under disputes will be referred to an umpire to be appointed in the manner laid down in clause3 (b) for his decision.

(iii) It is terms of this contract that no person other than a gazetted

Railway Officer should act as an arbitrator/ umpire and if for any reason i.e. not possible the matter is not be referred to arbitration at all.

(iv) In case where the claim is upto Rs.3,00,000/- (Rupees Three

Lakhs) the arbitrator(s) Umpire so appointed as the case may be shall give the award on all matters referred to arbitration indicating their in break up of the sums awarded separately on each individual items of dispute. In case where the claim is more than Rs.3,00,000/- (Rs. Three Lakhs) the Arbitrator(s)/ Umpire so appointed as the case may be shall give intelligible award i.e. the reasoning loading to the award should be state with the sum awarded separately on each individual item of dispute referred to arbitration.

(b) For the purpose of appointing two arbitrators as (a) referred to

in sub- clause (a) (ii) above the Railway will send a panel of more than three names of Gazetted Railway officers of one or more departments of the Railway to the contractor who will be asked to suggest to the General Manager one name out of the list for appointment as the contractor’s nominee. The General Manager, while so appointing the contractor’s nominee, will also appoint a second arbitrator as the Railway’s nominee from the panel or from outside the panel ensuring the one of the two arbitrators so nominated is invariably from the Accounts

departments. Before entering upon the reference the two arbitrators shall nominate an umpire who shall be a Gazetted Railway Officer to whom the case will be referred to in the event of any difference between the two arbitrators, Officer of the Senior Administrative grade of the account departments of the Railway shall be considered as of equal status to the officers in the intermediate administrative grade of other department of the Railway for the purpose of appointment as arbitrator.

(c) If the sole arbitrator under sub-clause(a) (i) or one or both the

arbitrators appointed under sub-clause(b) above resigns his, appointment/resign their appointments or vacate his officers/or is/are unable or un willing to act for any reason what so ever or dies/die, the General Manager may appoint a new arbitrator/arbitrators to act his/their place in accordance with the provision of sub clause(a) (i) or sub- clause(b) above as the case may be such arbitrator/arbitrators, as the case may be shall be entitled to proceed with the reference from the stage at which it was left by the previous arbitrator/arbitrators.

(d) The arbitrators or arbitrators or the umpire shall have power to

call for such evidence by way of affidavits or otherwise as the arbitrator or arbitrators or umpire shall think proper, and it shall be the duty of the parties here to do or cause to be done all such things as may be necessary to enable the Arbitrator or Arbitrators or umpire to make the award without any delay.

(e) It will be no objection that the person/ persons appointed as

arbitrator/arbitrators or umpire is/are Govt. servant(s) if however the arbitrator/arbitrators/umpire is/are railway servant(s) he/they shall not be one those who has an opportunity to deal with the matters to which the contract relates or who in the course of his/their duties as railway servant has/have expressed views on all or any of the matters under dispute or difference. The award of the arbitrator or arbitrators or umpire as the case may be shall be final and binding on the parties to the contract.

(f) Subject as aforesaid Arbitration and conciliation Act, 1996 and

rules there under any statutory modification there of shall apply to the Arbitration proceedings under this clause.

(g) Termination Clause.-If alternative arrangement is made by NCR

during the currency of the contact, the contract will be terminated for the same quantity (No. of Kms.) from the transport contract no liability on Rlys.

INSTRUCTIONS TO TENDERERS

1. Tenders are invited by the President of India acting through Chief Manager/ Ptg. & Sty.Depot, Northern Railway, Rohtak Road, Punjabi Bagh, Delhi -110035 for hiring of Trucks/Lorries of a model not more than 10 years old for transportation of Railway Materials from Sty.Depot/SSB to various destination viz. Umbala ,Firozpur, Moradabad, Lucknow , Varanasi over Northern Railway and Allahabad, Jhansi, Agra over N.C.Railway.

2. In all minimum of 1 truck and maximum of 4 trucks at a time are required for this purpose. Number of trucks can be increased or decreased as the situation warrants and additional truck(s) have to be provided on the accepted rate of contract. As such tenders are required to indicate the number of trucks being offered.

3. Tenders must sign all the pages of Tender document and Tenders marked

on the envelope as “Hiring of trucks” alongwith Tender No. Press/ Tender/15-16 due on date ………….. may be dropped in the tender box kept for this purpose with Chief Manager/Ptg. & Sty.Depot, Northern Railway Press, Punjabi Bagh, Delhi -110035.

4. Non-transferable tender documents can be purchased from the office of

Chief Manager,(Ptg.& Sty.Depot), Northern Railway, Punjabi Bagh, Delhi-110035 on any working day from 10.00 hrs to 17.00 hrs. against a sum of Rs. 500/- (Rupees Five Hundred) (Non refundable) in cash.

5. Tender shall be received upto 14-00 hrs. on dated and will be

opened at 14-30 Hrs. on the same date in presence of tenderers, if they so desire and delayed tenders will be summarily rejected. Tenders received by post/registered after expiry of the time and date, and incomplete tenders, tenders having erasings/overwriting without attestation will be rejected.

6. Tender must accompany earnest money @ 2% of estimated tender value.

The earnest money will be in the shape of cash receipt or Bank Draft drawn in favour of F.A. & C.A.O. Northern Railway, Baroda House, New Delhi. Earnest money may also be deposited with DCPM/Delhi and Cash Receipt/Bank Draft, as the case may be should accompany to tender documents in original. Earnest money will not be accepted in any other form. Tender forms received without earnest money will be summarily rejected.

7. The successful contractor shall be required to deposit the security deposit as under :–

(a) Security Deposit for each work should be 5% of the contract value which will be deducted from the contractors running bill after adjustment of EMD.

(b) The rate of deduction should be at the rate of 10% of the bill

amount till the full security deposit is recovered.

(c) Security Deposit shall be deducted only from the running bills of the contract and no other mode of collecting SD such as SD in the form of instruments like BG, FD etc. shall be accepted towards Security Deposit.

Security Deposit shall be returned to the contractor after the physical completion of the work as certified by the Competent Authority. The Competent Authority shall normally be the authority who is competent to sign the contract. If this Competent Authority is of the rank lower than JA Grade, then a JA Grade Officer (concerned with the work) should issue the certificate. The certificate, inter alia, should mention that the work has been completed in all respects and that all the contractual obligations have been fulfilled by the contractors and that there is no due from the contractor to railways against the contract concerned. Before releasing the Security Deposit, an unconditional and unequivocal no claim certificate form the contractor concerned should be obtained.

No interest will be payable upon the Earnest Money and Security

Deposit or amounts payable to the Contractor under the contract, but Government Securities deposited in terms of Sub Clause (1) of this clause will be payable with interest accrued thereon.

Security deposit for due fulfillment of contract for supply of stores will

not be taken from : (a) Firms registered with NSIC upto the monetary limit of their

registration for the items ordered.

(b) Firms registered with Northern Railway upto the monetary limit of their registration for the items ordered/trade groups of the items ordered.

(c) Firms on approved list of RDSO, DLW, CLW, ICF, RCF, DMW, RWF, CORE and Northern Railway for the ordered item.

(d) Other Railway, Government Departments.

8. Introduction of Performance Guarantee (P.G.):– The procedure for obtaining performance Guarantee is outlined below :–

a. The successful bidder should give a Performance Guarantee in the

form of an irrevocable bank guarantee amounting to 5% of the contract value.

b. The Performance Guarantee should be furnished by the successful

contractor after the letter of acceptance has been issued, but before signing of the agreement and should be valid upto the expiry of the maintenance period. The agreement should normally be signed within 15 (fifteen) days after the issue of LOA and Performance Guarantee should also be submitted within this time limit.

c. Performance Guarantee shall be released after satisfactory completion

of the work and maintenance period is over. The procedure for releasing should be same as for Security Deposit.

d. Wherever the contracts are rescinded, the security deposit should be

forfeited and the Performance Guarantee shall be encashed and the balance work should be got done separately.

e. The balance work shall be got done independently without risk and

cost of the original contractor. f. The original contractor shall be debarred from participating in the

tender for executing the balance work. If the failed contractor is a JV or a partnership firm, then every member/partner of such a firm would be debarred from participating in the tender for the balance work either in his/her individual capacity or as a partner of any other JV/partnership firm.

9. The estimate work is for 79 trucks covering 32026 Kms at an approximate

cost of Rs. 11,68,949 (Eleven Lakhs Sixty Eight Thousand Nine Hundred Forty Nine only).

10. Successful tenderers after acceptance of their tender have to place their

Lorry/Truck at desired place within 24 Hours on placement of demand by the Stores Officers Depot, Northern Railway or his authorized representative and if the truck is not placed within 24 Hrs. of the placement

of demand for truck, a penalty of Rs.1000/- per day, will be levied for the delay period. Besides this, the administration would be free to hire truck from the market and recover general damages from the contractor for the difference in cost. The Penalty will continue to accrue till the material leaves Railway’s premises.

11. For the purpose of hiring charges the period shall be reckoned from the

time of entering the Lorry/Truck in Railway premises. For this purpose contractor shall maintain log Book. A similar log Book will also be maintained by the Railway Administration.

12. Vehicles provided by the Contractor should have necessary licenses of

Transport Authority and Road permit as required under Law and should comply with the latest instruction issued under Govt. notification in wake of Hon’ble Supreme Court order on Commercial Vehicles.

13. Contractors shall have no claim on account of any expenditure incurred by

them other than specifically agreed in this contract. The contractors shall not be entitled for any advance on account of the work to be under taken by them.

14. Contractor shall submit their bills in the format prescribed by the Northern

Railway Administration to the Chief Manager(Ptg.&Sty.), Northern Railway Printing Press, Rohtak Road, Punjabi Bagh,Delhi-110035 or his authorized representative, for verification and for arranging their payment through F.A. & C.A.O., Northern Railway, Baroda House, New Delhi. Contractors are expected to receive their payment against their bills within 10 days from the date of submission. However they shall not be entitled for any interest for the delay, if any in payment of their bills.

15. Contractor shall be wholly responsible for ensuring that the Goods collected by them for transportation under the contract are protected against all types of damage viz. Rain water, theft or any other mishappenings. Contractor should also note that the Railway Goods are not transshipped from any Lorry/Truck to another one. In the even of transshipment is unavoidable, damage(s) if any, caused to the Railway Goods shall be on the Contractors Accounts.

16. The responsibility of the safe transportation of material will be with the

transporter. Transit risk if any also lie with the Transporter only. Any loss during transportation due to pilferage, theft, fire, accident etc. will be on transporter account and the cost due to loss of material if any, will be recovered from the contractor.

17. Trucks should have proper arrangement for covering from top and scaling

as well. 18. Paying authority i.e. F.A. & C.A.O. (X) Northern Railway, Baroda House,

New Delhi will deduct the part of the Income-Tax as per rules of the Income Tax department whenever necessary.

19. For the purpose of working of Kilo-meter charges, vehicle will be released

either at originating stores Depot or any other point within the jurisdiction referred above under the heading “Scope of supply” Vehicle will be released at destination point if nothing is to be carried back to originating depot.

20. Tenderers shall quote their rate considering the fact that loading and

unloading at the point of dispatch and delivery shall be under taken by Railway staff. No outsider will be allowed to travel in the truck loaded with Rly. Materials except truck driver and cleaner. No other material should be loaded alongwith Rly. Material.

21. Tenderers must quote their rates in figures as well as in words neatly in the

schedule of rates only. Other conditions, if any may be indicated in a separate sheet.

22. Railway Administration reserves the right to reject or accept any offer

without assigning any reason what so ever. Contd…6..

23. No material required for the operation of truck will be supplied by the

Railways. 24. No boarding and lodging facilities to driver(s) and other staff of transporter

accompanying the truck will be made available at any station. 25. Railways shall not be responsible for safety/security of anything related to

the truck engaged against the contract. 26. In the event of break down/under repair, another truck should have to be

made available at the disposal as replacement without any loss of time and unloading & Loading will be done by the contractor at the break down point. Otherwise the Railways reserve the right to hire other truck(s) from local market at the cost of contractors and the said charges will be deducted from the transportation bill.

27. The truck should have the necessary permit clearances, all the paper

clearances i.e. insurance, road tax, vehicle fitness certificate, PUC etc. and all other liabilities from state motor vehicle authority. The contractor shall obtain all the road permits, or any other authorization from competent authority at his own cost. Any contingency arising shall be responsibility of the contractor. The contractor shall be also responsible for any misshape/ accidents en-route including legal complications etc, if any. In case of any loss/theft/damage suffered by Railway for Railways material, legal action against firm/contractor/transport contractor may be taken in consultation with civil Police/GSRP/SRPF as deemed appropriate by Railway Administration.

28. The hired truck (s) provided by the transporter will display with bold and

legible wording “ON Govt. (Rly.) Duty” while working against this contract. 29. Rates offered in schedule of rates should include all the expense such as

fuel, lubricants, salary and all other benefits payable to driver(s) and transporters staff accompanying the truck, statutory taxes as applicable to the truck en-route, repair and maintenance charges etc. Railway shall not be liable to pay any other charges except the rates approved as per schedule of rates.

30. Rates for hiring of vehicle per kilometer run should be indicated separately in figures and words. Kilometre means kilometer run by the truck as indicated by the speed meter/Kilometre recorder fitted in the vehicle, which should be in sound working order.

31. The purpose of paying charges against per kilometer run by the truck is to

compensate the expenditure incurred against fuel and lubricants only. 32. It is further clarified that charges are payable against this contract for

whole period when truck(s) remain of Railway’s disposal on per kilometer run. In other words, the truck along with driver(s) fuel and lubricants will be of transporter. Charges for kilometer run (Normally on monthly basis) are only payable by the Railway.

33. Duration of hiring charges as well as kilometer run by the truck will be

verified by the staff of Railways accompanied the truck/Depot material Superintendent (Despatch Section) and countersigned by the Assist. Material Manager, N.Rly. and Chief Manager/Ptg. & Sty. Northern Railway Printing Press, Rohtak Road, Punjabi Bagh, Delhi-110035. No bill will be passed for payment unless it is properly presented on prescribed form.

34. Separate bill for each truck for each job is required to be submitted in

triplicate normally on monthly basis complete in all respect as mentioned above, in favour of Chief Manager/Ptg. & Sty., Northern Railway Printing Press, Rohtak Road, Punjabi Bagh, Delhi-110035.

35. Legal Jurisdiction will be courts at Delhi only. 36. In respect of matters not specifically mentioned above, the provisions of

general conditions of contract for work as amended from time to time of the Indian Railways will govern this contract.

37. Arbitration clause as per Annexure ‘C’. 38. Firm offer should be kept open for 120 days for acceptance.

39. Tenderers shall submit documentary evidence for having completed the

work in last three financial years at least one similar single work for a minimum value of 35% of advertised tender value of work or should have received total contract among during the last three years, a minimum of 150% of advertised tender value of work.

40. Railway administration also reserve the right to divide or to operate the

Contract amongst more than one tenderer. 41. This Road Transport Contract can be extended by the Railway beyond 12

month if so required by the Rlys. with mutual consent on the same rates, terms and conditions.

42. It is made clear that there is no detention charge will be paid by the

Railway. However Rly. will try to load and unload the material at the earliest within 4 hrs. If reached before 12.00 hrs. on any day otherwise on the next day.

43. 100% payment will be made after safe unloading of material at destination. 44. Contractor shall not sublet, assign or part with this contract. 45. The contractor further agrees to indemnity the Railways Administration

against all claims by or on behalf of any workmen employed by him in connection with the present contract for injury or death by accident under the workmen’s compensation Act VIII of 1933 or any other statutory Modification thereof on the Railway Administration will be entitled to deduct form any sum of money due as payable to the contractor the amount of compensation then payable to or on account of any such workmen be paid by the Railway Administration or such account under terms of section 12 of the Act together with all or any cost incurred by the Railway Administration in such connection with and the contractor further agree the

debit of the Rly. Administration with respect to the amount of sum indemnity shall be accepted by them as final.

46. The loading, unloading & delivery of material have to be made in the

presence of Railway representative, nominated by competent Authority.

47. Railway reserve the right to increase quantity as mentioned in scope of

work 25% tendered quantity within validity of this agreement without making any further reference.

48. Railway Administration reserve the right of premature cancellation of

contract at any time during tendency of contract without assigning any reason without any financial repercussion on either side by giving a written advance notice of 15 days.

49. For other conditions, the General Conditions of contract for works contract

will be applicable. 50. In case of involvement of any trans-shipment contractor shall take

telephonic approval of Rly. Authority as indicated for execution of contract before making such trans-shipment and that shall follow with a written confirmation of such approval later on, but before submission of bill.
