CONSTITUTION

Article I - Name and Affiliation

This organization will be known as the Central Virginia Basketball Officials Association, Inc., (the

“Association”) and will be an affiliate member of the International Association of Approved

Basketball Officials (“IAABO”).

Article II – Territory

The territory served by this organization will be as authorized by the Executive Committee.

Article III – Objectives

3.1) to provide highly qualified basketball officials for the area served by this organization

3.2) to secure a uniform interpretation and administration of the playing rules of basketball as

approved by the National Federation and IAABO

3.3) to establish and maintain an equitable fee for services rendered

3.4) to educate, train, develop, and provide continuous instruction for basketball officials

3.5) to collaborate and promote the qualities of solid character, good sportsmanship, and good

citizenship through the game of basketball

Article IV – Membership

The Association will be composed of the following classes of members: Trainee, Associate,

Provisional, Transfer, Active, and Inactive.

Article V – Officers

The officers of this Association will be Commissioner, President, Vice -President, Secretary,

Treasurer, and Interpreter (“Elected Officers”).

Article VI – Committees

6.1) The Executive Committee will consist of all Elected Officers plus eight Members-at-Large.

The immediate past President will be an automatic member of the Executive Committee and

serve a term of 2 years.

6.2) All other committees will be appointed by the President.

Article VII - Parliamentary Procedure

The President may appoint a Parliamentarian to attend all meetings of the Association and

Executive Committee. The Parliamentarian must use the current Robert's Rules of Order as the

parliamentary guide. In the absence of a Parliamentarian, the duties will be assumed by the

President.

Article VIII – Amendments to the Constitution

8.1) All proposed amendments to the Constitution must be submitted in writing to the

Secretary to be communicated to the Association at the next scheduled meeting.

8.2) The Secretary will notify the members of the impending vote on any amendment to the

Constitution.

8.3) A vote will be taken upon the proposed amendment at the next meeting scheduled after

the communication to members. A two-thirds favorable vote of Active members present will be

required in order for the proposed amendment to become part of the Constitution.

BY-LAWS

Section 1 – Officer and Executive Committee Elections

1.1) A majority vote of those voting will be required to decide all elections for officers. A runoff

election will be held between the two candidates receiving the most votes if no majority vote is

obtained on the first ballot. Candidates for Executive Committee Members-at-Large who receive

the most votes from among all those cast will be elected.

1.2) Election of officers will take place every other year at the final scheduled General

Membership meeting for term of two years. Election of the Members-at-Large will take place

every year for the 4 expiring term members. The top 4 in total votes will become Members-at-

Large for a 2-year term.

Section 2 – Duties of Officers

2.1) The Commissioner will be responsible for making all game assignments, supervising the

performance of the officials, and managing the schedules with the schools and officials. The

Commissioner duties will include:

2.1.a) Assume the chair in meetings in the absence of both the President and Vice

President

2.1.b) Facilitate registration to all members of the Association with the VHSL, NFIOA,

and IAABO (if desired by member) and to issue all associated books and

membership cards

2.1.c) Provide any new member with access to all necessary publications of the

Association, including, but not limited to the Constitution and By-laws

2.1.d) Contact all basketball organizations in the Association's territory and obtain

schedules for officiating in their leagues

2.1.e) Maintain a service record of each official during the year

2.1.f) Keep all correspondence of his office on file for inspection by the Executive

Committee

2.1.g) Prepare bills for the schools that use the services of the Association

2.1.h) Approve for payment by the Treasurer all pay sheets of the officials

2.1.i) Deliver to successor all records of the Association at the expiration of term

2.1.j) The Commissioner will have the power to appoint a Deputy Commissioner,

requiring majority approval of the Executive Committee, whose responsibilities

may include the assignment of officials for all daytime non-varsity games, the

handling of all administrative details created by such assignments, and the

performance of the duties of the Commissioner if the Commissioner is unable to

perform for whatever reason. The Deputy Commissioner will be a member of

the Executive Committee and will receive the same percentage assignment fee

paid by the members as the Commissioner for assigned games.

2.2) The President will schedule and preside at all meetings of the Association and will be an ex-

officio member of all committees. The President will act as an official representative of the

organization when necessary.

2.3) The Vice President will assume the duties of the President if the President is absent. The

Vice President will also be responsible for developing, maintaining, and facilitating Transfer

official activities.

2.4) The Secretary will keep the minutes of all meetings and a record of all decisions of the

membership, make available any necessary correspondence as a result of these meetings, and

report these actions at the next meeting of the Association. Secretary is also responsible to

ensure membership has been notified of all meetings and has access to copies of minutes upon

request. The Secretary’s salary will be established at the last regular meeting for the following

year, and any expenses required by the duties of the office will be reimbursed by the

Association upon the submission of an itemized statement to the Treasurer.

2.5) The Treasurer will pay all financial obligations upon being so authorized by the Executive

Committee, and will give a Treasurer's report annually or upon request. The Treasurer’s salary

will be established at the last regular meeting for the following year, and any expenses required

by the duties of the office will be reimbursed by the Association upon the submission of an

itemized statement to the Executive Committee. Duties of the Treasurer will be:

2.5.a) To maintain an Association bank account over which the President and Treasurer

will have signature authority, but from which only the Treasurer will make

disbursements;

2.5.b) To receive and deposit in the Association bank account all funds (including dues,

insurance payments, fines, banquet fees, game fees, travel payments, etc.) and

to make all disbursements in a timely manner;

2.5.c) To keep adequate books and records of all receipts and disbursements of the

Association and to submit these records to an Audit Committee appointed by

the President and approved by the Executive Committee within 30 days after

the Association's fiscal year has ended.

2.5.d) To prepare an Annual Budget of all funds required to operate the Association and

present it to the Executive Committee for approval for the following year by the

end of the prior fiscal year

2.6) The Interpreter will obtain a uniform interpretation of the rules from the National

Federation and IAABO and relay this information to the membership. The Interpreter will also be

responsible for developing, maintaining, and facilitating Training Class and Membership

Committee activities.

Section 3 – Duties of Executive Committee

3.1) The Executive Committee will be responsible for ensuring proper stewardship of

Association activities, including, but not limited to, procedural, management, and financial

matters.

3.2) The Executive Committee will be responsible for development, maintenance, and oversight

of policies for the Association consistent with the Constitution and Bylaws. In doing so, the

Executive Committee has responsibility to act on an informed basis, in good faith, and in the

honest belief that the action taken was in the best interest of the Association and avoid all self-

dealing or the appearance thereof.

3.3) The Executive Committee may, upon proper investigation and review, which may include

presenting evidence and/or witnesses on the member’s behalf, issue a written reprimand, or

place on probation, or suspend any Elected Officer or Member-at-Large for dereliction of

assigned duties, as defined in the Bylaws, or assigned by the organizations' President or for

conduct detrimental to the Association. Suspension may occur with a majority vote of the

Executive Committee. Following such action, should the findings warrant suspension of the

Elected Officer or Member-at-Large, a report will be made to the entire membership body for

possible impeachment of the offender from elected Office or Member-at-Large position. The

voting membership, comprised solely of Active members present, may entertain motions and

possible action to impeach said Elected Officer(s) or Member(s)-At -Large from position.

Impeachment of any Elected Officer, or Member-At-Large will require a 2/3 vote in favor of such

action by the Active members present that are entitled to vote. The offender, as referenced in

this Article, may not vote.

3.4) The Executive Committee will handle all complaints or grievances and, upon a written

complaint of any member or an executive order, examine the records of the Commissioner. If

the records are not in order or have been mishandled in any fashion, the Executive Committee

will report the case to the Association for further action.

3.5) The President may refer any motion or item of business to the Executive Committee for its

handling. Any necessary action on an item of business not expressly within the jurisdiction of an

officer of this Association will ordinarily be referred to the Executive Committee. The Executive

Committee will handle the motion or item of business and will report its actions to the

Association at the next regular meeting. A two thirds vote of the voting members present will

be necessary to reverse or modify a completed Executive Committee action. If the membership

has voted to consider an action prior to a vote by the Executive Committee, a simple majority

vote will be required to pass such motion.

Section 4 – Election to Membership

4.1) Membership voting will occur at the final meeting of the year. The Membership

Committee will provide a recommendation on each Trainee, Associate, and Provisional member.

A simple majority vote of those present will be required to advance from Trainee to Provisional,

Associate to Provisional, and Provisional to Active member for the next membership year.

4.2) Membership Level Requirements

4.2.a) Trainee to Provisional Member: Must receive a passing grade on all required

examinations (ex. floor, written, other), be evaluated under game conditions,

and receive the approval of the Membership Committee.

4.2.b) Trainee to Associate Member: Any Trainee who has met all of the requirements

to move from Trainee to Provisional member, but has not has not met

attendance or other administrative requirements.

4.2.c) Associate to Provisional Member: Must meet attendance and other

administrative requirements and receive the approval of the Membership

Committee.

4.2.d) Provisional to Active Member: Must meet attendance and other administrative

requirements and receive approval of the Membership Committee.

4.3) Trainee, Associate, and Provisional members will be accorded all of the privileges of the

Association, with the exception of voting powers.

4.4) Transfer - Any official who is transferring into this Association will be dealt with according

to IAABO and VHSL regulations, and official status after the first year will be determined

following an evaluation of performance by the Executive Committee

4.5) An Inactive member is an official who declares Inactive status by notifying both the

Secretary and Commissioner in writing.

Section 5 – Membership Requirements (Good Standing)

5.1) Any new official, other than a valid Transfer candidate, with a desire to join the Association,

must begin as a Trainee and is required to complete the Training Class.

5.2) A candidate for membership must make application to the Association accompanied by a

nonrefundable fee for the expense of taking the VHSL examination and attending the Training

Class for prospective new members.

5.3) Any returning member who leaves this board in Good Standing may return to the board in

the same status as when they left provided they re-apply to the Association and have remained

current in basketball officiating at the same level or higher with supportive documentation. If

member has been on Inactive status from the Association for two years or move, the application

must be reviewed by the Executive Committee for approval before being granted Active

membership status.

5.4) All members are required to attend all scheduled meetings during the membership year.

Inactive members are exempt from this requirement. Any member working an assignment for

the Association during a scheduled meeting time will be considered present.

5.5) Any official who fails to contact his fellow official(s) at least 24 hours before the game or

fails to notify the Commissioner if unable to contact fellow official(s) will be fined if a fellow

official fails to fulfill or is late for assignment.

5.6) Failure to fulfill an assignment results in an immediate and automatic suspension for the

next ten days, unless the Member has been permitted by the Commissioner to withdraw from

the assignment. The Commissioner will notify the member immediately of suspension and

dates of the suspension. A fine will also be assessed. Repeated offenses are subject to

disciplinary action by the Executive Committee.

5.7) Dress in a professional manner while travelling to and from assignments and wear proper

attire during assignments as may be outlined in a dress code policy.

5.8) Conduct

5.8.a) The Association will not accept nor consider an application for membership from

any person who has been convicted of any felony, with the exception of vehicle

infractions, for any type or level of membership. Any current member of this

Association who is convicted of any felony, with the exception of vehicle

infractions, will be immediately suspended from the Association and will no

longer be considered a member of this Association.

5.8.b) Any member who is convicted of a crime involving moral turpitude, following a

proper review, may be suspended by the Executive Committee for the balance

of the current season. The Executive Committee may consider the possible

lifting of the suspension for the following season, however only after a

documented request for consideration is submitted by the member.

5.9) After an official notification to the offender and proper review, as necessary, if the

Executive Committee finds that any member directly or indirectly solicited games from a coach,

school, or district, then such member will be suspended for the remainder of the membership

year. All remaining assignments of the Member must be returned to the Commissioner, and all

fees, dues, and assessments paid to the Association by the member are forfeited.

5.10) Officials of this Association are not permitted to officiate for other high school

associations without the permission of the Executive Committee.

5.11) Suspended Members

5.11.a) A member, if suspended for any reason, will be notified of such by the Secretary

and also notified of the cancellation of all his assigned games by the

Commissioner.

5.11.b) Any member who is suspended is prohibited from voting, serving as an Elected

Officer or Member-at-Large or on a committee, and working game assignments.

Any suspended member is not excused during his suspension from attending

meetings of the Association. Upon expiration of suspension, the member may

assume all privileges and positions previously held.

5.12) Any member has the right to appeal any action taken or any fine levied by the Executive

Committee. The appeal must be made to the President and communicated in writing to the

President and Secretary.

5.13) To be considered a member in Good Standing:

5.13.a) The member must not be delinquent on any dues, fines, or Association fees and

must have fulfilled all requirements set forth by VHSL.

5.13.b) Member must also not have had more than one occurrence of written

reprimand, probation, or suspension during the current or prior two seasons.

5.13.c) Members must have worked all assigned scrimmages and games unless excused

by the Commissioner.

Section 6 – Meetings & Voting Privileges

6.1) The Association will have a minimum of five scheduled General Membership meetings per

year

6.6.a) The President will be responsible for scheduling all meetings

6.6.b) The President will have the discretion to schedule additional meetings

6.6.c) Other activities (ex. clinics, tests, other) may be designated by the President to

satisfy the meeting minimum requirement

6.6.d) The final meeting agenda will include membership status voting and a Treasurer’s

report summarizing the current year’s activities and outlining the Annual Budget

for the following fiscal year

6.6.e) A quorum will consist of 20% of the Active members of the Association

6.3) Voting Privileges

6.3.a) Active members in Good Standing in the Association are entitled to one vote.

6.3.b) Trainee, Associate, Provisional, and Transfer members are not permitted to vote.

6.3.c) The President will have no vote except when the votes are equally divided .

Section 7 – Fees, Dues, and Assessments

7.1) The membership and fiscal year will be from July 1 of each year to June 30 of the

succeeding year.

7.2) Annual local Association dues must be paid by all members in accordance with the amount

established by the Executive Committee. Dues must be paid by deadline established by the

Executive Committee. A fine will be assessed if received after that date.

7.3) Annual dues for IAABO members will be paid in accordance with the amount established by

IAABO nationally and will be paid to the Commissioner as directed.

7.4) Annual dues for Inactive members will be paid in accordance with the amount established

by IAABO and the Association.

7.5) The Commissioner will receive compensation from each member defined as a percentage

of the game fees contracted.

7.6) Members will pay as directed any fines or assessments. Those members not paying their

dues, fines, or assessments on or before the due date will not be permitted to work any

assignments until all monies due are paid in full.

7.7) Each member will be required to work pre-season scrimmages. Assignments for

scrimmages will be as binding as regular season or tournament game assignments and the same

fines will apply for missed assignments.

7.8) No former member of this Association may be accepted back into the Association without

first paying any back dues or fines due this Association.

Section 8 – VHSL & Varsity Post-season Tournament Assignments

8.1) All members must pay the annual VHSL dues and pass the annual VHSL exam to be eligible

to work in a VHSL game. Any member who works a VHSL game and has not complied with VHSL

regulations will be fined by the Association. The member will also have to pay to the home

school any amount which the school may be fined for this infraction by the VHSL.

8.2) Must be an Active member in Good Standing and must have officiated a minimum of ten

(10) varsity games during the current season.

Section 9 – Order of Business

9.1) For membership meetings, the following order of business is used as a guideline:

1) Attendance

2) Rules / Mechanics / Training

3) Commissioner Report

4) Unfinished Business

5) New Business

6) Election of Officers/Members (final meeting)

7) Adjournment

Section 10 - Amendments to By-Laws

10.1) The procedure for amending the By-laws of the Association will be the same as that

outlined in Article VIII of the Constitution.

CVBOA Policies

Fees & Fines

1) By-laws – Section 5.5: Fine for not contacting official = ½ game fee

2) By-laws – Section 5.6: Fine for missed assigned will be an amount equal to the value of the

assignment missed

3) By-laws – Section 7

a. Commissioner compensation will be set at 8%

b. Annual member dues will be $40

i. $15 penalty if dues received after September 1st

c. Inactive member dues will be $0

4) By-laws – Section 8: Fine for working a VHSL game without complying with all VHSL

requirements will be $5 for each game infraction

Dress Code Policy

TO AND FROM REGULAR SEASON GAME SITES

1) Headwear: Should be of a business nature; Baseball (or other) style cap must not support a

high school, college, or professional sports team; No logo of a controversial design.

2) Top coat/jacket: Neat and clean in appearance.

3) Shirt/Blouse: Collar shirt, sweater, or turtle neck to include blouse for women.

4) Slacks: Casual dress slacks and dress or skirt for women. NO JEANS.

5) Footwear: Dress shoes with socks or panty hose for women. NO TENNIS SHOES.

6) EXCEPTION: Any assignment prior to 6:00 pm start you may travel to site in uniform with an

appropriate outer garment covering your CVBOA Jacket or stripes. Dress shoes are required.

Applicable when traveling from non-varsity to varsity site.

FOR TOURNAMENT ASSIGNMENTS

1) Pre-season/Mid-season: Same as above

2) Post-season: Suit or sport jacket with tie for men and business dress for women.

GAME UNIFORM

1) Jacket: CVBOA member jacket only.

2) Shirt/Trousers/Shoe: As prescribed by VHSL in Rule 2-1-6.

3) VHSL Logo: Required for ALL high school games, PUBLIC or PRIVATE, and worn as prescribed by

VHSL.
