THE FIRM CB-Emmanuel Realty LLC (CB-Emmanuel), a Queens-based property management and development firm, serves as an agent for positive change in the transformation of New York City communities. CB-Emmanuel offers the full scope and range of professional services needed to begin the process of revitalizing urban communities by offering the tools and resources needed to achieve tangible impact in social and economic development. The primary thrust of CB-Emmanuel business principles is entrenched in mobilizing and stimulating the growth and development of communities by securing, developing, and stabilizing properties in distressed areas for the betterment of the community and area residents. CB-Emmanuel believes the most significant sustainable mechanism to realize tangible impact in distressed neighborhoods and communities lies in securing large tracts of undeveloped property and building meaningful relationships with community partners (such as government agencies that aid residents with social service issues, local police precincts, youth organizations, etc.) to empower residents to maintain and build sites. Property Development The scope of our experience entails acquiring, renovating, rehabilitating, and constructing distressed properties in blighted neighborhoods in Harlem, Brooklyn, and the Bronx. In particular, we are equipped to aid non-profits in securing governmental financing from the New York City Department of Housing Preservation and Development (HPD), the New York State Division of Housing and Community Renewal (DHCR), and the U.S. Department of Housing and Urban Development (HUD) to create low and moderate-income housing. We are uniquely positioned to offer a full array of services that include: project management, developing management and development budgets, securing contractors, and closing construction and permanent financing. Property Management Our management services include, but are not limited to, marketing and leasing; fiscal management and budgeting; building and property maintenance; code enforcement; tax and insurance administration; contract administration; rent collection enforcement; rent regulation compliance, and all other services required to ensure a successful real estate asset. Our property management portfolio consists of scattered rental housing located throughout the Bronx, Manhattan, Brooklyn and Queens. We currently manage via our affiliate companies S. Richards and Shinda Management Corp. The entities oversee the property operations of privately-owned buildings, properties enrolled in HPD’s Article 7A program, and properties referred to court-appointed receivers that total approximately 6,000 units of housing. The majority of the properties in our portfolio are subject to DHCR’s rent regulations.

THE PARTNERS CB-Emmanuel is composed of two principals who, with a combined 25-years experience, have a proven and extensive track record in various areas of property management and development. The following offers a brief professional summary of the key principals and staff: Richard Christopher Bramwell, Jr. Principal Chris Bramwell, Jr. is a recognized management professional who specializes in stabilizing and rehabilitating distressed properties in the New York City area. As a principal of S. Richards, Inc. and President of Shinda Management, Inc. – which manages over 5,000 residential units in Queens, Brooklyn, and Manhattan -- Mr. Bramwell administers the day-to- day operations of numerous buildings that are a part of various city disposition programs. His current areas of responsibility include: • The daily operation of thirty residential and commercial properties ranging from two to

sixty units including rent controlled, rent stabilized, cooperative, multifamily and mixed-use developments.

• Instruct and supervise a management and maintenance staff of twenty. • Oversee preventive maintenance, capital improvements and staff training. • Work extensively with HPD through the 7A Administration Program overseeing renovation

for various 7A Projects in excessive of one million dollars, prepared repair plan and work schedules for in-place renovation.

• Responsible for relocating and relocation planning and for various HPD programs such as Neighborhood Redevelopment Program, Neighborhood Homes Program, and Third Party Transfer Program in preparation for gut rehabilitation.

• Involved in rent-up of numerous new construction developments. Chris obtained a Bachelor in Science in Business Administration from SUNY New Paltz in 1997. Benathan Upshaw, Principal Mr. Upshaw is a real estate executive that has been involved in structuring and closing over $500 million of housing projects. As the former Director of Finance for the New York City Housing Partnership (NYCHP) – one of New York City’s largest sponsor of residential housing—and former Director of Real Estate Development for HCCI (Harlem Congregations for Community Improvement, Inc.) he has been involved in the financing and developing of multi-family, single-family, condos, coops and mixed-use properties. His experience entails closing and/or developing projects in the following programs: Neighborhood Entrepreneur’s Program Neighborhood Redevelopment Program, Third Party Transfer Program, Anchor/Partnership Plaza, Cornerstone, Neighborhood Homes and New Homes, and DHCR’s Low-Income Housing Tax Credit Program and Homeless Housing Assistance Program. Ben received his Bachelor of Science from Canisius College in 1992 and his MS in Real Estate from NYU in 1996.
