For nearly 60 years, Cemafroid has conducted testing and calibration services in the areas of thermal, re-frigeration and metrology.

These services are intended for all professional users of thermal equipment and refrigeration: thermome-ters, temperature recorders, packaging, thermosta-tic chambers, semi-trailers, etc.

To achieve these services, Cemafroid has all new methods of testing and laboratories at the cutting edge of technology to perform tests on equipment of all sizes to reproduce the temperature cycles and thus meet the demands of all equipment users around the world. Our climate cells can produce any type of performance on a scale of temperature from -196°C

to +180°C.

To meet the challenges related to our business, our laboratories are accredited by COFRAC for testing and calibration services according to ISO 17025 and for Legal Metrology activities according to the LAB ML Ref repository 02 (scope available on www.cofrac.fr).

Our laboratories are also recognized by various national and international organizations like the UN, WHO, the French Ministries of Agriculture and Employment or the DIRRECTE.

• Testing tunnels and climatic chambers to reproduce all weather conditions

Cemafroid’s laboratories include 2 thermostatic tunnels in Cestas (33) that can accommodate large-scale equip-ment (semi-trailers, refrigerated wagons, etc.), as well as 7 tunnels and climate cells in the laboratories «André GAC» in Fresnes (94) that can accommodate any type of equipment (semi-trailers, refrigeration units, display cabinets, etc ...). The Fresnes tunnels take into account the most draconian environmental regulations with a cooling system that works with ammonia (NH3) and carbon dioxide (CO2), natural refrigerants that have little or no impact on the ozone layer and ont the greenhouse effect.

Cemafroid also has climatic cells for testing on smaller equipment such as small containers, refrigerators and freezers, packaging and all measuring instruments including temperature indicators. These cells and tunnels can satisfy any type of performance for a temperature range of -40 ° C to + 180 ° C.

ARTICLE 1 - GENERALCEMAFROID SASUnder these General Terms and Conditions and any other related document, “Cemafroid” refers to CE-MAFROID SAS, a simplified joint stock company sub-sidiary of TECNEA SAS, Cemafroid Group’s holding company.

1.1. ScopeThese General Terms and Conditions of Sale apply to services of certification, expertise, calibration and testing performed by Cemafroid and designated in a certification contract or an offer of expertise, testing or calibration of which they are considered to form an in-tegral part, or to any other service defined by contract.These General Terms and Conditions prevail over those of the Customer, notwithstanding any clause to the contrary that may be included in the Customer’s General Terms and Conditions, its purchase orders or letters, its specifications or forms, regardless of the time at which such contrary provisions may have been brought to the attention of CEMAFROID.The General Terms and Conditions may be supple-mented by specific conditions which are applicable to a particular type of business.When the services ordered do not have a rate publi-shed by CEMAFROID in a catalogue or on the Inter-net, these services are agreed upon under a simpli-fied contract taking the form of an accepted quote, or otherwise automatically completed, as of right, by these General Terms and Conditions for all non-contrary pro-visions included in said contract.

1.2. Definition of Services Performed by CemafroidCemafroid activities involve the performance of testing, calibration, expertise, audit and certification services, the contents and procedures of which are included in a certification, expertise, calibration and testing contract, or in any other equivalent document which defines the requested service. Any change in the nature or scope of the services shall be subject to an amendment.

1.3. DerogationAny derogation to these General Terms and Conditions or to a statement therein shall, in order to be binding between the Customer and CEMAFROID, on one hand, have been expressed in a special, formal and written clause at the time of order and in the order itself, and on the other hand, have been accepted in writing by the Customer and CEMAFROID.CEMAFROID failing to exercise its right in relation to one of the provisions in these General Terms and Conditions during performance of the order, shall not be interpreted, even implicitly, as constituting a novation with respect to the contractual relationship, or a waiver by CEMAFROID of any of its rights under these Gene-ral Terms and Conditions.

ARTICLE 2 - PROPOSALS - ORDERS - CHANGES2.1. Offers - Orders All CEMAFROID offers and quotes are valid two mon-ths from the date on which they were established, un-less otherwise provided for in the price offer, contract, or quote. The quote, certification contract, or offer of expertise, established on the basis of information supplied by the Customer, shall specify the amount owed to Cemafroid for their services.Cemafroid reserves the right to change the prices of its services, if the information communicated by the Cus-tomer is found to be false and/or incomplete.Except otherwise specified in the contracts, quotes, and service offers, travel and accommodation ex-penses shall be charged in addition to services on a flat-rate basis.Prices given to the Customer cover all stages leading to completion of the service. Completion of a service

comprises the submission of a testing, calibration, ex-pertise, or audit report, or the notification of a decision to hold, suspend, renew or withdraw a certification or authorization issued to the Customer. Prices are set in accordance with the annual rates applicable on submis-sion of the offer, and Cemafroid reserves the right to increase the prices during the Customer’s certification period or in the course of a multi-year contract. A copy of current rates is available from Cemafroid upon request.The amounts of services and expenses indicated do not include taxes, these being charged at the applicable rate.Orders shall be considered to be accepted by CE-MAFROID only after the purchase order, contract, or price offer, accepted and duly signed by the Customer, has been returned.The order shall be firm and final between the Customer and CEMAFROID on the date of the last signature of the quote, contract or order by CEMAFROID and the Customer. When an order is placed by a foreign customer via a French agent or representative, the latter is required, jointly and severally with the ordering party, to fulfil the obligations resulting therefrom with respect to these General Terms and Conditions, including the Cus-tomer’s obligations arising from a certification or autho-risation governed by rules or by law.No purchase order can constitute a fixed-priced contract. If CEMAFROID is operating in the context of a subcontracting agreement to the Customer’s benefit, the conditions imposed on the Customer in this context by the specifications he has underwritten shall neither be applicable by, nor enforced against, CEMAFROID.Unless specifically noted otherwise by the Customer in the special terms and conditions of order, CEMAFROID shall decide upon the conditions of storage of goods, products or samples entrusted by the Customer to CE-MAFROID for the performance of its service.Any timeframe or order agreed upon between CE-MAFROID and the Customer shall supersede all docu-ments and correspondence pertaining to a subject simi-lar to the quote or order accepted, and established prior to the date on which the order became firm and final.

2.2. Additional Supplies and ServicesThe supplies associated with the ordered product shall be included in the order only if they have been explicitly mentioned in the description of the order.Any service or supply in addition to an order shall be subject to a new offer and a new written order, without the Customer being required to automatically carry over the conditions of the previous order.If the Customer requests a change to one of the ser-vices ordered and/or performed by CEMAFROID, for the change to be implemented, a quote will first have to be established by CEMAFROID and accepted by the Customer; this quote shall specify the description of the contemplated change as well as the new prices and timeframes and other conditions.

2.3. Conditions which may dictate acceptance of an orderCEMAFROID reserves the right to make its acceptance of the order conditional on prior payment of a deposit or of the full price of the service. In addition, each order CEMAFROID agrees to perform is accepted in consideration of the fact that the Cus-tomer offers adequate financial guarantees and that he will actually pay the amounts when they are due. If CEMAFROID has serious or particular reasons to fear payment difficulties on the part of the Customer on or after the order date, or if the Customer does not offer the same financial guarantees as on the date of acceptance of the order (for instance, if the Customer’s legal status changes, or if all or part of the Customer’s assets are under business-lease, or all or part of its as-sets have been transferred) CEMAFROID may make its acceptance of the order or continuation of its perfor-mance conditional on an advance payment or on the

supply by the Customer of a payment guarantee to the benefit of CEMAFROID (guarantee deposit…).

ARTICLE 3 - CHARACTERISTICS OF THE SERVICE – CUSTOMER’S OBLIGA-TIONS3.1. Characteristics of the Service3.1.1. When an order has been concluded, CE-MAFROID always performs it under the statutory sche-me of a service contract for all provisions which are not contrary to those included hereunder or in the firm and final order.The obligation of CEMAFROID is limited to performing the service properly, using all due care to perform ac-cording to standard industry practice but on the sole basis of the information supplied by the Customer. CEMAFROID only has a best-efforts obligation, and shall give no guarantee whatsoever as to the result, commercial or otherwise, which could be obtained through use of the information contained in these works.Therefore, CEMAFROID shall not be blamed for results which do not meet the Customer’s expectations, pro-vided these results comply with the above-mentioned standards.In any event, the documents issued by CEMAFROID cannot under any circumstances constitute authorisa-tion of the tested good, or anything equivalent. Likewise, a test report cannot under any circumstances constitute or imply approval of the product tested by the accreditation body or any other body.Likewise, neither may the positive result of the tests constitute, even implicitly, any guarantee the good for which the service was performed will operate to full sa-tisfaction.3.1.2. The Customer is solely responsible for selecting the works ordered, their destination, the ways in which he can or will use them, and especially, the ways in which a Customer’s contractor could use them. Therefore, it is the Customer’s personal responsibility to ensure, prior to ordering the works, that the works ordered are suitable for the use the Customer intends to make of these works.

3.2. Obligations of the CustomerThe Customer agrees to provide CEMAFROID, without CEMAFROID having to take the initiative for it, with any information required for CEMAFROID to properly per-form the services.The Customer agrees to give CEMAFROID only the goods, products, samples and documents (models, drawings, specifications…), and information that the Customer is free to use and that may not in any way infringe upon the right of a third party or contain rights belonging to third parties, which the Customer is not freely or explicitly allowed to use. The Customer shall therefore absolve CEMAFROID in connection with any financial consequences to which CEMAFROID could be exposed in relation to any action or claim against CEMAFROID, from a third party who holds, or claims to have an intellectual property right to a good, a do-cument, or information submitted by the Customer to CEMAFROID, whether CEMAFROID has used it or not in the performance of its service.The Customer agrees to strictly abide by the rules de-fined by Cemafroid in relation to the services involved (certification rules, authorization reference document, rule on the use of trademarks) or regulation on the use of certificates and the use of trademarks and logos conceded as part of these services.In order for Cemafroid to be in conformity with the ap-plicable Health and Security legislation, the Customer shall provide Cemafroid with all available details re-garding the known, actual or potential risks or hazards which may be encountered by Cemafroid personnel during their visits to the Customer or when using equip-ment supplied by the Customer for inspection or exper-tise testing purposes. The Customer agrees to meet, during the Contract’s

validity period, all the requirements normally necessary to perform the service, including any and all laws, po-licies, regulations, all recommendations, all codes and policies according to which, or in relation to which the service is being performed, or all other normal requi-rements of Cemafroid which are necessary for issuing or maintaining a certification or for conducting an ex-pertise. If the Customer wishes to be present at the CE-MAFROID premises to attend the tests, studies or expertise to which its goods, products or samples are subjected, the Customer shall request permission from Cemafroid and, if granted, shall abide by the safety and confidentiality rules and the internal policy applicable at CEMAFROID.In case CEMAFROID performs onsite work on the Customer’s premises, the Customer shall make all the necessary arrangements, throughout the CEMAFROID operation, to ensure that the latter is able to carry out its work (access to the premises, documentation, availa-bility of safety equipment or personal protective equip-ment, capacity for electrical/other connections required to perform testing or expertise). In this context, the Customer shall guarantee, under its sole responsibility, without CEMAFROID first having to ensure compliance of the facilities, that all facilities which CEMAFROID is likely to use meet the applicable standards, are in good operating condition and are able to power the measuring and testing equipment neces-sary for carrying out its services.Throughout the period of CEMAFROID’s presence onsite, the Customer shall give CEMAFROID permis-sion to store its measuring and testing equipment in the Customer’s premises.The Customer shall guard the equipment throughout the period during which CEMAFROID is not actually using them to perform its service and shall take res-ponsibility accordingly, throughout this period, for any loss, theft or destruction which may not be formally at-tributable to CEMAFROID itself.On the date of completion of CEMAFROID’ work the latter shall take back the said equipment stored on the site.The goods, products and samples under test or exper-tise shall be taken back by the Customer as soon as the latter has been informed of the service being com-pleted. If the time limit of eight days has elapsed and the asset was not taken back, storage of the asset by CEMAFROID shall result in billing, the charge being calculated per day of storage until the date the good is taken back by the Customer. Destruction of any goods, products or samples performed on the Customer’s re-quest or after a one-year lapse may result in billing.The samples submitted to CEMAFROID for perfor-mance of the service are considered to have no com-mercial value.Unless otherwise required by law or agreed in the spe-cial terms of the order, the received samples shall not be kept by CEMAFROID beyond the work submission deadline. The Customer shall not be able to claim da-mages for non-storage or destruction of these samples by CEMAFROID after the work submission deadline.

ARTICLE 4 - DELIVERY- USE OF THE SUBMITTED INFORMATION 4.1. Delivery4.1.1. All services shall be performed within a reaso-nable timeframe.When specified, the timeframe is for reference only.The commencement of the service and the timeframes shall not take effect until all the following conditions have been jointly met:- a firm and final order,- the Customer providing all information re-quired to perform the service, - either the full price or the down-payment being actually received at the time of order, unless the Customer is exempt from making these payments.The time limits for carrying out the work shall be au-

tomatically extended, as of right, if the Customer has made changes to its original application, and if there is a period of waiting for the supply of additional informa-tion required to properly perform the work, in the event of circumstances beyond the control of CEMAFROID, even if they do not amount to a force majeure situation, or, more generally, of any situation whose cause is attri-butable to the Customer.Performance of the work shall also be automatically suspended if an amount owed by the Customer fails to be paid when due.In no event shall a delay in delivery of the works consti-tute authorization for the Customer to cancel or termi-nate the agreed order or any other existing contracts, claim damages or penalties, or to delay or postpone payments on the agreed due dates.4.1.2. Delivery consists in either personally handing over to the Customer, or sending him by post, the re-ports, certificates, studies, documents and other mate-rials to the address specified in the call for testing.CEMAFROID may perform the delivery either in one batch or in staged fractions. In any event, delivery can be made only if the Customer is up-to-date with its obli-gations to CEMAFROID, for whatever reason.

4.2. InformationThe information contained in the documents handed to the Customer as part of the delivery may be used by the Customer only after full payment of the service in principal and penalties, and only for the Customer’s internal needs or those specifically expressed by the Customer in the order.Only the original documents and the certified true co-pies submitted by CEMAFROID are deemed authentic for third parties. These documents shall not be modified or altered in any way once submitted.In any event, regarding its relationships with third par-ties in connection with the results subject of, or arising from, the services performed by CEMAFROID, the Customer agrees to use the results only in a fair man-ner and in compliance with the applicable regulation. In this context, the Customer shall namely refrain from making partial use of these results in a way which might deceive the third party as to the authenticity, contents and scope of the results.The Customer shall, in any event, be personally res-ponsible for any legal proceedings carried out by a third party against him concerning the information communi-cated by the Customer to the third party; CEMAFROID cannot not be held responsible for the information com-municated by the Customer to the third party.The Customer is only allowed to reproduce in their en-tirety the reports or certificates issued by Cemafroid on completion of its service. Failing that, the Customer is allowed to publish excerpts of the reports drawn up by Cemafroid only when the name Cemafroid does not appear or when the Customer has been granted prior explicitly written permission from Cemafroid. Any reference to CEMAFROID or any use of the name CEMAFROID by the Customer for services rendered by CEMAFROID is prohibited, except if previously and explicitly authorised in writing by CEMAFROID.Cemafroid reserves the right to lodge a claim in case of a disclosure in violation of this clause and at the sole discretion of Cemafroid. Any failure by the Customer to comply with this obliga-tion shall make the Customer liable to the payment of damages to the benefit of CEMAFROID.

4.3. Intellectual Property In any event and notwithstanding payment of the or-der and the right to use the information as specified in 4.2.1., it is explicitly agreed that CEMAFROID shall retain full intellectual ownership of its drawings, de-signs, preliminary drafts, sketches, layouts, models and procedures. The Customer in possession of these drawings, de-signs, procedures and other documents describing the services performed does not hold, by virtue of the order, any of the rights provided for by the law of 11 March 1957 amended.

In particular, the Customer shall thus refrain from repro-ducing or publishing or disclosing the work without the written consent of CEMAFROID.The Customer is not allowed to publish details re-garding the manner in which Cemafroid achieves, conducts or performs its testing, calibration, expertise or certification operations.In addition, the Customer shall take all necessary pre-cautions to ensure protection of CEMAFROID’s intel-lectual property rights.

ARTICLE 5 - PRICES – PAYMENT TERMS5.1. Prices5.1.1. The prices shown on the order are exclusive of tax. The taxes applicable on the date of delivery are added to the price, whatever the amount of VAT men-tioned in the order.The price is the compensation for the provision of the service. It includes labour, use of CEMAFROID equip-ment, and the consumables required for carrying out the services.If the work is carried out on the Customer’s premises, the price includes neither the cost of any accessory or related works to be carried out on the site prior to or during the performance of the service, nor the waiting, accommodation and travel expenses of CEMAFROID personnel if the duration of the onsite work has been postponed or extended due to circumstances beyond CEMAFROID’s control.5.1.2. If the time-limit originally set for performance of the service is abnormally extended for a reason which is not attributable to CEMAFROID, the latter shall re-ceive compensation for the additional expenses it has incurred as a result (this includes resuming the procedure after it has been deferred by the Customer, or delays, inadequacies or failures on the part of the Customer or its companies). In addition, if the service is delayed, the remuneration shall be paid for the work performed when resuming the service at a later date, the remuneration already paid shall be considered as a down-payment and shall be deducted from the overall remuneration on the value of the works on the date of their performance.In addition, should the service be interrupted for a reason which is not attributable to CEMAFROID, the price shall be automatically set in proportion with the progress of the work performed by CEMAFROID, in-creased by an allowance set to 10 % of the part of the remuneration which would have been paid to CE-MAFROID if the mission had not been interrupted, and in any event, with a minimum of 10 % of the order’s va-lue exclusive of tax, which, for testing units, shall never be less than €1,000 excl. tax.

5.2. Payment5.2.1. Payment of invoices shall be made to the CE-MAFROID corporate office.5.2.2. Payment of any order shall be made as follows:- if the price for the service is less than or equal to €5,000 exclusive of tax: cash on the date of conclusion of the order, upon presentation of the corresponding invoice- if the amount of the order is more than €5,000 exclu-sive of tax: 30% down-payment due within eight days from the date on which the order became firm and final, and the balance on the date of delivery of the works, up to the thirtieth day following the date of issue of the corresponding invoice.The Customer shall not be entitled to a discount if pay-ment is made in anticipation of its due date.The Customer shall not invoke any dispute for refusing, deferring or postponing the payment of undisputed invoices. In addition, if the dispute only relates to one item on an invoice, the Customer shall pay the undis-puted part of the invoice when due and the disputed part, either after a mutual agreement has been reached between CEMAFROID and the Customer, or on the date of the court decision.

In addition, no claim shall have the purpose or the ef-fect of allowing the Customer to retain any material or any other item in its possession which belongs to CE-MAFROID.5.2.3. Any amount owed by the Customer and not paid when due shall automatically, without notice or forma-lity, result in:- acceleration of all due payments relating to the order and other existing contracts, which shall be due and payable immediately, even though payment terms were originally agreed upon,- late penalties at the rate of .03 % per day of delay on the unpaid amount excluding tax until full payment of the sums owed, in principal and penalties, without the penalty, as provided by Article L. 441-6 of the French commercial code, being both less than one and a half times the legal interest rate and less than the interest rate applied by the European Central Bank to its most recent refinancing operation, plus an increment of 7 percentage points, - a lump sum penalty at the rate of 40 euros per unpaid bill, this amount is likely to be increased if CEMAFROID justifies that the costs incurred in the recovery exceeds the incurred amount of the late penalty,- a late penalty at the annual rate of 15% on the gross unpaid amount until the full payment of the sum owned, in principal and penalties, without the penalty, as provi-ded by Article L. 441-6 of the French commercial code, being both less than three times the legal rate of inte-rest.- the possibility for CEMAFROID to withhold execution of the order and existing contracts until the sums owed have been fully paid, and/or the possibility for CE-MAFROID to automatically, without notice or formality, terminate the contract for which a sum owed was not paid when due, for the portion of the work which has not yet been performed, by simply sending a registered letter with acknowledgement of receipt to the Customer.5.2.4. In case of direct debit refusal, Cemafroid will re-quire a standard payment rate of 30 €

ARTICLE 6 - GENERAL PROVISIONS 6.1. Claims - Proceedings6.1.1. Under penalty of foreclosure, all claims lodged by the Customer shall be sent to CEMAFROID in writing, by registered letter with acknowledgement of receipt, no later than: - eight days from the date of issue of the invoice in question in regard to information contained in the in-voices,- ten days from the date of delivery in regard to the contents of the studies and the test results.- in the specific case of a certification or authorization, in accordance with the rules of review defined by certifi-cation rules, authorization policies, or regulations. 6.1.2. It is expressly agreed that in order to be admis-sible, any legal action by the Customer, of whatever kind and legal foundation, shall be initiated within twelve months from the date of the operative event on which the action is based.

6.2. Insurance - Liability 6.2.1. CEMAFROID agrees to take out, for the dura-tion of the contract in progress with the Customer, a general and professional liability insurance policy. The Customer may at any time ask CEMAFROID to show the insurance certificate justifying the amounts of gua-rantees and deductibles.6.2.2. CEMAFROID is liable to the Customer only for damage suffered directly through its fault by the Cus-tomer, with the understanding that this fault must be serious and that proof of its existence must be clearly established on an inter partes basis.Except in cases of wilful negligence or deliberate ma-lice on the part of Cemafroid or its subcontractors, Ce-mafroid shall not be held responsible for any loss or damage suffered by any person and arising from any omission or error, of any kind or origin whatsoever, du-ring the performance of testing, calibration, expertise,

audit, certification operations or any other provision of services.Cemafroid shall not be held responsible in any way for indirect damage suffered by the Customer as a result of the performance of the services. “Indirect damage” means any indirect or consequential loss, loss of pro-duction, loss of profit, loss of income, loss of contract, loss of customers, loss of use, or liability under other contracts.The Customer shall hold Cemafroid harmless against any judgment pronounced against him, on grounds of any claims for compensation, legal proceedings, claims, costs, expenses, and harm of any kind resulting from the Customer’s misuse of a certificate, authoriza-tion, or mark of compliance issued by Cemafroid. In addition, under penalty of foreclosure, any damage attributed by the Customer to CEMAFROID shall be no-tified to the latter by registered letter with acknowledge-ment of receipt within three days after it was revealed.However, should CEMAFROID’s liability be neverthe-less retained, its obligations to the Customer for da-mages, losses, costs, expenses, and other harm suf-fered shall not, under any circumstances, exceed the maximum amount of the costs charged by Cemafroid in connection with the service at issue, or the amount of the indemnity paid out by CEMAFROID’s insurer to CEMAFROID, save for personal injury solely attribu-table to CEMAFROID, for which CEMAFROID shall be required to respond in conformity with common law.In particular, CEMAFROID shall not in any way be res-ponsible for:- damages to products still stored within its enclosure, beyond the time-limit set by CEMAFROID for the Cus-tomer to take back its products;- damages due to the Customer failing to fulfil its obli-gations;- defects and degradation of the good entrusted by the Customer and caused by natural wear or an external factor (including bad weather), or by a specific aspect of the product either unforeseen or not specified by the Customer,- degradation suffered by the goods under test and in-duced by these goods;- delays in the performance of the services due to cir-cumstances beyond CEMAFROID’s control.- indirect damage, even if CEMAFROID was informed that such damage could possibly occur;- intangible collateral damage such as loss of control, loss of earnings, and in general, any business distur-bance or consequence of any third-party action against the Customer.6.2.3. Evaluation of the costs of repair or reimburse-ment of a good, product, or sample undergoing an expertise or tests which are inherently non-destructive shall be determined as follows: a) for prototypes, by referring to the cost of reconstruc-tion in the original form as determined by the amount excluding tax of only those invoices which relate to the purchase of parts and materials, the production of components, and the assembly; study and design costs shall not be taken into account,b) for other goods, by referring to the market value, as determined by experts if the parties fail to agree on the amount of this value.6.2.4. Should the Customer deem the limits of gua-rantee to be insufficient, the Customer shall be perso-nally responsible for taking out any insurance contract he deems appropriate.

6.3. Confidentiality6.3.1. Except as required by law, and subject to 6.3.2., information brought by one party to the attention of the other party is confidential for the party which receives it and shall be disclosed by the latter only in connection with needs which are strictly confined to performance of the order.Notwithstanding the above, for information specified by the Customer to be confidential, CEMAFROID shall be released from any obligation of confidentiality, either from the date on which said information will have been subsequently made public due to an event not attribu-

table to CEMAFROID, or in the event the parties reach an agreement allowing their disclosure, or if disclosure is required by a government agency as part of a lawful procedure, or as part of a legal action initiated by the recipient party against the other party.6.3.2. CEMAFROID shall not communicate the results of its services to a third party, except in the form of documents respecting the Customer’s anonymity or otherwise, with the prior written permission of the Cus-tomer.

6.4. Invalidity of a ClauseAny provision in these General Terms and Conditions or in the orders contracted between CEMAFROID and the Customer which would prove unlawful, void, or unenfor-ceable by any court or authority whatsoever, shall not affect enforceability of the remaining provisions in the General Terms and Conditions or the orders, which will remain in full force and effect.

ARTICLE 7 - APPLICABLE LAW - DIS-PUTEThese General Terms and Conditions, and the orders contracted between the Customer and CEMAFROID are governed by French law, irrespective of the Cus-tomer’s nationality, the place of performance of the ser-vice, or the place of payment.Any dispute over the interpretation, performance, or consequences of these General Terms and Conditions and the orders contracted between CEMAFROID and the Customer shall be brought before the relevant court in whose jurisdiction the CEMAFROID corporate office is located, notwithstanding third-party complaints or multiple defendants.
