a. Please refer to the Director’s Report at the end of these minutes. b. Chelsey commented that she is very glad and grateful to see that the blank wall in the Carousel

will be utilized, but hopes it can be interactive in the future (ex: donation tracking meter). c. Scott commented that he envisions remodeling to extend that blank wall and create more space

for the Carousel house in the future. 6. President’s Report: Charles Wood

a. Please refer to the President’s Report at the end of these minutes. b. Charles introduced Carol Rowe, new board member applicant (see further down in minutes).

Carol has been involved with the Carousel for a fairly long time and would now like to join the board. Carol has background in Communications and can help pump up publicity. She also has experience with fundraising.

i. Scott Harrison put in kudos for Carol’s professional experience and previous work with Carousel of Happiness, Inc.

7. Secretary’s Report: Chelsey Havill a. Please refer to Chelsey Havill’s letter of resignation at the end of these minutes. b. Chelsey Havill regrets to inform the board that she will resign after completing the board

minutes for this meeting, and facilitating the vote to approve them. Please refer to her letter of resignation for details.

i. Chelsey will ensure that the new Secretary is fully trained. ii. Chelsey volunteered to continue light maintenance on the Carousel website, and

uploading the board meeting minutes whenever needed. 8. Treasurer’s Report: Tehri Parker

a. Please refer to the financial report documents at the end of these minutes. b. Discussion:

i. Charles asked when the 990 is due. 1. Katrina confirmed that the 990 is due in August. She will arrange a meeting with

our accountant, Eugene, after the upcoming meeting with SCFD. ii. Charles asked about our current net revenue. Katrina confirmed that we owe more than

what we currently have cash for, however our bank balance is sufficient to pay what is currently due (first installment) on our credit card bill. The credit card charges (for gift shop merchandise) are budgeted to be paid off in installments between now and December, as revenue is generated from merchandise sales.

iii. Chelsey asked Katrina about the new t-shirt design. Katrina worked with a local artist to develop a new design for the Carousel t-shirt lines. The lovely design was well received by the board.

9. Mechanical Report: Katrina Harms a. Teresa will soon take over the mechanical reports. b. Two new Carousel techs, Rocky and Paul, were recently hired. c. The deer was recently repaired.

a. Please refer to Carol Rowe’s board application, resume, and recommendation letter from Ellen Moore at the end of these minutes.

b. Carol Rowe applied for Carousel of Happiness, Inc. board membership. She introduced herself and gave an overview of her background in Communications and experience with fundraising. Carol has worked with the Carousel as a volunteer for many years. She loves the Carousel and wants to help more deeply with board work.

c. Discussion: i. Cathy asked if Carol is available to meet on Mondays. Carol confirmed that she is. ii. Chelsey and Scott advocated for Carol and discussed their previous work with her as a

Carousel volunteer. iii. Nick asked if Carol had previous board experience. Carol has not served on a non-profit

board, but she has experience fundraising through her work with CU Boulder. At CU she worked under an advisory board. Her experience dealt in working collaboratively with stakeholders.

iv. Charles asked if Carol had any new publicity ideas. Carol said she would look at applying some of the publicity techniques and strategies she has used previously to the Carousel.

d. Since Chelsey Havill is resigning from the board and the board will be without a secretary, Charles recommended that we move forward with Carol’s application. The board agreed unanimously.

e. Charles nominated Carol Rowe to join Carousel of Happiness, Inc. board of directors. The motion was seconded by Bette Rittinger. COMMENTS: Chelsey commented on her experience working with Carol and recommended her to fill the soon-to-be vacant role of Secretary. Charles commented that Carol’s work in fundraising with CU Boulder could help Carousel of Happiness tremendously. He highly recommended that we accept Carol for board membership.

of directors once Chelsey Havill has resigned. The motion was seconded by Cathy Grace. COMMENTS: Chelsey highly recommends Carol Rowe for this position.

12. Integrity Arts update: Kathy Kuscan a. Kathy gave her praises for the organization and let the board know she will present a report at

the next meeting. She will have a lot of recommendations to offer. b. Kathy passed out a board self-assessment to each board member and asked that they fill out as

soon as possible and mail back to her. c. Kathy reminded the board that she feels we are the type of organization SCFD is looking for, we

just need adjustment and alignment in certain areas. 13. Tehri Parker made a motion to adjourn the meeting. The motion was seconded by Nick Morgan.

COH President’s Report – June 19, 2017 SCFD Visit– As most of you know, we have arranged to meet with Jessica Kato, Assistant Director, Tuesday July 11; 9:00 – noon, at SCFD offices at 899 Logan Street, Denver, CO 80203. This will be a good opportunity for us to better understand what SCFD expectations are for us to become eligible for future funding. As a reminder, SCFD has a two step process for applicants. Applicants must first be accepted for eligibility; once accepted, they may then make specific funding requests. So, the whole process to actual SCFD funds may take awhile; but just being accepted for SCFD eligibility is a great credential that can be used with other major funders. So this is a great opportunity for us to learn and make ourselves known to this important source of potential funds. Integrity Arts- Kathy Kucsan, our consultant, will be joining us in the SCFD visit, and is preparing to present her findings to the board in the July meeting. Board Application- Carol Rowe has submitted her application to the COH board. Carol has a Masters in Journalism from the CU Boulder, and extensive experience in public information, including 8 years as a staff writer for the Boulder Daily Camera and 5 years as Director of Communications for the CU College of Engineering and Applied Sciences. She envisions helping COH generate positive media coverage to generate greater awareness, visitation and support for COH. Carol is a longtime COH supporter/volunteer, currently on the board’s Marketing/Publicity committee. Chelsey – After long and difficult consideration, Chelsey Havil announced her intention to resign from the COH board to focus on her new business and family responsibilities. Great appreciation to Chelsey for her excellent quality work as Secretary of the COH and her long time service as a COH volunteer. She will be missed, but hopefully not for too long!

I have truly enjoyed working with each and every board member and volunteer that I have encountered through this organization. The Carousel of Happiness holds a very special place in my heart, and always will. This is why I regret to inform you that I will be resigning from the board after completing my duties following the board meeting on Monday, June 19th, 2017. With the purchase of The Business Connection, some personal issues, the aging and health complications of my best friend and dog companion Shanti, and respect to my marriage to Mike and adjusting to our lives as newlyweds and business owners- I have not had adequate time to care for myself and tend to my own needs. I feel (and hope) I am leaving the board in a strong position to move forward without me. I will make myself available as much as possible to train the new Secretary. I would also like to extend an offer to continue uploading the minutes to the website monthly, if the back-end of the website is confusing to the new Secretary. I have known Carol, her children, her work at CU-Boulder and as a volunteer journalismprofessional abroad as well as her work at the Daily Camera and in the CU-B School ofengineering. I am so impressed by Carol in so many ways, this letter might go to many pages.

GOALS of the event: *money *audience expansion *fun

IDEAS for structure: We agreed that we like the Black Tie *Ned style idea: good to have consistency and predictability from year to year. Bette proposed the idea of a pajama party rather than black-tie, but we thought on the whole, black-tie would be better. We like Katrina’s idea of having a special honoree for the event: happiest person in Ned (or some variation); perhaps people nominate and vote? Or a committee decides? Special plaque or something to honoree. AND we agree with Katrina that having a different and strong THEME each year will add interest and keep things fresh -- and be fun! Scott’s idea: the animals are happily tired from a busy summer, are now ready to celebrate and recharge; George could make us a terrific poster (or did I make that up?)

FOOD AND DRINK: cost $10-12 per person w/ local caterer (Kim Culver) INVITATIONS: discussion of how to do this: hand-written invitations to our most generous donors (and perhaps free ticket(s) for them?, but perhaps not, as they know it’s a fund-raiser for us)? Each board member to think of people they particularly want to invite. We also want to welcome the public. Possibly list in Daily Camera events? But capacity is only about 175, so we’d only want to take reservations up to 200 or so. Publicize in advance at the Carousel to capture regular riders from “down the hill” (many/most of whom are not on our donor lists); posters and flyers around Ned and to board members to distribute. **Katrina will print out list of our top donors for board meeting 6/19 SPONSORSHIP/UNDERWRITING: bold new idea! Board members and others could sponsor/gather a “table” (probably virtual, rather than physical); could have different $$ levels (gold, silver, platinum or mouse, rabbit, moose). AND/OR: check into UNDERWRITING: one or more major underwriters to cover the expenses ($2600-4500) of the event so that we realize

A couple of considerations: tickets were included with our Business Promo packages last year, but other than that, we gave away few free tickets. Tickets were priced lower than the year before. SILENT AUCTION: Agreed we need to pump this up, include an online component. Ned PTA made $20K with theirs! Begin with committee of Scott, Charles and Bette. We have lots of posters of different carousels -- good draw for online auction for carousel enthusiasts who may not even be familiar with CoH. **Katrina will have photos taken of those posters so we can post online **Katrina will contact Jenny at NMSHS for info/advice on Silent Auction software, etc. **Cathy will check notes from Colo NonProfit Assn session on Silent Auctions ENTERTAINMENT: background music, to enhance the ambiance. Last year Bill Ikler trio (? not the full Gael group, right?) (they charged -- couple hundred?); year before Bonnie and Max (free). How about Jon Ridnell? Probably would charge a couple hundred **Katrina will check Jon’s availability and charge Darryl Purpose? LOVES the carousel, wouldn’t charge us, but we wouldn’t want him as background music: that would be an actual concert. Maybe we invite him to come and play his Carousel Song in addition to whatever other musician(s) we have.
