I-03 Diamond District, Kodihalli Bangalore 560008, India Dear Sir, I/We wish to register for allotment of a Apartment in your Phase 1 hereinafter referred to as CODENAME BCD North Star in the larger residential project namely BCD Heaven Valley at Shetigere Village, North Bangalore admeasuring about Sixteen (16) acres of larger portion of land under the Down payment Plan / Construction Linked Plan (Tick One). Ltd. in writing and shall be subject to the terms and conditions of allotment stipulated by Bhandari Construction and Developers Pvt. Ltd. having Administrative Office at I-03 Diamond District, Kodihalli Bangalore 560008, India herein-after referred to as Developer

    And the applicant herein after jointly / severally referred to as Proposed Apartment Buyer (S) or Applicant. The expressions Developers and Proposed Apartment Buyer (S)/Applicant shall unless be repugnant to the context or meaning thereof, be deemed to include their respective heirs, executors, administrators, legal representatives, successors and assigns. And whereas the Proposed Apartment Buyer (s) has confirmed to the Developer that he has purchased the Said Apartment after clearly reading, understanding and agreeing to all the terms and conditions, rights, duties, responsibilities and obligations under each and every clause this Application Form. In the event of the developer accepting my/our Application to provisionally allot the Said Apartment, I/We agree to pay all further installments of the sale consideration and all other amount (s) / charge(s) / levy(s) / due(s) as stipulated in the payment plan communicated subsequently (the charges/dues etc. communicated with this application are tentative only and may be altered at the time of execution of the Agreement of Sale for undivided share of land and Construction Agreement and other documents required by Developer. I/we agree to execute all the documents in the standard format provided by the Developer as and when necessary for the allotment of the Said Apartment in the upcoming project CODENAME BCD North Star in the larger residential project namely BCD HEAVEN VALLEY and shall strictly adhere to all the terms and conditions stipulated by the Developer from time to time. I/we agree that the allotment and subsequent allotment of the Said Apartment is at the sole discretion of the Developer. In case the said Apartment is not allotted to me/us for any reason whatsoever, I/we shall not raise any objection or claim damages or challenge the same in the court of law and the amount (s) paid herein shall be refundable to me/us with 8 % interest p.a interest within 30 (Thirty) days from the date of notice regarding rejection of my/our Application. I/we agree to execute any/all the document (s) / agreement (s) etc. as may be required by the Developer within 30 (thirty) days within 30 days from date of approval of Building sanction plan and accordingly make payments thereof.

    TERMS AND CONDITIONS

    1. And Whereas the proposed Apartment Buyer (s) has confirmed to the Developer that the Proposed Apartment Buyer (s) is/are sufficiently acquainted with the laws, rules, notifications, etc. in general and applicable to the Said Project in particular and has perused all the documents and has satisfied himself fully and understands the authority of the Developer to construct, allot, lease, transfer the rights, title and interest in the Said project.

    2. And Whereas the proposed Apartment Buyer (s) acknowledges that he has verified and satisfied

    himself about the project and not unduly relied on/upon brochures, advertisements, representations, warranties, statements or estimates of whatsoever nature, weather written or oral made by the Developer, its selling agents, brokers, employees or otherwise. The proposed Apartment Buyer (s) acknowledges and confirms that the developer has provided all the information and clarification as required by him and satisfied himself in all respects and that he has made the decision independent of any representations or statements of any nature whatsoever made by the Developer.

    3. And Whereas the Developer relying on the undertakings, confirmations and representations

    made by the proposed Apartment Buyer (s) to abide by all the terms and conditions and stipulations contained in this Application Form, has accepted in good faith his/her Application to provisionally allot the Said Apartment.

    4. I/We further understand and agree that the actual terms and conditions contained in the Agreement of Sale for undivided share of land and Construction Agreement would be comprehensive and elaborate. I/We further agree that the Company may at its sole discretion elaborate, add to, amend, modify, or delete from these terms and conditions in its Agreement of Sale for undivided share of land and Construction Agreement and other documents required by Developer which will be the final agreement binding for booking of residential apartment. I/we further understand and agree that the Developer reserves the right to formulation of the scheme of development of the entire project at its sole discretion and its implementation for which the Applicant has no objection. I/we further agree that the Developer at its sole discretion shall decide the timing of seeking plan sanction and other approval in a phased manner, in respect to each tower taken up for construction. The Developer at its own discretion shall decide the manner and timing of seeking such commercial permission required for the commencement of the project.

    5. I/We declare that I/we have fully satisfied myself/ourselves about the right, title and interest of

    the Company and its Associate/Group Companies with respect to the land on which the proposed CODENAME BCD North Star in the larger residential project namely BCD Heaven Valley project is to be constructed as well as the approvals/consents/sanctions/license granted by the BIAAPA , ( Bangalore International Airport Area Planning Authority) and/or any other government authority and the competency of the Company and its Associate/Group Companies to develop and sell the aforesaid Apartment. I/We have understood all the limitations and obligations of the Company with respect to the same.

    6. I/We have sought detailed explanations and clarifications from the Company prior to making this Application and the Company has readily provided such explanation clarifications to us and after giving careful consideration to all the facts, terms and conditions, I/We have signed this

    Application Form and paid the Booking Amount for allotment. I/We further undertake and assure the Company that in the event of rejection of my/our Application for Booking by the Company, I/We shall be left with no right, title, interest or lien under this Application or against any apartment in relation to the said CODENAME BCD North Star in the larger residential project namely BCD Heaven Valley project.

    7. The Company is in the process of developing CODENAME BCD North Star in the larger

    residential project namely BCD Heaven Valley project in accordance with the tentative layout and buildings plans, however these may undergo a change during the process of finalization. In the event there are any changes in the layout plan and/or drawings as approved in due course whether by any statutory authority(s), Government, or otherwise necessitated, the Applicant shall have no objection and hereby gives its consent thereto. The Applicant further understands and agrees that although every attempt shall be made by the Company to adhere to size and location and super area of the said Apartment, however, in the event that there is any change in the said Apartments location or variation in its size to the extent of 10% at the time of final plans as contemplated hereinafter, the applicable PLC or the Sale Consideration agreed herein, as the case may be, shall either be payable or refundable in proportion to such variation without any interest thereon and no other claim, whatsoever, monetary or otherwise shall lie against the Company nor shall be raised otherwise or in any manner whatsoever by the Applicant.

    8. In event that variation in the Super Area of the said Apartment is greater than 10%, the time of

    final measurement and the same is not acceptable to the Applicant, every attempt shall be made to offer the Applicant an alternative apartment of a similar size at another location within the BCD Heaven Valley project, subject to availability. In event that such an alternate apartment is available and the Applicant accepts the substitute apartment at such changed location, PLC and the proportionate Sale Consideration shall be payable or refundable as the case may be at the rates agreed herein. No other claim, whatsoever, monetary or otherwise shall lie against the Company nor shall be raised otherwise or in any other manner whatsoever by the Applicant.

    9. In the event that Applicant does not accept such substitute apartment and if there is no other

    apartment of a similar size at another location, then the Applicant shall be refunded its paid up earnest money received against the said Apartment by the Company, along with simple interest thereon at the rate of 8 % per annum excluding any interest paid/payable by the Applicant on any delayed payment. No other claim monetary or otherwise, shall lie against the Company nor shall be raised otherwise or in any manner whatsoever by the Applicant.

    10. The Company reserves its right to effect suitable changes and alterations in the layout elevations, specifications, the height, width, finishing, etc. of CODENAME BCD North Star in the larger residential project namely BCD Heaven Valley project/said Apartment at any time and in any manner it thinks fit and proper. Furthermore, the Company may, in its sole discretion, in the interest of better planning and timely completion of the said Apartment, change the location of the said Apartment to an apartment of similar size at another floor, tower or location within the CODENAME BCD North Star in the larger residential project namely BCD Heaven Valley project, to which the Applicant hereby consents.

    11. The Applicant understands and agrees that it shall not have any right to transfer/assign this

    Agreement in favor of any other Person.

    12. The Applicant understands and agrees that under no circumstances shall, the payment made under this Agreement, be construed or deemed to create, in any manner whatsoever, a lien on the said Apartment in favour of the Applicant.

    13. In case the Applicant is NRI/PIO/FNIO, the Applicant further agrees that it shall be responsible

    for complying with the necessary formalities as laid down in the Foreign Exchange Management Act, 1999 (FEMA), rules and regulation of the Reserve Bank of India or statutory enactments or amendments thereof and all other applicable laws including that of remittance of payments, acquisition, sale, transfer of immovable property, etc., and provide the Company with such permissions, approvals which would enable the Company to fulfill its obligations under this Application. The Applicant agrees that in the event of any failure on its part to comply with the applicable guidelines issued by the Reserve Bank of India, the Applicant shall alone be liable for any action under FEMA. The Applicant shall keep the company fully indemnified and harmless in this regard.

    14. The Applicant further agrees that, if on account of force majeure conditions, the Company if

    decides in its sole discretion to abandon the CODENAME BCD North Star in the larger residential project namely BCD Heaven Valley project, then in that event the Applicant hereby authorizes the Company to refund the amounts received from him/them with simple interest at the rate of 8% per annum (excluding interest paid/payable by the Applicant on any delayed payment) and the Applicant hereby confirms that he shall not have or make any other claim against the Company.

    15. If the Applicant fails to execute all copies of the Apartment Buyers Agreement and all other Documents as required by the Developer and return them thereafter to the Company within 30 days from date of approval of Building sanction plan and accordingly make payments thereof, then the Application for allotment shall stand cancelled/terminated at the sole discretion of the Company and the Earnest Money shall stand forfeited to the Company and the Applicant shall be left with no right, interest or claim in the said Application/allotment. No compensation or interest or any costs whatsoever shall be paid by the Company to the Applicant

    16. Upon termination of this Application save for the right to refund, if any, to the extent agreed hereinabove, the Applicant shall have no further right or claim against the Company, which, if any, and shall be deemed to have been waived and the Applicant hereby expressly consents

    thereto. The said EOI will not attract any litigation or arbitration and in case of any dispute the amount paid shall be returned back with 8% per anum. The Company shall henceforth be free to deal with the said Apartment in any manner whatsoever, in its sole and absolute discretion.

    17. This document is only a Expression of interest in the above said project only to block the

    attractive pre launch price and shall not be constued as an agreement for booking of appartment in the aforesaid project.

    I/We have fully read and understood the above mentioned terms and conditions and agree to abide by the same. I/We understand and confirm that the final terms and conditions will be comprehensively set out in the Agreement of Sale for undivided share of land and Construction Agreement which shall supersede these terms and conditions set out in this Application.
