OverviewSimulcast allows buyers and sellers to participate in an auction online. Virtual buyers gain entrance into the lanes and sellers can represent their vehicles remotely.

Dealers can participate in up to six lanes at one time from anywhere they have an Internet location.

With these powerful capabilities, dealers can virtually represent the vehicles they have sent to auction to sell and also bid on and purchase new inventory.

Start Selling!

The block will know you are online and in control of the sale—there’s nothing else you need to do.

Negotiating OffersIf you do not click “OK to Sell” and the bidding has stopped, the auction block will share these options with you.

The asking bid for the vehicle will be indicated at the bottom. To make a counter offer, enter the desired amount and click “Counter”—only the highest bidder and the block will see this offer.

OK to SellClicking “OK to Sell” will alert the block that the floor price was reached and you will accept any offer above that amount.

Communicating in Real TimeTo respond to bidder questions or provide more information to the block, you can send real-time instant messages.

FAQ 1 Who is eligible to participate in Remote Seller?Any AuctionACCESS dealer with Manheim.com access can be set up to represent his or her vehicles remotely.

» Non-commercial dealers don’t need to do anything except log in to the sale as a Remote Seller. Manheim will take care of the rest!

» Commercial dealers wishing to be set up for Remote Seller should contact Manheim Simulcast Customer Care at 1-866-MANHEIM (626-4346).

FAQ 2 Are there any additional costs associated with using Remote Seller?There are no premium fees to sell vehicles using the Simulcast Remote Seller application. All regular auction fees still apply.

FAQ 3 How do I ensure that my account is authorized?To create an account for Manheim.com, OVE.com, or Simulcast, please visit our Manheim Sign Up application. Not a licensed dealer? Register with AuctionACCESS to buy or sell in our wholesale marketplace.

FAQ 4 How long before the sale should I log in to Remote Seller?To represent a vehicle, you must log in before the auction block sets the starting price. If your vehicle’s starting price has already been set, you will have to wait for the next run in order to represent your inventory.

FAQ 5 How will I know when it’s time to sell my vehicles remotely?You will receive an OK to Sell button when your cars are crossing the block during a live sale.

FAQ 6 How will the block clerk know that I am online and ready to sell my vehicle?Block clerks receive an Ask Seller button on their machines; this indicates a seller is online during a live sale.

FAQ 7 How can I Counter Offer?The auction block will initiate the option to Counter Offer. When this screen is made available to you, it will display the asking bid for the vehicle. To propose a new amount, enter the desired amount and click “Counter.”

FAQ 8 How should I use the instant messaging feature?Instant messaging may be used to provide additional vehicle information to buyers or the block. It should not be used to negotiate sales or propose Counter Offers; these actions will be initiated by the block.

FAQ 9 Will I still need to come to the operating location after selling my vehicles with Remote Seller?No. After selling vehicles with Remote Seller, unless you have other on-site business to conduct (e.g., resolving title problems, etc.), it is not necessary to visit the operating location.

IMPORTING AGGREGATOR INVENTORY TO OVE.COM

Aggregators are companies that collect and send out data for dealers (VIN, make, model, year pictures, etc.) to websites like Autotrader.com, Cars.com, OVE.com, etc. The term aggregator is not always recognized by dealers, they may recognize these companies as their internet marketing companies.

Once the feed is enabled for Manheim.com/ OVE.com, inventory will automatically be sent to the customers Inventory Manager, simplifying the listing process. VIN, vehicle information, comments, and pictures of the inventory will be ready to activate. Dealers must add price, time and facilitating location for the listing to go live.

Enabling the Aggregator Feed

Step 1: Ask the dealer if they use an aggregator company to feed their inventory to websites and check to be sure the company is on the list of aggregators we work with.

Step 2: Setup the feed by calling the aggregator and requesting them to add Manheim.com/OVE.com to their list of websites for your dealer. You will need the dealerships name and 5 million number for the request. You can also email [email protected] to request OVE.com support for enabling the feed. Include Dealership name, Aggregator Name, 5 million # and Dealers Contact Information in the email. The process takes 24 to 48 hours for to activate.

Once the feed is active, the dealer will need to login to OVE.com and select which cars he would like to list on OVE for wholesale.

Activating Aggregator Listings for OVE.com

Step 1: Click on “Inventory Manager” tab from the Sell tab dropdown menu. If units are not in Inventory Manager from Aggregator Feed, click on “Add Vehicles” and import units into Inventory Manager.

Step 2: The dealer will need to select which cars he would like to list on OVE, then click the “Edit Listing” on the far right column.

Step 3: Fill out the Vehicle Description Information including all Red Asterisks as they are required fields for activating units. Instruct them to fill out as much detail as they can.

Step 5: Set pricing and listing duration to activate listing. Tip: Remember this is a wholesale marketplace so pricing must be less the 120% of MMR.

Best Practices:

1.� Remember that dealers are trying to get rid of the “WRONG UNIT” to get the “RIGHT UNIT” to retail. Have a conversation around listing inventory they are motivated to sell.

2.� Typically a dealer has more inventory than what is advertised through an aggregator. Look for opportunities by asking if they have more cars they can list through the normal “Add Vehicle” listing process on OVE.

3.� Help your dealer plan. Ask them what TURN they are working off (45 day, 60 day and changes quarterly) so you can start the dialogue about starting the wholesale process a little earlier with OVE.com since they can keep the inventory on their lots.

OVE Priced Right Policy

Every vehicle listed on OVE.com must have a Buy Now or Reserve (Floor) selling price equal to or less than 120% that vehicle’s average Manheim Market Report (MMR) wholesale price. Any vehicle that is listed with a Buy Now or Reserve selling price that exceeds 120% of average MMR for that vehicle will be declined.*

Rationale

Manheim is dedicated to making the buying and selling process as easy and convenient as possible. Our Priced Right Policy is a direct reflection of customer feedback and our own observations regarding what vehicles sell and don’t sell on OVE.com. Buying customers have told us that a major barrier to buying online is that vehicles are often “not priced right.” Our own studies confirm this: vehicles priced well above MMR draw little bidding and sale interest from buyers. Simply, vehicles that are priced right from the beginning are much more likely to attract interest and sell. Our policy is designed to fairly represent both the interests of the seller and the buyer so that you can close more deals.

How it Works

If you attempt to list a vehicle in OVE.com with a Buy Now or Reserve (Floor) Price that is more than 20% above Average MMR, a warning will appear. The warning gives you the choice of adjusting the vehicle price and proceeding with your listing, or choosing not to list your vehicle on OVE.com.

Pricing for listings sent through bulk listing mechanisms, like CSV and XML, will also be checked againstthe Priced Right Policy. If pricing is outside policy guidelines, the listings will be accepted, but they willnot be activated until pricing is adjusted.

Grade 5, Extra Clean - Vehicle is in excellent condition, with only minor defects in panel surfaces as noted in the condition information for each vehicle. The body panels require no conventional body or paint work, but may have had limited high quality repairs performed. There are no missing, broken, or damaged parts that require replacement. The interior compartment has no cuts, tears or burns that require repair and does not show signs of wear. The vehicle’s frame/structure has not been repaired or altered, and is expected to measure to published specifications. Vehicle is mechani-cally sound and all accessories are operable. Grade 4, Clean – A better than average unit with minor chips or scratches in panel surfaces as noted in the condition information for each vehicle. Prior repairs may have been performed on this vehicle at an acceptable quality level. Grade 1, Rough – This vehicle has been severely abused or has sustained major collision damage, but may be drivable. It is cost prohibitive to extensively recondition this vehicle by automotive industry standards. The frame/structure is not expected to measure to published specifications. Although operable, this vehicle is near the end of its useful life. Operability of accessories is doubtful.

Grade 0, Extra Rough – Vehicle is inoperative. Unit is good for parts only. Mechanical and body parts may be inoperable, disconnected, dam-aged or missing.

Manheim Post-Sale Inspection Policy Background/Overview Manheim created its Post-Sale Inspections (“PSI”) as a tool to keep deals together and provide dealers with peace of mind. A dealer purchasing a PSI has assurance that the vehicle purchased passed a rigorous test, was properly represented by the seller and that Manheim guarantees that the vehicle meets the dealer’s expectations. Further, Manheim stands behind every inspection for 7 or 14 days after PSI completion.

PSI PolicyVehicle Qualifications:Green light vehicles that run at a Manheim facility or channel including in-lane, Simulcast and OVE with a final sale price greater than $3000 and an odometer reading of less than 125,000 miles are eligible for a Post Sale Inspection.

PSI Inspection Checklist:The following items and areas are included as part of the Full Post Sale Inspection. The checklist applies to defects that are singularly $500 or more to repair or replace on vehicles sold in-lane and $500 cumulative visible damage on vehicles sold online.

PSI Terms and Conditions � The buyer is responsible for the PSI fee even if the vehicle fails inspection � The guarantees and provisions apply only to the original buyer of the PSI. This guarantee is voided once

the vehicle is re-sold. The PSI guarantees cannot be transferred to any subsequent wholesale or retail vehicle buyer.

� Vehicles that pass the PSI and are later found to have arbitral items will be processed in the same manner as all other arbitrations. If the arbitral items found were missed on the PSI, Manheim will be responsible for the arbitration in discussions with the seller.

� If a vehicle fails a Post-Sale Inspection and the buyer chooses to void the sale based on misrepresentations made as to the vehicle’s condition, the vehicle would enter the arbitration process.

� Vehicle condition at the time of return must be the same or better as when purchased

Background/Overview Green light vehicles that run at a Manheim facility or channel -- including in-lane, Simulcast and OVE.com -- with a final sale price of $3,001 or more and an odometer reading of less than 125,000 miles are eligible for a Post-Sale Inspection. The updated PSI Policy excludes vehicles with 125,000 miles or more from receiving a PSI. Some buyers have requested that these higher mileage vehicles have major systems checked to provide more information on the purchase. Some locations have already begun offering some sort of inspection for dealers. In an effort to promote consistency, Manheim has developed the Sale Day Check.

There is no guarantee period for the Sale Day Check. It is an observational check only. The standard Manheim National Arbitration Policy provisions would apply.

Are vehicles sold green light with 125,000 miles or more eligible for a full PSI?

No. Vehicles with 125,000 miles or more, regardless of light condition, are not eligible for a full PSI.

Are there exclusions to vehicles eligible for a Sale Day Check?

There are exclusions on vehicles eligible for a Sale Day Check. Only Green Light vehicles are eligible; they must sell for $3001 or more and they must have 125,000 miles or more. Vehicles with less than 125,000 miles are not eligible for this check but are eligible for a full 7-Day or 14-Day PSI.

How should Sale Day Check pricing be determined?

Sale Day Check Pricing is a flat fee. Pricing for Sale Day Checks are set at the lowest level of national tiered pricing. This is currently $90.

What is the protocol for vehicles that fail a Sale Day Check?

For vehicles that fail the Sale Day Check, buyers will be contacted by the auction location and notified of the results. Buyers will then make a decision whether to arbitrate the vehicle.

MANHEIM'S NATIONAL BUY BACK POLICY FOR OVE.COM AND ONLINE EVENT SALES ON SIMULCAST

BackgroundTo allow dealers to enjoy the convenience of buying wholesale vehicles online and still 'kick the tires' of the vehicles they purchase, Manheim has implemented a ��������������������� ��� for all qualifying purchases made on OVE.com and for all qualifying purchases made during its Online Event Sales on Manheim Simulcast. The policy works by allowing the Buyer (Purchasing Dealer) to return any qualifying vehicle* purchased on OVE.com, or purchased during Online Event Sales on Manheim Simulcast to any Manheim Operating Location or participating independent auction within 14 calendar days of purchase (Sale Day = Day No.1) with satisfaction guaranteed. The policy does not include vehicles sold "As Is", specialty vehicles, salvage vehicles or heavy trucks. All terms of the policy must be met, including the purchase and successful completion of a PSI, in order for a vehicle purchase to "qualify". Dealers should read the policy carefully and adhere to all policy terms.

Policy TermsUnder terms of the policy, all Manheim and participating independent auctions will repurchase any qualifying vehicle* sold on OVE.com or through Online Event Sales on Manheim Simulcast, for a period of 14 calendar days total of Sale Day (Sale Day = Day No.1). The Purchasing Dealer will be required to return the vehicle to a U.S. Manheim Operating Location, or participating independent auction at their own expense.

Offer Terms and Conditions

� Offer is only valid for United States dealers purchasing qualifying vehicles* from facilitating locations within the United States.

� This policy applies to all Manheim U.S locations. Non-Manheim facilitation locations are not required to participate in Manheim's National Online Buy Back Policy for OVE.com and Online Event Sales on Simulcast, so dealers should contact these facilities before purchasing to confirm their participation in this policy.

� The Purchasing Dealer must purchase a PSI from the facilitation location at the time of purchase and the vehicle must pass the PSI for this policy to be in effect.

� "As Is" vehicles are not covered under the terms of the Manheim's National Online Buy Back Policy for OVE.com and Online Event Sales on Simulcast.

� The vehicle must be returned to a Manheim Operating Location, or participating independent auction, within 14 calendar days total of Sale Day (Sale Day = Day No.1). Vehicles can be returned to any Manheim Operating Location or participating independent auction regardless of the original Facilitating Location.

� Total purchase price of the vehicle cannot exceed $40,000.00.� No refunds will be granted for success, facilitation, or buy fees, PSI fees; transportation fees, or any

additional costs incurred by the Purchasing Dealer, including, without limitation, costs for reconditioning or body work, tires, labor, transportation or any additional costs associated with the transaction.

� Refund will only include the purchase price of the vehicle not to exceed 102% of average MMR at the time the vehicle was purchased.

� Vehicle condition at the time of return must be the same or better as when purchased as determined by the facilitating location.

� The following mileage limits and terms apply: o If the vehicle was transported to the Buyer's location, incurred mileage cannot exceed 50

miles from the Odometer Statement. The Bill of Lading must be presented to the Operating Location at the time of return.

o If the vehicle was driven to the Buyer's location, the mileage cannot exceed the round trip driving distance from the Selling location to the Buyer's location plus an additional 50 miles. The Bill of Sale must be presented to the Operating Location at the time of return.

o Total mileage cannot exceed 200 miles from the Odometer Statement at the time of purchase.
