COMPANIES Azelis to sell Phillips Carbon Black pigments throughout Europe Azelis (headquartered in Antwerp), one of the world’s leading chemical distribution companies, has been appointed as the European distributor for carbon black pigments manufactured by Phillips Carbon Black Ltd (headquartered in Kolkata, India). Phillips has four carbon black plants in India, with a total capacity of 500,000 tonnes/y. Its Orient and Royale pigment products are already fairly well known in European markets. As from 1 October 2013, existing arrangements with European customers for these products will be gradually phased out and marketing will be transferred to Azelis. The main target markets will be the rubber, plastics, inks and paint sectors. This announcement, coupled with Huntsman’s announcement eight weeks later that it had agreed to buy Rockwood’s TiO 2 business, presage a major upheaval in the structure of the world TiO 2 industry. (See also ‘Focus on Pigments’, Oct 2013, 1-2). DuPont is the world’s largest supplier of TiO 2 pigments, with a total (end-2013) capacity of 1.27 M tonnes/y, based on three plants in the US (New Johnsonville, TN; DeLisle, MS; and EdgeMoor, DE), one plant in Mexico (Altamira) and one plant in Taiwan (KuanYin). In May 2011, the company outlined a three-year programme that would raise capacity at Altamira by 200,000 tonnes/y by the installation of a second production line and would raise capacity at all five plants by a total of 150,000 tonnes/y as a result of various “reaming-out” measures. (See ‘Focus on Pigments’, Jun 2011, 5). The timetable for implementing this programme has evidently slipped and it is now anticipated that DuPont’s global capacity will be 1.4 M tonnes/y by end-2014 and 1.6 M tonnes/y by early 2016. The business unit responsible for managing the company’s TiO 2 pigments business is DuPont Titanium Technologies (DTT) and it also manages the company’s mining operations in Florida, which contribute about 10% of the TiO 2 feedstock requirements for making pigments as well as generating by-product zircon and staurolite. For financial reporting purposes, DTT’s results are grouped together with those for fluoro- polymers, fluorochemicals, aniline, cyanide, dimethyl sulfate, glycolic acid and various other industrial chemicals within the segment Performance Chemicals. For 1H 2013, DuPont Performance Chemicals reported pre- tax operating earnings at $515 M on sales revenues of $3.37 bn. That compares against $1.165 bn on $3.87 bn for 1H 2012. TiO 2 pigment sales increased by about 13% in tonnage terms, but realised selling prices were substantially lower. Overall, DuPont’s pre-tax operating earnings for 1H 2013 amounted to $3.5 bn on sales revenues of $20.3 bn, compared against $4.0 bn on $20.1 bn for 1H 2012. Ms Ellen Kullman (Chairman & CEO) commented: “We expect to deliver full-year earnings modestly above last year’s ($6.25 bn), over- coming steep declines in the TiO 2 market and economic headwinds in Europe and parts of Asia.” It is not known whether any suitable candidates presented serious offers to buy DuPont’s TiO 2 business, which would be valued at $4-6 bn or more. Private equity funds, such as Apollo, Blackstone and Trian had been rumoured as possible candidates. Anyway, further speculation on a possible sale was squashed by DuPont’s declaration on 24 October that it had decided to spin- off the Performance Chemicals segment as a complete entity. Ms Kullman said: “Following a thorough strategic review process over the past year, the spin-off of Performance Chemicals is clearly the best option to deliver enhanced value for our shareholders. This separation will advance the transformation of DuPont and will result in two strong, highly competitive companies. After separation, DuPont will have the optimum portfolio and will benefit from more consistent earnings growth and lower volatility, enhancing our ability to deliver more sustained growth and invest in future opportunities. Performance Chemicals will emerge as a top global industrial chemicals company with industry leading products and strong cashflow.” The separation will be executed as a tax-free spin-off, probably during the first half of 2015. Immediately on separation, the Performance Chemicals business will be 100% owned by DuPont shareholders. Color Resources is essentially a toll manufacturer and in future it will operate as a division within Synalloy’s Specialty Chemicals segment. Mr Tony Jones (President of Color Resources) has been appointed as Vice President, Sales for CRI Tolling. Mr Craig Bram (President and CEO of Synalloy) said: “A key strategic initiative of our Specialty Chemicals Segment was to acquire or build a second production facility. Our Manufacturing Chemicals (MC) business has experienced continuous growth over the past five years and we have many opportunities to further penetrate existing markets, as well as develop new ones, including those in the energy industry. Production capacity at our Cleveland, TN facility was getting tight. The addition of the Color Resources facility provides us with ample room to grow.” Over the next 18 months, Synalloy plans to invest $3.5 M in the Fountain Inn facility, so as to effectively replicate the production capabilities already available at Cleveland. DuPont will spin off PerformanceChemicals before mid-2015

On 23 July 2013, DuPont finallyannounced that it was consideringselling or spinning-off its TiO2business, giving formal credibility tohints and rumours that had beencirculating for several monthspreviously. Synalloy buys Color Resources

The Synalloy group (headquartered inSpartanburg, SC) recently paid $3.45M to acquire the entire business andassets of Color Resources LLC,including the plant at Fountain Inn,SC. Color Resources is essentially atoll manufacturer and in future it willoperate as a division within Synalloy’sSpecialty Chemicals segment.
