We, the undersigned officers of the Board of Directors (the “Board”) of Montgomery County Municipal Utility District No. 42 (the “District”), hereby certify as follows:

1. The Board convened in regular session, open to the public, on April, 2, 2020, via telephonicconference, as permitted by the March 16, 2020, Declaration by the Governor of the State of Texas which suspended certain provisions of Chapter 551, Texas Government Code, and the roll was called of the members of the Board, to-wit:

ORDER CANCELING BOND ELECTION

THE STATE OF TEXAS § § COUNTY OF MONTGOMERY § § MONTGOMERY COUNTY MUNICIPAL UTILITY DISTRICT NO. 42 §

WHEREAS, on January 2, 2020, the Board of Directors (the “Board”) of Montgomery County Municipal Utility District No. 42 (the “District”) called a Bond Election to be held within and for the District between the hours of 7:00 a.m. and 7:00 p.m., on May 2, 2020, to obtain voter approval for an additional bond authorization of $19,280,000 of bonds for the purpose of acquiring, purchasing, constructing, repairing, maintaining, improving, and modifying the District’s waterworks system, surface water system, sanitary sewer system, and drainage system (the “Election”);

WHEREAS, the Board of the District appointed Sanford Kuhl Hagan Kugle Parker Kahn LLP (“SK

Law”) to serve as its agent for election matters; WHEREAS, the District entered into a Joint Election Agreement and Contract for Election Services

(the “Contract”) with Montgomery County (the “County) which provided that the County would conduct the Election on behalf of the District;

WHEREAS, the emergence of a novel coronavirus (“COVID-19”) has led to a global pandemic,

and emergency declarations by the President of the United States, the Governor of the State of Texas, and the County, among others (collectively, the “Emergency”);

WHEREAS, as a result of the Emergency, and related guidelines and/or restrictions adopted to limit gatherings of people greater than a certain number, it has become difficult or impossible for the District, or the County pursuant to the Contract, to conduct the Election;

WHEREAS, Section 49.112, Texas Water Code, as amended (the “Statute”), permits the District

to cancel an election called at the discretion of the District by order or resolution before the first day of early voting by personal appearance; and

WHEREAS, out of concern for the health and safety of voters, election workers, and local election

officials, the Board of the District finds it is in the best interest of the District to cancel the Election pursuant to the Statute; Now, Therefore,

BE IT ORDERED BY THE BOARD OF DIRECTORS OF MONTGOMERY MUNICIPAL UTILITY DISTRICT NO. 42 THAT:

Section 1: The Board of the District hereby cancels the Election. The Board will cause a

copy of this Order to be posted during the period for early voting by personal appearance and on Election Day at each polling place that would have been used in the Election.

Section 2: The President and Secretary of the District’s Board and SK Law are hereby

authorized and directed to take any action necessary to carry out the provisions of this Order.
