THIS AGREEMENT is made on the day of 20 .

BETWEEN

xxxxxxxx (Parent Hospital) of

and

xxxxxxxx (Secondment Hospital) of

RECITALS

A As part of the Parent Hospital rotational training and experience program, Doctors employed by the Hospital may undertake Secondments with other health services (Secondment Program).

B The Parties wish to clearly establish the scope and responsibilities of secondment arrangements.

C The Parties acknowledge that while the seconded Doctors will be under the care and supervision of the Secondment Hospital, the Parent Hospital will remain the Seconded Doctor’s employer.

D The Parties recognise that the quality and provision of health care to the Victorian community and the training and experience of its Doctors will be enhanced if they work together for the development and implementation of strategies to:

a. improve and streamline administrative and communication processes between the Parties; and

b. ensure that the Doctors provided for a secondment to another hospital have the necessary practice skills, experience and knowledge to further their training in their training program.

E The terms and conditions of this Agreement govern the relationship between the Parent Hospital and the Secondment Hospital.

THE PARTIES AGREE

1. DEFINITIONS

In this Agreement unless expressed or implied to the contrary:

Agreement means this Secondment Agreement;

AHPRA means the Australian Health Practitioner Regulation Agency;

Certified Agreement means the Industrial Agreements which sets out the terms and conditions of employment of doctors;

Commencement Date means the date specified in Item 1 of Schedule 1;

Completion Date means the date described in clause 3.2.1;

Confidential Information means all information and materials, in any form, which come into a Party's possession about the other Party pursuant to, or as a result of, or in performance of this Agreement, excluding information:

- which at the time of its first disclosure or observation under this Agreement was in the public domain;

- which, after disclosure or observation under this Agreement, comes into the public domain otherwise than by disclosure in breach of this Agreement;

- which is received by either Party from a third Party who has the right to provide the information;

- which was already in the receiving Party's possession or knowledge without restriction prior to its disclosure or observation; or

- which the disclosing Party is required by law to disclose;

DIT Agreement means Australian Medical Association (Victoria) Doctors in Training Agreement 2008-2012 or its successor Agreement;

Doctor means a Doctor as defined in the DIT Agreement;

Excessive Sick Leave means more than 1 continuous week of paid sick leave days taken by one employee;

Hospital's Rules means the Statutes, By-Laws, Regulations and any other applicable rules and policies made by the Hospital;

Intellectual Property or IP includes all copyright (including rights in relation to phonograms and broadcasts), all rights in relation to inventions (including patents), plant varieties, trade marks (including service marks), designs, circuit layouts, all other rights resulting from intellectual activity in the industrial, scientific, literary or artistic fields and any right to have confidential information kept confidential, but does not include Moral Rights or rights of performers;

Laws includes all Acts of the Parliaments of Australia and the State of Victoria and all regulations, by-laws, awards and orders made thereunder and the lawful requirements of public, municipal and other competent authorities in any way affecting or applicable to the Secondment;

Parent Hospital means the Parent Hospital as described in the DIT Agreement;

Party means a party to this Agreement;

PMCV means the Postgraduate Medical Council of Victoria;

Representative means the nominated representative for the Parent Hospital and the Secondment Hospital specified in Item 5 of Schedule 1, or such other person as may be delegated from time to time under clause 12;

Seconded Doctors means doctors on Secondment under this Agreement;

Secondment means a period during which a Doctor is directed to work at another hospital (the “Secondment Hospital”) as part of a structured training program or to meet service demands. The Doctor remains an employee of the Parent Hospital for the secondment period;

Secondment Fee means the amount charged by the Parent Hospital for the administration of the Secondment;

Secondment Hospital means the hospital to which a Doctor is assigned for the purposes of training or to meet services demand while remaining an employee of his or her Parent Hospital;

Secondment Intellectual Property means any Intellectual Property developed by a Party, the Parties or third parties in the Secondment or while carrying out the Secondment;

Term means the term of this Agreement set out in clause 3, or such lesser period if this Agreement is terminated earlier under clause 9.

2. GOVERNING PRINCIPLES AND PURPOSES

2.1. The Parties agree to work together in a spirit of mutual cooperation and trust to ensure that:2.1.1. Doctors undertaking a structured training program approved by the PMCV

are provided with essential practice skills, experience and knowledge to fulfil the requirements of their training program; and

2.1.2. the service demands of Victorian hospitals are met.

2.2. This Agreement sets out the terms and conditions on which the Parties agree that the Secondment Program will operate.

3. TERM OF AGREEMENT

3.1. Commencement Date

3.1.1. This Agreement commences on the date specified in Item 1 of Schedule 1.

3.2. Completion Date

3.2.1. This Agreement ends 36 months after the Commencement Date unless otherwise terminated or extended in accordance with this document.

3.3. Review

3.3.1. The Parties agree that they will keep the operation of this Agreement and its initiatives under continuous review and will consult each other with a view to improving operations and resolving any matter that may arise.

3.3.2. On, or shortly before the first anniversary of the date of this Agreement, the Representatives of both Parties will review the Agreement and consider whether amendment is appropriate. This process will then be repeated every 12 months thereafter or as otherwise agreed in writing between the Parties.

4. THE SECONDMENT CONDITIONS

4.1. Details of Seconded Doctors

4.1.1. The Parent Hospital agrees to provide Doctors to the Secondment Hospital for the secondment posts identified in Item 3 of Schedule 1, which may be varied in accordance with clause 4.1.14.

Doctors duties

4.1.2. The Parties shall agree on the Position Description for each secondment post.

Obligations of the Parent Hospital

4.1.3. The Parent Hospital will confirm with the Secondment Hospital in writing by 30 September of each year that it will provide the Doctors for the secondment posts for the following year in accordance with the request of the Secondment Hospital as identified in Item 3 of Schedule

1 or as varied under clause 4.1.14, or as otherwise agreed in writing between the Parties.

4.1.4. If the Secondment Hospital has requested a variation to the standard arrangements under clause 4.1.14, the Parent Hospital will provide the Secondment Hospital with a response in writing to this request. The Parent Hospital’s response will identify the proposed Secondment Doctors’ names, classifications and Secondment dates (for the upcoming clinical year) as soon as practicable after the Parent Hospital recruitment and rostering has been completed and confirmed.

4.1.5. If the Secondment Hospital requests any additional Secondment Doctors, the Parent Hospital will endeavour to meet the request at the classifications required noting that specific classifications may change from time to time depending upon available staff and the qualifications of individual doctors.

4.1.6. Each Party will immediately notify the Representative of the other Party of any change to the Secondment Doctors referred to in clause 4.1.3 should a Doctor become unavailable or ineligible to practice.

4.1.7. Any changes to the agreed secondment posts made under this clause 4.1 by either Party must be notified in writing, as soon as practicable, to the Representative of the other Party, and additionally, via telephone, if there is less than 5 working days notice.

4.1.8. The Parent Hospital will make all efforts to recruit Doctors with suitable skills and experience for the secondment posts.

4.1.9. The Parent Hospital will ensure that all Doctors are registered with AHPRA.

4.1.10. The Parent Hospital will ensure that the Seconded Doctors have either: Australian citizenship, Australian permanent residency or a relevant working visa.

4.1.11. The Parent Hospital will advise the Seconded Doctors if a Working with Children Check or any additional specifics are required. Each secondment post will be recruited for the full clinical year unless specifically indicated otherwise.

4.1.12. Should the Secondment Hospital require specific conditions or credentials not routinely required by the Secondment Hospital for the secondment posts, the Secondment Hospital must advise the Parent Hospital by 1 July in each year preceding recruitment for the following year.

Obligations of the Secondment Hospital

4.1.13. The Secondment Hospital will provide the specific details of each secondment post to the Parent Hospital by 1 July in the year preceding the Secondment to ensure each Doctor assigned to a secondment post meets the anticipated training requirements. These details will include the designated unit and role, the accreditation status of the post (from PMCV or College), and the nominated supervisor of training.

4.1.14. If the Secondment Hospital wishes to vary the standard employment arrangements for the secondment posts under clauses 4.1.1 or 4.1.3, it will provide a written request to the Parent Hospital for the number of equivalent full time (EFT) positions and potential classifications available at the Secondment Hospital, and any specific requirements for these secondment posts (including whether or not they are accredited training positions) by 1 July in the year preceding the relevant Secondments. The Secondment Hospital must advise the Parent Hospital in writing if it requests any new posts for the following year.

4.1.15. Whilst the Parent Hospital will provide staff suitably qualified Doctors in accordance with clauses 4.1.8, 4.1.9 and 4.1.10, the Secondment Hospital is responsible for credentialing the individual Doctors assigned to each secondment post to ensure its own satisfaction with the adequacy of the individual’s scope of practice, skills and ability for the posts at its hospital.

4.1.16. The Secondment Hospital is responsible for:

I. providing suitable work facilities and accommodation for all Seconded Doctors on rotation in accordance with the DIT Agreement.

II. The notification of any changes to rostering arrangements that could lead to potential overpayment of Seconded Doctors including leave entitlements;

4.2. Leave Arrangements

Annual and conference leave

4.2.1. All applications for annual leave and conference leave for Seconded Doctors will be made to the Parent Hospital in accordance with the policies and using the forms approved by the Parent Hospital (refer to Appendix 3). The applications will be managed and covered by the Parent Hospital and Doctors will be encouraged, as often as practicable, to take leave whilst they are working at the Parent Hospital sites, although this cannot be guaranteed.

4.2.2. The Parent Hospital will generally only approve applications for leave if cover is planned to be available, or if the Secondment Hospital agrees that no cover will be required. Cover for such approved annual and conference leave is the responsibility of the Parent Hospital. Such leave shall be approved by the Parent Hospital and the Parent Hospital will pay the Doctor directly.

4.2.3. The Secondment Hospital will pay the Parent Hospital in accordance with the following calculations in order to contribute to the annual and conference leave entitlements of the Seconded Doctor. The Parent Hospital will invoice the Secondment Hospital for leave (annual and conference) each pay as a percentage of each ordinary hour of pay at the hourly rate of the Seconded Doctor including the hourly rate for Continuing Medical Education (CME) allowance, at the rate of 6 weeks per year

The calculation for 1.0 EFT will be (pro-rata as applicable):

I. Annual Leave – five weeks at the adjusted weekly rate (as per clause 45.4b of DIT Agreement) for the agreed position provided (as per item 4 of Schedule 1 and item 2 of Schedule 2);

II. Conference Leave – one week at the base weekly rate for the agreed position provided (as per item 4 of Schedule 1).

Examination leave

4.2.4. Applications for examination leave by Seconded Doctors are to be made to the Secondment Hospital which will only approve such leave in consultation with the Parent Hospital.

I. Using “Method 1 – Secondment Hospital pays Secondee” provisions as per Clause 5.1, the Secondment Hospital will pay the Secondee for the examination leave.  Approval and the provision of cover is the responsibility of the Secondment Hospital.  The Secondment Hospital is to notify the Parent Hospital of any approved Examination Leave so that the Seconded Doctor’s records can be accurately reconciled at the Parent Hospital.

II. Using “Method 2 – Parent Hospital pays Secondee” provisions as per Clause 5.1, the Parent Hospital will pay the Secondee for the examination leave and will recover associated costs as per Clause 5.2.  Approval and the provision of cover is the responsibility of the Secondment Hospital.

Sick leave

4.2.5. Seconded Doctors will be required to notify the Secondment Hospital if they take any sick leave. The Secondment Hospital is required to notify the Parent Hospital to enable the Parent Hospital to accurately reconcile the Seconded Doctor’s records.

4.2.6. With the exception of Excessive Sick Leave the Secondment Hospital will cover and pay all sick leave up to the individual Doctor’s total entitlement when the Doctor is working at their site. At the conclusion of each Secondment, the Secondment Hospital will provide the Parent Hospital with a certificate of service identifying sick leave usage, which will be deducted from the Seconded Doctor’s leave entitlements by the Parent Hospital (refer Appendix 4).

4.2.7. Excessive Sick Leave claims that arise during the clinical year will be paid by the Parent Hospital and will be invoiced in accordance with the formula set out in item 2 of Schedule 2.

4.2.8. The Parent Hospital will pay maternity leave and/or paternity leave claims that arise during the clinical year and the Secondment Hospital will be invoiced in accordance with the formula set out in item 2 of Schedule 2.

4.2.9. In the event of the resignation, long term absence or any such other event which results in a Doctor being unable to commence and/or complete their term of rotation to the Secondment Hospital, the Parent

Hospital will use its best endeavours to engage a replacement for the entire unexpired term of the original rotation.

General

4.2.10. Except where contrary to the terms of this clause 4.2, the Parent Hospital will endeavour to provide a Doctor to cover any leave taken under this Agreement by agreement with the Secondment Hospital, however the cost of this cover will be the responsibility of the Secondment Hospital.

4.2.11. The Parent and Secondment Hospitals must keep and reconcile records of ALL leave taken by Seconded Doctors.

4.2.12. Leave entitlements are more fully described in Schedule 2. If there is any inconsistency between this Agreement and Schedule 2, the terms of this Agreement will prevail.

4.3. On-Call / Rostered Overtime Arrangements

4.3.1. Both Parties are committed in principle to the DIT Agreement and its Safe Hours’ requirements and agree to rostering within these guidelines wherever possible. The Secondment Hospital shall submit sample duty rosters to the Parent Hospital for each rotational position. Any concerns regarding rosters shall be discussed between the two Hospitals.

4.3.2. Where applicable, the on-call and rostered overtime arrangements for the Seconded Doctors at both Parties will conform to the Existing Certified Agreement for Victorian Public Hospitals.

4.4. Recruitment / Supervision / Teaching

4.4.1. Both Parties undertake to provide appropriate supervision and teaching in accordance with PMCV requirements, relevant College standards and Parent Hospital and Secondment Hospital policies.

4.4.2. The Parent Hospital or relevant College will recruit and allocate Seconded Doctors for the Secondment Hospital, but the Secondment Hospital retains the right to refuse allocated staff in its absolute discretion. If the Secondment Hospital refuses an allocated Secondment Doctor, the Secondment Hospital will be responsible for covering that Secondment post.

4.5. Indemnity and Insurance

OPTION 1 – Both entities are public entities

4.5.1. Each Party acknowledges that it is a named insured under relevant VMIA medical indemnity policies of insurance.

4.5.2. The Secondment Hospital agrees and acknowledges that the Parent Hospital and the Seconded Doctors are covered by the Secondment Hospital’s VMIA policy of medical indemnity insurance

OR OPTION 2 – The Secondment Hospital is not a public entity

4.5.1 The Parent Hospital acknowledges that it is a named insured under relevant VMIA medical indemnity policies of insurance.4.5.2B The Parent Hospital agrees and acknowledges that the Seconded Doctor will be eligible for insurance cover under the Parent Hospital’s VMIA policy of medical indemnity insurance for the year in which this Agreement is executed.

4.5.3. The Parties acknowledge that the eligibility for coverage outlined in clauses 4.5.1 and 4.5.2 may change as a consequence of a change in VMIA policy (Change in Circumstances).

4.5.4. If there is a Change in Circumstances, the Parties acknowledge and agree that they will use their best endeavours to agree on suitable and appropriate insurance coverage for the Parent Hospital and the Seconded Doctor.

4.5.5. Both Parties acknowledge that they have professional indemnity insurance and general public and products liability insurance.

4.5.6. Each Party (“Indemnitor”) agrees to indemnify and release the other Party (“Indemnitee”) in respect of all liability for loss, damage or injury which may be suffered by the Indemnitee arising out of a breach of the Indemnitor’s obligations under this Agreement where such loss, damage or injury arises from any negligent or unlawful act or omission or wilful misconduct of the Indemnitor or any personnel employed or engaged by the Indemnitor, save that the Indemnitor’s liability will be reduced to the extent that the loss, damage or injury is caused or contributed to by the negligent or unlawful act or omission of the Indemnitee.

4.5.7. The indemnity in this clause 4.5 is a continuing obligation, separate and independent from other obligations of the Parties and survives termination of this Agreement.

4.6. Ongoing insurance requirements

4.6.1. Without prejudice to each Party’s liability to indemnify the other under clause 4.5, each Party shall throughout the duration of this Agreement maintain such insurances as are necessary to indemnify both Parties against the liability and costs which may be incurred by them under this Agreement.

4.6.2. Verification of the Parent Hospital Insurance - The Secondment Hospital may at any time request in writing that the Parent Hospital provides proof that the insurance or other form of coverage required under clause 4.5 has been effected and maintained. Such a request is reasonable and must be complied with by the Parent Hospital within fourteen (14) days of receipt of the written request.

4.6.3. Verification of The Secondment Hospital Insurance - The Parent Hospital may at any time request that the Secondment Hospital provide proof that the insurance or other form of coverage required under clause 4.5 has been effected and maintained. Such a request is

reasonable and must be complied with by the Secondment Hospital within fourteen (14) days of receipt of the written request.

4.7. Performance Appraisal

4.7.1. Each Party will inform the other of the Seconded Doctor’s progress for performance appraisal purposes.

4.7.2. The Secondment Hospital will undertake performance appraisal of Seconded Doctors according to the performance appraisal process consistent with or undertaken by the Parent Hospital.

4.7.3. Should a Seconded Doctor’s performance be assessed as being at an unsatisfactory standard, the Parties and the relevant College (where applicable) shall assess that Doctor’s performance and determine a plan of action, with an agreed review timeframe.

4.7.4. If performance remains unsatisfactory the Parent Hospital may, in its absolute discretion, substitute an alternative Doctor if possible.

4.7.5. If the performance of the substitute Seconded Doctor is unsatisfactory the Secondment Hospital may terminate the Secondment post for that Doctor by written notice to the Parent Hospital without penalty under this Agreement.

4.8. Doctors Travel and Accommodation Arrangements

4.8.1. The Secondment Hospital agrees to provide Rotation Allowances to Seconded Doctors in accordance with the DIT Agreement.

4.8.2. Where applicable as per the DIT Agreement, the Secondment Hospital agrees to provide overnight accommodation of a standard mutually agreed by both Parties to this Agreement. Should the accommodation provided not be considered appropriate by the Parent Hospital, then the Parent Hospital retains the right to withdraw affected Doctors following an appropriate consultation process.

4.8.3. Where applicable as per the DIT Agreement, the Secondment Hospital agrees to provide relocation services, and/or reimburse relocation costs both ways.

4.9. Occupational Health and Safety

4.9.1. Both Parties must comply with all Federal and State occupational health and safety laws, including but not limited to the Occupational Health and Safety Act 2004 (Vic), procedures, standards and codes of practice that apply in relation to the implementation of this Agreement

4.9.2. Both Parties have a responsibility to comply with safe work practices relating to all staff involved in the implementation of this Agreement including but not limited to needle stick injuries, radiation utilisation, safe manual handling procedures, eye contamination and infection control.

4.10. Workcover

4.10.1. Each Party warrants that it is registered as an employer in accordance with the requirements of the Accident Compensation Act 1985 (Vic) and that its insurance arrangements relating to its employees are and will remain current for the term of this Agreement.

4.10.2. For the duration of the Secondment, the responsibility for the provision of a safe workplace and the provision of appropriate education and training on safety matters associated with the role is with the Secondment Hospital.

4.10.3. If the Seconded Doctor has a workplace incident and this results in a workcover claim, the claim must be processed through the normal process of the Secondment Hospital. If the claim results in any direct costs to the Parent Hospital, over and above work cover’s costs then the Parent Hospital will be reimbursed such costs by the Secondment Hospital.

5. PAYMENT OF SALARIES AND RELATED EXPENSES

5.1. Payment of Doctors Salary

METHOD 1

Secondment Hospital pays Seconded Doctors

5.1.1. The Secondment Hospital will pay the Seconded Doctors for all salaries, overtime, oncall, recall, applicable allowances, sick leave subject to clause 5.1.4 and superannuation (SGC).

5.1.2. The Seconded Doctors annual and conference leave will be managed and paid by the Parent Hospital.

5.1.3. The Seconded Doctors examination leave will be managed and paid by the Secondment Hospital.

5.1.4. The Secondment Hospital will pay any sick leave taken during any Secondment to the Secondment Doctor except in instances of Excessive sick leave as outline in clause 4.2.8.

5.1.5. The Parent Hospital will manage and pay all maternity leave and/or paternity leave.

5.1.6. Any period of leave (both paid and unpaid) shall be communicated to the Parent Hospital and recorded against the Doctor’s entitlements.

METHOD 2

Parent Hospital pays Seconded Doctors

5.1.7. The Parent Hospital will pay all salaries, wages and superannuation (SGC) to the Seconded Doctors from the Parent Hospital’s payroll.

5.1.8. The Secondment Hospital will authorise and fax or email the Seconded Doctors timesheets to the Parent Hospital (Medical Workforce Unit) by no later than close of business on the Thursday before the end of the relevant pay fortnight.

5.1.9. The Parent Hospital will also pay the Seconded Doctors for any approved leave (including but not limited to: annual, sick, maternity, paternity, examination and conference).

5.2. Reimbursement to the Parent Hospital

[Draft note: this clause applies whether Method 1 or Method 2 is utilised for clause 5.1]

5.2.1. The Parent Hospital will invoice the Secondment Hospital within 30 days of the end of every month.

I. The Secondment Hospital will reimburse the Parent Hospital for each Secondment monthly in arrears within 30 days of receipt of an invoice from the Parent Hospital. The reimbursement amount will be in accordance with: charges and on-costs specified in Appendix 2 of this Agreement;

II. each Doctors classification; and

III. the timesheet authorised by the Secondment Hospital and the Parent Hospital.

5.2.2. The Parent Hospital will invoice the Secondment Hospital for reimbursement of costs of relief staff supplied under this Agreement as set out at Appendix 2.

5.2.3. The Secondment Hospital will pay to the Parent Hospital a Secondment Fee.

5.2.4. The Secondment Fee will be charged at the rate of 3% as calculated in the example in Appendix 2.

5.2.5. The Parent Hospital reserves the right to make retrospective adjustments to recoverable charges, resulting from changes to the relevant Certified Agreement.

5.3. The Parties agree to abide by Secondment arrangements outlined in the Australian Medical Association (Victoria) Hospital Medical Officer Certified Agreement 2002 For Victorian Public Hospitals and its successors (2006 and 2009) and relevant Department of Health Circulars and any other successor documents on the following basis:

5.3.1. if there is any change in the documentation outlined in this clause 5.3, which affects the terms of this Agreement, the Parties agree to negotiate in good faith to make any necessary and reasonable amendments to this Agreement;

5.3.2. If the Parties are unable to agree to any amendments which either Party considers are necessary and reasonable, then in the event of any inconsistency between this Agreement and the documentation referred to in this clause 5.3, this Agreement will prevail to the extent of the inconsistency.

6. GST

6.1. In relation to any amounts which may become payable by way of goods and services tax under A New Tax System (Goods and Services) Act 1999 (‘the GST Act’):

6.1.1. All terms will have the meaning defined in the GST Act;

6.1.2. After calculating all fees or amounts payable under this Agreement, a GST will be incurred for applicable costs at the rate of 10%.

7. RECORDS AND REPORTING

7.1. The Parties must keep and maintain proper and accurate records and accounts relating to the Secondments under this Agreement for at least 12 months from the end of the Term.

8. NOTICES

All notices to be given pursuant to this Agreement:

8.1.1. must be in writing;

8.1.2. may be delivered personally or sent by post or transmitted by facsimile transmission to the address as may be advised in writing from time to time;

8.1.3. if sent by post will be deemed to have been delivered two (2) days after the date of posting.

9. TERMINATION

9.1. This Agreement may be terminated by either Party giving 6 (six) months written notice to the other.

9.2. Termination shall be effective 6 (six) months after the date on which written notice is served.

9.3. If one Party to this Agreement (the Terminating Party) terminates the Agreement other than under clause 9.1, it shall be liable to the other Party (the Other Party) to pay a sum to the Other Party equal to the Doctor’s weekly salary multiplied by the number of weeks remaining in the rotation from the termination date.

10. DISPUTE RESOLUTION

10.1. If the Parties fail to agree upon some issue, matter or thing which is the subject of, which touches, or pertains to this Agreement (“the Issue”), they shall follow the following procedures:

10.2. The Issue must first be discussed by the Director of Medical Services of both Parties, or person holding an appropriately senior position within each Party’s organisation as determined by each Party, or his or her delegate;

10.3. If still no agreement can be reached, then the Issue shall be referred to a Party independent of both the Parties nominated by both Parties, or by the Secretary, Department of Health (Victoria) (“the Expert”) who is both appropriately skilled and knowledgeable in the relevant area.

10.4. The Expert shall be responsible for recommending a resolution of the Issue, and each Party shall treat the recommendation as if it had come from an expert appointed to advise that Party.

10.5. The Expert shall:

I. not act as an arbitrator;

II. bind the Parties by his or her decision; and

III. be equally remunerated by the Parties.

10.6. Until the matter is determined, the Parties must continue to perform their obligations under this Agreement. Neither Party shall be prejudiced as to the final settlement by continuing to perform their obligations.

10.7. The Parties shall co-operate to ensure that these procedures are carried expeditiously.

11. MISCELLANEOUS

11.1. Further co-operation

11.1.1. Each Party must do anything that the other Party reasonably requires to give full effect to, and to comply with any legislative requirements relating to this document.

11.2. Accrued Rights

11.2.1. The ending of this Agreement does not affect any accrued rights.

11.3. Liability for costs

11.3.1. Each Party must pay its own costs in relation to preparing, negotiating, and executing this Agreement.

11.4. Variation

11.4.1. The terms of this Agreement may only be varied by agreement in writing of both Parties.

11.5. Waiver

11.5.1. A waiver by a Party is only effective if it is in writing.

11.5.2. A written waiver by a party is only effective in relation to the particular obligation or breach in respect of which it is given.

11.6. Severability

11.6.1. If a clause or part of a clause of this document can be read in a way that makes it illegal, unenforceable or invalid, but can also be read in a way that makes it legal, enforceable and valid, it must be read in the latter way.

11.6.2. If any clause or part of a clause of this document is illegal, unenforceable or invalid, that clause or part is to be treated as removed from this document, but the rest of this document is not affected.

11.7. Relationship of the Parties

11.7.1. This document does not create a partnership or agency between the Parties.

11.7.2. No Party is liable for an act or omission of another party, except to the extent set out in this document.

11.8. Governing law

11.8.1. This Agreement is governed by the law of Victoria. The Parties submit to the non-exclusive jurisdiction of the courts of Victoria.

11.9. Schedules

11.9.1. The Schedules attached to this Agreement form part of this Agreement.

12. REPRESENTATIVES OF PARTIES TO THIS AGREEMENT

12.1. As listed in Item 5 of Schedule 1 or such other person as may be delegated from time to time. Notification of changes to representatives of parties must be made to the other party in writing.

4 Secondment Fee

Schedule 2

Item 1 - Arrangement for Rostering and Backfill of Annual Leave:

1. Where possible, all Interns and Basic Physician Trainees will not take annual leave whilst at the Secondment Hospital.

2. In general, all Doctors on rotations of three months or less will not take annual leave during their rotation unless specifically agreed by the Secondment Hospital.

3. It is the responsibility of the Secondment Hospital to provide the pro-rata time entitlement of annual leave to any Seconded Doctor on a six month or longer Secondment whilst on rotation. This is to ensure that Doctors who are externally rotated throughout their entire year have their entitlement met. Where possible the Parent Hospital will endeavour to provide cover for the Seconded Doctor on leave.

Item 2 - Arrangements for Reimbursement of Leave

Reimbursement of Annual Leave and Conference Leave

The Parent Hospital will invoice the Secondment Hospital monthly for reimbursement of leave. The Secondment Hospital will reimburse the Parent Hospital monthly in arrears within 30 days of receipt of an invoice from the Parent Hospital for paid leave (annual and conference) taken by rotating Doctors.

Five weeks annual leave is allocated to Doctors. Five weeks annual leave shall be reimbursed per EFT secondment post, regardless of whether the leave is taken during the rotation at the Secondment Hospital. The classification on which Annual Leave payments are calculated will be based on the Seconded Doctor’s classification level. On-costs will be applied to annual leave as per Appendix 1.

Clause 45.4b of the DIT Agreement states that if a Doctor works less than 60 hours but at least 48 hours per week, annual leave wages must be paid at 48 hours calculated at single time (1.0) for each week of leave. This is extrapolated into an on-cost percentage as per the following table:

Doctors are entitled to a minimum of one week conference leave annually. The Parent Hospital will seek pro-rata reimbursement from the Secondment Hospital for Conference leave for Doctors who have had a rotation at the Secondment Hospital during the year.

Examples for Annual Leave:

Where no annual leave is taken whilst at the Secondment Hospital by the various doctors fulfilling one position, the full five weeks annual leave costs will be in addition to the salary costs incurred; that is 57 weeks payment is due for 52 weeks actual work. (or 58 weeks if a 53 week clinical year).

Where the various Doctors fulfilling a given post take a combined three (3) weeks annual leave whilst at the Secondment Hospital and this is not replaced, the cost for the post for the year would be the equivalent of 54 week’s salary.

Where the various Doctors fulfilling a given post take three (3) weeks annual leave whilst at the Secondment Hospital and this is fully replaced, the cost for this post for the year would be 57 week’s salary equivalent.

Reimbursement of Sick Leave

With the exception of periods of Excessive Sick Leave, sick leave shall be paid directly to the Doctor by the Secondment Hospital for actual costs incurred during the rotation. Neither Party shall pay the other for sick leave entitlements that are taken during a rotation.

Excessive Sick Leave payments that arise during the clinical year will be assessed based on the pro-rata EFT position rotated to the Secondment Hospital for each individual cohort (for example - Interns). Re-imbursement will be paid by the Secondment Hospital within 30 days of receipt of “end-of-year” invoice from the Parent Hospital. Replacement for any such leave will be as per normal leave replacement principles and processes.

Examples for Excessive Sick Leave:

The Registrar roster contains 100 Doctors. Of the 100 doctors 10 positions are filled by Secondment Hospital positions. During the year 2 Registrars take excessive leave and are both paid 10 weeks paid sick leave. The Secondment Hospital’s share of the Excessive Sick Leave payment would be 10/100 * 20 weeks paid sick leave.

Reimbursement of Maternity Leave and/or Paternity Leave

The Parent Hospital will invoice the Secondment Hospital monthly in arrears for relief cover at the same time as annual leave reimbursements are invoiced.

APPENDIX 2: On-Cost Percentages

On-cost percentage rates to be applied on the wage types noted in Appendix 1 are as follows.

Long Service is to be applied to Annual Leave on-cost and Conference Leave on-cost as well as those wage types listed above.

Work Cover is to be applied to Annual Leave on-cost, Conference Leave on-cost, Long Service Leave on-cost, and Superannuation on-cost as well as those wage types amounts listed above.

Example Calculations:

The following two (2) tables set out the calculation required for the application of on-costs. They have been calculated assuming 12 equal monthly instalments in order to display the rationale associated with the application of the various on-costs. It may in fact be more practical for Health Services to generate invoices based on either payroll fortnights processed within the month or according to the number of weeks in the month. Both examples are based on a Doctor with a classification equivalent to Registrar Year 1 (HM25). Rates are as applicable from the first pay period commencing on or after 1 October 2011.
