    Legal Structure

    Unilever operates as a single business entity. NVand PLC are the two parent companies of theUnilever Group, having separate legal identitiesand separate stock exchange listings for theirshares. To ensure unity of governance andmanagement, they have the same Directors and

    are linked by agreements. The EqualisationAgreement regulates the mutual rights of the twosets of shareholders, including dividends. Thereis a one-for-one equivalence between theshares.

    Management

    The Category President is responsible forCategory strategies, brand development andinnovation. Regional Presidents are responsiblefor managing the business, deploying brandsand innovations effectively and winning withcustomers. They are supported by the Financeand HR functions.

    StrategyUnilever is committed to growing competitivelyby developing its core assets of brands,technology, geographic spread and marketingexcellence. We will put the consumer and thecustomer at the heart of everything we do.     2008 Results at a glance

    Turnover grew by 1.0%Underlying sales growth of 7.4%. Operatingmargin 17.7%, with an underlying improvementof 0.1 percentage points. Operating profit for theyear was 37% higher, mainly due to disposalproceeds . Net profit from continuing operationsgrew by 30%. Strong cost savings programmesdelivered 1 billion in the year.

    Share listings, EPS and DividendsUnilever is listed on the London, Amsterdam andNew York stock exchanges.

    Unilever aims to pay an attractive, sustainableand growing dividend.

    Unilevers practice has been to pay interim andfinal dividends equalised between PLC and NVaccording to the equalisation agreement. It isproposed to change to a simpler and moretransparent dividend practice. Further details canbe found on www.unilever.com.
