Who can use our Clearing House Service? Employers in the Account who want a simple, secure and effective method of managing their employees super contributions online.

What are the major benefits of using our Clearing House Service?Save time, money, and paperworkOur Clearing House Service delivers you online efficiency, saving you time and money associated with processing super payments. All information and payments are lodged electronically and these records are maintained for your reference, eliminating the need to retain records. Records are kept on EOL Transact for 4 years.

Fewer errorsOur Clearing House Service has checks in place, including automatic reconciliation. This means there will be fewer errors as our Clearing House Service ensures all necessary information is provided upfront, reducing the need for manual reconciliations.

Fast receipt of contributionsUsing our Clearing House Service, contributions are paid via Direct Debit or BPAY®, so contributions reach us quickly.

SecurityOur Clearing House Service is a secure system with dual password capability and 128 bit security encryption.

Two levels of access are available:

• Level 1 – access to change details on the system and authorise payment of contributions.

• Level 2 – access to change details on the system only (unable to authorise payments).

FlexibilitySuper payments can be made whenever it suits you – 24 hours a day, 7 days a week (subject to scheduled downtime).

Our Clearing House Service minimises your administration burden by allowing you to process contributions to multiple super funds for your employees. Through our Clearing House Service you can electronically transfer your employees’ Superannuation Guarantee (SG) contributions (and any other contribution type) to any complying super fund your employees nominate.

Our Clearing House Service is accessed through EOL Transact. EOL Transact is an online payment service for employers making and reporting on contributions on behalf of their employees.

In order to use our Clearing House Service, all you have to do is complete the EOL Transact registration form found at the back of this PDS.

Your use of the Clearing House Service is subject to the Terms and Conditions set out on pages 13 to 15 which may be varied by us from time to time.

How does our Clearing House Service work?Our Clearing House Service provides three processes:

1. Linking the nominated Choice Fund selection to the employer.

2. Linking an employee to their nominated Choice Fund selection.

3. Arranging for the online payment of super contributions and inputting contribution details to an employee’s Choice Fund.

For more details, please refer to the EOL Transact User Guide that we will supply to you with your User ID and login following the acceptance of your application.

Linking to a Choice FundOnce you have received a completed Choice of Fund form from an employee, you can initiate the process of linking the employee to their chosen Choice Fund.

Firstly, you will need to link the employee’s Choice Fund against your employer code on EOL Transact.

The majority of Choice Funds will allow you to link to them immediately, but some may take up to 5 working days. We will send you an email confirmation for any Choice Funds that do not link immediately.

The information that you may require from your employee who has made a Choice Fund election includes:

• the full name and contact details of the Choice Fund;

• the employee’s membership number in the Choice Fund (if applicable);

• the ABN number of the Choice Fund (if applicable);

• the Superannuation Product Identification Number (SPIN) of the Choice Fund (if applicable); and

• information concerning the method of payment of superannuation contributions to the Choice Fund.

Once the linking of the Choice Fund process has been completed, you can then link your employee to their chosen fund.

For more details regarding the process of linking an employee, please refer to the EOL Transact User Guide that we will supply to you with your User ID and login following the acceptance of your application.

Paying super contributions in 3 stepsTo pay contributions to your employees’ Choice Fund you will need to follow these three steps.

Step 1 –Log on to EOL Transact.

Step 2 – Specify the amount of the contribution either by amending the eForm* or via payroll upload** and submit the information.

Step 3 – Authorise payment

• If using Direct Debit, the payment will come out of the nominated account the day following authorisation (see page 15 of this PDS for further information).

• If using BPAY®, you will be issued with a Biller Code and Customer Reference Number (CRN). The employer must then lodge payment via their BPAY® facility and quote these details.

No further action is required. We will match the payment with the contribution information sent to us via our Clearing House Service.

Other information about the Clearing House ServiceContributions to any complying superannuation fund that employees have nominated can be made through our Clearing House Service.

Our Clearing House Service stores all employees’ super choices and directs payments according to the choices recorded. Prior to disbursing the money, an automated complying fund check is carried out to ensure that employees’ choices of fund are recorded accurately.

Once you have authorised the payment (see Step 3 ‘Paying super contributions in 3 steps’), you can view the payment details at the time the authorisation is complete.

We have no control over the amount of time external funds take to process the contribution to the employees’ account.

When using our Clearing House Service to pay your employees’ SG payments, it’s important to allow sufficient processing time before the quarterly cut-off dates. Contributions processed via our Clearing House Service can take up to 10 working days before moneys have been received by any nominated Choice Fund.

If you do not allow for enough time for contributions to be processed, you may be in breach of your legislative obligations and could be liable to pay the superannuation guarantee charge.

The ATO defines contributions as being paid on the date it is received by the superannuation fund.

From time to time, delays may be experienced when transferring contributions via our Clearing House Service or in distributing payments to any nominated Choice Funds due to:

• the failure of the electronic payment system, mail delivery or industrial disputes;

• delays that may be experienced when using our Clearing House Service due to any scheduled system maintenance.

If the Choice Fund fails to process or accept payments that have been transferred by our Clearing House Service, these payments will be returned to us. We will then forward the returned payment back to the employer.

What are the risks of using EOL Transact?EOL Transact is an electronic clearing house which has similar risks to an electronic banking system. With electronic transaction systems you need to keep your login and password details secure to eliminate the possibility of unauthorised transactions. We will not be held responsible if unauthorised transactions occur.

We will act upon all instructions received through EOL Transact. You are responsible for supplying accurate data through EOL Transact. If information provided to us by you is incorrect, then incorrect amounts may be processed from your account.

If you notify us that incorrect data has been supplied to us, we will endeavour to rectify the error.

* eForm refers to direct entry method of transacting or data entry. ** Payroll Upload refers to the uploading of an employers payroll/superannuation file directly into EOL

Transact. Before you can use the Payroll Upload facility we must first set you up.

We reserve the right to waive the application of the fees set out below in whole or in part, or increase or amend the fees, at our sole discretion.

Fee

If you’re an employer group using our Clearing House Service and have less than 50%* of your employees registered to make Choice payments.

No fee is charged for using our Clearing House Service.

If you’re an employer group using our Clearing House Service and have 50%* or more of your employees registered to make Choice payments.

A fee of up to $1.00 (plus GST) per contribution per member.

* The 50% calculation is based on the total number of your employees who are members of the Employer Fund.

If you’re an employer who has more than 50% of your employees registered for Choice, then for every contribution made to a Choice employee you may be charged a fee. You will be asked to pay the fee along with their contributions, dependant on their payment type – if Direct Debit then we will collect

the contribution and fee together, if BPAY® then you will be asked to forward sufficient funds to cover the contributions and fees.

Please note for BPAY® payment, if no Choice payment is forwarded then the Choice remittance and payments will not be sent out.

Enquiries and ComplaintsWe have established procedures for dealing with enquiries and complaints that meet the Australian Standard for Complaints Handling.

In addition, we are a member of the Financial Industry Complaints Service (FICS), an external complaints resolution service. If you have a complaint about your Account and we have not resolved it to your satisfaction, you may have the right to lodge a formal complaint with FICS. You can call FICS on 1800 335 405.

Service ProviderSuperChoice Services Pty Limited has been appointed by us to administer our Clearing House Service.

PrivacyPrivacy statement‘You’ and ‘your’ are references to the employer and employee(s) of the employer that is applying to use our Clearing House Service.

What is this statement about?Your right to privacy is important to us. This statement summarises your privacy rights and our rights and obligations in relation to your information. For more details you can view our Privacy Brochure at any time at www.asgard.com.au.

Your rights You need not give us any of the personal information requested in the Application or any other document or communication relating to your Account. However, without this

information, we may not be able to process your Application or provide you with an appropriate level of service.

You may request access at any time to personal information held by us about you and ask us to correct it if you believe it is incorrect or out of date. We do not charge a fee for an access request, but we may charge you our reasonable costs of processing your request.

How we may use your personal information Your personal information may be used to:

• maintain a register of names and addresses

• process your Application, including any application for insurance

• provide our Clearing House Service to you

• facilitate our internal business operations, including fulfilling legal requirements

• carry out confidential maintenance and testing of computer systems.

Our right to disclose your personal information Your personal information may be disclosed in the following circumstances:

• On a confidential basis to our agents, contractors or third party service providers to enable them to provide financial, administrative or other services. For example, your personal information may be provided to any administrator engaged in connection with provision of our Clearing House Service.

• Where the law requires or permits us to do so.

• If you consent.

“ You may request access at any time to personal information held by us about you and ask us to correct it if you believe it is incorrect or out of date.”

Your authority to usAs a condition of us agreeing to provide our Clearing House Service to you, you authorise us to collect, maintain, and disclose your personal information in the manner set out in this Privacy Statement. You also declare you have the authority of the employer that you purport to represent.

Direct Debit

Direct Debit is a simple and secure method to forward your superannuation contribution payments.

Funds can only be drawn from the nominated account when the employer has:

• logged on to EOL Transact• entered employee contribution

details• submitted a file online to us.

We will not deduct funds from the nominated account without the online contribution instruction.

Please read the following Direct Debit Service Agreement before completing an application for EOL Transact.

Direct Debit Request Service AgreementAsgard Capital Management Ltd ABN 92 009 279 592 (‘we’ or ‘us’), User ID: 016103.

Level 38, Central Park, 152 St George’s Terrace, PERTH WA 6000.

You have entered or are about to enter into an arrangement under which you make payments to us. You want to make those payments by use of the Direct Debit System (DDS).

This agreement sets out the terms on which we accept and act under a Direct Debit Request (DDR) you give us to debit amounts from your account under the DDS. It is additional to the arrangement under which you make payments to us.

Please ensure you keep a copy of this agreement as it sets out certain rights you have against us and certain obligations you have to us due to giving us your DDR.

When we are bound by this agreement1. We agree to be bound by this

agreement when we receive your DDR complete with the particulars we need to draw an amount under it.

What we agree to and what we can do2. We only draw money out of your

account in accordance with the terms of your DDR.

3. We do not give you a statement of the amounts we draw under your DDR.

4. On giving you at least 14 days notice, we may: change our procedures in this agreement; change the terms of your DDR; or cancel your DDR.

5. You may ask us to: alter the terms of the DDR; defer a payment to be made under your DDR; stop a drawing under your DDR; or cancel your DDR by emailing: [email protected] or writing to: Asgard Business Super, PO Box 7490 Cloisters Square PERTH WA 6850

6. You can dispute an amount we draw under your DDR by calling Asgard Business Super on 1800 005 740; or emailing: [email protected]; or writing to: Asgard Business Super, PO Box 7490 Cloisters Square PERTH WA 6850

7. We deal with any disputes under Clause 6 of this agreement as follows. We and our bank review our respective records. If necessary we contact your financial institution to review its records. We advise you and your financial adviser in writing within 2 to 4 weeks, depending on the nature and extent of the dispute, and the measures taken to resolve it.

8. If the day on which you must make any payments to us is not a business day, we will draw on your account under your DDR on the first business day following that day.

9. If your financial institution rejects any of our attempts to draw an amount in accordance with your DDR, we contact you and your financial adviser in writing. After three consecutive rejections we advise you and your financial adviser in writing that you can no longer make payments by Direct Debit.

10. We will not disclose to any person any information you give us on your DDR, which is not generally available, unless: you dispute any amount we draw under your DDR and we need to disclose any information relating to your DDR or to any amount we draw under it to the financial institution at which your account is held or the financial institution which sponsors our use of the DDS or both of them; you consent to that disclosure; or we are required to disclose that information by law.

What you should consider11. Not all accounts held with a

financial institution are available to be drawn on under the DDS.

12. Before you complete your DDR, it is best to check account details against a recent statement from your financial institution to ensure the details on your DDR are completed correctly. If uncertain you should check with your financial institution before completing the DDR.

13. If you are uncertain about when an amount we draw under your DDR on a day which is not a business day will be processed, please enquire with your financial institution.

14. It is your responsibility to ensure there are sufficient cleared funds available in your account by the due date on which we draw any amount under your DDR, to enable us to obtain payment in accordance with your DDR.

15. We request you to direct all requests to stop or cancel your DDR to us or your financial institution and all enquiries relating to any dispute under Clause 6 of this agreement to us or your financial institution.

In using EOL Transact including our Clearing House Service (the ‘Service’), you acknowledge and agree:

1. We may charge a fee for the use of the Service. The amount of the fee, how it is calculated and the manner in which it is collected shall be determined by us. If at any time a fee is not being charged and we subsequently decide we want to charge a fee, we will give 30 calendar days notice to you of our intention to do so. Failure to pay a fee charged by us may result in us suspending or cancelling your access to the Service without notice.

2. You will receive a confidential Login Identification details and a Login Password that will permit access to the Service. You will not disclose your Login Identification details and a Login Password to any other party and acknowledge that access to your details will be provided to any person using your Login Identification details and a Login Password or complying with any other security procedures that may be instituted from time to time. Any action or request taken or given by the user of your Login Identification details and a Login Password will be deemed to have been taken or given by you and the request may be carried out. Any

action taken or request given by the user of the Login Identification details and a Login Password cannot be countermanded.

3. You will not attempt to: (a) access any details that do not

relate to you; or (b) lodge transaction instructions

that do not relate to your employees, and will notify us immediately if any such unauthorised access or lodgement occurs.

4. You will: (a) comply with any direction given

to you from time to time by us in relation to the use of the Service, and

(b) advise us as soon as possible if you become aware of:

(i) any error or omission contained in an instruction after transmission; or

(ii) any error or malfunction in or caused by the Service.

5. The Service permits you to make contributions on behalf of your employees by any payment facility permitted by us. It is your responsibility to ensure that there are sufficient clear funds in your

You should regularly check your nominated financial institution account to ensure that contributions have been made in accordance with the transaction instructions submitted to the Trustee from time to time. We will provide you with a biller code and transaction number or other information as advised from time to time to facilitate payments through your nominated payment facility. Any arrangements between you and your financial institution or the Trustee, as the case requires, relating to your payment facility, are separate from and not governed by these terms and conditions, and we are not responsible for faults, errors or delays caused by your use of those arrangements. Any queries relating to your payment facility must be resolved in accordance with those arrangements.

6. You will receive a receipt for each transaction instruction submitted using the Service. The receipt is an acknowledgment by us only that the instruction has been successfully received by us, and not that we have processed the instruction.

7. You will: (a) comply with any Privacy Law: (i) by which you are bound; and (ii) by which we are bound and

of which we notify you, as if you were bound;

(b) use the Personal Information made available to you only for those purposes permitted by the Privacy Laws;

(c) restrict access to the Personal Information to employees who need access to it for the

purposes of clause 3(b) of this Agreement, unless we otherwise consent;

(d) not disclose any Personal Information to a third party without our consent, unless the third party is the individual to whom the Personal Information relates;

(e) deal with the Personal Information as directed by us where necessary to avoid a breach of the Privacy Laws by which we and you are bound;

(f) take all reasonable steps to ensure that the Personal Information is protected against misuse and loss, or unauthorised access, modification or disclosure;

(g) not do anything with the Personal Information that will cause us to breach any Privacy Law;

(h) notify us immediately if you become aware that a disclosure of Personal Information:

(i) has been made in breach of this clause or any Privacy Law; or

(ii) may be required by law.8. You will notify us in writing if you

want your access to the Service suspended or cancelled at any time.

9. Your use of the Service including these terms and conditions may be varied, suspended or cancelled by us at any time without notice.

10. Except to the extent required by law, we and our related companies make no representations or warranties, express or implied, that the Service is fault free or as to the continuity, accessibility, reliability or efficiency of the Service, or the suitability of the Service to your needs. The data and information

provided by the Service is based on information provided by you and except to the extent required by law, we and our related companies make no representations or warranties, express or implied, as to its accuracy, timeliness or completeness. You enter into this Agreement at your own risk and solely in reliance on your own judgement and not on the basis of any warranty or representation made by us or any related company.

11. Except to the extent required by law, we and our related companies will not be liable to you in contract, tort or otherwise (whether negligent or not), and you will not have any cause of action against or right to claim or recover from them for or concerning any loss or damage of any kind at all (including consequential loss or damage and including business interruption) caused directly or indirectly out of:

(a) the provision or use of, or inability to use the Service or any part of it;

(b) any inaccuracy, defect, unintended inclusion, malfunction, default, error, omission, loss, delay or breakdown in the Service or the transmission, reception, use or storage of transaction instructions;

(c) any suspension of the Service; (d) any delay in or failure to

lodge or execute instructions due to systems faults, communication failures or any other circumstance outside the reasonable control of us or our related companies;

(e) any delay in or failure to execute instructions arising

from us following our standard procedures in the usual course of business, including, without limitation, ensuring the instructions do not contravene any requirement of the Trustee or of Superannuation Law, and seeking clarification of instructions;

(f) any loss suffered by you or any third party arising directly or indirectly out of, or in connection with, your use of the Service (including but not limited to, the fault or negligence of the trustee relating to the use of, or maintenance of, the Service or otherwise);

(g) any error or omission made by you with respect to the use of the Service and the transmission of instructions;

(h) any refusal or rejection by an External Trustee of a Clearing House transaction; or

(i) any other act, matter, thing or condition beyond our reasonable control.

12. Except to the extent required by law, we are not liable for any delay or failure in the provision of the Service or any damage or loss consequential upon or occasioned thereby where the delay or failure is due to any cause beyond the reasonable control of us and our related companies.

13. You agree to indemnify us and/or our related companies from and against all loss, claims, costs and expenses (including legal expenses on a solicitor and own client basis) arising either directly or indirectly from a breach by you of these terms and conditions or your use of the Service. This indemnity is a continuing obligation and

continues after your use of the Service ends. It is not necessary for us to incur any expense or make payment before enforcing this indemnity.

14. These terms and conditions use terms defined earlier in this PDS and the following terms:

‘Clearing House’ means the facility provided by us to allow you to make electronic transfers of your employees’ superannuation contributions to any External Superannuation Trustee

‘External Superannuation Trustee’ means any superannuation trustee, other than us, and includes their agents and service providers.

‘Personal Information’ means information (including information or an opinion forming part of a database), whether true or not, and whether in a recorded material form or not, about an individual whose identity is apparent, or can reasonably be ascertained, from the information, which is made available to you through the Service.

‘Privacy Law’ means all legislation, principles, industry codes and policies relating to the collection, use, disclosure, storage or granting of access rights to Personal Information.

‘Superannuation Law’ means a requirement of any legislation governing the operation of superannuation funds and the superannuation guarantee charge, any regulations made under that legislation, and any administrative requirements made by a regulatory authority charged with the administration of Superannuation Law.
