Booth Space Assignment and PaymentA binding contract between the applying company (exhibitor) and the FMMI shallonly come into existence upon the acceptance of the application by FMMI.Exhibitors will be notified of the acceptance of said contract by FMMI within twoweeks of receipt of contract.

This application is a binding contract and acts as your official invoice for therequired deposit. Payments are due within 14 days after receipt of the invoice.Invoicing starts in February 2017. FMMI accepts payment by bank transfer or bycheck. Applications from companies who have an outstanding balance due to anyIntersolar event will not be processed without payment of the outstanding balance.If your booth fee account is delinquent, FMMI reserves the right to release thespace for re-assignment. Should the requested space be previously assigned orthe floor layout change, FMMI will endeavor to provide suitable alternate space.The exhibitor’s ultimate placement by FMMI must be considered final. FMMIreserves the right to relocate an exhibitor at any time, for any reason, for theoverall good of the exhibition. FMMI is not obligated to reimburse the exhibitorfor any costs stemming from relocation.

FMMI will do its best to accommodate the configuration requests of the exhibitor;however FMMI cannot guarantee the requested location, dimension andconfiguration.

General RulesThe exhibitor agrees that the rules and regulations of Intersolar South Americaare made a part of this contract and agrees to be bound by them. The exhibitorfurther agrees that FMMI has the full power to interpret and enforce all rules andregulations in the best interest of Intersolar South America.

Qualifying to ExhibitExhibitors of Intersolar South America must fall into at least one category listed insection 2 on page 2 of the application.

FMMI reserves the right to determine the eligibility of any product or display.

Use of Space, Co-ExhibitorsAll booths must be staffed during exhibition hours. The exhibitor may not assign,sublet or re-sell, in whole or in part, the contracted space. Several companies may share a booth area only if the main exhibitor has listed allfirms in his application for inclusion as Co-exhibitors, if they have been approvedby FMMI and if the exhibits accept to comply with all exhibitor conditions and regulations. The main exhibitor shall in any case be responsible and liable for allfinancial and performance covenants and obligations. The booth space may notbe used, even temporarily, by any other third party. The fee charged for inclusionof Co-exhibitors (€250 per Co-exhibitor) is invoiced to the main exhibitor. If themain exhibitor fails to register Co-exhibitors or gives incomplete or incorrect information in his application, FMMI shall exercise its discretion to compute andcharge participation fees that would have become due if a proper application hadbeen made. If several companies wish to rent a booth together as joint mainexhibitors, they shall authorize a common representative in their application. Eachof the exhibitors shall be required to display their exhibits and employ personnelto staff the booth. Co-exhibitors and main exhibitors shall be jointly liable for theparticipation fees and charges for any services used.

Cancellation or Change of BoothShould FMMI be unable to hold the exhibition for any cause beyond its reasonablecontrol, or if FMMI is unable to permit the exhibitor to occupy its space due tocauses beyond FMMI’s reasonable control, FMMI has the right to cancel the boothwith no further liability than a refund of the booth space rental less a proportionateshare of the exhibition expenses incurred by FMMI. FMMI shall in no event be liablefor incidental or consequential damages to the exhibitor arising from or relatingto such cancellation. Should the exhibitor’s display and/or materials fail to arrive,the exhibitor is nevertheless responsible for the rental of its booth space.

LiabilityFMMI shall not be liable for damages or injury to persons or property from anycause whatsoever by reason of occupancy of booth space by the exhibitor, its employees or representatives unless in cases of willful misconduct by FMMI, itsemployees, agents or representatives. Further, the exhibitor indemnifies, and holdsharmless, FMMI and each of their officers, directors, employees, partners (includingSolar Promotion International GmbH and Aranda) and agents from all liabilities thatmight result from any cause whatsoever with respect to the exhibit(s) including,without limitation, theft or other loss from the booth. The exhibitor agrees to paypromptly for any and all damage to FMMI, its representatives, other exhibitors,the exhibition venue or its equipment, incurred through carelessness or otherwise,caused by the exhibitor, its employees, agents, or representatives (including contractorsappointed by the exhibitor for the set up and dismantle of the booth). FMMI willprovide general security at all times, but FMMI shall in no event be liable for anyloss or damages whatsoever due to any lack or failure of such security. Theexhibitor assumes full responsibility for any loss of equipment and/or displaymaterial, resulting from theft, or any other cause whatsoever.

Compliance with RulesThe exhibitor assumes all responsibility for compliance with pertinent ordinances,regulations, and codes of duly authorized local, state, and federal governmentbodies concerning fire, safety, and health, together with the rules and regulationssent with the exhibitor’s booth confirmation and also contained in the ExhibitorServices Manual. All aisles and service areas must be kept clear, with boundariesset by the Fire Department and FMMI. If a contractor is appointed by the exhibitorappointed for the set up and dismantle of booth, FMMI must be notified inwriting within thirty days (30) prior to the set up of the booth. The exhibitor isfully liable for any damage caused by the contractor. The contractor must submitto FMMI a valid public liability and property damage insurance policy within thirtydays (30) prior to the exhibition set-up.

Withdrawal from/Cancellation of AgreementRegistration shall be binding. Withdrawal by the exhibitor shall only be possible forthe reasons provided for by law. If no such reason exists, FMMI shall be entitled, butnot obliged, to cancel the exhibitor’s registration at the exhibitor’s request. FMMIshall be entitled to make its agreement to the cancellation conditional on it beingable to lease the booth to another party. In this case, FMMI’ shall not be entitled tobooth rental from the cancelling exhibitor. If it is impossible to rent the booth toanother party, FMMI shall be entitled to move another exhibitor to the unoccupiedbooth or to fill the booth in another way in the interest of the overall appearance. Inthis case, the exhibitor shall not be entitled to any reduction in booth rental. FMMIshall also be entitled to demand lump sum compensation (a cancellation fee) fromthe exhibitor at its discretion. The amount of the cancellation fee depends on whenFMMI receives the exhibitor’s (written) notification to withdraw from its binding re-gistration or the agreement it consequently concluded:

If the exhibitor demonstrates that FMMI has suffered no loss or only a loss which isless than the cancellation fee, it shall only be obliged to pay a correspondinglyreduced compensation. The exhibitor shall bear any costs incurred as a result of its in-structions contained in orders already placed. Any costs for decoration or filling theunoccupied booth shall be for the exhibitor’s account. FMMI shall be entitled towithdraw from the agreement if the exhibitor infringes an obligation with regard tothe rights, legal interests and interests of FMMI under this agreement and it isaccordingly no longer reasonable for FMMI to adhere to the agreement. In such acase, FMMI shall be entitled not only to withdraw from the agreement, but also todemand payment of the agreed booth rental from the exhibitor as flat-ratecompensation. The right of FMMI to claim further damages remains unaffected. Theexhibitor can demand that the flat-rate compensation be reduced if the exhibitorproves that the loss or damage incurred by FMMI is less than this amount. Exhibitorsthat cancel completely from the exhibition (regardless of liquidated damages beingpaid) will not have priority for space the following year. The Organizers must receive awritten request to be placed on the wait list to exhibit. The Organizers reserve theright to reassign cancelled booth space, regardless of the liquidated damage companybeing paid. Subsequent reassignment of cancelled space does not relieve thecancelling Exhibitor of the obligation to pay the fees. All booths must be ready for theexhibition by 6:00 pm on August 22, 2016. Failure to do so will be considered a cancellation, unless the Organizers have been notified and have approved otherwise.

Miscellaneous/ProvisionsThis agreement shall be governed by the laws of Germany. All disputes arising outof or in connection with the present contract shall be finally settled under theRules of Arbitration of the International Chamber of Commerce by one or morearbitrators appointed in accordance with the said Rules.It is the responsibility of each exhibitor to read and comply with all rules and regulations as stated in the exhibitor Services Manual. Each exhibitor will be fullyresponsible for all costs involved, should the exhibitor violate rules or regulationsthat require appropriate recourse by FMMI.

List of Exhibitors (Print/Online)An official catalog/Event Directory is printed for the exhibition. All exhibitors areincluded in the alphabetical list of exhibitors with the designation stated in theapplication form. The information provided under ”product groups“ (section 2)will be shown in the Event Directory. The compulsory entry into the EventDirectory includes up to three categories; any additional categories will becharged at €50 each. The exhibitor online listing (Online Exhibitor List) iscompulsory and free of charge.
