1. GeneralAll matters and questions not covered by the General Information, Rules and Regulations are subject to the decision of Show Management. The General Information, Rules and Regulations may be amended or supplemented at any time by Show Management, and all such amendments or additions shall, upon reasonable notice, be as equally binding on all parties affected as the original General Information, Rules and Regulations.

2. QualificationsEligibility is generally limited to persons or firms who supply products and services to the Human Resources Systems Industry. Applicants who have not previously exhibited may be required to submit the nature of their business and the scope of items to be exhibited. Show Management reserves the right to reject any applicant to exhibit.

3. Assignment of SpaceAfter the initial space assignments on October 16 2016 deadline, space will be assigned on a first-come, first-served basis. Show Management will attempt to honor an Applicants’ request for booth space and its desires with respect to companies that it does not wish to have located next to its space. However, Show Management specifically reserves the right to assign Applicant to the best space available should its choices be unavailable. Further, should a space location conflict arise, Show Management specifically reserves the right to require the Applicant to choose between waiving its request not to be located next to a specific company or selecting another available exhibit space.

4. Use of SpaceThe space contracted for is to be used solely for the Exhibitor whose name appears on the Contract, and it is agreed the Exhibitor will not sublet nor assign any portion of same without the written consent of Show Management.

5. CancellationA cancellation fee of 50% of the total booth cost shall be assessed in the event of contract cancellation on or before October 31, 2016. No refunds are available for cancellations made after October 31, 2016. All cancellation notices must be received in writing. Show Management reserves the right to treat an exhibitor’s “downsizing” of booth space as cancellation of the original space and purchase of new booth space. Exhibitor may be required to move locations if they request a downsizing of space. Payment in full is due no later than January 5, 2017. If full payment is not received by the aforementioned payment deadline, your booth space may be released.

6. IHRIM Accounts Receivable PolicyExhibitors with past due accounts of 91 days or more to the IHRIM Association or its agents for services, including, but not limited to, advertising in IHRIM publications such as magazines, membership directories and conference programs, will be ineligible to exhibit at IHRIM conferences and trade shows.Companies that reserve space prior to becoming 91 days past due, will be canceled from their reserved space. Deposits received for exhibit space will be refunded minus the amount owed IHRIM for past due accounts. Show Management shall have the right to sell the space to another exhibitor. When the past due account is made current, the company would then be eligible to exhibit and assigned space based on availability.

7. DefaultExhibitors failing to occupy booth space by posted opening, any space contracted for but not canceled, will be obligated for the full cost of the space and is not entitled to any refund or rebate. Show Management has the right to use said space to suit its own convenience, including selling the space to another Exhibitor without any refund, rebate or allowance to the defaulting Exhibitor and without incurring any obligation of any kind to said defaulting Exhibitor.

8. Hold Harmless and InsuranceExhibitor assumes the entire responsibility and liability for losses, damages and claims arising out of injury or damage to Exhibitor’s displays, equipment and other property brought upon the premises of the expo hall. Exhibitor shall indemnify and hold harmless the expo hall, Show Management, and/or IHRIM, their agents and employees from losses, damages and claims inside or outside of the expo hall that may arise as a result of acts or omissions of the Exhibitor, its employees or agents. The expo hall and

Show Management and/or IHRIM will not be liable to the Exhibitor, its employees, agents or guests for any damages, loss or injury from fire, electricity, water, storm, riot, smoke, theft, accident or any other cause. The Exhibitor agrees to provide insurance coverage for personal injury and property damage liability. Insurance protection against fire, theft or damage to the Exhibitor’s materials and injury to the Exhibitor’s employees must be carried at the Exhibitor’s expense. The amount of required insurance shall meet the requirements set by all governmental authorities having jurisdiction as well as exhibit facility requirements.

9. TaxesExhibitor assumes the entire responsibility for and shall indemnify and hold harmless the expo hall, ShowManagement, and IHRIM, their agents and employees, from all state, federal and local taxes associated with sales activities relating to its exhibit.

10. Booth AccessibilityIn accordance with Title III of the Americans with Disabilities Act (ADA), each Exhibitor is responsible for making its exhibit accessible to the disabled, and must indemnify and hold harmless the expo hall, Show Management and IHRIM against failure to do so.

11. Use of Intellectual PropertyExhibitor represents and warrants that it shall not violate any copyright, trademark, or other similar intellectual property laws and that it shall comply with all copyright restrictions including, but not limited to, any license International Association for Human Resource Information Management (“IHRIM”) may obtain or any other laws and restrictions with respect to the use or performance of music, whether live or recorded, artwork, and trademarks of third parties at the IHRIM Event. Exhibitor further represents and warrants that it shall be fully responsible for the performance of all obligations under any agreement permitting its use of any copyrighted music or other intellectual property, including but not limited to, all obligations to report data and to pay royalty fees. Exhibitor agrees to indemnify, save and hold harmless IHRIM, and its directors, officers, agents, employees, members, and each of them, from and against any and all claims, costs, and expenses (including legal fees), demands, actions, and liabilities of every kind and character whatsoever with respect to any breach of the foregoing representations and warranties.

12. Installation and DismantlingExhibitors have move-in and move-out times as indicated in the Exhibitor Service Manual. Failure to remove an exhibit in the allowed time will afford Show Management the right to remove and place same in a warehouse, subject to the Exhibitor’s disposition, with all charges to follow at no liability to Show Management. All exhibits must remain intact until the Expo is officially closed.

13. Refreshments, Gifts and Contests, etc.Show Management reserves the right to prohibit, limit or discontinue the distribution of gifts, giveaways or similar promotions. Contests, raffles and drawings, if permitted under state or local laws, will be subject to the written approval of Show Management. There will be no announcement of Exhibitor’s contests, drawings or raffle winners during the Expo.

14. Exhibit Design and InclusionsStandard 10’ x 10’ in-line booths will be provided back drape and side rails that must be utilized. All exhibits will be bound by the rules and regulations for booth construction contained in the Exhibitor Service Manual. All exhibits and personnel must remain within the confines of their purchased space. Specific exhibit guidelines will be detailed in the Exhibitor Service Manual.

15. Use of Aisles and Common AreasThe aisles, passageways and overhead spaces remain strictly under control of Show Management, and no signs, decorations, banners, advertising matter or special exhibits will be permitted in the aisles. All booth personnel must remain within the booths occupied by their employers. Any and all advertising distribution must be made from the Exhibitor’s booth space.The Exhibitor will be responsible for abiding by all city fire and safety codes that may be in affect. Exhibitors will not be allowed to project images onto aisles, ceilings, walls or any other space outside Exhibitor’s purchased booth space.

16. RestrictionsShow Management reserves the right to restrict exhibits that may have been falsely entered, or may be deemed unsuitable or objectionable. This reservation applies to noise, persons, things, conduct, printed matter or anything of a character that might be objectionable to the Expo as a whole. Public address systems must not interfere with the activities of the adjoining exhibitors. Electric or electronic amplification of musical instruments is specifically prohibited. Children under the age of 18 are specifically prohibited from being on the trade show floor during move-in and move-out hours.

17. Service OrganizationsIn the interest of making available the best qualified craftsmen in numbers sufficient to handle all of the services necessary for the operation of the Expo, Show Management has contracted on an exclusive basis, official contractors to provide certain services. Service companies other than the official contractors will not be allowed to perform any of these exclusive services. Non- exclusive services may be performed by Exhibitor- appointed contractors (EAC) within certain guidelines. A complete listing of exclusive services and EAC guidelines will be provided in the Exhibitor Service Manual.

18. Rights in the Event Expo is Not HeldShould Show Management elect to cancel the Expo, Show Management’s liability to the Exhibitor shall be the refund of any payments for booth space received. Show Management shall not be liable for any consequential damages that may arise from such cancellation. Should the Expo be canceled due to circumstances beyond the control of Show Management including, but not limited to, acts of God, acts of war, acts of terror, governmental emergency, labor strike or destruction of exhibit facility, Show Management shall return each Exhibitor’s space payment less a pro rata share of costs and expenses incurred.

19. Changes in Floor PlanShow Management reserves the right to make appropriate changes in the floor plan and booth locations as it deems necessary for the overall success of the Expo.

20. Exhibitor Registration and BadgesEach company may register five (5) company representatives per 10’ x 10’ booth as “Exhibitors.” “Exhibitor” badges do not include conference functions. Exhibitors must wear badges at all times in accordance with their affiliation. Badge swapping among personnel is strictly prohibited.

21. Program and Event GuideShow Management will make all reasonable efforts to assure the accuracy of web listings and exhibitor listing in the show program and event guide. Due to the quantities of entries, errors can occur. IHRIM and Show Management will not be liable to exhibitors for errors and/or omissions.

22. Outside Exhibits/Hospitality SuitesBy executing this contract, Exhibitor agrees that its entire exhibit and display will be confined to the expo hall and the booth space purchased and assigned. This prohibits Exhibitor from displaying products/services and/or other advertising material in areas outside its booth space such as, but not limited to, parking lots and hotel lobbies. This would include sales closing areas and unauthorized facility tours. The use of established billboards for advertising is acceptable. Exhibitor also agrees not to operate a hospitality suite or schedule other functions during hours in which Conference/Expo functions are held.

23. Violations of Rules and RegulationsViolations of these rules and regulations, as well as those published in the Exhibitor Service Manual, will afford Show Management the right to execute one or more of the following remedies: 1) The Exhibitor may be prohibited from exhibiting at the current year’s Expo and will forfeit all booth payments. 2) The Exhibitor’s “points” for the following year’s space draw may be taken away. 3) The Exhibitor may be prohibited from exhibiting at the following year’s event. Provided, however, that the imposition of one or more of these remedies by Show Management shall not in any way limit available remedies provided in other provisions of this contract or by law.

Our sponsors and exhibitors bring additional resources to enhance the IHRIM Annual Conference. IHRIM recognizes sponsors and exhibitors for their support throughout the program book, on the website, on the exhibit floor, and at select events in a manner determined by IHRIM to be appropriate. IHRIM reserves the right to determine the eligibility of any sponsor and further reserves the right to reject any application for any reason.

SCOPEIHRIM will provide appropriate acknowledgment and recognition of the sponsor in accordance with IHRIM sponsorship policies and procedures, including those set forth in the Annual Conference Prospectus, and with applicable laws and Internal Revenue Service rules and regulations. IHRIM and the sponsor agree that the purposes of the Annual Conference will be educational in nature, that no product promotion by IHRIM is intended in connection with the Annual Conference, and that the Annual Conference will be conducted in accordance with relevant IHRIM sponsorship policies and procedures. In addition, the sponsor’s participation in the Annual Conference does not convey IHRIM’s approval, endorsement, certification, acceptance, or referral of any product or service of the sponsor. No materials developed or intended for use in connection with the Annual Conference may be distributed or otherwise used prior to advance review and written approval by IHRIM. The sponsor acknowledges that funds provided for purposes as stated herein represent a contribution to IHRIM. Materials provided by sponsor (e.g., signage, brochures, and flyers) to IHRIM may not contain language constituting a statement of quality (i.e., statements concerning product or service superiority or comparative language) or indicate an endorsement by IHRIM of the sponsor’s products or services. It is IHRIM’s intention that funds awarded under this agreement will be used in a manner consistent with a sponsorship transaction and are not provided in exchange for endorsement by IHRIM.

CANCELLATION OR WITHDRAWALNo refund will be made if the sponsor cancels the sponsorship after October 31, 2016.

TERMINATION OF ANNUAL CONFERENCEIf IHRIM determines that the premises where the Annual Conference is to be held have become unfit for occupancy, or if the premises are materially interfered with by reason of strike, embargo, injunction, act of war, act of God, terrorist attack or threat, any other emergency, or any act or event not the fault or beyond the control of IHRIM, the Agreement may be terminated by IHRIM. In the event of such termination, the sponsor waives any and all damages and agrees that IHRIM may, after deducting all costs and expenses, including a reserve for claims, refund to the sponsor as a complete settlement and discharge of the sponsor’s claim and demands, its pro rata amount of all monies paid by all sponsors, if other sponsors are involved in the Annual Conference.

COLLECTION POLICYSponsor agrees to pay any and all costs incurred by IHRIM to collect any or all portion of fees and dues owing to IHRIM that have not been paid in full prior to the Annual Conference. Failure to pay the entire sponsorship by January 5, 2017, entitles IHRIM to cancel the sponsorship and retain all prior payments. Sponsorships reserved after October 31, 2016 are subject to payment in full at time of commitment.

OPPORTUNITY FOR RIGHT OF FIRST REFUSALIHRIM reserves the right of first refusal to the previous year’s sponsor for select 2017 IHRIM Annual Conference sponsorship opportunities, with an agreement deadline to be established at IHRIM’s sole discretion.

NAMES AND TRADEMARKSIHRIM shall have the right to use a sponsor’s name, trademark, and logo, limited to the terms of this agreement. Sponsor shall not have the right to use any of IHRIM’s names, trademarks, logos, or copyrights without prior written approval.

LIMITATION OF LIABILITYSponsor agrees to make no claim for any reason whatsoever against IHRIM, the hotel, or the city and/or state where the Annual Conference is held for any loss, including theft, damage, or destruction of goods, or for any injury to the sponsor or its employees, including while the Annual Conference is in process, being set up, or being taken down. Sponsor agrees to indemnify and hold harmless IHRIM and its officers, directors, employees, and agents from and against any and all claims of any person arising out of acts, omissions, or negligence of the sponsor, its agents, or employees.
