ANNEXURE 1/A–SCOPE OF WORK, OBLIGATIONS & TECHNICAL SPECIFICATIONS
From here onwards, Cochin Shipyard Ltd, who is releasing the tender notice, will be
referred as “CSL” and the supplier/contractor who will be bidding as per the tender notice will be
referred as “bidder”
The scope of work and obligations are as detailed below:-
A.1 SCOPE OF WORK & OBLIGATIONS
Cochin Shipyard Ltd. seeks to revamp the existing web site www.cochinshipyard.com
as per the requirements mentioned below. CSL does NOT aim at a total redesigning or
redevelopment of our web site, instead adding more features and functionalities, making the
site most acceptable to industry demanding standards, at the same time keeping the existing
color themes and layouts.
The scope of work also includes handing over the full source codes, resolving site
deployment and look & feel issues and imparting training to CSL IT team
A.2 TECHNICAL & FUNCTIONAL REQUIREMENTS WITH COMPLIANCE
The website revamping activities are as follows:-
STQC & GIGW Certification

ANNEXURE 2/A – TENDER TERMS AND CONDITIONS
The tender specific terms and conditions are as follows:-
1 CSL reserves the right to carry out the capability assessment of the bidder and the
decision of CSL shall be final in this regard.

Pre-qualification criteria for the bidders :
The pre-qualification criteria for the bidders are listed as shown. The bidder
should clearly indicate the compliance towards each requirement as shown in the
table.

A list of minimum three websites fully developed and handed
over to the clients by the bidder should be given. All these
sites should be currently active and correctly functioning on
desktop and mobile platforms. Preference will be given for
websites audited and cleared as per GIGW
The bids submitted by the bidders who fail to meet the above pre-qualification
criteria will not be considered for processing

Nature of tender - It is a two part tender namely:
(1) Part-I: Techno Commercial bid
(2) Part-II: Price Bid

Techno Commercial bid - It should consist of the followings:
(1) Compliance list as per the section A.2 in Annexure 1/A (Technical & Functional)
(2) Compliance list as per section 2 in Annexure 2/A (Pre-qualification)
(3) Proof/Certificates showing eligibility for pre-qualification criteria mentioned in
Section 2 of Annexure 2/A
(4) Bid document duly signed and sealed by the bidder (in each page) along with
signed BLANK price bid as per the format shown in Section 1 of Annexure 5/A.
Please note that techno commercial bid SHOULD NOT CONTAIN ANY PRICE
details.

Price Bid - Price for each of activities/items mentioned in Annexure 5/A of tender
document is to be quoted separately. This should be strictly in the price bid format
shown as per Annexure 5/A of tender document and also each page of this price bid
document should be sealed and signed by the bidder.

Bid submission method – The bids must be submitted in sealed envelopes as follows
:-
(1) One sealed envelope (First Envelope) clearly superscripting “Part I - Revamping of
CSL Website” which should contain techno commercial bid as per Section 4 of this
Annexure.
(2) Another sealed envelope (Second Envelope) clearly superscripting “Part II -
Revamping of CSL Website for Cochin Shipyard Ltd.” which should contain price bid as
per Section 5 of this Annexure.
(3) The above mentioned first and second envelopes should be put together inside
another envelope (Third Envelope) clearly superscripting “Revamping of CSL
Website”. The following information should also be written on top of the envelop:-
(1) Tender number and Date of Opening
(2) Name and Address of the bidder.
Any corrections in the bid document should be authenticated by the bidder by
putting signature with stamp.
The price bid enclosed by the bidder along with the techno-commercial bid
instead of keeping it in a separate envelope shall be out rightly rejected.

Tender Opening - All the tenders received up to the time and date mentioned under
serial no. 3 of the first page of this document will only be considered for opening and
tenders received late shall not be considered under any circumstances.
Part I (Techno Commercial bid) will ONLY be opened on the date mentioned under
serial no. 4 of the first page of this document, in presence of the bidders, if present.
Part II (Price bid) of ONLY qualified eligible bidders will be opened on a later date
which will be informed to qualified eligible bidders by CSL through email or phone.
The bidder or his authorized representative may attend this price bid opening and
shall sign in a register maintained by CSL as a proof of his attendance.

Evaluation of offers – To conclude the tender, the evaluation of the offers will be
done by competent authority within CSL. First, the Part I i.e. the techno-commercial
bid of bidders will be evaluated for the technical suitability and the price bids of only
those bidders who qualify in the Part I evaluation will be considered for opening and
evaluation.
The price quoted by the bidder should be final and no escalation shall be permitted
during the contract period except for statutory levies enhanced or introduced
subsequent to the date of submission of the price bid duly supported by documentary
evidence. It will be the sole discretion of CSL to decide the lowest bidder (L1) by
evaluating various aspects.
Techno Commercial Evaluation Criteria – For successfully qualifying in the techno
commercial evaluation, the bidder should conform to all the terms and conditions
described in Annexure 1A to 5A
9 Award & Acceptance of Contract - The successful bidder should take all care to
complete the contract within one month from the date of acceptance of contract.

Other Conditions of Tender
Validity of Offers - Offer submitted by the bidder should be valid for a minimum
period of 90 days from the date of opening of price bid
Language of the Bid – The bid as well as all the related documents, conversations and
correspondence will be in English language

ANNEXURE 3/A – CONTRACT TERMS AND CONDITIONS
The specific terms and conditions to be observed for the contract are as follows:-
1
Delivery period & installation – The selected bidder should complete the
installation & commissioning within 8 weeks after placement of the work order by
CSL.
2
Termination of the contract – If the work is not fully completed within the
stipulated time period, CSL reserves the right to terminate the contract and get the
work completed from other alternative available sources at the risk, responsibility
and cost of the bidder. CSL will notify the bidder in case of poor performance or
progress in the project. In case adequate corrective measures are not taken by the
bidder to improve the performance within 15 days from the date of receipt of such
notice, CSL will have the right to terminate the contract either in full or in part and get
the work completed by any other agency at the risk and cost of the bidder. The extra
cost incurred to CSL due to the process of termination will be recovered from the
bidder from the security deposit / performance bank guarantee / pending invoices
and if necessary by legal procedures.
Also CSL will have the right to terminate this contract due to commissioning of
any illegal act or causing breach of security by the bidder or any of their men, agent at
the cost, risk and liabilities of the bidder. This contract shall also be terminated by
CSL in the event of declared bankruptcy of the bidder.

Payment – Payment for the total work completed fully as per the tender conditions
will be paid within 30 days against the invoice submitted by the bidder in duplicate
after successful installation and commissioning of the system. The bidder should
clearly indicate his PAN number invariable in his bills/invoices. Payments will be
made through NEFT/RTGS mode only and necessary details should be furnished to
Finance Dept. Payment for the support charges (Item No. 2 in the Price bid in
Annexure 5/A) will be paid half yearly after service considering the aspects like
penalty and service levels.

Practice of Safety Methods –The bidder shall abide the CSL Safety Rules and carry
out the works observing all safety precautions for the safety of his workmen. The
bidder’s supervisor shall ensure that the workmen are using Personal Protection
Equipment (PPE) like safety shoes, safety helmets, safety belts, safety ladders etc.
while working at heights, and are following the safety methods. Power shut
down/permit to work shall be obtained from the concerned authority before
commencing works near live power lines. The bidder shall be solely responsible for
ensuring and observing all such safety measures by his workmen.

Security of Cochin Shipyard - The bidder and his workmen shall abide by all
security rules and guidelines of CSL. Before starting the contract work the bidder
shall intimate CSL the names and address of the supervisor and workers engaged by
him and obtained necessary entry pass fulfilling the stipulated security rules and
regulations. The bidder and his workmen are bound to maintain the discipline and
confidentiality of Cochin Shipyard. The bidder shall employ/engage the same
workmen as per the intimation given earlier for the entire contract period unless it is
unavoidable.

Maintain safe environment - Upon completion of the work, bidder shall clear the
area and shall not leave any occupational health / safety/ environmental liabilities to
CSL, from their activities at their worksites.

ANNEXURE 4/A – GENERAL TERMS AND CONDITIONS

Force Majeure – The contractor shall not be responsible or liable for any failure or
delay on its part to fulfill or perform any of the Terms or Obligations, if such failure
or delay is caused by any factor or any event beyond the reasonable control of the
contractor (including but not limited to Fire, Earthquake, Waves, Insurrection riots,
Civil commotion, Government actions, Licenses, Embargoes, Orders or Restrictions).
However the occurrence or cessation of the force majeure situation is to be
informed within 15 days from the occurrence or cessation.

Confidentiality - The contractor acknowledge that all material and information
which has or will come into its possession or knowledge in connection with this
work or the performance hereof, consists of confidential and propriety data, whose
disclosure to or use by third parties will be damaging or cause loss to CSL. The
contractor agrees to hold such material information in strictest confidence, not to
make use thereof other than for the performance of this work, to release it only to
employees requiring such information, and not to release or disclose it to any other
parties. The contractor shall take appropriate action with respect to its employees
to ensure that the obligation of non-use and non-disclosure of confidential
information under this work are fully satisfied.

Indemnity And Insurance - The contractor waives all rights against CSL and shall
indemnify and hold CSL, its representative agents and employees harmless from
and against any and all claims and liabilities, in respect of damages to or loss of
contractor’s property of all sorts including loss of use thereof and also in respect of
all claims for death or injury caused to any of the contractor’s personnel, arising out
or in relation to the performance of the CONTRACT.
The contractor shall indemnify CSL against all claims for death or injury
caused to any person, where a workman or not, while engaged in any process
connected with the contract or for dues of any kind whatsoever and CSL shall not be
bound to defend any claim brought under the Workmen’s Compensation Act 1923,
or for dues under the Payment of Wages Act 1936 or under the Employees
Provident Fund Act, or the Employees State Insurance Act, or any other Statutory
Act or Law from time to time and applicable to the said work.

Jurisdiction And Arbitration - All disputes or differences arising under, out of or
in connection with the contract shall be subject to the exclusive jurisdiction of the
Courts in Ernakulum, Kerala, India.
