Part I. General Information

• How to Give Investment Instructions. You may direct the investment of your account balance and future contributionsamong a range of investments available in the Plan. Although balances will not yet be transferred, you may contact the PlanAccount Line with any questions you may have beginning December 5th, 2016. Additional information may also be foundat rps.troweprice.com/xpo.

To provide investment instructions after balances have been transferred, log in to the participant website atrps.troweprice.com, or call the toll-free Plan Account Line at 1-800-922-9945.

• Limitations on Investment Instructions. The Fidelity Managed Income Portfolio is only available to those participantsthat are coming from XPO Supply Chain. The Wells Fargo Stable Value Fund is only available to those coming fromJacobson. Both the Fidelity Managed Income Portfolio and the Wells Fargo Stable Value fund will be closed to new money,meaning no new contributions and/or exchanges-in. Existing balances in the funds may remain.

Investment instructions may be subject to an investment's trading guidelines and restrictions. Refer to section "B. InvestmentInformation" under "Part II. Fee and Expense Information" of this document for an investment's limitations, if any.

Effective January 3, 2017, the Jacobson Companies 401(k) Profit Sharing Plan will move from Wells Fargo Bank, N.A. to T. Rowe Price into the new XPO Logistics, Inc. 401(k) Plan (Plan).

Important notice about the Jacobson Companies 401(k) Profit Sharing Plan.

Dear Participant or Beneficiary:

We wanted to let you know that we’re making changes to the Jacobson Companies 401(k) Profit Sharing Plan(the “Plan”). Effective

January 3, 2017, T. Rowe Price will be the new recordkeeping provider for the Plan. You should retain a copy of this notice with other

information you have received regarding your Plan account.

DO I NEED TO TAKE ANY ACTION?

No. All Plan account balances will be transferred from the existing recordkeeper, Wells Fargo Bank, N.A., to the new recordkeeper, T. Rowe Price, as

described below.

IMPACT ON PLAN ACCESS

Transfer of your Plan account balance to the new recordkeeper requires a transition period that is anticipated to begin at 4:00 p.m. ET

(1:00 p.m. PT) on December 23, 2016, and is anticipated to end during the week ending January 20, 2017. For specific information about the

status of the blackout period or how it may affect you, please call T. Rowe Price at 1-800-922-9945.

During this transition period, you won’t be able to access or make changes to your Plan account. The inability to access or make changes is why

this transition period is sometimes called a “blackout period.” During the blackout period, you will not be able to:

• Change how future contributions will be invested;

• Change how your existing account balance is invested;

• Obtain a distribution, withdrawal or loan from the Plan; or

• Access Plan account information.

If you want to request make changes to the current investment of your Plan account or take a distribution or loan from your Plan account before

the blackout period, you must contact the Corporate Benefits department for additional information including the deadline to submit the

request. Otherwise, you must wait until after the blackout period ends.

WHAT TO CONSIDER BEFORE THE BLACKOUT PERIOD BEGINS

Whether or not you are planning retirement or a distribution in the near future, we encourage you to carefully consider how this blackout

period may affect your retirement and distribution planning, as well as your overall financial plan. For this reason, it is very important that you

review and consider the appropriateness of your current investments in light of your inability to direct or diversify those investments during the

blackout period. For your long-term retirement security, you should give careful consideration to the importance of a well-balanced and diversified

investment portfolio, taking into account all your assets, income and investments. If your investments decline in value during the blackout period,

your account balance will also decline because you will not be able to sell investments in your account during the blackout period.

HOW WILL MY ACCOUNT TRANSFER?

During the blackout period, your existing Plan account balance will be transferred, or “mapped,” from your investments in place at the beginning

of the blackout period from the investments available under the Plan with the Wells Fargo Bank, N.A. to the investments available under the Plan

with T. Rowe Price. Any contributions made during and after the blackout period will be invested in “mapped” investments with T. Rowe Price.

You shortly will receive a booklet from the Corporate Benefits office and T. Rowe Price that provides you with additional details about the new

investment funds available under the plan at T. Rowe Price, including additional information concerning how your existing investment funds will

be “mapped” to the new funds.

If you make an election change before the beginning of the blackout period, then your existing balance will be mapped according to your new

instructions. All future contributions will be made according to those instructions as well.

After the blackout period ends, you can make new investment elections for both your existing account balance as well as for your

future contributions.

WHAT IF I TERMINATE EMPLOYMENT DURING THE BLACKOUT PERIOD?

Distributions will not be processed during the blackout period. If you terminate employment with us during the blackout period, you’ll have to

wait until the blackout is lifted before you can take a distribution.

Qualified Default Investment Alternative (QDIA) Notice for the XPO Logistics, Inc. 401(k) Plan

The XPO Logistics, Inc. 401(k) Plan (Plan) allows you to invest your account in a number of different investment options. With the change

of recordkeeping services to T. Rowe Price Retirement Plan Services, Inc., a new default investment has been designated under the Plan.

Starting January 3, 2017, the Plan’s default investment will be the T. Rowe Price Retirement Hybrid Trust* with the target date closest

RETIREMENT HYBRID TRUST OBJECTIVE:The objective of each Retirement Hybrid Trust is the highest total return over time consistent with an emphasis on both capital growth and income. RISK AND RETURN CHARACTERISTICS:The principal value of the Retirement Hybrid Trusts is not guaranteed at any time, including at or after the target date, which is the approximate year an investor plans to retire (assumed to be age 65) and likely stop making new investments in the Trust. If an investor plans to retire significantly earlier or later than age 65, the Trusts may not be an appropriate investment even if the investor is retiring on or near the target date. The Trusts are allocated among a broad range of underlying T. Rowe Price stock and bond portfolios. The allocations for the Trusts with a stated retirement date will change over time; these Trusts emphasize potential capital appreciation during the early phases of retirement asset accumulation, balance the need for appreciation with the need for income as retirement approaches, and focus on supporting an income stream over a long-term postretirement withdrawal horizon. The Trusts are not designed for a lump-sum redemption at the target date and do not guarantee a particular level of income. The Trusts maintain a substantial allocation to equities both prior to and after the target date, which can result in greater volatility over shorter time horizons.

HOW THE TRUSTS’ ASSET ALLOCATIONS CHANGE OVER TIME:Each Retirement Hybrid Trust’s allocation between stocks and bonds will change over time according to a predetermined “glide path,” as illustrated below. (The glide path represents the shifting of asset classes over time and does not apply to the Retirement Hybrid Balanced Trust.)

As the illustration shows, each Retirement Hybrid Trust’s asset mix becomes more conservative—both prior to and after age 65—as time elapses. Once a Retirement Hybrid Trust reaches its most conservative planned allocation approximately 30 years after its stated target date, its allocation to stocks will remain fixed at approximately 20% of assets. The remainder will be invested approximately 80% in bonds. The target allocations for bonds are not expected to vary from the glide-path formula by more than plus or minus five percentage points. In the case of stocks, asset allocation is not expected to vary by more than plus or minus five percentage points for U.S. stocks and international stocks, respectively.

The Retirement Hybrid Balanced Trust does not follow the glide path and will maintain a constant allocation of approximately 40% stock trusts and 60% bond trusts.
