Part1–Preliminary1. Definitions

(1) Inthisconstitution:

ThePurposeThepurposeofthePilatesAllianceAustralasia(PAA)istopromote,protectanddeveloptheprofessionalPilatesMethodindustrythroughoutallstatesandterritoriesofAustralia.Itwillseektoachievethisthrough:

promotionofethicalandprofessionalworkingstandardsinthePilatesprofession

settingofstandardsandguidelinesforinstructors,studiosandeducationalbodiestoabidebytocreateandmaintainintegritywithinthePilatesindustry

promotionofnationalrecognitionofqualifiedPilatesteachersandprofessionalPilatesstudiosandorganisations

advocacyofmembersincludingactivelobbyingtogovernment,healthfundsandotherrelevantdepartmentsandorganisations

promotionofprofessionalgrowththroughcontinuingeducation representationofthemembershipandpromotionofthePilatesMethodof

exerciseamongstthepublic,inallitsrecognisedandprofessionallyappropriateformsPilatesMethodisamethodofbodyconditioningandcorrection(includingrehabilitation)originallydevelopedbyJosephandClaraPilates.Itisamethodbasedonestablishingcorestabilisationandintegrationofmindandbody.Thereisarequiredadherencetothesixoriginalbasicprinciplesandarequiredunderstandingofbodymechanics,posturalassessmentandcorrectionandunderstandingofthehumancondition.InordertobeateacherofthePilatesMethodonemustalsoexperienceandpracticethemethodandunderstandthatitisnevercompletebutaconstantevolutionoflearning.

PilatesMethodAllianceisbasedinMiamiFloridaandisaninternationalbodyforregulationwithinthePilatesIndustry.ThePilatesAllianceofAustralasiaseekstobelike‐mindedandinalignmentwiththePilatesmethodAllianceinternationally,yetspecificallyrepresentPilatesMethodprofessionalsandparticipantsthroughoutAustralia,AsiaandthePacific.

registeredstudiomeansastudioownedbyaminimumLevel2orabovememberoftheassociation,whichisregisteredwiththeassociationinadditiontothemember’spersonalmembership.

educationalorganisationmeansanorganisationregisteredbytheassociationashavingmetthestandardstoprovidetheappropriatetrainingprogramstoensurethatinstructormembersandtrainermembersattaintheleveloftrainingcreditasregulatedbytheassociationfromtimetotime.

publicofficermeansthepersonwhoisappointedastheassociation’spublicofficer,anduntilheorsheisreplacedbyapersonsoappointed,includesthepersonwhoisnominatedastheassociation’spublicofficerintheassociation’sapplicationforregistration.

Director‐GeneralmeanstheDirector‐GeneraloftheDepartmentofServices,TechnologyandAdministration.

ordinarycommitteemembermeansamemberofthecommitteewhoisnotanoffice‐beareroftheassociation.Asreferredtoinrule14(2).

secretarymeans:

a) thepersonholdingofficeunderthisconstitutionassecretaryoftheassociation,or

b) ifnosuchpersonholdsthatoffice–thepublicofficeroftheassociation.

specialgeneralmeetingmeansageneralmeetingoftheassociationotherthananannualgeneralmeeting.

theActmeanstheAssociationsIncorporationAct2009.

theRegulationmeanstheAssociationsIncorporationRegulation2016.

(2) Inthisconstitution:a) areferencetoafunctionincludesareferencetoapower,authorityandduty,and

b) areferencetotheexerciseofafunctionincludes,ifthefunctionisaduty,areferencetotheperformanceoftheduty.

(3) TheprovisionsoftheInterpretationAct1987applytoandinrespectofthis

constitutioninthesamemannerasthoseprovisionswouldsoapplyifthisconstitutionwereaninstrumentmadeundertheAct.

Part2–Membership2. Membershipqualifications

(1) Apersoniseligibletobeamemberoftheassociationifthepersonis

activelyengagedwiththePilatesMethodofexercisethrougheducation,healthcare,generalpublicparticipationoreithertheadministrationorsupervisionofinstructorsandhasbeennominatedandapprovedformembershipoftheassociationinaccordancewithclause3.(1)

(2) Therewillbedifferentcategoriesofmembershipandeachcategorywillbe

determinedbyaspecificqualificationcriteria.Thecategorieswillbe:

(a) Associate(i) students(ii) interestedparties

(b) Matwork(c) Full

(i) instructor(ii) trainer(iii) principal(iv) principaltrainer.

(3) Allpersonsnominatedandapprovedformembershipinaccordancewith

clause3(1),havingcompletedandsignedanapplicationformembership,(ScheduleAtothisconstitution),willasafurtherprerequisiteofmembership,signandabidebythe:

(a) membersCodeofEthics(ScheduleB)and(b) membersCodeofPractice(ScheduleC).

(4) Subjecttoqualificationcriteriaandaregistrationfee,asdeterminedfrom

timetotimebythecommittee,registrationwiththeassociationwillbeextendedto:

(a) registeredstudios,and(b) educationalorganisations.

3. Applicationformembership

(1) Applicationofapersonformembershipoftheassociation:(a) mustbemadeinwriting(includingbyelectronicmeans,ifthecommittee

sodetermines)intheformdeterminedbythecommittee,and(b) mustbelodged(includingbyelectronicmeans,ifthecommitteeso

determines)withtheMemberRelationsOfficeroftheassociation.

(2) Assoonaspracticableafterreceivinganominationformembership,thepublicofficermustreferthenominationtothecommitteewhichistodeterminewhethertoapproveortorejecttheapplication.

(3) Assoonaspracticableafterthecommitteemakesthatdetermination,the

publicofficermust:(a) notifytheapplicantnominee,inwriting,thatthecommitteeapprovedor

rejectedtheapplication(whicheverisapplicable),and(b) ifthecommitteeapprovedtheapplication,requesttheapplicanttopay

(withintheperiodof28daysafterreceiptbytheapplicantofthenotification)thesumpayableunderthisconstitutionbyamemberasentrancefeeandannualsubscription.

(4) Thepublicofficermust,onpaymentbytheapplicantoftheamounts

referredtoinsubclause(3)(b)withintheperiodreferredtointhatprovision,enterorcausetobeenteredtheapplicant’snameintheregisterofmembersand,onthenamebeingsoentered,theapplicantbecomesamemberoftheassociation.

(5) Tocompleteregistrationformembershipthenewmembermustagreeto

abidebytheCodeofEthicsandtheCodeofPracticebysigningtheircommitmentandcompliancetobothcodes.

4.CessationofmembershipApersonceasestobeamemberoftheassociationiftheperson:

(a) dies,or(b) resignsmembership,or(c) isexpelledfromtheassociation,or(d) failstopaytheannualmembershipfeeunderclause8(2)within3months

afterthefeeisdue,or(e) failstomeetthestandardofcontinuingeducationandtrainingas

nominatedbytheassociation.

5.MembershipentitlementsnottransferableAright,privilegeorobligationwhichapersonhasbyreasonofbeingamemberoftheassociation:

(a) isnotcapableofbeingtransferredortransmittedtoanotherperson,and(b) terminatesoncessationoftheperson’smembership.

6.Resignationofmembership

(1) Amemberoftheassociationmayresignfrommembershipoftheassociationbyfirstgivingtothepublicofficerwrittennoticeofatleast1month(orsuchotherperiodasthecommitteemaydetermine)ofthemember’sintentiontoresignand,ontheexpirationoftheperiodofnotice,thememberceasestobeamember.

(2) Ifamemberoftheassociationceasestobeamemberundersubclause(1),

andineveryothercasewhereamemberceasestoholdmembership,thepublicofficermustmakeanappropriateentryintheregisterofmembersrecordingthedateonwhichthememberceasedtobeamember.

7.Registerofmembers

(1) Thepublicofficeroftheassociationmustestablishandmaintainaregisterofmembersoftheassociationspecifyingthenameandpostalorresidentialaddressofeachpersonwhoisamemberoftheassociationtogetherwiththedateonwhichthepersonbecameamember.

(2) TheregisterofmembersmustbekeptinNewSouthWales:(a) atthemainpremisesoftheassociation,or(b) iftheassociationhasnopremises,attheassociation’sofficialaddress.

(3) Theregisterofmembersmustbeopenforinspection,freeofcharge,byany

memberoftheassociationatanyreasonablehour

(4) Amemberoftheassociationmayobtainacopyofanypartoftheregisteronpaymentofafeeofnotmorethan$1foreachpagecopiedor,ifsomeotheramountisdeterminedbythecommittee,thatotheramount.

(5) Ifamemberrequeststhatanyinformationcontainedontheregisterabout

themember(otherthanthemember’sname)notbeavailableforinspection,thatinformationmustnotbemadeavailableforinspection.

(6) Amembermustnotuseinformationaboutapersonobtainedfromthe

registertocontactorsendmaterialtotheperson,otherthanfor:(a) thepurposesofsendingthepersonanewsletter,anoticeinrespectofa

meetingorothereventrelatingtotheassociationorothermaterialrelatingtotheassociation,or

(b) anyotherpurposenecessarytocomplywitharequirementoftheActortheRegulation.

8.Feesandsubscriptions

(1) Amemberoftheassociationmust,onadmissiontomembership,paytotheassociationafeeof$1or,ifsomeotheramountisdeterminedbythecommittee,thatotheramount.

(2) Inadditiontoanyamountpayablebythememberundersubclause(1),a

memberoftheassociationmustpaytotheassociationanannualmembershipfeeof$2or,ifsomeotheramountisdeterminedbythecommittee,thatotheramount:

(a) exceptasprovidedbyparagraph(b),mustaccompanytheapplicationformembership,and

(b) annualrenewalofmembershipmustbemadeontheanniversarydateofthecommencementofmembership,oronadatearbitrarilydesignatedbytheassociation.

9.Members’liabilitiesTheliabilityofamemberoftheassociationtocontributetowardsthepaymentofthedebtsandliabilitiesoftheassociationorthecosts,chargesandexpensesofthewindingupoftheassociationislimitedtotheamount,ifany,unpaidbythememberinrespectofmembershipoftheassociationasrequiredbyclause8.10.Resolutionofdisputes

(1) Adisputebetweenamemberandanothermember(intheircapacityasmembers)oftheassociation,oradisputebetweenamemberormembersandtheassociation,aretobereferredtoacommunityjusticecentreformediationundertheCommunityJusticeCentresAct1983.

(2) Atleast7daysbeforeamediationsessionistocommence,thepartiesareto

exchangestatementsoftheissuesthatareindisputebetweenthemandsupplycopiestothemediator.

(3) Ifadisputeisnotresolvedbymediationwithin3monthsofthereferraltoa

communityjusticecentre,thedisputeistobereferredtoarbitration.

(4) TheCommercialArbitrationAct1984appliestoanysuchdisputereferredtoarbitration.

11.Discipliningofmembers

(1) Acomplaintmaybemadetothecommitteebyanypersonthatisamemberoftheassociationregardinganothermember,ifthatothermember:

(a) hasrefusedorneglectedtocomplywithaprovisionorprovisionsofthisconstitution,or

(b) haspersistentlyrefusedorneglectedtocomplywiththeobjectsoftheassociationor,

(c) haswilfullyactedinamannerprejudicialtotheinterestsoftheassociation,or

(d) hasnotmaintainedsufficientlearningaccreditationassetdownbytheassociation,or

(e) hasrefusedorneglectedtocomplywiththeCodeofPracticeandorCodeofEthicsformembersofthePilatesAllianceofAustralasia.

(2) Onreceivingsuchcomplaint,thepublicofficerwillinformthecommitteeof

thecomplaintinwritingforconsiderationatthenextcommitteemeeting.

(3) Thecommitteemayrefusetodealwithacomplaintifitconsidersthecomplainttobetrivialorvexatiousinnature.

(4) Ifthecommitteedecidestodealwiththecomplaint,thecommittee:(a) mustcausenoticeofthecomplainttobeservedonthememberconcerned,

and(b) mustgivethememberatleast14daysfromthetimethenoticeisserved

withinwhichtomakesubmissiontothecommitteeinconnectionwiththecomplaint,and

(c) musttakeintoconsiderationanysubmissionsmadebythememberinconnectionwiththecomplaint.

(5) Thecommitteemay,byresolution,expelthememberfromtheassociation

orsuspendthememberfrommembershipoftheassociationif,afterconsideringthecomplaintandanysubmissionsmadeinconnectionwiththecomplaint,itissatisfiedthatthefactsallegedinthecomplainthavebeenprovedandtheexpulsionorsuspensioniswarrantedinthecircumstances.

(6) Ifthecommitteeexpelsorsuspendsamember,thepublicofficermust,

within7daysaftertheactionistaken,causewrittennoticetobegiventothememberoftheactiontaken,ofthereasonsgivenbythecommitteeforhavingtakenthatactionandofthemember’srightofappealunderclause12.

(7) Theexpulsionorsuspensiondoesnottakeeffect:

(a) untiltheexpirationoftheperiodwithinwhichthememberisentitledtoappealagainsttheresolutionconcerned,or

(b) ifwithinthatperiodthememberexercisestherightofappeal,unlessanduntiltheassociationconfirmstheresolutionunderclause12,whicheveristhelater.

12.Rightofappealofdisciplinedmember

(1) Amembermayappealtotheassociationingeneralmeetingagainstaresolutionofthecommitteeunderclause11,within7daysafternoticeoftheresolutionisservedonthemember,bylodgingwiththepublicofficeranoticetothateffect.

(2) Thenoticemay,butneednot,beaccompaniedbyastatementofthegrounds

onwhichthememberintendstorelyforthepurposesoftheappeal.

(3) Onreceiptofanoticefromamemberundersubclause(1),thepublicofficermustnotifythecommitteewhichistoconveneageneralmeetingoftheassociationtobeheldwithin28daysafterthedateonwhichthePublicofficerreceivedthenotice.

(4) Atageneralmeetingoftheassociationconvenedundersubclause(3):(a) nobusinessotherthanthequestionoftheappealistobetransacted,and(b) thecommitteeandthemembermustbegiventheopportunitytostatetheir

respectivecasesorallyorinwriting,orboth,and(c) thememberspresentaretovotebysecretballotonthequestionofwhether

theresolutionshouldbeconfirmedorrevoked.

(5) Theappealistobedeterminedbyasimplemajorityofvotescastbymembersoftheassociation.

Part3–TheCommittee13.PowersofthecommitteeSubjecttotheAct,theRegulationandthisconstitutionandtoanyresolutionpassedbytheassociationingeneralmeeting,thecommittee:

(a) istocontrolandmanagetheaffairsoftheassociation,and(b) mayexerciseallsuchfunctionsasmaybeexercisedbytheassociation,

otherthanthosefunctionsthatarerequiredbythisconstitutiontobeexercisedbyageneralmeetingofmembersoftheassociation,and

(c) haspowertoperformallsuchactsanddoallsuchthingsasappeartothecommitteetobenecessaryordesirableforthepropermanagementoftheaffairsoftheassociation.

14.Compositionandmembershipofcommittee

(1) Thecommitteeistoconsistof:(a) theoffice‐bearersoftheassociation,and(b) atleastthreeordinarycommitteemembers,eachofwhomistobeelected

attheannualgeneralmeetingoftheassociationunderclause15.

(2) Theoffice‐bearersoftheassociationareasfollows:(a) thepresident,(c) thevice‐president,(d) thetreasurer,(e) thesecretary.

(3) Eachmemberofthecommitteeis,subjecttothisconstitution,toholdoffice

foraninitialtermofthreeyears,butiseligibleforre‐electionfortwofurtherconsecutivetermsofthreeyears,butthereafteraperiodoftwoyearsmustelapsebeforesuchpersonsshallbeeligibleforanewtermofoffice.

(4) Intheeventofacasualvacancyoccurringinthemembershipofthe

committee,thecommitteemayappointamemberoftheassociationtoholdoffice,subjecttothisconstitution,underclause18(1).Anyperiodservedonthecommitteebyamembersoappointed,shallnotbecountedindeterminingthelengthofmembershiponthecommittee.

15.Electionofcommitteemembers

(1) Nominationsofcandidatesforelectionasoffice‐bearersoftheassociationorasordinarycommitteemembers:

(a) mustbemadeinwriting,signedbytwomembersoftheassociationandaccompaniedbythewrittenconsentofthecandidate(whichmaybeendorsedontheformofthenomination),and

(b) mustbedeliveredtothepublicofficeroftheassociationatleast7daysbeforethedatefixedfortheholdingoftheannualgeneralmeetingatwhichtheelectionistotakeplace.

(2) NomineesforthekeypositionsofPresidentandVicePresidentarerequired

tohavepreviousPAAcommitteeexperience.(a) Intheeventthattherearenonominationsreceivedformemberswhohave

previousPAAcommitteeexperience,additionalnominationsaretobeinvited/receivedattheannualgeneralmeeting.

(3) Ifinsufficientnominationsarereceivedtofillallvacanciesonthecommittee,thecandidatesnominatedaretakentobeelectedandfurthernominationsaretobereceivedattheannualgeneralmeeting.

(4) Ifinsufficientfurthernominationsarereceived,anyvacantpositions

remainingonthecommitteearetakentobecasualvacancies.

(5) Ifthenumberofnominationsreceivedisequaltothenumberofvacanciestobefilled,thepersonsnominatedaretakentobeelected.

(6) Ifthenumberofnominationsreceivedexceedsthenumberofvacanciesto

befilled,aballotistobeheld.

(7) Theballotfortheelectionofoffice‐bearersandordinarycommitteemembersofthecommitteeistobeconductedattheannualgeneralmeetinginsuchusualandpropermannerasthecommitteemaydirect.

(8) Apersonnominatedasacandidateforelectionasanoffice‐bearerorasan

ordinarycommitteememberoftheassociationmustbeamemberoftheassociation.

16.Secretary

(1) Itisthedutyofthesecretarytokeepminutesof:(a) allappointmentsofoffice‐bearersandmembersofthecommittee,and(b) thenamesofmembersofthecommitteepresentatacommitteemeetingor

ageneralmeeting,and(c) allproceedingsatcommitteemeetingsandgeneralmeetings.

(2) Minutesofproceedingsatameetingmustbesignedbythechairpersonofthemeetingorbythechairpersonofthenextsucceedingmeeting.

17.Treasurer

Itisthedutyofthetreasureroftheassociationtoensure:(a) thatallmoneyduetotheassociationiscollectedandreceivedandthatall

paymentsauthorisedbytheassociationaremade,and(b) thatcorrectbooksandaccountsarekeptshowingthefinancialaffairsofthe

association,includingfulldetailsofallreceiptsandexpenditureconnectedwiththeactivitiesoftheassociation.

18.Casualvacancies

(1) Intheeventofacasualmembershipvacancyoccurringinthemembershipofthecommittee,thecommitteemayappointamemberoftheassociationtofillthevacancyandthemembersoappointedistoholdoffice,subjecttothisconstitution,untiltheconclusionoftheannualgeneralmeetingnextfollowingthedateoftheappointment.

(2) Acasualvacancyintheofficeofamemberofthecommitteeoccursifthe

member:(a) dies,or(b) ceasestobeamemberoftheassociation,or(c) becomesaninsolventunderadministrationwithinthemeaningofthe

CorporationsAct2001oftheCommonwealth,or(d) resignsofficebynoticeinwritinggiventothepublicofficer,or(e) isremovedfromofficeunderclause19,or(f) becomesamentallyincapacitatedperson,or(g) isabsentwithouttheconsentofthecommitteefromthreeconsecutive

meetingsofthecommittee,or(h) isconvictedofanoffenceinvolvingfraudordishonestyforwhichthe

maximumpenaltyonconvictionisimprisonmentfornotlessthan3months.

19.Removalofcommitteemembers

(1) Theassociationingeneralmeetingmaybyresolutionremoveanymemberofthecommitteefromtheofficeofmemberbeforetheexpirationofthemember’stermofofficeandmaybyresolutionappointanotherpersontoholdofficeuntiltheexpirationofthetermofofficeofthemembersoremoved.

(2) Ifamemberofthecommitteetowhomaproposedresolutionreferredtoin

subclause(1)relatesmakesrepresentationsinwritingtothepublicofficerorpresident(notexceedingareasonablelength)andrequeststhattherepresentationsbenotifiedtothemembersoftheassociation,thepublicofficerorthepresidentmaysendacopyoftherepresentationstoeachmemberoftheassociationor,iftherepresentationsarenotsosent,thememberisentitledtorequirethattherepresentationsbereadoutatthemeetingatwhichtheresolutionisconsidered.

20.Committeemeetingsandquorum

(1) Thecommitteemustmeetatleastthreetimesineachperiodof12monthsatsuchplaceandtimeasthecommitteemaydetermine.

(2) Additionalmeetingsofthecommitteemaybeconvenedbythepresidentor

byanymemberofthecommittee.

(3) Oralorwrittennoticeofameetingofthecommitteemustbegivenbythepublicofficertoeachmemberofthecommitteeatleast48hours(orsuchotherperiodasmaybeunanimouslyagreedonbythemembersofthecommittee)beforethetimeappointedfortheholdingofthemeeting.

(4) Noticeofameetinggivenundersubclause(3)mustspecifythegeneral

natureofthebusinesstobetransactedatthemeetingandnobusinessotherthanthatbusinessistobetransactedatthemeeting,exceptbusinesswhichthecommitteememberspresentatthemeetingunanimouslyagreetotreatasurgentbusiness.

(5) Anythreemembersofthecommitteeconstituteaquorumforthe

transactionofthebusinessofameetingofthecommittee.

(6) Nobusinessistobetransactedbythecommitteeunlessaquorumispresentandif,withinhalfanhourofthetimeappointedforthemeeting,aquorumisnotpresent,themeetingistostandadjournedtothesameplaceandatthesamehourofthesamedayinthefollowingweekoratatimeanddateappointedbytheassociation.

(7) Ifattheadjournedmeetingaquorumisnotpresentwithinhalfanhourof

thetimeappointedforthemeeting,themeetingistobedissolved.

(8) Atameetingofthecommittee:

(a) thepresidentor,inthepresident’sabsence,thevice‐presidentistopreside,or

(b) ifthepresidentandthevice‐presidentareabsentorunwillingtoact,suchoneoftheremainingmembersofthecommitteeasmaybechosenbythememberspresentatthemeetingistopreside.

21.Delegationbycommitteetosub‐committee

(1) Thecommitteemay,byinstrumentinwriting,delegatetooneormoresub‐committees(consistingofsuchmemberormembersoftheassociationasthecommitteethinksfit)theexerciseofsuchofthefunctionsofthecommitteeasarespecifiedintheinstrument,otherthan:

(a) thispowerofdelegation,and(b) afunctionwhichisadutyimposedonthecommitteebytheActofbyany

otherlaw.

(2) Afunctiontheexerciseofwhichhasbeendelegatedtoasub‐committeeunderthisclausemay,whilethedelegationremainsunrevoked,beexercisedfromtimetotimebythesub‐committeeinaccordancewiththetermsofthedelegation.

(3) Adelegationunderthisclausemaybemadesubjecttosuchconditionsor

limitationsastotheexerciseofanyfunction,orastotimeorcircumstances,asmaybespecifiedintheinstrumentofdelegation.

(4) Despiteanydelegationunderthisclause,thecommitteemaycontinueto

exerciseanyfunctiondelegated.

(5) Anyactorthingdoneorsufferedbyasub‐committeeactingintheexerciseofadelegationunderthisclausehasthesameforceandeffectasitwouldhaveifithadbeendoneorsufferedbythecommittee.

(6) Thecommitteemay,byinstrumentinwriting,revokewhollyorinpartany

delegationunderthisclause.

(7) Asub‐committeemaymeetandadjournasitthinksproper.

22.Votinganddecisions

(1) Questionsarisingatameetingofthecommitteeorofanysub‐committeeappointedbythecommitteearetobedeterminedbyamajorityofthevotesofmembersofthecommitteeorsub‐committeepresentatthemeeting.

(2) Eachmemberpresentatameetingofthecommitteeorofanysub‐

committeeappointedbythecommittee(includingthepersonpresidingatthemeeting)isentitledtoonevotebut,intheeventofanequalityofvotesonanyquestion,thepersonpresidingmayexerciseasecondorcastingvote.

(3) Subjecttoclause20(5),thecommitteemayactdespiteanyvacancyonthe

committee.

(4) Anyactorthingdoneorsuffered,orpurportingtohavebeendoneorsuffered,bythecommitteeorbyasub‐committeeappointedbythecommittee,isvalidandeffectualdespiteanydefectthatmayafterwardsbediscoveredintheappointmentorqualificationofanymemberofthecommitteeorsub‐committee.

(1) Theassociationmustholditsannualgeneralmeetings:(a) within6monthsafterthecloseoftheassociation’sfinancialyear,or(b) withinsuchlatertimeasmaybeallowedbytheDirector‐Generalor

prescribedbytheRegulation24.Annualgeneralmeetings‐callingofandbusiness

(2) Theannualgeneralmeetingoftheassociationis,subjecttotheActandtoclause23,tobeconvenedonsuchdateandatsuchplaceandtimeasthecommitteethinksfit.

(3) Inadditiontoanyotherbusinesswhichmaybetransactedatanannual

generalmeeting,thebusinessofanannualgeneralmeetingistoincludethefollowing:

(c) toconfirmtheminutesofthelastprecedingannualgeneralmeetingandofanyspecialgeneralmeetingheldsincethatmeeting,

(d) toreceivefromthecommitteereportsontheactivitiesoftheassociationduringthelastprecedingfinancialyear,

(e) toelectoffice‐bearersoftheassociationandordinarycommitteemembers,and

(f) toreceiveandconsideranyfinancialstatementorreportrequiredtobesubmittedtomembersundertheAct.

25.Specialgeneralmeetings‐callingof

(1) Thecommitteemay,wheneveritthinksfit,conveneaspecialgeneralmeetingoftheassociation.

(2) Thecommitteemust,ontherequisitioninwritingofatleast5percentof

thetotalnumberofmembers,conveneaspecialgeneralmeetingoftheassociation.

(3) Arequisitionofmembersforaspecialgeneralmeeting:(a) muststatethepurposeorpurposesofthemeeting,and(b) mustbesignedbythemembersmakingtherequisition,and(c) mustbelodgedwiththepublicofficer,and

(d) mayconsistofseveraldocumentsinasimilarform,eachsignedbyoneormoreofthemembersmakingtherequisition.

(4) Ifthecommitteefailstoconveneaspecialgeneralmeetingtobeheldwithin

1monthafterthatdateonwhicharequisitionofmembersforthemeetingislodgedwiththepublicofficer,anyoneormoreofthememberswhomadetherequisitionmayconveneaspecialgeneralmeetingtobeheldnotlaterthan3monthsafterthatdate.

(5) Aspecialgeneralmeetingconvenedbyamemberormembersasreferredto

insubclause(4)mustbeconvenedasnearlyasispracticableinthesamemannerasgeneralmeetingsareconvenedbythecommittee.

26.Notice

(1) Exceptifthenatureofthebusinessproposedtobedealtwithatageneralmeetingrequiresaspecialresolutionoftheassociation,thesecretarymust,atleast14daysbeforethedatefixedfortheholdingofthegeneralmeeting,giveanoticetoeachmemberspecifyingtheplace,dateandtimeofthemeetingandthenatureofthebusinessproposedtobetransactedatthemeeting.

(2) Ifthenatureofthebusinessproposedtobedealtwithatageneralmeeting

requiresaspecialresolutionoftheassociation,thesecretarymust,atleast21daysbeforethedatefixedfortheholdingofthegeneralmeeting,causenoticetobegiventoeachmemberspecifying,inadditiontothematterrequiredundersubclause(1),theintentiontoproposetheresolutionasaspecialresolution.

(3) Nobusinessotherthanthatspecifiedinthenoticeconveningageneral

meetingistobetransactedatthemeetingexcept,inthecaseofanannualgeneralmeeting,businesswhichmaybetransactedunderclause24(2).

(4) Amemberdesiringtobringanybusinessbeforeageneralmeetingmaygive

noticeinwritingofthatbusinesstothesecretarywhomustincludethatbusinessinthenextnoticecallingageneralmeetinggivenafterreceiptofthenoticefromthemember.

27.Quorumforgeneralmeetings

(1) Noitemofbusinessistobetransactedatageneralmeetingunlessaquorumofmembersentitledunderthisconstitutiontovoteispresentduringthetimethemeetingisconsideringthatitem.

(2) Fivememberspresent(beingmembersentitledunderthisconstitutionto

voteatageneralmeeting)constituteaquorumforthetransactionofthebusinessofageneralmeeting.

(3) Ifwithinhalfanhouraftertheappointedtimeforthecommencementofa

generalmeetingaquorumisnotpresent,themeeting:(a) ifconvenedontherequisitionofmembers,istobedissolved,and(b) inanyothercase,istostandadjournedtothesamedayinthefollowing

weekatthesametimeand(unlessanotherplaceisspecifiedatthetimeoftheadjournmentbythepersonpresidingatthemeetingorcommunicatedbywrittennoticetomembersgivenbeforethedaytowhichthemeetingisadjourned)atthesameplace.

(4) Ifattheadjournedmeetingaquorumisnotpresentwithinhalfanhourafter

thetimeappointedforthecommencementofthemeeting,thememberspresent(beingatleastthree)aretoconstituteaquorum.

28.Presidingmember

(1) Thepresidentor,inthepresident’sabsence,thevice‐president,istopresideaschairpersonateachgeneralmeetingoftheassociation.

(2) Ifthepresidentandthevice‐presidentareabsentorunwillingtoact,the

memberspresentmustelectoneoftheirnumbertopresideaschairpersonatthemeeting.

29.Adjournment

(1) Thechairpersonofageneralmeetingatwhichaquorumispresentmay,withtheconsentofthemajorityofmemberspresentatthemeeting,adjournthemeetingfromtimetotimeandplacetoplace,butnobusinessistobetransactedatanadjournedmeetingotherthanthebusinessleftunfinishedatthemeetingatwhichtheadjournmenttookplace.

(2) Ifageneralmeetingisadjournedfor14daysormore,thepublicofficermust

givewrittenororalnoticeoftheadjournedmeetingtoeachmemberoftheassociationstatingtheplace,dateandtimeofthemeetingandthenatureofthebusinesstobetransactedatthemeeting.

(3) Exceptasprovidedinsubclauses(1)and(2),noticeofanadjournmentofa

30.Makingofdecisions

(1) Aquestionarisingatageneralmeetingoftheassociationistobedeterminedbyeither:

(a) ashowofhands,or(b) ifonthemotionofthechairpersonorif5ormorememberspresentatthe

meetingdecidethatthequestionshouldbedeterminedbyawrittenballot.

(2) Ifthequestionistobedeterminedbyashowofhands,adeclarationbythe

chairpersonthataresolutionhas,onashowofhands,beencarriedorcarriedunanimouslyorcarriedbyaparticularmajorityorlost,oranentrytothateffectintheminutebookoftheassociation,isevidenceofthefactwithoutproofofthenumberorproportionofthevotesrecordedinfavouroforagainstthatresolution.

(3) Ifthequestionistobedeterminedbyawrittenballot,theballotistobe

conductedinaccordancewiththedirectionsofthechairperson.31.Specialresolutions

Aspecialresolutionmayonlybepassedbytheassociationinaccordancewithsection39oftheAct.32.Voting

33.Proxyvoting

(1) Amemberwhodoesnotattendageneralmeetingbutisotherwiseeligibletovoteatthatmeetingmayappointaproxytovoteontheirbehalf.

(2) Aproxyvotecanonlybecastbyamemberwhoisthemselfeligibletovoteat

thegeneralmeetingorbytheChairpersonofthemeeting.

(3) Aproxyvotecanonlybecastbyapersonattendingthegeneralmeeting.

business,theproxyisentitledtoexercisetheproxyvoteastheyseefit.

(9) Inthecaseofadisputedproxyappointmentorifitisunclearastothevotinginstructionsofthemember,theChairpersonofthemeetinghassolediscretiontodecideonthedisputeorvotinginstructions.

34.Postalballots

(1) Theassociationmayholdapostalorelectronicballot(asthecommitteedetermines)todetermineanyissueorproposal(otherthananappealunderclause12).

(2) ApostalorelectronicballotistobeconductedinaccordancewithSchedule3totheRegulation.

35.UseofTechnologyatGeneralMeetings

(1) Ageneralmeetingmaybeheldat2ormorevenuesusinganytechnologyapprovedbythecommitteethatgiveseachoftheassociation’smembersareasonableopportunitytoparticipate.

(2) Amemberofanassociationwhoparticipatesinageneralmeetingusingthattechnologyistakentobepresentatthemeetingand,ifthemembervotesatthemeeting,istakentohavevotedinperson.

Theassociationmayeffectandmaintaininsurance.37.Funds–source

(1) Thefundsoftheassociationaretobederivedfromentrancefeesandannualsubscriptionsofmembers,donationsand,subjecttoanyresolutionpassedbytheassociationingeneralmeeting,suchothersourcesasthecommitteedetermines.

(2) Allmoneyreceivedbytheassociationmustbedepositedassoonas

practicableandwithoutdeductiontothecreditoftheassociation’sbankorotherauthoriseddeposit‐takinginstitutionaccount.

(3) Theassociationmust,assoonaspracticableafterreceivinganymoney,issue

anappropriatereceipt.38.Funds–management

(1) Subjecttoanyresolutionpassedbytheassociationingeneralmeeting,thefundsoftheassociationaretobeusedinpursuanceoftheobjectsoftheassociationinsuchmannerasthecommitteedetermines.

41.Inspectionofbooksetc

(1) Thefollowingdocumentsmustbeopentoinspection,freeofcharge,byamemberoftheassociationatanyreasonablehour:

(a) records,booksandotherfinancialdocumentsoftheassociation,(b) thisconstitution,and(c) minutesofallcommitteemeetingsandgeneralmeetingsoftheassociation.(2) Amemberoftheassociationmayobtainacopyofanyofthedocuments

referredtoinsubclause(1)onpaymentofafeeofnotmorethan$1foreachpagecopiedor,ifsomeotheramountisdeterminedbythecommittee,thatotheramount.

42.Serviceofnotices

(1) Forthepurposeofthisconstitution,anoticemaybeservedonorgiventoaperson:

(a) bydeliveringittothepersonpersonally,or(b) bysendingitbypre‐paidposttotheaddressoftheperson,or(c) bysendingitbyfacsimiletransmissionorsomeotherformofelectronic

transmissiontoanaddressspecifiedbythepersonforgivingorservingthenotice.

(2) Forthepurposeofthisconstitution,anoticeistaken,unlessthecontraryis

proved,tohavebeengivenorserved:(a) inthecaseofanoticegivenorservedpersonally,onthedateonwhichitis

receivedbytheaddressee,and(b) inthecaseofanoticesentbypre‐paidpost,onthedatewhenitwouldhave
