With a business day that begins before
Tokyo closes and continues well into
New York trading time and close
proximity to Europe but independence
from the European Union, Jersey offers
benefits in both location and time zone.
The wealth of experience and expertise
offered by Jersey’s highly skilled
finance service providers gives an
unparalleled welcome to businesses
and investors alike. This, combined with
the Island’s internationally recognised
robust regulatory framework and
its favourable geographical position
continues to make Jersey an attractive
jurisdiction for international business.
Jersey’s status as a Crown Dependency
gives the jurisdiction constitutional
rights of self-government and judicial
independence. This offers both
businesses and investors the benefits of
an independent international finance
centre, which is close to the United
Kingdom and mainland Europe.
Jersey is one of the world’s leading international finance centres.
Its successful combination of stability, reliability, sophisticated and
comprehensive infrastructure of laws have kept it at the forefront of
global finance for over 50 years.
About Jersey

Trust and Corporate Services
The range of vehicles we administer
include:
• Trusts and Foundations
• Companies – registered in Jersey and
other jurisdictions
• Managed Trust Company
arrangements
• Private Trust Companies
• Special Purpose Vehicles
• Partnerships – Ordinary, Limited or
Limited Liability
• Protected Cell Companies
Our key aim is to have a good
understanding of our clients’ requirements
at all times to ensure that their offshore
affairs continue to be effective.
International PlanningOur clients have diverse cross
border requirements and, as such,
we have considerable expertise
in understanding international
structures. Working with tax specialists,
including members of Moore Stephens
International Limited globally, and the
clients’ professional advisers, we give
guidance on the most appropriate
vehicles to be used in a structure.
International tax planning also
encompasses estate planning for
those clients with interests in more
than one jurisdiction.
PartnershipsIncreasingly, partnerships are used as vehicles for structured finance transactions and we have extensive experience and knowledge in managing these entities, including acting as General Partner, providing administration and specialist accounting services and arranging
Partnership meetings.
TrustsAlthough as old as the British legal
system itself, a trust and more
particularly an offshore trust, has
become an integral part of wealth
and tax planning. What started as
a simple arrangement between a
wealthy landowner (the Settlor) and a
trusted friend or relative (the Trustee)
and the landowner’s dependents
(the Beneficiaries), has now become
a sophisticated estate and succession
planning tool governed by modern
laws tailored to meet the needs of
international clients to structure and
protect their family or corporate wealth.
A trust is one of the most secure and
flexible ways to provide for the continuity
of family assets and preserve their wealth
from inappropriate or unwanted use.
Other benefits of establishing a trust
include anonymity, freedom of choice
and reduced political risk.
FoundationsFoundations are particularly attractive
to clients in jurisdictions where
the concept of trusts is either not
recognised or is less well known; or
where clients are keen to maintain
control over generated wealth, and
personally set the rate of flow of
information to beneficiaries.
Foundations can also be used for family
and/or inheritance purposes, charitable
purposes, owners of companies
(‘holding’ or ‘parent’), commercial
Working closely with our clients and their professional advisers, we
provide bespoke and comprehensive offshore Trust and Corporate services,
including the establishment and ongoing administration and accounting
of appropriate vehicles, dependent on the clients’ requirements and the
complexity of their affairs. Typical clients comprise private individuals,
families and corporate bodies.
7
transactions (particularly where an
‘orphaned’ special purpose vehicle
is required) and employee benefits
arrangements.
CompaniesJersey companies can be structured
to meet a wide variety of business
purposes from simple asset holding,
such as real estate and investment
portfolios, to more complex
arrangements including structured
finance, corporate restructuring and
vehicles for accessing capital markets.
Jersey is a tax neutral jurisdiction and,
therefore, using a Jersey company for
structuring international financing
transactions can be beneficial in terms
of company law provisions and tax
treatment. The Companies (Jersey)
Law, 1991, is the principal piece of
legislation governing Jersey companies,
which is similar, yet simpler, than UK
company law and allows for greater
flexibility. Other key benefits of
Jersey companies include separate
legal identity, limited liability for
shareholders and ease of transfer of
ownership.

the most appropriate vehicle for
structuring your wealth

Auditing and Accounting
The value from an audit can range from satisfying local filing
requirements to being an integral part of the management and
governance framework. We believe that audits should be a positive
experience for our clients and viewed as part of the business
development process. Whatever the requirements, we design our audit
and assurance services to maximise the value we can add, whether
in the form of checks on specific aspects of the business or advice on
systems and procedures.
Through our familiarity with
clients’ businesses, resulting from
our statutory work, we are able to
add value by offering independent
consultancy services.
We appreciate that there is a real
need to communicate effectively with
our clients’ management and finance
teams because the more each party
understands the needs and objectives
of the other, the easier it is for us to
carry out our work.
RightsourcingWe can provide full accounting services
from the processing of transactions
through our business process
outsourcing team, to the drafting of
year end accounts and the preparation
of year end files ready for audit. This
includes the provision of monthly
detailed profit and loss accounts,
balance sheets, cash flow and other
essential management information
to determine the performance of
different parts of the business or the
business as a whole. We can also fill in
the gaps in accounts departments on a
temporary or permanent basis.
Virtual Private Network OutsourcingVirtual Private Network Outsourcing
(VPN outsourcing) offers secure access
to your systems to provide outsourcing
services. The service is a ‘closed box’
solution with data only being input
and removed by the client and can
be turned on or off with just one
month’s notice.
VPN outsourcing is a secure way to
outsource workload to external staff not
located in the clients’ offices. Put simply,
access to systems is provided through a
secure, dedicated internet access point
(virtual private network) so that Moore
Stephens can look at and work on clients’
accounts and accounting information.
VPN outsourcing is exceptionally secure
as client systems can only be accessed
by those with the appropriate security
clearance, the information never leaves
the clients’ systems (external staff look
into and work within the clients’ systems)
and the Moore Stephens outsourcing
team is unable to download, print or
copy any information. Client firms remain
in control of the staff and the security at
all times.

both corporate and private clients
and ranges from ensuring that
statutory returns are carried out at
the right time through to long term
tax-efficient planning.
Not-for-profit organisations accounting adviceMoore Stephens has a niche specialism
in advising and auditing not-for-profit
entities. Partners have a wealth of
experience having chaired, served on
and advised the boards of large and
small charities in the Channel Islands,
UK and multi-jurisdictions.

Board Evaluation ServicesThe Board Evaluation Service provides
the opportunity for boards to
create a virtuous circle of sustained
improvement and competitive
advantage. It does this by promoting
best leadership practice for company
strategic and operational decision-
making, oversight, risk management
and accountability.
We have the expertise to precisely
and sensitively collect, analyse and
report data to clients with clarity and
discretion. Board directors are given
the means to conduct self-assessments
through tailored questionnaires
and informal interviews. The data
is presented as clear and actionable
business intelligence.
Boards can adapt the scope and scale
of the assessments to meet their
specific needs across the breadth of
regulatory, risk management and other
governance requirements. The number
of questions and topics examined can
be tailored to each specific case, as can
the order of priority.
The evaluation will highlight strengths
as well as those areas that may need
to be improved. It is invaluable
for demonstrating excellence to
shareholders whilst gaining critical
management information for the
highest level of corporate governance.

Risk and Recovery
Moore Stephens Risk & Recovery Limited offers a full range of
services to its clients across the Channel Islands and the broader
offshore financial community. These services include Corporate
Recovery and Forensic Accounting.
Corporate RecoveryWe help and advise business owners
with financial problems every day so
we know it can be very stressful
when businesses experience a
financial downturn. Some situations
concern small companies and are
simple to resolve. Others are more
complicated, involving multiple
international jurisdictions.
Specialist skills and experience are
often required to deal with financial
and operational problems. We advise
companies under pressure from
creditors on their current position,
including directors’ legal responsibilities,
and assist in planning the most sensible
way forward.
To avoid administration or liquidation,
professional advice to resolve financial
problems and consequent stress should
be sought as early as possible. We
focus on methods of recovery for
both the business and its corporate
structure; however, if it is decided that
these are not feasible then we will act
as administrators or liquidators
of structures.
Our initial meetings are confidential
and free of charge.
Forensic AccountingWe are able to draw on the skills in our
Offshore Group and the wider Moore
Stephens network to provide a full
range of forensic services
including:
• Fraud Investigation
• Asset Tracing
• Business Valuations
• Divorce Valuation
• Professional Negligence
We can also provide senior staff to
act as Expert Witnesses for litigation
matters if required.

which may have beneficial taxation
consequences in certain circumstances,

from company schemes and/or personal
pensions as appropriate.
Personal Financial PlanningFinancial planning has two key
objectives:
• Protection
• Achieving or maintaining financial
independence
Often these two elements will go hand
in hand and are key to the realisation
of an individual’s financial goals.
Individuals can build wealth through a
variety of different types of savings plan
according to particular requirements,
examples of which would include school
fees planning and house purchase.

At Moore Stephens we place real emphasis on our relationship with
clients. Experience tells us that we can only deliver useful services if we
have their complete trust in our technical and professional ability.
The First Step
The relationship between clients and
financial and business advisers should be
long lasting because the decisions that
need to be made now will almost certainly
have far reaching consequences in years
to come. We begin relationships by
listening - not looking at accounts and
spreadsheets, that will come later once we
have a clear understanding of our clients’
needs and aspirations. This approach
reflects our belief that a professional,
quality service involves more than just
technical excellence.
Please contact us if you would like to gain
access to the range and depth of specialist
skills and expertise that Moore Stephens
can offer. We can arrange a suitable time
and place for a meeting, which we hope
will lead to a longstanding and mutually
beneficial relationship.
Moore Stephens Jersey is part of the
offshore group, which also includes
Guernsey, Gibraltar and the Isle of Man.
Moore Stephens Jersey is regulated by the Jersey Financial Services Commission for the conduct of Trust Company, Fund Services and Investment Business
