beliabletoanyotherpartyfororbeconsideredtobeinbreachofordefaultunderthisAgreementfordenyingarequestformutualaidresponseAnypartytothisAgreementmayrequestaidfromanotherpartytothisAgreementindealingwithemergenciesOnreceivingarequestforaidtherespondingagencyshallaImmediatelydetermineifapparatusandpersonnelareavailableandcanbesparedbDeterminewhatapparatusmightmosteffectivelyandefficientlybedispatchedcIfnecessaryordesirableassignpersonnelandapparatusinaccordancewithmutualaidplansdrawnupbytheThurstonCountyAssociationofFireChiefsdDispatchthedesignatedapparatuswithinstructionstoreporttotheIncidentCommander2InabilityToRenderAssistanceRenderingassistanceunderthisAgreementisnotmandatoryHowevertherequestingagencyshallbeinformedofthereasonwhyassistancecannotberendered3OperationalCommandandControlAllpartieswilloperateundertheIncidentManagementSystemalsoreferredtoasIncidentCommandSystemWAC29630505001aswrittenorhereafteramendedshallapplyAgenciesandjurisdictionsareservingasaresourcetotherequestingagencyWhileincidentcommandmaybedelegatedbytherequestingagencyoverallincidentresponsibilityremainswiththerequestingagencyEachrespondingagencyisresponsibleforthecareandcustodyofitsownpersonnelandequipment4ConsumableSuppliesArequestingagencyshallprovidemotorfuellubricatingoilwelfareitemsandotherconsumablesforfirefighterstotheextentofavailablesupplies5EquipmentSalvageEquipmentDamageAllagenciesinvolvedinamutualaidassistanceoperationshallexerciseduediligenceinsalvaginglostordamagedequipmentandensurngthatitisreturnedtoitsrightfulownerEachagencyshallberesponsibleforanyrepairsandordamagesdonetotheirownvehiclesorequipmentasaresultofparticipationinamutualaidincidentEINDEMNIFICATIONANDLIMITATIONOFLIABILITYlaThepartiesagreethateachofthepartiesshallatalltimesbesolelyresponsiblefortheactsorthefailuretoactofitspersonnelthatoccurorariseinanywayoutoftheperformanceofthisAgreementbyitspersonnelonlyandtosaveandholdthepartiesandtheirpersonnelandofficialsharmlessfromallcostsexpenseslossesanddamagesincludingcostofdefenseincurredasaresultofanyactsoromissionsofthepartyspersonnelrelatingtotheperformanceofthisAgreementbIntheeventthataclaimandorlawsuitisbroughtagainstapartytothisAgreementoragainstanypartysofficersofficialsoremployeesforactionsarisingoutoftheirconductinrespondingtoarequestforassistanceitshallbethedutyofeachsuchpartytopromptlynotifytheotherpartiesthatactuallyrespondedtothemutualaideventwhichisthesubjectofsuchclaimorlawsuitthatthesamehasbeeninitiated2005FireMutualAidAgreementPage305125120050123PTHURSTONCOFIREPROTECGR42oeThursonCoUa

cEachpartyandtheirrespectivedefensecounselshalltotheextentreasonablypossibleandconsistentwiththebestinterestsoftheirrespectiveclientscooperatewithotherpartiestothisAgreementandtheirrespectivedefensecounselinthedefenseofanylawsuitarisingoutofamutualaidresponseandshallagreewheneverpossibletosharenonattorneyfeerelatedcostssuchasrecordsgatheringpreparationoftrialexhibitstheretentionandpaymentofexpertwitnessesandthecostofdepositionreportingandtranscriptiondEachpartyheretoshallobtainandmaintaininfullforceandeffectpublicliabilityandpropertydamageinsuranceorselfinsurancecoverageintheamountof1millionperoccurrencetocoverclaimsforinjurytopersonsordamagetopropertyarisingfromtheperformanceofthisAgreementInsurancecoverageshallnotbecancelledbyanypartyexceptuponthirty30dayspriorwrittennoticebycertifiedmailtoallotherpartiesSatisfactoryevidenceoftherequisiteinsurancecoverageshallbeprovidedtoeachpartytothisAgreementpriortoexecutionofthisAgreementbyanyparty2NothinghereinshallrequireorbeinterpretedtoaWaiveanydefensearisingoutofRCWTitle51bOperatetonegatetheresponsibilitiesofanypartyunderRCW3584050andRCW5212121astobenefitsforaninjuredfirefightercLimitorrestricttheabilityofanypartyoranypartysofficialsofficersoremployeesorlegalcounselforanypartyofficialofficeroremployeetoexerciseanyrightdefenseorremedywhichapartytoalawsuitmayhavewithrespecttoclaimsorthirdpartiesincludinganygoodfaithattemptstoseekdismissaloflegalclaimsagainstapartybyanypropermeansallowedunderthecivilrulesineitherstateorfederalcourtdCoverorrequireindemnificationorpaymentofanyjudgmentagainstanyindividualorpartyforintentionalwrongfulconductconductoutsidethescopeofemploymentofanyindividualorforanyjudgmentforpunitivedamagesagainstanyindividualorpartyPaymentofpunitivedamageawardsfinesorsanctionsshallbethesoleresponsibilityoftheindividualagainstwhomsaidjudgmentisrenderedandorhisorheremployershouldthatemployerelecttomakesaidpaymentvoluntarilyThisAgreementdoesnotrequireindemnificationofanypunitivedamageawardsorforanyorderimposingfinesorsanctionseThepartiesshalltothebestoftheirabilitycoordinatetheirliabilityinsurancecoveragesandorselfinsuredcoveragestotheextentpossibletofullyimplementandfollowtheAgreementsetforthhereinHowevertheconsentofanyliabilityinsurancecarrierorselfinsuredpoolororganizationisnotrequiredtomakethisAgreementeffectiveasbetweenthepartiessignatorytothisAgreementandthefailureofanyinsurancecarderorselfinsuredpoolororganizationtoagreeorfollowthetermsofthisprovisiononliabilityshallnotrelieveanyindividualcityorfiredistrictfromitsobligationsunderthisAgreementNothinginthisAgreementshallbeinterpretedtocreatethirdpartyrightsinanyentitynotasignatorytothisAgreement2005FireMutualAidAgreementPage4Page4of2405252005o123pTHURSTONCOFTREPROTECGR4200ThursfonCoUa

fTheprovisionsofthissectionshallsurviveterminationofthisAgreementwhetherterminationisbyallpartiesorbyoneormorepartiesFPREEMERGENCYPLANNINGTheFireChiefsofthepartiestothisAgreementmayfromtimetotimemutuallyestablishpreemergencyplanswhichshallindicatethetypesofandlocationsofpotentialproblemareaswhereinitialpredesignatedemergencyassistancewouldbeappropriatethetypeofequipmentthatshouldbedispatchedundervariouspossiblecircumstancesandthenumberofpersonnelthatshouldbedispatchedundersuchcircumstancesSuchplansshalltakeintoconsiderationandinsuretheproperprotectionbytherespondingpartyofitsowngeographicalareaTheexistenceofpreemergencyplansshallnotobligateanypartytothisAgreementtorespondtoarequestforassistanceconsistentwiththetermsofSectionIIIDhereinGDURATIONThetermoftheAgreementshallbefor5yearscommencingondateoffilingatThurstonCountyandterminatingonDecember312009AbsentwrittenmodificationthisAgreementwillbeautomaticallyrenewedforoneadditionalfiveyeartermAtthetimeofexecutionofthisAgreementanInterlocalAgreementforMutualAidForFirefightingandEmergencyMedicalServicesExtensionAgreementExtensionAgreementwasineffectuntilMay312005AsoftheexecutionandsubsequentrecordingofthisAgreementwiththeThurstonCountyAuditorthatExtensionAgreementwillbeconsideredautomaticallyterminatedHJOINTACQUISITIONANDDISPOSITIONOFPROPERTYFINANCINGThepartiesshallnotjointlyacquirepropertyandthereforethereisnoneedtosetforthameansofdispositionofsuchpropertyEachpartyshallassumeresponsibilityforthefinancinginvolvedinacquiringitsapparatusandequipmentandforpayingsalariesandbenefitsofitsofficersofficialsandemployeessubjecttoSectionDhereinINOSEPARATELEGALENTITYCREATEDADMINISTRATIONNoseparatelegalentityiscreatedbythisAgreementNoadministratororjointboardiscreatedbythisAgreementThepartiesagreetomeetannuallytoreviewanddiscussthetermsofthisAgreementandtoverifyeachpartysrequirementforinsurancecoverageunderSectionE2ehereinJCOOPERATWEPURCHASINGInaccordancewithRCWChapter3934andapplicableprovisionsofanypartysgoverningbodythepartiesherebyagreetoacooperativegovernmentalpurchasingagreementforthepurposeofpurchasingvarioussuppliesmaterialsandequipmentusingthepartiescompetitivelyawardedcontractsThefollowingtermsandconditionsapply2005FireMutualAidAgreementPage5052520050123PTHURSTONCOFIREPROTECRGR4200ThursfonCoua

1Eachpartyincontractingforthepurchaseofsuppliesmateralsandequipmentagreesatitssolediscretiontoextendsaidcontractstotheotherpartytotheextentpermittedbylawandagreeduponbythepartiesandthevendors2EachpartyshallberesponsibleforcompliancewithanyadditionalorvaryinglawsandregulationsgoverningpurchasesbyorontheirownbehalfincludingbutnotlimitedtocompliancewiththeapplicableprovisionsofRCWTitle393AnypurchasesshallbeimplementedbypurchaseorderanddirectedtothevendorThepurchaseordershallspecifythattheitemsorderedaretobedeliveredtothepartythatplacedtheorder4NopartyshallacceptresponsibilityfortheperformanceofanyvendorcontractedforbyanotherpartyasaresultofthisAgreement5NopartyshallberesponsibleforthepaymentofanyitemscontractedforbyanotherpartyasaresultofthisAgreement6EachitempurchasedshallbecomethesolepropertyofthepartythatplacedtheorderNootherpartyshallhavearightorinterestinorclaimoftitletothatproperty7TheAdministratorforthisSectionofthisAgreementisthepartythatmadetheparticularpurchase8ForallpurchaseorderssubmittedbytheCityofTumwatertheapplicableprovisionsofTMC214and344willapplyandanyotherapplicableprovisionsoftheTumwaterMunicipalCodenototherwisementionedKMODIFICATIONTERMINATION1ModificationThisAgreementmayonlybemodifiedbymutualagreementofallpartiesheretoexecutedinwritinginthesamemannerasthisAgreement2TerminationThisAgreementmaybeterminatedastoanysinglepartywhenthepartyprovidesnoticetoallotherpartiesinwritingatleast60dayspriortoitsintendedwithdrawalfromthisAgreementpertherequirementsofSectionIIILhereinAnypartytothisAgreementthatallowsitsinsurancecoveragetolapsewillbedeemedterminatedfromthisAgreementregardlesswhethernoticeofsuchlapsehasbeenprovidedtotheotherpartiesLCOMMENCEMENTOFAGREEMENTFILINGThisAgreementandanyamendmentstheretoshallbecomeeffectiveuponthelateroftheapprovaloftheAgreementbythegoverningbodyofeachpartyandtherecordationofthisAgreementwiththeThurstonCountyAuditor2005FireMutualAidAgreementPage6Page6of24052520050123PTHURSTONCOFIREPROTECRGR4200ThursonCoUa
