Dear Sirs, Sub : Detail Engineering for Bagasse Handling System for 24MW CPP – Godavari Sugar Mills Ltd. – Control Desk We take reference to your letter dated 30 th December2000 and we would like to furnish out reply as under: On the issue of redundancy for CPU now asked for by BSES, we feel it is not proper or fair on our side to raise objection in view of the following reasons. 1. Right from the beginning Fenner is aware BSES are the EPC contractor for the job and you have to get DESEIN approval, which definitely would have been their pre-condition of their contract to Fenner. They have so far asked you to proceed with ordering certain equipment in anticipation of approval. (No doubt it is delaying our side). But we can not find fault with them because they do have the joint responsibility of execution of contract through Fenner in time). All the same Fenner can definitely raise objection or so voice their concern in any other matters. But here in this particular case, we cannot raise objection due to the reasons mentioned below. 2. BSES has already noted our claims for various extra prices and we have won already extra for a few items to the tune of 2.25 lakhs approximately, other than redundant CPU. They have also accepted to pay for the redundant CPU which is a welcome situation. At this  juncture, we feel that we should not antagonise BSES for their reversal of their earlier comments (because it is going to benefit Fenner by way of extra price). 3. This point is all the more true because Fenner has still not ordered the equipment and manufacturing has not been completed. Addition of redundant CPU is just a simple addition of an electronic card, for which Fenner cannot raise hue and cry, because in one sentence, you can ask the supplier to add this. 4. In view of the aforesaid, we feel you need not raise your objection to BSES on this account but all the same we will find out other points and give you another letter where in we can elaborate all the other points which are affecting our progress. Trust this would meet your requirements. In this regard as desired by you we attach herewith one page of amendment which shall be forwarded to PLC (CD) bidders and ask them to take care of same in their final bid. This amendment is to be sent to all the bidders and considered by you while you place the order for CD. We take reference to your letter dated 30 th December2000 and we would like to furnish out replyas under:

On the issue of redundancy for CPU now asked for by BSES, we feel it is not proper or fair on our side to raise objection in view of the following reasons.

1. Right from the beginning Fenner is aware BSES are the EPC contractor for the job and you

have to get DESEIN approval, which definitely would have been their pre-condition of their contract to Fenner. They have so far asked you to proceed with ordering certainequipment in anticipation of approval. (No doubt it is delaying our side). But we can notfind fault with them because they do have the joint responsibility of execution of contractthrough Fenner in time). All the same Fenner can definitely raise objection or so voice their concern in any other matters. But here in this particular case, we cannot raise objectiondue to the reasons mentioned below.

2. BSES has already noted our claims for various extra prices and we have won already extrafor a few items to the tune of 2.25 lakhs approximately, other than redundant CPU. Theyhave also accepted to pay for the redundant CPU which is a welcome situation. At this juncture, we feel that we should not antagonise BSES for their reversal of their earlier comments (because it is going to benefit Fenner by way of extra price).

3. This point is all the more true because Fenner has still not ordered the equipment andmanufacturing has not been completed. Addition of redundant CPU is just a simpleaddition of an electronic card, for which Fenner cannot raise hue and cry, because in onesentence, you can ask the supplier to add this.

4. In view of the aforesaid, we feel you need not raise your objection to BSES on this accountbut all the same we will find out other points and give you another letter where in we canelaborate all the other points which are affecting our progress. Trust this would meet your requirements.

In this regard as desired by you we attach herewith one page of amendment which shall beforwarded to PLC (CD) bidders and ask them to take care of same in their final bid. Thisamendment is to be sent to all the bidders and considered by you while you place the order for
