The Department of Urology of AIIMS, Bhubaneswar has requested for Procurement of USG Machine

for Urological Procedures (including Laparoscopic intra-operative Ultrasound) (Make: BK Medical)

from Mis BK Medical (Analogic Ultrasound Group) through their Indian Dealer Mis Healthware

Private Limited.

The Notice is being uploaded for general information of prospective manufacturer/Authorized

Distributor/Dealers to submit their objection/proposal/comments, if any, on proprietorship of the

item.

In case the product of any manufacturer/Authorized distributor/Dealer conforms to the enclosed

specifications, they may submit their proposal for the supply of the same along with the brochures,

point by point compliance of the enclosed specifications along with all documentary evidence. One

quotation of the product may also be submitted.

6 Purchaser'sThe purchaser shall be responsible to ensure that properly trained, competent and

responsibilities skilled personnel run the equipment, and only prescribed consumables are used

thereof.

The purchaser shall provide for a suitable, convenient and unrestricted accessfor

the equipment entry to the installation site. The purchaser shall at its cost carry out

any and all civil/structural modifications required towards making such proper site

access and fittings, including all masonry, plumbing, carpentry, electrical/air

conditioning and other requisite facilities. The purchaser shall provide at its

expense a requisite power connections / UPSand all the infrastructure required for

Iinstallation of the equipment including the man power requirements for the proper

I installation of the equipment (as per the technical broachers / data sheets of ours

provided to the purchaser from time to time).

Activities Incidental to installation like unpacking, guidance for erection and

operation demo will be facilitated by us. Activities limited to installation will be

carried out by us subsequent to sale at no extra cost, provided the purchaser

performs its responsibilities herein.

Customer or its representative shall accept the product in the hospital immediately

after installation and upon demonstration of all technical functions, not later than

four days after completion of installation. Acceptance shall be documented by

means of a Final Acceptance Certificate in the Form provided by Healthware, signed

by Customer or its representative and delivered to Healthware Pvt. Ltd [HWPL].

If no Final Acceptance Certificate is signed, acceptance shall be deemed to have

taken place ("Date of Acceptance") on the earliest of

A. The date on which customer first uses the products for treatment of patients, or

B. Six weeks after delivery of the products to the hospital, if acceptance cannot take

place or has not taken place through no fault of our Principals.

All risks of loss or damage to products shall pass to customer upon delivery to the

carrier accordingly to FCAInco terms 1990. Title to the products shall remain with

our Principals until the purchase price is paid in full.

7 EnvironmentThe equipment offered can be damaged by dust and extreme changes in

temperature and humidity, and we shall not be liable for damage caused by the

same.

Safety

Intellectual

property rights

For continued safe and optimum use of this equipment, the purchaser shall strictly

follow the instructions given in the Operators manual. We shall not be responsible

for damages injuries or losses suffered or caused due to, directly or indirectly, non-

compliance with the operator's manual and other related instructions and norms.

The Customer hereby agrees and accepts that we or our principals are not

responsible for any such damage that may occur to any party and the customer

further undertakes to keep us and our principals indemnified from any claims that

may arise out of or in relation to such damage from any party.

It is agreed and acknowledged by the purchaser that in respect of all programs,

software, manuals, know-how, techniques, and other forms of proprietary

information supplied by us through any acceptable media, whether documented or

not, or constituted or contained in the equipment, operating manuals, product data

sheets etc., shall be and remain the sole and exclusive property of us or the

respective owner of such intellectual property, and that the sale of the equipment

along with and such propriety or copyrightable materials supplied by us, shall only

constitute a right to use by the purchaser and shall not amount to transfer of any

such Intellectual property rights in favour of the customer. I

The purchaser undertakes to not make any unauthorized copied, by any means, or

in any manner violate, breach, or infringe any and all or any of the said intellectual

property rights and the customer shall be directly responsible for such a breach.

a) Principals reserve the right to make and design-improvements until the

product is delivered. Such improvement, however, shall not modify any

material aspect of the Product.

b) If any modification to the product is required pursuant to any law or

governmental regulation or requirement or interpretation thereof by any

governmental agency, which is effective prior to the delivery date and

which is applicable to the intended use of the product by the hospital, then

in order to meet such requirement, such modification shall be made prior

to the delivery date.

c) The customer shall pay to us the increased price if any caused by the

modification said above; such price increase however shall be negotiated

and mutually agreed.

Modifications

Warranty1. We warrant the equipment (including transducers) against manufacturing I

defects, if any, for a period of 63 months from the date of delivery or 60 Imonths from the date of installation subject to Force Majeure and the

following conditions,

a. This warranty does not cover normal wear & tear, wrongful handling,

not following the user instructions given in the literature and

unauthorized attachments or modifications.

b. The warranty clause does not apply for the defects / repairs caused to

the equipment due to negligent actions of and commissions and

omissions by the customer or the representative.

c. The breach of contract conditions like non-payment / delayed payment

of consideration and servicing done by un-authorized persons makes

the warranty conditions voidable at our hands.

d. Opportunity cost and any other indirect costs incurred by the

customer do not fall into the orbit or warranty.

e. The warranty claims what so ever, will be restricted to the value of

goods sold, in case of return of goods by the customer due to

manufacturing defects, if mutually agreed upon.

12 Installation & after-Installation shall be done by our service engineers at no extra charges.

14 Claim in case ofa) in the event of any defect (against which the above warranty is provided)

defective being found on the equipment on reaching the destination /site and

equipment thereafter within the warranty period set out above, replacement or repair

will be carried out within 45 working days from the date of receipt of

written notice of such defect by us.

The warranty conditions replicate for defective equipment also.

b) if we do not have in our stock any equipment or components to replace the

defective equipment or components thereof then the time taken to

manufacture or to obtain supplies from our suppliers shall be in addition to

the said period of 4S working days without any liability to us.

15 Force majeureWe shall not be liable for loss or damage due to delays caused by force majeure

conditions and any failure of or delay in the performance of this Agreement for the

period that such failure or delay is due to causes beyond its reasonable control,

including but not limited to acts of God, war, strikes or labour disputes, embargoes,

government orders, natural calamities or any other force majeure event.

16 ArbitrationAny difference or dispute arising out of or any reconciliation to these standard

trading terms and conditions shall be referred to arbitration. The arbitration shall

be conducted in accordance with the Arbitration and Reconciliation Act, 1996 and

the venue of the arbitration shall be at Hyderabad. The arbitration shall be presided

by a sole arbitrator to be appointed by us.

17 Limitation ofIn no event will company be liable to you for any lost profits, lost savings or

Liability incidental, indirect special or consequential damages, arising out of your use or

inability to use the product or the breach of this agreement, and violation of user

manual conditions even if advised of the possibility of such damages.

18 Deeming clauseThe purchase order placed by the customer in response to the quotation is deemed

to have accepted the terms and conditions attached to the quotation except to the

extent, contrary conditions imposed if any in the customer order.

The contrary conditions if any imposed in the customer order require negotiation

and acceptance.

19 Jurisdiction andWithout prejudice to the arbitration clause any litigation that may arise out of or in

applicability of Lawrelation to this Agreement including but not limited to any application under

Section 9 and 11 of the Arbitration and the Conciliation Act of 1996 shall be dealt

by the Courts in Hyderabad only in exclusion of all other courts. The Agreement

shall be governed by the Laws of the Union of India and the State of Telangana.

Flow velocity information is often needed in exams, e.g. to exclude carotid artery stenosis and plaque, or leg exams

to exclude DVT (Deep Vein Thrombosis). Measuring flow velocity requires a skilled sonographer and usually needs

the following 5 steps (and 3 for every new location).

Using the automated functions in VFIAssist, the workflow only requires 2 steps and it is updated at all times, even

when the transducer is moved.

A Clinical Use - Hemodialysis

Monitoring the flow at vascular access site

The increase in number of patients undergoing hemodialysis

highlights the need for improved methods of monitoring

vascular flow.

Thrombosis is a common complication of hemodialysis; it is

essential to monitor the flow in the vascular accessto ensure

that it is below 600ml/min for a fistula and 400ml/min for a

graft. Vascular accessfailure is the most frequent cause of

hospitalization for patients with chronic renal disease (Cairoli

OM 2004).

One popular way to assessthe patency of the dialysis graft is

to use ultrasound and measure the volume flow.

VFIAssist streamlines the process of obtaining flow

data and can minimize time consuming adjustments. VF

measurements can easily be made at different locations to

potentially increase the quality of the evaluation.

It is an alternative to other flow measurement methods and

supports the trend of increased use of ultrasound in daily

clinical practice.

Hemodiolysis Terms

Hemodialysis:

Treatment for renal failure in which circulating blood is diverted through a dialyzer

that acts as an artificial kidney to filter out toxins before the blood is returned to the

body.

Vascular access:

Site where blood leaves and reenters the body. There are two main types of AV

(arteriovenous) vascular access:

1. Fistula - Artery connected directly to vein

2. Graft - Artery connected to vein by a tube

VFIAssist guides you through the workflow. You can also

override any of the automatic adjustments, if changes to the

diameter or the angle of flow need to be made.

be adjusted manually

VFI - Transverse Oscillation Technology

VFI usesa technique called transverse oscillation to overcome the angle limitations of ordinary Doppler ultrasound. It

creates an effective component of the ultrasound oscillation perpendicular to the transmitting beam - an oscillation in

the transverse direction (Jensen JA 2001; Jensen JA, Munk P 1998).

VFI generates a 20 interference pattern in the received ultrasound signal. This allows the system to calculate not only

the axial component of the velocity (astraditional Color Doppler), but also the transverse component.

This eliminates the angle dependence and enables both the detection and visualization of complex flows.

Angle Limitations of Doppler Flow Measurements

Ordinary Color and Spectral Doppler ultrasound measure the velocity of flow components toward or away from the

transducer. It usesthe angle of the ultrasound beam relative to the flow direction to calculate the actual flow velocity through

the vessel.

The accuracy of this computation depends on precise knowledge of the direction of the ultrasound beam and direction of

the flow in the vessel (and the angle 0 between them).

When the ultrasound beam is perpendicular to the vessel (90°),this computation

is impossible, because there is no flow component in the direction of the beam.

In effect, the measurement is impossible when the insonation angle is over

60°, because then small errors in measuring the two directions lead to large

discrepancies in the results.

The ground breaking new VFItechnology addresses this problem by eliminating

angle-dependence.
