Share this with your peers The AirWatch On-Premise Mobile Device Management (“MDM”) from AT&T solution (the “Solution”) supports deployments of mobile devices at any scale. With the On Premise Solution, enrollment is quick and configuration is easy. Updates are provided over-the-air, while giving IT administrators the ability to enforce policies, set restrictions, and secure devices while in use and if stolen. This Solution provides support across the leading operating systems and devices all within a single console. Monitor activity and set privacy policies and alerts, it’s all possible.Use the Dashboard to track and view information in real time and set up reports for automated distribution. Manage queries and data capture as well as updates to profiles and re-provisioned devices. You can even send commands to devices to request information or lock/wipe a device if needed. The On-Premise Solution also allows you to send custom messages to end users, provide remote diagnostics to identify real-time device issues, and take remote control of an end user’s device for troubleshooting. End users can also be granted the ability to clear passcodes and locate their devices. Important Information and Additional Terms Licenses and Fees: Perpetual (one-time payment) or subscription (month to month) pricing is available. A minimum initial purchase of 20 AirWatch licenses is required. All fees paid are non-refundable. Requirements; Technical Information: The Solution is available only to customers with a qualified AT&T business or government agreement (“Enterprise Agreement”) and a Foundation Account Number (“FAN”). Customer’s end users must subscribe to a data plan on a compatible device with Short Messaging Service (“SMS”) capability. Complete solution requires third-party products and/or services, which are subject to any applicable third-party terms and conditions and may require separate purchase from and/or agreement with the third-party vendor. The Solution is accessed via a Web portal and requires a PC with Internet connection. The Solution may be used as a tool to configure and customize certain settings and features and perform software updates only for compatible devices. Improper or incomplete configuration and/or downloads performed by you may result in service interruptions and/or device failures. AT&T does not guarantee compliance with such customized settings and/or updates. The Secure Email Gateway (SEG) software requires a VMware operating environment server. Customer is responsible for the configuration of the appropriate Domain Name System (DNS) prior to AT&T installation activities. SEG integration with enterprise public key infrastructure is not included. The SEG is accessed via a Web portal and requires a PC with Internet connection. Improper or incomplete software configuration and/or downloads performed by you may result in service interruptions and/or device failures. Wireless Coverage: Wireless coverage is not available in all areas. AT&T wireless coverage maps are available at wireless.att.com/ coverageviewer. Due to wireless coverage and system limitations, the service may not be accessible at all times. Coverage is subject to transmission limitations and terrain, systems, and other limitations. When outside a coverage area, access will be limited to information previously downloaded to or resident on a device. Availability, security/ privacy, delivery and timeliness of information are not guaranteed by AT&T.

Software License Agreement: The Solution is subject to AirWatch, LLC’s additional terms and conditions, including without limitation its software license, to which AT&T is not a party. Such terms and conditions are available at http://www.att.com/mobilemanagement. Failure to comply with the terms and conditions of the software license agreement may result in termination of the Solution. Customer’s use of the Solution shall be deemed to be its acceptance of the terms of this software license agreement.

Infringement: AT&T SHALL HAVE NO DUTY TO DEFEND, INDEMNIFY, OR HOLD CUSTOMER HARMLESS FROM OR AGAINST ANY SETTLEMENTS, DAMAGES, COSTS OR OTHER AMOUNTS INCURRED BY CUSTOMER ARISING FROM THE ACTUAL OR ALLEGED INFRINGEMENT OR MISAPPROPRIATION OF INTELLECTUAL PROPERTY BASED ON THIRD-PARTY SOFTWARE FURNISHED IN CONNECTION WITH THE SOLUTION.

Additional Terms: All intellectual property rights used in providing or arising by virtue of the Solution and any professional services and related materials are and will be sole and exclusive property of AT&T or AirWatch, as applicable. Neither ownership nor title of such intellectual property will pass to Customer.

Customer Personal Data: Customer Personal Data may be transferred to or accessible by (i) AT&T personnel around the world (ii) third parties who act on AT&T’s behalf as subcontractors; and (iii) third parties (such as courts, law enforcement or regulatory authorities) where required by law. Customer will only provide or make Customer Personal Data accessible when Customer has the legal authority to do so and for which it has obtained the necessary consents from its end users, and will camouflage or securely encrypt Customer Personal Data in a manner compatible with the Solution. As used herein, the term Customer Personal Data includes, without limitation, name, phone number, email address, wireless location information or any other information that identifies or could reasonably be used to identify Customer or its end users. Customer is responsible for providing end users with clear notice concerning Customer’s collection, use and protection of Customer Personal Data for end users obtained via the Solution, including, without limitation, end user device location information, and for obtaining end user consent to that collection and use.

Termination: If AT&T terminates the Solution or any component thereof for cause or if Customer terminates the Solution or any component thereof other than for cause, in addition to amounts owed up to the effective date of termination, Customer will pay 100% of the charges for the terminated component attributable to the unexpired term of the applicable minimum payment period.

Professional Services: Upon completion of Professional Services, Customer must either sign the acceptance document AT&T presents or provide within five business days of the service completion date written notice to AT&T identifying any non-conforming Professional Services. If Customer fails to provide such notice, Customer is deemed to have accepted the Professional Services. Customer acknowledges that AT&T and Customer are independent contractors. Customer will in a timely manner allow AT&T access as reasonably required for

the Professional Services to property and equipment that Customer controls. Customer will ensure that the location(s) to which access is provided offer(s) a safe working environment, free of hazardous materials and reasonably suitable for the Professional Services

Most of World Terms: Customer agrees to comply with the additional terms, conditions and restrictions located at http://serviceguidenew.att.com/sg_CustomPreviewer?attachmentId=00PC000000H6hgvMAB that apply to downloading and use of the Solution outside the United States. AT&T reserves the right to make changes to these terms and conditions and restrictions from time to time.

Advanced Authentication using Certificates and Kerberos Delegation: Certificate authentication enables enterprises to verify end user identity without requiring end users to enter usernames and passwords on their mobile devices to access corporate resources, such as Exchange ActiveSync, VPN or Corporate Wi-Fi.

Service Scope: AT&T will implement and configure the integration settings to enable the AirWatch MDM Solution to issue certificates to mobile devices from a supported interface to the customer’s Certificate Authority. In completing the Certificate Authority integration AT&T will:

•Createonecertificatetemplaterepresenting the customer’s desired type of identity certificate

•DefineonedevicepolicyprofileforExchange ActiveSync auto-configuration using an MDM-issued identity certificate,

•DefineonedevicepolicyprofileforVPNclient auto-configuration using an identity certificate,

•Defineonedevicepolicyprofileforpreferred WiFi network auto-configuration using an identity certificate

•ConfiguretheserviceaccountsinActiveDirectory (User or Computer object) for Kerberos authentication delegation and create service principal names (SPNs) if necessary

•Configuretheemailproxyservicetorequest Kerberos delegated credentials on behalf of device users for mailbox access

AT&T will assist with the testing* of each device profile on a single supported device.*

Customer may satisfy its notification requirements as to AT&T by advising end users in writing

that AT&T and its suppliers may collect and use Customer Personal Data by providing for end user review the relevant links to the Product Brief or other sales information that describes the Solution.

AT&T reserves the right to (i) modify or discontinue offering the Solution in whole or in part and/or (ii) terminate the Solution at any time without cause. Prices do not include taxes or other exactions. Additional fees, charges, and restrictions may apply. Offer and pricing subject to change without notice.
