1. DISCLAIMER

The information contained in this Request For Proposal (hereinafter referred to as “RFP”) or and any

information pertaining to the aforesaid subject matter subsequently provided to the applicants/bidders

in any form by Air India SATS Airport Services Private Limited (hereinafter referred to as “AISATS”) shall

be subject to the terms and conditions to which such information is provided contained herein and any

other terms and conditions as may be prescribed by AISATS.

The purpose of this RFP is to provide all applicants with the information that may be useful to them in

the formulation of their proposals/ bids in response to this RFP. The information contained herein, which

reflect various assumptions and assessments arrived at by AISATS do not purport to contain

all/exhaustive information or accuracy on the aforesaid subject matter that each applicant may require

for the purposes of submitting their bids.

Each applicant/bidder shall conduct its own due diligence, investigations and analysis and should check

the accuracy, adequacy, correctness, reliability and completeness of the assumptions, assessments,

and information contained in this RFP and shall obtain independent advice from appropriate sources.

The information provided in this RFP to the applicants is on a wide range of matters, some of which

depends upon interpretation of law. The information given is not an exhaustive account of statutory

requirements and should not be regarded as a complete or authoritative statement of law. AISATS

accepts no responsibility for the accuracy or otherwise for any interpretation or opinion on the law

expressed herein.

AISATS also accepts no liability of any nature whether resulting from negligence or otherwise however

caused arising from reliance of any applicant upon the statements contained in this RFP.

AISATS may in its absolute discretion, but without being under any obligation to do so, update, amend

or supplement the information, assessment or assumption contained in this RFP, from time to time till

the opening of the bids.




The RFP does not imply that AISATS is bound to select an applicant/bidder or to appoint the selected

applicant, as the case may be, and AISATS reserves the right to reject all or any of the proposals without

assigning any reason at any time.

The applicant/bidder shall bear any and all its costs associated with or relating to the preparation &

submission of its proposal/bids including but not limited to preparation, copying, postage, delivery fees,

expenses associated with any demonstrations or presentations which may be required by AISATS or

any other costs incurred in connection with or relating to its proposals. All such costs and expenses

shall remain with the applicant/bidder and AISATS shall not be liable in any manner whatsoever for the

same or any other costs or other expenses incurred by the applicant in preparation or submission of the

proposal/bid, regardless of the conduct or outcome of the selection process as contained herein.

3. INTRODUCTION

a. Air India SATS Airport Services Private Limited requires the services of a Public Relation Agency at its Corporate Office B-1101 & 1102, Lotus Corporate Park, Off Western Express Highway, Goregaon (East), Mumbai 400 063, India and Business Units currently located at Bangalore, Delhi, Hyderabad, Mangalore &Trivandrum.

b. The selection of the PR Agency shall be done on the basis of evaluation of the bids as

mentioned herein.

c. The Scope of Work shall be carried out/performed by the PR Agency strictly as per terms

and conditions contained herein in this RFP and the Agreement to be entered into with

AISATS.

d. The Bidder/Applicant shall bear all costs associated with the preparation and submission

of its bid/quotation and AISATS will, in no case, be held responsible or liable for these

costs, regardless of the conduct or outcome of the bidding process.

e. The Bidders/Applicant shall submit the quotation/bid in a sealed manner and in the

manner mentioned herein at the following address by 1500 hrs. on 23rd May 2016,

addressed to :Assistant Vice President Procurement B-1101 &1102, Lotus Corporate

Park, Off Western Express Highway, Goregaon ( E), Mumbai – 400063.

f. Any/all quotations/bid received late, delivered at different address other than as specified

above or lost in transit will not be accepted irrespective of whether the delay has arisen

on account of the delivery system, i.e. postal, courier etc.

g. Quotations/bids received through fax and / or email will not be considered. The mode of

submission as acceptable shall be as stated hereinbelow.

h. Quotations that are incomplete, and do not comply with the requirements mentioned

herein, shall be rejected.




4. DEFINITIONS

a. The term “AISATS” shall mean Air India SATS Airport Services Private Limited.

b. The term “Applicant/Bidder” shall mean the one who has signed the RFP and submitted the quotation in response to this RFP.

c. The term “Agreement” shall mean the agreement entered into between AISATS and the

Selected Bidder confirming its acceptance of the RFP, on the terms and conditions mentioned therein.

d. The term “Days” used herein shall mean the working days of AISATS.

e. The term “Selected Applicant/Bidder” shall mean the Bidder/ Applicant who has been

awarded the Agreement contemplated in this RFP.

5. INSTRUCTIONS TO BIDDERS

a. The Bid shall be submitted in 3 (three) separate envelopes, Cover-1, 2 and 3. The contents of the said covers are as follows:

COVER – 1 (Technical Bid)

The following documents shall be inserted in Cover-1:

a. The Eligibility Criteria Matrix (Annexure-A) b. The Bidders Information (Annexure-A) c. The Financial Details (Annexure-A) d. RFP document signed by the authorized signatory

The Cover-1 has to be super-scribed in bold with the words _”TECHNICAL BID” and

must contain the documents as mentioned herein.

It is hereby clarified that the bid shall be typed/handwritten in English language signed by a person/person duly authorized to sign on behalf of the Bidder.

COVER – 2 (Price Bid) The following documents shall be inserted in Cover-2 The price bid (Annexure-B) shall be submitted in a separate sealed envelope and not in

the same envelope as the Technical Bid, to be super scribed in bold with the words “PRICE BID” and must contain all the documents as mentioned herein.

The price bid shall be expressed in Indian Rupees only. Further in case of a discrepancy between the amounts in figures and in words, the amount in words shall govern.




COVER- 3 (Master Envelope)

The two sealed covers should be further put in a master envelope mentioning the complete name and address of the Bidder along with its telephone, fax and e-mail address.

The said Master Envelope is to be sent to the following address on or before the due date as mentioned herein:

6. TERMS AND CONDITIONS

a. The sealed Quotation should either be delivered in person or sent only through registered

/ Speed Post/ Courier will be accepted. Quotations sent by Fax / E-Mail will be summarily

rejected. Quotations received late, delivered at different address other than as specified

in the quotation / or lost in transit will not be accepted irrespective of whether the delay

has arisen on account of the delivery system, i.e. postal, courier etc. AISATS shall not be

responsible for any loss or non-receipt of the RFP and/or any related documents.

b. There will be no acknowledgement of receipt of any quotation. It is the responsibility of

the bidder to ensure that the quotation reaches aforesaid address in the required manner and prior to the closure of the quotation submission date and time.

c. Until the date of opening of the Quotation (Annexure-A); the “Price Bids” (Annexure-B)

would be kept in AISATS custody in sealed / condition as received from the Bidder.

d. The Price bid should remain valid for acceptance for a minimum period of 60 (sixty) days

from the date of opening of the Quotation.

e. The quotation should be neatly typed. Corrections / over writing, if any, should be duly

authenticated with full signatures (initials will not be accepted) of the person who is

signing the Quotation, failing which the Quotation is liable to be rejected.

f. AISATS, reserves the right to accept / reject any / all Quotation without assigning any

reasons.

g. The Successful Bidder shall enter /sign an Agreement with AISATS based at its Mumbai

Corporate Office address.




h. The Bidder must examine this document and be satisfied that it fully understands its

obligations AISATS shall rely upon the information provided by the Bidder and select the

Bidder on the basis of this information.

i. The Bidder acknowledges that in making its selection and when considering the formation

of an agreement with the bidder, AISATS will act in reliance on the representations made

by the bidder in the quotation prepared in response to this RFP.

j. AISATS is not bound to accept the lowest quoted quotation/bid, also it is not liable for

any claim for whatever costs which may be incurred in the preparation of the quotation. AISATS shall reserve the right to accept the whole or part of the quotation.

k. The Selected bidder will not assign the agreement to any person or persons without the prior written consent from AISATS.

7. PAYMENT SCHEDULE / PRICE AND VALIDITY

Payment shall be made by AISATS within 30 days after receipt of bills.

The rates must be quoted as per the scope of work. Rates should be inclusive of all applicable

charges, existing and future taxes and levies. Rates agreed upon shall remain same

throughout the period of contract.

9. CLARIFICATIONS

b. During the period following release of this quotation all Bidders will be permitted to

submit questions in writing.

c. While all questions will be given full consideration, Air India SATS Airport Services

Private Limited reserves the right to limit the format, content and timing of its responses

in any way believed by it to be appropriate (which includes the right to refuse a

response without giving any reason for so doing).

10. MODIFICATIONS AND WITHDRAWAL OF BID

a. Bids once submitted will be treated, as final and no further correspondence will be

entertained on this.

b. No bid will be modified after the deadline for submission of bids.

11. REPRESENTATIONS AND WARRANTIES TO BE GIVEN BY THE SELECTED

BIDDER IN THE AGREEMENT

a. The Selected Bidder should provide the following representations and warranties as

regards to the Agreement to be executed, which shall remain true and valid throughout

the term of the Agreement:

(i) It is a company/partnership firm/sole proprietorship (firm duly incorporated under the Laws of India and is validly existing under the laws of its incorporation/India. (ii) It has the requisite power, authority and legal right and has taken all actions necessary on its part, to validate, execute and deliver the Agreement and the performance of the obligations there under. (iii) The Agreement shall constitute a legal valid and binding obligation against it, and is enforceable against it in accordance with the terms herein. (iv)The execution, delivery and performance of the Agreement shall not conflict with, result in the breach of, or constitute a default under any law, rule, authorization or approval of any government agency or body, or under the terms of any covenant, agreement, understanding decree or order to which it is a party or by which it or any of its properties or assets is bound or affected and does not result in a violation of applicable laws. (v) It shall employ personnel who are qualified and competent to carry out the functions as mentioned herein. The payment of salaries, wages, provident fund, gratuity etc., to such personnel, shall solely be the responsibility of the Selected Bidder/Applicant. It is

hereby clarified that, the personnel of the Selected Bidder/Applicant shall not be deemed to be employees of AISATS. (vi) It shall either monetarily compensate AISATS for any damage or loss or caused to the premises/equipment/property of AISATS or any third party on account of negligent act/ performance on the part of its personnel. (vii) It shall perform all its obligations under the Agreement with due care and diligence and in a skilful and business-like manner. (viii) It shall carry out all necessary supervision of its personnel while supplying the said items under the Agreement. (ix) It shall ensure that its personnel behave in an orderly and disciplined manner and do not cause any nuisance or annoyance to AISATS or its personnel. (x) It shall comply with all such directions issued by AISATS from time to time. (xi) It has no knowledge of any violation or default with respect to any order, writ, injunction or decree of any court or any legally binding order of any relevant authority empowered by applicable law which may result in any material adverse effect or its ability to perform its obligations under the Agreement. (xii) It has complied with all applicable laws in all material respects and has not been subject to any fines, penalties, injunctive relief or any other civil or criminal liabilities which, in the aggregate, has or may have a material adverse effect on its ability to perform its obligations under the Agreement. (xiii) There are no actions, suits, proceedings, or investigation pending or, to its knowledge, threatened against it at law or in equity before any court or before any other judicial, quasi judicial or other authority, the outcome of which may result in a breach of the Agreement or which individually or in the aggregate may result in any material impairment or its ability to perform its obligations under the Agreement. (xiv) It is and shall able to pay its debts as they fall due for payment and is otherwise solvent as per applicable laws, it has not compounded with or negotiated any composition with or called any meeting of its creditors, a receiver, trustee or manager has not been appointed for the whole or any part of its assets or any right, it has not committed any act of bankruptcy or insolvency or passed any resolution for or otherwise entered into any liquidation, winding up or administrative order or taken or suffered any action analogous to any of the foregoing under taken or suffered any action analogous to any of the foregoing laws of India or any other applicable jurisdiction. (xv) It is not in breach of any agreement with any person who has provided loans, deposits, advances, guarantees or other financial facilities to it. (xvi) All taxes due and payable by it have been paid, and all tax return and reports required to be filed by it have been correctly filed and on time. There are no claims pending or matter under dispute with any taxing authority in respect of any tax of the Selected Bidder.




(xvii) It shall be responsible for the payment of all and any taxes including income tax and all similar taxes and levies in respect of its fees, duties, fines, penalties, etc., by whatever name called as may become due and payable under any laws, rules and/ or regulations as may be prevalent and as amended from time to time in relation to the services rendered under the Bidder. (xviii) It shall obtain the necessary permissions and licenses from the concerned authorities for the purposes of the Bidder. Further, to keep the said permissions and licenses valid and subsisting at all times during the term of the Bidder. In the event that it omits or fails to obtain any requisite permission or license from the concerned authorities then it shall indemnify and keep indemnified AISATS against all losses, costs, or damages that may be suffered by AISATS as a result of such omission or failure. (xix) The Selected Bidder/Applicant shall indemnify AISATS against all claims, damages, losses including costs (including counsel fees and legal cost) arising due to the negligence or breach of obligations on part of the Selected Applicant/Bidder and/or its employees. (xx) For the avoidance of any doubt it is hereby clarified that the Selected Applicant/Bidder shall be solely liable for accidents, injuries, death and/or damages caused to any individual/s and/or property of AISATS and/or any third party, due to its negligence, wilful misconduct, breach of any provisions of the Agreement and RFP including that of its employees, during performance of their duties under the Agreement and shall indemnify AISATS and/or its employees, from costs or liabilities, arising therefrom (including counsel fees and legal cost).

12. CONFIDENTIAL INFORMATION

a. The Selected Bidder agrees at all times to treat all Confidential information/details

pertaining to the scope of services as secret and confidential to AISATS including all such information which has come to its knowledge on account of it being a party to the Agreement and as given by AISATS for the purposes of the Agreement

b. The Selected Bidder shall not, save for in consequence of the paragraphs below, at any

time, for any reason, disclose or permit to be disclosed to any person any Confidential information and the Selected Bidder shall not otherwise make use of or permit any use to be made of any Confidential information by any person.

c. Without prejudice to paragraph aforesaid the Selected Bidder may disclose Confidential

information to such of its personnel as it needs to know in order to provide the services, mentioned herein. However, in doing so the Selected Bidder shall at all times ensure that its personnel involved in providing the service, or who otherwise come across Confidential information in the course of their duties are made aware of the nature of the Confidential information and do not disclose it or otherwise breach the provisions of this section.

d. On termination of this Agreement (however such termination may arise) the Selected

Bidder shall deliver, if so required, to AISATS all working papers, computer disks and tapes or other material and copies provided or prepared by it pursuant to the Agreement




13. INTELLECTUAL PROPERTY

a. The Selected Bidder warrants that in providing the services under the Agreement, it shall

not infringe the copyright design, right patent or any other intellectual property right of any third party and indemnifies AISATS against any claim made against it arising from any infringement of any intellectual property right belonging to any third party.

b. The copyright, trademarks and any other intellectual property right in any materials

produced in the course of or in consequence of providing the services under the Agreement, shall belong to AISATS absolutely.

c. AISATS reserves the right for injunctive relief in order to prevent the breach of any its or

third parties intellectual property rights.

d. The Selected Bidder further agrees not to i) Do or permit any act to be done which is likely to prejudice any rights of AISATS in and to the Intellectual Property Rights; and ii) Do or permit to be done any act or thing which is likely to jeopardize or invalidate any rights of AISATS in and to the Intellectual Property Rights.

e. The Selected Bidder fully covenants to AISATS that it will not infringe any intellectual

property right including patent, trade mark or copyright of any third party for performance of obligations under the Agreement and the Selected Bidder shall indemnify and hold AISATS, its servants and agents free and harmless from any prejudice, damages and expenses, including legal expenses incurred as a result of claims or legal proceedings brought against AISATS, its servants or agents in connection with the foregoing.

f. If any legal proceeding is instituted for an alleged infringement of intellectual property

rights, AISATS reserves the right to terminate immediately the Agreement with the Successful Bidder and claim damages to that effect.

14. INDEMNIFICATION

The Selected Bidder agrees and is obligated to fully and effectively indemnify and hold harmless AISATS, its parent companies, associated and affiliated companies from and against all actions, proceedings, claims, damages, liabilities, losses, costs and expenses (including without limitation, legal costs and expenses) whatsoever arising out of or in connection with the acts, deeds, omissions, defaults or negligence of the Selected Bidder and/ or its officers, employees, representatives and agents

15. NON-WAIVER

Failure of AISATS to insist upon any of the terms & conditions incorporated in the LOI/ herein, and/or in the Agreement or failure or delay to exercise any rights or remedies herein, or by law or failure to properly notify the bidder in the event of breach, or the acceptance of or payment of any services here under shall not release the bidder and shall not be deemed a waiver of any right of AISATS to insist upon the strict performance




thereof or of any of its or their rights or remedies as to any such services regardless of when such services have been delivered nor shall any purported verbal modification or revision of the order by AISATS act as waiver of the terms hereof. Any waiver to be effective must be in writing. Any lone incident of waiver of any condition of this agreement by AISATS shall not be considered as a continuous waiver or waiver for other condition by AISATS.

16. REGULATORY COMPLIANCE

The Selected Bidder shall ensure compliance of all applicable laws, rules and regulations that may be applicable in furtherance of rendering the services under this Quotation to AISATS and shall indemnify AISATS from any breaches committed by the Selected Bidder.

17. CONFLICT OF INTEREST

a. The Selected Bidder (including its Personnel) that has a business or family relationship with family member of AISATS staff who is directly involved in any part of (i) the preparation of the Terms of Reference and Scope of work & services of the assignment, (ii) the selection process for such assignment, or (iii) supervision of the Works, may be disqualified from the Bid and / or AISATS may terminate the Agreement executed under the Quotation, unless the conflict stemming from this relationship has been resolved in a manner acceptable to AISATS throughout the selection process and execution of the Agreement.

b. The Selected Bidder has an obligation to disclose any situation of actual or potential conflict that impacts their capacity to serve the best interest of AISATS, or that may reasonable be perceived to the disqualification of the Bidder/Selected Bidder of the termination of the Agreement.

18. ARBITRATION / DISPUTE RESOLUTION a. In the event of any dispute arising out of or in connection to this RFP/Agreement or the

breach thereof including any question regarding its existence, validity or termination, the

Parties shall first use their best endeavors to settle such disputes or differences through

amicable discussions. To this effect, they shall consult and negotiate with each other, in

good faith and understanding of their mutual interests, to reach an amicable and equitable

solution satisfactory to both Parties

. b. However, if the dispute is not resolved within a period of thirty (30) days from the date

the dispute is addressed by either party to the other Party, in writing, then such disputes

shall be resolved by reference to Arbitration by Sole Arbitrator to be appointed by AISATS

which shall be final and binding on the Parties. The arbitration proceedings shall be

conducted under the Arbitration and Conciliation Act, 1996, and any amendments




thereto. The arbitration proceedings shall be conducted in English language and the seat

of Arbitration shall be Mumbai, India. Each Party shall bear its own expenses and the

Parties shall equally share the expenses of conducting the Arbitration proceedings unless

awarded to the contrary. The award so passed by the Sole Arbitrator shall be final and

binding on the Parties.

c. The Parties expressly agree that while any dispute under this Agreement is subject of

reference to arbitration proceedings, the Parties shall continue to perform all their

respective obligations under this quotation without prejudice to the final determination of

such reference by the Sole Arbitrator.

19. FORCE MAJEURE a. Neither Party hereto shall be liable for failure to perform or for delay in forming any of its

obligations under the quotation/agreement, if such failure or delay is caused or results from a condition or FORCE MAJEURE.

b. The term FORCE MAJEURE as used in the Quotation/agreement means Act of God, War,

Revolt, Riot, Fire Tempest, Flood, Earthquake, Lighting, direct or indirect consequences of war (declare/undeclared) sabotage, hostilities, National Emergency, Civil Disturbances, Natural Calamities, Commotion, Embargo (Blockage) due to any law or promulgation, Ordinance or Executive order whether central or State or Local Or Municipal Authorities, Regulation.

c. The party encountering and affected by such causes shall inform the other in writing

immediately of such an occurrence and use all reasonable endeavors to minimize the economic effects of any such delay and rectify as soon as possible any harm or delay created thereby. Further it shall reasonably allocate its available resources, giving priority to their obligations under the Agreement. Upon cessation of the event giving rise to the delay the parties shall in so far as may be practicable under the circumstance, complete performance of their respective obligations hereunder. For the avoidance of any doubt it is clarified that, payment obligations of AISATS shall be excused due to an event of force majeure.

20. DURATION OF THE CONTRACT

a. The Validity of the agreement would be 24 months from the date of appointment of the successful bidder.

b. The successful bidder will have to enter / sign a contract / agreement with AISATS.

c. After expiry of two years, AISATS may at its sole discretion to extend the contract for one more year at the same terms & conditions.




21. TERMINATION

a. In the event of default or breach of Agreement of if the Selected Bidder is found guilty of any other unethical practices, including violation of any applicable laws, acts, regulations etc., AISATS reserves the right to terminate the Agreement immediately and the Selected Bidder will be liable to compensate all monetary and other damages in this respects to AISATS.

b. AISATS, reserves the right to terminate the Agreement and can claim damages from successful bidder and also reserve the right to award the contract to another party at the cost and risk of the Successful Bidder. In the event AISATS terminates the Agreement in whole or in part, AISATS may procure, upon such terms and conditions and in such manner as it deems appropriate, the services similar to those undelivered and the Selected Bidder shall be liable to AISATS for any excess cost for such similar services.

c. AISATS also reserves the right to claim from the Selected Bidder for any loss sustained due to unsatisfactory performance and/or breach of the Agreement. However, the Selected Bidder shall continue to perform the Agreement to the extent not terminated.

d. AISATS may at any time terminate the Agreement with immediate effect by giving written notice to the Selected Bidder, if the Selected Bidder being a partnership or sole proprietorship firm, if the sole proprietor or any partner is adjudged as bankrupt or otherwise insolvent, or order for administration of his estate is made against it or shall take proceedings for liquidation under any insolvency act for the time being in force in India or make any assignment of his effects or composition or arrangement for the benefit of its creditors or purports to make such assignment, composition and/or arrangement provided that such termination shall not prejudice or affect any right of action or remedy which has accrued or shall accrue thereafter to AISATS.

e. AISATS may at any time terminate the Agreement with immediate effect by giving written notice to the Selected Bidder, if the Selected Bidder, being a company, if bankruptcy or liquidation proceedings are commenced or likely to be commenced against or if it enters into or is likely to enter into any arrangement or compromise for the benefit of its creditors generally or if a liquidator or receiver is appointed for its assets.

f. AISATS has the right to terminate the Agreement by giving a notice period of thirty (30) days wherever it requires, for any reason whatsoever. The Selected Bidder shall have no right to claim compensation / damages, etc. from AISATS on account of early termination.

g. AISATS may terminate the Agreement if it comes to the knowledge of AISATS that, the Selected Bidder has obtained the Agreement vide non-bonafide methods of competitive bidding or vide fraudulent methods.

22. JURISDICTION This Quotation / Agreement shall be governed by, and interpreted in accordance with, the Laws of India under the jurisdiction of Mumbai subject to the clause 21 aforesaid.




ANNEXURE-A

MINIMUM ELGIBILITY CRITERIA

(A) A list of qualifying requirements and the supporting documents that need to be submitted is given below. Any agency not meeting any of the following or not submitting any of the documents shall be rejected. Only those agencies who satisfy all the qualifying requirements would be considered eligible for opening of their price bids.

(B) Even though the Bidders meet the eligibility criteria, they are subject to be disqualified if the Bidder has:

(1) made misleading or false representation in the forms, statements, and attachments submitted;

Or

(2) records of poor performance during the last 3 (three) years, as on the date of application such as abandoning the work, rescinding of contract of their clients for which the reasons are attributable to the non-performance of the Bidder or its constituents, inordinate delays in completion, consistent history of litigation / arbitration awarded against the Bidder or any of its constituents or financial failure due to bankruptcy etc.
