AGREEMENT FOR SALE OF MANATEE HEALTH NETWORK THIS AGREEMENT is made and entered into by and between MANATEE COUNTY, a political subdivision of the State of Florida, hereinafter referred to as "Manatee County" or "County", with offices at 5213 4 1 h Avenue Circle East, Bradenton, Florida 34208 and MANATEE GLENS CORPORATION, a Florida non-profit corporation, hereinafter referred to as "Glens", with offices located at 379 Sixth Avenue West, Bradenton, FL 34205. WHEREAS, the County operates a self-insurance health plan for its employees, as authorized by Florida law; and WHEREAS, in support of this network, the County created and owns a private health network entitled Manatee Health Network (MHN); and WHEREAS, the County will no longer be using this network since it has recently entered into an agreement with Aetna to provide access to that firm's national provider network, and therefore seeks to dispose ofthe asset; and WHEREAS, to ensure the County received the best value for the MHN, the County issued RFP 12-3236FL seeking bids to purchase the MHN; and 'WHEREAS, upon the closing date set for replies, the County had received only one bid, which was from Manatee Glens; and WHEREAS, the bid from Manatee Glens provides sufficient cash value for the asset now not needed by the County, and will ensure the asset continues to be used to help provide health care coverage in the community; and WHEREAS, pursuant to Florida Statute § 125.35, the County Commission fmds that the purchase proposal received from Glens will result in the highest and best use of the MHN. WHEREAS, the County operates a self-insurance health plan for its employees, as authorized by Florida law; and

WHEREAS, in support of this network, the County created and owns a private health network entitled Manatee Health Network (MHN); and

WHEREAS, the County will no longer be using this network since it has recently entered into an agreement with Aetna to provide access to that firm's national provider network, and therefore seeks to dispose ofthe asset; and

WHEREAS, to ensure the County received the best value for the MHN, the County issued RFP 12-3236FL seeking bids to purchase the MHN; and

'WHEREAS, upon the closing date set for replies, the County had received only one bid, which was from Manatee Glens; and

WHEREAS, the bid from Manatee Glens provides sufficient cash value for the asset now not needed by the County, and will ensure the asset continues to be used to help provide health care coverage in the community; and

WHEREAS, pursuant to Florida Statute § 125.35, the County Commission fmds that the purchase proposal received from Glens will result in the highest and best use of the MHN.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and representations contained herein, the Parties hereto agree as follows:

ARTICLE 1: SALE OF NETWORK. The County agrees to sell MHN (list of network members is attache4 hereto and incorporated herein) to Glens in exchange for $5,000. This sum shall be paid to the County within thirty (30) days of the effective date of this Agreement.

1 ARTICLE 2: CONDITIONS OF SALE. As a condition of this sale, Glens must change the name of the network to a name other than Manatee Health Network, and regardless of the chosen name, it may not result in the application of the acronym "MHN." Upon sale, the County shall have no ownership or responsibility for the network, nor the underlying contracts with the health services provider participating in the network, which agreements are hereby assigned to Glens by the County. Glens agrees to accept the network, including assignment of its contracts "as is", and the County makes no warranties or promises concerning the terms and conditions of such network or contracts, excepting that all providers are or will have been paid in full for services

rendered to the County's Plan. The County agrees to execute any assignment documents prepared by Provider or its counsel related to network providers to the extent Provider or any individual network provider desires such additional documentation of this sale and related assignment of contracts. Glens acknowledges that the County's prior TPA, TPB of Florida, is responsible for re-pricing of claims for network through the close of business December 31, 2012, but that the County thereafter shall not be responsible for re-pricing. Any revenues derived by Glens from its operation of the network as of the effective date of this Agreement shall be retained by Glens.

ARTICLE 3: NOTIFICATION TO PROVIDERS. Glens agrees that to ensure network providers are aware of the new network ownership, name and administration, it will notify all network providers of the fact that Glens now owns and controls the network, and has assumed their contracts, within thirty (30) days of the effective date ofthis Agreement.

ARTICLE 4: EFFECTIVE DATE. Notwithstanding the date(s) of execution, this Agreement shall become effective at 12:01 a.m. on Monday, November 19, 2012.

ARTICLE 5: APPLICABLE LAW, VENUE. The validity of this Agreement and of any of its terms and provisions, as well as the rights and duties of the parties hereunder, shall be interpreted and enforced pursuant to and in accordance with the laws of the State of Florida. Venue for any action or proceeding to enforce or interpret the terms of this Agreement shall be brought in Manatee County, Florida.

ARTICLE 6: ATTORNEYS' FEES. In any action brought between the Parties to enforce or construe the terms of this Agreement, each Party shall bear its own attorneys' fees and costs, including any incurred on appeal, regardless of the resolution of the case or appeal(s).

ARTICLE 7: NO THIRD-PARTY BENEFICIARY. This Agreement is for the benefit of the Parties and their respective successors and permitted assigns, and it is not the intent of the parties to enter this Agreement for any other person's or entity's benefit.

ARTICLE 8: AUTHORITY TO EXECUTE. Each Party hereto covenants to the other Party that it has lawful authority to enter into this Agreement and that the Party's representative executing same is authorized to do so on behalf of the Party.

The Parties hereto have caused this Agreement to be duly executed by their authorized

representatives this 19th day ofNovember, 2012.

Action Requested Authorize the County Administrator or his designee to execute the Agreement for the Sale of Manatee Health Network to Manatee Glens Corporation, Bradenton, FL for a total amount of $5,000. Enabling/Regulating Authority Florida Statute 125.35 and Manatee County Code of Law Background Discussion

Manatee County created and owns a private health network entitiled Manatee Health Network (MHN). The network includes 3,300 physicians, facilities, physician health organizations and ancillary providers from the local area.

The MHN was used by the County in the administration and payment of its employee claims until the Aetna Health Network became effective on July 1, 2012. The County will no longer be using the MHN and it is not needed for county purposes. While the County has no viable use for the network, it has a tangible as well as community value.

In order to identify possible interested parties to acquire the MHN, Request For Proposal (RFP) #12-3236FL was issued. The RFP required a statement of intent to purchase the network for its own uses and a dollar amount to purchase the network.

Additionally the proposer acknowledged that they understood and accepted all terms and conditions of the sale as stated in the RFP and included in the Agreement for Sale.

Manatee Glens Corporation, a local firm, responded to the RFP with an offer of $5,000. Manatee Glens is required to rename the MHN and intends to make the network available as part of their employee health plan and to other local employers and employees as a means to provide access to quality facilities and physicians at an affordable price. Upon the sale of the network the County will have no interest, ownership or responsibility for the network.

RE: Agreement for Sale of Manatee Health Network (RLS 12-313) (CAO File: 1105-1 09)

In RLS 12-313, you indicate that now that the County has completed its transition to Aetna as the TPA and health network provider supporting the County's health plan, the County no longer has a need for the Manatee Health Network (MHN), the provider network the County created prior to having access to Aetna's national network. You indicate further that while the County no longer has a viable use for the MHN, it has a tangible, as well as community value . The administration, in order to identify possible interested parties to acquire the MHN, issued RFP 12-3236FL. Per my prior infonnal advice, this process assisted with the County's compliance with Florida Statute§ 125.35, dealing with the sale of a County asset. One local finn (Manatee Glens) responded to the RFP with an offer of$5,000. Manatee Glens intends to keep the MHN (under another name), alive and put it to use in offering health care alternatives within the County. You indicate that this is a more desirable outcome than to simply allow the network to cease to exist. This is particularly so as the network is still used by other employers.

Based on the foregoing, you request assistance in drafting an agreement for the sale of the MHN to Manatee Glens. Pursuant to your request, I have drafted the attached agreement which makes all required legal findings, incorporates the business tenns you have communicated as having been agreed to by the parties, and is otherwise in sufficient legal fonn to authorize the administration's execution ofthe agreement, once approved by the County Commission.

AGREEMENT FOR SALE OF MANA TEE HEALTH NETWORK

THIS AGREEMENT is made and entered into by and between MANATEE COUNTY, a political subdivision of the State of Florida, hereinafter referred to as "Manatee County" or "County", with offices at 5213 4th Avenue Circle East, Bradenton, Florida 34208 and MANATEE GLENS CORPORATION, a Florida non-profit corporation, hereinafter referred to as "Glens", with offices located at 379 Sixth Avenue West, Bradenton, FL 34205.

WHEREAS, the County operates a self-insurance health plan for its employees, as authorized by Florida law; and

WHEREAS, in support of this network, the County created and owns a private health network entitled Manatee Health Network (MHN); and

WHEREAS, the County will no longer be using this network since it has recently entered into an agreement with Aetna to provide access to that firm's national provider network, and therefore seeks to dispose of the asset; and

WHEREAS, to ensure the County received the best value for the MHN, the County issued RFP l2-3236FL seeking bids to purchase the MHN; and

WHEREAS, upon the closing date set for replies, the County had received only one bid, which was from Manatee Glens; and

WHEREAS, the bid from Manatee Glens provides sufficient cash value for the asset now not needed by the County, and will ensure the asset continues to be used to help provide health care coverage in the community; and

WHEREAS, pursuant to Florida Statute § 125.35, the County Commission finds that the purchase proposal received from Glens will result in the highest and best use of the MHN.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and representations contained herein, the Parties hereto agree as follows:

ARTICLE 1: SALE OF NETWORK. The County agrees to sell MHN to Glens in exchange for $5,000. This sum shall be paid to the County within thirty (30) days of the effective date of this Agreement.

ARTICLE 2: CONDITIONS OF SALE. As a condition of this sale, Glens must change the name of the network to a name other than Manatee Health Network, and regardless ofthe chosen name, it may not result in the application of the acronym "MHN." Upon sale, the County shall have no ownership or responsibility for the network, nor the underlying contracts with the health services provider participating in the network, which agreements are hereby assigned to Glens by the County. Glens agrees to accept the network, including assignment of its contracts "as is", and the County makes no warranties or promises concerning the terms and conditions of such network or contracts, excepting that all providers are or will have been paid in full for services

rendered to the County's Plan. The County agrees to execute any assignment documents prepared by Provider or its counsel related to network providers to the extent Provider or any individual network provider desires such additional documentation of this sale and related assignment of contracts. Glens acknowledges that the County's prior TPA, TPB of Florida, is responsible for re-pricing of claims for network through the close of business December 3 I, 2012, but that the County thereafter shall not be responsible for re-pricing. Any revenues derived by Glens from its operation of the network as of the effective date of this Agreement shall be retained by Glens.

ARTICLE 3: NOTIFICATION TO PROVIDERS. Glens agrees that to ensure network providers are aware of the new network ownership, name and administration, it will notify all network providers of the fact that Glens now owns and controls the network, and has assumed their contracts, within thirty (30) days of the effective date of this Agreement.

ARTICLE 4: EFFECTIVE DATE. Notwithstanding the date(s) of execution, this Agreement shall become effective at 12:01 a.m. on Monday, November 19,2012.

ARTICLE 5: APPLICABLE LAW, VENUE. The validity of this Agreement and of any of its terms and provisions, as well as the rights and duties of the parties hereunder, shall be interpreted and enforced pursuant to and in accordance with the laws of the State of Florida. Venue for any action or proceeding to enforce or interpret the terms of this Agreement shall be brought in Manatee County, Florida.

ARTICLE 6: ATTORNEYS' FEES. In any action brought between the Parties to enforce or construe the terms of this Agreement, each Party shall bear its own attorneys' fees and costs, including any incurred on appeal, regardless of the resolution of the case or appeal(s).

ARTICLE 7: NO THIRD-PARTY BENEFICIARY. This Agreement is for the benefit of the Parties and their respective successors and permitted assigns, and it is not the intent of the parties to enter this Agreement for any other person's or entity's benefit.

ARTICLE 8: AUTHORITY TO EXECUTE. Each Party hereto covenants to the other Party that it has lawful authority to enter into this Agreement and that the Party's representative executing same is authorized to do so on behalf of the Party.
