NOTICE TO USER: THIS IS A LICENSE BETWEEN YOU AND ADOBE. BY INDICATING YOUR ACCEPTANCE BELOW, YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS LICENSE. THIS LICENSE GOVERNS YOUR USE OF THE SOFTWARE DEVELOPMENT KIT(S) FOR ADOBE INDESIGN, INDESIGN SERVER, AND INCOPY SOFTWARE AND RELATED EXPLANATORY MATERIALS (COLLECTIVELY, THE “SDK”), AND INCLUDES ANY UPGRADES, MODIFIED VERSIONS, UPDATES, ADDITIONS, AND COPIES OF THE SDK LICENSED TO YOU BY ADOBE. THIS AGREEMENT IS ENFORCEABLE AGAINST YOU AND ANY LEGAL ENTITY THAT OBTAINS THE SDK AND ON WHOSE BEHALF IT IS USED; FOR EXAMPLE, AND AS APPLICABLE, YOUR EMPLOYER. IF YOU DO NOT AGREE TO THE TERMS OF THIS license, YOU MAY NOT USE THE SDK.

1. Definitions.

1.1 “Adobe” means Adobe Systems Incorporated, a Delaware corporation, 345 Park Avenue, San Jose, California 95110, if Section 11 of this License applies; otherwise, it means Adobe Systems Software Ireland Limited, 4-6 Riverwalk, Citywest Business Campus, Dublin 24, Ireland, a company organized under the laws of Ireland and an affiliate and licensee of Adobe Systems Incorporated.

1.2 “Approved Content Viewer” means Adobe’s branded and deployed content viewer or Customer’s commercially branded and deployed version of the Adobe content viewer.

1.3 “API Development Software” means the SDK API (Application Programming Interface) Specification, header files, JAR files, the SDK Plug-In APIs as defined in the header files and demonstrated in plug-in example code and related information in object code format and/or as libraries, both native and Java, not otherwise made available by Adobe as a commercial product, that Adobe has included for You as part of the SDK to distribute unmodified with Your Application Software.

1.4 “Content Files” means sample and stock photographs, images, sounds, clip art and other artistic works included as part of the SDK.

1.5 “Developer,” “You,” and “Your” refer to any person or entity acquiring or using the SDK under the terms of this License.

1.6 “Documentation” means the written materials accompanying this License, including, for example, technical specifications, file format documentation and application programming interface (API) information.

1.7 “Effective Date” means the date that You download, install, or otherwise access or use any portion of the SDK.

1.8 “File Format” means Adobe’s proprietary .folio and .indd file formats.

1.9 “Sample Code” means object code and/or source code, excluding Content Files, that Adobe has included for You to incorporate into Your Application Software, subject to the limitations set forth in Section 2.

1.10 “SDK” means the API information, Sample Code, Tools, Documentation and other related items. Only those items placed on Your computer extracted from the SDK archive are part of the SDK. This License does not govern Adobe Products (see Adobe Products end user license agreements for governing terms). Adobe Products refer to Adobe’s application programs and technologies such as Adobe-developed plug-ins which are or may be made available for licensing to the general public, including any modified versions or upgrades thereof.

1.11 Tools refer to programs and Utilities that may be included for You to test or compile Your Application Software. “Documentation” means any related explanatory materials accompanying the SDK.

2. License and License Restrictions.

Subject to Your compliance with this Agreement, including, without limitation, the restrictions contained in this Section 2, Adobe grants to You a nonexclusive, nontransferable, royalty-free license to use the items in the SDK only for the purpose of internal development of application software designed to function solely with Adobe products and services (“Application Software”).

(a) Under this License, You may use, modify, or merge all or portions of the Sample Code with Your Application Software and distribute it only as part of Your products in object code form only. Any modified or merged portion of the Sample Code is subject to this License. You are required to include Adobe’s copyright notices on Your Application Software except for those programs in which You include a copyright notice reflecting the copyright ownership of Developer in such programs. You may not use Adobe’s name, logo, or trademarks to market Your products. You may not assign Your rights or obligations granted under this License without the prior written consent of Adobe. Any attempted assignment or transfer without such prior written consent from Adobe shall be void and of no effect. Sample Code is compiled with a unique plug-in ID. If You distribute modified or merged versions of the Sample Code, You agree to replace Adobe’s unique plug-in ID that is included in any Sample Code with a unique plug-in ID specific to You. Instructions for requesting a unique plug-in ID from Adobe may be found at http://support.adobe.com/devsup/devsup.nsf/docs/50093.htm.

(b) Subject to the permissions in 2(a) above, You may use the SDK solely for the purpose of internal development of Application Software.

(c) You may make a limited number of copies of the SDK to be used by Your employees or consultants as provided herein, and not for general business purposes, and such employees or consultants shall be subject to this License.

You may use API Development Software only as provided in the Adobe specification applicable thereto, and distribute it solely with Your products on the same media. You may not modify API Development Software.

(d) Content Files. Unless stated otherwise in “ReadMe” files associated with the Content Files, which may include specific rights and restrictions with respect to such materials, You may not use, modify, reproduce or distribute any of the Content Files. For the avoidance of doubt, the Content Files are included as examples only. You acquire no rights to the Content Files.

(e) License Restrictions.

(i) World Ready Composer. The APIs contained in this SDK for the World Ready Composer are designed to be used for the purpose of internal development of Application Software designed to function with Adobe InDesign Server. Internal development of Application Software designed to function with Adobe InDesign and/or Adobe InCopy software using the World Ready Composer APIs is not supported by Adobe.

(ii) Localization of Adobe Products. You are prohibited from using this SDK for development of Application Software which would include functionality allowing for the Localization of Adobe Products. For purposes of this License, “Localization” means a modification to the default language of the installed Adobe Product, including, but not limited to, the Adobe Product’s user interface.

(iii) If You are using this SDK to develop Application Software that renders, extends, or otherwise uses the File Formats for viewing on mobile devices (including, without limitation, Your use of native InDesign overlay and interactive features), such use is permitted so long as the File Formats are only distributed with your commercially branded and deployed version of the Approved Content Viewer. You are not permitted to use this SDK for the purpose of developing and/or distributing Application Software that can read or convert the File Formats for the purpose of viewing on mobile devices; provided, however, that this restriction does not apply to other digital file formats such as JPG, PNG, EPS, PS, EPUB, HTML, PDF, IDML, XML, FLA, and SWF. You may develop Application Software using this SDK to view and distribute such content by any means and on any device, so long as such development and distribution is in a manner consistent with this Agreement and only when it does not include the File Formats.

(iv) No Modifications, No Reverse Engineering. Except as specifically provided herein, You shall not (a) modify, port, adapt, or translate any portion of this SDK; (b) add or delete any program files that would modify the functionality and/or appearance of other Adobe software and/or any component thereof; or (c) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any portion of this SDK or of the File Format. Notwithstanding the foregoing, decompiling the SDK is permitted to the extent the laws of Your jurisdiction give You the right to do so to obtain information necessary to render the licensed portions of the SDK interoperable with other software; provided, however, that You must first request such information from Adobe and Adobe may, in its discretion, either provide such information to You or impose reasonable conditions, including a reasonable fee, on such use of the source code to ensure that Adobe’s and its suppliers’ proprietary rights in the source code for the SDK are protected.

(v) No Unbundling. The SDK may include various applications, utilities and components, may support multiple platforms and languages or may be provided to You on multiple media or in multiple copies. Nonetheless, the SDK is designed and provided to You as a single product to be used as a single product on computers and platforms as permitted herein. You are not required to use all component parts of the SDK, but You shall not unbundle or repackage the component parts of the SDK for distribution, transfer, resale or use on different computers.

(vi) No Transfer. You shall not sublicense, assign or transfer the SDK or Your rights in the SDK, or authorize any portion of the SDK to be copied onto or accessed from another individual’s or entity’s computer except as may be explicitly provided in this License. Notwithstanding anything to the contrary in this Section 2(e)(vi), You may transfer copies of the SDK installed on one of Your computers to another one of Your computers provided that the resulting installation and use of the SDK is in accordance with the terms of this License and does not cause You to exceed Your right to use the SDK under this License.

(vii) Prohibited Use. Except as expressly authorized under this License, You are prohibited from: (a) renting, leasing, lending or granting other rights in the SDK including rights on a membership or subscription basis; and (b) providing use of the SDK in a computer service business, third party outsourcing facility or service, service bureau arrangement, network, or time sharing basis; Failure to comply with this Section 2(e)(vii) is a breach of this License that immediately terminates all rights granted to You herein.

(viii) Other Prohibitions. You will not use the SDK to create, develop or use any program, software or service that (a) contains any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information, (b) when used in the manner in which it is intended or marketed, violates any law, statute, ordinance, regulation or rights (including any laws, regulations or rights respecting intellectual property, computer spyware, privacy, export control, unfair competition, antidiscrimination or false advertising), or (c) interferes with the operability of Adobe or third-party programs or software.

3. Proprietary Rights.

The items contained in the SDK are the intellectual property of Adobe and its suppliers and are protected by United States copyright and patent law, international treaty provisions and applicable laws of the country in which it is being used. You agree to protect all copyright and other ownership interests of Adobe and/or its suppliers in all items in the SDK supplied under this License. You agree that all copies of the items in the SDK, reproduced for any reason by You, contain the same copyright notices, and other proprietary notices, as appropriate, which appear on or in the master items delivered by Adobe in the SDK. Adobe and/or its suppliers retain title and ownership of the items in the SDK, the media on which it is recorded and all subsequent copies, regardless of the form or media in or on which the original and other copies may exist. Except as stated above, this License does not grant You any rights to patents, copyrights, trade secrets, trademarks or any other rights in respect to the items in the SDK.

4. Non-Blocking of Adobe Development.

You acknowledge that Adobe is currently developing or may develop technologies and products in the future that have or may have design and/or functionality similar to products that You may develop based on Your license herein. Nothing in this License shall impair, limit or curtail Adobe’s right to continue with its development, maintenance and/or distribution of Adobe’s technology or products. You agree that You shall not assert in any way any patent owned by You arising out of or in connection with this SDK or modifications made thereto against Adobe, its subsidiaries or affiliates, or their customers, direct or indirect, agents and contractors (collectively, the “Adobe Product Users”) for the manufacture, use, import, licensing, offer for sale or sale of any Adobe products.

5. Confidential Information.

With respect to the API Development Software, You agree that You will treat the API Development Software with the same degree of care as You accord to Your own confidential information which You exercise reasonable care to protect. Your obligations under this section with respect to the API Development Software shall terminate when You can document that (a) it was in the public domain at or subsequent to the time it was communicated to You by Adobe through no fault of Yours, (b) it was developed by Your employees or agents independently of and without reference to any information communicated to You by Adobe; or (c) the communication was in response to a valid order by a court or other governmental body, was otherwise required by law, or was necessary to establish the rights of either party under this License.

6. Open Source Software.

Notwithstanding anything to the contrary, You are not licensed to (and You agree that You will not) integrate or use this SDK with any Open Source Software or otherwise take any action that could require disclosure, distribution or licensing of all or any part of the SDK in source code form, for the purpose of making derivative works, or at no charge. For the purposes of this Section 6, “Open Source Software

7. Term and Termination.

” shall mean software licensed under the GNU General Public License, the GNU Lesser General Public License or any other license terms that could require, or condition Your use, modification or distribution of such software on, the disclosure, distribution or licensing of any other software in source code form, for the purpose of making derivative works, or at no charge. Any violation of the foregoing provision shall immediately terminate all of Your licenses and other rights to the SDK granted under this License.

This License will commence upon the Effective Date and will terminate immediately without notice to You if You breach any of its terms. Sections 1, 2(e), 3, 4, 5, 7, 8, 9, 10, 11, 12, 13, 14, 16, and 17 will survive any termination of this License. Upon termination of this License, You must cease all use of the SDK and distribution of the Application Software and return to Adobe or destroy (with written confirmation of destruction) the SDK promptly at Adobe’s request, together with any copies thereof.

8. Disclaimer of Warranty.

Adobe licenses the SDK to Developer only on an “AS-IS” basis. Adobe makes no representation with respect to the adequacy of any items in the SDK whether or not used by You in the development of any products for any particular purpose or with respect to their adequacy to produce any particular result. Adobe and its suppliers shall not be liable for loss or damage arising out of this License or from the distribution or use of Application Software containing portions of the SDK. ADOBE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED CONDITIONS OR WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT OF ANY THIRD PARTY RIGHT IN RESPECT OF THE ITEMS IN THE SDK OR ANY SERVICES RELATED TO THE SDK. THIS DISCLAIMER OF WARRANTY MAY NOT BE VALID IN SOME JURISDICTIONS. YOU MAY HAVE ADDITIONAL WARRANTY RIGHTS UNDER LAW WHICH MAY NOT BE WAIVED OR DISCLAIMED. ADOBE DOES NOT SEEK TO LIMIT YOUR WARRANTY RIGHTS TO ANY EXTENT NOT PERMITTED BY LAW.

Some states or jurisdictions do not allow the exclusion or limitation of incidental, consequential or special damages, or the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to You. You may have rights which vary from state to state or jurisdiction to jurisdiction. The foregoing does not affect or prejudice Your statutory rights. To the extent permissible, any implied warranties are limited to ninety (90) days. For further warranty information You may contact Adobe’s Customer Support Department.

Adobe is under no obligation to provide any support under this License, including upgrades or future versions of this SDK or any portions thereof, to Developer, end user or to any other party. Adobe is acting on behalf of its suppliers for the purpose of disclaiming, excluding and/or restricting obligations, warranties and liability as provided in this Section 8, but in no other respects and for no other purpose.

9. Limitation of Liability.

Notwithstanding any other provisions of this License, Adobe’s liability to You under this License shall be limited to the amount paid by You for the SDK.

IN NO EVENT WILL ADOBE OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES INCLUDING DAMAGES FOR ANY LOST PROFITS, LOST SAVINGS, LOSS OF DATA, COSTS, FEES OR EXPENSES OF ANY KIND OR NATURE ARISING OUT OF ANY PROVISION OF THIS LICENSE OR THE USE OR INABILITY TO USE THE ITEMS IN THE SDK, EVEN IF AN ADOBE REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY PARTY. Some jurisdictions do not allow the exclusion or limitation of incidental, consequential or special damages, so the above limitation or exclusion may not apply to You. Nothing contained in this License shall prejudice the statutory rights of any party dealing as a consumer.

10. Indemnification.

You agree to indemnify, hold harmless, and defend Adobe and its suppliers from and against any liabilities, losses, actions, damages, claims, or lawsuits (including product liability, warranty and intellectual property claims, and all reasonable expenses, costs, and attorney’s fees) that arise or result from the use or distribution of Application Software that contains or is based upon any portion of the SDK, provided that Adobe gives You prompt written notice of any such claim and cooperates with You, at Your expense, in defending or settling such claim.

11. Governing Law.

11.1 North America. If You reside (or if accepting on behalf of Your employer, Your headquarters are) in North America, then this License is governed by and construed pursuant to the laws of California, regardless of conflict of laws principles. You irrevocably consent to the exclusive jurisdiction and venue of the courts in Santa Clara County, California.

11.2 Germany, France, U.K., Japan, Italy, and Spain. If You reside (or if accepting on behalf of Your employer, Your headquarters are) in either Germany, France, U.K., Japan, Italy, or Spain, then this License is governed by and construed pursuant to the laws of the country where You reside or employer is headquartered, respectively, regardless of conflict of laws principles. All claims related to data protection and data privacy are subject to the laws of Ireland, which does not exclude the application of mandatory statutes. You irrevocably consent to the exclusive jurisdiction and venue of the courts in Frankfurt, Paris, London, Tokyo, Rome, and Madrid, respectively.

11.3 Asia Pacific Countries. If You reside (or if accepting on behalf of Your employer, Your headquarters are) in a member state of the Association of Southeast Asian Nations (ASEAN) except for Myanmar, Mainland China, Hong Kong S.A.R., Macau S.A.R., Taiwan R.O.C., or the Republic of Korea, Bangladesh, or Nepal, then this License (including the arbitration agreement contained in this clause) is governed by and construed pursuant to the laws of Singapore, regardless of conflict of laws principles. All claims related to data protection and data privacy are subject to the laws of Ireland, which does not exclude the application of mandatory statutes. Any dispute arising out of or in connection with this License, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”) being in force for the period of arbitration, which rules are deemed to be incorporated into this section by reference. There shall be one arbitrator, selected jointly by the parties. If the arbitrator is not selected within thirty (30) days of the written demand by a party to submit to arbitration, the Chairman of the SIAC shall make the selection. The language of the arbitration shall be English.

11.4 Australia, New Zealand, India, Sri Lanka, and Myanmar. If You reside (or if accepting on behalf of Your employer, Your employer’s headquarters are) in Australia, New Zealand, India, Sri Lanka, or Myanmar, then this License is governed by and construed pursuant to the laws of England and Wales, regardless of conflict of laws principles. All claims related to data protection and data privacy are subject to the laws of Ireland, which does not exclude the application of mandatory statutes. You irrevocably consent to the nonexclusive jurisdiction and venue of the courts in London, England.

11.5 Rest of the World. If You do not reside in any of the countries or regions stated in Sections 11.1–11.4 above, then this License is governed by and construed pursuant to the laws of Ireland, regardless of conflict of laws principles. You irrevocably consent to the exclusive jurisdiction and venue of the courts in Dublin, Ireland.

11.6 Notwithstanding any provision in this agreement, You or Adobe may request any judicial, administrative, or other authority to order any provisional or conservatory measure, including injunctive relief, specific performance, or other equitable relief, prior to the institution of legal or arbitration proceedings or during the proceedings, for the preservation of its rights and interests or to enforce specific terms that are suitable for provisional remedies. This License is governed by the following, the application of which is hereby expressly excluded: (x) the conflict of law rules of any jurisdiction, (y) the United Nations Convention on Contracts for the International Sale of Goods, and (z) the Uniform Computer Information Transactions Act, as enacted in any jurisdiction.

12. Export Rules.

You acknowledge that this SDK is subject to the U.S. Export Administration Regulations and other export laws, restrictions, and regulations (collectively, the “Export Laws”) and that You will comply with the Export Laws. You will not ship, transfer, export, or re-export the SDK, directly or indirectly, to: (a) any countries that are subject to US export restrictions (currently including, but not necessarily limited to, Cuba, Iran, North Korea, Sudan, and Syria — each an “Embargoed Country”); (b) any end user whom You know or have reason to know will utilize them in the design, development, or production of nuclear, chemical, or biological weapons, or rocket systems, space launch vehicles, sounding rockets, or unmanned air vehicle systems (each a “Prohibited Use”); or (c) any end user who has been prohibited from participating in the U.S. export transactions by any federal agency of the U.S. government (each a “Sanctioned Party”). In addition, You are responsible for complying with any local laws in Your jurisdiction which may impact Your right to import, export, or use this SDK. You represent and warrant that (i) You are not a citizen of, or located within, an Embargoed Country, (ii) You will not use the SDK for a Prohibited Use, and (iii) You are not a Sanctioned Party. All rights to use the SDK are granted on condition that such rights are forfeited if You fail to comply with the terms of this Section 12. If Adobe has knowledge that a violation has occurred, Adobe may be prohibited from providing maintenance and support for the SDK.

13. Waiver.

None of the provisions of this License shall be deemed to have been waived by any act or acquiescence on the part of Adobe, its agents, or employees, but only by an instrument in writing signed by an authorized signatory of Adobe.

14. Notice to U.S. Government End Users.

14.1 U.S. Government Licensing of Adobe Technology. You agree that when licensing Adobe Software for acquisition by the U.S. Government, or any contractor therefore, You will license to be consistent with the policies set forth in 48 C.F.R. Section 12.212 (for civilian agencies) and 48 C.F.R. Sections 227.7202 1 and 227.7202 4 (for the Department of Defense). For U.S. Government End Users, Adobe agrees to comply with all applicable equal opportunity laws including, if appropriate, the provisions of Executive Order 11246, as amended, Section 402 of the Vietnam Era Veterans Readjustment Assistance Act of 1974 (38 USC 4212), and Section 503 of the Rehabilitation Act of 1973, as amended, and the regulations at 41 CFR Parts 60 1 through 60 60, 60 250, and 60 741. The affirmative action clause and regulations contained in the preceding sentence will be incorporated by reference into this agreement.

14.2 Commercial Items. For U.S. Government End Users, Software is a “Commercial Item(s),” as that term is defined at 48 C.F.R. Section 2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation,” as such terms are used in 48 C.F.R. Section 12.212 or 48 C.F.R. Section 227.7202, as applicable. Consistent with 48 C.F.R. Section 12.212 or 48 C.F.R. Sections 227.7202 1 through 227.7202 4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government End Users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. Unpublished rights are reserved under the copyright laws of the United States.

15. Integration.

When conflicting language exists between this License and any other agreement included in the SDK, this License shall supersede. If either Adobe or Developer employs attorneys to enforce any rights arising out of or relating to this License, the prevailing party shall be entitled to recover reasonable attorneys’ fees. You acknowledge that You have read this License, understand it and that it is the complete and exclusive statement of Your agreement with Adobe, which supersedes any prior agreement, oral or written, between Adobe and You with respect to the licensing to You of the SDK. No variation of the terms of this License will be enforceable against Adobe unless Adobe gives its express consent, in writing signed by an officer of Adobe. The English language version of this License shall be the version used in the event any dispute arises hereunder. All translations of this License are for convenience only and shall not be used by the parties or any court when interpreting or construing this License.

16. Binding Agreement.

This License governs installation and use of the SDK. You agree that this License is like any written negotiated agreement signed by You. By clicking to acknowledge agreement to be bound during review of an electronic version of this License or by downloading, copying, installing or using any portion of this SDK, You accept all the terms and conditions of this License. This License is enforceable against You and any person or entity that obtains this SDK or on whose behalf they are used: for example, Your employer. If You do not agree to the terms of this License, do not use any portion of this SDK. This License shall apply to any portion of the SDK, regardless of whether other software is referred to or described herein.

17. Additional Terms.

You may have a separate written agreement with Adobe that supplements or supersedes all or portions of this License. Your use of some third party materials included in the SDK may be subject to other terms and conditions typically found in a separate license agreement or a “ReadMe” file located near such materials or in the “Third Party Software Notices and/or Additional Terms and Conditions” found at http://www.adobe.com/go/thirdparty. Such other terms and conditions may require You to pass through notices to Your end users. Such other terms and conditions will supersede all or portions of this License in the event of a conflict with the terms and conditions of this License.

LA PRESENTE LICENCE REGIE L’UTILISATION DU OU DES KITS DE DEVELOPPEMENT DE LOGICIEL POUR ADOBE INDESIGN, INDESIGN SERVER ET INCOPY, AINSI QUE LES DOCUMENTS EXPLICATIFS QUI S’Y RAPPORTENT (CI-APRES COLLECTIVEMENT LE « SDK ») ET COMPREND TOUTES LES MISES A JOUR MAJEURES ET MINEURES, LES VERSIONS MODIFIEES, LES ADJONCTIONS ET LES COPIES DU SDK QU’ADOBE VOUS CONCEDE SOUS LICENCE. CE CONTRAT VOUS EST OPPOSABLE AINSI QU’A TOUTE PERSONNE MORALE QUI OBTIENT LE SDK ET POUR LE COMPTE DE LAQUELLE IL EST UTILISE ; COMME VOTRE EMPLOYEUR, LE CAS ECHEANT. SI VOUS N’ACCEPTEZ PAS LES DISPOSITIONS DE CETTE LICENCE, VOUS NE DEVEZ PAS UTILISER LE SDK.

1. Définitions.

1.1 « Adobe » désigne Adobe Systems Incorporated, société immatriculée dans l’Etat du Delaware, 345 Park Avenue, San Jose, Californie 95110 si la section 11 de la présente Licence s’applique ; dans le cas contraire, ce terme désigne Adobe Systems Software Ireland Limited, 4-6 Riverwalk, Citywest Business Campus, Dublin 24, Irlande, société de droit irlandais et société affiliée et licenciée d’Adobe Systems Incorporated.

1.2 « Content Viewer approuvé » désigne le Content Viewer déployé sous la marque Adobe ou la version déployée du Content Viewer d'Adobe commercialisée par le Client.

1.3 L’expression « Logiciel de Développement de l’API » désigne les Spécifications de l’API du SDK, les fichiers bibliographiques, les fichiers JAR, les API Plug-In du SDK tels que définis dans les fichiers bibliographiques et représentés dans l’exemple de programmation plug-in et les informations connexes sous la forme de code objet et/ou de bibliothèques, tant en langage natif que Java, qu’Adobe ne fournit pas autrement en tant que produit commercial et qu’Adobe a inclus dans le SDK afin que Vous puissiez les distribuer sans modification avec vos logiciels applicatifs.

1.4 L’expression « Fichiers de Contenu » désigne les échantillons et galeries de photos, les images, les fichiers sonores, les dessins et les autres œuvres artistiques fournis avec le SDK.

1.5 Les termes « Développeur », « Vous », « Vos » et « Votre » font référence à toute personne physique ou morale qui acquiert ou utilise le SDK en conformité avec les conditions de la présente Licence.

1.6 « Documentation » désigne les documents écrits livrés avec la présente Licence, dont, par exemple, des spécifications techniques, Documentation du format de fichier et les informations relatives à l’interface de programmation de l’application (API).

1.7 L’expression « Date d’entrée en vigueur » désigne la date à laquelle Vous téléchargez, installez ou accédez de toute autre manière à ou utiliser une quelconque partie du SDK.

1.8 L’expression « Format de fichier » désigne les formats de fichier propriétaires .folio et .indd d’Adobe.

1.9 L’expression « Exemple de programmation » désigne le code objet et/ou le code source, excepté les Fichiers de Contenu qu’Adobe a inclus afin que Vous puissiez l’incorporer à vos logiciels applicatifs, sous réserve des prescriptions de l’Article 2.

1.10 Le terme « SDK » désigne les Informations relatives à l’API, l’Exemple de Programmation, les Outils de développement, la Documentation et tout autre élément connexe. Seuls les éléments extraits de l’archive du SDK et installés sur Votre ordinateur font partie du SDK. Cette Licence ne concerne pas les Produits Adobe (reportez-vous aux contrats de Licence d’utilisateur final des Produits Adobe pour connaître les conditions applicables). L’expression « Produits Adobe » désigne les programmes d’application et les technologies d’Adobe comme les plug-ins développés par Adobe qui font ou peuvent faire l’objet d’un contrat de Licence destiné au grand public, y compris toutes les versions modifiées et toutes les améliorations de cet ensemble.

1.11 Le terme « Outils » désigne les programmes et Utilitaires qui peuvent être inclus pour Vous permettre de tester ou de compiler vos Logiciels applicatifs. Le terme « Documentation » fait référence à tous les matériaux explicatifs livrés avec le SDK.

2. Licence et restrictions associées.

Sous réserve de votre respect du présent contrat, notamment, sans s'y limiter, des limitations contenues dans le présent Article 2, Adobe Vous concède une licence non exclusive, non transférable et libre de redevance pour utiliser les éléments du SDK uniquement aux fins de développement interne de logiciel applicatif conçu pour fonctionner exclusivement avec les produits et services d’Adobe (« Logiciel applicatif »).

(a) Sous réserve des dispositions de la présente Licence, Vous pouvez utiliser, modifier ou fusionner tout ou partie de l’Exemple de Programmation à vos Logiciels applicatifs. Vous pouvez distribuer l’Exemple de Programmation uniquement s’il fait partie intégrante de vos programmes en code objet exclusivement. Toute partie modifiée ou fusionnée de l’Exemple de Programmation est soumise aux dispositions de la présente Licence. Vous êtes tenu de faire figurer les mentions de droits d’auteur d’Adobe sur vos Logiciels applicatifs, sauf en ce qui concerne les programmes dont le droit d’auteur précise qu’ils appartiennent au Développeur. Vous ne pouvez pas utiliser la dénomination sociale d’Adobe, son logo ou ses marques déposées pour commercialiser vos produits. Vous ne pouvez pas céder vos droits ou obligations conférés par la présente Licence sans l’accord écrit préalable d’Adobe. Toute tentative de cession ou de transfert sans cet accord écrit préalable d’Adobe est nulle et non avenue. L’Exemple de programmation est compilé avec un identifiant de plug-in unique. Si Vous distribuez une version modifiée ou fusionnée de l'Exemple de programmation, Vous acceptez de remplacer l’identificateur de plug-in unique d’Adobe inclus dans tout Exemple de programmation avec un identificateur de plug-in qui vous est spécifique. Les instructions nécessaires pour demander à Adobe un identificateur de plug-in unique peuvent être consultées à http://support.adobe.com/devsup/devsup.nsf/docs/50093.htm.

(b) Sous réserve des autorisations de l’Article 2(a) ci-dessus, Vous pouvez utiliser le SDK uniquement aux fins du développement interne de Logiciel applicatif.

(c) Vous pouvez réaliser un nombre limité de copies du SDK à l’intention de Vos employés ou consultants, mais uniquement aux fins du développement interne et non pas dans le cadre d’activités commerciales générales, et ces employés ou consultants seront soumis aux conditions de la présente Licence.

Vous ne pouvez utiliser le Logiciel de Développement de l’API qu’en conformité avec les spécifications d’Adobe qui lui sont applicables et Vous pouvez exclusivement le distribuer avec Vos produits sur le même support. Vous ne pouvez pas modifier le Logiciel de Développement de l’API.

(d) Fichiers de Contenu. Sauf dispositions contraires contenues dans les fichiers « Lisez-moi » associés aux Fichiers de Contenu, qui peuvent contenir des droits et des restrictions propres à ces éléments, Vous ne pouvez utiliser, modifier, reproduire ou distribuer aucun Fichier de Contenu. Pour clarifier tout doute, les Fichiers de Contenu sont uniquement fournis à titre d’exemples et Vous n’acquérez aucun droit sur les Fichiers de Contenu.

(e) Restrictions de la Licence.

(i) World Ready Composer. Les API contenues dans ce SDK pour le World Ready Composer sont conçues pour être utilisées aux fins de développement interne de Logiciel applicatif devant fonctionner avec Adobe InDesign Server. Le développement interne de Logiciel applicatif devant fonctionner avec Adobe InDesign et/ou le logiciel Adobe InCopy à l'aide de l'API World Ready Composer n'est pas pris en charge par Adobe.

(ii) Localisation des produits d’Adobe. Vous n'êtes pas autorisé à utiliser ce SDK pour développer un Logiciel applicatif qui contiendrait une fonctionnalité permettant la localisation des Produits d’Adobe. Pour cette Licence, « Localisation » se réfère à une modification de la langue par défaut du Produit Adobe installé, y compris, mais sans s'y limiter, de l'interface utilisateur du Produit Adobe.

(iii) Si Vous utilisez ce SDK pour développer un Logiciel applicatif qui convertit, étend ou utilise de toute autre manière les Formats de fichier pour l'affichage sur les périphériques mobiles (y compris, sans s'y limiter, votre utilisation de superpositions [Overlay] natives d’InDesign et de fonctionnalités interactives), cette utilisation est autorisée tant que les Formats de fichier sont distribués uniquement avec votre version personnalisée déployée du Content Viewer approuvé. Vous n'êtes pas autorisé à utiliser ce SDK afin de développer et/ou de distribuer de Logiciel applicatif qui peut lire ou convertir les Formats de fichiers aux fins de visualisation sur les périphériques mobiles ; à condition, toutefois, que cette restriction ne s'applique pas à d'autres formats de fichier numérique tels que JPG, PNG, EPS, PS, EPUB, HTML, PDF, IDML, XML, FLA et SWF. Vous pouvez développer un Logiciel applicatif en utilisant ce SDK pour visualiser et distribuer ledit contenu par quelque moyen que ce soit et sur n’importe quel périphérique, tant que ledit développement et la distribution sont en conformité avec le présent Contrat et uniquement lorsqu'il n'inclut pas les Formats de fichier.

(iv) Modifications, ingénierie inverse. Sauf disposition spécifique contraire dans le présent Contrat, Vous n’êtes pas autorisé à (a) modifier, transposer, adapter ou traduire une partie quelconque de ce SDK ; (b) ajouter ou supprimer des fichiers programmes de manière à modifier les fonctionnalités ou l’apparence des logiciels Adobe ou de leurs composants ; ou (c) effectuer de l’ingénierie inverse, décompiler, désassembler ou essayer d’une autre manière de découvrir le code source d’une partie quelconque de ce SDK ou du Format de fichier. Nonobstant ce qui précède, la décompilation du SDK est autorisée dans la mesure où les lois de Votre pays Vous autorisent à le faire pour obtenir les informations nécessaires afin de rendre les parties du SDK concédées sous Licence interopérable avec d’autres logiciels, à condition toutefois que Vous demandiez d’abord ces informations à Adobe et qu’Adobe puisse, à son entière discrétion, soit Vous fournir ces informations, soit imposer des conditions raisonnables, y compris une redevance acceptable, quant à cette utilisation du code source pour garantir que les droits de propriété d’Adobe et de ses fournisseurs sur le code source du SDK sont protégés.

(v) Aucun dégroupage. Il se peut que le Kit de développement logiciel (SDK) contienne divers utilitaires, applications et composants, qu’il fonctionne sur plusieurs plates-formes ou langues, qu’il Vous soit fourni sur plusieurs supports ou que Vous en receviez plusieurs copies. Cependant, le Kit de développement logiciel est conçu et Vous est fourni en tant que produit unique devant être utilisé comme tel sur les ordinateurs et plates-formes autorisés dans le présent Contrat. Vous n’êtes pas tenu d’utiliser tous les composants du Kit de développement logiciel, mais Vous ne pouvez pas les dégrouper ou les regrouper à des fins de distribution, transfert, revente ou utilisation sur différents ordinateurs.

(vi) Aucun transfert. Vous n’êtes pas autorisé à concéder en sous Licence, céder ou transférer le Kit de développement logiciel (SDK) ou Vos droits sur celui-ci, ou à autoriser la copie d’une partie du Kit de développement logiciel sur ou l’accès à partir de l’ordinateur d’une autre personne, physique ou morale, sauf disposition explicite contraire du présent Contrat. Nonobstant toute disposition contraire du présent Article 2(e)(vi), Vous pouvez transférer des copies du Kit de développement logiciel installé sur l’un de Vos ordinateurs vers un autre de Vos ordinateurs, à condition que l’installation et l’utilisation du Kit de développement logiciel en résultant soient conformes aux dispositions du présent Contrat et n’entraînent pas un dépassement de Votre droit d’utiliser le Kit de développement logiciel conformément à ce Contrat.

(vii) Utilisation interdite. Sauf disposition explicite contraire en vertu de la présente Licence, Vous Vous interdisez : (a) de louer, laisser en crédit-bail, prêter ou concéder d’autres droits sur le Logiciel, y compris les droits relatifs à une adhésion ou inscription ; et (b) d’utiliser le Logiciel dans le cadre d’une activité de services informatiques, d’une installation ou d’un service tiers d’infogérance, d’un accord de service bureau, d’un réseau ou en temps partagé. Le non-respect de cet article 2(e)(vii) constitue un manquement à la présente Licence qui annule immédiatement tous les droits qui Vous ont été concédés dans cette Licence.

(viii) Autres interdictions. Vous n’utiliserez pas le Kit de développement logiciel (SDK) pour créer, développer ou utiliser un programme, logiciel ou service qui (a) contient des virus, chevaux de Troie, vers, bombes à retardement, robots d’annulation ou autres routines de programmation informatique qui aient pour but d’endommager, d’interférer de façon dommageable, d’intercepter subrepticement ou d’exproprier tout(e) système, donnée ou information personnelle ; (b) lorsqu’il est utilisé conformément à sa destination ou commercialisation, viole un(e) loi, statut, ordonnance, règlement ou droit important(e) (y compris les lois, règlements ou droits régissant la propriété intellectuelle, les logiciels espions, la confidentialité, le contrôle des exportations, la concurrence déloyale, la lutte contre la discrimination ou la publicité mensongère) ; ou (c) interfère avec l’opérabilité des autres programmes ou logiciels Adobe ou tiers.

3. Droits de propriété.

Les éléments du SDK sont la propriété intellectuelle d’Adobe et de ses fournisseurs et sont protégés par la législation des Etats-Unis sur les copyrights et les brevets, par les dispositions des traités internationaux et par les lois en vigueur dans le pays d’utilisation du SDK. Vous Vous engagez à protéger le copyright d’Adobe et/ou de ses fournisseurs et tous les autres droits de propriété dont ils sont titulaires sur les éléments du SDK fournis dans le cadre de la présente Licence. Vous Vous engagez à faire figurer, sur chaque copie des éléments du SDK que Vous aurez reproduits pour quelque raison que ce soit, les mêmes mentions de copyright et, selon les cas, les mêmes mentions de droits de propriété qui apparaissent sur ou dans les éléments originaux livrés par Adobe avec le SDK. Adobe et/ou ses fournisseurs conservent les droits de propriété et restent les détenteurs des éléments du SDK, du support sur lequel ils sont enregistrés et de toutes les copies ultérieures, quel que soit le support dans lequel ou sur lequel se trouvent l’original et d’autres copies, et quelle qu’en soit la forme. Sauf disposition contraire indiquée ci-dessus, la présente Licence ne Vous confère aucun droit sur les brevets, copyrights, secrets commerciaux, marques ou tout autre droit relatif aux éléments contenus dans le SDK.

4. Non-arrêt du développement d’Adobe.

Vous reconnaissez qu’Adobe développe actuellement ou peut développer dans le futur des technologies et des produits qui présentent ou peuvent présenter une conception ou une fonctionnalité similaire aux produits que Vous pouvez développer sur la base de la Licence qui Vous est accordée. Rien dans cette Licence ne saurait empêcher, limiter ou restreindre le droit d’Adobe de poursuivre son développement, la maintenance et/ou la distribution de la technologie d’Adobe ou de ses produits. Vous acceptez de ne pas invoquer de quelque manière que ce soit un quelconque brevet qui Vous est délivré sur la base ou dans le cadre de ce SDK ou des modifications qui y sont apportées contre Adobe, ses filiales ou sociétés affiliées ou leurs clients, directs ou indirects, agents et sous-traitants (conjointement les « Utilisateurs de produits Adobe ») pour la fabrication, l’utilisation, l’importation, la concession de Licence, la proposition à la vente ou la vente d’un quelconque produit Adobe.

5. Informations confidentielles.

En ce qui concerne le Logiciel de Développement de l’API, Vous acceptez de protéger le Logiciel de Développement de l’API avec le même soin que Vos propres informations confidentielles pour lesquelles Vous accordez une attention raisonnable. Vos obligations au titre de cette section en ce qui concerne le Logiciel de Développement de l’API prennent fin lorsque Vous pouvez prouver : (a) qu’il appartenait au domaine public au moment où Adobe Vous l’a communiqué ou qu’il y est entré ultérieurement sans que Vous en soyez responsable ; (b) que Vos employés ou agents l’ont développé indépendamment et sans faire référence à une quelconque information qu’Adobe Vous a communiquée ; ou (c) que la communication faisait suite à la demande légitime d’un tribunal ou d’une administration, qu’elle était exigée par la loi ou qu’elle était nécessaire pour établir les droits de l’une des parties dans le cadre de la présente Licence.

6. Logiciels libres.

Nonobstant toute disposition contraire, Vous n’êtes pas autorisé (et Vous acceptez de ne pas le faire) à intégrer ou utiliser ce SDK avec un Logiciel libre ou à effectuer une quelconque autre opération qui pourrait exiger la divulgation, la distribution ou la concession sous Licence de tout ou partie du SDK en code source aux fins de la réalisation d’œuvres dérivées ou sans rétribution. Aux fins de la présente Section 6, le terme « Logiciel libre

7. Durée et Résiliation.

» désigne tout logiciel concédé sous la Licence publique générale du GNU, sous la Licence publique générale restreinte du GNU ou sous toute autre Licence qui exigerait ou qui subordonnerait Votre utilisation, modification ou distribution du logiciel à la divulgation, la distribution ou la concession sous Licence de tout autre logiciel en code source aux fins de la réalisation d’œuvres dérivées ou sans rétribution. Toute violation de la disposition précédente met immédiatement fin à l’ensemble de Vos Licences et autres droits relatifs au SDK accordés au titre de la présente Licence.

La présente Licence prend effet à la Date d'entrée en vigueur et est résiliée immédiatement sans préavis si Vous manquez à l'une de ses dispositions. Les Articles 1, 2(e), 3, 4, 5, 7, 8, 9, 10, 11, 12, 13, 14, 16 et 17 sont applicables nonobstant la résiliation de la présente Licence. A la résiliation de cette Licence, Vous devez cesser toute utilisation et distribution du SDK et du Logiciel applicatif et retournerez à Adobe ou détruirez (avec confirmation écrite de la destruction) le SDK rapidement à la demande d'Adobe, ainsi que toute copie de celui-ci.

8. Clause limitative de garantie.

Adobe concède uniquement le SDK sous Licence au Développeur sur une base « EN L’ETAT ». Adobe ne garantit en aucun cas le caractère adéquat de tout élément du SDK, que Vous l’utilisiez ou non, pour le développement de tout produit dans un but spécifique, ou son aptitude à produire un résultat particulier. Adobe et ses fournisseurs ne pourront pas être tenus responsables des pertes ou dommages découlant de la présente Licence ou de la distribution ou de l’utilisation de Logiciel applicatif contenant des parties du SDK. ADOBE ET SES FOURNISSEURS N’ASSUMENT AUCUNE GARANTIE EXPLICITE OU IMPLICITE Y COMPRIS, SANS QUE CELA SOIT EXHAUSTIF, LES GARANTIES IMPLICITES RELATIVES A LA QUALITE MARCHANDE, A L’ADEQUATION A UN USAGE PARTICULIER, OU A LA NON-VIOLATION DU DROIT D’UN TIERS RELATIVEMENT AUX ELEMENTS DU SDK OU TOUS SERVICES QUI S’Y RAPPORTENT. CETTE EXCLUSION DE GARANTIE PEUT NE PAS ETRE APPLICABLE DANS CERTAINS PAYS. VOUS POUVEZ BENEFICIER D’AUTRES DROITS DE GARANTIE AUTORISES PAR LA LOI ET QUI NE PEUVENT PAS FAIRE L’OBJET D’UN DESISTEMENT OU ETRE DECLINES. ADOBE N’A NULLEMENT L’INTENTION DE LIMITER VOS DROITS A LA GARANTIE D’UNE FACON QUI NE SERAIT PAS AUTORISEE PAR LA LOI.

Certaines juridictions n’autorisent pas l’exclusion ou la limitation de dommages indirects ou fortuits, de dommages-intérêts à caractère répressif ou particulier, l’exclusion de garanties implicites ou la limitation de la durée d’une garantie implicite. Par conséquent, il se peut que les limitations ci-dessus ne Vous concernent pas. Vous pouvez avoir des droits qui varient d’une juridiction à une autre. Les dispositions précédentes n’affectent en aucun cas Vos droits. Dans les limites autorisées, toutes les garanties implicites éventuelles sont limitées à quatre-vingt-dix (90) jours. Pour plus d’informations sur la garantie, veuillez contacter le Service clientèle d’Adobe.

Adobe n’est pas dans l’obligation de fournir au Développeur, à l’utilisateur final ou à tout autre tiers, une assistance dans le cadre de la présente Licence, y compris les mises à jour ou les versions ultérieures du SDK. Adobe agit au nom et pour le compte de ses fournisseurs pour ce qui concerne le refus de garantie ainsi que pour ce qui concerne l’exclusion et/ou la limitation des obligations, garanties et responsabilités, comme indiqué dans la présente Section 8, mais à aucun autre égard et dans aucun autre but.

9. Limitation de responsabilité.

Nonobstant d’autres clauses de la présente Licence, la responsabilité d’Adobe en Votre faveur dans le cadre de la présente Licence se limite à la somme que Vous avez versée pour obtenir le SDK.

EN AUCUN CAS ADOBE N’ASSUME DE RESPONSABILITE ENVERS VOUS EN CAS DE DOMMAGES INDIRECTS OU FORTUITS, DE DOMMAGES-INTERETS A CARACTERE REPRESSIF OU PARTICULIER, Y COMPRIS EN CAS DE MANQUE A GAGNER, PERTE D’ECONOMIES, PERTE DE DONNEES, COUTS, FRAIS OU DEPENSES DE TOUTE NATURE DECOULANT D’UNE DISPOSITION DE LA PRESENTE LICENCE, DE L’UTILISATION OU DE L’IMPOSSIBILITE D’UTILISER LES ELEMENTS CONTENUS DANS LE SDK, MEME SI UN REPRESENTANT D’ADOBE A ETE PREVENU DE LA POSSIBILITE DE CES DOMMAGES, NI EN CAS DE RECLAMATION DE LA PART D’UN TIERS. Certaines juridictions n’autorisent pas l’exclusion ou la limitation des dommages indirects ou fortuits. Par conséquent, il se peut que les limitations ci-dessus ne Vous concernent pas. Rien dans la teneur de la présente Licence n’affecte les droits de toute partie agissant en qualité de consommateur.

10. Indemnisation.

Vous vous engagez à indemniser, à exempter de toute responsabilité et à défendre Adobe et ses fournisseurs contre toute perte, toute action en justice, tous dommages-intérêts ou toutes réclamations (y compris les réclamations au titre de la responsabilité, la garantie et la propriété intellectuelle, et toutes les dépenses, tous les coûts et honoraires d’avocat raisonnables) résultant de l’utilisation ou de la distribution de Logiciel applicatif qui contiennent ou sont basés sur toute partie du Kit de développement logiciel (SDK), à la condition qu’Adobe Vous ait informé immédiatement et par écrit de l’existence d’une telle action, et collabore avec Vous, à Vos frais, à cette défense ou à ce règlement.

11. Droit applicable.

11.1 Amérique du Nord. Si Vous résidez (ou dans le cas où vous acceptez au nom de Votre employeur, si votre siège social est) en Amérique du Nord, alors la présente Licence est régie par et interprétée conformément aux lois de la Californie, sans égard aux principes de conflit de lois. Vous acceptez irrévocablement la compétence d’attribution et la compétence territoriale exclusives des tribunaux du Comté de Santa Clara, en Californie.

11.2 Allemagne, France, Royaume-Uni, Japon, Italie et Espagne. Si Vous résidez (ou dans le cas où vous acceptez au nom de Votre employeur, si votre siège social est) en Allemagne, en France, au Royaume-Uni, au Japon, en Italie ou en Espagne, alors la présente Licence est régie et interprétée conformément aux lois du pays dans lequel Vous résidez ou du pays où votre employeur a son siège social, respectivement, sans égard aux principes de conflit de lois. Toutes les réclamations liées à la protection et à la confidentialité des données seront soumises aux lois de l’Irlande, ce qui n’exclut pas l’application d’actes législatifs obligatoires. Vous acceptez irrévocablement la compétence d’attribution et la compétence territoriale exclusives des tribunaux de Francfort, Paris, Londres, Tokyo, Rome et Madrid, respectivement.

11.3 Pays d’Asie-Pacifique. Si Vous résidez (ou dans le cas où vous acceptez au nom de Votre employeur, si votre siège social est) dans un Etat membre de l'Association des Nations de l’Asie du Sud-Est (ASEAN) à l'exception de Myanmar, la Chine continentale, Hong Kong, Macao, Taïwan, la République de Corée, Bangladesh ou du Népal, alors cette Licence (y compris le contrat d’arbitrage contenu dans la présente clause) est régie par et interprétée conformément aux lois de Singapour, sans égard aux principes de conflit de lois. Toutes les réclamations liées à la protection et à la confidentialité des données seront soumises aux lois de l’Irlande, ce qui n’exclut pas l’application d’actes législatifs obligatoires. Tous les litiges liés à la présente Licence, notamment les questions relatives à son existence, sa validité ou sa résiliation, seront portés et résolus définitivement par arbitrage à Singapour en conformité avec le Règlement d’arbitrage du Centre d’arbitrage international de Singapour (le « SIAC ») en vigueur pendant la période d’arbitrage et dont les règles seront incorporées à cet Article par référence. Un seul arbitre sera désigné conjointement par les parties. Si l’arbitre n’est pas sélectionné dans les trente (30) jours à compter de la demande écrite d’arbitrage introduite par une partie, le Président du SIAC procédera à sa désignation. La langue de l’arbitrage sera l’anglais.

11.4 Australie, Nouvelle-Zélande, Inde, Sri Lanka et Myanmar. Si Vous résidez (ou dans le cas où vous acceptez au nom de Votre employeur, si votre siège social est) en Australie, Nouvelle-Zélande, Inde, Sri Lanka ou à Myanmar, alors la présente Licence est régie par et interprétée conformément aux lois de l'Angleterre et du pays de Galles, sans égard aux principes de conflit de lois. Toutes les réclamations liées à la protection et à la confidentialité des données seront soumises aux lois de l’Irlande, ce qui n’exclut pas l’application d’actes législatifs obligatoires. Vous acceptez irrévocablement la compétence d’attribution et la compétence territoriale non exclusives des tribunaux de Londres, en Angleterre.

11.5 Reste du monde. Si Vous ne résidez dans aucun des régions ou pays énoncés dans les Articles 11.1 à 11.4 ci-dessus, alors la présente Licence est régie par et interprétée conformément aux lois de l'Irlande, sans égard aux principes de conflit de lois. Vous acceptez irrévocablement la compétence d’attribution et la compétence territoriale exclusives des tribunaux de Dublin, en Irlande.

11.6 Nonobstant les dispositions du présent contrat, Adobe ou Vous-même pourrez faire appel à une autorité judiciaire, administrative ou autre afin de demander des mesures provisoires ou conservatoires, y compris une mesure d’injonction, une action spécifique ou toute autre mesure équitable, avant l’ouverture d’une procédure juridique ou d’arbitrage, afin de préserver vos droits et intérêts ou pour faire appliquer des conditions spécifiques pouvant faire office de mesures provisoires. Cette Licence est régie par ce qui suit, dont l'application est expressément exclue : (x) les règles en matière de conflit de lois d’un pays, (y) la Convention des Nations Unies sur les contrats de vente internationale de marchandises et (z) la loi UCITA (Uniform Computer Information Transactions Act), telle qu’édictée dans toute juridiction.

12. Exportation.

Vous reconnaissez que ce SDK est régi par les dispositions de l’administration américaine des exportations (« EAR », Export Administration Regulations) et d’autres lois, limitations et règlements relatifs aux exportations (ci-après collectivement les « Lois sur l’exportation ») auxquelles Vous devez vous conformer. Vous vous engagez à ne pas expédier, transférer, exporter ou réexporter ce SDK, directement ou indirectement, vers : (a) tous les pays qui sont soumis à des restrictions d’exportation des Etats-Unis (y compris, à l’heure actuelle, mais ne s’y limitant pas nécessairement, Cuba, l’Iran, la Corée du Nord, le Soudan et la Syrie) (les « Pays frappés d’embargo »), (b) tout utilisateur final dont Vous connaissez ou avez des raisons de présumer la volonté de les utiliser pour la conception, le développement ou la production d’armes nucléaires, chimiques ou biologiques, ou de systèmes de fusées, de lanceurs spatiaux et de fusées-sondes, ou de systèmes de véhicules aériens sans pilote (les « Utilisations interdites ») ou (c) tout utilisateur final auquel il a été interdit de participer aux opérations d’exportation des Etats-Unis par une agence fédérale ou le gouvernement américain (une « Partie frappée de sanctions »). Vous êtes en outre tenu de vous conformer aux réglementations locales en vigueur dans votre juridiction, ce qui peut influer sur votre droit à importer, exporter ou utiliser ce SDK. Vous déclarez et garantissez que (i) Vous n’êtes pas un citoyen de, et ne résidez pas dans, un Pays frappé d’embargo, que (ii) Vous n’utiliserez pas le SDK pour une Utilisation interdite et que (iii) Vous n’êtes pas une Partie frappée de sanctions. Tous les droits d’utilisation du SDK sont concédés sous réserve que vos droits prennent fin en cas de manquement à vos obligations aux termes de l'Article 12. Si Adobe a connaissance qu’une violation s’est produite, Adobe peut se voir interdire d’assurer la maintenance et l’assistance technique du SDK.

13. Renonciation.

Pour être valable, la renonciation à l’une des dispositions de la présente Licence devra être faite par écrit, signée par un signataire autorisé d’Adobe. Tout acte ou consentement de la part d’Adobe, de ses mandataires ou salariés, n’aura aucune valeur.

14. Avis aux utilisateurs finaux du gouvernement des Etats-Unis.

14.1 Concession de licence au gouvernement des Etats-Unis pour la Technologie Adobe. Vous reconnaissez, lors de la concession de licence du Logiciel Adobe au gouvernement des Etats-Unis ou par conséquent ses sous-traitants, que la licence sera concédée conformément aux conditions générales exposées dans le Code fédéral 48, Article 12.212 (agences civiles) et dans le Code fédéral 48 aux paragraphes 227.72021 et 227.72024 (ministère de la Défense). Dans le cas d’utilisateurs finals travaillant pour le gouvernement des Etats-Unis, Adobe s'engage à se conformer à toutes les lois en vigueur sur l'égalité des chances, y compris, s'il y a lieu, aux dispositions du décret-loi (Executive Order) 11246, telles que modifiées, de l’Article 402 de la Vietnam Era Veterans Readjustment Assistance Act (loi sur l'aide à la réadaptation des vétérans du Vietnam) de 1974 (38 USC 4212), et de l’Article 503 de la Rehabilitation Act (loi sur la réhabilitation) de 1973, tel que modifié, et aux réglementations spécifiées au 41 CFR Articles 60 1 à 60 60, 60 250 et 60 741. Les réglementations et les dispositions relatives aux actions affirmatives contenues dans la phrase précédente devront être intégrées par référence au présent contrat.

14.2 Articles Commerciaux. Pour les Utilisateurs finals du gouvernement des Etats-Unis, le Logiciel constitue des « Articles commerciaux » tels que définis dans le Code fédéral 48, Article 2.101, composés d’un « Logiciel commercial » et d’une « Documentation du Logiciel commercial », tels que définis dans le Code fédéral 48, Article 12.212 ou Article 227.7202, selon le cas. Conformément au Code fédéral 48, Article 12.212 ou Articles 227.7202 1 à 227.7202 4, selon le cas, le Logiciel commercial et la Documentation du logiciel commercial sont concédés sous licence aux Utilisateurs finals du gouvernement américain (a) uniquement en tant qu’Eléments commerciaux et (b) uniquement assortis des droits concédés aux autres Utilisateurs finals conformément aux dispositions des présentes. Les droits non publiés sont réservés conformément aux lois des Etats-Unis relatives aux droits d’auteur (copyright).

15. Intégration.

En cas de conflit entre la présente Licence et tout autre contrat inclus dans le SDK, la présente Licence prévaudra. Si Adobe ou le Développeur engagent des avocats pour faire valoir leurs droits découlant de la présente Licence, la partie qui aura gain de cause pourra percevoir le remboursement des honoraires normaux d’avocats. Vous reconnaissez avoir lu la présente Licence et l’avoir comprise, et Vous reconnaissez qu’elle constitue l’intégralité du Contrat conclu entre Vous-même et Adobe. Elle annule et remplace tout accord préalable, oral ou écrit, passé entre Adobe et Vous-même relativement à la concession sous Licence du SDK. Toute modification des conditions de la présente Licence ne pourra être opposable à Adobe que si elle a été approuvée par écrit par Adobe et signée par son représentant dûment habilité. En cas de litige en ce qui concerne l’interprétation de la Licence, la version anglaise fera foi. Les traductions de la présente Licence ne sont offertes que par commodité et ne pourront pas être utilisées par les parties ou par les tribunaux pour comprendre ou interpréter la Licence.

16. Obligation irrévocable.

Cette Licence régit l’installation et l’utilisation du SDK. Vous acceptez que cette Licence soit similaire à tout contrat écrit négocié et signé par Vous. En cliquant pour accepter de Vous engager pendant la lecture d’une version électronique de la présente Licence ou en téléchargeant, copiant, installant ou utilisant toute partie du Kit de développement logiciel, Vous acceptez toutes les dispositions de la présente Licence. Cette Licence Vous est opposable ainsi qu’à toute personne ou entité qui obtient ce Kit de développement logiciel ou pour le compte de laquelle il est utilisé : par exemple, Votre employeur. Si Vous n’acceptez pas les conditions de la présente Licence, n’utilisez aucune partie de ce Kit de développement logiciel. Cette Licence s’applique à toute partie du Kit de développement logiciel, qu’il soit fait ou non référence à un autre logiciel ou qu’un autre logiciel soit ou non décrit dans celui-ci.

17. Conditions supplémentaires.

Vous pouvez disposer d’un contrat écrit distinct avec Adobe qui complète ou remplace la présente Licence, en tout ou en partie. Votre utilisation de certains composants tiers inclus dans le SDK peut être soumise à d’autres dispositions, généralement énoncées dans un contrat de Licence distinct ou un fichier « Lisez-moi » (Read Me) fourni avec ces composants ou dans la section « Third Party Software Notices and/or Additional Terms and Conditions » (Avis concernant les logiciels tiers et/ou Conditions supplémentaires) du site Web suivant : http://www.adobe.com/go/thirdparty_fr. お客様へ：本書はお客様とアドビとの間で締結される使用許諾契約書です。以下に同意を示すことで、

本使用許諾契約書の諸条件に同意するものとします。本契約書は、Adobe Indesign、Indesign Server、お

よび Incopy の各ソフトウェアのソフトウェア開発キット、ならびに関連する説明書（以下、総称して

「SDK」といいます）の使用についてに適用されるもので、アドビがお客様に使用許諾する SDK のアッ

プグレード、修正版、アップデート、追加、およびコピーを含みます。本契約は SDK を入手したお客様

および法人に対して、または場合に応じてお客様の従業員など、使用者に対して強制力があります。本

契約書の条項に同意しない場合は、SDK を使用しないでください。

1. 定義

1.1 「アドビ」とは、本契約の第 11 条が適用される場合は、デラウェア州法人である、345 Park Avenue,

San Jose, California 95110, U.S.A.の Adobe Systems Incorporated（アドビ システムズ社）を意味し、その他

の場合は、アイルランドの法律に準拠して設立された法人であり、アドビ システムズ社の関連会社およ

びライセンシーである 4-6 Riverwalk, Citywest Business Campus, Dublin 24, Ireland の Adobe Systems

Software Ireland Limited を意味します。

1.2 「承認されたコンテンツビューアー」とは、アドビブランドの展開されたコンテンツビューアー、あ

るいはアドビのコンテンツビューアーを展開したお客様の商業ブランド版を意味します。

1.3 「API 開発ソフトウェア」とは、ネイティブと Java 両方による、SDK API（アプリケーションプログ

ラミングインターフェイス）の仕様、ヘッダーファイル、JAR ファイル、SDK プラグイン API（ヘッダー

ファイル内で定義され、プラグインサンプルコードでデモされます）、およびオブジェクトコード形式、

および／またはネイティブと Java の両方でライブラリとして提供される関連情報を意味します。お客様

のアプリケーションソフトウェアとともに無修正のまま配布するために SDK の一部としてアドビがお客

様に提供するもので、上記以外の方法では商品として提供されていません。

1.4 「コンテントファイル」とは、SDK の一部として含まれているサンプルとストック写真、イメージ、

サウンド、クリップアートなどのアートワークを意味します。

1.5 「開発者」、「お客様」、および「お客様の」とは、本契約書の諸条項に基づいて本 SDK を取得また

は使用する個人または団体を意味します。

1.6 「マニュアル」とは、技術仕様、ファイル形式ドキュメント、アプリケーション プログラミング イ

ンターフェイス(API)情報など、本契約に付属する説明書を意味します。

1.7 「発効日」とは、お客様が SDK の一部分をダウンロード、インストール、または他の手段によってア

クセスもしくは使用した日を意味します。

1.8 「ファイル形式」とはアドビの.folio および.indd ファイル形式を意味します。

1.9 「サンプルコード」とは、お客様のアプリケーションソフトウェアに組み込むためにアドビが提供す

るオブジェクトコードおよび／またはソースコード（コンテントファイルを除く）を意味し、第 2 条の

制限の対象となります。

1.10 「SDK」とは、API 情報、サンプルコード、ツール、文書などの関連アイテムを意味します。SDK

アーカイブから抽出されてお客様のコンピュータにコピーされた項目のみが SDK の一部です。本使用許

諾契約書はアドビ製品には適用されません（アドビ製品の使用条件については、エンドユーザー使用許

諾契約書を参照してください）。「アドビ製品」とはアドビのアプリケーションプログラムおよびテク

ノロジーを意味します。たとえば、アドビが開発し、一般ユーザーに使用許諾されている、または使用

許諾される場合があるプラグインなどのことで、その修正版またはアップグレードも含まれます。

1.11 「ツール」とは、お客様のアプリケーションソフトウェアをテストまたはコンパイルするために提

供されるプログラムとユーティリティを意味します。「マニュアル」とは、SDK に付属する説明書を意

味します。

2. 使用許諾および使用許諾の制限

お客様が本契約に従うことを条件として、本第 2 条に定める制限を含め、またそれに制限することなく、

アドビはお客様に対し、アドビの製品およびサービスとのみ連携して機能するよう設計されたアプリ

ケーションソフトウェア（以下「アプリケーションソフトウェア」といいます）の内部開発という目的

のためのみに、SDK 内のアイテムを使用することのできる、非独占的で譲渡不能の無償ライセンスを許

諾します。

(a) 本使用許諾契約書に基づいて、お客様は、お客様のアプリケーションソフトウェアとともに、サンプ

ルコードの一部またはすべてを使用、修正、もしくはそれらを併合し、オブジェクトコードの形式のみ

でお客様の製品の一部としてのみ配布することができます。サンプルコードの修正部分または併合部分

は、本契約書の適用を受けます。お客様がアプリケーションソフトウェアに開発者の著作権を反映する

著作権表示を付す場合を除き、お客様のプログラムにアドビの著作権表示を付す必要があります。お客

様の製品の販売促進のためにアドビの名称、ロゴ、または商標を使用することはできません。本契約書

に基づいて付与された権利または義務は、アドビの事前の書面による同意なしで移転することはできま

せん。アドビの書面による同意なしで行われた移転または譲渡は、無効であり、効力を有しません。サ

ンプルコードは固有のプラグインIDを使ってコンパイルされます。サンプルコードの修正版または併合

版を配布する場合、サンプルコードに含まれるアドビ固有のプラグインIDをお客様固有のプラグインID

に変えることに同意するものとします。アドビから固有のプラグインIDをリクエストする方法

は、http://support.adobe.com/devsup/devsup.nsf/docs/50093.htmを参照してください。

(b) お客様は、上記第 2 条(a)項の許可に従い、アプリケーションソフトウェアの内部開発目的のみにおい

て SDK を使用できるものとします。

(c) お客様の従業員またはコンサルタントは、SDK の限定数のコピーを作成し、本契約書の規定に基づい

てそのコピーを使用できます。ただし、一般的な業務目的においてコピーを作成することはできません。

かかる従業員またはコンサルタントは、本契約書の適用対象となります。

API 開発ソフトウェアは、そのソフトウェア用のアドビの仕様のままで使用し、同じメディアでお客様の

製品とともにのみ配布できます。API 開発ソフトウェアを修正することはできません。

(d) コンテントファイル。コンテントファイルに関連する「ReadMe」ファイル（そのマテリアルに関

して特別な権利および制限が記載されている場合があります）内に別段の定めがない限り、コンテン

トファイルを使用、修正、複製、あるいは配布することはできません。疑義を避けるため、コンテン

トファイルは例としてのみ提供されています。コンテントファイルに対する権利はお客様に付与され

ません。

(e) 使用許諾の制限

(i) World Ready Composer World Ready Composer の SDK に含まれている API は、Adobe InDesign Server

で機能するように設計されたアプリケーションソフトウェアの内部開発に使用することを目的として設

計されています。World Ready Composer の API を使って、Adobe InDesign および／または Adobe InCopy

と機能するように設計されたアプリケーションソフトウェアの内部開発はサポートされていません。

(ii) アドビ製品のローカライズ アドビ製品のローカライズを可能にする機能も含み、お客様のアプリ

ケーションソフトウェアの開発のために、本 SDK を使用することは禁止されています。本使用許諾契約

書では、「ローカライズ」とはインストールされたアドビ製品のデフォルトの言語を変更することを意

味し、これにはアドビ製品のユーザーインターフェイスなどが含まれます。

(iii) お客様が本 SDK を、モバイル機器で表示するためのファイル形式をレンダリング、拡張、もしくは

使用するアプリケーションソフトウェアの開発に使用する場合（ネイティブ InDesign Overlay およびイン

タラクティブな機能を含むが、それに限定されない）、これらの使用は、ファイル形式が承認されたコ

ンテンツビューアーを展開した商業ブランド版と共に配布される場合のみ、許可されるものとします。

モバイル機器での表示を目的としたファイル形式の読み込みまたはコンバートが可能なアプリケーショ

ンソフトウェアの開発や配布を目的として、本 SDK を使用することは許可されていません。ただしこの

制限は、JPG、PNG、EPS、PS、EPUB、HTML、PDF、IDML、XML、FLA、および SWF 等の他のデジタル

ファイル形式には適用されません。かかるコンテンツを表示および配布する目的で、あらゆる手段であ

らゆる機器において、本 SDK を使ってアプリケーションソフトウェアを開発することは可能です。ただ

しこれらの開発および配布が本契約と矛盾しないやり方で、ファイル形式を含まない場合に限られます。

(iv) 修正およびリバースエンジニアリングの禁止 本使用許諾契約書に明示的に定める場合を除き、お客

様は(a)本 SDK のいかなる部分も修正、移植、改変または翻訳すること、(b)その他のアドビソフトウェア

および／またはその一部のコンポーネントの機能および／または外観を修正するプログラムファイルを

追加したり削除したりすること、または(c)本 SDK またはファイル形式の一部をリバースエンジニアリン

グ、逆コンパイル、逆アセンブルすること、またはソースコードの解読を試みることができません。上

記の規定に関わらず、お客様は、本 SDK の使用許諾された部分と他のソフトウェアとの相互運用を可能

とするために必要な情報を入手するため、お客様の管轄区域の法律により逆コンパイルの権利を付与さ

れる範囲内において、本ソフトウェアの逆コンパイルが許可されます。ただし、お客様は、まず、アド

ビに対しかかる情報を要求しなければならず、アドビは、本 SDK のソースコードにおけるアドビおよび

そのサプライヤーの所有権を確実に保護するため、独自の裁量により、お客様に対し、かかる情報を提

供するか、または、適切な料金など、ソースコードの使用に対し合理的な条件を課すことができるもの

とします。

(v) バンドル解除の禁止。本 SDK は、様々なアプリケーション、ユーティリティおよびコンポーネントを

含んでいる場合、複数のプラットフォームおよび言語をサポートする場合、または複数のメディアまた

はコピーによりお客様に提供される場合があります。それにもかかわらず、本 SDK は、本契約で認めら

れているとおり、コンピューター上およびプラットフォーム上で単一の製品として使用されることを目

的としたものであり、単一製品として設計されてお客様に提供されています。お客様は本 SDK のすべて

のコンポーネントパーツを使用する必要はありませんが、本 SDK のコンポーネントパーツを配布、譲渡、

再販、または別のコンピューター上で使用するために、バンドル解除したり再パッケージ化したりする

ことはできません。

(vi) 譲渡の禁止。本使用許諾契約書に明示的に定める場合を除き、お客様は、本 SDK または本 SDK にお

けるお客様の権利のサブライセンス、譲渡、もしくは移転を行わず、本 SDK のいかなる部分についても、

他の個人または企業のコンピューター上にコピーしたり、他の個人または企業のコンピューターからア

クセスすることを承認しないものとします。本契約の第 2 条(e)項(vi)号の規定にかかわらず、お客様は、

お客様のいずれかのコンピューターにインストールされた本 SDK のコピーを、お客様の別のコンピュー

ターに移転させることができるものとします。ただし、その結果として生じる本 SDK のインストールお

よび使用は、本契約書の条件に従うものとし、本契約書に基づき本 SDK を使用するお客様の権利の範囲

を超えないものとします。

(vii) 使用禁止事項。本使用許諾契約書に基づき明示的に承認される場合を除き、お客様は次のことが禁

じられています。(a)会員資格または購読加入に基づく権利など、SDK の他の権利を賃貸、リース、また

は付与すること、および(b)コンピューターサービス業務、第三者の外部委託業者施設またはサービス、

サービス ビューロー施設、ネットワーク、または時間ベースでの共同利用において、SDK の使用を提供

すること。第 2 条(e)項(vii)号を遵守しない場合は、本契約書の違反となり、お客様に許諾されたすべて

の権利が直ちに終了します。

(viii) その他の禁止事項。次のプログラム、ソフトウェア、またはサービスを、SDK を使用して作成、開

発、使用することはできません。(a)システム、データ、個人情報などの損傷、妨害、傍受、盗聴を目的

としたウイルス、トロイの木馬、ワーム、時限爆弾、キャンセルボット、その他のコンピュータープロ

グラミングルーチンが含まれているもの。(b)市販目的に沿って使用した場合に、法律、法令、条例、規

制、または権利（知的財産、コンピュータースパイウェア、個人情報、輸出規制、不当競争、差別禁止、

虚偽の広告を含む）に関する法律、規制、権利などに違反するもの。(c)アドビまたは第三者のプログラ

ムやソフトウェアの動作を妨げるもの。

3. 財産権

SDK に含まれるアイテムは、アドビおよびそのサプライヤーの知的財産であり、米国の著作権法および

特許法、国際条約規定、およびアイテムが使用される国での適用法により保護されています。お客様は、

本使用許諾契約書に基づいて提供される SDK のアイテムすべてにおいて、アドビおよび／またはそのサ

プライヤーの著作権およびその他の所有権を保護することに同意するものとします。理由の如何に関係

なく、お客様が複製した SDK アイテムのコピーすべてに、アドビが提供するマスターアイテムと同じ著

作権表示、および必要に応じて他の所有権表示を付すことにお客様が同意するものとします。アドビお

よび／またはそのサプライヤーは、SDK の元のコピーなどのコピーの形式またはメディアに関係なく、

SDK のアイテム、SDK が記録されたメディア、およびそれらに続いて作成されるコピーの権原および所

有権を有します。上記に記載される場合を除き、本契約書は、お客様に対して、SDK のアイテムに関す

る特許権、著作権、企業秘密、商標、またはその他の権利を付与するものではありません。

4. アドビ開発阻止の禁止

本使用許諾契約書に基づいてお客様が開発する製品と同様の設計および／または機能を採用したテクノ

ロジーと製品を、アドビが現在開発中であるかまたは将来開発する可能性があることを、お客様は了承

するものとします。本契約書のいかなる規定も、アドビのテクノロジーまたは製品を継続して開発、保

守、および／または配布するアドビの権利を阻害、制限、抑制するものではありません。アドビ製品の

製造、使用、輸入、使用許諾、販売提供、または販売に関して、SDK または修正から発生するもしくは

関連してお客様が所有する特許を、アドビ、その子会社や関連会社、またはその顧客、直接または間接

の代理店および請負業者（以下、総称して「アドビ製品ユーザー」といいます）に対して、いかなる方

法においても主張しないことに同意するものとします。

5. 機密情報

API 開発ソフトウェアに関し、お客様は、妥当な注意の下にお客様自身の機密情報を保護する場合と同様

の注意を払って、API 開発ソフトウェアを取り扱うことに同意するものとします。本条項に基づく API 開

発ソフトウェアに関するお客様の義務は、次の事実を書面にて提示できる場合に終了します。(a)アドビ

がお客様に通知した時点またはそれ以降にお客様の違反によらずに公知となった場合、(b)アドビがお客

様に伝えた情報とは関係なく、またはそれを参考にすることなく、お客様の社員または代理店が開発し

た場合、(c)通知が、裁判所その他の政府機関の有効な命令に応じたもの、法律の定めるところによるも

の、または本使用許諾契約書に基づくいずれかの当事者の権利を確定するうえでの必要性に応じたもの

である場合。

6. オープンソースソフトウェア

本使用許諾契約書の他の規定に関わらず、派生品を作成する目的でまたは無償で、本SDKをオープンソー

スソフトウェアに組み込むこと、オープンソースソフトウェアとともに使用すること、またはソース

コード形式によるSDKのすべてまたは一部の開示、配布、もしくは使用許諾を必要とする行動を取ること

は許諾されていません（さらに、組み込み、使用、または行動を取らないことに同意するものとしま

す）。本第 6 条の目的において、「オープンソースソフトウェア」とは、派生品を作成する目的でまた

は無償で、ソースコードの形式でソフトウェアの使用、修正、または配布、もしくはその他のソフト

ウェアの使用許諾を必要・条件とする、GNU一般公衆使用許諾書、GNU劣等一般公衆使用許諾書、また

はその他の使用許諾条項に基づいて許諾されたソフトウェアを意味します。前述の条項に違反した場合、

本契約に基づいて付与されたSDKに対するお客様の使用許諾およびその他の権利は即座に終了します。

7. 期間および終了

本使用許諾契約書は発効日に開始し、お客様が一部の条項にでも違反した場合、通知を行うことなく直

ちに終了します。第 1 条、第 2 条(e)項、第 3 条、第 4 条、第 5 条、第 7 条、第 8 条、第 9 条、第 10 条、

第 11 条、第 12 条、第 13 条、第 14 条、第 16 条、および第 17 条は、本契約書の終了後も存続します。

本契約書の終了時に、お客様は SDK の使用とアプリケーションソフトウェアの配布をすべて中止し、ア

ドビの要請により、SDK をその複製物と共に速やかにアドビに返却するか廃棄する（破棄する場合は廃

棄確認書を添える）必要があります。

8. 保証の排除

アドビは、SDK を開発者に「現状有姿」の状態で使用許諾しています。アドビは、特定の目的での製品

の開発において、または特定の結果を創出にあたっての妥当性に関して、SDK のアイテムがお客様によ

り使用されるかどうかに関わらず、その妥当性に関して一切の表明をしません。アドビおよびそのサプ

ライヤーは、本使用許諾契約書、または SDK の一部を含むアプリケーションソフトウェアの配布もしく

は使用から起こる紛失または損害に関して、一切の責任を負いません。アドビおよびそのサプライヤー

は、SDK のアイテムまたは SDK に関連するあらゆるサービスに関して、明示または黙示に関わらず、商

品性の黙示条件または保証および特定目的への適合性、もしくは第三者の権利の不侵害などの保証を排

除します。この保証の放棄は、法域によっては無効となる場合があります。上記の保証に加えて、放棄

または排除することのできない、法律上の保証を受ける権利が認められる場合もあります。アドビは、

お客様が保証を受ける権利を、法律により認められる制限範囲以上に制限しようとするものではありま

せん。

一部の州や法域では付随的損害、派生的損害、または特別損害に対する責任の排除や制限、黙示的保証

の排除、もしくは黙示的保証の有効期間の限定を認めていないため、上記の制限がお客様に適用されな

い場合があります。お客様は地域または法域によって異なる権利を有する場合があります。前述の規定

は、お客様の制定法上の権利に影響したり、権利を害するものではありません。黙示保証で容認される

期間は 90 日です。詳細については、アドビのカスタマーサポート部門までお問い合わせください。

アドビは、開発者、エンドユーザー、または第三者に対し、本使用許諾契約書に基づいて、アップグ

レードまたは本 SDK の後継バージョン、もしくはその一部などの、いかなるサポートを提供する義務も

負いません。アドビは、本第 8 条に定める義務、保証、ならびに責任を、排除し、除外し、および／ま

たは制限する目的において、アドビのサプライヤーを代表しますが、その他の事項および目的に関して

は代表していません。

9. 責任の制限

本使用許諾契約書の他の規定に関わらず、本使用許諾契約書に基づく、お客様に対するアドビの責任は、

お客様が SDK に支払われた料金を上限とします。

アドビまたはそのサプライヤーは、本使用許諾契約書のいかなる条項または SDK のアイテムの使用・不

使用から生じる利益の喪失、貯蓄の喪失、データの紛失、あらゆる種類・性質の費用、料金、または経

費などの損害を含め、派生的、付随的、もしくは特別損害に対して一切責任を負いません。たとえ、ア

ドビの代表者がかかる損害の可能性について知らされていた場合であっても、いかなる当事者からの請

求であっても同様です。法域によっては、派生的、付随的、または特別損害の排除もしくは制限を認め

ていないため、上記の排除または制限がお客様に適用されないことがあります。本契約書のいかなる規

定が、消費者として取引する関係者の制定法上の権利を損なうものではありません。

10. 補償

お客様は、SDK の一部を含んだ、またはそれに基づいたアプリケーションソフトウェアの使用や配布か

ら生じたり、その結果として生じたあらゆる責任、損失、行為、損害、請求、または訴訟（製品の損害

賠償責任、保証、知的財産などに関する請求、妥当な費用、経費、弁護士費用を含む）について、アド

ビとそのサプライヤーを補償および弁護し、損害を与えないようにすることに同意するものとします。

ただし、アドビはその請求に関して速やかにお客様に書面により通知し、お客様の費用負担において、

お客様の弁護、またはかかる請求の解決においてお客様に協力するものとします。

11. 準拠法

11.1 北米 お客様が北米の居住者である（雇用主に代わって承諾する場合は、本社がこれらの国に所在

する）場合、本ライセンスとその解釈はカリフォルニア州の法律に準拠し、抵触法の原則の適用を排除

します。お客様は、カリフォルニア州サンタクララ郡の専属管轄権および裁判地について、決定的に承

諾するものとします。

11.2 ドイツ、フランス、英国、日本、イタリア、およびスペイン お客様がドイツ、フランス、英国、

日本、イタリア、あるいはスペインの居住者である（雇用主に代わって承諾する場合は、本社がこれら

の国に所在する）場合、本契約とその解釈はお客様が居住する、または雇用主の本社が所在する国の法

律に準拠し、抵触法の原則の適用を排除します。データ保護およびデータプライバシーに関連するすべ

ての申し立ては、アイルランドの法律に従うものとし、強制法の適用を除外しないものとします。お客

様は、それぞれフランクフルト、パリ、ロンドン、東京、ローマ、およびマドリッドの専属管轄権およ

び裁判地について、決定的に承諾するものとします。

11.3 アジア太平洋地域 お客様が、ミャンマー以外の ASEAN（東南アジア諸国連合）の加盟国、中華人

民共和国、香港 S.A.R.、マカオ S.A.R.、台湾 R.O.C.、あるいは大韓民国、バングラデシュ、またはネパー

ルの居住者である（雇用主に代わって承諾する場合は、本社がこれらの国に所在する）場合、本ライセ

ンス（本項に含まれる仲裁契約も含む）とその解釈はシンガポールの法律に準拠し、抵触法の原則の適

用を排除します。データ保護およびデータプライバシーに関連するすべての申し立ては、アイルランド

の法律に従うものとし、強制法の適用を除外しないものとします。本ライセンスの存在、有効性、また

は解約に関する疑義を含む、本契約に起因または関連するあらゆる紛争は、シンガポールにおいて仲裁

により係争され、最終的に解決されるものとします。なお同仲裁は、仲裁の期間において効力を有して

いるシンガポール国際仲裁センター（「SIAC」）の仲裁規則に従って行われるものとし、かつ当該規則

はこの引用により本条の一部に組み込まれるものとします。両当事者が共同で 1 名の仲裁者を選定する

ものとします。仲裁の付託を求める当事者側の書面による要求から 30 日以内に仲裁者を選定できない場

合は、SIAC の委員長が選定を行うものとします。仲裁の言語は英語とします。

11.4 オーストラリア、ニュージーランド、インド、スリランカ、およびミャンマー お客様がオースト

ラリア、ニュージーランド、インド、スリランカ、またはミャンマーの居住者である（雇用主に代わっ

て承諾する場合は、本社がこれらの国に所在する）場合、本ライセンスとその解釈はイングランドおよ

びウェールズの法律に準拠し、抵触法の原則の適用を排除します。データ保護およびデータプライバ

シーに関連するすべての申し立ては、アイルランドの法律に従うものとし、強制法の適用を除外しない

ものとします。お客様は、英国ロンドンの非専属管轄権および裁判地について、決定的に承諾するもの

とします。

11.5 世界のその他の地域 お客様が上記第 11 条 1 項から第 11 条 4 項に記載されているいずれの国また

は地域の居住者でもない場合、本ライセンスとその解釈はアイルランドの法律に準拠し、抵触法の原則

の適用を排除します。お客様は、アイルランドダブリンの非専属管轄権および裁判地について、決定的

に承諾するものとします。

11.6 本ライセンスのいかなる条項にもかかわらず、お客様またはアドビは、法定訴訟または仲裁手続き

を開始する前、またはその手続きの処理中に、暫定措置または保全措置（差し止めによる救済、特定履

行などの衡平法上の救済など）を命令することを司法当局、行政官庁などの機関に要求することにより、

該当当事者の権利と利害関係を保護したり、保全処分に適する特定条件を執行したりすることができま

す。本ライセンスは、法域で制定された(x)いかなる法域の法の抵触に関する規則、(y)国際物品売買契約

に関する国連条約、および(z)統一コンピューター情報取引法の適用を受けず、これらの適用は明示的に

排除されます。

12. 輸出規制

本 SDK には米国の輸出管理規則および輸出に関するその他の法規と制限（以下、総称して｢輸出法｣とい

います）が適用され、お客様はそれを遵守する必要があります。本 SDK は、直接的または間接的を問わ

ず、以下の国に輸送、移転、輸出、または再輸出することはできません。(a)米国の輸出規制を受ける国

（現時点ではキューバ、イラン、北朝鮮、スーダン、シリア）（以下、それぞれを「輸出禁止国」とい

います）、(b)核兵器、化学兵器、生物兵器、ロケットシステム、宇宙船打ち上げ、気象観測ロケット、

無人機システムなどの設計、開発、製造に使用する（以下、それぞれを「禁止される使用」といいま

す）と知られているエンドユーザー、(c)米国政府の連邦機関によって米国輸出取引への参加が禁じられ

ているエンドユーザー（以下、それぞれを「禁止される当事者」といいます）。さらにお客様には、本

SDK を輸入、輸出、使用する権利に影響する管轄区域の現地法にも従う義務があります。お客様には、

(i)輸出禁止国の国民ではなく、かつ、それらの国に居住していないこと、(ii)本ソフトウェアの受領を禁

止される使用に使わないこと、および(iii)お客様が禁止される当事者ではないことを表明および保証して

いただきます。本 SDK を使用する一切の権利は、本契約書の第 12 条に違反すると失われます。違反が

発生したことをアドビが知った場合、アドビは SDK のメンテナンスとサポートの提供を禁じられること

があります。

13. 権利放棄

本使用許諾契約書のいかなる条項も、アドビ側、その代理人または従業員の行為または同意によって、

権利放棄されたとみなされるものではありません。アドビの署名権者による署名入りの書面によっての

み権利放棄とみなされます。

14. 合衆国政府がエンドユーザーである場合

14.1 米国政府へのアドビテクノロジーのライセンス許諾 お客様は、合衆国政府またはその受注契約者

による取得のためにアドビソフトウェアのライセンスを付与する場合、CFR 第 48 編第 12.212 条（民間

機関の場合）、ならびに CFR 第 48 編第 227-7202-1 条および第 227-7202-4 条（国防総省の場合）の規定

に従ってライセンスを付与することに同意するものとします。アドビは、エンドユーザーである合衆国

政府のため、すべての機会均等法（執行命令 11246 の規定、1974 年 Vietnam Era Veterans Readjustment

Assistance Act （38 USC 4212） 402 条および 1973 年 Rehabilitation Act 503 条、ならびに 41 CFR Parts 60-1

から 60-60、60-250、および 60-741 の規制を含む）を遵守することに同意します。積極的是正措置の条

項および前述の法令に定められた規制は、本契約の一部を構成するものとします。

14.2 商用品目 合衆国政府がエンドユーザーの場合、本ソフトウェアは、該当する場合、連邦規則集第

48 編第 12.212 条または第 48 編第 227.7202 条において使用されている「商用コンピューターソフトウェ

ア」および「商用コンピューターソフトウェア文書」により構成される連邦規則集第 48 編第 2.101 条に

定義された「商用品目」です。C.F.R.第 48 編セクション 12.212 または C.F.R.第 48 編セクション 227.7202

1 から 227.7202 4 に従って、商用コンピューターソフトウェアおよび商用コンピューターソフトウェア

文書は、(a)商用品目としてのみ、かつ、(b)本契約に基づき他のすべてのエンドユーザーに付与されるも

のと同様の権利のみを付して、米国政府エンドユーザーにライセンスが付与されます。未公開著作物に

関する権利は、米国著作権法により留保されます。

15. 統合

本使用許諾契約書と SDK に含まれるその他の契約の間に矛盾がある場合、本使用許諾契約書が優先され

るものとします。アドビまたは開発者が、本契約書から発生する権利または本契約に関する権利を執行

するために弁護士を使った場合、勝訴側が合理的な弁護料を回収できるものとします。お客様は、本契

約書をお読みになり理解されたこと、および SDK のお客様への使用許諾に関し、本契約書がアドビとお

客様との合意を示す完全かつ唯一の声明であり、口頭または書面に関わらずこれまでのいかなる契約よ

りも優先されることを了承されるものとします。本契約書の諸条項に変更を加えたものは、アドビ役員

の署名入りの書面による明確な同意がない限り、一切アドビに対して法的強制力がありません。本契約

書に関して紛争が発生した場合は、本契約書の英語版が使用されるものとします。本契約書の翻訳はす

べて便宜上のものであり、本契約書を解釈する際に、当事者によりまたは裁判所で使用されるものでは

ありません。

16. 拘束力のある契約

本契約は SDK のインストールと使用に適用されます。本契約は、お客様自らが書面をもって合意し署名

した契約と同様のものであり、お客様は、その旨に同意するものとします。お客様は、本契約の電子版

を確認中に本契約により拘束されることに同意するボタンをクリックすることにより、または本 SDK の

いかなる部分をダウンロード、コピー、インストールまたは使用することにより、本契約の諸条件に同

意したものとします。本契約は SDK を入手したお客様、個人または法人に対して、またはお客様の従業

員など、使用者に対して強制力があります。本契約書の条項に同意しない場合は、本 SDK のいかなる部

分も使用しないでください。本契約は、他のソフトウェアが本契約において言及または記載されている

か否かに関わらず、SDK のいかなる部分にも適用されるものとします。

17. 追加条件

お客様は、本契約の全部または一部の追加契約、またはこれに取って代わる契約書を別途アドビと締結

できます。SDKに含まれている第三者のマテリアルの使用は、別の使用許諾契約書、そのマテリアルに近

接する「ReadMe」ファイルまたはhttp://www.adobe.com/go/thirdparty_jpでご覧いただける「第三者ソフ

トウェア通知および／または追加条件」に記載された他の条件に従っていただく場合があります。かか

る他の追加条件により、お客様はお客様のエンドユーザーに通知を渡すことが求められる場合がありま

す。かかる追加条件が本契約書の条件と矛盾する場合は、その追加条件が本契約書の全部または一部に

優先します。
