Alstublieft, dit is het Activity Report 2010 van CMS Derks Star Busmann. Het geeft u een indruk van de ontwikkelingen binnen de markten en branches waarin wij actief zijn en van de uitdagingen waarmee wij en onze cliënten het afgelopen jaar te maken kregen. Daarnaast biedt het u een nadere kennis making met de juristen van CMS en inzicht in de service die wij onze relaties bieden.

In 2010 vertoonde de economie de eerste tekenen van herstel. Wij zagen dat terug in groei van onze activiteiten op het gebied van Banking & Finance, Corporate en Real Estate. Inzet van juristen uit diverse disciplines – advocatuur, notariaat en belastingadvies – bleek daarbij wederom een grote toegevoegde waarde voor onze cliënten. Daarom hebben wij onze interne structuur rond deze drie disciplines geoptimaliseerd en onze praktijkgroep belastingadvies uitgebreid. Ook de sectorspecialismen van ons kantoor groeiden, onder andere met een krachtige ontwikkeling van onze activiteiten op het gebied van Energie.

Onze betrokkenheid bij in het oog lopende zaken bleef in de markt niet onopgemerkt. Zo behaalden wij uitstekende scores in Mergers & Acquisitions (M&A) reviews, zowel in Europa als in Nederland. Ook mochten wij verschillende nieuwe internationale opdrachtgevers van naam verwelkomen, die wij als CMS in meerdere landen of in heel Europa van integraal advies voorzien.

Om aan de marktverwachtingen te blijven voldoen, hebben wij in 2010 nieuwe impulsen willen geven aan de dienstverlening voor onze cliënten, onder andere door samen met hen te werken aan initiatieven ter verbetering van onze advisering en door uitbreiding van onze client services. Maar ook door extra aandacht voor kennisontwikkeling door intensieve ontwikkelingsprogramma’s voor onze partners en professionals. Ook werd het besluit genomen om in 2011 de vestiging Arnhem te integreren in onze vestigingen in Utrecht en Amsterdam. Door deze krachtenbundeling kunnen wij nog slagvaardiger opereren.

Tot slot ben ik blij te kunnen melden dat wij onze samenwerking met De Nederlandse Opera (DNO) voortzetten en als Europees partner de ontwikkeling van de mooie podiumkunst van DNO steunen, zowel in Nederland als internationaal. Daarnaast zijn wij partnerschappen aangegaan met Advocates 4 International Development (A4ID) en Lawyers 4 Lawyers, omdat wij de kennis van onze mensen niet alleen willen inzetten voor bedrijfsdoeleinden maar ook voor de maatschappij waar wij allen deel van uitmaken.

CMS Derks Star Busmann is pleased to present its Activity Report for 2010. It will give you an idea of trends within the markets and sectors in which we operate and of the challenges that we and our clients faced last year. It will also introduce our lawyers and give you some information about the services that we offer.

In 2010, the economy showed the first signs of recovery, which was apparent in the growth of our activities in the fields of Banking & Finance, Corporate and Real Estate. Our legal staff – from various disciplines: lawyers, civil law notaries and tax advisers – were again able to provide great added value for our clients. We therefore optimised our internal structure for these three disciplines and expanded our tax advice practice group. The firm’s sector specialisations also expanded with the strong development of our activities, for example, in the field of Energy.

Our commitment in highprofile cases did not go unnoticed on the market: we achieved excellent scores in Mergers and Acquisitions (M&A) reviews, both in Europe and in the Netherlands. We also welcomed a number of new leading international clients, for whom CMS will provide a full range of advisory services in different countries throughout Europe.

In order to continue living up to our reputation on the market, we made every effort in 2010 to boost the services we provide to our clients, such as by working with them on initiatives to improve our advice and by expanding our client services. We also devoted extra attention to knowledge acquisition and expansion through intensive development programmes for our partners and professionals. We have decided to integrate our Arnhem branch into our Utrecht and Amsterdam branches in 2011. Combining forces in this way will make our services even more effective.

Finally, I am happy to announce that we will be continuing our support for De Nederlandse Opera (DNO). As a European partner, we will support DNO’s contributions to the performing arts, both at home and abroad. We have also entered into partnerships with Advocates for International Development (A4ID) and Lawyers 4 Lawyers because we wish to utilise the expertise of our people not just for our firm but also for our society as a whole.

In 2010, CMS placed sixth in the Global Arbitration Review’s annual rankings of the world’s hundred best arbitration firms. Each year, CMS publishes its Guide to Arbitration, a 1,000page handbook detailing the national arbitration legislation for 30 jurisdictions in Europe, China, the Middle East and South America.


SpainCMS Albiñana & Suárez de Lezo is assisting with the purchase of the Tuenti social network by Telefónica, Spain’s largest telecom provider. The transaction is worth EUR 70 million.

Belgium/LuxembourgIn 2011, the Belgian fi rm of CMS DeBacker has opened a new offi ce in Luxembourg in collaboration with the fi rm of Leclère & Walry. For the second year in a row, CMS DeBacker received the Belgian central bank’s ‘Trends Gazelle’ award as one of the country’s fastestgrowing companies.

SwitzerlandCMS von Erlach Henrici is assisting the Swiss competition authorities in their investigation of possible irregularities within the pharmaceuticals industry. The fi rm also advised Flachglas Wernberg AG in the acquisition of Pilkington (Schweiz) AG, Pilkington Glas Wikon AG, Pilkington Glas Thun AG and Pilkington Glas Münchenbuchsee AG.

ChinaCMS Derks Star Busmann is strong in Europe but it also looks beyond to the rest of the world. Based in the CMS offi ce in Shanghai, Jurjen Groot is CMS Derks Star Busmann’s ‘man in China’, looking after our clients’ interests in Asia.

France This year, at President Nicolas Sarkozy’s behest, the head of the French Court of Audit, Didier Migaud, appointed a work group comprising leading economists, tax experts and lawyers, requesting it to produce proposals for achieving better coordination between the French and German tax systems. Tax experts from CMS Bureau Francis Lefebvre are among the members of the work group.

Russia Experts from CMS’s branches in Austria, Germany, Russia and Switzerland advised Ilim Timber, Russia’s largest producer of sawn and processed timber, on the purchase of two modern sawmills from the Klausner Group. The transaction involved the transfer of ownership of three companies. The acquisition will increase Ilim’s production capacity signifi cantly, thus opening up new sales markets in Europe, North America, Asia and Australia.

SerbiaCMS ReichRohrwig Hainz (Austria and Serbia) advises the Serbian government on the legislation regarding publicprivate partnerships and permits.

AustriaCMS’s lawyers are helping Apeiron, an Austrian biotechnology company, with a deal with GlaxoSmithKline worth EUR 236 million.


GermanyCMS Hasche Sigle has won the JUVE Awards 2010 in the categories ‘Law Firm of the Year for Real Estate Law’ and `Law Firm of the Year for Distribution Systems’.

United KingdomIn a special report released in July – The Future of Fees – CMS Cameron McKenna shared the experiences of their pricing team and examined how to scope what matters to their clients. This innovative report got a lot of attention from the media and was the most downloaded report (read by over 1,000 people) on Legal Week Law the week the story broke. According to Jordan Furlong (a partner with Edge International, providing consulting services to law fi rms on strategic planning and tactical matters) the Future of Fees is ‘a masterpiece of marketing, because it converts the ethereal notion of alternative pricing into innovative, even radical, realworld examples.’ CMS Cameron McKenna won a Managing Partners Forum Award in the category of Client Service for their innovative pricing strategy and bringing a client service culture to the heart of the fi rm.

Central and Eastern EuropeCMS Cameron McKenna has advised Bainbridge on one of the biggest retail fi nancings in CEE in 2010. The CEE Real Estate and Banking teams advised Bainbridge Capital Retail Properties in the EUR 181 million refi nancing of a shopping centre portfolio of 13 properties across the Czech Republic, Poland and Slovakia.

Veranderend toezicht; nieuw elan

De komst van advocaat Harold Tuinstra per 1 oktober gaf de expertisegroep Financial Services een nieuwe impuls. Harold is gespecialiseerd in wet en regelgeving op het gebied van toezicht financiële markten en heeft ruime internationale ervaring binnen de financiële sector. Bij CMS Derks Star Busmann concentreert hij zich op advisering van (financiële) ondernemingen op het gebied van financiële producten, financiële dienstverlening en compliance.

Changes in regulation; new vibrancy

The arrival of the lawyer Harold Tuinstra on 1. October has reinvigorated our Financial Services expertise group. Harold is a specialist in legislation and rules that govern the financial markets, and he has extensive international experience within the financial sector. At CMS Derks Star Busmann, he will focus on advising financial institutions and other enterprises on financial products, financial services and compliance.

Herfinancieringen, herstructureringen en insolventierecht

In het huidige economisch bestel is bijstand op het terrein van herstructurering en herfinanciering voor veel cliënten belangrijk om een gezonde financiële basis voor de toekomst veilig te stellen. Onze juristen stonden in 2010 een groot aantal ondernemingen en financiële instellingen op dit terrein bij (onder meer ook in onderhandelingen met curatoren) en maakten daarbij ook gebruik van de expertise die zij verkregen door het optreden als curator. Zo leverde CMS Derks Star Busmann onder meer één van de twee curatoren van DSB Beheer B.V. en is een heel team van juristen nog steeds betrokken bij de afwikkeling van dit omvangrijke faillissement.

Refinancing, restructuring and insolvency law

In the current economic climate, many clients require assistance with restructuring and refinancing so as to ensure a healthy financial foundation for the future. In 2010, our lawyers assisted a large number of enterprises and financial institutions in this field – including during negotiations with liquidators – and in doing so they also utilised the expertise they had gained by acting as liquidators themselves. CMS provided one of the two liquidators for DSB Beheer B.V., for example, and a whole team of lawyers is still engaged in arranging this largescale involuntary liquidation.

Nieuwe wet en regelgeving

De financiële crisis heeft geleid tot grote veranderingen in het toezicht op banken en andere belangrijke spelers op de financiële markten, zoals verzekeraars en pensioenfondsen. Nieuwe toezichtregels, maar ook strengere invulling van bestaande regels leiden tot nieuwe eisen en verplichtingen. Ook het insolventierecht wordt steeds complexer. Goed advies is daarom essentieel. Onze juristen volgden ook in 2010 weer alle ontwikkelingen op de voet om cliënten optimaal te kunnen bijstaan in het omgaan met de soms onoverzichtelijke regelgeving.

New legislation and regulations

The financial crisis has led to major changes in the regulation of banks and other major players on the financial markets, such as insurance companies and pension funds. New supervision rules and stricter application of the existing rules mean new requirements and obligations. Insolvency law is also becoming increasingly complex. Good advice is therefore essential. In 2010, our legal experts continued to closely monitor all the various developments in order to assist clients effectively in dealing with the sometimes confusing regulations.


Publiekprivate samenwerking

De fi nanciële crisis heeft ertoe bijgedragen dat de Nederlandse overheid hernieuwde interesse heeft voor PPS-projecten en zij heeft daarom de aanbesteding van een groot aantal voor PPS geschikt geachte openbare werken vervroegd. Dit is goed nieuws voor veel partijen in de infrastructuur-, bouw- en energie-sector evenals fi nanciële instellin-gen en fi nancial sponsors die de fi nanciering van PPS-projecten voor hun rekening nemen.

CMS weet als geen ander wat er bij deze PPSstructuren komt kijken. Dit jaar gaf CMS voor de derde keer de gids ‘PPP in Europe’ uit: een overzicht van de actuele benadering van PPS in 21 Europese landen, met relevante informatie over de macroeconomische context, het juridische systeem en voor PPS specifi ek van belang zijnde wetgeving, zoals wetten op het gebied van aanbestedingen. Ook de fi nanciële markten komen daarbij aan bod.

Publicprivate partnerships

The fi nancial crisis has contributed to renewed interest in public-private partnerships (PPP) projects on the part of the Dutch government, which has therefore accelerated the tendering process for a large number of public works projects that it considers suitable for a PPP approach. This is good news for many in the infrastructure, construction and energy industries, as well as for fi nancial institutions and fi nancial sponsors that fi nance PPP projects.

CMS’s expertise in PPP structures is second to none. This year, CMS published its third annual guide ‘PPP in Europe’, a survey of the current approaches to PPP in 21 European countries. The guide gives relevant information about the macroeconomic context, the legal system and legislation that affects PPP, such as that regarding tenders. It also deals with local fi nancial markets in the various countries.

In the introduction to our April 2009 report we identified that, despite the potential for a large number of deals in the pipeline, the liquidity shortage in the market meant that deals were competing across Europe for funding. Since then additional pressure has been exerted on the pipeline for PPP deals by the requirement for governments to curb spending in order to reduce budget deficits and borrowing. This has resulted in delays to a number of high profile projects and a requirement to restructure a number of projects that have reached close. Throughout this time period the changing financial climate has created a number of challenges for deals in procurement and required some examination of the institutional, financial and legal infrastructure for carrying out deals.

Despite the current political and financial difficulties, PPP remains an attractive source of finance for the public sector. Significant infrastructure investments are still required across Europe and other sources of funding are being curtailed. The European Commission has also recognised the value of PPP projects in the provision of infrastructure and published a communication on PPPs in November 2009. Well-structured PPP projects continue to provide an attractive investment and can be used by the public sector to stimulate the economy. Given the scale of investment requirements, we remain optimistic about the future of PPP in Europe. It remains the case however that deals will need to be realistic about what the market can offer and it will be those jurisdictions with the right institutional, financial and legal infrastructure that will fare best.

Whilst a document of this nature should not seek to be comprehensive, this report provides an overview of the issues that may affect a PPP project in each country, some background to the law and practice governing PPP projects and examples of the key legal and funding issues that may arise. We hope that you find it of interest.

We published our last report on PPP in Central and Eastern Europe in April 2009. Given the positive response to the issues and topics discussed in that document and its predecessor, we have expanded the scope of the current edition to cover all of the jurisdictions in which CMS operates in Europe. This recognises the increasingly important role that PPP has to play in the development of infrastructure both in markets with a history of PPP projects and those introducing them for the first time.

CMS Banking Dinners groot succes Het Rosarium in Amsterdam was in 2010 tweemaal het elegante decor voor een nieuw initiatief van CMS Derks Star Busmann in het teken van kennisdeling: het CMS Banking Dinner. Een select gezelschap van circa 25 directieleden en managers uit het bankwezen namen in een informele setting de laatste ontwikkelingen in de fi nanciële wereld door.

Onderwerpen waarover werd gediscussieerd waren de ‘Code Banken’ met als gastspreker Willem Mijs, directeur Nederlandse Vereniging van Banken, en ‘Banken als maatschappelijke ondernemingen en de herwaardering van verantwoordelijkheden in de fi nanciële wereld’, met een bijdrage door Arjo Klamer, hoogleraar Culturele Economie aan de Erasmus Universiteit Rotterdam.

CMS Banking Dinners a tremendous success In the course of the year, the Rosarium in Amsterdam was the elegant venue on two occasions for a new knowledgesharing initiative by CMS Derks Star Busmann, the CMS Banking Dinner. A select group of about 25 board members and managers from the banking sector discussed the latest developments in the fi nancial world in an informal setting.

Whether we are talking about grey or green, CMS is at home in the energy market. We provide integrated expertise in matters regarding energy law and are involved in structuring transactions (including the tax aspects). We also advise clients in the context of project financing. In 2010, for example, we assisted with the sale of PetroCanada Netherlands, a company operating in oil and gas drilling in the North Sea. The transaction involved a sum of EUR 445 million. We were also involved in the transaction whereby Ampere Equity Fund acquired a stake in the Walney offshore wind farm (367MW) in the Irish Sea. We also joined the legal panel of E.ON Benelux and DONG Netherlands. E.ON views the generation of offshore wind energy and the sequestration of carbon dioxide as its core business. This links up closely with our wideranging expertise in the legislation and regulations concerning sustainable energy. One example of this is the comparative study that CMS has published on sustainable energy legislation in all of the EU’s member states. Our lawyers are often invited to speak at such events as the National Energy Forum 2010 and the annual conference on wind energy.

This year, CMS continued offering its advisory services to various national and international enterprises, financial institutions and private equity funds that handle a multitude of transactions. Among other distinctions, this earned us the number-one spot for number of transactions in Europe in Bloomberg’s M&A Legal Advisory Ranking. CMS M&A Study 2010 toont stabilisatie in aantrekkende marktDe jaarlijkse CMS M&A Study, in 2010 bestaande uit een uitvoerige analyse van ruim 750 fusies en overname transacties begeleid door CMS, laat zien dat er tekenen zijn van terugkerende stabiliteit op de Europese M&Amarkt. Na een verschuiving naar een kopersmarkt in 2007 en 2008, lijkt een terugkeer ingezet naar een meer evenwichtige markt voor kopers en verkopers. De risico’s in een transactie worden wat beter verdeeld tussen koper en verkoper met als gevolg minder koopprijsaanpassingen en MACclausules en kortere concurrentiebedingen. Tegelijkertijd wordt over andere zaken juist scherper onderhandeld.

After a shift to a buyer’s market in 2007 and 2008, a return to a more balanced market for buyers and sellers is underway. Transactionrelated risks are being more evenly allocated between buyers and sellers, resulting in fewer purchase price changes, material adverse clauses (MACs) and shorterterm noncompetition clauses. At the same time, negotiations on other matters have intensifi ed.

Als gevolg van de toenemende bedrijfs consolidatie in Europa kunnen bestuurders van multinationals te maken krijgen met de situatie dat zij directeur worden van bedrijven in verschillende landen. De regelgeving voor bestuurders is per land echter zeer verschillend. CMS publiceerde in 2010 daarom wederom de gids ‘Duties & Responsibilities of Directors’ met daarin een overzicht van de verplichtingen en aansprakelijkheid van bestuurders in 21 Europese landen en antwoorden op de meest prangende vragen van bestuurders met buitenlandse verantwoordelijkheden.

Crossborder executives

As a result of the increasing consolidation of businesses in Europe, executives at some multinationals may be appointed as directors of companies that have offi ces in more than one country. This situation is complicated by the fact that the rules applying to directors differ greatly from one country to another. In 2010, CMS published a new version of its guide ‘Duties and Responsibilities of Directors’ which covers 21 European countries and answers the most pressing questions directors ask when they have duties abroad.

Daarnaast vraagt de economie momenteel om flexibiliteit als het gaat om de inzet van personeel. Dat kan tijdelijk zijn maar soms ook uitmonden in complexe reorganisaties met al dan niet gedwongen ontslagen. Diverse cliënten kregen daar in 2010 mee te maken en vroegen ons om advies. Maar ook zaken als de beloningen van bestuurders, veranderende verantwoordelijkheden en de lastige pensioenmarkt, zijn onderwerpen die ons en onze cliënten bezighielden en ook in de toekomst aandacht zullen vragen.

At a time when more and more companies are finding themselves in troubled waters, keeping a careful eye on arrangements with customers and suppliers can only be beneficial. More than ever, contracts and statutory law are playing important roles in national and international commerce. Last year, CMS Derks Star Busmann aided numerous clients in restricting their trade and liability risks in order to avoid any unpleasant surprises. The economy also currently demands flexibility in deploying personnel. This may be temporary, but it may also lead to complex reorganisations that sometimes involve involuntary redundancies. A number of our clients had to deal with such matters in 2010 and called us in to advise. Such issues as executive remuneration, changes in responsibilities and the problematic pensions market all posed problems for our clients; all of these issues will continue to be relevant in the future.

The construction industry has been one of those hardest hit by the economic downturn. This tense market has only emphasised the importance of good tax and legal advice for commercial real estate transactions. In 2010, CMS was able to display its specialised expertise by assisting with a number of large-scale trans-actions. Government agencies also call on that expertise regarding real estate and area-specific development. CMS Derks Star Busmann again achieved position in the top five in the Netherlands in PropertyNL’s annual top 20 real estate law firms.

Real Estate game

In oktober organiseerden wij voor de tweede maal de CMS Corporate Real Estate game. Grote commerciële makelaarsorganisaties hadden – na een strenge interne selectie – hun beste jonge makelaars aangemeld om mee te doen aan deze realistische business game. In twee uur tijd kregen zij een viertal aan de praktijk ontleende vastgoedbiedingen voor hun kiezen. Hierin was een twintigtal juridische en fiscale valkuilen opgenomen. Het makelaarsteam dat het best in staat was om de juridische en fiscale problemen te onderkennen en te waarderen werd tot winnaar gekroond. Alle aanwezigen hebben met volle overgave meegedaan en wij kregen zoveel positieve reacties dat we besloten hebben om dit volgend jaar opnieuw te organiseren en ook inhouse bij cliënten te verzorgen.

Real Estate game

In October, we organised the first CMS Corporate Real Estate game. After stringent internal selection, a number of large commercial real estate organisations signed up their mostpromising young professionals to participate in this realistic business game. Over the course of two hours, they were presented with four real estate bids taken from actual practice and involving about 20 tax and legal pitfalls. The team that was best able to identify and assess those problems was judged to be the winner. All those participating worked very hard, and everyone was so enthusiastic that we have decided to organise the business game again next year, as well as arrange for it to be played inhouse at our clients’ offices.

Energie, klimaat en duurzaamheid zijn tot het basisvocabulaire van Real Estate gaan horen. Gemeenten, ontwikkelaars, beleggers en energiemaatschappijen hebben verregaande ambities op het vlak van duurzame gebiedsontwikkeling. Verduurzaming is echter een breed begrip en niet altijd eenvoudig te realiseren. CMS Derks Star Busmann ziet het als haar taak om een bijdrage te leveren aan de kennisontwikkeling over duurzame gebiedsontwikkeling en organiseerde in april een drukbezocht seminar over met name de juridische kant van dit thema. Ook werd een verhelderende publicatie over dit onderwerp uitgebracht met de meest gestelde vragen en antwoorden. Echter, niet alleen bij nieuwe vastgoedprojecten groeit de vraag naar een duurzame aanpak. Eind oktober presenteerden DTZ Zadelhoff en Deerns tijdens het seminar ‘Duurzame Kans Bestaande Kantoren’, een aanpak om verouderde kantoorgebouwen een duurzaam tweede leven te geven. Experts van CMS Derks Star Busmann lichtten hier de fiscale en juridische haken en ogen van het verduurzamen van panden toe.

Energy, climate and sustainability have become part of the basic vocabulary of real estate. Municipalities, developers, investors and power companies have farreaching ambitions regarding sustainable, areaspecific development. But greater sustainability is a broad concept and one that is not always easy to implement. CMS Derks Star Busmann feels obliged to contribute to developing knowledge about areaspecific development. To that end, we organised a well attended seminar in April that focussed primarily on the legal issues involved in this area. We also issued a publication answering the most frequently asked questions on the topic. But the demand for a sustainable approach is not limited only to new real estate projects. At the ‘Sustainability for Existing Office Blocks’ seminar in late October, DTZ Zadelhoff and Deerns presented an approach aimed at breathing new – and sustainable – life into aging office buildings. CMS Derks Star Busmann experts explained the tax and legal hurdles that would have to be overcome to make these buildings more sustainable.

Secondments lead to better understandingWe routinely receive requests from our clients to second members of our legal staff to them on a temporary basis. This provides our clients with additional legal expertise, but it also gives our lawyers a golden opportunity to gain a greater understanding of our clients’ organisations and the markets in which they operate. Our lawyers become our clients’ business partners instead of just their legal advisers. This beneficial exchange works both ways; some of our clients second their lawyers to CMS.Duco Postma has this to say about his secondment at ABN AMRO’s Credit & Security Documentation department: ‘It was an excellent opportunity to gain a better understanding of how my client operates and formulates ideas. My work included drafting and assessing credit and security documentation. I enjoyed my three months working with the people at ABN AMRO, and I learned a great deal. My secondment also laid the foundation for closer collaboration with the client.’

Tegelijkertijd krijgen onze juristen de gelegenheid om meer inzicht te krijgen in de organisatie en aanvullende branchekennis op te doen. Daardoor worden zij meer een businesspartner dan alleen juridisch adviseur van de cliënt. Samen innoveren in het CMS LabTeam innovation in the CMS Lab

Om ondernemerschap en innovatie binnen CMS Derks Star Busmann te stimuleren, is het CMS Lab in het leven geroepen. Op dit online platform worden medewerkers uitgenodigd ‘new business’ ideeën te plaatsen, ideeën die tot concrete diensten en producten leiden met toegevoegde waarde voor cliënten. Maar ook algemene suggesties over hoe de organisatie beter zou kunnen functioneren zijn welkom.

Elk idee is direct online zichtbaar en open voor reacties. Zo worden ook anderen gestimuleerd om mee te denken en ideeën te plaatsen. Voor elk idee doneert CMS Derks Star Busmann een bedrag aan Stichting BiD Network, een internationale organisatie die ondernemers in opkomende markten helpt bij het uitwerken van een businessplan en bij het vinden van investeerders.

De beste ideeën werden tijdens een twee-daagse ‘incubator’ sessie verder uitgewerkt en gepresenteerd aan een kritisch panel à la ‘Dragons’ Den’ van onder anderen CMS partners en cliënten. Het CMS Lab is een enorm succes gebleken en een vliegwiel voor nieuwe initiatieven, waarvan onze cliënten nu al de vruchten plukken!

With the view of promoting entrepreneurship and innovation, CMS Derks Star Busmann has set up the ‘CMS Lab’, an online platform that invites employees to upload ‘new business’ ideas that will lead to specific services and products that will translate into added value for our clients. The Lab also welcomes general suggestions for improving our organisation.

Each idea is immediately visible online and open to comment, which encourages colleagues to contribute input and upload ideas of their own. For each idea contributed, CMS Derks Star Busmann donates an amount to the BiD Network Foundation, an international organisation that helps entrepreneurs in emerging markets draft business plans and find investors.

The best ideas are worked out in detail during a two-day ‘incubator’ session and presented to a panel of critics – rather like TV’s ‘Dragons’ Den’ – that includes CMS partners and clients. The CMS Lab has proven to be an enormous success and a source of new initiatives that are already benefiting our clients.

Een klinkende vriendschap

Truze Lodder is sinds 1987 zakelijk directeur van Nederlands grootste operagezelschap De Nederlandse Opera. Van tevoren had ze eigenlijk niet eens zoveel met het genre, des te meer met andere podiumkunsten. Achteraf is ze dankbaar dat opera zo’n grote rol in haar leven is gaan spelen. ‘Als in een productie de verschillende elementen – de muziek, de solisten, het verhaal – samensmelten tot een complex geheel, dan raakt het me echt. Opera gaat vaak over de liefde, de dood; de grote thema’s in het leven.’

Sinds 2009 werken De Nederlandse Opera en CMS Derks Star Busmann samen. Aanleiding om een verbintenis aan te gaan waren de gedeelde ambities van deze op het oog toch zeer verschillende organisaties. Zo delen ze bijvoorbeeld de ambitie om het onmogelijke mogelijk te maken, om internationaal te opereren en om vernieuwend te zijn in het eigen vakgebied. Beide werken daarnaast in teams waarin een diversiteit aan expertise is samengebracht. Lodder: ‘Voor elke nieuwe voorstelling wordt een internationaal team samengesteld van een dirigent, een orkest, een regisseur, solisten, kostuum en decorontwerpers en ga zo maar door, net zoals CMS Derks Star Busmann voor een cliënt de juiste advocaten, notarissen en fiscalisten bij elkaar brengt. Wat onze organisaties verder bindt is de gedeelde wens om een jonge doelgroep aan te spreken. Dat doen we samen in het programma OperaFlirt, waar we heel erg trots op zijn.’

An outstanding friendship

Since 1987, Truze Lodder has been the managing director of De Nederlandse Opera, the country’s largest opera company. Prior to joining DNO, she was less interested in opera than in other areas of the performing arts. Now, she is glad that opera has come to play such a major role in her life. ‘It really moves me when all the various elements of a production – the music, the soloists, the story – all blend together into a complex whole. Opera is often about love and death – it doesn’t shy away from the big issues in life.’

DNO and CMS Derks Star Busmann have been working in tandem since 2009, brought together by the shared ambitions of what at first sight would seem to be entirely different organisations. They both strive to make the impossible possible, to operate across borders and to be innovators in their respective fields. Both organisations also work with teams that combine a great variety of expertise. ‘For each new production’, says Truze Lodder, ‘we put together an international team with a conductor, an orchestra, a director, soloists, costume and set designers, etc. It’s precisely how CMS Derks Star Busmann assembles a team for a client, with the right lawyers, civil law notaries and tax advisers. Our organisations also share the desire to appeal to a younger audience. We do that jointly in the OperaFlirt programme, which is something we’re extremely proud of.’

OperaFlirt is met recht een bijzonder project, dat in 2009 zelfs werd beloond met de SponsorRing voor bijzondere sponsor projecten in de categorie Kunst.

One component of the collaboration between CMS Derks Star Busmann and DNO is a programme aimed at introducing younger people to this musical genre by providing discount admission prices for performances. Young Professionals at CMS can also take someone from their network to the Opera as a guest; they get a tour backstage and a celebratory drink with the performers afterwards. OperaFlirt is an extraordinary programme, and in 2009 was honoured with the SponsorRing for an exceptional sponsoring project in the arts category.

Advocates for International Development (A4ID)

Als partner van Advocates for International Development (A4ID) deelt CMS Derks Star Busmann sinds enige tijd haar juridische kennis pro bono met overheden en NGO’s in ontwikkelingslanden. CMS Cameron McKenna werkte al langer intensief met A4ID samen. Sinds vorig jaar kan de organisatie rekenen op advies vanuit alle CMS member firms.

A4ID werkt samen met ruim 27.000 juristen in 55 landen in Afrika, Azië en Latijns Amerika en geeft pro bono advies aan meer dan 200 verschillende internationale ontwikkelingsorganisaties. Jaarlijks worden meer dan 100 verschillende projecten gefaciliteerd, waarmee de ontwikkelingssector meer dan GBP 2 miljoen per jaar aan juridische kosten bespaart. Naast deze projecten biedt A4ID ook een speciaal onderwijsprogramma gericht op het opleiden van juridische professionals op het gebied van ontwikkelingszaken.

Advocates for International Development (A4ID)

As a partner in A4ID, CMS Derks Star Busmann has recently begun sharing its legal expertise on a pro bono basis with governments and NGOs in developing countries. CMS Cameron McKenna has been collaborating closely with A4ID for a long time, but since last year the organisation has been able to count on advice from all of the CMS member firms.

A4ID works with more than 27,000 lawyers in 55 African, Asian and Latin American countries and provides pro bono advice to more than 200 international development organisations. It facilitates more than 100 different projects annually, saving the development sector more than GBP 2 million a year in legal fees. In addition to these projects, A4ID also has a special educational programme to train legal professionals in issues dealt with in developing countries.

Working with our clients to produce the best result is our core business. We enjoy sharing our knowledge and legal expertise with them – it’s just part of our service. Each year we organise about 25 client seminars covering current developments in the various markets and areas of law we deal with. The keynote speakers at these seminars are not just our own legal staff, but leading external experts in these fields as well.We also provide courses for lawyers and other professionals who have an interest in the law: intensive, three-hour courses help participants bring their knowledge of a topic or area of law up to scratch. We also offer specific in-depth courses for clients and other interested professionals for which we charge a certain fee.

Samenwerken met cliënten aan het beste resultaat is onze core business. In deze samenwerking laten wij de cliënt graag meedelen in onze kennis en expertise over juridische vraag-stukken.
