A G R E E MEN T

THIS AGREEMENT made and entered into on this day

of September, 1974, by and between the CHARLES E. WARD CORPORATION

(hereinafter referred to as "Ward"), and ALEX PROHOROFF, PETE

PROHOROFF and BOB BARKELY, individually or any combination thereof,

(hereinafter referred to as "Owners"),

WIT N E SSE T H

The Owners agree to pay to Ward ten (10%) per cent of

all monies received from the lease option or sale of the Mining ~ A-P

Claim Group known as the Dixie, Corki, Redrock and ~lJ SR, and

All monies are due to Ward within ten (10) days of

receipt of any payment by Owners.

IT IS THEREFORE agreed that Ward has the authority to

negotiate or act in our behalf regarding the above described mining

claims .

Dear Mr. Newsom:

Your LEASE OPTION AGREEMENT covering the "Dixie-Corki" Mining Property located in Maricopa County, Arizona has fallen into a state of default.

uGrantee agrees to begin exploration work within sixty (60) days from the date of this agreement."

Mr. George Phelps of At1ed Exploration Management Ltd. has informed us of the particular situation involving the underwriting and the impact of such a loss.

This however, does not alter the desires of the owners of the "Dixie-Corki" Mining Property. In that no request for a time extension has been made, we are offering the following proposal:

1. Issue a new OPTION AGREEMENT for the period of September 1974 to January 31,1975, for one thousand ($l,OOO) dollars.

2. Redate the LEASE-OPTION AGREEMENT and revise it to reflect a LEASE-PURCHASE AGREEMENT.

3. Revise the payment schedule "B" to show an additional credit of one thousand ($l,OOO) dollars as follows:

SCHEDULE "B"

Semi-annual payment schedule to be paid in lieu of 5% royalties or which ever sum is greater.

1. On or before February 1, 1975 the sum of $3,500.00 (US)

2. And semi-annual payments as per following:
