3. For LED Façade Wall site locations, if XGD fails to display any advertisement continuously for more than 2 hours during the Campaign Period, the

Company shall only be compensated by means of re-broadcasting the advertisement on a best effort basis. The Company shall not claim against XGD for

any loss and damage arising out of or in connection with the said failure of displaying the advertisement.

4. If XGD fails to display any advertisement for 2 hours or less, the Company agrees that no re-broadcasting of the advertisement is required and/or no

compensation of whatsoever nature is required. The Company shall not claim against XGD for any loss and damages arising out of or in connection to the

said failure of displaying the advertisement.

5. XGD shall not in any way be responsible for the preparation, content, production or supply of copy for any of the Company’s advertising material.

6. The advertising material (In the requested format and any special requirement) shall be submitted to XGD’s office for approval at least 14 days before

the first day of the Campaign Period. Failure to provide the necessary advertising material in time may result in XGD’s inability to commence the required

Campaign Period. The Company agrees that no refund of any payment will be made for any late delivery or non-delivery of the advertising material.

7. The Company will provide an image file or video file to XGD for display of advertisement at site location at least 14 days before the first date of

Campaign Period. The Company shall be solely responsible for the costs of converting the advertising material into

display ready format.

8. For LED Façade Wall site locations, XGD shall have rights and absolute discretions to arrange the slot position of all advertisement broadcasts on the

LED Façade Wall, unless specified otherwise.

9. The display of advertisement is under the regulation of Film Censors Ordinance by Television and Entertainment Licensing Authority. XGD shall have

rights and absolute discretions to suspend or terminate the display of any advertisement that may contravene

the said Ordinance. The Company undertakes to fully indemnify XGD against any liability, loss and damages arising out of or in connection with any non-

compliance thereof.

10. If there is an error in display of the advertisement or the display does not occur as planned, XGD shall not be liable for any loss and damages suffered

by the Company arising out of or in connection to the said error in all circumstances.

11. XGD shall not be responsible for any loss or damage arising out of or in connection to the display of advertising material. XGD shall have right to

destroy all advertising material after expiry of three (3) months from the last date of the Campaign Period.

12. The Company shall be solely responsible for the payment of copyrights and royalties of the contents of the advertisement.

13. The Company shall ensure that all the advertising material shall not be obscene, defamatory or infringe any intellectual property rights of any third

party. XGD shall have right to suspend, stop or terminate broadcasting of any advertisement if the advertising

material is obscene, defamatory or infringe any intellectual property rights of any third party, without prior notice and without any compensation.

14. The Company agrees to pay XGD the "Nett Total" amount as described in the Advertising Contract before the first day of the Campaign Period in the

Advertising Contract.

15. The Company agrees that the "Nett Total" amount paid is non-refundable.

16. If the Company fails to pay the "Nett Total" amount within the prescribed time, XGD shall have right to terminate this Advertising Contract and forfeit all

payments. XGD shall have rights to display other advertisements during the Campaign Period or any period which is original scheduled for the Company.

17. The Parties herein warrants that it has full authority and power to enter into this Agreement.

18. The Company represents and warrants that all material and contents in the advertisement are original and not infringe any copyrights, trademarks,

designs, patents and other intellectual property rights of any third party.

19. The Company further represents and warrants that if the Company is not the copyright owner of the advertising material or any contents thereof, the

Company has obtained prerequisite from the copyright owner for using the advertising material or the contents.

20. XGD may terminate this Agreement forthwith by giving notice in writing to the Company if the Company fails or refuses to pay the Deposit or the

payment due and payable to XGD.

21. Each party agrees and undertakes to keep confidential; not to disclose to any third party; and not to use for any purpose not authorized by the other

party, any Confidential Information, defined as all confidential information (whether written, oral, visual, electronic or any other form) relating to the

existence of this Advertising Contract.
