What is the starting bid? There is no minimum starting bid required for any property.

How do I register for the auction?You may register online at johndixon.com or at the auction for live bidding or at johndixon.com for onlinebidding.

What do I need to bring on auction day?

● If you are the high bidder, on auction day you will execute a real estate purchase and sale contract and makethe earnest money deposit as outlined in the auction Terms and Conditions found at the back of this brochure.The earnest money deposit may be made in the form of certified funds, cash or personal/business check, or in acombination of same, but the first $2,500 of the earnest money deposit for each property on which the bid-der intends to bid, must be made in the form of a cashier’s check made payable to the registered bidder,as set forth in the auction Terms and Conditions. Any remainder can then be made by certified funds, cash orpersonal/business check.

● If you are bidding on behalf of someone else you will be required to present a notarized, specific power ofattorney at auction registration.

● When taking title in the name of a corporation, limited liability company, partnership or trust, you must pro-vide a copy of that entity’s governing documents, including your authority to act for that entity and its FederalTax ID Number.

● In order to comply with the Office of Foreign Assets Control (OFAC) you will be required to provide your SocialSecurity Number when you register to bid.

All property will be sold by Seller to the winning bidder/pur-chaser on an “as is” and “with all faults” basis. Property soldas “absolute” will be conveyed by a quitclaim deed with thewinning bidder/purchaser being responsible for all closingcosts including title insurance. The winning bidder/purchaseraccepts all faults of the property whether known or unknown,presently existing or any that may arise hereafter. The winningbidder/purchaser acknowledges and agrees that the SellerGroup has not made, does not make and specifically negatesand disclaims any representations, warranties, promises,covenants, agreements or guarantees of any kind or characterwhatsoever, whether express or implied, oral or written, past,present or future, of, as to, concerning, or with respect to: (i)the value, nature, quality or condition of the property, includ-ing, without limitation, the water, soil and geology; (ii) theincome to be derived from the property; (iii) the suitability ofthe property for any and all activities and uses which the win-ning bidder/purchaser may conduct thereon or therefrom; (iv)the compliance of, or by, the property or its operation with anylaws, rules, ordinances or regulations of any applicable gov-ernmental authority or body; (v) the habitability, merchantabil-ity, marketability, profitability or fitness for a particular pur-pose of the property; (vi) the manner or quality of the construc-tion or materials, if any, incorporated into the property; (vii)the manner, quality, or state of repair of the property; (viii) theexistence of any view from the property or that any existingview will not be obstructed in the future; or (ix) any other mat-ter with respect to the property, and specifically, without limi-tation, that the Seller Group has not made, does not make, andspecifically disclaims any representation regarding compliancewith (a) the Americans with Disabilities Act, (b) any environ-mental protection, pollution or land use laws, rules, regula-tions, orders or requirements, including solid waste (as definedby the U.S. Environmental Protection Agency regulations at 40C.F.R., Part 261), or (c) the disposal or existence, in or on theproperty, of any hazardous substance (as defined by theComprehensive Environmental Response Compensation andLiability Act of 1980 (“CERCLA”), as amended, and regula-tions promulgated thereunder).

B. WINNING BIDDER/PURCHASER RELYING ONOWN DUE DILIGENCE CONCERNING PROPERTY.

The winning bidder/purchaser further acknowledges andagrees that having been given the opportunity to inspect theproperty, the winning bidder/purchaser is relying solely on itsown investigation of the property, and is not relying on any

information provided, or to be provided, by the Seller Group.The winning bidder/purchaser further acknowledges andagrees that any information provided by or on behalf of theSeller Group with respect to the property, including, withoutlimitation, all information contained in any property informa-tion package previously made available to the winning bid-der/purchaser by the Seller Group, was obtained from a varietyof sources and that the Seller Group has not made any inde-pendent investigations or verification of such information andmakes no representation as to the accuracy or completeness ofsuch information.

C. SELLER GROUP GIVING NO REPRESENTATIONSOR WARRANTIES.

The Seller Group shall not be liable or bound in any manner byany oral or written statements, representations or informationpertaining to the property, or the operation thereof, that is fur-nished by any real estate broker, agent, employee, representa-tive or any other person. The winning bidder/purchaseracknowledges that in many instances Seller acquired the prop-erty through the receivership of a failed financial institutionand, accordingly, has little or no familiarity with such proper-ty. The Seller Group makes no representations or warrantieswith respect to the physical condition or any other aspect of theproperty, including, without limitation, (i) the structuralintegrity of any improvements on the property, (ii) the con-formity of the improvements to any plans or specifications forthe property that may have been or may be provided to the win-ning bidder/purchaser, (iii) the conformity of the property toapplicable zoning or building code requirements, (iv) the exis-tence of soil instability, (v) past soil repairs, (vi) susceptibilityto landslides, (vii) sufficiency of undershoring, (viii) sufficien-cy of drainage, or (ix) any other matter affecting the property,including, without limitation, the stability or integrity of theland or any buildings or improvements situated thereon.

D. WINNING BIDDER/PURCHASER RELEASESSELLER GROUP.

The winning bidder/purchaser and anyone claiming by,through, or under the winning bidder/purchaser hereby fullyand irrevocably releases the Seller Group from any and allclaims that the winning bidder/purchaser may have or mayhereafter acquire against the Seller Group for any costs, losses,liabilities, damages, expenses, demands, actions or causes ofaction arising from or related to any construction defects,errors, omissions or other conditions, including environmentalmatters, affecting the property or any portion thereof. Thisrelease includes claims which the winning bidder/purchaser ispresently unaware of, or for which the winning bidder/pur-chaser does not presently suspect to exist in his favor, which,if known by the winning bidder/purchaser, would materiallyaffect the winning bidder/purchaser’s release of the SellerGroup. The winning bidder/purchaser acknowledges andagrees that it is willing to give the foregoing release because ofthe purchase price at which it was able to acquire the propertyat auction.

E. WINNING BIDDER/PURCHASER INDEMNIFIESAND HOLDS SELLER GROUP HARMLESS.

THE WINNING BIDDER/PURCHASER ASSUMES THERESPONSIBILITY AND LIABILITY FOR ANY CLAIM ORACTION BASED ON OR ARISING OUT OF INJURIES ORDEATH TO PERSONS OR DAMAGES TO OR DESTRUC-TION OR LOSS OF PROPERTY, SUSTAINED ORALLEGED TO HAVE BEEN SUSTAINED BY THE WIN-NING BIDDER/PURCHASER, ITS AGENTS, PRINCIPALSAND/OR EMPLOYEES, IN CONNECTION WITH, ARIS-ING OUT OF, OR INCIDENTAL TO, THE AUCTION,INCLUDING BUT NOT LIMITED TO THE PERFORM-ANCE OF THE SALES CONTRACT, REGARDLESS OFWHETHER SUCH CLAIMS OR ACTIONS ARE FOUNDEDIN WHOLE OR IN PART UPON ALLEGED NEGLIGENCEOR NEGLIGENT MISREPRESENTATIONS OF OR BYTHE SELLER GROUP. THE WINNING BIDDER/PUR-CHASER FURTHER AGREES TO, AND DOES HEREBY,INDEMNIFY AND HOLD HARMLESS THE SELLERGROUP WITH RESPECT TO ANY SUCH MATTERS ANDAGREES TO DEFEND ANY CLAIM, SUIT, OR ACTIONBROUGHT AGAINST THE SELLER GROUP OR ANY OFTHEM IN THAT REGARD.
