Request for Bids for Base Load Capacity and Energy

July 15, 2008

1. Purpose

The Energy Authority® (“TEA”) is seeking proposals from qualified and eligible bidders to purchase up to 100 MW of firm base load capacity and energy, beginning March 1, 2011 for a period up to six years depending on block size. For the purposes of this Request for Proposals (RFP), capacity and energy will be supplied from the City Utilities of Springfield, Missouri System of generating resources including coal, natural gas, fuel oil, hydropower, and wind facilities. TEA seeks competitive bids for capacity and energy supplied from these resources.

2. Description of The Energy Authority, Inc.

TEA is a nationwide not-for-profit energy management and trading organization formed and owned by public power entities. TEA currently has thirty-nine members (six equity members and thirty-three resource management partners) totaling more than 25,000 MW in generating capacity and operates exclusively for the benefit of its public power members and partners. City Utilities of Springfield, Missouri (“CU”), a member of TEA, owns and operates generation resources exceeding 800 MW and has direct interconnections with the Southwest Power Pool (“SPP”).

TEA is serving as agent for CU for the purposes of this RFP. TEA and CU anticipate that CU will be signatory to any long-term agreements which may be executed as the result of this RFP. Any final agreements that result from the negotiations process under this RFP will be subject to final approval by City Utilities’ Management.

3. Description of City Utilities of Springfield, Missouri.

City Utilities of Springfield is a municipally-owned provider of electric, natural gas, water, telecommunications, and transit services to a 320-square mile area in and around Springfield, Missouri. City Utilities currently owns and operates 824 MW of generation and is constructing a 275 MW coal-fired generating unit which is on-schedule for commercial operation by January 2011.

City Utilities is a member of Southwest Power Pool (SPP), and has a number of transmission interconnections at 345, 161 and 69 kV. Transmission reservations are administered by SPP and all requests or inquiries about transmission availability should be directed to the SPP OASIS.

4. RFP / Proposal Evaluation Schedule

Presented below is the schedule of completion dates for the RFP/Proposal Evaluation process.

TEA reserves the right to extend or otherwise modify any portion of the schedule at its sole discretion. All parties that have submitted a Notification of Interest as described in Section 10.5 will be notified in writing of any changes to the schedule that occur prior to completion of the evaluation phase.

5. Bidder Forms

5.1. Completed copies of all applicable Bidder Forms 1 through 9 must be included as part of each submittal. If more than one submittal is made, separate Bidder Forms 4 through 7, clearly marked, must accompany each submittal.

All price quotes must be communicated on the attached Bidder Forms.

6. RFP Provisions

6.1. This RFP is open to all parties, including, but not limited to: municipal utilities, public power utilities, investor owned utilities, and power marketers.

6.2. TEA anticipates that bidders will propose agreements for firm base load capacity and energy deliveries scheduled 24 hours a day, 7 days a week, except during periods of forced or scheduled outages.

6.3. TEA prefers the term of a proposal to be from March 1, 2011 to December 31, 2016.

6.4. Bids for firm capacity and energy may be for less than the amount shown in Table 1.

6.5. CU desires to retain all of the renewable energy attributes or "green tags" (RECs) associated with the generation of electricity from renewable resources within the CU system.

7. Delivery Point

7.1. The Point of Delivery shall be at the CU/SPP Interface. Bidder shall arrange and be solely responsible for all transmission and ancillary service obligations and all costs, expenses, taxes, fees, and charges associated with the delivery of energy beyond the Delivery Point. Bidder is responsible for Accreditation of the capacity amount under applicable regulatory Capacity Margin Requirements.

7.2. All proposals must identify any transmission service and interconnection agreements with third parties that are required to deliver the firm capacity and energy to the bidder. TEA requires that any transmission arrangements to deliver offered firm capacity to the Bidder’s transmission system be firm.

8. Other Terms and Conditions

Each proposal must comply with all applicable federal and state laws. Proposals should reflect the bidder’s responsibility for costs associated with all present and future applicable state and federal environmental regulations and requirements, including, but not limited to, carbon permits, licenses, fees, emissions allowances, and environmental requirements for the entire term of each proposal.

9. Reservation of Rights

9.1. TEA reserves the right to make resource commitments outside this RFP. TEA also reserves the right, without qualification and at its sole discretion, to modify, supplement or withdraw this RFP and to reject any or all proposals or portions thereof or to waive irregularities or omissions. Those who submit proposals to TEA do so without recourse against TEA for either rejection by TEA or failure to execute an agreement for any reason.

9.2. TEA reserves the right to request further information, as necessary, to complete its evaluation of the proposals received.

9.3. No part of this RFP and no part of any subsequent communications with TEA, its Members, employees, or officers shall be taken as providing legal, financial, or other advice, nor as establishing a commitment, promise or contractual obligation with a bidder. TEA may request that each bidder complete and execute a Confidentiality and No Reliance Agreement prior to being placed on TEA's short list of bidders.

9.4. Any final agreements that result from the negotiations processed under this RFP will be subject to final approval by City Utilities’ Management.

10. Procedures for Application

10.1. A copy of this RFP, together with supporting forms, is posted on the TEA website, http://www.TEAINC.org/RFP.html.

10.2. Bidders must submit their bid proposals via e-mail to the e-mail address below. In addition, an original bid proposal, signed by an authorized officer, plus two (2) copies must be mailed by either courier or U.S. Postal Service. TEA will not be assessing bidders with a fee for any submitted proposals.

10.3. All proposals must arrive via e-mail by 5:00 PM Eastern Prevailing Time (EPT), August 29, 2008. Paper copies must arrive at TEA’s Jacksonville offices by 5:00 PM EPT on the next business date (i.e., September 2, 2008). TEA is not obliged to contact bidders concerning missing or incomplete forms. Only versions of the forms attached to this RFP may be used to submit proposals.

10.4. All bid packages should include any additional information required to support evaluation of the proposal, including a completed Credit Application (Form 9) and Questionnaire (Form 4). Documents requested in support of the Credit Application, including the applicant's most recent annual report and financial statements, must accompany the mailed versions of the proposals.

10.5. Each potential bidder is requested to confirm receipt of the RFP and to advise TEA by August 1, 2008 of its intent to submit a bid by submitting a Notice of

Intent to Bid. The Notice of Intent to Bid form is provided on Form 2 of this RFP.

11. Confidentiality

11.1. TEA recognizes that certain information contained in proposals submitted may be deemed by the bidder to be confidential. TEA also recognizes that much of the information contained in proposals is not confidential and that over time confidential information may become non-confidential. Therefore, any information in a proposal which the bidder feels is confidential must be highlighted and underlined, and the bidder must provide the date after which highlighted information will no longer be confidential. Highlighting of information should be limited to information which is truly confidential, and any attempt to highlight and identify as confidential all information in a proposal will result in none of the information in a proposal being treated as confidential. Similarly, failure to highlight confidential information or to provide a date after which the information is no longer confidential will result in none of the information in a proposal being treated as confidential.

11.2. Up until the date specified in the proposal that highlighted information is no longer confidential, TEA and CU, subject to the remaining provisions of this section, will use reasonable efforts not to disclose information in the proposals highlighted as confidential. However, if TEA or CU is lawfully required by any administrative, legislative or judicial body to disclose such information, TEA and CU will make such disclosure and is under no obligation to provide notice of the request or the disclosure to the bidder.

11.3. TEA reserves the right to disclose any and all information highlighted as confidential in each proposal to consultants and attorneys retained by TEA or CU to assist in this RFP, the RFP evaluation or any proceeding in which the RFP proposals, in whole or in part, may be submitted as evidence. TEA and CU will take reasonable steps to ensure that its consultants and attorneys also will treat information highlighted as confidential; however, neither TEA nor CU shall be liable for any failure of any consultant or lawyer to treat the highlighted information as confidential.

11.4. CU reserves the right to disclose any and all information as required by Missouri Revised Statutes chapter 610 (the “Missouri Sunshine Law”), or other applicable law.

12. Bid Evaluation Process

The procedures and criteria utilized to evaluate proposals will be as follows: first, to determine if the proposals are responsive to the RFP; second, to evaluate proposals from a technical and commercial viewpoint; third, to evaluate proposals from an economic viewpoint; and fourth, if determined to be in the best interests of CU, to develop a short-list for negotiations.

12.1. The economic evaluation of the RFP will use common economic assumptions for all proposals where appropriate.

12.2. Proposals may undergo a review from a technical perspective:

To ensure that the bids proposed are consistent with this RFP based upon the factors included herein, including, but not limited to:

the utilization of the available capacity and energy resources;

the firm capacity and related energy can be delivered to the bidder’s load and that a firm transmission path will be available for the delivery of firm capacity and related energy during the term;

the number and type of exceptions taken to the terms and conditions of this RFP.

12.3. Proposals may then undergo a review from a commercial perspective, which will include, but not necessarily be limited to, the following, to ensure that the bidder has:

adequate and pertinent experience, resources, and qualifications;

the necessary financial and operational viability to sustain a bid;

made a commitment to TEA with adequate non-performance guarantees and remedies;

either itself, or through its guarantor, an investment grade credit rating, or is willing to post a letter of credit or other security acceptable to TEA.

12.4. TEA may conduct scenario and sensitivity analyses of proposals to evaluate risks and strategic value. The results of these analyses may be considered in TEA’s evaluation of proposals, including the selection of proposal(s) for the short list, if applicable.

12.5. All proposals must meet Minimum Bid Eligibility Requirements to be eligible to participate in this solicitation. Proposals that do not comply with these requirements will be deemed ineligible and will not be considered for further evaluation.

Proposals must include all applicable content requirements described in this RFP, including clear and complete written descriptions of all information requested, and completed forms.

Proposals must clearly specify all pricing terms. Any and all indexed prices and/or price escalations must be fully explained.

13. Communication

13.1. TEA expects to identify a short list by October 17, 2008. Contracts detailing the terms and conditions of the completed purchased power agreement(s), if any, are expected to be executed by November 14, 2008.
