NATIONAL CHILDREN ' S CENTER, INC.

AMENDED AND RESTATED BY-LAWS

Article INAME AND LOCATION

SECTION 1. Name. The name of this corporation shall be the National Children'sCenter, Inc ., a non-profit corporation incorporated in the District of Columbia (the"Corporation").

SECTION 2. Location . The Office of the Corporation shall be located in the District ofColumbia and/or in such other localities as may be determined by the Board (the term "Board" isdefined in Article VII, Section 1 hereof).

Article IIOBJECTIVES

SECTION 1. To actively respond to the needs of individuals with developmentaldisabilities , the families and the community through education and support including clinical andtherapeutic services to infants , children and adults in both day and residential programs.

SECTION 2. To solicit and accept contributions from the general and/or public orprivate institutions or local or federal government agencies, donated or funded to it for thefurtherance of a program or programs sponsored by the Corporation.

SECTION 3 . To lease , rent, buy, build , contract, own, mortgage, obtain , sell orotherwise dispose of buildings or property needed in the conduct of such facilities or any partthereof; and shall do and perform every lawful act and thing necessary, desirable and expedient,to be done, in carrying on the purpose of the Corporation and to accomplish the end which thebody corporate if formed ; and to otherwise perfonn every lawful act necessary or expedient inthe efficient conduct of the Corporation , pursuant to the powers conferred upon it by the laws ofthe District of Columbia. °

Article IIICONFLICT OF INTEREST

SECTION 1. Definition. A conflict of interest may exist when the interests or concernsof any director, officer or staff member, or said person's immediate family, or any party, group ororganization to which said person has allegiance, may be seen as competing with the interests or

concerns of this organization. Any possible conflict of interest shall be disclosed to the Board bythe person concerned.

SECTION 2. Disclosure . When any such conflict of interest is relevant to a matterrequiring action by the Board , the interested person shall call it to the attention of the Board andsuch person shall not vote on the matter , and shall not be counted in determining the quorum forthe meeting where the matter is addressed . Moreover , the person having a conflict shall retirefrom the room in which the Board is meeting and shall not participate in deliberation or decisionregarding the matter under consideration . However, that person shall provide the Board orcommittee with any and all relevant information with respect to the conflict.

SECTION 3. Memorializing Results. The minutes of the meeting of the Board orcommittee shall reflect that the conflict of interest was disclosed and that the interested personwas not present during the final discussion or vote and did not vote. When there is a doubt aswhether a conflict of interest exists, the matter shall be resolved by a vote of the Board,excluding the person concerning whose situation the doubt has arisen.

SECTION 4. Annual Disclosure . Each member of the Board and senior management(to be determined by the Executive Director) shall also file annually a complete disclosurestatement acknowledging that there are currently no conflicts of interest to prevent him or herfrom serving in his or her official capacity and/or in the case of a director to cast a vote on anymatter in which there may be a conflict.

SECTION 5. Board Action. Any language to the contrary notwithstanding, the Boardshall take such other action as it deems appropriate based on such disclosures statements.

SECTION 6. Notice. A copy of this conflict of interest statement shall be furnishedeach director, officer, and staff member who is presently serving the Corporation, or who mayhereafter become associated with it; this policy shall be reviewed annually for the informationand guidance of directors , officers , and staff members; and any new directors , officers , or staffmembers shall be advised of the policy upon undertaking the duties of such office.

Article IVMEMBERSHIP

This Corporation shall have no members.

Article VOFFICERS

SECTION 1. Elected Officers. The elected officers of this Corporation shall be aPresident, President-Elect/Vice-President, Secretary, and Treasurer to be elected by the Board.

SECTION 2. Appointed Officers. The Board may appoint one or more AssistantSecretaries and/or Assistant Treasurers as it deems appropriate. The Board may appoint theExecutive Director as an Assistant Secretary.

SECTION 3. Qualifications for Office. Only members of the Board shall be eligible fornomination and election to any elective office of this Corporation.

SECTION 4. Nomination and Election of Officers. The Governance Committee shallprepare and submit to the Board at its June meeting (the Annual Meeting) nominations forPresident, President-Elect/Vice-President, Secietary and Treasurer.

SECTION 5. Term of Office. Except for the office of President, each elected officershall take office immediately upon installation and shall serve a term of one (1) year or until hisor her successor is duly elected and qualified. The President-Elect/Vice President shall ascend tothe office of the President immediately upon the conclusion of the President-Elect's term of one(1) year and shall serve a term of one (1) year as President. Each elected officer shall serveconcurrently as a member of the Board and as a member of the Executive Committee.

SECTION 6. (a) Vacancies . Vacancies in any elective office , except for the office ofthe President , shall be fi lled for the unexpired or full tern, whichever is applicable , by the Boardat any regular or special meeting or if between Board meetings , by the Executive Committee, if itdeems desirable . Should the office of the President become vacant, the President-Elect/Vice-President shall immediately ascend to the office of the President, and the Board or ExecutiveCommittee shall fill the occupancy of the President-Elect/Vice-President in accordance with thepreceding sentence.

(b) Removal. The Board, in its discretion, by any affirmative vote of two-thirds of the members present, may remove any officer for cause, after giving written notice toall Board members not less than ten (10) days prior to the next Board meeting of the intent tovote on the removal of that officer.

SECTION 7. Compensation . Elected officers shall not receive any compensation fortheir services to the Corporation in that capacity , except that elected officers may be reimbursed,subject to approval by the Board, for reasonable costs incurred in performing their duties.

Article VIDUTIES OF OFFICERS

SECTION 1. President. The President shall serve as chairman of both the Board andExecutive Committee. He or she shall also serve as a member, ex-officio, with right to vote, onall committees. The President shall make all required appointments of standing and othercommittees except as otherwise provided for in Article IX, Sections 2 and 3. At meetings of theBoard and at such other times as he or she shall deem proper, the President shall deem proper,the President shall communicate to the members of the Board such matters and make suchsuggestions as may, in the President's opinion, tend to promote the welfare and increase theusefulness of the Corporation. The President shall perform such other duties as are necessarilyincident to the office of President or as may be prescribed by the Board.

SECTION 2. President-Elect/Vice President The purpose of the office of the President-Elect/Vice President is to prepare the individual holding this office to ascend to the office of thePresident and to fulfill the duties of the President when the President is unable to do so. In thisregard, the President-Elect/Vice President shall familiarize himself or herself with all the dutiesof the office of the President and with the functions of the Corporation. The President-Elect/Vice President shall perform such duties as the President and/or the Board delegates to himor her. The President-Elect/Vice President shall sit, with voice but not with vote, on everycommittee of the Corporation in which the President is a member

SECTION 3. Secretary . The Secretary shall be responsible for the proper and legalmailings of notices to the Board . The Secretary shall see to the proper recording of proceedingsof meetings of the Board and all committees and carry into execution all orders , votes andresolutions not otherwise committed . The Secretary shall see that accurate records are kept andshall keep the seal of the Corporation and affix said seal to any documents and execute same thatmay require corporate attestation.

SECTION 4. Assistant Secretary. Unless otherwise authorized by the Board, theAssistant Secretary shall attest to the signature of the President or any elected officer thatrequires the attestation of that signature on any documents.

SECTION 5. Treasurer. The Treasurer shall serve as the chair of the FinanceCommittee. The Treasurer shall cause to be established proper accounting procedures for thehandling of the Corporation's funds. At the end of each fiscal year, the Treasurer shall cause tobe prepared an annual report which shall reflect an audit by a certified public accountant.

Article VIIBOARD OF DIRECTORS

SECTION 1. Authority. The governing body of this Corporation shall be the Board ofDirectors (the "Board").

SECTION 2. Responsibility . The Board shall have supervision, control and direction ofthe affairs of the Corporation , shall determine its policies or changes therein ; shall activelyengage in development activities for the purpose of promoting the mission of the Corporation;and shall lead any fund raising and disbursement of its funds . The Board may adopt such rulesand regulations for the conduct of its business as shall be deemed advisable, and may, in theexecution of the powers granted , delegate certain of its authority and responsibility to theExecutive Committee or other committees.

SECTION 3. Composition . The Board shall consist of not less than seven (7) nor morethan twenty-one (21 ) members . The President, President-Elect/Vice-President , Secretary andTreasurer shall be members of the Board.

SECTION 4. Criteria. Pluralism, society's diversity, and occupational representationand ability to carry out the purpose of the corporation shall be significant criteria for Board

membership. Further, the ability to bring the organization stature, human resources, time andexpertise shall be essential for Board membership.

SECTION 5. (a) Election. Directors shall be elected at the June meeting of the Boardby a majority vote of those present or at any other duty called meeting to fill the unexpired termof a Director.

(b) Term. Except as otherwise provided in these Bylaws , Directors shallbe elected to serve for a three (3) year tenn or until their successors have been elected andassume office.

(c) Staggered Terns. Directors terns of office shall be staggered so that,as nearly as possible, the terms of one-third (1/3) of the total number of Directors expire eachyear at the Board's Annual Meeting. In order to initiate staggered terms for Directors serving onthe Board as of adoption of these Bylaws, a lottery shall be conducted at the June 2005 AnnualMeeting. At that meeting there shall be placed in a container as many slips as there are Directorsserving on the Board at that time and each slip shall be marked with the number one (1), two (2)or three (3), so that, as nearly a possible, each such number is represented on one-third (1/3) ofthe total number of slips. Each Director shall select a slip and shall be deemed elected for aninitial term equal to the number of years which corresponds to the number on the slip he or shehas selected, and shall commence that tern at that June meeting of the Board. If a Director is notpresent at that meeting, the President shall select a slip for that Director. Upon the expiration ofeach Director's term according to the process described above, his or her seat shall be filled inaccordance with these By-laws.

SECTION 6. Nominations. The Governance Committee, acting in accordance withArticle IX, Section 2 of these By-laws, shall present to the Board the nominations for any vacantdirector positions on the Board.

SECTION 7. Quorum of the Board. At any meeting of the Board, the greater of five (5)or one-third (1/3) of all the members then serving on the Board shall constitute a quorum and anybusiness transacted at a meeting where a quorum is present shall be valid provided if it isaffirmatively passed upon by a majority of those directors present at the meeting, unless a greaternumber is required to approve a matter under applicable law, the Corporation's Certificate ofIncorporation (as amended) or these By-laws (as amended).

SECTION 8. Meetings of the Board. Regular meetings of the Board shall be held notless than six (6) times during each calendar year at such times and at such places as the Boardmay prescribe. The Annual Meeting of the Board shall be held in June of each year and suchmeeting shall be considered one of the six regular meetings. Notice of all such meetings shall begiven to all directors not less than ten (10) days nor more than fifty (50) days before the meetingis held. Special meetings of the Board may be called by the President or at the request of anyfour (4) directors. Notice of each such meeting shall be given to all directors at least five (5)days before the meeting is held and may be given by first-class mail, overnight mail, hand-delivery, telephone, facsimile or e-mail. Directors may participate in a meeting of the Board bymeans of conference telephone call or by any other means of communication by which all

persons participating in the meeting are able to hear one another, and such participation shallconstitute presence in person at the meeting.

SECTION 9. Voting. Voting rights of a director shall not be delegated to another norexercised by proxy.

SECTION 10. Action by Directors Without Meeting. Action may be taken without ameeting if a consent in writing setting forth the action so taken shall be signed by all the directorsentitled to vote with respect to the subject matter.

SECTION 1 1 . Absence. Any director who shall be absent, without being excusedbecause of a personal emergency, from two (2) consecutive regular meetings of the Board shallbe automatically removed from the Board as of the close of the next regular Board meeting,without the requirement of any further action of the Board. However, at such next regularmeeting if such director provides a written notice to all Board members, by facsimile, certifiedmail (return receipt requested), overnight delivery, or e-mail within thirty (30) days from the dateof such second missed meeting, then at the next regular Board meeting, the Board shall considerand decide, in its sole and absolute discretion, whether such director shall not be removed. Thedirector that is the subject of the removal shall be allowed to attend such meeting and be giventhe opportunity to speak and answer questions posed by the other members of the Boardregarding the pending removal, for such amount of time as the Board shall deem appropriate, butthat director shall not be eligible to vote regarding any decision relating to the matter. Writtennotice given not less than three (3) days in advance of a regular Board meeting of a director'sintended absence and the reason therefore shall be considered, but shall not be deemed anexcused absence unless the Board determines that such absence is because of a personalemergency.

SECTION 12. (a) Vacancies . Any vacancy occurring on the Board between meetingsmay be filled by the Board at any regular or special meeting of the Board . A director so electedto fill a vacancy shall serve the unexpired term of his or her predecessor.

(b) Removal. The Board, at its discretion, by an affirmative vote of two-thirds (2/3) of the members present at any regular or special meeting of the Board, may removeany director, with or without cause, provided that a written notice of the intent to vote on theremoval of that director is sent to all Board members not less than five (5) days prior to suchBoard meeting.

SECTION 13. Compensation. Directors shall not receive any compensation for theirserv ices to the Corporation in that capacity, except that Board members may be reimbursed forreasonable costs incurred in connection with attending meetings.

Article VIIIEXECUTIVE COMMITTEE

SECTION 1. Authority and Responsibility . The Executive Committee may act in placeand stead of the Board between Board meetings on all matters, except those specifically reserved

to the Board by these By-laws or any other matter which by law requires the approval of theBoard, pursuant to delegation of authority to such Committee by the Board. Actions of theExecutive Committee shall be reported to the Board by telephone, first-class mail, overnightmail, hand-delivery, facsimile, e-mail, or at the next Board meeting.

SECTION 2. Composition and Election. The Executive Committee shall consist of thePresident, who shall preside as the chair of that Committee, the President-Elect/Vice-President,Secretary, and the Treasurer. The President or presiding officer may request persons without theright to vote to be present at any of its meetings if such presence is warranted.

SECTION 3. Quorum. Call of Meetings Three ( 3) members of the ExecutiveCommittee shall constitute a quorum at any duly called meeting of that Committee. ThePresident shall call such meetings of the Executive Committee as the business of the Corporationmay require , or a meeting shall be called by the President at the request of three (3) members ofthe Executive Committee . Notice shall be given to each member of the Executive Committee bytelephone , first-class mail, overnight mail, hand - delivery, facsimile or e-mail. Any meeting mayalso be conducted by conference telephone call or any other means of communication by whichall persons participating in the meeting are able to hear one another, and such part icipation shallconstitute presence in person at the meeting.

SECTION 4. Procedure . The Executive Committee shall fix its own rules of procedureand shall meet at such times and such places as the chair of the Executive Committee shalldetermine . The Executive Committee shall keep regular minutes of its meetings. Theaffirmative vote of a majority of the members present at a meeting at which a quorum is presentshall be required to approve any action of the Committee. An action of the Executive Committeemay also be taken without a meeting if a written consent to such action is signed by all themembers of the Committee , and such consent is filed with the minutes of the Committee'sproceedings.

Article IXSTANDING AND OTHER COMMITTEES

SECTION 1. Quality Improvement and Oversight Committee . The QualityImprovement Oversight Committee ("QIOC") shall consist of and (jmembers of the Board Appointed by the President . shall act as the chair of theQIOC. The QIOC shall oversee continuous quality improvement and other quality issuesrelating to the Corporation ' s programs and services as required under applicable Federal andstate laws, rules and regulations . The QIOC shall review the delivery of the Corporation'sprograms and services on an ongoing basis through the identification and evaluation ofperformance and quality indicators . Specific reviews related to human rights , behavior supports,health and safety, and incident management shall be performed . The QIOC shall provide reportsto the Board and the Executive Director of any recommended changes , as well as proactivestrategies to implement a change, for consideration.

SECTION 2. Governance Committee. The President shall appoint a GovernanceCommittee which shall consist of three (3) members of the Board. The Governance Committeeshall be responsible for recruiting, retaining, and nominating Board members. The Committeeshall seek and consider recommendation from the Executive Director in preparing its proposal tothe Board for those offices and directorships which are vacant or about to expire, allowing atleast thirty (30) days for recommendations. The Governance Committee shall then nominatecandidates for the required offices and directorships of the Corporation as provided in these By-laws and report such nominations to the Board at least thirty (30) days before any AnnualMeeting or any meeting in the event of a vacancy.

SECTION 3. Finance Committee. The Finance Committee shall consist of thePresident, the Treasurer and two (2) members of the Board appointed by the President. TheTreasurer shall act as the chair of the Finance Committee The Finance Committee shall preparerecommendations for an annual budget of the Corporation to be submitted for adoption by theBoard. The Finance Committee also shall oversee, set policy and assist the Corporation'sadministration in the areas of financial reporting and revenue cycle management. The Committeemay perform such other duties in connection with the finances of the Corporation as the Boardmay determine from time to time. The Treasurer or the President also may invite any persons,who shall have no vote, to serve on the Finance Committee.

SECTION 4. Audit Committee. The Audit Committee shall consist of not less thanthree (3) members of the Board, each of which shall be selected by the Board. The AuditCommittee shall be responsible for, among other things, the review of the annual audit of theCorporation prior to submission of such audit to the Board. Each audit shall be prepared by anindependent Certified Public Accountant selected by the Audit Committee and approved by theBoard. The Audit Committee shall not be chaired by the Finance Committee Chair, and noOfficers or members of the Corporation's management may serve on this Committee.

SECTION 5. Development Committee. (Description to be inserted?]

SECTION 6. Other Committees The President, with notification to the Board, shallappoint such other committees, subcommittees or task forces, as are necessary and which are notin conflict with other provisions of these By-laws. The duties of any such committees shall beprescribed by the Board upon their appointment.

Article XEXECUTIVE DIRECTOR AND STAFF

SECTION 1. Appointment . The Board shall employ and periodically review a salariedstaff head who shall have the title of Executive Director and Chief Executive Officer and whoseterms and conditions of employment shall be specified by the Board.

SECTION 2. (a) Authority . The Executive Director shall be the chief executive officerof the Corporation responsible for executive, operational and all management functions.

(b) Responsibility. The Executive Director shall manage and direct allactivities of the Corporation as prescribed by the Board and shall be responsible to the Board.He or she shall employ and may terminate the employment of members of the staff necessary tocarry on the work of the Corporation and fix their compensation within the approved budget. AsExecutive Director and Chief Executive Officer, he or she shall define the duties of the staff,supervise their performance, establish their titles and delegate those responsibilities ofmanagement as shall, in his or her judgment, be in the best interest of the Corporation. TheExecutive Director shall devote such time as necessary to further the mission of the Corporation.

Article XIFINANCE

SECTION 1. Fiscal Period. The fiscal period of the Corporation shall be July 1 throughJune 30 or whatever twelve-month period the Board may from time to time deem appropriate.

SECTION 2. Budget. With recommendations of the Finance Committee, the Boardshall regularly adopt in advance of the next fiscal period an annual operating budget covering allactivities of the Corporation.

SECTION 3. Audit. The accounts of the Corporation shall be audited not less thanannually by a certified public accountant who shall be appointed by the Audit Committee, withthe approval of the Board, and who shall provide a report to the Audit Committee and the Board.

SECTION 4. (a) Indemnification of Directors, Trustees, Officers and Employees. TheCorporation shall indemnify any person who was or is a party or is threatened to be made partyto any threatened, pending or completed action, suit or proceedings, whether civil, criminal,administrative or investigative, by reason of the fact that he or she is (or was) a director, trustee,officer or employee of the Corporation, or any person who has served at the Corporation'srequest as a director, trustee, officer or employee of another corporation, organization,partnership, joint venture, trust or other enterprise (whether for profit or not-for-profit) (a"Related Entity"), against expenses (including attorney's fees) judgments, fines and amounts paidin settlement actually and reasonably incurred by him or her in connection with such action, suitor proceeding upon a determination that he or she acted in good faith and in a manner which heor she reasonably believed to be in or not opposed to the best interests of the Corporation or theRelated Entity, as the case may be, and, with respect to any criminal action or proceeding, had noreasonable cause to believe that his or her conduct was unlawful; provided that noindemnification shall be made in respect of any claim, issue or matter as to which such personshall have been adjudged to be liable for gross negligence, bad faith, or gross misconduct in theperformance of his or her duties to the Corporation or the Related Entity, as the case may be.Any indemnification shall be made by the Corporation only as authorized in the specific case bya determination that indemnification is proper under the circumstances, which determinationshall be made by a majority vote of those members of the Board who were not parties to suchaction, suit or proceedings.

(b) Expenses. Expenses incurred in defending a civil or criminal action,suit or proceeding shall be made by the Corporation in advance of the final disposition of such

action, suit or proceeding to the extent, if any, authorized by the Board in accordance withapplicable law of the District of Columbia or Federal Government, upon receipt of anundertaking by or on behalf of the director, trustee, officer or employee to repay such amountunless it shall ultimately be determined that he or she is entitled to be indemnified by theCorporation

(c) Directors' and Officers' Liability Insurance The Corporation shallhave power to purchase and maintain Directors and Officers liability or any other policy whichshall cover the members of the Board for claims naming them and, insurance on behalf of anyperson who is or was a director, trustee, officer or employee of the Corporation, or is or wasserving at the request of the Corporation as a director, trustee, officer or employee of a RelatedEntity against any liability asserted against him or her and incurred by him or her in any suchcapacity, or arising out of his or her status as such, whether or not the Corporation would havethe power to indemnify him or her against such liability under the provisions of this Section.

Article XIINONDISCRIMINATION POLICY AS TO CLIENTS/STUDENTS

National Children's Center, Inc. admits clients/students of any race, color, national andethnic origin, gender and religious affiliation to all the rights, privileges, programs, and activitiesgenerally accorded or made available to clients/students at National Children's Center, Inc. Itdoes not discriminate on the basis of race, color, national and ethnic origin, gender or religiouspreference in the administration of its educational policies, admissions policies, scholarships andloan programs, and athletic and other school-administered programs. Further, NationalChildren's Center, Inc. shall adhere to all Federal, State and local, including District ofColumbia, requirements regarding nondiscrimination and shall continue to comply with anynondiscriminatory statute that may be passed by a public body.

Article XIIIDISSOLUTION

Upon the dissolution of the Corporation, the Board shall, after paying or makingprovision for the repayment of all the liabilities of the Corporation, dispose of all of the assets ofthe Corporation in such manner, or to such organization, or organizations organized and operatedexclusively for charitable, educational, religious, or scientific purposes as shall at the timequalify as an exempt organization or organizations under Section 501(c)(3) of the internalRevenue Code of 1986 (or the corresponding provision of any future United States InternalRevenue Law), or shall be distributed to the Federal government or to a state or localgovernment for a public purpose as the Board of Directors shall determine. Any such assets notso disposed of shall be disposed of by the Superior Court of the District of Columbia or by anyother appropriate Court of the county in which the principal office of the Corporation is thenlocated, exclusively for such purposes, i.e., charitable, educational, religious, or scientificpurposes.

Article XIVAMENDMENTS

SECTION 1. Method . These By-laws may be amended or repealed by a two-thirds(2/3) vote of the members of the Board present at any Board meeting duly called , provided thatnotice of such proposed changes having been sent in writing to all members of the Board not lessthan fifteen ( 15) days before such meeting

SECTION 2. Effective Date. These Amended and Restated By-laws were approved andadopted by the Board as of the day of 12004
