2016 was a fiscal year with a 5.3% reduction in turnover,
totalling €671 million. The behaviour of the geographic
markets and sectors has unequally affected the Businesses
of the ULMA Group based on its exposure to them. Positive
evolution of all Businesses except those with relevant
exposure in LATAM or directly related to the oil sector.
Strong growth in the NAFTA countries (particularly the
United States) and Spain, where the recovery started in
2015, as well as a significant decrease in LATAM, with a
special impact in Peru and Brazil.
The results compiled by the ULMA Group show a profit
of €14.1 million, in line with those achieved in previous
years and totalling 6 years of continued positive results.
The strong commitment to internationalisation, alongside
a boost of competitiveness through cost reduction,
development of innovation and adaptation of our products
and services to customer demands, has meant a significant
improvement in the business margin.
We highlight the investment effort made with an increase
in CAPEX to 94 million, highlighting the acquisition of
SOCON by the Construction business to strengthen its
position in the United States and investments in new
Packaging facilities to meet the needs of the market,
whose implementation is scheduled for 2017.
From the standpoint of employment, the staff has gained
a further 109 employees, reaching reach a figure of 4,488
people at the end of the year. The percentage of cooperative
members on total employment in the cooperatives stood at
over 80% in 2016. On 31 December 2016, in line with
the commitment to cooperative solidarity, the policy of
permanent relocation has been followed by a total of 87
people, and as of 31 December, another 78 people were
temporarily relocated. The majority came from the structural
unemployment personnel of Fagor Electrodomésticos.
From a financial standpoint, the ULMA Group, with a
DFN/EBITDA ratio of 2.6, is in a healthy position and has
significant potential to face future challenges. We also
highlight the creation of ULMA Inversiones as a financial
tool to support the Group’s businesses.
For 2017, the ULMA Group Business will continue with
the expansion and growth plan based on international
expansion, innovation and new promotional activities,
as well as preparing the best possible to take advantage
of the opportunities that will surely be presented in the
market. We expect an 8% increase in sales to reach over
€724 million, with an EBITDA increase of 10% and a staff
increase of more than 60 people.

ULMA AGRÍCOLA– Strong increase in the number of medium-to-large
agricultural projects in the Central and North American
hub, multiplying by three the sales forecasts in the
zone.
ULMA ARCHITECTURAL SOLUTIONS – Opening of the US market for SPC.
– Opening of the Nordic market for SPF.
ULMA FORKLIFT TRUCKS– ULMA Safe handling Equipment has surpassed the 50%
milestone in international orders in 2016, especially
including France, Lithuania, and Mexico. The product
has been marketed in France, and work is beginning in
the German market.
ULMA CONSTRUCTION– Acquisition of 85% of SOCON in Atlanta (United
States), with the idea of strengthening our position in
the southeast of that important market.
– The business advanced well in the US and Chile.
– The Brazil and Peru markets fell significantly, as well as
the business figures there. In the rest of the markets,
Mexico can be named as one where figures have grown,
albeit less than expected, as well as the Czech Republic,
where they had strong growth thanks to a major work
completed.
ULMA CONVEYOR COMPONENTS– Agent-distributor contracting in the US and Canadian
markets.
– Contract with a Distributor for the Australian market.
04.2 INTERNATIONALISATIONULMA HANDLING SYSTEMS– Agreement with Daifuku for the development of the
Business in Europe.

subsidiary structure.

ULMA PIPING– Distribution:
– Very low distribution market in activity conditioned
by oil prices.
– United States: Full implementation of the commercial

– Development of the delegation of approved suppliers

ULMA FORKLIFT TRUCKS– Analysis carried out and beginning of the
implementation of the new maintenance process of
CMPs and rental machines within the SAT ON LINE
project. This new process achieves major improvements
in the technical team’s productivity, extending the
service life of assets and customer satisfaction.
ULMA CONSTRUCTION– Implementation of the information technology plan
defined at the time, in which the role of Baan is
highlighted. It was implemented in 2016 in record
time in Italy, continuing with the three-year plan,
with progress in the integration of systems for all
the subsidiaries and gradual implementation of
commercial technical tools such as GET and Repcon.
– Improvement to the deadlines for delivery of materials
by the parent company to subsidiaries and end
customers. In this section, relevant improvements
were achieved. In the field of operations, the
supermarket system, supply management, and daily
management were improved. Orders were delivered
with a reliability of more than 90% in the last months
of the year.
– Obtaining of local financing internationally. Over
30% of the global funding came from international
sources, thus exceeding the original target.
– Improvements on certain key processes. The collection
was the most highly emphasised process, once again,
not reaching the target set but remaining very close
to it, with work being carried out, nonetheless, on the
aspects related to this subprocess with most of the
subsidiaries.

– Organisation by Market Units, differentiating projects
of new Engineering transporters and Mine Replacement

– We continue to work with PDCA, with continuous

LEAN waste reduction system. In 2016, we began the
lean model for heat sealing in the new TSA machines.
– We are working on improving customer orientation
and have carried out different activities in relation to
this goal.
ULMA PIPING
– Development of strategic objectives and management:
9 objectives defined.
– Launch of the ERP migration, version 12.
– Implementation of the new planning system for both
ULMA Zubillaga and Lazkao. Development of the
shipment control system in the project and deployment

ULMA ARCHITECTURAL SOLUTIONS – Implementation of the participation model in
management alongside MIK.
ULMA CONSTRUCTION– Improvement of the profile of the organisation’s leaders.
For one more year, the evaluation was carried out at the
consolidated level, making everyone increasingly aware
of the importance of this key aspect. In addition to the
head Office (Spain), we have worked in the priority
subsidiaries in Brazil, Poland, Chile, Peru, and the
United States. This year, for the first time, the evaluation
was carried out for the leaders in Italy, Czech Republic,
Slovakia, Germany, Romania, Mexico, and Argentina.
ULMA HANDLING SYSTEMS
– UhS Social Transformation Project: Funding for the
Together project.
– Progress on the path to turning Basque into a working
language in the business (outstanding presence of
Basque in communications).
– Internal communication: Updating of the model and
contents, project to ensure that all working people
of UhS have a forum for communication with those
responsible.

EMPLOYMENT
Fortunately, the problem of the structural unemployment of
the cooperatives of the ULMA Group has been reduced to a
few specific cases that being gradually solved by us. This has
contributed decisively to the smooth operation of some of the
Group’s Businesses and the non-existence of new businesses
with employment crises to be solved at the group level.
On the other hand, we have continued to incorporate, on
a temporary basis, a significant number of people from the
former Fagor Electrodomésticos, some of which are expected to
become permanently hired in 2017. As with other factors, the
ability to offer employment to members of other cooperatives
is favoured by the progressive improvement of the business
activity, always supported, of course, by our vocation to
generate and maintain employment. Across the corporation, it
is clear that the problem regarding employment for the Fagor
Electrodomésticos staff will be present for a few years, but also
that the solidarity commitment of all cooperatives is crucial to
accelerate the process.
At the end of the year, in total, there were 76 cooperatives
among the ULMA cooperatives, 42 fewer than in the previous
year, nine of which came from the ULMA Group itself and 68
from MONDRAGON. Furthermore, two other ULMA partners
were relocated to cooperatives outside the Group.
In 2016, employment had an additional 112 people in absolute
terms, remaining in the same parameters as last year, with
a 55% and 45% employment rate in the head Office and
subsidiaries, respectively. For the coming years, a slight increase
in employment is expected, mainly centred on the matrices
of cooperatives. In the group of subsidiaries, this growth in
employment is also predictable, albeit in the medium term. The
fact 76% of the current jobs in the matrices correspond to
cooperative partners should also be noted.
SOCIAL COMMITMENT
The ULMA Group continues to take firm steps in its
establishment as a Local Cooperative Group with deep
roots in the territory and with an increasingly marked group
culture within the global framework of the MONDRAGON
Corporation. After many years of economic boom, we had
first-hand experience of the harshness of the crisis, which
was much longer than previous ones. That, however, helped
us to reflect on who we are and how we wish to interact
with society from now on. In fact, the essence of our
cooperative model reminds us that we are not a separate
entity from society with a moral obligation or social pressure
to interact with it, but rather, we are part of that society, we
are integrated into it, and the interaction with it should be a
natural process for us.
In this sense, in 2016, we finished the definition of the new
approach that we wish to give to the ULMA Foundation,
which consists essentially of reinforcing it as a vehicle through
which to channel our commitment to the environment. We
would have done it also in case of not having a foundation,
as this approach gives, in our opinion, a response to what
we have to do as a cooperative company in this area.
Nevertheless, the fact that our foundation already exists
makes things easier for us and offers us a platform through
which we can express the commitment to society by the
entire ULMA Group.
At the internal level, in turn, the economic situation continues
to differ from one business to another, which is reflected in the
level of retribution of people. It is true, however, that there is
a general improvement trend in the Group, accompanied by
an improvement in the level of remuneration. In other words,
the Group’s compensation level is gradually approaching the
normal reference level.

INTEGRAL DEVELOPMENT OF PEOPLE IN A COOPERATIVE FRAMEWORK FOR ACTIVE PARTICIPATION
The commitment of our cooperatives to promote this model
to its full potential is so that the people who work here
know it in depth and have it in mind continuously, both
when designing our strategic and management plans and
in daily business activities. It is a people-based model, in
which workers are simultaneously owners of the company
and which includes the development of these people,
the development of the community they form, and the
development of society itself.
To foster this organisational model, it is necessary to stimulate
it constantly, training ourselves and working on improving
the channels of institutional participation and participation
in management. And that is what we are doing. In addition
to training new partners every year in the specialist graduate
course in cooperativism taught by Mondragon University,
we are improving the system of cooperative training for
partners in general and, in particular, for those who join
of organisations. On the other hand, progress has been
achieved in another project that is under way with the same
University, in which we intend to develop a methodology
to evaluate and improve the participation of people in the
management of the company. The year 2016 was marked
by the pilot test in one of the cooperatives. This project is
expected to be completed in 2017.
Leadership programmes also continue to evolve within
the Group. Our goal is to establish a common cooperative
leadership profile that will serve as a benchmark in the
development of this aspect, which is so important for the
future of our companies.

Foundation, previously mentioned, redefined the social and
cultural spheres in which we are going to work, as well as
redefining how we are going to collaborate with external
entities in the social and cultural sphere. In essence, we
will seek to focus the efforts on several entities, which we
will refer to as priority collaborators, to which, in addition
to a greater economic contribution than we have been
doing so far, we will seek to help involve our cooperatives
and their partners and workers in projects or actions
organised by these entities. As for the rest of collaborators,
i.e. those not designated as priority, we seek mainly will
be to make economic contributions. We will also seek to
reduce the number of non-priority entities, so as to reduce
the atomisation of the distribution of economic aid. This
will be reflected in the Foundation’s activity as from 2017,
since in 2016, the approach had not yet become official.
The total amount allocated in 2016 was €572,000. Of
these, €91,000 are channelled through MONDRAGON
Corporation, while the remaining €481,000 are distributed
through ULMA Fundazioa / ULMA Foundation, with funds
allocated to Promotion Projects (15.6%), Inter-Cooperation
(50.2%), Basque Language Plans (6.7%), Social and Cultural
Promotion projects (17.9%), Cooperative Training plans
(5.5%), and the Federation of Cooperatives of the Basque
Country (3.9%). The remainder is left unused and will be
added to the amount available for 2017.
As for other actions organised by ULMA Fundazioa, in 2016,
a new edition of the program of activities was carried out.
We highlight two of them: the children’s workshops in the
afternoons of June for children of ULMA workers and the
Bidegorriak euskararentzat project, which intended to give
a new impetus to the use of the Basque language in our
companies, demonstrating to society our commitment to
standardising the language.
OCCUPATIONAL HEALTH AND SAFETY
In 2016, different actions were undertaken to promote
a preventive culture within the ULMA Group, such as
establishing the PRL as an agenda item in the boards of
directors and governing councils of cooperatives, as well as
within the governing bodies of the Group.
In the field of Occupational Medicine, the objectives defined
in the field of health surveillance (individual and collective)
in all workplaces have been met. Similarly, the computerised
occupational health system has been updated, and all the
healthcare needs, both for emergency and on-demand
services, have been met.
As part of the health promotion programme Izan
Osansuntsu, we have maintained our ongoing programme
aimed at maintaining the physical fitness of our partners,
adhered to the healthy Vending Plan promoted by
Innobasque, and continued to train the group (300 staff) in
first aid and cardiac-protected area.
As for the field of Occupational Risk Prevention, with the
collaboration of PRL technicians and healthcare services,
the SEhTRA programme was implemented and the PRL
technical committee was given a boost as a point for
meeting and dissemination of good practices implemented
in our cooperatives.
On the other hand, we have continued to collaborate with
Osarten in the direction of SPM, both at the level of the
Governing Council and the technical committee, with
Innobasque, Osalan and the Basque Society of Occupational
Medicine, in the development of different health training
and surveillance projects.
INSTITUTIONAL SOLIDARITY
The year 2016 was very important from the standpoint of the
reinforcement of solidarity and inter-cooperation between
the various divisions and cooperatives of MONDRAGON.
The 2016 MONDRAGON Congress established the
general path to follow in the coming years, which, in the
institutional sphere, consists essentially of reinforcing the
experience of our values. Specifically, the message focuses
on the need to advance towards exercising responsible
solidarity, the potential that we still have to explore in terms
of inter-cooperation, in the development of the sphere of
social transformation or responsibility towards society, and
finally, in the improvement of good cooperative governance
practices.
As regards the provisions for solidarity and cooperative
development outlets, intended for education, socio-
cooperative and vocational training, research and
development projects and compensation for losses of the
cooperatives of the MONDRAGON Industrial Group, the
sinking fund amount allocated to ULMA Group’s funds
totalled €529,000. These amounts were offset by the
amounts received to offset a portion of the losses suffered by
some of the cooperatives, which amounted to €1,296,000.
The economic fund generated by the cooperatives from our
profits – the Contribution Fund for Education and Cooperative
Promotion and other Purposes of Public Interests (COFIP) – is
still not in a situation of normality. That is because the level
of benefits of the ULMA cooperatives as a whole is still low.
