RESERVE A HOTEL ROOM DOOR DROP OPPORTUNITY1. To reserve your Hotel Room Door Drop opportunity,

submit your Application and Contract for Door Drop, full payment and insert proof by September 30, 2016.

2. All inserts must be submitted to ASTRO for final approval. A copy of the insert must be approved by ASTRO regardless of prior approval for other promotional opportunities at the meeting. Submit the insert proof to Nicole Froats at [email protected].

3. SPARGO Inc. will notify you of approval. If changes are necessary, the corrected insert must be resubmitted for final approval. Participant is responsible for costs associated with production of insert.

6. ASTRO is not liable for a hotel’s failure to deliver to rooms within designated hotel blocks. In the event bags are not delivered, they will be available for pick up at the hotel. No discounts or refunds will be given.

7. If the participant does not send the quantity specified on the rate card, ASTRO will not be liable for bags that are missing that insert.

8. A minimum number of inserts must be reserved for the door drop to be conducted. ASTRO reserves the right to cancel any delivery in the event the minimum number of inserts is not reserved. In this instance, ASTRO will refund 100% of monies paid. ASTRO is not obligated to offer or replace the door drop service with any other marketing vehicle.

ADVISORY BOARD FEEThe fee to host an advisory board is $5,000 per room. This fee includes one complimentary room setup and signage. The company shall be responsible for any additional charges such as catering, audio visual equipment, etc.

2016 BEST OF ASTRO INDUSTRY-EXPERT THEATER CONTRACT TERMS Page 1 of 2

ELIGIBILITYOnly exhibiting companies who have secured a booth space at 2016 Best of ASTRO are eligible to apply for a slot in the Industry-Expert Theater, subject to availability and adherence to all published 2016 Best of ASTRO Industry-Expert Theater Contract Terms and the 2016 Best of ASTRO Exhibitor Rules, Regulations and Policies (“Rules”) available online, as existing on the date hereof and as the same may be amended or changed, hereinafter referred to collectively as “Industry-Expert Terms and Rules” and incorporated herein by reference. In the event of any change in the Industry-Expert Terms and Rules, the most up-to-date versions, available online, will be controlling.

In the event a company reserves a booth at 2016 Best of ASTRO but does not make full payment of booth space by June 24, 2016, cancels prior to 2016 Best of ASTRO or is a no-show in the Exhibit Hall, permission to hold the Industry-Expert Theater will be revoked. This policy will be strictly enforced and any violation(s) will result in the cancellation of the Industry-Expert Theater as well as forfeiture of Industry-Expert Theater fee and liability for other fines and damages, and may jeopardize future participation at meetings.

APPLICATION, PAYMENT AND CANCELLATIONThe entire Industry-Expert Theater fee (“Fee”) is due from the exhibitor (“Exhibitor”) with submission of the Application and Contract for an Industry-Expert Theater (“Contract”). All charges for the Industry-Expert Theater must be paid in full in U.S. funds, drawn on a U.S. bank. Fifty percent of the Fee will be retained for cancellations received on or before June 24, 2016. After June 24, 2016, no refunds will be issued. Further, no refund will be issued if an Industry-Expert Theater is not engaged or used, nor will refunds be made for space used only part of the time. All cancellations must be submitted in writing to Kathy Peters, 2016 Best of ASTRO Show Management, 251 18th Street South, 8th Floor, Arlington, VA 22202. ASTRO reserves the right to cancel the Industry-Expert Theater if less than two companies have secured a time slot. In such instances, ASTRO will only be liable to refund fee paid by Exhibitor.

Upon acceptance of Application and Contract for an Industry-Expert Theater and receipt of full payment, a confirmation letter will be issued to the Exhibitor detailing the Industry-Expert Theater assignment and the date and time that the Exhibitor shall have access to the Industry-Expert Theater space (“Space”).

SCHEDULINGIndustry-Expert Theaters are limited and will be assigned on a first-come, first-served basis. Available time slots can be found on the Application and Contract for an Industry-Expert Theater. Time slots are subject to change at any time.

PROVIDED SERVICESThe following services are included in the cost of the Industry-Expert Theater:

• Industry-Expert Theater meeting space includes seating for 150 people.• Assignment of day and time.• Audio visual equipment to include:

• One LCD projector.• One screen.• One podium microphone.• One aisle microphone.• Sound amplification and mixer system.• VGA switcher.• One on-site technician.

PSAV Audio Visual is the exclusive provider for audio visual services. Expenses for additional services incurred beyond what is provided may be acquired through PSAV at the expense of the Exhibitor.

LOGISTICSThe Exhibitor shall be solely responsible for the management of the logistics of their Space and for payment of additional costs related to the Space including but not limited to supplemental catering and audio visual equipment, electrical, Internet, phone, etc. ASTRO does not provide logistical support for the Space apart from those services listed in the section “Provided Services.”

LIMITATION OF LIABILITYThe Exhibitor shall be fully responsible for all claims, liabilities, losses, damages or expenses relating to or arising out of any injury to any person or any loss of or damage to any property where such injury, loss or damage is incident to, arises out of or is in any way connected with the Exhibitor’s use of or participation in the Industry-Expert Theater; and the Exhibitor shall protect, indemnify, hold harmless and defend the American Society for Radiation Oncology (ASTRO), and its officers, directors, agents and employees (“ASTRO”) from and against any and all such claims, liabilities, losses, damages and expenses (including costs of defending against such); provided that the foregoing shall not apply to any injury, loss or damage caused by or resulting from the willful misconduct of ASTRO or one or more of its officers, directors, agents or employees. The Exhibitor further waives any claim against ASTRO or its officers, directors, agents or employees arising out of the oral or written publication or republication of any statement made in connection with 2016 Best of ASTRO by anyone who is not an employee of ASTRO concerning the Exhibitor’s Industry-Expert Theater, products or services.

In case any part of the Exhibitor’s Industry-Expert Theater is destroyed or damaged so as to prevent ASTRO from permitting an Exhibitor to occupy assigned space during any part or the whole of the Space period, or in case occupancy of assigned Space during any part or the whole of the Space period is prevented by a strike, an act of God, a national emergency or other cause beyond the control of ASTRO or Exhibitor, then the Exhibitor will be charged for the Space on a prorated basis only for the period during which ASTRO is able to provide Exhibitor access to occupy the assigned Space.

SECURITY AND INSURANCEThe Industry-Expert Theater will not be secured. ASTRO shall not be liable for damage or loss to Exhibitor’s property, nor shall ASTRO be liable for any injury that may occur in the Industry-Expert Theater area.

The Exhibitor shall, at its sole cost and expense, procure and maintain through the term of this Contract, comprehensive general liability insurance against claims for bodily injury or death and property damage and loss occurring in or upon, or resulting from, arising out of or related to the premises leased by ASTRO and/or SPARGO Inc. Such insurance shall include contractual liability and product liability coverage, with a minimum $1,000,000 per occurrence/$2,000,000 aggregate coverage. Such insurance shall name ASTRO, SPARGO Inc., Global Experience Specialists (GES) and/or their employees and/or designated representatives (“designated representatives” to include but are not limited to agents, members, Official Contractors, Officers, and/or Board of Directors), and The Ritz-Carlton, Fort Lauderdale therein as additional insured (with no limitations), and the Exhibitor shall upon request provide ASTRO and/or SPARGO Inc. with a current insurance certificate so indicating. Exhibitor’s Workers Compensation and Occupational Disease insurance shall be in full compliance with all federal and state laws, covering all of Exhibitor's employees engaged in the performance of any work for Exhibitor. All property of the Exhibitor is understood to remain under its custody and control in transit to, during the Event and from the confines of the Space.

PHOTOGRAPHY, VIDEOTAPING AND RECORDINGAll photography, filming, taping, recording, reproducing, imaging, or capturing in any medium now known or hereafter devised, including via the use of a tripod-based equipment or mobile devices, hereafter referred to as “Capturing,” of the Industry-Expert Theater Space, content, material, presentation, attendees or exhibitors, including any display or equipment must be approved in advance by ASTRO. Only the Official ASTRO Photographer may perform Capturing in the Industry-Expert Theater Space and Exhibit Hall unless approval is granted by ASTRO.

PROMOTIONAL AND MARKETING MATERIALSAll promotional and marketing materials must contain the following statement: The Industry-Expert Theater content and views expressed therein are those of the Exhibitor and not of ASTRO.

USE OF ASTRO NAME AND LOGOSThe name American Society for Radiation Oncology, the acronym ASTRO and the ASTRO logo are registered trademarks of the American Society for Radiation Oncology. Use of the aforementioned in conjunction with promotional materials, advertisements, email marketing, company websites, endorsements, statements, contests and/or awards is strictly prohibited. In addition, Exhibitor is not permitted to use the name American Society for Radiation Oncology or the acronym ASTRO in a company website address, email signature/tag line, etc.

Exhibitors may be able to use the 2016 Best of ASTRO show logo provided that advance written permission is received from ASTRO. If you would like to use the 2016 Best of ASTRO Show logo or have questions regarding ASTRO’s logo usage policy, please contact [email protected].

DISTRIBUTION OF PRINTED MATERIALSAdvertising, marketing, promotional activities, signage and the distribution of product promotion material, product specific advertisement and other types of Exhibitor collateral is strictly limited to within the Exhibitor’s booth in the Exhibit Hall and inside the Industry-Expert Theater during the Exhibitor’s assigned time slot. Advertising, marketing, signage, promotional activities and/or materials may not be displayed or distributed within a 15 mile radius of the The Ritz-Carlton, Fort Lauderdale, including but not limited to meeting rooms and public areas at the The Ritz-Carlton, Fort Lauderdale (excluding advertising and promotional support opportunities secured and approved directly via ASTRO), in or around the vicinity of the The Ritz-Carlton, Fort Lauderdale, at the airport, in or around the vicinity of any official ASTRO hotels and along any path where attendees may walk or ASTRO shuttles may pass on their way to the The Ritz-Carlton, Fort Lauderdale.

1. The Exhibitor’s activities must be confined to the Space. The Exhibitor may not enter another company’s Industry-Expert Theater without invitation.2. The Exhibitor may not affix any materials to the walls of the Space. Any damage to the Industry-Expert Theater or the facility property through the carelessness,

negligence or misconduct of the Exhibitor, its employees, agents or invitees must be paid by the Exhibitor. Trash produced as a result of giveaways, etc., must be maintained in the Space and removed at the Exhibitor’s expense.

3. All materials furnished by the Exhibitor to be used in the Space must be in accordance with the Fort Lauderdale Fire Department’s fire code and regulations. All electrical wiring must conform to local codes and regulations.

4. The The Ritz-Carlton, Fort Lauderdale is in compliance with the Americans with Disabilities Act regulations. The Exhibitor is responsible for compliance with the ADA within the Space. Failure to comply with the ADA is a serious matter and may involve litigation or fines.

5. The use of music, flashing lights, dancers or mimes or other entertainment similar to this in nature is not permitted in the Exhibitor’s Space. Helium balloons, glitter and confetti are prohibited.

6. The Exhibitor is responsible for the orderly conduct of the persons in their Space. ASTRO has the right to remove disorderly persons.7. Children under the age of 18 will not be allowed in the Exhibitor’s Space at any time.8. ASTRO has the right to refuse an Exhibitor on the grounds of unethical or uncooperative behavior, infraction of Industry-Expert Terms or Rules, or other

noncompatibility with the event. ASTRO reserves the absolute right to regain possession of any Space by refunding to the Exhibitor the prorated amount paid for the Space.

NON-COMPLIANCEViolation of any terms of the Contract may result in Exhibitor being ineligible for a “preferred” booth space or an Industry-Expert Theater for the following meeting, expulsion from the Exhibit Hall and/or Space, loss of all priority points earned in 2016 and forfeiture of Fee and liability for other fines and damages.

AMMENDMENTASTRO reserves the right to amend or change any of Industry-Expert Terms or Rules. In the event of any change to the Industry-Expert Terms or Rules, the most up-to-date versions, available online, will prevail.

1. Only 2016 Best of ASTRO exhibitors who have secured a booth (“Exhibitor”) are eligible to apply for an Exhibitor Hospitality Suite subject to availability and adherence to the terms of this Contract and all published Exhibitor Hospitality Suite and Exhibitor rules and regulations. The entire hospitality suite rental fee (“Fee”) is due from the Exhibitor with submission of the Application for Exhibitor Hospitality Suite. All charges for the hospitality suite must be paid in full in U.S. funds, drawn on a U.S. bank. No refunds will be issued for any cancellations or if a hospitality suite is not engaged or used, even if space is used only part of the time. All cancellations must be submitted in writing to Kathy Peters, 2016 Best of ASTRO Show Management, 251 18th Street South, 8th Floor, Arlington, VA 22202. Upon acceptance of application and receipt of full payment of the hospitality suite, a confirmation letter will be issued to the Exhibitor detailing the hospitality suite assignment and the dates and times that the Exhibitor shall have access to such space (“Exhibition Period”).

2. All hospitality suites must be set by 6:00 p.m. on Thursday, November 10, 2016. Exhibitors are responsible for the removal of their exhibit and materials from their assigned hospitality suite by 12:00 p.m. on Saturday, November 12, 2016. Exhibitors may entertain in their assigned hospitality suite only during the following specified times: Friday, November 11, 2016 Saturday, November 12, 2016 6:00 a.m. – 7:55 a.m. 6:00 a.m. – 7:55 a.m 9:45 a.m. – 10:15 a.m. 10:00 a.m. – 10:30 a.m. 12:00 p.m. – 1:00 p.m. 12:00 p.m. – 1:00 p.m. 3:30 p.m. – 4:00 p.m. 3:00 p.m. – 3:15 p.m.

3. The size and location of the hospitality suite as shown on the floor plan, exits and other structures are believed to be accurate but are not warranted to be accurate.

4. The Exhibitor shall be fully responsible for all claims, liabilities, losses, damages or expenses relating to or arising out of any injury to any person or any loss of or damage to any property where such injury, loss or damage is incident to, arises out of or is in any way connected directly or indirectly with the Exhibitor’s use of or participation in assigned hospitality suite; and the Exhibitor shall protect, indemnify, hold harmless and defend the American Society for Radiation Oncology (ASTRO), and its officers, directors, agents and employees from and against any and all such claims, liabilities, losses, damages and expenses (including costs of defending against such); provided that the foregoing shall not apply to any injury, loss or damage caused by or resulting from the willful misconduct ASTRO or that of one or more of its officers, directors, agents or employees. Exhibitor further waives any claim against ASTRO and its officers, directors, agents or employees arising out of the oral or written publication or republication of any statement made by any person concerning the Exhibitor or the Exhibitor’s exhibit and/or hospitality suite, products or services. In case any part of the Exhibitor’s hospitality suite is destroyed or damaged so as to prevent ASTRO from permitting an Exhibitor to occupy assigned space during any part or the whole of the Exhibition Period, or in case occupancy of assigned space during any part or the whole of the Exhibition Period is prevented by a strike, an act of God, a national emergency or other cause beyond the control of ASTRO, then the Exhibitor will be charged for the hospitality suite on a prorated basis only for the period during which the Exhibitor is able to occupy the assigned space.

5. The Exhibitor is responsible for maintaining such property and casualty insurance for its exhibit and display materials within their hospitality suite as the Exhibitor shall deem adequate. Any policy providing such insurance must contain a waiver of any right of subrogation to any claims against ASTRO and its officers, directors, agents or employees. Each Exhibitor must maintain general public liability insurance, in the amount of not less than US $1,000,000 any one occurrence, against claims for personal injury, death or property damage connected in any way with the Exhibitor’s participation in the hospitality suite. Such insurance must include coverage of the indemnification obligations of the Exhibitor under these Contract Terms and must cover ASTRO as an additional named insured. In addition, the insurance policy must provide that coverage that cannot be cancelled or reduced without at least ten days prior written notice to ASTRO. The Exhibitor shall provide to ASTRO an original certificate of insurance evidencing the maintenance of liability insurance complying with all requirements of this paragraph, as specified in the Exhibitor Service Manual that is provided to each Exhibitor.

6. Children under the age of 18 will not be allowed in the Exhibitor’s hospitality suite at any time.

7. Exhibitor activities must be confined to the Exhibitor’s hospitality suite. Exhibitors may not enter another exhibit or hospitality suite without invitation.

8. Distribution of alcoholic beverages is strictly prohibited within the Exhibitor’s hospitality suite.

9. Small novelty items may be distributed to registrants. Items to be given away or raffled must be professional in nature and distributed in the confines of the Exhibitor’s booth or hospitality suite. ASTRO reserves the right to remove any items deemed unacceptable from the exhibits and/or meeting area.

10. The distribution of printed material is strictly limited to the Exhibitor’s booth in the Exhibit Hall and/or hospitality suite. This restriction also applies to placement of signs and/or distribution of materials in any meeting rooms or other areas in the official meeting hotel. One sign will be permitted outside of the Exhibitor’s hospitality suite meeting room, subject to approval by ASTRO.

11. The use of music, flashing lights, dancers or mimes or other entertainment similar to this in nature is not permitted in the Exhibitor’s hospitality suite. Helium balloons, glitter and confetti are prohibited.

12. Exhibitors may photograph their own products within their hospitality suite, but may not photograph or record other Exhibitor’s space or products, or any presentations or programs at the meeting. Any photographing, videotaping or recording must be approved by ASTRO in advance of the meeting.

13. The Exhibitor agrees that ASTRO owns all rights, title, and interest in and to its trademarks, patents, copyrights, marks, symbols, names, logos, registered words or depiction whether or not the same are covered by copyright, trademarks or patents. Use of the aforementioned in conjunction with advertisements, promotional materials, endorsements, statements, contests and/or awards of any kind without the expressed written consent of the relevant ASTRO organization is prohibited. Violators may be subject to such civil and criminal penalties as provided by federal and state laws.

14. Any medical device, pharmaceutical or other type of medical product displayed in the Exhibitor’s hospitality suite must have fulfilled all applicable Food and Drug Administration regulations. Any device, pharmaceutical product or medical product still under clinical investigation that is graphically depicted on a commercial exhibit or display must follow the Healthcare Convention and Exhibitor Association Guidelines for U.S. healthcare conventions standards. Specifically the product must:

• Be prominently labeled as still being under clinical investigation.• Contain only objective statements about the product.• Contain no claims on safety, effectiveness or reliability.• Exist solely for the purpose of obtaining investigators.• Be accompanied by directions of becoming an investigator and a list of investigator responsibilities.• Contain a statement such as “Caution-Investigational Product – limited to investigators’ investigational use” or similar statement in prominent size of

placement.

Furthermore, if the product is not licensed or approved by the FDA for use in radiation therapy procedures, that fact must be properly disclosed following the above guidelines. Additional information regarding FDA regulations may be obtained directly from the FDA.

15. The Ritz-Carlton, Fort Lauderdale is in compliance with the Americans with Disabilities Act regulations. The Exhibitor is responsible for compliance with the ADA within their hospitality suite. Failure to comply with the ADA is a serious matter and may involve litigation or fines.

16. Hotel services (including but not limited to telephone, audio visual, Internet, catering, etc.) may be ordered directly through the hotel. Once Exhibitor’s application and full hospitality payment has been received, Exhibitor will receive contact information for ordering these services with the hotel. The Exhibitor will be solely responsible for any services ordered directly with the hotel.

17. An Exhibitor Appointed Contractor (EAC) is an independent contractor hired by the Exhibitor to assist in the installation and dismantle of the Exhibitor’s display. If an Exhibitor would like to use an EAC to set-up and/or tear-down their display within their hospitality suite, the Exhibitor must first be granted approval by ASTRO. An EAC request form will be furnished upon request and must be submitted to ASTRO for approval. Permission to use an EAC will be granted only if it will not interfere with or prejudice the orderly set-up, interim services and dismantling of the exhibition. It is understood that the EAC will be a signatory to and conform to all applicable labor rule contracts and shall comply with all exhibit and/or hospitality suite rules and regulations, including specific requirements for EACs set forth in the Exhibitor Service Manual. All EAC representatives must obtain badges and adhere to the same Exhibit Hall admission policies as the Exhibitor. No badges will be issued to EAC companies who are not preregistered and for whom insurance certificates have not been submitted.

18. All materials to be used in the Exhibitor’s hospitality suite must be in accordance with the Ft. Lauderdale Fire Department’s fire code and regulations. All electrical wiring must conform to local codes and regulations.

19. ASTRO reserves the right to amend or change any of the rules or regulations set forth in this contract.

20. Exhibitors may not affix any materials to the walls of the hospitality suite. Any damage to the facility property through the carelessness, negligence or misconduct of the Exhibitor, its employees, agents or invitees must be paid by the Exhibitor. The Exhibitor must, at its own expense, maintain and keep its exhibit area clean. Trash produced as a result of giveaways, etc., must be maintained in the hospitality suite and removed at the Exhibitor’s expense.

21. ASTRO has the right to refuse an Exhibitor on the grounds of unethical or uncooperative behavior, infraction of rules, or other non-compatibility with the event. ASTRO reserves the absolute right to regain possession of any space by refunding to the Exhibitor the amount paid for the space.

22. ASTRO may, at its discretion, deem an Exhibitor ineligible for a “preferred” booth space or hospitality suite for the following meeting for violations of the current rules and regulations.

23. Exhibitors are responsible for the orderly conduct of the persons in their hospitality suites. ASTRO has the right to remove disorderly persons.

24. Violation of the Contract Terms or the rules and requirements set forth in the Exhibitor Service Manual may subject the Exhibitor to expulsion and other remedies including forfeiture of Fee and liability for other fines and damages.
