    As we discussed last week, Ive attached freight related information so you could pass it along to County

    Board members. The House and Senate are still trying to finalize a conference agreement and with each

    chambers bill differing on the overall freight language, we can expect that the final bill will includelanguage from each version. Im estimating that they finish by December 11, but well see finalized

    freight language the prior week.

    Within the Senate bill (attached), freight provisions include Sections 41001 (p.821) through 44002

    (p.888). Within the House bill (also attached), freight provisions include Sections 1110 (p. 62-68), 1111

    (p. 69-78) and 8001 (p. 599-610). Below I have included specific information for funding programs (in

    both the House and Senate bill) that will fund freight related projects. Hope this is helpful.

    Senate Bill

    Freight Formula Programis $11.65 billion over six years (contract authority so not up to appropriators)

    FY16 ($1 billion); FY17 ($1.45 billion); FY18 ($2 billion); FY19 ($2.3 billion); FY20 ($2.4 billion); and FY21

    ($2.5 billion). The amount of money each state receives through the freight formula program will be

    based on current apportionment criteria. A state may use these funds based on the number ofcenterline miles they have on Primary Highway Freight System. The formula: Total number of miles

    within a state on the primary freight network divided by total mileage of primary freight system in all

    states. A state may use up to 10% of total apportioned funds for projects that fall within the boundaries

    of public and private freight rail, water facilities (including ports), and intermodal facilities; and that

    provide surface transportation infrastructure necessary to facilitate direct intermodal interchange,

    transfer, and access into and out of the facility.

    Assistance for Major Projects Program (AMPP)is a 6 year (contract authority) $2.1 billion discretionaryprogram (competitive grants) FY16 ($250 million); FY17 ($300 million); FY18 ($350 million); and FY19-

    21 ($400 million). Eligibility for these dollars include states, group of states, local government, tribal

    governments, transit agencies, special purpose districts, port authorities, political subdivisions of states

    House Bill

    Nationally Significant freight and Highway Projectsprogram is a 6 year $4.46 billion competitive grantprogram (contract authority). FY16 ($725 million); FY17 ($735 million); FY18-21 ($750 million per year).

    Eligible applicants include states, groups of states, MPOs representing 200K+ population, local

    governments, special purpose districts or authorities (including port authorities), or federal land

    management agencies applying jointly w/states. Multi-modal projects are eligible; $500 million or

    roughly 11% of the total amount of the overall program can be used for multi-modal projects. Grade

    separation projects do not count against this cap. With respect to multimodal projects, only the non-

    highway portion(s) of the project are counted against this cap. Eligible projects must be on the National

    Highway Freight Network, highway or bridge projects on the National Highway System, Intermodalprojects on the National Multimodal Freight Network, rail-highway grade crossing or grade separation

    projects. Projects have a minimum threshold of $100 million. No grant size limits. 20% of funds must

    go to rural as part of the set aside. 10% of funds must go to projects that do not satisfy the minimum

    threshold of $100 million and these projects must have a minimum threshold of $5 million.

    ORDINANCE OF THE COUNTY BOARDWILL COUNTY, ILLINOIS

    Authorizing the Name Change of a Portion of Former Exchange Street (CH 49)

    Located in County Board District #1, Crete Township, Will County, IL to OldExchange Street

    WHEREAS, due to the realignment of Exchange Street (CH 49), a portion of the former

    Exchange Street (CH 49) remained from Cottage Grove Avenue west to 341.62 feet east of

    Crete Road.

    WHEREAS, the County Board is authorized to name or change the name of any street,

    lane, road or highway pursuant to the authority granted by 55 ILCS 5/5-1067; and

    WHEREAS, in an effort to avoid confusion for the citizens and possible risk for

    emergency responders, a portion of the former Exchange Street (CH 49) between Cottage

    Grove Avenue and 341.62 feet east of Crete Road is to be renamed to Old Exchange Street.

    WHEREAS, a public hearing was conducted on February 2, 2016 at the Public Works and

    Transportation Committee meeting held in the county board room to solicit public commentsand concerns; and

    WHEREAS, the Public Works and Transportation Committee concurs with this request.

    NOW THEREFORE BE IT RESOLVED, that the Will County Board hereby authorizes the

    name change of a portion of the former Exchange Street (CH 49) between Cottage Grove

    Avenue and 341.62 feet east of Crete Road is to be renamed to Old Exchange Street.

    BE IT FURTHER RESOLVED, that the Will County Board hereby directs Will County 9-1-1

    to give notice of the change to all affected stakeholders, including but not limited to

    Resolution for Improvement by County under the IL Highway Code for the E.

    Frontage Road (CH 17) over Grant Creek, County Board District #6, Using MFTFunds ($1,000,000.00)

    WHEREAS, by the County of Will, Illinois that the following described County Highways

    be improved under the Illinois Highway Code:

    E. Frontage Road (CH 17) over Grant Creek

    WHEREAS, the type of improvement shall consist of the reconstruction of the existingroadway, located as designated in the Special Provisions and shall be designated as Section 14-

    00117-36-BR, County Board District #6; and

    WHEREAS, the improvement shall be constructed by contract.

    Ordinance Authorizing Approval of the Establishment of Altered Speed Zone -

    Zone 548, County Board District #7

    WHEREAS, the Public Works and Transportation Committee has determined that the basic

    statutory vehicular speed limits established by Section 5/11-601 of the Illinois Vehicle Code are greater

    or less than that considered reasonable and proper of the streets or highways listed below; and

    WHEREAS, the Public Works and Transportation Committee in accordance with the Illinois

    Compiled Statutes has determined an altered speed limit upon the streets or highways listed below; and

    WHEREAS, this board determined and declares reasonable and proper absolute maximum speed

    limit upon those streets or highways or portion thereof below.

    RESOLUTION OF THE COUNTY BOARDWILL COUNTY, ILLINOIS

    Authorizing an Agreement between the County of Will and Northern Illinois Gas

    Company D/B/A Nicor Gas Company for Reimbursement for Relocating Facilitiesalong 135th Street (CH 35)

    WHEREAS, the County of Will desires to make roadway improvements on 135th Street

    (CH 35) in Will County, Section 99-00068-06-FP, County Board Districts #3 and #7; and

    WHEREAS, it is necessary as part of the improvement to enter into an agreement with

    Northern Illinois Gas Company D/B/A Nicor Gas Company for the reimbursement of their actual

    costs to relocate certain facilities in order to construct our improvement; and

    WHEREAS, Northern Illinois Gas Company D/B/A Nicor Gas Company is willing to

    relocate certain facilities within its existing easement along 135th Street (CH 35) that are

    outside existing County right-of-way which the County will reimburse them for this work and

    are therefore desirous to enter into an agreement with the County of Will, a copy of which is

    attached hereto and which specifically sets for the obligations of the parties; and

    WHEREAS, it is in the best interest of the residents of the County of Will that the

    aforesaid improvements along 135th Street (CH 35) be made and the reimbursement

    agreement be entered into with Northern Illinois Gas Company D/B/A Nicor Gas Company.

    NOW, THEREFORE BE IT RESOLVED, that the compensation for this reimbursable work to

    RELOCATION AGREEMENT

    This Agreement is made this _______ day of ____________, 2016 between COUNTY OFWILL, a body politic and corporate, with offices at 302 North Chicago Street, Joliet, Illinois (theCOUNTY) and WEST SHORE PIPE LINE COMPANY , a Delaware corporation licensed to dobusiness in the State of Illinois, with offices at 12920 S. Bell Road, Lemont, Illinois 60439 (theCOMPANY)

    WITNESSETH:

    WHEREAS, the COUNTY desires to construct certain roadway improvements on 135thStreet

    (CH 35) from New Ave to 1200 feet east of Smith Road (hereinafter referred to as thePROJECT) under County Section 99-00068-06-FP;

    WHEREAS, in order to allow for the PROJECT, the COUNTY desires COMPANY to relocateand protect certain of COMPANYS facilities, all in accordance with COMPANY drawing titledWest Shore Pipe Line Company Casing Extensions numbered Sheet 118 of 164 and identifiedas EXHIBIT A attached hereto; and for watch and protect services of COMPANYS facilities asdepicted in EXHIBIT A and for lighting and traffic signal relocations in the vicinity ofCOMPANYS facilities at the intersection of 135thSt. and New Ave; all of which is summarizedin the Casing Extension at 135thSt. cost estimate identified as EXHIBIT B, attached hereto(hereinafter referred to as WORK);

    WHEREAS, the COMPANY has preliminarily estimated the cost of the WORK to be$239,000.00;

    WHEREAS, the WORK is eligible for reimbursement to COMPANY, with the COUNTYresponsible for 100% of the actual cost of the WORK;

    WHEREAS, COMPANY is willing to perform the WORK provided that the COUNTY shallreimburse the COMPANY for 100% of the actual cost of the WORK; and

    COMPENSATION

    The total preliminary estimated cost of the WORK is $239,000.00 with the COUNTY responsiblefor 100% of the actual cost as follows:

    COMPANY, upon completion of the WORK, shall promptly render to the COUNTY a detailedstatement of the actual costs, including overhead costs. The COUNTY shall reimburse theCOMPANY for 100% of the amount billed, even if the billed amount exceeds the preliminaryestimate set forth above. Payment shall be made in full by the COUNTY within 60 days ofreceipt of statement.

    MODIFICATION OR AMENDMENT

    The parties may modify or amend terms of this Agreement only by a written document dulyexecuted by both parties.

    ENTIRE AGREEMENT

    This Agreement, including matters incorporated herein, contains the entire agreement betweenthe parties.

    There are no other covenants, warranties, representations, promises, conditions orunderstandings; either oral or written, other than those contained herein.

    This Agreement may be executed in one or more counterparts, each of which for all purposesshall be deemed to be an original and all of which shall constitute the same instrument.

    In event of any conflict between the terms or conditions of this Agreement and terms or

    conditions found in any attachment hereto, the terms and conditions of this Agreement shallprevail.

    This Agreement may not be assigned by either party without the prior written consent of the

    1.0 Project Understanding

    1.1 General Understanding

    COMPANY will work as directed by CLIENT on various Build Will Program related tasks.COMPANY Staff will be located in the CLIENTs office and/or COMPANY office withCLIENT approval and in accordance of project need. The assigned work will be similar tothat of a CLIENTs Project Manager. The work may include engineering, technical,engineering management, contractor coordination to ascertain that the construction is ingeneral conformance to bid/construction document plans and specifications, projectcontrol, administrative services and other assigned tasks necessary to assist the CLIENTin the completion and closeout of the projects in an expeditious time frame.

    1.2 Design Criteria/Assumptions

    The work anticipated may include all or part of the following scope of services.

    The CLIENT agrees to employ COMPANY to perform the following services:

    A. Phase II Document Reviewi. Provide expertise in review and comment of project submittals prepared by

    The above work categories have been determined by the CLIENT to be the initial priorities.When reduction of existing backlogs in the above work categories is realized, other work maybe assigned as needed. This work may include any services required to manage and/orfacilitate the progress of Build Will projects including but not confined to any Project Controlsand/or Administrative Services tasks that are necessary to ensure that projects and projecttasks are completed in a timely fashion and the Program is progressive.

    3.0 Deliverables and Schedules Included in this Contract

    Deliverables and schedules will be determined by the CLIENT per individual project andservice task.

    This schedule was prepared to include reasonable allowances for review and approvaltimes required by the CLIENT and public authorities having jurisdiction over the project.This schedule shall be equitably adjusted as the project progresses, allowing for changesin the scope of the project requested by the CLIENT or for delays or other causes beyondthe control of COMPANY.

    4.0 Services by Others

    Geotechnical subsurface investigation, material testing services, and specialtyenvironmental services included in COMPANYs standard services offered, if required, willbe provided by a sub-consultant subject to approval by the CLIENT.

    6.2 Invoices

    Invoices for COMPANYs services shall be submitted, on a monthly basis. Invoices shallbe due and payable upon receipt. If any invoice is not paid within 15 days, COMPANY

    may, without waiving any claim or right against the CLIENT, and without liabilitywhatsoever to the CLIENT, suspend or terminate the performance of services. Theretainer shall be credited on the final invoice. Accounts unpaid 30 days after the invoicedate may be subject to a monthly service charge of 1.5% (or the maximum legal rate) onthe unpaid balance. In the event any portion of an account remains unpaid 60 days afterthe billing, COMPANY may institute collection action and the CLIENT shall pay all costs ofcollection, including reasonable attorneys fees.

    6.3 Extra Work

    7.4 Suspension of Services

    If the Project or the COMPANYS services are suspended by the CLIENT for more than thirty (30) calendardays, consecutive or in the aggregate, over the term of this Agreement, the COMPANY shall be compensatedfor all services performed and reimbursable expenses incurred prior to the receipt of notice of suspension. Inaddition, upon resumption of services, the CLIENT shall compensate the COMPANY for expenses incurred asa result of the suspension and resumption of its services, and the COMPANYS schedule and fees for theremainder of the Project shall be equitably adjusted.

    If the COMPANYS services are suspended for more than ninety (90) days, consecutive or in the aggregate,the COMPANY may terminate this Agreement upon giving not less than five (5) calendar days' written noticeto the CLIENT.

    If the CLIENT is in breach of this Agreement, the COMPANY may suspend performance of services upon five(5) calendar days' notice to the CLIENT. The COMPANY shall have no liability to the CLIENT, and theCLIENT agrees to make no claim for any delay or damage as a result of such suspension caused by anybreach of this Agreement by the CLIENT. Upon receipt of payment in full of all outstanding sums due from theCLIENT, or curing of such other breach which caused the COMPANY to suspend services, the COMPANYshall resume services and there shall be an equitable adjustment to the remaining project schedule and feesas a result of the suspension.

    7.5 Book of Account

    COMPANY will maintain books and accounts of payroll costs, travel, subsistence, field, and incidentalexpenses for a period of five (5) years. Said books and accounts will be available at all reasonable times for

    examination by CLIENT at the corporate office of COMPANY during that time.

    7.6 Insurance

    COMPANY will maintain insurance for claims under the Worker's Compensation Laws, and from GeneralLiability and Automobile claims for bodily injury, death, or property damage, and Professional Liabilityinsurance caused by the negligent performance by COMPANY's employees of the functions and servicesrequired under this Agreement.

    7.7 Termination or Abandonment

    Either party has the option to terminate this Agreement. In the event of failure by the other party to perform in

    accordance with the terms hereof through no fault of the terminating party, then the obligation to providefurther services under this Agreement may be terminated upon seven days written notice. If any portion of theservices is terminated or abandoned by CLIENT, the provisions of this Schedule of Fees and Conditions inregard to compensation and payment shall apply insofar as possible to that portion of the services not

    are being performed solely for the CLIENTs benefit, and no other party or entity shall have any claim againstthe COMPANY because of this Agreement or the performance or nonperformance of services hereunder.

    The CLIENT and COMPANY agree to require a similar provision in all contracts with contractors,subcontractors, subconsultants, vendors and other entities involved in this project to carry out the intent of thisprovision.

    7.12 Governing Law and Jurisdiction

    The CLIENT and the COMPANY agree that this Agreement and any legal actions concerning its validity,interpretation and performance shall be governed by the laws of the State of Illinois without regard to anyconflict of laws provisions, which may apply the laws of other jurisdictions.

    It is further agreed that any legal action between the CLIENT and the COMPANY arising out of thisAgreement or the performance of the services shall be brought in the 12 Judicial Circuit Court, Will County,Illinois.

    7.13 Dispute Resolution

    Mediation. In an effort to resolve any conflicts that arise during the design or construction of the project orfollowing the completion of the project, the CLIENT and COMPANY agree that all disputes between themarising out of or relating to this Agreement shall be submitted to non-binding mediation unless the partiesmutually agree otherwise. The CLIENT and COMPANY further agree to include a similar mediation provisionin all agreements with independent contractors and consultants retained for the project and to require allindependent contractors and consultants also to include a similar mediation provision in all agreements withsubcontractors, sub-consultants, suppliers or fabricators so retained, thereby providing for mediation as the

    primary method for dispute resolution between the parties to those agreements.

    7.14 Attorneys Fees

    If litigation arises for purposes of collecting fees or expenses due under this Agreement, the Court in suchlitigation shall award reasonable costs and expenses, including attorney fees, to the party justly entitledthereto. In awarding attorney fees, the Court shall not be bound by any Court fee schedule, but shall, in theinterest of justice, award the full amount of costs, expenses, and attorney fees paid or incurred in good faith.

    7.15 Ownership of Instruments of Service

    All reports, plans, specifications, field data, field notes, laboratory test data, calculations, estimates and other

    documents including all documents on electronic media prepared by COMPANY as instruments of serviceshall remain the property of COMPANY. COMPANY shall retain these records for a period of five (5) yearsfollowing completion/submission of the records, during which period they will be made available to the CLIENTat all reasonable times.

    specifications or other instruments of services. The CLIENT also agrees to compensate COMPANY for anytime spent and expenses incurred remedying CLIENTs failures according to COMPANYS prevailing fee

    schedule and expense reimbursement policy.

    7.18 Opinion of Probable Construction Cost

    COMPANY shall submit to the CLIENT an opinion of probable cost required to construct work recommended,designed, or specified by COMPANY, if required by CLIENT. COMPANY is not a construction cost estimatoror construction contractor, nor should COMPANYS rendering an opinion of probable construction costs beconsidered equivalent to the nature and extent of service a construction cost estimator or constructioncontractor would provide. This requires COMPANY to make a number of assumptions as to actual conditionsthat will be encountered on site; the specific decisions of other design professionals engaged; the means andmethods of construction the contractor will employ; the cost and extent of labor, equipment and materials the

    contractor will employ; contractor's techniques in determining prices and market conditions at the time, andother factors over which COMPANY has no control. Given the assumptions which must be made, COMPANYcannot guarantee the accuracy of his or her opinions of cost, and in recognition of that fact, the CLIENTwaives any claim against COMPANY relative to the accuracy of COMPANYS opinion of probable constructioncost.

    7.19 Design Information in Electronic Form

    Because electronic file information can be easily altered, corrupted, or modified by other parties, eitherintentionally or inadvertently, without notice or indication, COMPANY reserves the right to remove itself fromits ownership and/or involvement in the material from each electronic medium not held in its possession.

    CLIENT shall retain copies of the work performed by COMPANY in electronic form only for information anduse by CLIENT for the specific purpose for which COMPANY was engaged. Said material shall not be usedby CLIENT or transferred to any other party, for use in other projects, additions to this project, or any otherpurpose for which the material was not strictly intended by COMPANY without COMPANYs expressed writtenpermission. Any unauthorized use or reuse or modifications of this material shall be at CLIENTS sole risk.Furthermore, the CLIENT agrees to defend, indemnify, and hold COMPANY harmless from all claims, injuries,damages, losses, expenses, and attorney's fees arising out of the modification or reuse of these materials.

    The CLIENT recognizes that designs, plans, and data stored on electronic media including, but not limited tocomputer disk, magnetic tape, or files transferred via email, may be subject to undetectable alteration and/oruncontrollable deterioration. The CLIENT, therefore, agrees that COMPANY shall not be liable for the

    completeness or accuracy of any materials provided on electronic media after a 30 day inspection period,during which time COMPANY shall correct any errors detected by the CLIENT to complete the design inaccordance with the intent of the contract and specifications. After 40 days, at the request of the CLIENT,COMPANY shall submit a final set of sealed drawings, and any additional services to be performed byCOMPANY relative to the submitted electronic materials shall be subject to separate AGREEMENT The e

    7.24 Certificate of Merit

    The CLIENT shall make no claim for professional negligence, either directly or in a third party claim, againstCOMPANY unless the CLIENT has first provided COMPANY with a written certification executed by anindependent design professional currently practicing in the same discipline as COMPANY and licensed in theState in which the claim arises. This certification shall: a) contain the name and license number of thecertifier; b) specify each and every act or omission that the certifier contends is a violation of the standard ofcare expected of a Design Professional performing professional services under similar circumstances; and c)state in complete detail the basis for the certifier's opinion that each such act or omission constitutes such aviolation. This certificate shall be provided to COMPANY not less than thirty (30) calendar days prior to thepresentation of any claim or the institution of any judicial proceeding.

    7.25 Limitation of Liability

    In recognition of the relative risks and benefits of the Project to both the CLIENT and the COMPANY, the riskshave been allocated such that the CLIENT agrees, to the fullest extent permitted by law, to limit the liability ofthe COMPANY and COMPANYS officers, directors, partners, employees, shareholders, owners andsubconsultants for any and all claims, losses, costs, damages of any nature whatsoever or claims expensesfrom any cause or causes, including attorneys' fees and costs and expert-witness fees and costs, so that thetotal aggregate liability of the COMPANY and COMPANYS officers, directors, partners, employees,shareholders, owners and subconsultants shall not exceed $50, 000.00, or the COMPANYS total fee forservices rendered on this Project, whichever is greater. It is intended that this limitation apply to any and allliability or cause of action however alleged or arising, unless otherwise prohibited by law.

    7.26 Construction Observation Without DesignIt is agreed that the professional services of COMPANY are limited to a review and observation of the work ofthe contractor to ascertain that such work is proceeding in general accordance with the contract documentsand that such contract documents have not been prepared by the COMPANY. Unless otherwise stated, theCLIENT warrants that any documents provided to COMPANY by the CLIENT or by the prior consultant maybe relied upon as to their accuracy and completeness without independent investigation by the successorconsultant and that the CLIENT has the right to provide such documents to COMPANY free of any claims ofcopyright or patent infringement or violation of any other partys rights in intellectual property. It is furtheragreed that the CLIENT will defend, indemnify and hold harmless COMPANY from any claim or suitwhatsoever, including all payments, expenses or costs, arising from or alleged to have arisen from an error or

    omission in the plans, specifications or contract documents. COMPANY agrees to be responsible for itsemployees own negligent acts, errors or omissions in the performance of their professional services.

    municipal entity as defined by said Act, and the CLIENT requires project financing information for the servicesperformed under this AGREEMENT, the CLIENT will provide the COMPANY with a letter detailing who their

    independent registered municipal advisor is and that the CLIENT will rely on the advice of such advisor. Asample letter can be provided to the CLIENT upon request.

    This AGREEMENT is approved and accepted by the CLIENT and COMPANY upon both partiessigning and dating the AGREEMENT. Work cannot begin until COMPANY receives a signedagreement. The effective date of the AGREEMENT shall be the last date entered below.

    Mr. Director:

    On January 4, replacement Truck Drivers reported for duty. Each was given the necessary safety

    equipment, and Divisional orientation. Truck assignments followed, all were given an individual

    snow removal route. Ride alongs were conducted placing a seasoned WCDOT Truck Driveralongside each new replacement. This exercise was employed to familiarize each new Driverwith the characteristics of his route. Such things as service wires, low branches, manhole frames,

    etc. were pointed out, while the various controls within each vehicle were explained and

    exercised allowing new Drivers to become accustomed with their vehicles and routes.

    Dramatic changes in temperatures have taken their toll along concrete paved County Highways

    and bridges. DOT crews have been kept very busy cold patching and removing spalled concretedebris.

    DOT crews have reacted to the icing and snow events throughout the month, plowing, brining,

    and spreading salt as necessary to keep the WCDOT system safe. Though measurable snow hasnot been a problem, icing with drastic temperature fluctuations, has presented conditions that

    required constant monitoring for proper application.

    Road shoulders along highly travelled routes and intersections are being routinely assessed andrepaired. Freeze/thaw cycles, and large vehicle turning radius, have contributed in destabilizing a

    number of locations. DOT crews continue to address these areas by reclaiming and adding stonewhere necessary In the most extreme instances activities have included cold milling n
