2015 GRASSHOPPER VOLUME BONUS PROMPT PAY PROGRAM

Dealer qualifications to participate in Volume Bonus program(a) initial season wholegoods order follows 75% rule guidelines; (b) take delivery of 100% of stock order by February28, 2015; (c) participate in Parts Stocking Program; (d) sign Grasshopper Dealer Agreement; (e) adhere to FISTProgram (G-SB1214) and other Grasshopper-sponsored Programs; (f) retail equipment in dealer’s designated inquiryreferral area; (g) maintain current account throughout the year.

Examples of Qualifying Units for Volume Sales Bonus• Dealer takes delivery of 25 machines in the 2015 Season. Five of the 25 machines are taken later in the season. Dealer pays

for 20 units by 8-15-2015, and receives rewards on 20 units for 2015. The remaining 5 units will be counted along with other equipment on which the dealer takes delivery and remits payment for the 2016 season to earn Volume Bonus.

• Dealer takes delivery of their entire 2015 stock order of 75 units by 12-15-2014. Dealer pays 65 units before 8-15-2015. Dealer receives rewards of a 60 unit dealer, and is paid rebate on all 65 machines. The unpaid carryover machineswill be eligible for the 2016 Season. If the units are not paid by 8-15-2016, the machines lose their volume eligibility.

• Dealer takes delivery of 24 stock machines in October, 2014, and 24 units in January of 2015. Dealer pays for 42 machinesby July 10, 2015. The remaining 6 units are not due until October 10, 2015, but the dealer wants to achieve the 45 unit level and pays for 3 units by August 15, 2015. Dealer receives rewards based on the 45 unit level. 3 unpaid machines willbe eligible for the 2016 Volume Season.

2015 earned rewards are based on the level of units paid by August 15, 2015A dealer may attain a qualified level or achieve a higher program level by ordering and prepaying machine(s) in the 2015season, even though these units have not shipped. These machines must be paid by August 15, 2015, and Grasshopper willdeliver this equipment by September 30, 2015. Because accounting of the 2015 season closes at the end of business, August15, 2015, the program does not allow for flexibility regarding the final payment date. Monies received after this date willnot count on the 2015 Volume program, however, qualifying prepaid equipment will be eligible for the 2016 season.

Dealers will receive all the benefits and Volume Bonuses of all the levels they have earned when the completed warranty cardson all the retailed units included in this program have been received by the factory on or before December 15, 2015 and thedealer maintains a prompt pay account. Rebates will be paid within one hundred twenty (120) days following the program.To receive all dealer’s deserved awards, dealers must resolve any discrepancies or questions on billings, before the Programcloses. It is cost-effective for both the dealer and the factory to have Demonstrators, Collection Systems, Implements and FreeMachines, ordered and shipped with your 2016 Spring Stock Order.

Program ExceptionsMachines sold on State or Federal contracts and are below 50% of dealer’s total volume, will be included in the quantity count toreach various bonus levels, but will not be paid volume rebates. If, however, the number of machines sold to State or Federalagencies equal 50% and above of the dealer’s whole goods volume, these units will not be included in the volume machine count.

Program DisqualificationAny accounts placed on COD or had past due occurrences, were sold and unpaid resulting in delinquent interest charges,or tendered an Insufficient Funds Check for payment on the account, may not be eligible to participate in this program or willlose their volume bonus on a quarterly basis, which cannot be reinstated for that quarter.Dealerships that sell their business, are acquired or relinquish the Grasshopper Line, will not be eligible for rewards, bonusesor rebates they had earned prior to the sale/relinquishment. These rewards/bonuses and rebates are not transferrable to thesuccessor dealer. If, the dealer who has relinquished the Grasshopper line after a product year, returns or transfers qualifiedequipment taken as a Volume reward or was counted towards their rebate pay, the dealer will incur charge-backs based onthe reduced level of volume and Quik Pay incentives taken.

One power unit and deck of dealer’s largest volume model,excluding 900 & 400 Series models, to be provided foruse in the 2016 season (September 1, 2015 through Au-gust 15, 2016) as dealer’s demonstrator or loaner machinefor zero downtime support. Dealer must assign their demon-strator & implement with their initial order and take deliveryno later than December 10, 2015. A Dealer DemonstratorCertificate will be provided to qualified dealers. Submitcompleted certificate requesting your annual demonstratorunit and implement with your wholegoods stocking order.

The certificate expires March 31, 2016. The PowerVac™ earnedin this bracket may not be exchanged for equipment or returned. Ifdealer does not claim PowerVac collector by March 31, 2016, thecertificate expires and PowerVac collection system is forfeited.

Ü1% rebate paid on dealer cost of tractor, deck, imple-ment and wholegood accessories on the first twenty (20)units after the 20th machine is ordered and paid for byAugust 15, 2015, and a subsequent 1% bonus rebateon subsequent units, when paid according to terms of-fered.

ÜIn addition to the normal 2% Cooperative Advertis-ing Allowance, an additional 1% bonus will be al-lowed (3% total) for the 2016 product year.

Dealer will assign demonstrator with initial order and takedelivery no later than December 10, 2015.

Dealer Demonstrator Certificate will be provided to qualified deal-ers. Submit completed certificate requesting your annual demon-strator unit with your wholegoods stocking order.

This form initiates terms adjustment on stock unit that is to be used as a demonstrator and implement model.

Qualifications: Applicant must meet all the guidelines specified in the Grasshopper Volume Bonus Prompt Pay pro-gram, and have reached the 10 Unit level of the program.

The Grasshopper model indicated below represents the most active model sold at the dealership during the 2015product season - excluding 400 & 900 Series models - and is requested as a Year 2016 demonstrator/zero-down-time unit. (V Series Models 100 Series & 226 may earn 1.5% demo discount.) It will be demo’d on-site at aprospect’s request and provided as a ‘zero downtime unit’ when necessary. This agreement between _____________________________________ (hereinafter “Undersigned”) an adult residing

______________________________________________, an authorized Grasshopper Dealer located at

The above mentioned Grasshopper equipment (“Loaner”) is available from __________ to ________ at $______/hourto the undersigned. In consideration of the Loaner, Undersigned agrees to the following terms, warranties andrepresentations:

Undersigned has read and voluntarily signs this loaner agreement, waiver of liability and indemnity agreement.

In consideration for the Loaner, Undersigned for himself, his personal representatives, heirs and next of kin,acknowledges, agrees and represents that he has, or will immediately prior to using the loaner and will continuouslythereafter use the Loaner in accordance with the operator’s manual and any instructions given by Dealer. If theUndersigned or any of the Undersigned’s designees operate this equipment, such operation affirms that the operatorhas read the manual, been instructed as to the safe use of the equipment and had all operational and safety questionsanswered prior to such operation. Undersigned acknowledges that he operated the Loaner while in the presence ofDealer, understands its operation and had opportunity to ask any operation or safety questions prior to takingpossession of the Loaner.

Undersigned will contact Dealer in the event that the Loaner is not operating in accordance with the manual andDealer instructions. Undersigned will not use the Loaner until Dealer has repaired any such conditions.

Undersigned expressly acknowledges that operating the Loaner is dangerous and involves the risk of injury and/ordeath and/or property damage, particularly when operated in any manner inconsistent with the Manual and Dealerinstructions.

Undersigned hereby releases, waives, discharges, and covenants not to sue Dealer, its officers, employees, owners,or any subdivision of Dealer (hereinafter referred to collectively as “Releases”) from all liability to Undersigned, hispersonal representatives, assigns, heirs, and next of kin for any and all loss or damage, and any claim or demandstherefore on account of injury to the person or property or resulting in the death of Undersigned. Undersignedexpressly agrees to indemnify and hold harmless Dealer from any and all claims, from any source, for personal injury,wrongful death and/or property damage.

Undersigned shall be responsible to Dealer for any damage to Loaner that is beyond reasonable wear and tear.Undersigned will not modify the Loaner in any way.

Undersigned expressly agrees that the foregoing release, Waiver and Indemnity Agreement is intended to be as broadand inclusive as is permitted by the law of the state in which Dealer is located.

If any portion thereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force andeffect.

No oral representations, statements or inducements apart from the foregoing written agreement have been made.
