Passar på att tacka för förtro-endet. Vill du vara med och skriva eller hjälpa till, så är duvälkommen att höra av dig. Ordföranden har ordet... igenOch igen har jag goda nyheter. Sent i höstas fick SLCW'skyrkoråd meddelande av vår pastor Mona Svensson attSLCW hade fått tagit del av ett arv från en person i Sverigepå ungefär $12,500, med stipulation att bara få användas tilldiakonin. Så underbart att slippa ha den omedelbara pres-sen att be SLCW's församling om ekonomisk hjälp vid dessastunder, för det händer, om inte ofta, tack och lov, så händerdet, senast förra sommaren att vi måste hjälpa någon, ochden gången kom hjälpen från Mona Svensson. Ni kommeratt se den exakta summan som inkomst i kassörens rappor-ter vid årsmötet.Jag vill också meddela att senare i vår / sommar kommer niatt få se att SLCW's hemsida på nätet har ändrats litegrannför att överensstämma med SKUT's hemsida och på SKUT'shemsida i Sverige kommer det att finnas en länk direkt till vårhemsida här i Washington DC.Jag önskar att tiden går snabbt, vilket man inte skall göra, endag isänder, så att när årsmötet går av stapeln, den 2 marshoppas jag att våren har kommit!Men en dag isänder, tiden går fort nog ändå, det är mycketsom skall hinnas med till nästa gudstjänst och sedan till års-mötet. Och vid årsmötet hoppas jag att det blir trängsel ikyrkan och vid kyrkkaffet efteråt. Jag hoppas att ni tar er tid,

Men, vägen tillLivet hittar vi inte på internet .Hur hittar vi den?Att finna vä-gen och vandra den handlar om ett förhållningssätt till livet.Det handlar om att varje dag stämma av våra liv mot vårinnersta vilja. Vill jag det här? Hur lever jag egentligen mittliv? Det handlar om att inte bara låta saker ske eller ske avslentrian, ytan stanna upp innan vi fortsätter. Kanske har vigått fel? Kanske är vi i en återvändsgränd? Att finna vägentill livet är att ständigt ompröva sig själv, sina val och sitt liv.Attfinna vägen till livet är att vara sann mot sig själv och motandra. Sammanfattning av Taizemässa den 5 januariMeditativ mässa med psalmer och musik från klostret Taize.Medverkande musiker Kerstin Hendrickson på nyckelharpa,Kestrin Gaddy på tvärflöjt, Cliff Gaddy på cello och kantor Ste-fan Brodd på piano och orgel.35 personer tog tillfället i akt, att varva ner efter långhelgerna.Efter att alla hade blivit välkomnade, av ordförande AnneliSexton, började gudstjänsten.Text lästes av Cecilia Browning ifrån Första Kungaboken 8:20,27-30, om Guds löften till sitt folk.

Från Filipperbrevet 2:1-4 läste Eva Perdahl, om att låta detsinnelag råda hos oss som också fanns hos Jesus Kristus. Attinte tänka på sitt eget bästa utan även på andras.Kyrkoherde Mona Svensson läste från Johannes 2:13-22, omhur Jesus drev ut köpmännen som sysslade med affärsverk-samhet i Guds hus.Söndagens tema var omsorgen om Guds hus. – Inte baraomsorgen om byggnaden utan omsorgen om hela församling-en.Församlingen sjöng sedan, ackompanjerad av musikerna.Psalmerna var som böner som fyllde kyrkan. Sedan taladekyrkoherde Mona Svensson om tystnaden som en kraftkälla.”När är det tyst i ditt liv?” I vardagslivet överväldigas vi av allaljud. Det är viktigt att bli stilla och njuta av tystnaden. I mötenmed andra människor, får vi lyssna oss fram till vad vår med-människa vill säga oss. ”Allt verkligt liv är möten. Här ska detske riktiga möten i Herrens namn” sa kyrkoherden avslutnings-vis.Kollekt togs sedan upp av Monica Anderson och KristinaChereton. Efteråt var det som vanligt servering av gott kaffemed gott hembakat kaffebröd till. Tack till dem som ordnatdetta! .—GH

Annual Meeting ÅrsmöteSunday, March 3, 201310:15 a.m. – 11:15 a.m.

1. Call to Order – Mötets öppnande. Church Council DeputyChair Eva Perdahl declared the meeting open. MonaSvensson said a prayer.

2. Proof of Notice – Kallelsens godkännande. The meetinghad been announced in advance in the monthly newslet-ter. Proof of notice was approved.

3. Approval of Agenda – Dagordningens godkännande. Theagenda, which had been published in advance in the news-letter, was approved.

4. Election of Chairperson and Secretary of the meeting– Val av ordförande och sekreterare för mötet. Eva Perdahlwas elected chairperson and Annika O’Hara was electedsecretary of the meeting.

5. Approval of Minutes from the 2012 Annual Meeting –Godkännande av protokollet från årsmötet 2012. The min-utes of the 2012 annual meeting (held on March 6, 2012)were approved.

6. Church Activities Report – Årsberättelse. Eva Perdahlsummarized the congregation’s activities during 2012 asdescribed in ”Swedish Church Activities Report 2012” writ-ten by Church Council member Eva Hess (distributed inadvance). The report was approved.

7. Treasurer ’s Report – Kassörens rapport. PeterEdwardsson presented the treasurer’s income-expensereport for 2012. He noted that the revenue from member-ship fees and coffee hour donations had increased since

2011, but that offerings were generally down. The $2,200registered under ”other income” consisted of (a) a $2,000contribution from the Swedish Embassy to pay for coffeeafter the 2011 and 2012 1st of Advent services, and (b)$200 received from SWEA to cover special music expens-es. Augustana Lutheran Church received $5,475 fromSLCW in 2012 (Advent gift, Renovation Fund, and half ofoffering at Christmas Eve service) and had asked for a$5,000 contribution for 2013. Eva Perdahl added that mon-ey donated for candles ($106 in 2012) went to Martha’sTable.

8. Auditors’ report – Revisorernas rapport. The auditors’report had not been completed for 2012 or 2011. AuditorMonica Anderson explained that some purchases and re-imbursements had been made without the proper receipts,but that the auditors had not found any other problemswith the accounts.

9. Adoption of Reports and Accounts – Godkännande avrapporter och beslut om styrelsens ansvarsfrihet. It wasdecided to postpone this decision until the accounts hadbeen fully audited.

10. Contributions to Augustana Lutheran Church Reno-vation Project – Augustana Lutheran Churchrenoveringsfond. Eva Perdahl explained that for technicalreasons, the annual payment to Augustana is divided intotwo parts in SLCW’s accounts (”Augustana Advent Gift”and ”Augustana Renovation”). Taken together, these twoitems represent the annual contribution requested byAugustana.

11. Review and Adoption of 2013 Budget – Budget för 2013.Peter Edwardsson gave an overview of the proposed bud-get. It was decided that a finance committee should beformed to review the budget proposal and assist the trea-surer throughout the year, as needed. Arne Dunhem, PeterEdwardsson, Kenneth Hamilton, and Mats Persson wereelected members of the finance committee. It was decid-ed to postpone the approval of the 2013 budget until afterthe finance committee’s review.

12. Nominating Committee’s Report – Nominerings-kommitténs rapport. Arne Dunhem spoke on behalf of theNominating Committee since both members were unableto attend. He explained that the Church Council’s chair-man, Sören Karlsson, had resigned and that ChurchCouncil member Anneli Sexton had volunteered to servethe out the remainder of Sören’s term. The NominatingCommittee therefore proposed Anneli Sexton to chair theChurch Council for one year, i.e. until 2014. The Commit-tee also proposed Christina Hoffman and Kristina Åbergas new members of the Church Council after Arne Dunhem,Eva Hess, and Anna-Carin Rooney, all of whom expresseda desire to retire.

13. Election of Church Council members –Val avstyrelserepresentanter. The meeting approved the Nomi-nating Committee’s proposals for chairman and membersof the Church Council.

14. Nomination and Election of Auditors – Nominering ochval av revisorer. The meeting elected Bengt Boström asauditor after Eva Dunhem, who retires. (Monica Andersonhas one year left of her two-year term.)

15. Nomination and Election of Nominating Committee –Nominering och val av Nomineringkommitténs medlemmar.

The meeting reelected the current members of the Nomi-nating Committee, Erland Magnusson and Anna Dahlborg.

16. Suggested Activities for 2013 – Förslag til lförsamlingsaktiviteter 2013. Eva Perdahl urged the con-gregation to come up with ideas for new activities.

17. Other Business – Övriga ärenden. Arne Dunhem saidthat SLCW’s bylaws, which dated from 1996, had last beenrevised in 2000. He proposed the formation of a commit-tee to revise and update the bylaws and”församlingsordningen.” No decision regarding a commit-tee was made.

18. Adjournment – Mötets avslutande. The meeting was ad-journed.

Swedish Church Activities Report 2013During the year the Swedish congregation has held elevenservices in Augustana Lutheran Church, Washington, DC. OurPastor, the Rev. Mona Svensson, came from New York sentby SKUT, (The Swedish Church abroad) to officiate, with Com-munion, at every service except the last one, a ScandinavianChristmas service, conducted by lay members of all five Nor-dic churches. Some 70-80 people have regularly attended, with250-300 at each of the last two services in December. Mem-bers of the congregation actively participated in all the services– procession, reading Bible texts, meet-and-greet, collectingthe offering, social hour, social outreach and other church ser-vice functions. Our membership is about 190.(87 families/e-mail addresses). We are able to park for free in a neighbor-ing government garage.The Rev. Mona Svensson has baptized both children andadults. A confirmation class met regularly during the year. Theyvisited the Swedish Church in New York City and spent a week-end at Bon Secour Spiritual Center in Maryland. On June 1they were confirmed. The Rev Mona Svensson also providedspiritual welfare to individuals in the congregation. The Sun-day School program led by Anna Mitchell and on occasion byAnna’s mother or brother has been attended by up to six chil-dren. Gunnel and Kenneth Hamilton were our representativesat SKUT´s conference in Sweden in the summer. The ChurchCouncil has met ten times under the guidance of our new Pres-ident, Annelie Sexton who gracefully took over in the new yearwhen Sören Karlsson.had to resign for health reasons. Otherlong term members of the Council had to resign, Arne Dunhem,and Eva Hess, and were replaced by Kristina Aberg and Chris-tina Hoffman.There was a meditative music service in January, inspired bythe monastery Taizé in Bourgogne, France, and in Februarythe service was especially geared to young families. In May,we had another music service, with the participation of theSwedish Song Group under the direction of KerstinHendrickson. Our June service was followed by our traditionalpicnic in Rock Creek Park.In October we collected food for the needy and in DecemberToys for Tots. The church was filled to capacity at our Adventservice in December when we enjoyed the beautiful Lucia cel-ebration and the Swedish Song Group again delighting us. Ourlast service for the year was our sixth annual Nordic Christ-mas Service on December 24. Norwegians, Finns, Danes,

Icelanders and Swedes filled the church to capacity and hymnsand texts in all their languages were heard. A large portion ofthe offering was given to Martha’s Table, a nearby soup kitch-en.Our Church Music Committee (Stefan Brodd, KerstinHendrickson and Kerstin Gaddy) provided additional, greatlyappreciated music at many services during the year includingskillful soloists. Our Organist, Stefan Brodd, is most versatile.Our beautiful, professional newsletter, Församlingsbladet, pro-duced by Gunnel and Kenneth Hamilton, was published, richlyillustrated, six times during the year. One edition was eightpages and printed on coated paper with many color images –other times a web version was available. Our web site, Swed-ish church.org, is constantly updated by George Mitchell.Our coffee hour after the services has been well attended andwell provided for by volunteers.It has been a rich year in the service of our Lord Jesus Christthanks to sincere engagement and sacrifices by many in thecongregation.Respectfully submitted, Eva Hess

Musikkommittén 2012-2013The Music Committee has been pleased to provide a varietyof music to enrich our worship services. We are grateful toeach of the many talented members of our community whohave come forward to play and sing for us, as well as to theprofessional musicians who have joined us on several occa-sions. We are grateful, too, for the kind comments andappreciative listening of our congregation. We hope that thevariety of musical styles offered, from classical and jazz toSwedish folk, have reached the members of our community ininspiring ways. We are also grateful, as each year, to play arole in the Nordic Christmas Eve service, which reaches hun-dreds of people and features a wonderful array of soloists andcongregational singing.For the Committee, —Stefan Brodd, kantor

SöndagsskolanSöndagsskolans program leddes av Anna Mitchell. Program-met började oftast med dagens textläsning ur Bibel för Barn.(Äldre barn hjälpte ibland till att läsa). Barnen uppmuntradessedan att diskutera texten och illustrera den med kreativa bil-der eller från tillhörande målarbok. Ibland spelades spel ellerolika lekar. Deltagandet varierade, oftast kom 3-8 barn varjegång. —Anna Mitchell

Social MinistriesTack för stöd till vår Food Drive som går direkt till the CapitalArea Food Bank i Washington, DC! Detta år samlade vi in 105kg av non-perishable mat och faktiskt också även ett antal”travel-kits”. Ni kan vara säkra på att det kommer till nytta ochblir till glädje för många. Vi har nu samlat in under 10 år och vihoppas att fortsätta att samla in under många år till. Det är enunderbar möjlighet att stödja en mycket viktig verksamhet förandra medmänniskor som har det sämre ställt. Tack också tillSören Karlsson som vidarebefordrade gåvorna fråninsamlingen. 105 kg är avsevärt mindre än de 145 kg visamlade in, när vi började med insamlingen år 2004. Men visamlade i år dubbelt så mycket som förra året.

Medlemmar av vår församling och andra som var närvarandevid vår Första Adventsgudstjänst fyllde generöst 12 (33%ökning) mycket stora säckar med leksaker och en säck medkläder och toalettartiklar som respons till kyrkorådetsuppmaning för fjärde året i rad. Familjen Mitchell (George ochAnna) från vår församling samordnade överlämnandet till Toysfor Tots.Julbönen, tillsammans med de andra nordiska länderna,samlade in $ 1095.73I kollekten som skänktes till “Martha'stable” och $400 till Augustana. De senaste åren har 40% avvåra inkomster tillfallit Augustana kyrkan och Social ministries.Svenska församlingen har under flera år hjälpt till tillsammansmed Augustanakyrkan att servera måltider på shelters förutsatta kvinnor och även arbetat tillsammans med "Martha'sTable"och serverat mat till hemlösa på "McKenna's Wagon"det mobila soppköket som är öppet 7 dagar i veckan. Vi harinte hjälpt till i år, men behovet av hjälp finns alltid.Det finns alltså många möjligheter för den som vill och kangöra något "hands on”. Det ger mycket att få vara en utsträckthand till någon som behöver den. Rekommenderas varmt!— Gunnel och Kenneth Hamilton

Treasurer’s Report 2013The financial tables [see SLCW Income - Expense 2011-2013;2013 Budget] look very different this year. We have adoptedthe chart of accounts (kontoplan) which the Swedish Churchuses worldwide. This explains why there are account num-bers, the English-Swedish headings, and the lines are indifferent order than before. Nothing is omitted; in fact there ismore detail than previous.The good news is that we were very close to break even with a(-$35.74) end of year net income.

The plate offerings were 9% greater than last year and 4%over the budget. The other principal income line, membership,was 13% below last year and 21% below the budget. [Pleaseinvite your Swedish friend to support the Swedish Church andbecome a member.]Coffee was 6% above budget but coffee expenses were 37%above budget but the next effect was about $50 minus. Therewas very little bazaar/table sales this year.The significant expense for 2013 was confirmation. Augustanahas again rented their excess space and thus for konfirmationclasses, we were forced to sublet a room. We considered al-ternatives but all also had costs and the class would have tomove away from the church while parents were at coffee hour.In addition, there was no chance to take the konfirmands toNew York for a retreat and dedicated learning day so they wentto Bon Secours retreat center for an overnight. Even thoughthe cost was more, there were great benefits to the isolatedconcentrated setting, so the class there went well and wedeemed it a success.The other significant financial item was the donation by ananonymous Swede of a $12,891.10 gift restricted to diakonidiscretionary fund. This money has been placed in a separatesavings account for more visibility. Use will be after carefulconsideration in conjunction with the kyrkoherde andordförande. We consider this as seed money for a diakoni en-dowment and would like to see it is sustained and even growin time.- Peter Edwardsson, Treasurer

Review and Adoption of 2014-16 BudgetThe budgets [see SLCW Income - 2013 Actual/Budget andBudget 2014-2016] presented here are preliminary for reviewby the Parish Annual Meeting in March. This year we are plan-ning consistent with the practice of Swedish Churchesworldwide and preparing a budget for this year plus two yearsforward, hence 2014, 2015, and 2016.We had in 2013 increased contributions and reduced mem-bership income but still managed to essentially break even.We must have some fiscal reserve and using the averagemonthly expense as a baseline, we should have at least twomonths in reserve ... that is where we are now.There are two very new (for us) lines in the budget:3210 General Grants from Uppsala - Ramanslag från Uppsala.This is in anticipation that as we grow and have more activitieswith that we may apply for and receive grants from Uppsala,e.g., the very increased cost of Konfirmation with the off-siteretreat. Those who participated in the previous retreat at BonSecours found it worthwhile; while some funding to subsidize,we might be able to offer another retreat at a more affordablecost.3240 Donations from private persons-Gåvor från privatpersoneris a significant gift from an anonymous donor who wanted tocontribute to the good works of the Swedish Church abroad.There are some items that stand out in review of the budgetand records. Suggest the following parish motions to establishpolicy:o Move that all requests for checks must be accompanied

by receipts or some such documentation. Treasurer is

granted discretionary authority to issue check and holditem in suspense for receipt.

o Move that all reimbursements should be by check andnever by taking cash from the coffee offerings.

o Move that all regular obligations should have statementssent direct to SLCW per the Treasurer and not to individu-als to prevent late payments or the possibility ofcancellation.

o Move that all proposed church sponsored projects musthave budgets and funds plans presented to and approvedby the church board before the event.

o Move that all tangible personal property donated to Swed-ish Church and directed by Church Council to be donatedshould be so donated promptly and receipt from receivingorganization promptly delivered to Church Treasurer forpermanent records.

Amended and Restated By-LawsIn 2011, DC implemented the D.C. Nonprofit Corporation Actof 2010 which affected our by-laws created under the prior1962 DC rules. In addition there were changes required to beconsistent with Swedish Church. The Church council assigneda committee of Attorney Kristina Åberg, Christina Hoffman andEva Perdahl the task of updating our 14 year old by-laws toconform to DC Code and to be more uniform with SKUT.Note this analysis is in English to be consistent with the docu-ment languages.The results of their work, the proposed ”Amended and Restat-ed By-Laws” along with a proposed ”Amendment To TheArticles Of Incorporation” is an attachment to thisFörsamlingsblad.Some of the highlights are:1. The principal office is now defined as 2100 New Hamp-

shire Ave (Augustana Church address).2. The purpose is more clearly defined to be consistent with

DC Code requirements.3. Voting members must be 16. This is consistent with Swed-

ish Church. This requires a change to the Articles ofIncorporation (see attachment).

4. The number of Council members shall be at least six (6)and no more than nine (9).

5. The Council shall reserve one (1) place on the Council forthe Pastor of the Church of Sweden Abroad in New York,who shall be elected pursuant to these bylaws in the samemanner as the other Council members and who shall bedeemed a full voting member of the Council.

6. The agenda for Annual Meetings is no longer specified.7. Notice of meetings may also be given by e-mail to the

Member’s e-mail address as set forth in the Church’s cur-rent record of Members.

8. Quorum for the Annual Meeting is set at Twenty (20) per-cent of the Members comprising the Church membershipas of the meeting Record Date. The ”or twenty (20) Churchmembers present” phrased is deleted.

AMENDED AND RESTATEDBYLAWS

of

THE SWEDISH LUTHERAN CHURCH OF WASHINGTON, D.C., INC.(a District of Columbia Nonprofit Corporation)

Adopted by the Church Membership on _______, 2014.

ARTICLE IOFFICES

Section 1. Principal Office. The principal center of the Swedish Lutheran Church of Washington, D.C., Inc.,a District of Columbia nonprofit corporation (the ”Church”), shall be in Washington, D.C. at Augustana LutheranChurch at 2100 New Hampshire Avenue, NW, Washington, D.C. 20009. The Church council (the ”Council”) maychange the principal office from one location to another.

Section 2. Additional Offices. The Church may also have offices at such other places, both within and withoutthe District of Columbia, as the Council may from time to time determine or as the business of the Church mayrequire.

ARTICLE IIPURPOSES

The Church’s purpose shall, in consonance with the mission of the Church of Sweden Abroad (”SKUT”), beto foster and convey the spiritual values and traditions of the Church of Sweden and for such other purposes as setforth in Article THREE of the Church’s Articles of Incorporation. Specifically, the purpose shall include religious andcharitable purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986 or the correspond-ing provision of any future United States internal revenue law (the ”Code”).

To the extent that these bylaws or the District of Columbia Nonprofit Corporation Act of 2010, as may beamended from time to time (the ”Nonprofit Act”), are inconsistent with the religious doctrine or canon law set forthby SKUT, the doctrine or laws set forth by SKUT shall control to the extent required by the Constitution of the UnitedStates.

CHURCH MEMBERSHIP

Any individual who subscribes to the purposes of the Church and who is at least sixteen (16) years old, shall,upon payment in full of the Church’s annual membership dues whether as an individual or family membership, beconsidered a full member of the Church with all the rights and obligations associated with such membership (each, a”Member”). Each Member shall have one vote on each matter submitted for a vote before the membership.

ARTICLE IVCOUNCIL MEMBERS

Section 1. General Powers; Number; Eligibility. The business and affairs of the Church shall be managed byits Council, which may exercise all powers of the Church and perform all lawful acts for and on behalf of the Church.The number of Council members shall be at least six (6) and no more than nine (9). The Council shall reserve one (1)place on the Council for the Pastor of the Church of Sweden Abroad in New York, who shall be elected pursuant tothese bylaws in the same manner as the other Council members and who shall be deemed a full voting member of theCouncil. Any Member who has been baptized is eligible to be a Council member; provided, however, that only onerepresentative from each immediate family member living in the same household may serve on the Council at anygiven time. Council members shall serve until the earlier of the second annual meeting of Members following theirelection at which a successor is elected or their death or resignation.

Section 2. Vacancies. Any vacancy in the Council may be filled by approval of the majority of the remainingCouncil members until ratified by the Church members at the next annual or special meeting.

Section 3. Regular Meetings. The Council shall hold, at the direction of the Chairman, a minimum of four (4)regular meetings during the fiscal year.

Section 4. Special Meetings. Special meetings of the Council may be held at any time, at the request of theChairman or any two members of the Council, by providing written notice in the form of an electronic mail (”e-mail”) or oral notice at least five (5) days prior to the meeting unless such notice is otherwise waived by all of theCouncil members.

Section 5. Quorum; Adjournments. At all Council meetings, a majority of the number of Council membersthen in office shall constitute a quorum for the transaction of business, and the act of a majority of the Councilmembers present at any meeting at which there is a quorum shall be the act of the Council, except as may be other-wise specifically provided by law, the Articles of Incorporation, or these bylaws. If a quorum is not present at anymeeting of the Council, the Council members present may adjourn the meeting from time to time, without noticeother than announcement at meeting, until a quorum shall be present.

Section 6. Committees. The Church shall have such other committees as may from time to time be designatedby resolution of the Council. These committees may consist of persons who are not also members of the Council andshall act in an advisory capacity to the Council. Meetings and action of the committees shall be governed by, noticed,held, and taken in accordance with the provisions of these bylaws concerning meetings of the Council, with such


D R A F T J a n u a r y 2 7, 2 0 1 4changes in context of such bylaw provisions as are necessary to substitute the committee and its members for theCouncil and its members, except that the time for regular and special meetings of Council may also adopt rules andregulations pertaining to the conduct of meetings to the extent that such rules and regulations are not inconsistentwith the provisions of the bylaws.

Section 7. Compensation. Council members shall not be entitled to compensation for their services as such,but shall be entitled to receive from the Church reimbursement for any reasonable expenses incurred in performingservices for the Church and in attending Council meetings. Any Council member receiving reimbursement for ex-penses under these provisions shall not be barred from serving the Church in any other capacity and receivingcompensation and reimbursement for reasonable expenses for such services.

Section 8. Insurance for Corporate Agents. Except as may be otherwise provided under provisions of law, theCouncil may adopt a resolution authorizing the purchase and maintenance of insurance on the behalf of any agent ofthe Church (including a Council member, officer, employee, or other agent of the Church) against liabilities assertedagainst or incurred by the agent in such a capacity or arising out of the agent’s status as such, whether or not thecorporation would have the power to indemnify the agent against such liability under the Articles of Incorporation,these bylaws, or provisions of law.

ARTICLE VMEMBERSHIP DUES

Annual membership dues shall be proposed by the Council and adopted at an annual meeting of Members.

ARTICLE VIMEMBERSHIP MEETINGS

Section 1. Annual Meetings. An annual meeting of Members shall be held in March immediately followingthe monthly Church service, or at such other date and time as decided by the Council.

Section 2. Special Meetings. Special meetings of the Church membership may be called (1) by the Chairmanor (2) if at least ten percent (10%) of the Members entitled to vote at such special meeting sign, date, and deliver tothe Council one or more demands in the form of a record for the proposed special meeting describing the purpose forwhich it is to be held.

Section 3. Notice. All notices of meetings with Members shall be in writing and shall be sent or otherwisegiven in accordance with Article VI, Section 4 of these bylaws not less than ten (10) nor more than sixty (60) daysbefore the date of the meeting to each Member entitled to vote at such meeting. The notice shall specify the place (ifany), date and hour of the meeting, and in the case of a special meeting, the purpose or purposes for which themeeting is called.

Section 4. Form; Delivery. Whenever, under the provision of law, the Articles of Incorporation or these by-laws, notice is required to be given to any Member, such notice may be given: (1) in writing, by U.S. mail, addressedto such a member, at his post office address as it appears on the records of the Church, with postage thereon prepaid.


D R A F T J a n u a r y 2 7, 2 0 1 4Any such notice shall be deemed have been given at the time it was deposited in the United States mail; or (2) throughe-mail if the notice is correctly addressed to the Member’s e-mail address as set forth in the Church’s current recordof Members. Notice of a special meeting shall include a description of the purpose for which the meeting is called.

Section 5. Record Date. The record date for determining Members entitled to notice of and to vote at anannual or special meeting of Members is the day before the first meeting notice is given to Members or such otherdate as shall be determined by the Council (the ”Record Date”); provided, however, that the Record Date may not bemore than seventy (70) days prior to the meeting date.

Section 6. Quorum. Twenty (20) percent of the Members comprising the Church membership as of the meet-ing Record Date shall constitute a quorum at all meetings of the Church membersip.

Section 7. Adjourned Meeting; Notice. Any meeting of Members, annual or special, may adjourn from time totime to reconvene at the same or some other place, and notice need not be given of the adjourned meeting if the timeand place thereof, by which Members may be deemed to be present in person and vote at such adjourned meeting, areannounced at the meeting at which the adjournment is taken. At the adjourned meeting, the Church membership maytransact any business that might have been transacted at the original meeting. If the adjournment is for more thanthirty-five (35) days, a notice of the adjourned meeting shall be given to each Member entitled to vote at the meeting.If after the adjournment a new Record Date for Members entitled to vote is fixed for the adjourned meeting, theCouncil shall fix a new record date for notice of such adjourned meeting in accordance with the Nonprofit Act andArticle VI of these bylaws, and shall give notice of the adjourned meeting to each Member of record entitled to voteat such adjourned meeting as of the record date fixed for notice of such adjourned meeting.

Section 8. Waiver. Whenever notice is required to be given under the Nonprofit Act, the Articles of Incorpo-ration or these bylaws, a written waiver thereof, signed by the Member or Members entitled to such notice anddelivered for inclusion with the minutes or filing with the corporate records of the meeting, whether before or afterthe time stated therein, shall be conclusively deemed to be equivalent of such notice.

Section 9. Conduct of Business. Meetings of Members shall be presided over by the Chairman of the Council,or in his or her absence by the Vice Chairman, if any, or in the absense of the Vice Chairman, by any other Councilmember or other Member elected at the meeting for such purpose. The Secretary shall act as secretary of the meeting,but in his or her absence, the meeting chairperson may appoint any person to act as secretary of the meeting. Thechairperson of any meeting of Members shall determine the order of business and the procedure at the meeting,including such regulation of the manner of voting and the conduct of business.

ARTICLE VIIIOFFICERS

Section 1. Designations. The officers of the Church shall be a Chairman, Treasurer, and Secretary. The Chair-man shall be elected by the Members at the annual meeting, and the Secretary and Treasurer shall be elected by theCouncil. The Church may also have, at the discretion of the Council, a Vice Chairman and any other officers and/oragents as it shall deem necessary or appropriate. All Church officers shall exercise such powers and perform suchduties as shall from time to time be determined by the Council. Any number of offices may be held by the same


D R A F T J a n u a r y 2 7, 2 0 1 4person, except that neither the Secretary nor the Treasurer may serve concurrently as the Chairman. No person shallexecute, acknowledge, or verify any instrument in more than one capacity, if such instrument is required by law, theArticles of Incorporation or these bylaws to be executed, acknowledged or verified by two or more officers. AnyMember who is at least eighteen (18) years old and has been baptized is eligible to serve as an officer of the Church.

Section 2. Term of Office; Term Limit; Vacancies. The term of office is two (2) years. The officers of theChurch shall hold office until their successors have been duly elected. The Chairman and the Treasurer shall serve forno longer than three (3) consecutive terms. Any vacancy in any office of the Church may be filled for the unexpiredportion of the term by the Council. In case of a vacancy in the office of the Chairman, the Vice Chairman, if any, shallbecome Chairman for the remainder of the term.

Section 3. Removal and Resignation. Any officer may be removed, either with or without cause, by an affir-mative vote of the majority of the Council at any regular or special meeting of the Council. Any officer may resign atany time by giving written notice to the Council.

Section 4. Compensation. Officers shall not be entitled to any stated salary or other compensation from theChurch for their services, but shall be entitled to receive from the Church reimbursement for any reasonable expensesincurred in performing services for the Church. Any officer receiving reimbursement for expenses under these provi-sions shall not be barred from serving the Church in any other capacity and receiving compensation and reimbursementfor reasonable expenses for such services.

Section 5. Duties of the Chairman. The Chairman shall be the chairperson of the Council and the chiefexecutive officer of the Church and shall, subject to the oversight of the Council, supervise and control the affairs ofthe Church and the activities of its officers. The Chairman shall prepare and submit an annual written report to theMembers.

Section 6. Duties of the Vice Chairman. In absence of the Chairman, or in event of his or her inability orrefusal to act, the Vice Chairman shall perform all the duties of the Chairman.

Section 7. Duties of the Secretary. The Secretary shall keep or cause to be kept the minutes of the Councilmeetings in one or more books for that purpose, keep or cause to be kept a membership list containing the name,address and e-mail address of each Member, see that all notices are duly given in accordance with the provisions ofthese bylaws or as required by law, be custodian of the Church records, and in general perform all duties incident tothe office of secretary and such other duties as pertain to the office or as prescribed from time to time by the Council.

Section 8. Duties of the Treasurer. The Treasurer shall keep and maintain, or cause to be kept and maintained,adequate and correct books and accounts for the Church’s assets and transactions. The Treasurer shall be responsiblefor all funds committed to him or her, and shall make disbursements within the annual budget or as authorized by theCouncil. The Treasurer shall also present financial statements and reports, including a written report of receipts andexpenditures, at each regular meeting of the Council and at the annual membership meeting. The Treasurer willprepare the annual budget and such other financial reports as required by the Council. The books of account shall beopen to inspection by any Council member at all reasonable times.


D R A F T J a n u a r y 2 7, 2 0 1 4Section 9. Assistant Treasurers and Assistant Secretaries. The assistant treasurers and assistant secretaries, in

general, shall perform such duties as shall be assigned to them by the Treasurer or the Secretary or by the Chairman.

Section 10. Rights to Sign Accounts. The Treasurer and the Chairman are empowered to individually with-draw amounts from and sign checks drawn on the financial accounts of the Church.

ARTICLE IXBOOKS AND RECORDS

The Church shall keep correct and complete books and records of account and shall also keep minutes ofproceedings of its Members, committees and the Council.

ARTICLE XINDEMNIFICATION OF

COUNCIL MEMBERS, OFFICERS, EMPLOYEES AND AGENTS

Section 1. Mandatory Indemnification. The Church shall indemnify a Council member or officer to the extentthe Council member or officer was successful, on the merits or otherwise, in the defense of any proceeding to whichthe Council member or officer was a party because the Council member or officer was a Council member or officerof the Church against reasonable expenses incurred by the Council member or officer in connection with the proceed-ing.

Section 2. Permissible Indemnification. The Church may indemnify an individual who is a party to a proceed-ing because he or she is or was a Council member or officer against liability incurred in the proceeding if:

(a) The individual:

a. Acted in good faith;

b. Reasonably believed:i. In the case of conduct in an official capacity, that the conduct was in the best interests

of the Church; andii. In all other cases, that the individual’s conduct was at least not opposed to the best

interests of the Church; and

c. In the case of any criminal proceeding, had no reasonable cause to believe his or her conductwas unlawful; or

(b) The individual engaged in conduct for which broader indemnification has been made permissible orobligatory under a provision of the Articles of Incorporation.

(c) The termination of a proceeding by judgment, order, settlement, or conviction, or upon a plea of nolocontendere or its equivalent, shall not, of itself, be determinative that the Council member did notmeet the relevant standard of conduct described in this section.

(d) Unless ordered by a court under § 29-406.54(a)(3) of the Nonprofit Act, the Church shall not indem-nify a Council member or officer:

a. In connection with a proceeding by or in the right of the Church, except for reasonable expens-es incurred in connection with the proceeding if it is determined that the Council member orofficer has met the relevant standard of conduct under subsection (a) of this section; or

b. In connection with any proceeding with respect to conduct for which the Council member orofficer was adjudged liable on the basis that the Council member received a financial benefitto which the Council member or officer was not entitled, whether or not involving action in anofficial capacity.

Section 3. Chapter 42 Taxes. Notwithstanding the foregoing provisions of this Article X, the Church shallindemnify, reimburse, or insure any person for any taxes imposed on such individual under Chapter 42 of the Code.Further, if at any time the Church is deemed to be a private foundation within the meaning of Section 509 of the Code,then, during such time, no payment shall be made if such payment would constitute an act of self-dealing or a taxableexpenditure, as defined in Section 4941(d) or 4945(d), respectively, of the Code.

ARTICLE XIEXEMPT ACTIVITIES

Section 1. Charitable Purpose. The following provisions are hereby adopted for the purpose of defining theactivities of the Church:

(a) No part of net earnings of the Church shall inure to the benefit of, or be distributed to (whether ondissolution or otherwise), the Council members or officers of the Church, or other private persons,except that the Church shall have the authority and power to pay reasonable compensation for servicesrendered and to make such payments and distributions in furtherance of the purposes of the Church.

(b) No substantial part of the activities of the Church shall consist of carrying on propaganda, or other-wise attempting to influence legislation, and the Church shall not participate, or intervene (includingthe publication or distribution of statements), in any political campaign on behalf of any candidate forpublic office.

Section 2. Charitable Status. Notwithstanding any other provision of these Bylaws, no director, officer, em-ployee or agent or representative of the Church shall take any action for an on behalf of the Church if such action isnot permitted under Section 501(c)(3) of the Code (as defined in Section 2 of Article X).

ARTICLE XIIGENERAL PROVISIONS

Section 1. Fiscal Year. The fiscal year of the Church shall commence on January 1 and end on December 31each year, unless otherwise provided by the Council.

Section 2. Annual Report. An annual report shall be presented to the Members at the annual meeting contain-ing the following information in reasonable detail:

(a) The assets and liabilities of the Church as of the end of the fiscal year;


D R A F T J a n u a r y 2 7, 2 0 1 4(b) The principal changes in assets and liabilities during the fiscal year;(c) The revenue or receipts of the Church, both unrestricted and restricted to a particular purpose, for the

fiscal year;(d) The expenses or disbursements of the Church, for both general and restricted purposes, during the

fiscal year; and(e) Any information required by the Nonprofit Act.

ARTICLE XIIIAMENDMENTS

The bylaws may be adopted, amended, or repealed by the Members at any annual or special meeting.
